Remarketing Agent definition

Remarketing Agent has the meaning specified in Section 5.4(b)(i).

Remarketing Agent means, for any series of Bonds, any Person acting in the capacity of remarketing agent for such Bonds pursuant to a Remarketing Agreement relating to such Bonds.

Remarketing Agent means, with respect to the Series W-7 VRDP Shares, the Person or Persons designated, with the prior written consent of the Liquidity Provider (which consent shall not be unreasonably withheld) as Remarketing Agent for such Series of VRDP Shares, initially as set forth in Schedule I to the Fee Agreement, and its or their permitted successors and assigns.

• The Authority hereby appoints RBC Capital Markets, LLC as Remarketing Agent to remarket the 2024 Series C-2 Bonds pursuant to the Indenture, and to keep such books and records as shall be consistent with prudent industry practice and to make such books and records available for inspection by the Liquidity Facility Provider, the Authority, the Paying Agent and the Trustee at all reasonable times.

• Anything in the Indenture to the contrary notwithstanding, if there shall have occurred and be continuing an Event of Default described in Section 7.1(b) of the Master Indenture with respect to a failure to pay any Principal Installment or interest on the 2024 Series C-2 Bonds, the Remarketing Agent shall not remarket, and the Liquidity Facility Provider shall not be required to purchase pursuant to the Liquidity Facility, any 2024 Series C-2 Bonds.

• The Fixed Rate shall be the minimum interest rate which, in the sole judgment of the Remarketing Agent, will result in a sale of such Bond at a price equal to the principal amount thereof on the Rate Determination Date.

• Upon the resignation or removal of the Remarketing Agent, the Authority is to promptly cause the Paying Agent to give notice thereof by mail to all Owners and to any Rating Agency which has assigned a rating to the 2024 Series C-2 Bonds.

• Any successor Remarketing Agent shall be selected by the Authority (and approved by the Liquidity Facility Provider) and shall be a member of the Financial Industry Regulatory Authority, shall have a capitalization of at least $15,000,000, and shall be authorized by law to perform all the duties set forth in the Indenture.

More Definitions of Remarketing Agent

Remarketing Agent means a remarketing agent appointed pursuant to Section 1201 of the Indenture and the Remarketing Agreement, together with its successors and assigns pursuant thereto.

Remarketing Agent means, as to a Remarketing and Remarketing Agreement, the remarketing agent and any successor or replacement remarketing agent appointed by the Depositor.
