Following its receipt of any such Term Loan Unused Fee, Agent shall promptly pay to each Term Lender an amount equal to such Term Lender’s Term Loan Commitment Percentage of the daily amount of such Term Loan Unused Fee based on such Term Lender’s Term Loan Commitment on such day.
For each Fiscal Quarter until the termination of the Term Loan Commitments, the Borrower promises to pay to the Administrative Agent, for the ratable accounts of the Lenders, a per annum fee (the “Term Loan Unused Fee”) calculated by multiplying the outstanding principal amount of Term Loan Commitments by the Term Loan Unused Fee Rate then in effect.
