The Government may, without prejudice to any other rights which the Project Parties may have, terminate this Agreement immediately if an Insolvency Event occurs in relation to the Independent Monitor, whether or not the Independent Monitor is then in breach of this Agreement.
The Government shall not be required to make demand for payment or performance first against the Company or any other Person or to proceed against any collateral or other security which might be held by the Government or otherwise to take any action before resorting to the Guarantor hereunder.
The Government may on receipt of the Independent Monitor's notice confirm or revoke the direction.
The Government will determine in its sole discretion whether to allow such subdivision of this Agreement, and if approved, the manner in which such subdivision will occur.
