the Holdback. Amount shall mean the Holdback Amount calculated pursuant to Section 1.5(b) as adjusted (upward or downward, as applicable), to reflect the exclusion of one-half of the change in the amount of net accounts receivable pursuant to the provisions of Section 1.6.

Examples of the Holdback in a sentence

  • Any Holdback Amount will be deposited into the Holdback Sub-Account (the Subscription Sub-Account, the Repurchase Sub-Account and the Holdback Sub-Account shall be referred to collectively as the “Escrow Accounts”).

  • The General Partner may not increase the Holdback Percentage of any Partner Category beyond 24% unless such increase applies equally to all Partner Categories.

Related to the Holdback

  • Holdback has the meaning set forth in Section 4.1(d)(i).

  • Escrow Fund means the escrow fund established pursuant to the Escrow Agreement.

  • Escrow Cash is defined in Section 4.1(a).

  • Escrow Funds means the Advance funds deposited with the Escrow Agent pursuant to this Agreement.

  • Indemnity Escrow Agreement means the Indemnity Escrow Agreement among Buyer, Seller and the Escrow Agent, substantially in the form of Exhibit B.
