Tier 2 Holder definition

Tier 2 Holder means any Company Security Holder that is not a Tier 1 Holder that, as of the Effective Date, together with its Affiliates, owns Company Securities that represent at least 17.5% of the votes entitled to be cast by all Common Units and Preferred Units convertible into Common Units (calculated as a single class on an as-converted to Common Unit basis) and, for the avoidance of doubt, any Company Security Holder that is indicated as a Tier 2 Holder on Schedule A (each of which shall be a Tier 2 Holder from and after the Effective Date).

Examples of Tier 2 Holder in a sentence

  • In the event that a Tier 2 Holder together with its Affiliates ceases to have the (and no longer has any) right to designate and appoint and has designated and appointed any Manager in accordance with Section 6.4(a)(ii), then the then serving Tier 2 Manager shall no longer be a Tier 2 Manager and shall thereafter be subject to Section 6.4(a)(v) and such Manager’s removal shall thereafter be subject to this Section 6.5(a)(iv).
