Company Securities definition

Company Securities has the meaning set forth in Section 3.02(b)(ii).
Company Securities has the meaning set forth in Section 2.4(c)(i).
Company Securities means (i) the Company Common Stock, (ii) any preferred stock of the Company, (iii) any other common stock issued by the Company and (iv) any securities convertible into or exchangeable for, or options, warrants or other rights to acquire, Company Common Stock or any other common or preferred stock issued by the Company.

Examples of Company Securities in a sentence

  • All of issued and outstanding Company Securities, are duly authorized, validly issued, fully paid and nonassessable, free of encumbrances and not subject to or issued in violation of any purchase option, right of first refusal, preemptive right, subscription right or any similar right under any provision of the relevant law in the jurisdiction of incorporation, the Company Organization Documents or any contract to which the Company is a party or by which the Company is bound.

  • None of the outstanding Company Securities have been issued in violation of any applicable securities Laws.

Company Securities means any equity interest of any class or series in the Company.
