TimkenSteel VEBA has the meaning set forth in Section 6.7.
SpinCo shall have the meaning set forth in the Preamble.
RemainCo shall have the meaning set forth in the Preamble.
ITT has the meaning given to it in the recitals to this Framework Agreement;
Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.
SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.
ACCO means the person delegated authority by the Commissioner to organize and supervise the procurement activity of subordinate agency staff in conjunction with the CCPO, or his/her duly authorized representative. All written notices or communications to the ACCO shall be sent, as specified, to 00 Xxxxx Xxxxxx, 0xx Xxxxx, Xxx Xxxx, Xxx Xxxx 00000 (“Office of the ACCO”).
CVC means Citicorp Venture Capital, Ltd., a New York corporation.
OPC has the meaning specified in the recital of parties to this Agreement.
SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”
DPS means the Department of Public Safety of the State of Texas, a state agency in the executive branch created under Tex. Gov’t Code Ch. 411.
VEBA means a voluntary employees' beneficiary association under IRC Section 501(c)(9).
Retained Group means, in respect of each Seller, that Seller, its subsidiaries and subsidiary undertakings from time to time, any holding company of the Seller and all other subsidiaries or subsidiary undertakings of any such holding company (excluding the Purchaser, that Seller’s Target Company and any subsidiaries or subsidiary undertakings of that Target Company);
DPSP means a deferred profit sharing plan within the meaning of the Tax Act;
NGC means the Nevada Gaming Commission.
SpinCo Employee has the meaning set forth in the Employee Matters Agreement.
SAP Group means SAP Parent and any of its Associated Companies.
Participating Employer means any trade or business (whether or not incorporated) which adopts this Plan with the consent of the Company identified in the Adoption Agreement.
Large employer means, in connection with a group health plan or health insurance coverage with
Transferred Employees has the meaning set forth in Section 6.4(a).
PayPal s Buyer Protection program
EBA means the European Banking Authority (including any successor or replacement organization thereto).
Dean means the head of a faculty of the University;
Broadridge means Broadridge Financial Solutions, Inc.
Honeywell has the meaning set forth in the preamble.
Former Employees means Former Parent Group Employees and Former SpinCo Group Employees.
Company Service Provider means an employee, individual consultant, individual independent contractor, individual self-employed contractor, leased or temporary employee or director of the Company or any of its Subsidiaries.
