The Trading Average shall not be greater than $42.210 unless the Company shall have agreed to decrease the Exchange Ratio to such ratio, as shall when multiplied by the Trading Average result in a price per Common Share equal to the product of (i) the Cash Price divided by $38.693 and (ii) $42.210.
