Tradition SEF may amend this Agreement and in particular the Fees at any time on two (2) months’ prior written notice.
In the event that an affected Distributor considers any such amendment to be unfavorable, it may terminate this Agreement on the date the amendment comes into effect, provided it gives Tradition SEF notice in writing within one (1) month of the date of Tradition SEF’s original notice.
Tradition SEF shall have the right to assign any rights and/or obligations under this Agreement to its Affiliates or another party, such assignment to become effective on written notice to the Distributor.
In any case where Tradition SEF’s audit discloses any underpayment of Fees by the Distributor, the Distributor shall pay an amount equal to the difference between the amount which should have been previously paid to Tradition SEF, plus interest at the prevailing statutory rate.
Interest shall run from a date thirty (30) days after the day on which the amount of underpayment ought to have been paid to Tradition SEF.
However, Tradition SEF shall use commercially reasonable efforts to maintain the accessibility, operation, functionality and security of its systems at all times.
Tradition SEF warrants that it has all necessary rights to license the Distributor to disseminate the Data in accordance with the terms of the Agreement.
Except as provided in clause 8.1, this Agreement may only be amended in writing by and between Distributor’s authorized representatives and Tradition SEF, Inc.
Save as expressly detailed in this Agreement, no rights are granted to the Distributor or any Recipient and all other rights are reserved by Tradition SEF.
Without prejudice to clauses 12.1, 12.2, 12.3 and 12.4, Tradition SEF provides the Data on an “as is” basis without any representation, condition or warranty (whether express or implied) of merchantable quality, accuracy, completeness or timeliness, or that the Data will be error-free.
