Tranche B-2 Commitment definition

Tranche B-2 Commitment means, as to any Tranche B-2 Lender, such Xxxxxx’s commitment to make Tranche B-2 Loans on the Closing Date under this Agreement. The amount of each Tranche B-2 Lender’s Tranche B-2 Commitment as of the Closing Date is set forth on Annex A. The aggregate amount of the Tranche B-2 Commitments of all Tranche B-2 Lenders as of the Closing Date is MXN$78,446,203.

Tranche B-2 Commitment means, with respect to the Initial Tranche B-2 Lender, its commitment to make a Tranche B-2 Term Loan on the Amendment No. 2 Effective Date in an amount equal to the aggregate principal amount of all Tranche B Term Loans outstanding on the Amendment No. 2 Effective Date minus the aggregate principal amount of the Converted Tranche B Term Loans of all Lenders.

Tranche B-2 Commitment has the meaning specified in Amendment No. 2.

Examples of Tranche B-2 Commitment in a sentence

• Subject to the terms and conditions hereof and of Amendment No. 2, each Lender with a Tranche B-2 Commitment severally made or exchanged, as applicable, on the Amendment No. 2 Effective Date, a Tranche B-2 Term Loan to the Borrower in Dollars in an amount equal to such Lender’s Tranche B-2 Commitment.

• Upon the making of any Tranche B2 Loans by a Tranche B2 Lender, such Tranche B2 Lender’s Tranche B2 Commitment shall be permanently reduced to zero.

• For the avoidance of doubt, the Borrower made one borrowing under the Tranche B-2 Commitments, which was on the Amendment No. 2 Effective Date, and each Lender’s Tranche B-2 Commitment terminated immediately and without further action on the Amendment No. 2 Effective Date after giving effect to the funding of such Lender’s Tranche B-2 Commitment on such date.

• Subject to the terms and conditions set forth herein, each Tranche B2 Lender severally (and not jointly) agrees to make a single loan to the Borrower on the Second Amendment Effective Date in Dollars in an amount not to exceed such Lender’s Tranche B2 Commitment.

• Adoption of new accounting standards (continued) The new definition of a lease under IFRS 16 has been applied for contracts entered into, or changed, on or after 1 January 2019.

More Definitions of Tranche B-2 Commitment

Tranche B-2 Commitment means, with respect to each Lender, the commitment, if any, of such Lender to make a Tranche B-2 Loan hereunder on the Closing Date in the amount set forth on Schedule 2.01, or in the Assignment and Acceptance pursuant to which such Lender assumed its Tranche B-2 Commitment, as applicable. The initial aggregate amount of the Lenders’ Tranche B-2 Commitments is C$150,000,000.

The aggregate amount of the Tranche B-2 Commitments of all Tranche B-2 Lenders as of the date of this Amendment is $400,000,000.

Tranche B-2 Commitment shall have the meaning assigned to such term in Section 1.1 of the Tranche B-2 Incremental Amendment.
