Transfer Stock definition

Transfer Stock means shares of Capital Stock owned by a Key Holder, or issued to a Key Holder after the date hereof (including, without limitation, in connection with any stock split, stock dividend, recapitalization, reorganization, or the like), but does not include any shares of Preferred Stock or of Common Stock that are issued or issuable upon conversion of Preferred Stock.
Transfer Stock means shares of Capital Stock owned by a Key Holder, or issued to a Key Holder after the date hereof (including, without limitation, in connection with any stock split, stock dividend, recapitalization, reorganization, or the like), but does not include any shares of Preferred Stock or Common Stock issued or issuable upon conversion of Preferred Stock.
Transfer Stock means shares of Capital Stock subject to a Proposed Transfer.

  • The closing of the purchase of Transfer Stock by the Company and the Investors and Key Holders shall take place, and all payments from the Company and the Investors and Key Holders shall have been delivered to the selling Major Holder, by the later of (i) the date specified in the Proposed Transfer Notice as the intended date of the Proposed Major Holder Transfer; and (ii) thirty (30) days after delivery of the Proposed Transfer Notice.

  • If the Company does not provide the Company Notice exercising its Right of First Refusal with respect to all Transfer Stock subject to a Proposed Major Holder Transfer, the Company must deliver a Secondary Notice to the selling Major Holder and to each other Investor and the Key Holders to that effect no later than ten (10) days after the selling Major Holder delivers the Proposed Transfer Notice to the Company.
