• Isracann purchased the initial Shares and the rights to receive the Remaining Shares on behalf of Irsacann Operations Ltd., a wholly owned subsidiary of Isracann, and in order to induce Isracann to enter into the SPA and to become a shareholder in the Company the Shareholders and the Company hereby agree that this Agreement shall govern certain rights and matters as well as their relationship as shareholders of the Company, all as set forth in this Agreement.
