Transferred Company Indebtedness definition

Transferred Company Indebtedness means the aggregate amount, without duplication, of Indebtedness of each of the Transferred Companies as of the Closing Date owing to any other Person, other than to one or more Transferred Companies, determined as of 12:01 a.m. (Eastern Time) on the Closing Date (and after giving effect to the transactions contemplated hereby) plus any accrued and unpaid interest thereon. In determining Transferred Company Indebtedness, foreign currencies shall be converted into Dollars at the exchange rates as of the date of the Estimated Closing Statement.
Transferred Company Indebtedness means the aggregate amount, without duplication, of (i) all liabilities set forth on Schedule A-3 of the Disclosure Letter and (ii) any other Indebtedness of each of the Transferred Companies as of the Closing Date owing to any third Person, other than to one or more Transferred Companies, plus any accrued and unpaid interest thereon, in each case, determined as of 12:01 a.m. (Eastern Time) on the Closing Date in accordance with GAAP applied on a basis consistent with the application of such principles used in the preparation of the Balance Sheet (and after giving effect to the transactions contemplated hereby). A sample calculation of the calculation of Transferred Company Indebtedness as of December 31, 2012 is set forth on Schedule A-3 of the Disclosure Letter. In determining Transferred Company Indebtedness, foreign currencies shall be converted into U.S. dollars at the exchange in effect on the Closing Date.

  • Permitted Acquisition Indebtedness means Indebtedness (including Disqualified Stock) of the Company or any of the Restricted Subsidiaries to the extent such Indebtedness was Indebtedness:

  • Subordinated Liabilities means liabilities subordinated to the Borrower's obligations to the Bank in a manner acceptable to the Bank in its sole discretion.

  • Assumed Debt has the meaning set forth in Section 2.2.

  • Related Indebtedness means any and all indebtedness paid or payable by Borrower to Administrative Agent or any Lender pursuant to any Loan Document other than any Note.

  • Consolidated Secured Indebtedness means, as of any date of determination, Consolidated Total Debt that is secured by a Lien on any assets of Borrower and its Subsidiaries.
