Trust Shares means the common shares of beneficial interest in the Trust, par value $.01 per share, or any shares of beneficial interest in the Trust into which such common shares may be changed.

More Definitions of Trust Shares

Trust Shares means the shares of beneficial interest of the Trust where each such share represents an undivided beneficial interest in one Trust Interest; provided, that in the event that all outstanding shares of beneficial interest of the Trust are exchanged for Trust Interests in accordance with the terms of the LLC Agreement, all references herein to “Trust Shares” shall automatically be deemed to refer to Trust Interests upon such exchange.

Trust Shares means (i) 28.2 million shares of New Common Stock, which the Trust has a contingent payment right to receive pursuant to the Amended Plan, (ii) from and after the Issuance Date, such 28.2 million shares of New Common Stock issued to the Trust, (iii) any shares of New Common Stock (other than those contemplated by clauses (i), (ii) and (iv) of this definition) issued to the Trust under the Amended Plan not to exceed 300,000 shares, and (iv) any additional shares of common stock paid, issued or distributed in respect of any of the shares of the types described in clauses (i), (ii) and (iii) of this definition by way of stock dividend, stock split or distribution, or in connection with a combination of shares, recapitalization, reorganization, merger, consolidation or otherwise.

Trust Shares means the shares of the Trust, each representing one undivided beneficial interest in the assets of the Trust.

Trust Shares or "Beneficiary Shares"). The Beneficiary Shares deposited by the Beneficiary will be evidenced by duly executed certificates for such shares, accompanied with stock powers executed in favor of the Trustee. Beneficiary shall furnish the Trustee with his/her address and taxpayer identification number, all of which it shall be the obligation of the Beneficiary to keep current with the Trustee. The trustee shall furnish Beneficiary with a receipt for such Beneficiary Shares together with a true, correct and complete copy of this Trust Agreement executed by all parties. Beneficiary shall furnish the Trustee with such additional information with respect to Beneficiary and his/her Beneficiary Shares and such other matters as The Trustee may reasonably request in connection with its duties hereunder. The Grantor and Beneficiary hereby agree that, should such Beneficiary acquire or be entitled to any additional shares, options, warrants or other rights to acquire equity securities of the Grantor or any subsidiary or affiliate of the Grantor during the term of this Agreement, such shares or rights shall be automatically transferred to the Trustee in trust as set forth above to be held pursuant to the terms of this Agreement. All such present or future transferred shares or rights are included within the meaning of the "Trust Shares". Beneficiary hereby specifically instructs the transfer agent and registrar of such shares or rights to register all certificates or other evidence of ownership of Trust Shares into the name of the Trustee under this Agreement, with full powers of ownership and transfer subject to this Agreement.

Trust Shares means those equal, undivided portions into which the Beneficial Interests in the Trust Assets are divided, as evidenced on the books and records of the Trust.
