TRW Automotive Business definition

TRW Automotive Business shall have the meaning ascribed thereto in the Distribution Agreement.
TRW Automotive Business has the meaning set forth in the Master Distribution Agreement and includes any business formerly conducted by TRW Automotive, any TRW Automotive Affiliate or their respective current or former Subsidiaries, including, without limitation, the businesses formerly or currently conducted by Lxxxx Varity Ltd. and its worldwide current or former operations and what is referred to in TRW’s Form 10K for the fiscal year ending December 31, 2001 as the Automotive Segment of TRW.
TRW Automotive Business shall have the meaning ascribed thereto in the Distribution Agreement. “TRW Automotive Common Stock” shall have the meaning ascribed thereto in the Distribution Agreement.

  • After the Distribution Date, the TRW Group shall make available to the TRW Automotive Group, those of its employees whom the TRW Automotive Group may reasonably need in order to defend or prosecute any legal or administrative action to which any member of the TRW Automotive Group is a party and which relates to the conduct of the TRW Automotive Business prior to the Distribution Date.

  • Any party that is in possession of documentation of TRW (or any TRW Affiliate) or TRW Automotive (or any TRW Automotive Affiliate) relating to the TRW Automotive Business, including without limitation, books, records, Tax Returns and all supporting schedules and information relating thereto (the “TRW Automotive Business Records”) shall retain such TRW Automotive Business Records for a period of seven (7) years following the Distribution Date.

  • Thereafter, any party wishing to dispose of TRW Automotive Business Records in its possession (after the expiration of the applicable statute of limitations), shall provide written notice to the other party describing the documentation proposed to be destroyed or disposed of sixty (60) business days prior to taking such action.

  • Cannabis business means any business activity involving cannabis, including but not limited to cultivating, transporting, distributing, manufacturing, compounding, converting, processing, preparing, storing, packaging, delivering, testing, dispensing, retailing and wholesaling of cannabis, of cannabis products or of ancillary products and accessories, whether or not carried on for gain or profit.

  • Qualified business means a for-profit business that obtains services relating to that business from 30 or fewer employees or employees of independent contractors performing services substantially similar to employees during a random week in the year ending on the tax day. If a person is a unified business group as that term is defined in section 117 of the Michigan business tax act, 2007 PA 36, MCL 208.1117, the number of employees from whom services are obtained includes all employees of the unitary business group and employees of independent contractors of the unitary business group rendering services to the qualified business.

  • Women Owned Business Enterprise or "WBE" means a firm awarded certification as a women owned and controlled business in accordance with City Ordinances and Regulations as well as a firm awarded certification as a women owned business by Cook County, Illinois. However, it does not mean a firm that has been found ineligible or which has been decertified by the City or Cook County.

  • Wholesale Service means Telecommunication Services that Embarq provides at retail to subscribers who are not Telecommunications Carriers as set forth in 47 USC §251(c)(4) which Embarq provides to resellers at a wholesale rate.

  • Retained Business means any business now, previously or hereafter conducted by Seller or any of its Subsidiaries or Affiliates other than the Business.
