The Transfer Agent will furnish to the Trust, on a semi-annual basis, a SOC 1 (Type 2) Report in accordance with the Auditing Standard Board, Attestation Standards -AT Section 801, as well as such other reports and information relating to the Transfer Agent’s policies and procedures, as the parties may mutually agree upon.
Annual SOC 1 Type 2 Audit Report The NMS must submit to the MPF Provider, at its sole cost and expense, an unqualified annual service auditor’s report, commonly referred to as the Statement on Standards for Attestation Engagements, SSAE No. 16, Reporting on Controls at a Service Organization Type 2 Report (“SOC 1”), of the NMS, prepared by a certified public accountant, on or prior to December 1 of each year following the commencement of its Servicing activities under the Applicable Agreement.
The replacement Hosted Provider shall perform a SSAE 18, SOC 1 and/or SOC 2, Type 2 Report Audit Report at least annually, in accordance with Section 13.3 of this Agreement.

Vendor shall address any audit control issues or weaknesses identified in any Type 2 Report, at no cost to the Client.
The Type 2 Report will be issued semi-annually for the periods ending [December 31st] and [June 30th].
Subject to reasonable confidentiality obligations consistent with generally accepted industry practices regarding the report, once per year during the term of the Agreement Supplier will, upon request, provide SFDC with an SSAE 18 SOC 2, Type 2 Report and all other third party reports relating to Supplier’s information security obligations herein.

Upon request, Vendor shall supply Company with a copy of its most recent internal or third-party audits and/or certifications pertaining to security, availability, processing integrity, confidentiality and privacy, including but not limited to certificates issued for the ISO 27000 series, the System and Organization Controls (SOC) 1 Report and the System and Organization Controls (SOC) 2 Type 2 Report.
