  • None of Holdco’s, Merger Sub’s, Union Sky’s, Baring LP’s or Hony LP’s creditors shall have the right to enforce this Agreement or to cause Holdco, Merger Sub, Union Sky, Baring LP or Hony LP to enforce this Agreement against the New Sponsor.

  • This Agreement constitutes the sole agreement, and supersedes all prior agreements, understandings and statements, written or oral, between, CDH or any of its Affiliates, on the one hand, and Holdco, Union Sky, Baring LP, Hony LP or any of their respective Affiliates, on the other hand, with respect to the transactions contemplated hereby.
