Examples of Unit Offer in a sentence

  • If the Company terminates this Agreement for Cause or if Executive terminates this Agreement without Good Reason, then the Company shall pay Executive only his or her Base Salary due and owing through the date of termination of employment and shall have no obligation to pay any further sums to Executive other than Executive’s business expenses that shall be reimbursed in accordance with Section 4.3 above or as otherwise required under the Incentive Unit Offer Letter.

  • Nothing in this Agreement shall alter, limit, or void the respective rights and obligations of the parties with regard to any grant of incentive units to Executive under any Pluralsight Holdings, LLC Incentive Unit Offer Letter (the “Incentive Unit Offer Letter”).

  • If one or more of the Unit Offerees accept in writing the Unit Offer to purchase all but not less than all of the Subject Units, the closing of the purchase and sale pursuant to such acceptance shall take place at the offices of FCP and Xxxxxxxx Partners on the date set forth in the Unit Offer Letter, or at such other place or on such other date as the applicable parties may agree or such later date as may be necessary to obtain any required Gaming Licenses and other regulatory approvals.

  • If the Offers and the Trust Unit Offer are withdrawn, the Offeror shall not be obligated to, nor shall it take-up or pay for, any APIF Securities deposited under the Offers and the Trust Unit Offer and the Depositary will promptly return the certificates representing deposited securities and related documents to the parties by whom they were deposited.

  • The application by the Fund to The Toronto Stock Exchange to list and post for trading up to 31,720,090 Algonquin Units issuable pursuant to the Trust Unit Offer, is hereby approved by the Corporation as the administrator and manager of the Fund, and any one officer or director of the Corporation as the administrator and manager of the Fund is hereby authorized and directed to take all such actions and do all such things as may be necessary in connection with such application.

  • Market/Offer Price means the highest of (i) the price per share of Common Stock at which a tender or exchange offer therefor has been made, (ii) the price per share of Common Stock to be paid by any third party pursuant to an agreement with Issuer, (iii) the highest closing price for shares of Common Stock within the six-month period immediately preceding the date the Holder gives notice of the required repurchase of this Option or the Owner gives notice of the required repurchase of Option Shares, as the case may be, or (iv) in the event of a sale of all or any substantial part of Issuer's assets or deposits, the sum of the net price paid in such sale for such assets or deposits and the current market value of the remaining net assets of Issuer as determined by a nationally recognized investment banking firm selected by the Holder or the Owner, as the case may be, and reasonably acceptable to Issuer, divided by the number of shares of Common Stock of Issuer outstanding at the time of such sale. In determining the market/offer price, the value of consideration other than cash shall be determined by a nationally recognized investment banking firm selected by the Holder or Owner, as the case may be, and reasonably acceptable to Issuer.

  • Initial Offer Price means the initial price payable for a Share as specified in the relevant Supplement for each Fund.
