Unrestricted Global Certificate definition

Unrestricted Global Certificate means a Global Certificate representing Notes sold outside the United States in reliance on Regulation S; and

Unrestricted Global Certificate means a Global Certificate that is not a Restricted Global Certificate.

Unrestricted Global Certificate means the unrestricted Global Certificate in or substantially in the form set out in Part 2 of Schedule 2 to the Trust Deed.

• The Restricted Bonds initially will be evidenced by the Restricted Global Certificate, registered in the name of a nominee for DTC and deposited with the DTC Custodian, and the Unrestricted Bonds initially will be evidenced by the Unrestricted Global Certificate, registered in the name of or a nominee for, and deposited with a common depositary for, Euroclear and Clearstream, Luxembourg (as further described in "Summary of Provisions relating to the Bonds while in Global Form").

• Notes offered and sold outside the United States in reliance on Regulation S will be represented by interests in an Unrestricted Global Certificate, in registered form, without interest coupons attached.

• Following any such acquisition of direct rights, the Global Note or, as the case may be, the Unrestricted Global Certificate and the corresponding entry in the register kept by the Registrar will become void as to the specified portion or Registered Notes, as the case may be.

• If an Unrestricted Global Certificate is held under the NSS, the Issuer shall procure that details of each such payment shall be entered pro rata in the records of the relevant clearing system and in the case of payments of principal, the nominal amount of the Notes recorded in the records of the relevant clearing system and represented by such Unrestricted Global Certificate will be reduced accordingly.

• If the Pricing Supplement states that the Notes are to be represented by an Unrestricted Global Certificate on issue, the following will apply in respect of transfers of Notes held in Euroclear, Clearstream, Luxembourg, CDP or an Alternative Clearing System.

Unrestricted Global Certificate means the Certificates of each Series offered and sold in reliance on Regulation S, which will be sold to persons who are not U.S. persons outside the United States, in registered form.
