Upon Licensee s written request, Licensor will execute a Site License Agreement with respect to a specific proposed Licensed Plant if: (a) Licensee has a Participating Interest in the proposed Licensed Plant as represented in a Request for Site License Agreement (ATTACHMENT 1); (b) Licensee is current on all payments due under prior Site License Agreements for all Licensed Facilities under this Agreement in accordance with their respective terms; (c) there is not a material default under this Agreement for which Licensee is responsible resulting from or affecting more than one Licensed Plant; and (d) no Person having a Participating Interest in the proposed Licensed Plant is in material default under any agreement relating to Licensor Technology. Until such time as the above conditions are satisfied, Licensee shall have no right or license to use Licensor Technology at the proposed Licensed Plant.

Upon Licensee s default, Licensor shall give Licensee writing notice stating the nature of the default and Licensor's intent to terminate the Term. Licensee shall have thirty (30) days (except for defaults under Section 9.3(a), in which case Licensee shall have five (5) days) from receipt of such written notice to cure the alleged default. If Licensee fails to cure within the time frame set forth above for the default in question, the Term shall terminate upon the expiration of the relevant cure period, without the need for Licensor to provide any additional notice; provided, however, that, to the extent any such default under Sections 9.3(e) is curable but not within such thirty (30)-day period, and Licensee is diligently proceeding to cure such default, such default will not constitute grounds for termination if it is cured within ninety (90) days from the date the notice of default was given. Notwithstanding anything to the contrary contained herein, (i) Licensor shall not have the right to terminate this Agreement by reason of a trivial, but non-curable, breach of this Agreement by Licensee and (ii) any cure period specified herein may be mutually extended by written agreement of the parties hereto.

Upon Licensee s reasonable advance written request, the Licensee Engineer(s) specified in such request shall be available to assist Licensee in the installation, maintenance, modification or any other exploitation of the Programs. The services of each of the Licensor Engineers will be used in minimum increments of one (1) day.
