Subject to the other terms of this Agreement, the Parties agree to execute and deliver such other instruments and perform such acts, in addition to the matters herein specified, as may be reasonably appropriate or necessary, or as may be required by the Consent Solicitation, any Order of any of the English Court, the Brazilian Bankruptcy Court or U.S. Bankruptcy Court, from time to time, to effectuate the Restructuring, as applicable.
This Agreement, or any provision hereof, may be waived or amended, on no less than 5 days’ notice, only by means of a writing signed by all Parties, and approved, in writing, by the Committee, the Bondholder Group (as defined in the U.S. Bidding Procedures Order) and the Monitor, which amendments, if material in the judgment of the Parties, must be approved by the Canadian Court and the U.S. Bankruptcy Court.

More Definitions of U.S. Bankruptcy Court

U.S. Bankruptcy Court means the United States Bankruptcy Court for the Eastern District of Michigan, Southern Division.

U.S. Bankruptcy Court shall have the meaning provided in the recitals to this Agreement.

U.S. Bankruptcy Court means the United States Bankruptcy Court for the District of Delaware (or such other court with authority over the Chapter 11 Cases; and

U.S. Bankruptcy Court means the United States Bankruptcy Court for the Southern District of New York or, if such court ceases to exercise jurisdiction over these proceedings, the court or adjunct thereof that exercises jurisdiction over the Chapter 11 Case.

U.S. Bankruptcy Court means the United States Bankruptcy Court having jurisdiction over the Chapter 11 Cases;

U.S. Bankruptcy Court has the meaning set forth in the recitals.
