  • United States federal income tax law generally requires that a Shareholder (other than a corporation) that is a United States person for U.S. federal income tax purposes (a “U.S. Shareholder”) who receives New Vasogen Shares or New IPC Shares, as applicable, in exchange for Shares must provide the Depositary with his or her correct Taxpayer Identification Number (“TIN”), which, in the case of a Shareholder who is an individual, is generally the individual’s social security number.

  • Amalco Shares means the common shares in the capital of Amalco;

  • Purchaser Shares means the common shares in the capital of the Purchaser.
