  • All Vasogen Shares issuable upon the exercise of rights under the Vasogen Options, the Vasogen Deferred Share Unit Plan, and the Vasogen Warrants have been duly authorized and, upon issuance, will be duly authorized and validly issued as fully paid and non-assessable and are not and will not be subject to, or issued in violation of, any pre-emptive rights.

  • As of July 31, 2009, there were issued and outstanding 22,623,195 Vasogen Shares and an aggregate of up to 8,514,495 Vasogen Shares were issuable pursuant to the Vasogen Rights (of which up 7,094,973 Vasogen Shares were issuable upon exercise of the Vasogen Warrants).

  • Except as set forth in this Agreement, there are no options, warrants or other rights, agreements or commitments of any character whatsoever requiring the issuance, sale or transfer by Vasogen of any securities of Vasogen (including Vasogen Shares) or any securities convertible into, or exchangeable or exercisable for, or otherwise evidencing a right to acquire, any securities of Vasogen (including Vasogen Shares).
