Vested Awards definition

Vested Awards means an Award which has become vested in accordance with the provisions of the Plan and applicable Award Agreement or in respect of which the vesting date has been accelerated pursuant to Section 4(c), Section 8 or Section 9 of the Plan.
Vested Awards means Vested Options and Vested Restricted Stock.
Vested Awards means the total number of vested LTIP Awards held by a Participant at the time of the Payment Event.

Examples of Vested Awards in a sentence

  • Vested Awards, to the extent unexercised, shall expire one month after the termination of employment.

  • Vested Awards, to the extent unexercised, shall expire one year after the termination of employment.

  • All other outstanding awards granted to the Eligible Executive under the LTIP on and after February 17, 2009, and any Time Vested Awards that provide for a deferral of compensation within the meaning of Code Section 409A, shall be payable, if at all, in accordance with the terms of the LTIP and the applicable award (and, if applicable, deferral) agreements.

  • Vested Awards must be exercised by delivering to the Company a signed notice together all other required documents and in the case of vested Options, a cheque or cash or such other form of payment determined by the Board for the amount of the Exercise Price (if any).

More Definitions of Vested Awards

Vested Awards means the total number of vested LTIP Awards held by a Participant at the time of the Payment Event.The Payment Event Share Value shall be determined by a Neutral Accounting Firm, unless such value is readily ascertainable in connection with the Change in Control. Without limiting any of the foregoing, should all or a portion of the consideration to be received by the holders of Class E Stock, in connection with a Change in Control be contingent on occurrence of any future event(s) (including earn-out based consideration), the Committee shall have full, complete and unlimited discretion to determine at the time of a Change in Control, the monetary value, if any, of such contingent consideration for purposes of this Plan. In making such determination the Committee may consider, without limitation, the probability of such contingent consideration being received and the present value of such contingent consideration.An LTIP Award shall have no value and no payment shall be made in connection with such LTIP Award if the Payment Event Share Value does not exceed the 12% Threshold. Several examples of calculations of the Payment Amount under various scenarios are attached hereto as Exhibit B. Exhibit B shall be used for demonstration purposes and should it conflict with Plan provisions, Plan provisions shall control.

Related to Vested Awards

  • Performance Shares means Shares or an Award denominated in Shares which may be earned in whole or in part upon attainment of performance criteria established by the Administrator.

  • PSUs means the outstanding performance share units governed by the performance share unit plan of the Company dated December 16, 2013, as amended from time to time;

  • Deferred Stock Award means Awards granted pursuant to Section 8.

  • Deferred Stock Units means the number of hypothetical Shares subject to an Election.

  • Performance Units means an Award which may be earned in whole or in part upon attainment of performance criteria established by the Administrator and which may be settled for cash, Shares or other securities or a combination of cash, Shares or other securities as established by the Administrator.

  • Phantom Stock Award means an Award granted under Paragraph X of the Plan.

  • Performance Stock Award means a Stock Award granted under the terms and conditions of Section 6(c)(i).

  • Prior Plan Award means an award outstanding under the Prior Plan as of the Effective Date.

  • Equity Awards will mean Executive’s outstanding stock options, stock appreciation rights, restricted stock units, performance shares, performance stock units and any other Company equity compensation awards.

  • SARS means the South African Revenue Service.

  • RSUs means restricted stock units.

  • Bonus Stock Award means an award of Bonus Stock under this Plan.

  • Phantom Shares means an Award of the right to receive Shares issued at the end of a Restricted Period which is granted pursuant to Section 6(e) of the Plan.

  • Performance Awards means Performance Units, Performance Shares or either or both of them.

  • Performance Share Units means Performance Share Units granted to an Eligible Individual under Section 9.1(b).

  • Deferred Stock Unit means a right granted to a Participant under Article 9 to receive Shares (or the equivalent value in cash or other property if the Committee so provides) at a future time as determined by the Committee, or as determined by the Participant within guidelines established by the Committee in the case of voluntary deferral elections.

  • Deferred Stock means a right to receive a specified number of shares of Stock during specified time periods pursuant to Article 8.

  • Share Units means the hypothetical Shares that are credited to the Share Unit Accounts in accordance with Section 5.3.

  • Other Share-Based Awards means Awards consisting of Share units, or other Awards, valued in whole or in part by reference to, or otherwise based on, Shares.

  • Phantom Stock Award Agreement means a written agreement between the Company and a Holder with respect to a Phantom Stock Award.

  • Restricted Award means any Award granted pursuant to Section 7.2(a).

  • Phantom Stock means a right granted to an Eligible Individual under Section 12 representing a number of hypothetical Shares.

  • RSU means a contractual right granted pursuant to Section 9 that is denominated in Shares. Each RSU represents a right to receive the value of one Share (or a percentage of such value) in cash, Shares or a combination thereof. Awards of RSUs may include the right to receive dividend equivalents.

  • Performance Share Award means an Award entitling the recipient to acquire shares of Stock upon the attainment of specified Performance Goals.

  • Performance Stock Unit means a right granted to a Participant pursuant to Section 8.2, to receive Stock, the payment of which is contingent upon achieving certain Performance Goals or other performance-based targets established by the Committee.

  • Awards means Options, RSUs and PSUs granted to a Participant pursuant to the terms of the Plan;
