Vesting Base Date definition

Vesting Base Date means the Grant Date or such other date selected by the Plan Administrator as the date from which an Option begins to vest for purposes of Section 7.4.

Examples of Vesting Base Date in a sentence

  • The parties hereby establish the date set forth in Item E above as the Vesting Base Date (as defined in Section 5.1 below).

  • For shares of the Company’s Common Stock hereafter acquired by the Executive from the Company, but not issued pursuant to an Option, the Vesting Base Date shall be the date of acquisition of such shares.

  • For shares of the Company’s Common Stock issued upon exercise by the Executive of an option to purchase shares of the Common Stock (an “Option”), the Vesting Base Date shall be the vesting base date set forth in the Option agreement/notice of exercise.

  • For so long as Optionee is providing continuous “Service” to the Corporation (as defined in the Plan), this option shall vest as to % of the total Shares subject to the option on the date that is from the Vesting Base Date, then an additional 1/ of such total Shares shall vest after the passage of each full thereafter (assuming continued provision of Service by Optionee), so that the option shall be fully vested on .

  • The Right of Repurchase shall expire with respect to 1/48 of the total number of NQO Shares on each monthly anniversary of the Vesting Base Date, so that the Right of Repurchase shall have expired with respect to all of the NQO Shares on and after four years after the Vesting Base Date.

  • This option will no longer be exercisable on the 10th anniversary of the Vesting Base Date.

  • The Right of Repurchase shall expire with respect to 25% of the total number of ISO Shares one year after the Vesting Base Date and with respect to an additional 1/48 of the total number of ISO Shares on the monthly anniversary of the Vesting Base Date of each month thereafter, so that the Right of Repurchase shall have expired with respect to all of the ISO Shares on and after four years after the Vesting Base Date.

Related to Vesting Base Date

  • Vesting Date has the meaning set forth in Section 3.10(c)(ii).

  • Measurement Date has the meaning set forth in Section 3.3(a).

  • Performance Date means June 30, 2027. If the Locality, in consultation with VEDP, deems that good faith and reasonable efforts have been made and are being made by the Company to achieve the Targets, on or before the Performance Date the Locality may request an extension of the Performance Date by up to 15 months. Any extension of the Performance Date shall require the prior approval of the Company and the Board of Directors of VEDP (the “Board”). If the Performance Date is extended, the Locality shall send written notice of the extension to the Authority, the Company and VEDP and the date to which the Performance Date has been extended shall be the “Performance Date” for the purposes of this Agreement.

  • Service Date or "SD" means the date service is made available to the End User Customer. This also is referred to as the "Due Date."

  • Vesting Commencement Date means the Grant Date or such other date selected by the Committee as the date from which an Award begins to vest.
