  • ParentCo hereby guarantees, for the express benefit of the VF Owners, the performance by VF Opco and, in the event of a ParentCo Election, any other applicable subsidiary of ParentCo of all of their respective obligations hereunder.

  • New Owner means, collectively, the HDFC and the Company.
