In the Field and outside the Field, the Co-Owners are free to use the Know-How for any purpose whatsoever.
In the event Licensee can reasonably consider that the clinical research under sponsorship of one of the Co-Owners could conflict with Licensee’s strategy regarding the Development Activities, it shall inform the Co-Owner who then undertakes to take into account any reasonable comments from Licensee, provided said comments do not affect the independence of the Co-Owner in charge of the conduct of the clinical research.
Licensee shall not enter into any settlement agreement stating any fault on behalf of Inserm Transfert and/or the Co-Owners or which may otherwise adversely affect Inserm Transfert and/or the Co-Owners without obtaining their prior consent.
The Co-Owners shall then file the SPC application within two (2) months of receipt of the copy of the MA, failing which, Licensee may itself file the SPC application, in coordination with Inserm Transfert.
Inserm Transfert and the Co-Owners do not offer any other warranties of any kind, express or implied.
