Voting Subscriber definition

Voting Subscriber means a Person who, on the Voting Record Date, is (i) a Person who is a named insured under a Qualifying Policy issued by PPIX that is a group policy, or (ii) a Person who is a named insured under a Qualifying Policy issued by PPIX that is an individual policy.
Voting Subscriber shall, for each of the Exchanges, have the meaning given to such term in the Plan of Conversion for such Exchange.

  • 10% Shareholder means a person who owns, directly or indirectly, stock possessing more than 10% of the total combined voting power of all classes of stock of the Company or any Parent or Subsidiary of the Company. Indirect ownership of stock shall be determined in accordance with Code Section 424(d).

  • Soliciting Shareholder means, with respect to any Special Meeting demanded by a shareholder or shareholders, any of the following Persons:
