  • The number of shares of WABCO Common Stock subject to the WABCO Restricted Stock Unit will be equal to the number of shares of ASD Common Stock subject to the ASD Restricted Stock Unit immediately prior to the Effective Time multiplied by a fraction, the numerator of which is the ASD Closing Price and the denominator of which is the Opening WABCO Stock Price.
