Wakala Portfolio definition

Wakala Portfolio means: (a) the Initial Wakala Portfolio; and (b) from the time of any acquisition of a Wakala Asset on the Trustee’s behalf or substitution of a Wakala Asset in accordance with the Service Agency Agreement or the Sale Undertaking, the Eligible Wakala Asset(s) so acquired or substituted for the relevant Wakala Asset but shall not include: (i) the Wakala Asset so substituted, or (ii) in the case of (a) or(b) above, any obligations or liabilities of JAFZ in respect of any such assets, or (iii) from the time of any other transfer of a Wakala Asset to JAFZ in accordance with the Sale Undertaking or purchase of a Wakala Asset by JAFZ pursuant to the Purchase Undertaking, the Wakala Asset so transferred or purchased;
Wakala Portfolio has the meaning given to it in the Service Agency Agreement.
Wakala Portfolio means the Wakala Assets and all other rights arising under or with respect to the Wakala Assets (including the right to receive payment of rental and any other amounts due in connection with the Wakala Assets).

Examples of Wakala Portfolio in a sentence

  • Pursuant to the Purchase Agreement, the Seller will sell a portfolio (the Wakala Portfolio) of certain assets (the Wakala Assets) specified in the Supplemental Purchase Contract to the Trustee and the Trustee will purchase the Wakala Portfolio using the proceeds of the issue of the Certificates.

  • The Trustee has also entered into the Management Agreement with the Managing Agent as managing agent of the Wakala Portfolio.

  • Pursuant to the Management Agreement, the Managing Agent shall receive and accumulate all Wakala Portfolio Income Revenues for each Series and shall record the same in the relevant Collection Account.

  • If Optional Dissolution (Call) is specified in the applicable Final Terms as being applicable, MAF Properties may, by exercising its option under the Sale Undertaking and serving notice on the Trustee no later than 60 days prior to the Optional Dissolution Date, oblige the Trustee to sell all of its rights, title, interests, benefits and entitlements in, to and under the Wakala Portfolio on the Optional Dissolution Date.

  • If any Wakala Asset is a Self-Use Asset (as defined in the Master Purchase Agreement), the Trustee (acting in its capacity as Lessor) will lease such assets to MAF Properties (acting in its capacity as Lessee) pursuant to a Supplemental Lease Contract and, in respect of any Self-Use Asset that enters the Wakala Portfolio after the date of the Supplemental Lease Contract, an addendum to the Supplemental Lease Contract.

  • Following any purchase of Certificates by or on behalf of the Obligor or any of its Subsidiaries pursuant to this Condition 12.7, the Sale Undertaking may be exercised by the Obligor in respect of the transfer to the Obligor of the relevant portion of the Wakala Portfolio with an aggregate Value not greater than the aggregate face amount of the Certificates so purchased against cancellation of such Certificates pursuant to Condition 12.8.

  • MAF Properties has entered into the Purchase Undertaking in favour of the Trustee and the Delegate to purchase all of the Trustee’s rights, title, interests, benefits and entitlements in, to and under the Wakala Portfolio on the Scheduled Dissolution Date or, if earlier, on the due date for dissolution in accordance with Condition 14 at the Dissolution Amount specified in the applicable Final Terms.

  • Upon the occurrence of a Total Loss Event, all of the Wakala Portfolio Revenues credited to the Collection Accounts (each as defined in the Management Agreement) will immediately be paid by the Managing Agent into the Transaction Account.

  • Majid Al Futtaim Properties has entered into the Purchase Undertaking in favour of the Trustee and the Delegate to purchase all of the Trustee’s rights, title, interests, benefits and entitlements in, to and under the Wakala Portfolio on the Scheduled Dissolution Date or, if earlier, on the due date for dissolution in accordance with Condition 14 at the Dissolution Amount specified in the applicable Final Terms.

  • The Service Agent agrees and acknowledges that any return arising from a Wakala Portfolio shall be recorded by crediting it to the Wakala Reserve Account (as described below).


More Definitions of Wakala Portfolio

Wakala Portfolio means, in respect of each Series, the Initial Wakala Portfolio together with any Eligible Wakala Asset which may have been substituted for any Initial Wakala Asset or otherwise acquired from time to time in accordance with the Management Agreement, the related Wakala Investment Plan, excluding, for the avoidance of doubt, any Wakala Cancellation Assets (as such term is defined in the Sale Undertaking Deed) or Wakala Change of Control Assets (as such term is defined in the Purchase Undertaking Deed);

Related to Wakala Portfolio

  • Current Portfolio At any time, the portfolio of Collateral Obligations and Cash and Eligible Investments representing Principal Proceeds (determined in accordance with Section 1.3 to the extent applicable), then held by the Issuer.

  • Selling Portfolio has the meaning specified in Section 2.10;

  • Product Portfolio means a set of information related to the DS Offerings available at xxxx://xxx.0xx.xxx/terms/product-portfolio.

  • Mortgage Receivable means a promissory note secured by a Mortgage of which the Borrower or a Subsidiary is the holder and retains the rights of collection of all payments thereunder.
