Window Periods definition

Window Periods means the First Window Period, Second Window Period, Third Window Period, Fourth Window Period, Fifth Window Period and Sixth Window Period collectively, each as defined in paragraph 1.3 and as may be deferred pursuant to paragraph 1.4.
Window Periods mean the 90-day periods beginning on (i) the Change in Control Date (the "First Window Period"), or (ii) if the Executive has not exercised his right to terminate his employment during the First Window Period, the one-year anniversary of the Change in Control Date (the "Second Window Period"). For purposes of this Agreement, "Good Reason" means:

  • Ascend shall use its best efforts to keep ------------------ effective the Registration Statement during Window Periods (subject to the right of Ascend to suspend use of a prospectus pursuant to this Agreement).

  • Executive's personal representatives shall have the right to exercise the Option at any time after Executive's death without regard to the Window Period set forth in Section 2.5, provided that the person exercising the Option is not himself or herself an executive officer of the Company subject to limitations on the sale and purchase of Common Stock during Window Periods.

  • Notwithstanding any other provision of this Agreement to the contrary, Ascend shall not be required to keep the Registration Statement effective at any times other than during Window Periods.

Related to Window Periods

  • Window Period means the 3 consecutive calendar month period prior to the Scheduled Maturity Date.

  • Post-Termination Exercise Period means the period following termination of a Participant’s Continuous Service within which an Option or SAR is exercisable, as specified in Section 4(h).

  • Termination Period means the period of time beginning with a Change in Control and ending on the earlier to occur of (1) two years following such Change in Control or (2) the Executive’s death.

  • Stated Termination Date means, with respect to the Revolving Credit Facility, March 4, 2027 and, with respect to any Extended Revolving Credit Facility, the maturity date set forth in the Extension Agreement related thereto.

  • Delivery Period Termination Date Has the meaning specified in the Related Pass Through Trust Supplement.
