With just cause means: (i) the conviction of the commission of any crime involving dishonesty or resulting in imprisonment without the option of a fine, (ii) the material non-observance or material breach by Employee of any of the material provisions of this Agreement, or (iii) the neglect, failure or refusal of Employee to carry out the duties properly assigned to him after due notice to the Employee of such neglect, failure or refusal.
