• Xxxxxxx agrees to pay all costs, expenses, liabilities and damages (including reasonable attorneys' fees) incurred or paid in settlement by the Xxxxxxx Indemnified Parties in connection with any Xxxxxxx Indemnified Claim.

• With the exception of the Parties to this Agreement, the Xxxxxxx Indemnified Parties and the Halex Indemnified Parties, there shall exist no right of any Person to claim a beneficial interest in this Agreement or any rights occurring by virtue of this Agreement.

• Xxxxxxx shall defend, indemnify and hold FGRS and its directors, officers, employees, shareholders and agents (the "Xxxxxxx Indemnified Parties") harmless, from and against any and all claims, suits or actions arising out of this Agreement to the extent such claim, suit or action is a result of the negligent, wrongful or intentional act of Xxxxxxx (collectively, the "Xxxxxxx Indemnified Claim").

• Xxxxxxx shall use reasonable good faith efforts to cause all Xxxxxxx Indemnified Parties to cooperate with such attorneys in the defense of any such actions.
