• In addition to the millage assessment which is projected to produce $345,310 during the current year, $100,000 has been provided from municipal general revenue.

• Xxxxxxx agrees to pay all costs, expenses, liabilities and damages (including reasonable attorneys' fees) incurred or paid in settlement by the Xxxxxxx Indemnified Parties in connection with any Xxxxxxx Indemnified Claim.

• Once the aggregate amount of Losses under Section 11(a)(i) or 11(b)(i), as applicable, exceeds the Deductible, the Xxxxxxx Indemnified Parties or the Nordson Indemnified Parties, as applicable, shall be entitled to indemnification for the amount of the Losses in excess of the Deductible.

• Licensee agrees, at its own expense and after receipt of prompt written notice, to provide attorneys reasonably acceptable to Xxxxxxx to defend against any actions brought or filed against any of the Xxxxxxx Indemnified Parties with respect to the subject of indemnity contained in Subsection 5.05.01, whether or not such actions are rightfully brought.

• Policy as discourse approaches recognises that different policymakers have varied perceptions of the problem, which may influence the suggested solutions.

• The con-sum-ma-tion by the Xxxxxxx Indem-ni-fied Par-ties of the Initial Completion Date with knowl-edge of a breach of war-ranty or covenant or mis-rep-resen-tation by any party hereto shall not con-sti-tute a waiver of any claim for the Xxxxxxx'x Indemni-fied Parties' Damages with respect to such breach or misrep-re-sentation.
