Xxxxxxx Subsidiary definition

Xxxxxxx Subsidiary means Louisiana Acquisition Sub, Inc., a Delaware corporation.

Xxxxxxx Subsidiary or "Xxxxxxx Subsidiaries" when used with respect to any party means any corporation, partnership, joint venture, business trust or other entity, of which such party directly or indirectly owns or controls at least a majority of the securities or other interests having by their terms ordinary voting power to elect a majority of the board of directors or others performing similar functions with respect to such corporation or other organization or a majority of the economic interest in such entity.

Xxxxxxx Subsidiary shall have the meaning set forth in the recitals hereto.

All such Tax Returns were and are in all material respects true, complete, and correct and filed on a timely basis. To Xxxxxxx'x Knowledge, no claim has ever been made by any authority in any jurisdiction in which Xxxxxxx does not file Tax Returns that Xxxxxxx is or may be subject to taxation by that jurisdiction.
