Υπεργολαβία. Ο οικονομικός φορέας αναφέρει στην προσφορά του το τμήμα της σύμβασης που προτίθεται να αναθέσει υπό μορφή υπεργολαβίας σε τρίτους, καθώς και τους υπεργολάβους που προτείνει. Στην περίπτωση που o προσφέρων αναφέρει στην προσφορά του ότι προτίθεται να αναθέσει τμήμα(τα) της σύμβασης υπό μορφή υπεργολαβίας σε τρίτους σε ποσοστό που υπερβαίνει το τριάντα τοις εκατό (30%) της συνολικής αξίας της σύμβασης, η αναθέτουσα αρχή ελέγχει ότι δεν συντρέχουν οι λόγοι αποκλεισμού της παραγράφου 2.

Υπεργολαβία. 4.4.1. Ο συμβαλλόμενος στη Σύμβαση/ανάδοχος δεν απαλλάσσεται από τις συμβατικές του υποχρεώσεις και ευθύνες λόγω ανάθεσης της εκτέλεσης τμήματος/τμημάτων της σύμβασης σε υπεργολάβους. Η τήρηση των υποχρεώσεων της παρ. 2 του άρθρου 18 του Ν. 4412/2016 από υπεργολάβους δεν αίρει την ευθύνη του κυρίου αναδόχου. 4.4.2. Κατά την υπογραφή της σύμβασης ο κύριος ανάδοχος υποχρεούται να αναφέρει στην αναθέτουσα αρχή το όνομα, τα στοιχεία επικοινωνίας και τους νόμιμους εκπροσώπους των υπεργολάβων του, οι οποίοι συμμετέχουν στην εκτέλεση αυτής, εφόσον είναι γνωστά τη συγκεκριμένη χρονική στιγμή. Επιπλέον, υποχρεούται να γνωστοποιεί στην αναθέτουσα αρχή κάθε αλλαγή των πληροφοριών αυτών, κατά τη διάρκεια της σύμβασης, καθώς και τις απαιτούμενες πληροφορίες σχετικά με κάθε νέο υπεργολάβο, τον οποίο ο κύριος ανάδοχος χρησιμοποιεί εν συνεχεία στην εν λόγω σύμβαση, προσκομίζοντας τα σχετικά συμφωνητικά/δηλώσεις συνεργασίας. Σε περίπτωση διακοπής της συνεργασίας του Αναδόχου με υπεργολάβο/ υπεργολάβους της σύμβασης, αυτός υποχρεούται σε άμεση γνωστοποίηση της διακοπής αυτής στην Αναθέτουσα Αρχή, οφείλει δε να διασφαλίσει την ομαλή εκτέλεση του τμήματος/ των τμημάτων της σύμβασης είτε από τον ίδιο, είτε από νέο υπεργολάβο τον οποίο θα γνωστοποιήσει στην αναθέτουσα αρχή κατά την ως άνω διαδικασία. 4.4.3. Η αναθέτουσα αρχή επαληθεύει τη συνδρομή των λόγων αποκλεισμού για τους υπεργολάβους, όπως αυτοί περιγράφονται στην παράγραφο 2.2.3 και με τα αποδεικτικά μέσα της παραγράφου

Θ ανακζτουςα αρχι επαλθκεφει τθ ςυνδρομι των λόγων αποκλειςμοφ για τουσ υπεργολάβουσ, όπωσ αυτοί περιγράφονται ςτθν παράγραφο 2.2.3 και με τα αποδεικτικά μζςα τθσ παραγράφου 2.2.8.2 τθσ παροφςασ, εφόςον το(α) τμιμα(τα) τθσ ςφμβαςθσ, το(α) οποίο(α) ο ανάδοχοσ προτίκεται να ανακζςει υπό μορφι υπεργολαβίασ ςε τρίτουσ, υπερβαίνουν ςωρευτικά το ποςοςτό του τριάντα τοισ εκατό (30%) τθσ ςυνολικισ αξίασ τθσ ςφμβαςθσ. Επιπλζον, προκειμζνου να μθν ακετοφνται οι υποχρεϊςεισ τθσ παρ. 2 του άρκρου 18 του ν. 4412/2016, δφναται να επαλθκεφςει τουσ ωσ άνω λόγουσ και για τμιμα ι τμιματα τθσ ςφμβαςθσ που υπολείπονται του ωσ άνω ποςοςτοφ.

  • Licensee Obligations 3.1 The Licensee is responsible for the installation, operation and maintenance of telecommunication lines, equipment, software and other arrangements necessary for the Licensee to receive the Licensed Data from the LME. 3.2 The Licensee shall comply with the terms of any notified and commercially reasonable policy issued by the LME regarding the use of LME Data, including where applicable, any requirements to report to the LME and/or pay fees to the LME in respect of certain transactions undertaken by the Licensee using LME Data, or as otherwise required under the terms of such policy. 3.3 The Licensee shall procure and ensure the Licensee Personnel's compliance with the terms of this Agreement, and shall be entirely liable and responsible for any non-compliance and loss relating to such non-compliance (such being considered a breach by the Licensee).

  • No Other Securities Except for (a) the conversion privileges of the Series A Preferred Shares, the Series B Preferred Shares, the Series C Preferred Shares, the Series D1 Preferred Shares, the Series E Preferred Shares, the Series E1 Preferred Shares and the Series F Preferred Shares, (b) certain rights provided in the Charter Documents of the Company as currently in effect, (c) certain rights provided in the Memorandum and Articles, the Shareholders Agreement, and the Right of First Refusal and Co-Sale Agreement from and after the Closing, and (d) the outstanding Equity Securities set forth in Section 3.2(i) of the Disclosure Schedule, (1) there are no and at the Closing there shall be no other authorized or outstanding Equity Securities of any Group Company; (2) no Equity Securities of any Group Company are subject to any preemptive rights, rights of first refusal (except to the extent provided by applicable PRC Laws) or other rights to purchase such Equity Securities or any other rights with respect to such Equity Securities, and (3) no Group Company is a party or subject to any Contract that affects or relates to the voting or giving of written consents with respect to, or the right to cause the redemption, or repurchase of, any Equity Security of such Group Company. Except as set forth in the Shareholders Agreement (from and after the Closing), the Company has not granted any registration rights or information rights to any other Person, nor is the Company obliged to list, any of the Equity Securities of any Group Companies on any securities exchange. Except as contemplated under the Transaction Documents, there are no voting or similar agreements which relate to the share capital or registered capital of any Group Company.

  • Employee Obligation Provider shall require all employees and agents who have access to Student Data to comply with all applicable provisions of this DPA with respect to the data shared under this DPA. Provider agrees to require and maintain an appropriate confidentiality agreement from each employee or agent with access to Student Data pursuant to the DPA.

  • No Other Rights Except for the rights expressly granted under this Agreement, no right, title, or interest of any nature whatsoever is granted whether by implication, estoppel, reliance, or otherwise, by a Party to the other Party. All rights with respect to Information, Patent or other intellectual property rights that are not specifically granted herein are reserved to the owner thereof.

  • Transferee Obligations Each person (other than the Corporation) to whom the Purchased Shares are transferred by means of a Permitted Transfer must, as a condition precedent to the validity of such transfer, acknowledge in writing to the Corporation that such person is bound by the provisions of this Agreement and that the transferred shares are subject to the Repurchase Right to the same extent such shares would be so subject if retained by Participant.

  • Licensee’s Obligations 3.1 The Licensee shall pay the Licence Fee in advance on or before the 7th day of each English calendar month. 3.2 The Licensee shall observe, perform, conform and comply with and carry out at its own cost in so far as the Licensed Premises are concerned, terms and conditions thereof and provisions, requirements of such acts, rules, regulations, notifications and notices which may, from time to time, be or made applicable or may be issued and certified in respect of the Licensed Premises by Union of India, State of Maharashtra, Municipal Corporation of Greater Mumbai and/or any local or public authority (except such of the provisions and requirements thereof as may involve structural alteration in the Licensed Premises or any part thereof) and shall, at all times indemnify and keep always indemnified the Licensor from and against all liabilities, costs, charges and expenses in respect of non-observance, non-performance and non-compliance thereof. 3.3 The Licensee will keep the interior of the Licensed Premises and every part thereof including doors, windows, shutters, pipes, including existing false ceiling, air conditioning ducting etc., and all additions and improvements therein and thereto in good and substantial repair and condition, (subject to reasonable wear and tear) save and except any such items as have been removed with prior approval of the Licensor. 3.4 In the event, the Licensee as a corporate entity, undertakes any restructuring resulting in formation of subsidiaries of the Licensee, the Licensee may be permitted to extend the use and occupation of the Licensed Premises to such of its subsidiaries so far as the such subsidiaries are in the same line of business as the Licensee and that the permission by the Licensor to extend the use and occupation of the Licensed Premises is at the absolute discretion of the Licensor and with the Licensor's prior express written consent which consent shall not be unreasonably withheld. Provided however, the Licensee shall promptly notify the Licensor of the use of the Licensed Premises by such subsidiaries. 3.5 The Licensee shall use the Licensed Premises without in any manner disturbing and/or interfering with the activities and business of the Licensor or its associates or its subsidiary companies or any other persons authorised by the Licensor in that regard. 3.6 The Licensee shall take all steps reasonably deemed necessary for protecting the Licensed Premises 3.7 The Licensee shall take utmost care in using the Licensed Premises and shall use the Licensed Premises only for the business of the Licensee and in a lawful manner and for no other purpose. 3.8 The Licensee shall keep the Licensed Premises and every part thereof in clean and tidy condition. The Licensee shall not keep anything in or around the Licensed Premises, which shall always be kept un-littered and clean. 3.9 The Licensee or its representatives shall not in any manner prevent the Licensor or any other person authorised by the Licensor from using the common facilities and things used in common with the Licensor or any other person or occupiers authorised by the Licensor. 3.10 The Licensee shall not do any act, deed, thing and matter which would constitute a breach of any statutory requirements and which would adversely affect the Licensed Premises or any part thereof or the rights of the Licensor. 3.11 The Licensee shall at its own cost provide fire safety equipment on the Licensed Premises. In so far as the compliance with the provisions of the Maharashtra Fire Prevention and fire safety laws is concerned the Licensee shall at it own cost provide all the fire safety equipments and take all steps necessary to ensure compliance with the provisions of such laws as may be applicable in this regard. 3.12 The Licensee agrees, confirms and undertakes to bear/reimburse all costs, charges and expenses relating to stamping and registration of this Agreement and its duplicate in their entirety, and shall extend all cooperation to the Licensor in getting the said Agreement registered. However, each Party shall bear its own legal costs.

  • Rights Granted The Author hereby grants to the Publisher the perpetual, sole and exclusive, worldwide, transferable, sub-licensable and unlimited right to publish, produce, copy, distribute, communicate, display publicly, sell, rent and/or otherwise make available the Contribution in any language, in any versions or editions in any and all forms and/or media of expression (including without limitation in connection with any and all end-user devices), whether now known or developed in the future, in each case with the right to grant further time-limited or permanent rights. The above rights are granted in relation to the Contribution as a whole or any part and with or in relation to any other works. Without limitation, the above grant includes: (a) the right to edit, alter, adapt, adjust and prepare derivative works; (b) all advertising and marketing rights including without limitation in relation to social media; (c) rights for any training, educational and/or instructional purposes; and (d) the right to add and/or remove links or combinations with other media/works. The Author hereby grants to the Publisher the right to create, use and/or license and/or sub-license content data or metadata of any kind in relation to the Contribution or parts thereof (including abstracts and summaries) without restriction. The Publisher also has the right to commission completion of the Contribution in accordance with the Clause "Author’s Responsibilities – Delivery and Acceptance of the Manuscript" and of an updated version of the Contribution for new editions of the Work in accordance with the Clause "New Editions". The copyright in the Contribution shall be vested in the name of the Author. The Author has asserted their right(s) to be identified as the originator of the Contribution in all editions and versions, published in all forms and media. The Author agrees that all editing, alterations or amendments to the Contribution made by or on behalf of the Publisher or its licensees for the purpose of fulfilling this Agreement or as otherwise allowed by the above rights shall not require the approval of the Author and will not infringe the Author's "moral rights" (or any equivalent rights). This includes changes made in the course of dealing with retractions or other legal issues.

  • Lessor's Obligations Subject to the provisions of Paragraphs 2.2 (Condition), 2.3 (Compliance), 9 (Damage or Destruction) and 14 (Condemnation), it is intended by the Parties hereto that Lessor have no obligation, in any manner whatsoever, to repair and maintain the Premises, or the equipment therein, all of which obligations are intended to be that of the Lessee. It is the intention of the Parties that the terms of this Lease govern the respective obligations of the Parties as to maintenance and repair of the Premises, and they expressly waive the benefit of any statute now or hereafter in effect to the extent it is inconsistent with the terms of this Lease.
