Confidentiality. Neither Licensee nor Infront shall disclose to any third party (other than its respective employees, in their capacity) any information with respect to the terms and conditions (financial or otherwise) of this Agreement, except: (a) to the extent necessary to comply with any law or valid order issued by a court of competent jurisdiction, and in that case the Party making the disclosure shall also notify the other and shall seek confidential processing of the information disclosed; (b) as part of its normal reporting or procedures of review to its parent company, its auditors and its attorneys, provided, however, that the parent company, auditors and attorneys agree to be bound by the provisions of this clause; and (c) in order to enforce or exercise its rights pursuant to this Agreement.
