Entire Agreement. This Agreement constitutes the entire understanding and agreement between the Parties concerning the subject matter of this Agreement, superseding all prior negotiations, preliminary agreements, letters of intent, deal memos, correspondence or understandings, whether written or oral, and may not be changed, altered or modified in any manner whatsoever, except by a written amendment or addendum signed by the duly authorized representatives of the Parties. No waiver, amendment, renewal, extension or modification of any provision of this Agreement shall be effective unless in writing and signed by the Party against whom such waiver, amendment, renewal, extension or modification is sought to be enforced.
