Considerations. As consideration for the Services Telmex binds itself to provide to America Movil pursuant to Clause Two and Three hereof, America Movil shall pay Telmex the cost of each and every one of those Services, plus, as the case may be, a profit percentage which, in each case is agreed upon by the parties, and also the amounts from other Services that the Parties agree upon from time to time and which signed by the Parties shall be an integral part of this Contract as if they were written in it. In any event, the considerations shall be subject to VAT. This tax and any other applicable tax shall be added pursuant to the corresponding legal ruling. The considerations referred to in this Clause shall be paid on the dates, terms and conditions of this Clause of the corresponding Sub-Annexes.
Considerations. As full consideration for the services provided by the Contractor under the terms of this Agreement, the United Nations Program for Development - UNDP shall pay the Contractor against certification specifying that the services have been satisfactorily performed: (A) The total is: xxxxxxxxxxx. (B) If there are two currencies, the exchange rate to be used will be the official exchange rate applied by UNDP to the day that UNDP instructs their ▇▇▇▇▇ to proceed with the / the payment / s; (C) The contract value will be paid as follows: i. 60% of the value of the proposal submitted by the selected firm upon delivery of the draft audit report and every project audit report to OCHA with a copy to the UNDP office in Colombia (at 20 days into the development of the audit exercise) and; ii. The remaining balance of 40% will be paid upon receipt to satisfaction of ▇▇▇▇'▇ final audit reports (Spanish and English) submitted by the selected firm. Payments will be made by the UNDP office in Colombia after the delivery of audit reports and receipts received/accepted by UN-OCHA. 2.1 If the contractor fails to comply with the dates or deadlines or specified products as stipulated in the terms of reference and paragraph 1 of this document, UNDP may, without prejudice to other remedies under the contract, deduct/penalize from the contract price, as liquidated damages, a sum equivalent to 1.5% of the delivered goods delayed for each week of delay until the time of delivery, up to a maximum deduction of ten percent (10%) of the price of agreed sum. Once the maximum is reached, UNDP may consider unilateral termination of the contract. 2.2 If the previous clause is applied, contract supervisor (or controller) of the contract will be responsible for ensuring that such deduction shall become effective and make the appropriate administrative steps to materialize it. 2.3 The invoice (s) submitted (s) shall (n) contain the following information: 1. A number that corresponds to a consecutive numbering system, by computer or otherwise, preprinted and (2) full name or business name and tax ID of the firm (in the case of a domestic company). 2. The bill should be directed to name Office for the Coordination of Humanitarian Affairs, "UN- OCHA”. 3. The (s) ▇▇▇▇ (s) shall be presented in XXXXXXXXXXXX. 4. Payments shall be made by UNDP to the supplier by bank electronic transfer to the service supplier´s bank account indicated. 5. UNDP does not accept the invoices submitted by fax.
