Standard Terms and Conditions of Sales of Goods and Services for Argentina entities

For domestic contracts, the Spanish version of the GTC (pages 18-36) shall prevail in the event of divergence between the Spanish and English text. For contracts of a cross-border nature, the English-language version (pages 1-17) shall take precedence.

PART I- GENERAL TERMS AND CONDITIONS

1) ACCEPTANCE, SCOPE AND STRUCTURE OF THESE TERMS

a) These general terms and conditions of sale (“GTC”) apply to the sale of the Goods (as hereinafter defined) and Services (as hereinafter defined) as set out in the Quotation provided by the Sartorius entity (“Sartorius”), to which these terms are appended (the "Quotation"). The Quotation defines the Price, Delivery and any other special conditions which will apply. Sartorius shall supply and the Customer (as hereinafter defined) agrees to purchase the Goods and (if applicable) the Services in accordance with and on the basis of these GTC which together with the Specifications (as hereinafter defined) and the Quotation constitutes the “Agreement”.

b) The Agreement comprise the entire agreement between the parties, and supersede all prior or contemporaneous understandings, agreements, negotiations, representations and warranties, and communications, both written and oral. This Agreement prevails over any of Customer's general terms and conditions of purchase regardless of whether or when Customer has submitted such other terms. Fulfilment of Customer's order does not constitute acceptance of Customer's terms and conditions and does not serve to modify or amend this Agreement.

c) These GTC contain three (3) parts (each, a “Part” and collectively the “Parts”). Part I contains “General Terms and Conditions,” which shall be applicable to all sales

of Goods and Services. Part II of this Agreement contains “Terms and Conditions for Sale of Goods,” which shall be applicable to the sales of Goods, as the case may be, in addition to the provisions of Section I. Part III of this Agreement contains “Terms and Conditions Sale of Services” which shall be applicable to sales of Services, as the case may be, in addition to the provisions of Section I.

d) Any of the following shall constitute Customer's unqualified acceptance of these GTC: (i) written acknowledgement of these GTC; (ii) issuance or assignment of a purchase order for the Good(s) or Services thereunder; (iii) acceptance of any shipment or delivery of Good(s) or provision of Services thereunder; (iv) payment for any of the Good(s) or Service(s); (v) the date when Customer has downloaded or installed a Software or (vi) any other act or expression of acceptance by Customer. Notwithstanding anything herein to the contrary, if a written contract signed by both parties is in existence covering the sale of the Goods or Services covered by the Quotation, the terms and conditions in such contract shall prevail to the extent they are inconsistent with these GTC.

e) These GTC shall only apply vis-à-vis commercial customers and with respect to commercial transactions.

f) No variation to these GTC shall be binding unless agreed in Writing between the authorized Representatives of the Customer and Xxxxxxxxx.

2) DEFINITIONS Inthese GTC:

“Affiliate” means any individual or entity directly or

indirectly (i) controlling, (ii) controlled by, or (iii) under common control with the ultimate parent company of such Party. For purposes of this definition, “control” means the direct or indirect ownership of more than fifty percent (50%) of the outstanding voting rights, or the right to control the policy decisions of the respective entity.

“Applicable Law” means all applicable laws, rules, regulations, orders, codes of practice, research governance or ethical guidelines, general manufacturing or laboratory practice guidelines, other requirements of regulatory authorities as well as any export control regulations and sanction control programs as amended from time to time.

“Business Day” means any day other than a Saturday, Sunday or any day which is a public holiday or any day on which banking institutions are authorized or required by law or other governmental action to close. “Confidential Information” means any information disclosed in writing, orally, electronically or in any other form (tangible or intangible) that is confidential or proprietary in nature concerning the other Party and/or its Affiliates, including, without limitation, any details of its business, affairs, customers, clients, suppliers, plans, strategy, know-how, trade secrets or products (either existing or under development). “Consumables” mean the disposable supplies or consumable products which Sartorius is to supply in accordance with this Agreement.

“Customer” means the person or entity who accepts the Quotation of Sartorius for the sale of the Goods or Services, or whose order for the Goods or Services is accepted by Sartorius.

“Delivery Location” means the location specified in the Quotation to which Xxxxxxxxx shall procure the delivery of the Goods.

“Equipment” shall mean the equipment for the biopharmaceutical, chemical, food and beverage industries and academic sector, which Sartorius is to supply and install in accordance with the Quotation and the Agreement.

“Force Majeure” means any event outside the reasonable control of either Party and shall include, without limitation, war, threat of war, revolution, terrorism, riot or civil commotion, strikes, lockout or other industrial action, blockage or embargo, acts of, or restrictions imposed by Government or public authority (including but not limited to shelter-in-place orders), failure of supply of water, power, fuels, transport, equipment or other deliverables or services, explosion, fire, radiation, flood, natural disaster or adverse weather conditions, pandemic, epidemic, or Acts of God.

"Goods" means the goods (including any instalment of the goods or any parts for them) which Sartorius is to supply in accordance with the Quotation and this Agreement and may include, where the context so requires, Consumables, Equipment, Instrument, Media or Media Components, System, Reagents, Plasmids and/or Software.

“Goods Warranty Period” shall mean the period which begins on the Goods delivery date to the Delivery Location and ends one (1) year after the delivery date; or, in the case of Consumable or of Good with a shorter shell-life, ends the earlier of: (i) one (1) year after the delivery date; or (ii) the expiration of the shelf life (date of expiration or retest date according to the Good concerned) of such Consumable or of such Good. If

the Goods delivered are devices Sartorius or its contractors installs at the Customer site, the warranty period starts at the time of completion of installation, but in no event later than two (2) months after delivery.

"GTC” means the standard terms and conditions set out in this document and (unless the context otherwise requires) includes any special terms and conditions agreed in writing between the Customer and Sartorius. “Intellectual Property” means patents, patent applications, utility models, designs, Inventions (as hereinafter defined), invention disclosures, trade secrets, know-how, registered and unregistered copyrights, works of authorship, computer software programs, source codes, data bases, trademarks, service marks, trade names and trade dress and any similar proprietary rights and any licenses or user rights related to the foregoing.

“Invention” means any new device, design, product, computer program, article, method, process, or improvement or alteration thereon, whether or not patentable, copyrightable, and protectable under any applicable mask works law, protectable as a trade secret or protectable under any similar law.

“Media or Media Components” means biological and/or chemical media compositions, proteins, microcarriers, excipients, preservation solutions, and media supplements supplied in accordance with the Quotation and the Agreement.

“Object to Be Serviced” means any object on which the Services are to be performed, including, but not limited to, Goods.

“Plasmid” means any gene expression system supplied by Sartorius in accordance with related Quotation and this Agreement.

“Price” means the price for the Goods determined in accordance with the Quotation and “Prices” shall be interpreted accordingly.

“Quotation” means the Quotation prepared by Xxxxxxxxx and issued to the Customer.

“Reagent”, means any transduction reagents, transfection reagents and/or related small molecules and/or buffers supplied by Sartorius in accordance with related Quotation and this Agreement. “Representatives” means Sartorius and Customer’s respective employees, agents, consultants, officers, subcontractors and Affiliates.

“Services” means the repairs, preventative maintenance, relocations, retrofits, upgrades, installations, calibrations and validation services, together with any spare parts utilized in connection with the foregoing, in connection with Goods and other objects.

“Services Warranty Period” means the period which

begins on the day of completion of performance the Services and ends ninety (90) days later or such longer period as may be specified by Xxxxxxxxx to Customer in Writing in the Quotation.

“Software” means any proprietary software developed by Sartorius to implement the specified functionality but excludes operating systems, networking software, standard database packages, standard peripheral interface software and any third-party software. “Specification” means the description of the Goods and Services and attached to the Quotation (if any) or otherwise provided to the Customer by Sartorius or provided to Sartorius by the Customer (as the case may be), in Writing.

“System” means Goods which includes the physical equipment Sartorius is to supply in accordance with this Agreement together with (to the extent applicable) the Software and any other deliverables specified in the Quotation.

“Term” means the period beginning on Customer's unqualified acceptance of these GTC, through the earlier of: (i) the time period set forth in the Quotation or (ii) as set forth in the key code if Sartorius is licensing a Software.

"Writing” means any written communication by letter or by e-mail.

Any reference in these GTC to any provision of a statute shall be construed as a reference to that provision as amended, re-enacted or extended at the relevant time.

The headings in these GTC are for convenience only and shall not affecttheir interpretation.

3) BASIS OF THE SALE

a) Sartorius shall sell and the Customer shall purchase the Goods or Services in accordance with any written Quotation of Sartorius which is accepted by the Customer, or any written order of the Customer which is accepted in Writing by Xxxxxxxxx, subject in either case to these GTC, which shall govern the Agreement to the exclusion of any other terms and conditions subject to which any such Quotation is accepted or purported to be accepted, or any such order is made or purported to be made, by the Customer. Oral agreements shall only become valid when Sartorius confirms the same in Writing.

b) Sartorius's employees or agents are not authorized to make any representations concerning the Goods or Services unless confirmed by Xxxxxxxxx in Writing. In entering into the Agreement, the Customer

acknowledges that it does not rely on, and waives any claim for breach of any such representations which are not so confirmed.

c) Any advice or recommendation given by Sartorius or its employees or agents to the Customer or its employees or agents as to the storage, application or use of the Goods which is not confirmed in Writing by Xxxxxxxxx is followed or acted upon entirely at the Customer's own risk, and accordingly Xxxxxxxxx shall not be liable for any such advice or recommendation which is not so confirmed. Marketing and other promotional material relating to the Goods or Services are illustrative only and do not form part of the Agreement. The Customer agrees that, in submitting an order, it has not relied on any representation or statements by Xxxxxxxxx other than those expressly set out in the Agreement.

d) Any typographical, clerical or other error or omission in any sales literature, Quotation, price list, acceptance of offer, invoice or other document or information issued by Sartorius, including Xxxxxxxxx’s website, shall be subject to correction without any liability on the part of Sartorius.

4) ORDERS

a) Sartorius does not represent, warrant or undertake that all of the Goods will be available for order at all times, or until an order is accepted, that Sartorius can supply the volumes requested.

b) No order which has been accepted by Xxxxxxxxx may be cancelled by the Customer except with the agreement in Writing by Sartorius and on terms that the Customer shall indemnify Sartorius in full against all loss (including loss of profit), costs (including the cost of all labor and materials used), damages, charges and expenses incurred by Sartorius as a result of cancellation.

5) PRICE

a) Sartorius may change its prices at any time without notice. The Price shall be as stipulated in the Quotation, or in the event of the Quotation being silent on the matter, in accordance with the list prices in effect at that time Sartorius accepts Customer’s order.

b) Except as otherwise stated under the terms of any Quotation and unless otherwise agreed in Writing between both the Customer and Sartorius, all Prices are given by Xxxxxxxxx on a CPT INCOTERMS ® 2020

basis. The Customer shall be liable to pay Sartorius's charges for transport, packaging, freighting and insurance.

c) All Prices are exclusive of Value Added Tax (or equivalent sales tax) sales, withholding or other tax (other than income tax to which Sartorius may be subject), which shall be payable in addition by the Customer. If any amount due under the Agreement is subject to such Value Added Tax, sales, withholding or any other tax which has the effect of reducing the amount of money which Xxxxxxxxx would have been entitled to receive or retain from the Customer under the Agreement but for such tax, the Customer will, at Xxxxxxxxx’s request, pay to Sartorius such additional sum at the rate for the time being prescribed by law for that tax. Customers within the EU shall be obligated to indicate their Value Added Tax identification number.

d) The Price set forth in the Quotation includes the cost of labor, travel and parts, provided that the Service is performed during the hours covered in these GTC. Charges for services or goods not covered by the Agreement will be invoiced separately at the time of occurrence or delivery and at the prevailing rates.

6) TERMS OFPAYMENT

a) Subject to any additional or other terms agreed in Writing by Xxxxxxxx and Xxxxxxxxx, Xxxxxxxxx shall be entitled to invoice Customer for the Price of the Goods and Services on or at any time after delivery of the Goods or performance of the Services.

b) The Price of the Goods and/or Services provided in the Quotation may be subject to adjustment in the event there is:

i. a change to the Specifications or a Customer requested change to the delivery date or to the quantities of Goods or Services ordered in the Quotation;

ii. any failure by the Customer to give Sartorius adequate or accurate information or instructions which causes Xxxxxxxxx to incur additional cost ;

iii. a failure by the Customer to collect or accept delivery of the Goods or allow performance of the Services in accordance with the Quotation and such increase may include, without limitation, a processing fee amounting to ten per cent (10%) of the Price, per month and for a maximum of two (2) months, after Sartorius has first notified the Customer that the Goods are

ready for collection or (as the case may be) Xxxxxxxxx has tendered delivery of the Goods (the “Stocking Fee”); and/or

iv. a change to: the cost of materials, costs of production, shipment arrangements (including expedited shipment/handing charges), currency or exchange, increases in taxes and duties or terms outside the original terms outlined in the Quote).

c) If, two (2) months after Xxxxxxxxx has first notified the Customer that the Goods are ready for collection by the Customer or Sartorius has first tendered delivery of the Goods, the Goods have not been collected by the Customer or the Customer has not accepted delivery of the Goods or the Customer has not accepted or allowed performance of the Services in accordance with the Quotation, Xxxxxxxxx Shall be entitled to invoice Customer for the Price of the Goods and or Services and any amount provided for in clause 6(b) and Customer shall remit payment for such amounts in accordance with the terms in Section 6(d).

d) The Customer shall pay the Price in the invoicing currency within thirty (30) days of the date of Xxxxxxxxx’s invoice, subject to credit approval, notwithstanding that delivery or performance may not have taken place and the property in the Goods has not passed to the Customer.

e) If the Customer fails to make any payment on the due date then, without prejudice to any other right or remedy available to Sartorius, Xxxxxxxxx shall be entitled to: (i) cancel the Agreement or suspend any further deliveries or performance to the Customer; and (ii) charge the Customer interest (both before and after any judgement) on the amount unpaid, at highest rates allowed by the law governing this Agreement, until payment in full is made. Interest will accrue on a daily basis and apply from the due date for payment until actual payment is made in full, whether before or after judgement.

f) All payments shall be paid in full and cleared funds without any deduction or set-off or counter claim in accordance with the payment terms on the Quotation.

g) Sartorius may require from the Customer that the latter provide as security for payment, two (2) weeks before the delivery date, an irrevocable and confirmed letter of credit, a banker’s bond or a bank guarantee. The assertion of any rights of retention or offsetting any Customer counterclaims that are not acknowledged by Xxxxxxxxx, have not been established by final court decision and are not yet ready for a

decision in a legal dispute shall not be permitted.

h) Xxxxxxxxx is not obliged to accept any checks or bills of exchange as method of payment. Acceptance of such payment methods must be agreed upon beforehand and shall occur in any case only on account of performance and will not be considered as performance in full discharge of an obligation. Any related costs will be borne by Customer. Credit notes from checks and bills of exchange will occur by deducting any costs and subject to receipt at the value on the day Sartorius has access to the equivalent value.

7) LIABILITY

a) To the fullest extent permitted by law, Xxxxxxxxx shall not be liable to the Customer by reason of any representation, or any implied warranty, condition or other term or any duty, or under the express terms of the Agreement, for any consequential loss or damage (whether for loss of profit or otherwise), costs, expenses or other claims for consequential compensation whatsoever (and whether caused by the negligence of Sartorius, its employees, Affiliates or agents or otherwise) which arise out of or in connection with the execution of the Agreement, except as expressly provided in these GTC.

b) Xxxxxxxxx shall not be liable for the correct choice of Goods for the purpose intended in the individual case and for the correct linkage of such Goods to one another or to items of the Customer. This shall be the sole responsibility of the Customer or of such person who links and installs the Goods on behalf of Customer. Sartorius disclaims any and all liability for faulty and/or false connections of Goods and for any use that is non- compliant with Applicable Law in the country of use.

c) Sartorius shall not be liable to the Customer or be deemed to be in breach of the Agreement by reason of any delay in performing, or any failure to perform, any of Sartorius's obligations under the Agreement, if the delay or failure was due to any Force Majeure event.

d) To the fullest extent permitted by law, and notwithstanding anything contained in the Agreement to the contrary, Sartorius’s total aggregate liability under, or in connection with this Agreement, whether arising in tort (including negligence), contract or in any other manner will not exceed, in total, the lesser of: i) Customer actual direct damages; or ii) the Price which Customer has paid Xxxxxxxxx for the Goods or Services giving rise to such claim.

e) Without prejudice to clause 7i), Sartorius shall not be liable to the Customer for any (i) loss of profit or revenues; (ii) loss of or damage to data or information systems; (iii) loss of contract or business opportunities;

(iv) loss of anticipated savings; (v) loss of goodwill; or (vi) any indirect, special or consequential loss or damage.

f) Neither Party will be liable to the other for any breach of this Agreement to the extent that such breach is caused by a breach of this Agreement by the other Party.

g) Sartorius shall have no liability whatsoever for any damages suffered, directly or indirectly, by any person as a result of (i) the operation or the use of Goods in combination with any other hardware or software or any other product not supplied by Sartorius; (ii) any modification to the Goods or any of its components, including without limitation, the Software, made by the customer or any third party; (iii) use of any third party software provided by Xxxxxxxxx hereunder; and/or (iv) any words, description, trademarks, devices and other matters printed on the Goods at the Customer’s request or in accordance with the Customer Specification.

h) Sartorius shall not be liable to the Customer by reason of any representation, or any implied warranty, condition or other term or any duty, or under the express or implied terms of this Agreement for any alleged or actual infringement of third-party Intellectual Property by the Customer´s use, modification, alteration, enhancement, improvement, further processing or combination (including, but not limited to the combination with third-party products) of the Goods on or after the delivery date.

i) If Customer provides Sartorius with instructions, Specifications or requirements for the provision of customized Goods, Sartorius shall not be liable to the Customer by reason of any representation, or any implied warranty, condition or other term or any duty, or under the express or implied terms of this Agreement for any alleged or actual infringement of third-party Intellectual Property by these customized items or their use by the Customer.

j) In the event that the Goods supplied under this Agreement are Goods which form a System, the Customer shall indemnify and hold Sartorius harmless from and against any claim or threatened claim for damages, penalties, costs and expenses (including reasonably attorneys’ fees) arising, directly or indirectly

from (i) the manufacture, use, sale, distribution, marketing or commercial exploitation of any pharmaceutical product or other substance or derivation by the Customer using the System; or (ii) modification of the System by the Customer or any third party.

k) Save where Xxxxxxxxx or its Representatives are negligent, the Customer shall hold Xxxxxxxxx and its Representatives harmless from all claims against Xxxxxxxxx brought by the Customer’s own Representatives resulting from personal injury or death or loss of property which arise whilst at Xxxxxxxxx’ premises or while the Customer’s Representatives are interfacing with, or assisting Xxxxxxxxx in its work (if any) at the Customer’s site

8) TERMINATION

a) This Agreement may be terminated immediately by either Party serving notice in writing to the other Party where the other Party: (i) commits a material breach of this Agreement and such breach, if remediable, is not remedied within twenty (20) Business Days of receiving written notice to do so; or

(ii) becomes insolvent or becomes the subject of any proceeding under any bankruptcy, insolvency or liquidation law, or is otherwise unable to pay its debts as they generally become due; or (iii) becomes subject to property attachment, court injunction or court order which has a material adverse effect on its operations; or (iv) makes an assignment for the benefit of its creditors otherwise than pursuant to the provision of finance or credit in the ordinary course conduct of its ongoing business or is petitioned into bankruptcy; or (v) conducts a material change in its management or control.

b) If this clause applies then, without prejudice to any other right or remedy available to Sartorius, Sartorius shall be entitled to cancel the Agreement or suspend any further deliveries or performances under the Agreement without any liability to the Customer, and if the Goods have been delivered and/or the Services performed but not paid for, the Price shall become immediately due and payable notwithstanding any previous agreement or arrangement to the contrary.

9) INDEMNIFICATION

a) Customer agrees to indemnify, defend and hold harmless Xxxxxxxxx from and against any and all costs, losses, expenses, damages, claims, liabilities or fines, including, but not limited to, reasonable attorneys'

fees and court costs, resulting from or arising in connection with (i) any claim of infringement of any Intellectual Property or other proprietary rights of any third party to the extent that the Goods were manufactured or used pursuant to Specifications supplied or required by Customer; or (ii) any and all actual or alleged injuries to, or deaths of, persons and any and all damage to, or destruction of, property arising directly or indirectly from or relating to the Goods sold pursuant to the Agreement, or any products or items manufactured using such Goods, or relating to the products items or equipment serviced under the Agreement, except for such costs, losses, expenses, damages, claims, liabilities or fines which directly are caused by or result from Sartorius' willful misconduct or gross negligence; or (iii) the negligence and/or willful misconduct of Customer, its employees or agents; or (iv) any failure of the Customer and/or its Representatives to comply with Applicable Law and/or related Specifications in the handling or use of the Goods and/or Services.

b) Sartorius agrees to defend and indemnify Customer and hold Customer harmless from and against any and all costs, losses, expenses, damages, claims, liabilities or fines, including, but not limited to, reasonable attorneys' fees and court costs, resulting from or arising in connection with the negligence and/or willful misconduct of Sartorius, its employees or agents.

10) INSURANCE

The Customer shall maintain, at its own cost and expense, comprehensive general liability insurance, including product liability insurance, property damage insurance, public liability insurance, completed operations insurance and contractual liability insurance and maintain such coverage and limits in commercially reasonable amounts. Customer shall further maintain, at its own cost an expense, workmen’s compensation insurance and any other insurance required by law, in commercially reasonable amounts. Customer shall, promptly upon Xxxxxxxxx’ written request, furnish to Sartorius certificates of insurance evidencing the coverages, limits and expiration dates of the respective insurance policies.

11) COMPLIANCE REQUIREMENTS

a) The Customer and Sartorius shall comply with their respective obligations and Applicable Law.

b) The Customer is solely responsible to comply with any legal or regulatory obligations relating to its use of the

Goods. The Customer is solely responsible to order and purchase the appropriate and relevant quality grade of the Goods and/or Services, consistent and in accordance with the Customer’s intended use, Sartorius disclaims any liabilities in this regard.

c) The Customer also agrees not to export, re-export or transfer any software or technology developed with or using information, software or technology offered by Sartorius, in violation of Applicable Law. Further, the Customer shall neither use any Goods, Service, information, Software and technology offered by Sartorius in or in connection with nuclear technology or weapons of mass destruction (nuclear, biological or chemical) and carriers thereof nor supply military consignees.

Goods and Services may be subject to international and national export restrictions. Acceptance and delivery of the order will be done in strict compliance with the appropriate legal provisions and embargo regulations. Acceptance and execution of orders for Goods and Services requiring approval is subject to the issue of applicable export licenses by the relevant country authorities. In case Goods and Services require approval, Sartorius requires an appropriate End-User-Declaration from the end user stating the precise use of the Goods and Services and including an informative company profile. Goods and Services will be supplied exclusively for civil and peaceful purposes. With the purchase order, the Customer agrees to comply with all Applicable Laws and to provide all requested information and data in a timely manner to obtain the necessary documents.

d) It is expressly understood and agreed that Customer shall be solely responsible for (i) identifying and complying with all Applicable Laws for its industry and (ii) taking all necessary actions to test and validate the Good supplied by Sartorius. It is acknowledged and agreed that the foregoing shall apply to products, regardless of their process stage and/or name (product, final or intermediate product, material, and the like), that may be generated by or in connection with the use of the Good. For the avoidance of doubt, where applicable, the Customer shall only use, or permit the use of, the Goods for manufacture purposes which do not include the administration or application of the Goods or products embodying the Goods to (i) humans unless the Good is specifically commercialized by Sartorius for direct administration to humans or (ii) animals, except in accordance with Applicable Law and usage specified, and instructions given, by Sartorius in

writing..

e) Data protection: Sartorius will request, process and use personal data from Customer to manage Customer' requests, claims, orders or repairs and for the continuing relationship management to Customer. Some of those data processing activities are handled on behalf of Sartorius by Sartorius Corporate Administration GmbH, Germany, its Affiliates or external service providers. These companies may be based worldwide, including areas outside the European Union. For all cases involving a transfer of personal data, Sartorius will ensure compliance with data protection regulations. Furthermore, Sartorius will transfer these data to authorities, if there is an existing legal obligation for Sartorius to do so. Individuals have the right to access their data processed by Sartorius and have such data updated. Subject to the legal requirements of data protection laws, individuals may also require that their data be deleted or blocked. For further information see Xxxxxxxxx’ data protection policy posted at xxxxx://xxx.xxxxxxxxx.xxx/xx/xxxx- protection.

f) Anti-Corruption Laws, U.S. Foreign Corrupt Practices Act and UK Bribery Act: Customer acknowledges that: (a) Xxxxxxxxx may be subject to the provisions of the Foreign Corrupt Practices Act of 1977 of the United States of America, 91 Statutes at Large, Sections 1495 et seq. (the "FCPA"); and, (b) Xxxxxxxxx may be subject to other bribery and corruption laws, including without limitation the UK Bribery Act and local laws for the jurisdictions covered thereunder. Customer further acknowledges that it is familiar with the provisions of the FCPA, the UK Bribery Act and applicable local bribery and corruption laws, and shall not take or permit any action that will either constitute a violation under, or cause Sartorius to be in violation of, the provisions of the FCPA, the UK Bribery Act or applicable local bribery and corruption law.

12) MISCELLANEOUS

a) Any notice required or permitted to be given by either party to the other under these GTC shall be in Writing addressed to that other party at its registered office or principal place of business or such other address as may at the relevant time have been notified pursuant to this provision to the party giving the notice.

b) No waiver by Xxxxxxxxx of any breach of the Agreement by the Customer shall be considered as a waiver of any

subsequent breach of the same or any other provision. Any purported waiver by Xxxxxxxxx will be void and ineffective unless it is in writing and signed by a properly authorized Representative of Sartorius.

c) If individual provisions of these GTC are or become fully or partially ineffective, the remaining provisions of the GTC shall not be affected thereby. This also applies if an unintended omission is found in the Agreement. A fully or partially ineffective provision shall be replaced or an unintended omission in the GTC shall be filled by an appropriate provision which, as far as is legally possible, most closely approximates to the original intention of the contractual parties or to what they would have intended according to the meaning and purpose of these GTC had they been aware of the ineffectiveness or omission of the provision(s) in question.

d) This Agreement will be governed by and construed in accordance with the laws of Argentina. The United Nations Convention on Contracts for the International Sale of Goods (the Vienna Sales Convention) is not applicable to this Agreement.

In the event the Customer is located in Argentina, any disputes under this Agreement must be brought before the local courts of the registered office of Sartorius, and the Parties hereby consent to the personal jurisdiction and exclusive venue of these courts. Furthermore, Sartorius shall be entitled at its discretion to assert its own claims at the Customer’s place of jurisdiction. After a lawsuit has been filed, the Customer shall be limited, on the basis of his or her own rights and claims, to bring a counterclaim before the particular court before which the original action has been brought or to offset his or her own claim against the claim lodged in said action before the court.

In the event the Customer is located outside Argentina, all dispute, controversy or claim arising out of or relating to this Agreement or its validity shall be finally settled according to the ICC Rules of Conciliation and Arbitration without recourse to the ordinary courts of law (except as regards interlocutory relief). The place of arbitration is the place of the registered office of Sartorius. Sartorius shall be entitled at its discretion to assert its own claims at the place of the registered office of the Customer. The arbitral proceedings are to be held in the English language.

e) Each party undertakes that it will keep any

Confidential Information confidential and it will not (i) use or disclose the other Party’s Confidential Information to any persons except that it may disclose such Confidential Information to any of its Representatives who need to know the same for the purposes of performing any obligation under this Agreement, provided that such party must ensure that each Representative to whom Confidential Information is disclosed is aware of its confidential nature and agrees to comply with this clause as if it were a party; (ii) disclose any Confidential Information as may be required by law, any court or governmental regulatory or supervisor authority or any other authority of competent jurisdiction.

Xxxxxxxxx may, and the Customer hereby acknowledges and agrees, use and exploit residuals for any purpose after the return or destruction of Customer’s Confidential Information without breach of its confidentiality obligations hereunder. As used herein, residuals shall mean information of any intangible form, including but not limited to ideas, concepts, techniques and/or understandings retained in the unaided memory of Xxxxxxxxx’ Representatives as a result of their review, evaluation and testing of the Customer’s Confidential Information.

f) Orders are not assignable or transferable, in whole or in part, without the express written consent of Xxxxxxxxx.

g) Any marketing, promotion or other publicity material, whether written or in electronic form, that refers to Sartorius, its Affiliates, its Goods, Services, or to these GTC must be approved by Sartorius prior to its use or release.

h) Sartorius, or its Affiliates, is the owner of certain proprietary brand names, trademarks, trade names, logos and other Intellectual Property. Except as otherwise expressly permitted by Xxxxxxxxx, no use of Xxxxxxxxx's or its Affiliates' brand names, trademarks, trade names, logos or other intellectual property is permitted, nor the adoption, use or registration of any words, phrases or symbols so closely resembling any of Sartorius’ or its Affiliates' brand names, trademarks, trade names, logos or other intellectual property as to be apt to lead to confusion or uncertainty, or to impair or infringe the same in any manner, or to imply any endorsement by Sartorius of a third party’s products or services.

i) Nothing in this Agreement shall be deemed to constitute a partnership between the parties or to make either party the agent of the other party for any

purpose. Furthermore, each of the parties shall remain solely responsible for its own acts, statements, engagements, performances, products (in the case of Xxxxxxxxx subject to the other terms of these GTC in relation to the Goods and Services), and personnel.

j) Nothing in this document is intended to create any rights in third parties against Sartorius.

PART II- TERMS AND CONDITIONS FOR SALE OF GOODS

If Customer is purchasing Goods from Sartorius, the following provisions shall exclusively apply in relation to the sale of Goods, and Goods only, in addition to the provisions of Part I of these GTC:

13) SPECIFICATIONS

a) The Customer shall be responsible to Sartorius for ensuring the accuracy of the terms of any order (including any applicable Specification) submitted by the Customer (“Customer Specification”), and for giving Sartorius any necessary information relating to the Goods within a sufficient time to enable Sartorius to perform the Agreement in accordance with its terms.

b) The quantity, quality and description of and any Specification for the Goods shall be those set out in Sartorius' Quotation.

c) If the Goods are to be manufactured or any process is to be applied to the Goods by Sartorius in accordance with a Customer Specification submitted by the Customer, the Customer shall indemnify Sartorius against all loss, damages, costs and expenses awarded against or incurred by Sartorius in connection with or paid or agreed to be paid by Sartorius in settlement of any claim for infringement of Intellectual Property of any third party which results from Xxxxxxxxx' use of the Customer's Specification.

d) Sartorius reserves the right to make any changes (i) in the Specification or, if applicable Customer Specification of the Goods which are required to conform with any applicable safety or other statutory requirements; and/or (ii) where the Goods are to be supplied to Xxxxxxxxx's Specification, to the components, functionality or performance characteristics of the Goods supplied under an order already in place, provided that the Goods continue to conform in all material respects with the Specification or Customer

Specification in force at the time of the order.

14) DELIVERY

a) The Goods will be delivered to the Delivery Location on or before the dates specified in the Quotation. Sartorius notify the Customer in Writing as soon as reasonably practicable on becoming aware that a delay in delivery is likely and will provide a revised estimate, if possible. The Goods may be delivered by instalments. Any delay in delivery or defect in an instalment will not entitle the Customer to cancel any other instalment or the Agreement. Unless the Parties otherwise agree, packaging material is to be disposed of by the Customer at the Customer’s expense.

b) Sartorius will use its reasonable endeavors to meet delivery dates, but such dates are approximate only and time of delivery is not of the essence and Xxxxxxxxx shall not be liable for any delay in delivery of the Goods howsoever caused. The Goods may be delivered by Xxxxxxxxx in advance of the quoted delivery date upon giving reasonable notice to the Customer.

c) The Customer acknowledges that any variance in the quantities of the Goods ordered up to ten percent (10%) more or ten percent (10%) less than the quantity ordered will not be regarded as a failure of Sartorius to supply the Goods ordered, provided that Sartorius will only invoice the Customer for, and the Customer will only be obliged to pay for, the quantity actually delivered.

d) If Xxxxxxxxx is entirely unable to deliver the Goods for any reason other than any cause beyond Xxxxxxxxx's reasonable control or the Customer's fault, and Xxxxxxxxx is accordingly liable to the Customer, Sartorius's liability shall be limited to the Price of the Goods that Sartorius failed to deliver.

15) RISK AND PROPERTY

a) Risk of damage to or loss of the Goods shall pass to the Customer: (i) in the case of Goods to be provided at Xxxxxxxxx's premises, at the time when Xxxxxxxxx notifies the Customer that the Goods are available for collection; or (ii) in the case of Goods to be delivered otherwise than at Sartorius’s premises, at the time of delivery or, if the Customer wrongfully fails to take delivery of the Goods, the time when Xxxxxxxxx has tendered delivery of the Goods.

b) Notwithstanding delivery and the passing of risk in the Goods, or any other provision of these GTC, the

property in the Goods shall not pass to the Customer until Sartorius has received in cash or cleared funds payment in full of the Price of the Goods.

c) Until such time as the property in the Goods passes to the Customer, the Customer shall hold the Goods as Xxxxxxxxx's fiduciary agent and bailee, and shall keep the Goods separate from those of the Customer and third parties and properly stored, protected and insured and identified as Xxxxxxxxx's property and take all reasonable care of the Goods and keep them in the condition in which they were delivered and inform Xxxxxxxxx immediately if it becomes subject to any insolvency type event and permit, upon reasonable notice, Xxxxxxxxx to inspect the Goods during the Customer’s normal business hours and provide Sartorius with such information concerning the Goods as Xxxxxxxxx may request from time to time. Until such time as the Customer becomes aware or ought reasonably to have become aware that an insolvency type event has occurred or is likely to occur, the Customer shall be entitled to resell or use the goods in the ordinary course of its business, but shall account to Sartorius for the proceeds of sale or otherwise of the Goods, whether tangible or intangible, including insurance proceeds, and shall keep all such proceeds separate from any moneys or property of the Customer and third parties and, in the case of tangible proceeds, properly stored, protected and insured. If the Customer resells the Goods in accordance with the foregoing, title shall pass to the Customer immediately prior to the resale If, at any time before title to the Goods has passed to the Customer, the Customer informs Xxxxxxxxx, or Xxxxxxxxx reasonably believes, that the Customer has or is likely to become subject to an insolvency type event, Sartorius may (i) require the Customer to re-deliver the Goods to Sartorius (at the expense of the Customer if so requested by Xxxxxxxxx); and/or (ii) if the Customer fails to do so promptly, enter any premises where the Goods are stored and repossess them.

d) Until such time as the property in the Goods passes to the Customer (and provided the Goods are still in existence and have not been resold), Xxxxxxxxx shall be entitled at any time to require the Customer to deliver up the Goods to Sartorius and, if the Customer fails to do so forthwith, to enter upon any premises of the Customer or any third party where the Goods are stored and repossess the Goods.

e) The Customer shall not be entitled to pledge or in any way charge by way of security for any indebtedness any of the Goods which remain the property of

Xxxxxxxxx, but if the Customer does so all moneys owing by the Customer to Sartorius shall (without prejudice to any other right or remedy of Sartorius) forthwith become due and payable.

16) WARRANTIES AND REMEDIES

a) Subject to the conditions set out herein, Sartorius provides to Customer a limited warranty that the Goods will correspond with their Specification at the time of delivery and will be free from defects in material and workmanship during the Goods Warranty Period. Sartorius will at its option repair, replace or refund the Price of the Goods that do not comply with this clause 16(a) provided that the Customer serves a written notice on Sartorius (i) in the case of defects discoverable by a physical inspection not later than five (5) Business Days from the arrival of the Goods at the Delivery Location; or

(ii) in the case of latent defects, within a reasonable period of time from arrival of the Goods at the Delivery Location or, according to Applicable Law, from the date Customer identifies such latent defects, that some or all of the Goods do not comply with this clause 16(a) and identifying in sufficient detail the nature and extent of the defects. The Customer will be deemed to accept the Goods if it does not notify Sartorius of any failure of the Goods to comply with this clause 16(a) within the time periods set out above. The Customer will comply with any returns policy of Xxxxxxxxx that may be notified to the Customer from time to time, including if and to the extent such returns policy specifies alternative procedures and time periods to those set out above. Similarly, and subject to the conditions set out herein, Sartorius provides to Customer a limited warranty that the Reagents and Plasmids, will be stable during the Goods Warranty Period, being understood that the stability of the Reagent and/or Plasmid may however be modified when the Reagent and/or Plasmid is mixed to constitute a compound.

b) The above warranty is given by Xxxxxxxxx subject to the following conditions: (i)Sartorius shall be under no liability in respect of any defect in the Goods arising from any drawing, design or Customer’ Specification supplied by the Customer; and (ii) Sartorius shall be under no liability in respect of any defect arising from normal wear and tear, accident, disaster or Force Majeure event, misuse, fault or willful damage, negligence, abnormal working conditions, power surges or electrical failures, failuretofollow Xxxxxxxxx's instructions (whether oral or in writing) as to storage, handling, use, expiry, installation, commissioning,

maintenance, return or disposal of the Goods or good practice in relation to the storage, installation, commissioning, use or maintenance of the Goods, misuse or alteration or repair of the Goods without Sartorius’s approval; (iii) Sartorius shall be under no liability under the above warranty (or any other warranty, condition or guarantee) if the total Price for the Goods has not been paid by the due date for payment; (iv) the above warranty does not extend to parts or materials not manufactured by Sartorius, in respect of which the Customer shall only be entitled to the benefit of any such warranty or guarantee as is given by the manufacturer to Sartorius; (v) Sartorius shall be under no liability under the above warranty (or any other warranty, condition or guarantee) where the Customer uses any Goods after notifying Sartorius that such Goods do not comply with clause 16(a) hereof; (vi) Sartorius shall be under no liability under the above warranty (or any other warranty, condition or guarantee) where such failure arises as a result of damage or loss which occurs after risk in the Goods has passed to the Customer. ANY INSTALLATION, MAINTENANCE, REPAIR, SERVICE, RELOCATION OR ALTERATION TO OR OF, OR ANY OTHER TAMPERING WITH, THE GOODS PERFORMED BY ANY OTHER PERSON OUTSIDE OF SARTORIUS, WITHOUT PRIOR WRITTEN APPROVAL FROM SARTORIUS, USE OF ANY PARTS NOT SUPPLIED BY SARTORIUS FOR SUCH GOODS, OR USE OF THE GOODS IN A BSL 3/4 ENVIRONMENT WILL IMMEDIATELY AND AUTOMATICALLY VOID AND CANCEL ALL WARRANTIES WITH RESPECT TO SUCH GOODS. THE WARRANTY PROVIDED HEREUNDER MAY ALSO BE CANCELLED AND VOIDED BY SARTORIUS IN THE EVENT CUSTOMER SHIPS THE GOODS OUTSIDE THE COUNTRY TO WHICH SARTORIUS SHIPPED THE GOODS.

XXXXXXXXX’ WARRANTIES EXTEND ONLY TO THE CUSTOMER NAMED ON THE QUOTATION AND CUSTOMER CANNOT TRANSFER THE WARRANTY. EXCEPT FOR THE WARRANTY EXPRESSLY SET FORTH IN SECTION 16(a), XXXXXXXXX MAKES NO WARRANTY WHATSOEVER, EXPRESS OR IMPLIED, ORAL OR WRITTEN, WITH RESPECT TO THE GOODS AND SERVICES, DURING OR AS PART OF THE COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OR TRADE OR OTHERWISE, INCLUDING WITHOUT LIMITATION, ANY, (I) WARRANTY OF MERCHANTABILITY; OR (II) WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE.

c) THIS WARRANTY IS EXCLUSIVE AND IS THE SOLE AND EXCLUSIVE OBLIGATIONS OF SARTORIUS WITH RESPECT TO THE GOODS AND SERVICES AND ALL OTHER WARRANTIES, CONDITIONS OR OTHER TERMS IMPLIED BY STATUTE OR LAW ARE EXCLUDED TO THE FULLESTEXTENT PERMITTED BY LAW. SARTORIUS SHALL NOT HAVE ANY OTHER OBLIGATION WITH RESPECT TO THE GOODS, SERVICES, OR ANY PART THEREOF, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE. THE REMEDIES SET FORTH IN SECTION 9(b) SHALL BE CUSTOMER'S SOLE AND EXCLUSIVE REMEDY.

d) In no event shall Customer be entitled to make a warranty claim if Customer is in breach of its obligations, including but not limited to payment, hereunder.

17) INTELLECTUAL PROPERTY

a) Notwithstanding any other provision of this Agreement or termination or expiration of this Agreement, Sartorius shall own all right, title, and interest in and to all Intellectual Property related to the Goods owned or controlled by Sartorius as of the Quotation date, and all Intellectual Property that is developed by Sartorius after its written confirmation of the order, provided, that it does not exclusively rely upon or materially utilize: (i) the Confidential Information of Customer; or (ii) Intellectual Property owned by Customer. Except as otherwise expressly provided herein to the contrary, these GTC do not transfer, assign, lease or license to Customer, or otherwise provide Customer with any rights or interests in or to any Intellectual Property owned by Sartorius. Procurement and maintenance of copyright or Intellectual Property related to the Goods or any other proprietary rights relating to any technology, including any Invention owned by Sartorius shall be carried out or pursued at the discretion and expense of Xxxxxxxxx. The Customer shall not use or cause or permit the use of the Goods in any manner (i) that confers on any third party any Intellectual Property in or to the Goods or (ii) that creates a contractual, legal or regulatory obligation to disclose Sartorius’s sale of the Goods to Customer.

b)Should the Goods, or any part thereof, become, or in Xxxxxxxxx’s opinion be likely to become, the subject of any claim of infringement, the Customer shall permit Sartorius, at Xxxxxxxxx’s option and expense, to either

(i) procure for the Customer the right to continue using the same; or (ii) replace or modify the Goods (or the affected parts or elements thereof) to render it or

them non-infringing, provided that such replacement and/or modification do not materially affect the functionality or efficiency of the Goods. Sartorius’s obligations under this clause will not apply to Goods modified or used by the Customer other than in accordance with the Agreement or Sartorius’ instructions. The Customer will indemnify Xxxxxxxxx from and against all losses, damages, liability, costs and expenses incurred by Sartorius in connection with any claim arising from such modification or use.

c) In relation to trademarks affixed to or incorporated within the Goods, use of the trademarks will be in accordance with this Agreement and with Sartorius’s (or licensor’s) brand guidelines (if any) supplied to the Customer from time to time and all goodwill associated with the use of trade marks will accrue to the benefit of Sartorius (or its licensor) and at the request of Sartorius, the Customer will at its own cost, sign all documents and do all things necessary to assign such goodwill to Xxxxxxxxx or Xxxxxxxxx’s licensor as the case may be. The Customer undertakes not to apply to register or register the same trademark or any confusingly similar mark or procure or assist someone else to do so and except to the extent authorized by Xxxxxxxxx in writing, the Customer will not alter or remove such trademark from the Goods.

18) RESTRICTIONS OF USE

a) Customer shall not use the Good and associated documentation for human in-vitro diagnostic applications unless otherwise expressly specified by Sartorius. Furthermore, Customer shall only use or permit the use of the Goods (i) in accordance with the written instructions of Sartorius (including those in or on any Goods packaging) relating to storage, handling, use, expiry, installation, commissioning, maintenance, return or disposal of the Goods; and (ii) within the expiry date indicated on the packaging of the Goods or otherwise in writing by Xxxxxxxxx.

b) The Customer shall not and shall not cause or permit any third party to:

i. use the Media or Media Component or any Plasmid or any Reagent outside the field of use or for the permitted activity agreed between the Customer and Sartorius (“Permitted Purpose”) and, if no field of use or permitted activity is identified by the Customer or agreed by Xxxxxxxxx, then Sartorius retains the absolute discretion to terminate supply and this Agreement when the field of use or permitted activity is identified;

ii. transfer to any third party or allow a third party access to any quantities of the Media or Media Component except and unless the Media or Media Component is incorporated into another material of which Sartorius is aware, which is produced in accordance with the Permitted Purpose and is sold as a product by the Customer; or

iii. analyze, attempt to modify, disassemble, re- assemble, decompile or reverse-engineer or otherwise seek to determine the structure, sequence, formulation or composition of the Media or Media Component or Plasmids or Reagents or sample hereof without the prior written consent of Xxxxxxxxx. For the specific case of off the shelf Plasmids, in addition to provisions herein above, no right to amplify, replicate and/or duplicate the said off the shelf Plasmids is conveyed either expressly or by implication.

19) SYSTEMS AND SOFTWARE

If Customer is licensing Software from Sartorius, including software licensed in connection with the purchase of any Goods and any and all other software or firmware embedded in, loaded on, or otherwise associated with the purchased Goods, the following additional provisions shall apply:

a) Sartorius grants Customer the non-exclusive right and license to use the copy of the Software in object form that is on the readable computer media provided to Customer by Sartorius.

b) The Software and related copyrights are owned by Xxxxxxxxx, by an Affiliate of Sartorius, and/or by certain suppliers of Sartorius and its Affiliates, and title to the Software in general or respective copyrights shall not pass to Customer as a result of Customer’s use of the Software. The license rights granted herein may not be transferred to another party without the written permission of Xxxxxxxxx.

c) The Software is protected by the respective national copyright laws and international treaties and Customer shall not copy it or allow it to be copied except that Customer has the right to (i) make such copies that are necessary for the use of the Software by Customer in accordance with its intended purpose, including for error correction, (ii) to duplicate the Software for backup or archival purposes and to transfer the Software to a backup computer in the event of computer malfunction, or (iii) observe, study or test the functioning of the Software in order to determine the ideas and principles which underlie any

element of Software if Customer does so while performing any of the acts of loading, displaying, running, transmitting or storing the Software which he is entitled to do.

d) Customer shall (i) not use the Software other than with the purchased Goods or for any purpose outside the scope of the application for which it is being provided, and (ii) not cause or permit the reverse engineering, disassembly, decompilation, modification or adaptation of the Software or the combination of the Software with any other software unless, but only to the extent, indispensable to obtain the information necessary to achieve the interoperability of the Software with other programs provided the information necessary to achieve interoperability has not previously been readily available to Customer, and

(iii) not move the Software to any country in violation of any applicable import or export control regulations. The Customer undertakes to refrain from removing the manufacturer’s markings and in particular, copyright notices or to change these without the prior written consent of Sartorius. All other rights in and to the Software and the documentation, including copies thereof shall remain with Sartorius. The Customer is not entitled to sublicense the Software.

e) Customer further understands that its use of the Software shall be subject to the terms of any third party license agreements or notices that are provided to Customer by Sartorius and to the rights of any other third-party owners or providers of software or firmware included in the Software, and Customer shall comply with the terms of such third-party license agreements and rights provided by Sartorius in advance.

f) The Software is covered by the limited warranties applicable for the System set forth in Section 16 and by no other warranties, express or implied.

g) Sartorius makes no representation or warranty, express or implied that the operation of the Software or firmware will be uninterrupted or error free or that the functions contained in the Software or firmware will meet or satisfy use outside the agreed Specification. Software or firmware corrections, made during the Goods Warranty Period, are warranted for a period of three (3) months from the date shipped by Sartorius or until expiry of the Goods Warranty Period, whichever is longer.

h) Failure to comply with any of the terms of this subsection terminates Customer’s right to use the Software. Upon termination of such right, Customer must return the disk provided by Xxxxxxxxx, and any

and all copies thereof or of any other Software to Sartorius.

i) Any replacements, fixes or upgrades of the Software which Customer may hereafter receive from Sartorius or an Affiliate of Sartorius, shall be provided subject to the same restrictions and other provisions contained in this subsection, regardless of whether subsection or these GTC are specifically referenced when Customer receives such replacement, fix or upgrade, unless such replacement, fix or upgrade is provided with a separate license agreement which by its terms specifically supersedes these GTC. The warranty term for any upgrades shall be one (1) year from the date of its delivery to Customer. Any such replacements, fixes or upgrades shall be provided at prices and payment terms as agreed at the time they are provided.

j) Sartorius shall have no liability for, or any obligations under warranty if any Software or firmware modifications are undertaken by anyone other than Sartorius or its nominees. In addition, Sartorius shall charge for any costs and expenses incurred up to the point of discovery of any such modification, and for all subsequent rectification work necessary to return the Software or firmware to its warranted condition.

k) The Customer acknowledges that only by reference to and by reason of the aforesaid limitations is Xxxxxxxxx able or willing to offer Software, System and installations at the Prices.

20) EQUIPMENT

If Customer is purchasing an Equipment from Sartorius which is to be installed by Sartorius, the following additional provisions shall apply:

a) Factory Acceptance Tests (“FAT”): Xxxxxxxxx will notify the Customer in Writing when the Equipment will be ready for testing at Sartorius’ premises. Following such notification, representatives of each party will, at their own expense, attend the Sartorius’ premises on a mutually agreed date for the purpose of testing the Equipment in accordance with the applicable Specifications and FAT protocol to be issued by Sartorius and approved by Customer. Sartorius will provide Customer with a certified report of the results of any test. Once the Equipment has been tested pursuant to this clause 20 a), Xxxxxxxxx will deliver the Equipment on Customer’s Delivery Location, on a mutually agreed date.

b) Site Acceptance Test (”SAT”): Following completion of

the installation and commissioning of the Equipment, representatives of Sartorius and Customer shall at their own expense, attend Delivery Location on a mutually agreed date for the purpose of commissioning and acceptance testing the Equipment in accordance with the applicable Specifications and the SAT protocol to be issued by Sartorius and approved by Customer. Sartorius will provide Customer with a certified report of the results of any test. In addition to any remedies that may be provided under these GTC, Xxxxxxxxx may terminate this Agreement with immediate effect upon written notice to Customer in case the Customer fails to accept the Equipment as per the provisions of the SAT protocol and such delay continues for ten (10) days after Customer’s receipt of written notice.

PART III- TERMS AND CONDITIONS FOR SALE OF SERVICES

If Customer is purchasing Services from Sartorius, the following provisions shall exclusively apply in relation to the sale of Services, and Services only, in addition to the provisions of Part I of these GTC and Specific Terms and Conditions of Services that may specifically apply to a given Service.

21) OBJECT TO BE SERVICED

a) When the Object to be Serviced has not been purchased from Sartorius, Customer shall inform Sartorius of any Intellectual Property rights concerning the Object to Be Serviced prior to performance of the Services, and Customer shall indemnify Sartorius from any third-party claims concerning any infringement of such Intellectual Property rights.

b) Customer shall assure that any Objects to Be Serviced within the scope of any Service hereunder does not pose any health hazard to Sartorius’s agents or employees.

c) Unless otherwise set forth in the Sartorius’ Quotation, the standard service hours under the Agreement shall be Monday to Friday, 08:00 to 17:00 local time at Sartorius’ premises, excluding public holidays.

22) INSTALLATION SERVICES

a) If agreed and detailed in the Quotation, Xxxxxxxxx shall install the Goods, provided all necessary information relative to the installation of the Goods, in particular the location of installation and all drawings and any

other relevant details, including all software interfaces, has been agreed between Sartorius and the Customer in good time to enable the installation to commence. The schedule of necessary information to be provided by each Party shall be agreed by the respective project leaders of each Party within one (1) month of the date upon which Xxxxxxxxx accepts the Customer’s order.

b) Sartorius shall be entitled to vary the Price to cover any special transport, handling, hoisting costs or other costs of installation and to cover storage or other charges arising from delays by the Customer in preparing the installation site or in providing correct and complete information, instructions, licenses, consents and other times necessary for manufacture, modification, supply, dispatch, delivery or installation of the Goods.

c) In the event the Goods could not be installed to the location of installation within two (2) months after delivery, due to delays in preparing the installation site, Xxxxxxxxx shall be entitled to invoice the Customer for the Price of the Goods and Services.

d) In those cases where it has been agreed that Sartorius shall install the Goods, the Customer shall, at its own expense (i) prepare the site; (ii) ensure reasonable working conditions; (iii) provide Sartorius with secure areas for storing materials and installation equipment;

(iv) provide proper access to the site; (v) ensure the site is safe and certify the site to be free of chemical and biological hazards; (vi) provide all facilities specified by Sartorius prior to installation, including, without prejudice to the generality of the foregoing, supplying electricity, water, gas, compressed air, data networks, environmental controls, ventilation systems, adequate lifting gear and lighting.

e) When requested by Sartorius, the Customer will complete and provide permits to work and use best endeavors to facilitate access to the site for Sartorius Representatives outsides normal working hours where necessary. Sartorius will use reasonable endeavors, to the extent permissible under Applicable Law to comply with any special site requirements of which it has prior written notice.

f) Sartorius reserves the right to refuse to install the Goods where in its opinion the site and/or access has not been prepared or provide as above and shall not be liable for any loss, damage, or additional expense arising from such non-compliance.

g) Except where Xxxxxxxxx or its Representatives are

negligent, the Customer shall hold Sartorius and its Representatives harmless form and against all claims, losses, damages, penalties and others brought against Sartorius resulting from personal injury or death which arise during installation.

23) SERVICES PERFORMED AT SARTORIUS’ FACILITIES

The following shall be applicable with respect to all Objects to Be Serviced at Sartorius’ facilities:

a) Objects to Be Serviced shall be packed and shipped to Sartorius’ facilities by Customer at Customer’s sole expense, and Customer shall bear the risk of loss in regard to such shipment to and from Sartorius’ facilities. At Customer’s request, transportation to and, if necessary, from Sartorius’ facilities will be insured against insurable transport risks, e.g., theft, breakage, fire, at Customer’s expense. During the time that Service is performed at Sartorius’ facilities, no insurance protection is provided by Sartorius. Customer shall ensure that existing insurance coverage is maintained for the Object to Be Serviced, and only upon Customer's express request and at Customer’s expense will Sartorius obtain insurance to cover such risks.

b) Services hereunder shall be considered performed and completed if the Object to Be Serviced has been tested as provided by the Agreement.

c) In the event that Sartorius is delayed in the performance of any Services as a result of the acts or omissions of Customer and/or its employees, agents or contractors, or if Customer delays the return of the Object to be Serviced following performance and completion of the Services, Sartorius may charge Customer warehouse rent for storage at Sartorius’ facilities, or, at Sartorius’ discretion, the Object to Be Serviced may be stored elsewhere, and Customer shall bear the costs and the risk of storage at such other location.

24) SERVICES PERFORMED AT CUSTOMER’S FACILITIES

The following shall be applicable with respect to all Objects to Be Serviced at Customer’s facilities, or such other non-Sartorius facilities as Customer may indicate:

a) Customer, at its own expense, shall support Sartorius service personnel in performing the Services

hereunder, including ensuring that the Objects to Be Serviced are available for servicing at the time of each scheduled preventive maintenance or emergency service call. Sartorius’ service personnel will contact Customer to set a mutually agreeable date and time for each such service visit.

b) Customer shall take all required measures to protect people and objects on the site where the Services are to be performed and shall also inform Sartorius’ service personnel of any special safety rules and regulations. Sartorius may charge Customer, at its customary rates, for time incurred by Sartorius’ service personnel related to any facilities, policies, safety or training required by Customer, unless the foregoing is expressly included in the Price set forth in the Agreement.

c) Customer undertakes, at its own expense, to: (i) provide the necessary auxiliary staff in the number and for the time required to perform the Services hereunder, if necessary, and Sartorius shall not assume any liability for said auxiliary staff; (ii) perform all construction, foundation and all scaffolding work, including procurement of the building materials required therefor; (iii) provide the required devices and heavy machinery and/or tools as well as the required materials and items for said equipment; (iv) provide heating, lighting, utilities, water, including the required connections and outlets; (v) provide the necessary dry and lockable rooms for storing the service personnel’s tools; (vi) protect the site at which the Services are to be performed and the materials located there from damaging effects of any type, and clean the site at which the Services are to be performed; (vii) provide Sartorius’ service personnel with suitable and secure lounge and work areas (with heating, lighting, wash facilities, sanitary facilities) and first aid; and (viii) provide materials and take all action that is necessary to adjust the Object to Be Serviced and to perform contractually agreed testing.

d) Customer shall ensure that the Services can be started without undue delay upon arrival of Xxxxxxxxx’ service personnel and performed without delay. Insofar as special diagrams or instruction manuals are required for the Object to Be Serviced, Customer shall provide these in due time to Sartorius.

e) For Services to be performed within the scope of commissioning, Customer shall ensure, in particular, that electrical and mechanical installation of the Object to Be Serviced has been completed as a prerequisite to Sartorius’ beginning the Services

hereunder, with Customer providing the support set forth hereinabove.

f) If Customer fails to fulfill any of its obligations in this Section 24, and as a result of such failure, completion of the Services is delayed or Sartorius otherwise is prohibited from performing the Services, then Sartorius shall be entitled to charge Customer, at its customary rates, the costs incurred by Sartorius related to such failure.

25) DEADLINE FOR SERVICES PERFORMANCE

a) The times indicated as deadlines for the particular Service to be performed under the Agreement are based on estimates and, for this reason, shall not be binding. The Customer may request Xxxxxxxxx to agree to a binding deadline for performance of the Service(s) hereunder only if the scope of the work and/or Service is exactly defined.

b) A binding deadline for performance of a Service hereunder shall be considered met if upon expiration thereof the particular Object to Be Serviced is ready to be transferred to the Customer for retrieval, if said Object is to be tested as provided by the Agreement, and/or if the corresponding Service to be performed hereunder has been completed and/or the desired objective of said Service has been achieved.

c) If additional or extended orders are placed or if Services are additionally required, the agreed deadline for performing the originally ordered Service hereunder shall be extended accordingly.

d) If any Service to be performed hereunder is delayed in the context of events relating to industrial disputes, in particular strikes and lockouts, or occurrence of circumstances for which Xxxxxxxxx is not liable, the deadline for performing said Service shall be reasonably extended, insofar as such obstacles are proven to exert significant influence on performance of any Service hereunder; this shall also apply if such circumstances occur after Xxxxxxxxx has already defaulted on said performance.

e) If the Customer specifies a reasonable deadline, taking into account the legal exceptions, for subsequent performance of Service after said delay has occurred and if this new deadline is not met, the Customer shall be entitled within the scope of the legal provisions, to withdraw from the Agreement. Further claims on account of a delay in performance shall be governed exclusively as defined in Clause 25 d) hereof.

26) ACCEPTANCE

a) The Customer undertakes to accept the Service performed hereunder, whether in the form of repair, maintenance, commissioning service or other defined Service hereunder. If the Service performed does not conform to this Agreement, Xxxxxxxxx undertakes to eliminate the defect as defined by Section 28 hereunder, provided that this is possible for the particular Service to be performed. This shall not apply if the defect is minor when assessed in the interest of the Customer or is based on a circumstance for which the Customer is responsible. If there is a minor defect, the Customer may not refuse acceptance.

b) If acceptance is delayed through no fault of Xxxxxxxxx, acceptance shall be deemed as having taken place two (2) weeks after Xxxxxxxxx has notified the Customer of completion of the Service performed hereunder.

c) Upon acceptance, Xxxxxxxxx’ liability for discernible defects shall lapse, insofar as the Customer does not reserve the right to enforce a claim for a certain defect.

27) TERMINATION

Sartorius shall have the right to terminate the Agreement without any liability, if the Service is related to a Software and the Software or any of its versions will be discontinued. In case such discontinuation is notified to the Customer at a time that this Contract has a remaining term of longer than six (6) months, the Customer will get a pro-rate refund.

28) WARRANTIES AND REMEDIES

a) Sartorius warrants that the Services shall be conducted in a good and workmanlike manner in conformity with industry standards, and any parts supplied as part of the Services shall be in accordance with Sartorius’ Specifications. Should the Customer request more extensive tests, this shall be agreed in writing and the costs for said extensive tests shall be borne by the Customer.

b) If any failure to conform to the warranty is reported to Xxxxxxxxx in writing within the Services Warranty Period, Sartorius, upon being satisfied of the existence of such non-conformity, will correct the same by re- performing the Services. If Xxxxxxxxx is unable to

correct such non-conformity by re-performing the Services, Xxxxxxxxx may return the Price thereof, or, where appropriate, the portion of the Price of the non- conforming Services that Sartorius is unable to correct. The foregoing shall be Customer's sole and exclusive remedies, and the liability of Xxxxxxxxx hereunder is expressly limited to re-performance of nonconforming Services or the return of the Price thereof, as the case may be. The warranty set forth in this paragraph shall apply also to parts and to any replacement parts.

c) This warranty shall be in lieu of all other warranties, express or implied, and all other warranties, express of implied, including without limitation the warranties of merchantability and fitness for a particular purpose, are excluded.

d) This warranty shall also exclude used goods, used spare parts, damage incurred as a consequence of natural wear and tear, inadequate maintenance by anyone other than Sartorius, failure to follow equipment operating instructions, excessive or unsuitable use and improper construction and/or assembly work performed by third parties, and any other external effects and causes over which Sartorius had no control or for which Xxxxxxxxx was not responsible.

e) Sartorius shall be under no liability under the above warranty if Customer or a third party makes changes or repairs to the Object to Be Serviced hereunder and

/| or the damage was caused by or attributed to the improper use, negligence, accident or unauthorized service on the Object to Be Serviced by either Customer or any third party (with any authorization to be provided by Xxxxxxxxx in writing to customer).

29) LIABILITY

a) If parts of the Object to Be Serviced are damaged through the fault of Sartorius, Xxxxxxxxx may elect to repair said damage at its own expense or to deliver new replacements. Sartorius’ obligation to replace said damaged parts shall be limited to the price at which the particular Service was agreed. As for the remaining provisions, Clause 2928 c) shall apply accordingly.

b) If, through Sartorius’ fault, the Customer cannot use the Object to Be Serviced as provided by the Agreement, and this non-use results from failure to provide or the provision of deficient suggestions and or advice, either before or after said Agreement is signed, and other collateral obligations of the Agreement – in particular instructions for operation

and maintenance of the Object to Be Serviced, the provisions of Clauses 26 and 27 shall apply accordingly, excluding further customer claims.

c) In the event of damage that is not sustained by the Object to Be Serviced itself, Xxxxxxxxx shall be liable, irrespective of the legal reason, only (i) in the event of willful intent; (ii) in the event of gross negligence on the part of the legal representative / entities, directors or executive-level employees; (iii) in the event of culpable physical injury death and hazards to life and health; (iv) in the event of defects that it has fraudulently concealed or the absence of which it has guaranteed; (v) to the extent that liability is prescribed by the Product Liability Law applicable under the law governing the Agreement, for personal injury resulting from, or property damage to, privately used objects. In the event of culpable breach of material contractual duties, Xxxxxxxxx shall also be liable in the event of gross negligence by its non-executive employees and in the event of slight negligence, where the latter case shall be limited to losses that are typically associated with this type of contract and that are reasonably foreseeable. Any further claims shall be excluded.

Condiciones Generales Estándar de Venta de Mercancías y Servicios de entidades argentinas

SECCIÓN I- CONDICIONES GENERALES

1) ACEPTACIÓN, ÁMBITO Y ESTRUCTURA DE LAS PRESENTES CONDICIONES

a) Las presentes condiciones generales de venta ("CGV") serán de aplicación a la venta de las Mercancías (tal como se define a continuación) y a los Servicios (tal como se define a continuación) que se exponen en el Presupuesto que proporcione la entidad Sartorius ("Sartorius"), al que se adjuntan las presentes condiciones (el "Presupuesto"). En el presupuesto se definirá el precio, la entrega y xxxxx condiciones especiales que xxxx de aplicación. Xxxxxxxxx suministrará y el Cliente (tal como se define a continuación) se obliga a comprar las Mercancías y (si procede) los Servicios de acuerdo con las presentes CGV y basándose en las mismas, que junto con las Especificaciones (tal como se define a continuación) y el Presupuesto constituyen el “Contrato".

b) El Contrato constituye el acuerdo íntegro que celebran las partes y sustituye a todos los acuerdos, pactos, negociaciones, manifestaciones y garantías anteriores o contemporáneas, y las comunicaciones, tanto escritas como verbales. El presente Contrato prevalecerá sobre las condiciones generales de compra del Cliente, con independencia de que este último presente dichas condiciones. El cumplimiento del pedido del Cliente no constituirá la aceptación de las condiciones generales del Cliente y no servirá para modificar o revisar el presente Contrato.

c) Las presentes CGV contienen tres (3) secciones (cada una, una "Sección" y colectivamente las "Secciones"). La Sección I contiene las "Condiciones Generales", que serán de aplicación a todas las ventas de Mercancías y Servicios. La Sección II del presente Contrato contiene los "Términos y Condiciones de Venta de Mercancías", que serán de aplicación a las ventas de Mercancías, según sea el caso, además de las estipulaciones de la Sección I. La Sección III del presente Contrato contiene los "Términos y Condiciones de Venta de Servicios", que serán de aplicación a las ventas de Servicios, según sea el caso, además de las estipulaciones de la Sección I.

d) Los siguientes hechos constituirán la aceptación sin reservas de las presentes CGV por parte del Cliente: (i) el reconocimiento por escrito de las presentes CGV;

(ii) la emisión o cesión de un pedido de compra de Mercancías o Servicios en virtud de las mismas; (iii) la aceptación de un envío o entrega de Mercancías o de prestación de Servicios en virtud de las mismas; (iv) el pago de Mercancías o Servicios; (v) la fecha en que el Cliente descargue o instale un Software o (vi) cualquier otro acto o expresión de aceptación por parte del Cliente. Sin perjuicio de lo expuesto anteriormente, si existe un contrato escrito en vigor firmado por ambas partes que contemple la venta de Mercancías o Servicios cubiertos por el Presupuesto, prevalecerán los términos y condiciones de dicho contrato en la medida en que xxxx incompatibles con las presentes CGV.

e) Las presentes CGV serán de aplicación únicamente a los clientes comerciales y con respecto a las operaciones comerciales.

f) Las variaciones de las presentes CGV no serán vinculantes salvo que lo acuerden por escrito los Representantes autorizados del Cliente y xx Xxxxxxxxx.

2) DEFINICIONS

En las presentes CGV:

"Vinculada" significa la persona física o jurídica que directa o indirectamente (i) controle, (ii) esté controlada, o (iii) esté bajo el control común de la sociedad matriz de dicha Parte. A los efectos de esta definición, "control" significa la propiedad directa o indirecta de más del cincuenta por ciento (50%) de los derechos de voto en circulación, o del derecho a controlar las decisiones políticas de la entidad respectiva.

"LegislaciónAplicable" significa todas las leyes, normas, reglamentos, decretos, códigos de prácticas, directrices éticas o de gestión de investigación, directrices generales para prácticas de fabricación o de laboratorio, otros requisitos de autoridades reguladoras, además de cualquier reglamento de control de la exportación y programas de control de sanciones con las enmiendas que resulten de aplicación en su momento.

"Día Hábil" significa cualquier día que no sea xxxxxx, xxxxxxx u otro día festivo o cualquier día en el que las entidades de crédito estén autorizadas a cerrar o les exija xx xxx u otra medida del gobierno que cierren. "Información Confidencial" significa la información que se divulga por escrito, verbalmente,

electrónicamente o de cualquier otra forma (tangible o intangible) que tenga carácter confidencial o exclusivo de la otra Parte y/o de sus Vinculadas, incluidos, sin carácter limitativo, datos de su actividad mercantil, asuntos, clientes, proveedores, planes, estrategia, know-how, secretos comerciales o productos (existentes o en desarrollo).

"Consumibles" significa los suministros desechables o los productos consumibles que Xxxxxxxxx xxxxxx suministrar de conformidad con el presente Contrato. "Cliente" significa la persona física o jurídica que acepte el presupuesto xx Xxxxxxxxx correspondiente a la venta de Mercancías o Servicios, o cuyo pedido de Mercancías o Servicios acepte Sartorius.

"Lugar de Entrega" significa el lugar que se especifique en el Presupuesto en el que Xxxxxxxxx procurará la entrega de las Mercancías.

"Equipo" significa el equipo para las industrias biofarmacéutica, química, alimentaria y de bebidas y el sector académico, que Xxxxxxxxx xxxxxx suministrar e instalar de acuerdo con el Presupuesto y el Contrato. "Fuerza mayor" significa los sucesos ajenos a la voluntad de las Partes e incluirá, sin carácter limitativo, guerras, amenazas xx xxxxxx, revoluciones, actos de terrorismo, disturbios o desórdenes públicos, huelgas, cierres patronales u otros conflictos laborales, bloqueos o embargos, actos o restricciones que imponga el Gobierno o autoridad pública (incluidas, sin carácter limitativo, las órdenes de confinamiento), fallos en el suministro de agua, energía, combustibles, transporte, equipos u otros productos o servicios, explosiones, incendios, radiaciones, inundaciones, catástrofes naturales o condiciones meteorológicas adversas, pandemias, epidemias o acontecimientos fortuitos.

"Mercancías" significa las mercancías (incluidas las partidas o partes de estas) que Xxxxxxxxx xxxxxx suministrar de acuerdo con el Presupuesto y el presente Contrato, y podrán incluir, cuando el contexto lo requiera, los Consumibles, el Equipo, el Instrumento, los Medios o los Componentes de Medios, el Sistema, reactivos, plásmidos y/o el Software.

"Período de Garantía de la Mercancía" significará el período que comienza en la fecha de entrega de la Mercancía en el Lugar de Entrega y que finaliza un (1) año después de la fecha de entrega; o, en el caso de los Consumibles o de Mercancías con una vida útil más corta, que finaliza: (i) un (1) año después de la fecha de entrega; o (ii) al concluir la vida útil (fecha de caducidad o fecha de repetición de prueba según la Mercancía de que xx xxxxx) de dicho Consumible, lo que ocurra primero por orden cronológico. Si la Mercancía que se entregue son dispositivos que

Sartorius o sus contratistas instalen en las instalaciones del Cliente, el período de garantía comenzará en el momento que concluya la instalación, pero en ningún caso más tarde de dos (2) meses después de que se efectúe la entrega.

"CGV" significa las condiciones generales estándar que se exponen en el presente documento e incluyen (salvo que el contexto no lo exija) las condiciones especiales que acuerden por escrito el Cliente y Xxxxxxxxx.

"Propiedad Intelectual e Industrial" significa las patentes, solicitudes de patentes, modelos de utilidad, diseños, Invenciones (tal como se define más adelante), divulgación de invenciones, secretos comerciales, know-how, derechos de autor registrados y no registrados, obras de autoría, programas de software de ordenador, códigos fuente, bases de datos, marcas comerciales, marcas de servicio, nombres comerciales y presentación comercial, y derechos análogos de propiedad y licencias o derechos de uso relativos a lo que antecede.

"Invención" significa los nuevos dispositivos, diseños, productos, programas informáticos, artículos, métodos, procesos, o mejoras o alteraciones de estos, ya se puedan o no patentar, o ya se puedan o no proteger con derechos de autor, protegibles en virtud de una ley aplicable sobre máscaras, como un secreto comercial o de arreglo a una ley análoga.

"Medios o Componentes de Medios" significa compuestos de medios químicos y/o biológicos, proteínas, microportadores, excipientes, soluciones de preservación y suplementos de medios suministrados de acuerdo con el Presupuesto y el presente Contrato.

"Equipo Objeto de Asistencia" significa los equipos respecto a los cuales se van a prestar los Servicios, incluida, sin carácter limitativo, la Mercancía. "Plásmido" significa cualquier sistema de expresión génica suministrado por Xxxxxxxxx de acuerdo con el Presupuesto correspondiente y el presente Contrato. "Precio" significa el precio de la Mercancía que se determine de acuerdo con el Presupuesto y los "Precios" se interpretarás en consecuencia. "Presupuesto" significa el Presupuesto que elabore Xxxxxxxxx y se presente al Cliente.

"Reactivo" significa cualquier reactivo de transducción, reactivo de transfección y/o pequeñas moléculas relacionadas y/o tampones suministrados por Xxxxxxxxx de acuerdo con la Oferta relacionada y este Acuerdo.

"Representantes" significa los respectivos empleados, agentes, consultores, cargos directivos, subcontratistas y Vinculadas de Sartorius y del Cliente.

"Servicios" significa las reparaciones, el mantenimiento preventivo, las reubicaciones, las modificaciones retroactivas, las actualizaciones, las instalaciones, las calibraciones y los servicios de validación, junto con las piezas de repuesto que se utilicen en relación con lo que antecede, y en relación con la Mercancía y otros objetos.

"Periodo de Garantía de los Servicios" significa el periodo que comienza el día de la conclusión de la prestación de los Servicios y que finaliza noventa (90) xxxx después, o el periodo más amplio que especifique Xxxxxxxxx al Cliente por Escrito en el presupuesto. "Software" significa el software propio que desarrolle Sartorius para implantar la funcionalidad especificada, pero excluye los sistemas operativos, el software de red, los paquetes de bases de datos estándar, el software de interfaz periférica estándar y el software de terceros.

"Especificación" significa a la descripción de la Mercancías y los Servicios y es adjuntada por Xxxxxxxxx al Presupuesto (en su caso) o proporcionada de otra forma al Cliente o es proporcionada a Xxxxxxxxx por el Cliente (según sea el caso), por escrito.

"Sistema" significa la Mercancía que incluye el equipo físico que Xxxxxxxxx xxxxxx suministrar de conformidad con el presente Contrato, junto con (en la medida en que sea de aplicación) el Software y los entregables que se especifiquen en el Presupuesto. "Plazo" significa el período que comienza con la aceptación sin reservas de las presentes CGV por parte del Cliente, el que sea más breve de los siguientes: (i) el período de tiempo que se establezca en el Presupuesto o (ii) que se establezca en el código clave si Xxxxxxxxx licencia un Software.

"Escrito" significa las comunicaciones escritas que se envíen por carta o por correo electrónico.

Las referencias que se incluyan en las presentes CGV a alguna disposición de una ley se interpretará que son referencias a dicha disposición en su versión modificada, actualizada o ampliada en el momento correspondiente.

Los epígrafes de las presentes CGV se incluyen únicamente a efectos informativos y no afectarán a su interpretación.

3) FUNDAMENTO DE LA VENTA

a) Xxxxxxxxx venderá y el Cliente comprará la Mercancía o los Servicios de acuerdo con el Presupuesto escrito xx Xxxxxxxxx que acepte el Cliente, o el pedido escrito del Cliente que acepte Xxxxxxxxx por escrito, con sujeción en cualquier caso a las presentes CGV, que

regirán el Contrato con exclusión de otras condiciones generales con arreglo a las cuales el Cliente acepte o pretenda aceptar dicho Presupuesto, x xxxx o pretenda hacer dicho pedido. Los contratos verbales sólo serán válidos cuando Xxxxxxxxx los confirme por escrito.

b) Los empleados o agentes xx Xxxxxxxxx no estarán autorizados a hacer ninguna manifestación relativa a las Mercancías o Servicios salvo que Xxxxxxxxx las confirme por escrito. Al celebrar el Contrato, el Cliente reconoce que no xx xxxx en las manifestaciones que no se confirmen y renuncia al derecho a presentar demanda por incumplimiento de las mismas.

c) El asesoramiento o recomendación que proporcionen Xxxxxxxxx o sus empleados o agentes al Cliente o a sus empleados o agentes en cuanto al almacenamiento, la aplicación o el uso de la Mercancía que no confirme Xxxxxxxxx por escrito, se seguirá o se actuará por cuenta y riesgo del Cliente y, en consecuencia, Xxxxxxxxx no será responsable de tal asesoramiento o recomendación que no confirme. El material de marketing y xxxxx materiales promocionales relativos a las Mercancías o Servicios tienen carácter ilustrativo únicamente y no xxxxxx parte del Contrato. El Cliente admite, al presentar un pedido, que no se ha basado en manifestaciones o declaraciones xx Xxxxxxxxx que no xxxx las que se establecen expresamente en el Contrato.

d) Los errores tipográficos, administrativos o de otro tipo o las omisiones que se detecten en materiales de propaganda, Presupuesto, lista de precios, aceptación de oferta, factura u otro documento o información que xxxxx Xxxxxxxxx, incluido el sitio web xx Xxxxxxxxx, estarán sujetos a subsanación sin responsabilidad alguna por parte xx Xxxxxxxxx.

4) PEDIDOS

a) Xxxxxxxxx no manifiesta, garantiza ni se compromete a que esté disponible toda la Mercancía para el pedido en todo momento, ni a que pueda suministrar, hasta que se acepte el pedido, los volúmenes solicitados.

b) El Cliente no podrá anular ningún pedido que acepte Xxxxxxxxx, salvo que medie acuerdo escrito xx Xxxxxxxxx y con las condiciones de que el Cliente indemnice a Sartorius plenamente por todas las pérdidas (incluido el lucro cesante), costes (incluido el coste de toda la mano de obra y materiales utilizados), xxxxx y perjuicios, cargos y gastos que

contraiga Sartorius como consecuencia de la anulación.

c) El Presupuesto xx Xxxxxxxxx que no incluya ningún plazo de aceptación podrá revocarlo Xxxxxxxxx salvo que ésta reciba confirmación escrita de la aceptación por parte del Cliente en el plazo de tres (3) semanas a partir de la fecha del Presupuesto.

5) PRECIO

a) Xxxxxxxxx podrá variar los precios en cualquier momento sin previo aviso. El Precio se estipulará en el Presupuesto, o en el caso de que no se indique en el Presupuesto, se fijará de acuerdo con la lista de precios vigente en el momento en el que Xxxxxxxxx acepte el pedido del Cliente.

b) Xxxxx que se indique otra cosa en las condiciones del Presupuesto y salvo que acuerden el Cliente y Xxxxxxxxx otra cosa por Escrito, todos los Precios que proporcione Xxxxxxxxx xx xxxxx en xx xxxxx CPT INCOTERMS ® 2020. El Cliente será responsable de abonar los gastos xx Xxxxxxxxx por transporte, embalaje, xxxxx y seguro.

c) Los precios no incluyen el Impuesto sobre el Valor Añadido (ni el impuesto sobre las ventas equivalente), ni las retenciones ni xxxxx impuestos (salvo el impuesto sobre la renta al que Xxxxxxxxx esté sujeto), que satisfará el Cliente además. Si una cantidad que se adeude en virtud del Contrato está sujeta a dicho Impuesto sobre el Valor Añadido, impuesto sobre las ventas, retención o a otro impuesto que tenga el efecto de reducir la cantidad de dinero a la que Xxxxxxxxx habría tenido derecho a percibir o a retener del Cliente en virtud del Contrato de no ser por dicho impuesto, el Cliente satisfará dicha suma adicional a Xxxxxxxxx, a solicitud xx Xxxxxxxxx, al tipo vigente que disponga xx xxx para dicho impuesto. Los clientes de la UE estarán obligados a indicar su número de identificación a efectos del Impuesto sobre el Valor Añadido.

d) El Precio que se establezca en el Presupuesto incluirá el coste de la mano de obra, los desplazamientos y las piezas, siempre que el Servicio xx xxxxxx xxxxxxx el horario previsto en las presentes CGV. Los cargos por servicios o mercancías que no se contemplen en el Contrato se facturarán por separado en el momento en que se produzcan o entreguen y a las tarifas vigentes.

6) CONDICIONES DE PAGO

a) Con sujeción a las condiciones adicionales o de otro tipo que acuerden el Cliente y Xxxxxxxxx por escrito, Xxxxxxxxx tendrá derecho a facturar al Cliente el Precio de las Mercancías y de los Servicios en cualquier momento después de la entrega de las Mercancías o de la prestación de los Servicios.

b) El Precio de las Mercancías y/o los Servicios indicado en el Presupuesto estará sujeto a ajustes en caso de que:

i. se produzca un cambio en las Especificaciones o el Cliente solicite un cambio de la fecha de entrega o en las cantidades de Mercancías o Servicios solicitados en el Presupuesto;

ii. el Cliente no informe a Xxxxxxxxx o no le dé las instrucciones adecuadas o precisas que puedan xxx xxxxx a costes adicionales para Sartorius;

iii. el Cliente no recoja o acepte la entrega de las Mercancías o no permita que xx xxxxxxx los Servicios de acuerdo con el Presupuesto. Este aumento podrá incluir, sin carácter limitativo, una cuota de procesamiento que ascenderá xx xxxx (10%) por ciento del precio, al mes y durante un máximo de dos (2) meses, desde el momento en el que Xxxxxxxxx haya notificado por primera vez al Cliente que las Mercancías están a su disposición para recogerlas o (según sea el caso) que Xxxxxxxxx haya puesto a disposición la entrega de las Mercancías (la "Cuota por Almacenamiento"); y/o

iv. un cambio en el coste de los materiales, en los costes de producción, en los acuerdos de envío (incluidos los cargos por envío/entrega urgente), en la moneda o el cambio, así como aumentos de impuestos o aranceles, o condiciones distintas a las originales estipuladas en el Presupuesto.

c) Si dos (2) meses después de que Xxxxxxxxx notifique por primera vez que las Mercancías están listas para su recogida por parte del Cliente o después de que Xxxxxxxxx haya puesto por primera vez las Mercancías a disposición del Cliente, las Mercancías no hayan sido recogidas por el Cliente o el Cliente no haya aceptado la entrega de las Mercancías, o el Cliente no haya aceptado o permitido la prestación de los Servicios de acuerdo con el Presupuesto, Xxxxxxxxx tendrá derecho a facturar al Cliente el Precio de las Mercancías y/o de los Servicios y cualquier cantidad prevista en la cláusula 6(b), y el Cliente abonará el pago de dichos importes de acuerdo con las condiciones de la

Sección 6(d).

d) El Cliente satisfará el Precio en la moneda de facturación en el plazo de treinta (30) xxxx a partir de la fecha de factura xx Xxxxxxxxx, sujeto a la aprobación del crédito, salvo que no tenga lugar la entrega o la prestación y no se transmita la titularidad de la Mercancía al Cliente.

e) Si el Cliente no efectúa el pago en la fecha de vencimiento, Xxxxxxxxx tendrá derecho, sin perjuicio de cualquier otro derecho o recurso del que disponga, a

(i) rescindir el Contrato o a suspender cualquier otra entrega o prestación al Cliente; y (ii) a cobrar intereses al Cliente (tanto antes como después de la sentencia) sobre la cantidad no satisfecha, a los tipos más altos que permita xx xxx que rige el presente Contrato, hasta que se efectúe el pago íntegro. Los intereses se devengarán diariamente y se aplicarán a partir de la fecha de vencimiento del pago hasta que éste se efectúe íntegramente, ya sea antes o después de la sentencia.

f) Todos los pagos se efectuarán íntegramente y con fondos compensados, sin ninguna deducción, compensación ni reclamación compensatoria, de acuerdo con las condiciones de pago que se establezcan en el Presupuesto.

g) Xxxxxxxxx podrá exigir al Cliente que proporcione en concepto de garantía de pago, dos (2) semanas antes de la fecha de entrega, una carta de crédito irrevocable y confirmada, una fianza bancaria o un aval bancario. No se permitirá hacer valer derechos de retención ni compensar reclamaciones compensatorias del Cliente que no reconozca Sartorius, que no se determinen por resolución judicial firme y que no estén preparadas aún para que se dicte fallo en un litigio.

h) Xxxxxxxxx no estará obligado a aceptar cheques ni letras de cambio como forma de pago. La aceptación de dichas formas de pago xxxxxx acordarse previamente y se producirá en todo caso como causa de la prestación únicamente y no se considerará que es exención plena de xx xxxxxxxxxx. Todos los costes correspondientes correrán a cargo del Cliente. Las notas de abono correspondientes a cheques y letras de cambio se producirán deduciendo los costes y con sujeción al recibo en la fecha valor del día en que Xxxxxxxxx tenga acceso al importe equivalente.

7) RESPONSABILIDAD

a) En la medida en que lo permita xx xxx, Xxxxxxxxx no será responsable ante el Cliente por ninguna manifestación, ni por ninguna garantía implícita, condición ni otro término u obligación, ni en virtud de los términos expresos del Contrato, de ninguna pérdida o daño emergentes (sea por lucro cesante o por otro concepto), costes, gastos u otras reclamaciones de compensación consecuente, xxxx del tipo que xxxx (y xxxx causadas por negligencia xx Xxxxxxxxx, de sus empleados, Vinculadas o agentes o de otro modo) que se deriven o guarden relación con la ejecución del Contrato, salvo lo previsto expresamente en las presentes CGV.

b) Xxxxxxxxx no será responsable de la elección correcta de la Mercancía para el fin previsto en cada caso concreto ni de la conexión correcta de dichas Mercancías entre sí ni con artículos del Cliente. Esto será responsabilidad exclusiva del Cliente o de la persona que conecte e instale la Mercancía en nombre del Cliente. Xxxxxxxxx no asumirá responsabilidad alguna por las conexiones defectuosas o erróneas de las Mercancías ni por ningún uso que no cumpla la Legislación Aplicable en el país de uso.

c) Xxxxxxxxx no será responsable ante el Cliente ni se considerará que ha incumplido el Contrato por causa de xx xxxxxx en el cumplimiento, ni por el incumplimiento de alguna de las obligaciones xx Xxxxxxxxx previstas en el Contrato, si xx xxxxxx o el incumplimiento se debieran a un suceso de Fuerza Mayor.

d) En la medida en que lo permita xx xxx, y sin perjuicio de lo contenido en el Contrato, la responsabilidad total xx Xxxxxxxxx en virtud del presente Contrato o que guarde relación con el mismo, se derive de responsabilidad extracontractual (incluida la negligencia), contractual o de otro tipo, no superará, en total, el menor de los importes siguientes: i) los xxxxx directos causados al Cliente; o ii) el Precio que el Cliente satisfaga a Xxxxxxxxx por las Mercancías o Servicios que den lugar a dicha reclamación.

e) Sin perjuicio de la cláusula 7(i), Xxxxxxxxx no será responsable ante el Cliente por (i) pérdidas de beneficios o ingresos; (ii) pérdidas x xxxxx ocasionados a datos o sistemas de información; (iii) pérdidas de contratos u oportunidades de negocio; (iv) pérdidas de ahorros previstos; (v) pérdidas de fondo de comercio; ni por (vi) pérdidas x xxxxx indirectos, especiales o emergentes.

f) Ninguna de las Partes será responsable ante la otra por

el incumplimiento del presente Contrato en la medida en que dicho incumplimiento sea causa del incumplimiento del presente Contrato por la otra parte.

g) Xxxxxxxxx no tendrá responsabilidad alguna por los xxxxx y perjuicios que sufra una persona, directa o indirectamente, como resultado de (i) el funcionamiento o el uso de la Mercancía en combinación con otro hardware o software o cualquier otro producto que no suministre Sartorius; (ii) la modificación de la Mercancía o de alguno de sus componentes, incluido, sin carácter limitativo, el Software, que realice el cliente o un xxxxxxx; (iii) el uso de software de terceros que proporcione Sartorius en virtud de las presentes condiciones; ni/o de (iv) ninguna palabra, descripción, marca comercial, dispositivo y otros asuntos que figuren impresos en la Mercancía a solicitud del Cliente o de acuerdo con la Especificación del Cliente.

h) Xxxxxxxxx no será responsable ante el Cliente por ninguna manifestación, ni por ninguna garantía implícita, condición ni otro término u obligación, ni en virtud de los términos expresos o implícitos de este Contrato, por ninguna infracción supuesta o real de la Propiedad Intelectual e Industrial de un xxxxxxx debido al uso, la modificación, la alteración, la ampliación, la mejora, el procesamiento adicional o la combinación (incluida, sin carácter limitativo, la combinación con productos de terceros) de las Mercancías en la fecha o tras la fecha de entrega por parte del Cliente.

i) Si el Cliente proporciona a Xxxxxxxxx instrucciones, especificaciones o requisitos relacionados con el aprovisionamiento de Mercancías personalizadas, Xxxxxxxxx no será responsable ante el Cliente por ninguna manifestación, ni por ninguna garantía implícita, condición ni otro término u obligación, ni en virtud de los términos expresos o implícitos de este Contrato, por ninguna infracción supuesta o real de la Propiedad Intelectual e Industrial de un xxxxxxx debido a estos elementos personalizados o al uso que de ellos xxxx el Cliente.

j) En el caso de que las Mercancías que se suministren en virtud del presente Contrato xxxx Mercancías que formen un Sistema, el Cliente eximirá a Sartorius de toda responsabilidad frente a las reclamaciones de indemnización reales o pretendidas por xxxxx y perjuicios, sanciones, costes y gastos (incluidos los honorarios razonables de letrados) que se deriven, directa o indirectamente, de (i) la fabricación, uso, venta, distribución, comercialización o explotación comercial de productos farmacéuticos u otras

sustancias o derivaciones por parte del Cliente al utilizar el Sistema; o de (ii) la modificación del Sistema por parte del Cliente o un xxxxxxx.

k) Xxxxx en el caso de que Xxxxxxxxx o sus Representantes xxxx negligentes, el Cliente mantendrá indemne a Xxxxxxxxx y a sus Representantes frente a las demandas que inicien los propios Representantes del Cliente contra Xxxxxxxxx como consecuencia xx xxxxx civiles, muerte o pérdida de bienes que se produzcan mientras se encuentren en las instalaciones de Sartorius o mientras los Representantes del Cliente colaboren o ayuden a Xxxxxxxxx en su trabajo (si lo hubiera) en las instalaciones del Cliente.

8) TERMINACIÓN

a) Una u otra de las Partes podrá resolver inmediatamente el presente Contrato previa notificación escrita a la otra Parte en el caso de que ésta (i) cometa un incumplimiento sustancial del presente Contrato y dicho incumplimiento, si es susceptible de subsanación, no se subsane en un plazo de veinte (20) Xxxx hábiles a partir de la recepción de la notificación escrita en la que se exija la subsanación; o (ii) devenga insolvente o sea objeto de algún procedimiento en virtud de una ley de quiebra, de procedimiento concursal o liquidación, o no pueda satisfacer sus deudas a su vencimiento general; o (iii) sea objeto de un embargo de bienes, de medidas cautelares o de una resolución judicial que tenga un efecto sustancial adverso en sus operaciones; o (iv) realice una cesión en beneficio de sus acreedores que no sea en virtud de la concesión de financiación o crédito en el desarrollo ordinario de su actividad, o sea objeto de una solicitud de quiebra; o (v) realice un cambio sustancial en su dirección o control.

b) Si fuera aplicable esta cláusula, sin perjuicio de otro derecho o recurso del que disponga Xxxxxxxxx, Xxxxxxxxx tendrá derecho a rescindir el Contrato o a suspender cualquier otra entrega o prestación en virtud del mismo, sin responsabilidad alguna ante el Cliente, y si se entrega la Mercancía y/o se prestan los Servicios sin que se produzca su abono, será exigible el Precio inmediatamente, sin perjuicio de lo previsto en algún acuerdo o convenio anterior.

9) INDEMNIZACIÓN

a) El Cliente se obliga a indemnizar, defender y eximir a Xxxxxxxxx de toda responsabilidad frente

a todos los costes, pérdidas, gastos, xxxxx y perjuicios, reclamaciones, obligaciones de pago o multas, incluidos, sin carácter limitativo, los honorarios razonables de letrados y las costas judiciales, que se deriven o guarden relación con

(i) las demandas por infracción de cualquier Propiedad Intelectual o Industrial u otros derechos de propiedad de terceros en la medida en que las Mercancías se fabriquen o usen de acuerdo con las Especificaciones que proporcione o exija el Cliente; o con (ii) todas las lesiones reales o supuestas, o la muerte de personas, y con todos los xxxxx o la destrucción de bienes que se deriven o guarden relación directa o indirectamente con las Mercancías que se vendan de conformidad con el Contrato, o con los productos o artículos que se fabriquen utilizando dichas Mercancías, o que guarden relación con los productos, artículos o equipos a los que xx xxxxxx asistencia en virtud del Contrato, salvo los costes, pérdidas, gastos, xxxxx y perjuicios, reclamaciones, obligaciones de pago o multas que xxxx xxxxx o resultado directamente de dolo o negligencia grave por parte de Sartorius; o con (iii) la negligencia y/o dolo del Cliente, sus empleados o agentes; o (iv) cualquier incumplimiento por parte del Cliente y/o sus representantes de la Legislación Aplicable y/o las especificaciones relacionadas en la manipulación o uso de los Bienes y/o Servicios .

b) Xxxxxxxxx xx obliga a defender e indemnizar al Cliente y a eximirle de responsabilidad frente a los costes, pérdidas, gastos, xxxxx, reclamaciones, obligaciones de pago o multas, incluidos, sin carácter limitativo, los honorarios razonables de letrados y las costas judiciales, que xxxx resultado o se deriven de la negligencia y/o dolo de Sartorius, sus empleados o agentes.

10) SEGURO

El Cliente mantendrá, a su propio cargo, un seguro de responsabilidad civil general, incluido el seguro de responsabilidad civil por productos defectuosos, el seguro xx xxxxx materiales, el seguro de responsabilidad civil ante terceros, el seguro de operaciones terminadas y el seguro de responsabilidad contractual, y mantendrá dicha cobertura y límites en cantidades que xxxx razonables comercialmente. Además, el Cliente mantendrá, a su propio cargo, un seguro de accidentes laborales y los

seguros que exija xx xxx, en cantidades que xxxx razonables comercialmente. Previa solicitud escrita xx Xxxxxxxxx, el Cliente proporcionará a Xxxxxxxxx, sin demora, los certificados de seguro que acrediten las coberturas, los límites y las fechas de vencimiento de las pólizas de seguro respectivas.

11) REQUISITOS DE CUMPLIMIENTO NORMATIVO

a) El Cliente y Xxxxxxxxx cumplirán sus obligaciones respectivas, así como la Legislación Aplicable.

b) El Cliente es el responsable único de cumplir todas las obligaciones legales o reglamentarias relacionadas con el uso de las Mercancías. El Cliente es el único responsable de pedir y comprar el grado de calidad adecuado y relevante de los Productos y/o Servicios, coherente y conforme con el uso previsto por el Cliente, Xxxxxxxxx declina cualquier responsabilidad a este respecto.

c) El Cliente acepta también no exportar, reexportar o transmitir ningún software o tecnología que se desarrolle o que use información, softwares o tecnología que ofrece Sartorius, en vulneración de la Legislación Aplicable. Además, el Cliente no utilizará Mercancías, Servicios, información, Software y tecnología que ofrezca Sartorius en la tecnología nuclear ni en xxxxx de destrucción masiva (nucleares, biológicas o químicas) ni en relación con las mismas y con vehículos de transporte para las mismas, ni suministrará a consignatarios militares.

Los bienes y servicios pueden estar sujetos a restricciones de exportación internacionales y nacionales. La aceptación y la entrega del pedido se efectuarán en cumplimiento estricto de las disposiciones legales y de las normas de embargo correspondientes. La aceptación y la ejecución de los pedidos de bienes y servicios que requieran aprobación están supeditadas a la emisión de las licencias de exportación pertinentes por parte de las autoridades del país en cuestión. En el caso de que los bienes y servicios requieran aprobación, Xxxxxxxxx exigirá al usuario final la Declaración de Usuario Final oportuna en la que se indique el uso preciso de los bienes y servicios y se incluya un perfil informativo de la empresa. Los bienes y servicios se suministrarán para fines civiles y pacíficos exclusivamente. Con el pedido de compra, el Cliente se compromete a cumplir toda la Legislación Aplicable y a proporcionar toda la información y los datos que se soliciten oportunamente para la obtención de los documentos necesarios.

d) Se entiende expresamente y se acuerda que el Cliente será el único responsable de (i) identificar y cumplir con la Legislación Aplicable de su sector y (ii) realizar todas las acciones necesarias para probar y validar la Mercancía suministrada por Xxxxxxxxx. Se reconoce y acuerda que lo anterior se aplicará a los productos, independientemente de su fase de proceso y/o denominación (producto, producto final o intermedio, material y similares), que puedan generarse por o en relación con el uso de la Mercancía. Para que no xxxx xxxxx, cuando corresponda, el Cliente solo usará o permitirá que xx xxxx las Mercancías para fines de fabricación que no incluyan la administración o la aplicación de las Mercancías o los productos que incorporeny las Mercancías a (i) humanos a menos que la Mercancía esté específicamente comercializada por Xxxxxxxxx para su administración directa a seres humanos o (ii) animales, excepto de conformidad con la Legislación Aplicable, usos especificados e instrucciones dadas por Xxxxxxxxx por escrito.

e) Protección de datos: Xxxxxxxxx solicitará, tratará y utilizará los datos personales del Cliente para gestionar sus solicitudes, reclamaciones, pedidos o reparaciones y para la gestión continuada de la relación con el Cliente. Algunas de estas actividades de tratamiento de datos las llevan a cabo en nombre de Sartorius, Sartorius Corporate Administration GmbH, Alemania, sus Vinculadas o proveedores de servicios externos. Estas empresas pueden estar establecidas en cualquier lugar del mundo, incluso fuera de la Unión Europea. En todos los casos que impliquen la transferencia de datos personales, Sartorius garantizará el cumplimiento del reglamento de protección de datos. Además, Xxxxxxxxx transferirá estos datos a las autoridades, si existe xx xxxxxxxxxx legal de que Xxxxxxxxx lo xxxx. Los interesados tendrán derecho a acceder a los datos personales que trate Xxxxxxxxx y a actualizar los mismos. Con sujeción a los requisitos legales de la legislación de protección de datos, los interesados podrán exigir también la supresión o el bloqueo de sus datos. f) Leyes anticorrupción, Ley de Prácticas Corruptas en el Extranjero de EE.UU. y Ley Antisoborno del Reino Unido: El Cliente manifiesta conocer que: (a) Xxxxxxxxx podrá estar sujeta a las disposiciones de xx Xxx de Prácticas Corruptas en el Extranjero de 1977 de los Estados Unidos de América, 91 Statutes at

Large, artículos 1495 y siguientes, (la "FCPA"); y, (b) Xxxxxxxxx podrá estar sujeta a otras leyes de prevención del soborno y la corrupción, incluida, sin carácter limitativo, xx Xxx Antisoborno del Reino Unido y las leyes locales de las jurisdicciones cubiertas por la misma. El Cliente manifiesta además que está familiarizado con las disposiciones de la FCPA, de xx Xxx Antisoborno del Reino Unido y de las leyes locales de prevención del soborno y la corrupción aplicables, y que no llevará a cabo ni permitirá ninguna acción que constituya una infracción o que xxxx que Xxxxxxxxx infrinja las disposiciones de la FCPA, de xx Xxx Antisoborno del Reino Unido y de las leyes locales de prevención del soborno y la corrupción aplicables.

12) CLÁUSULAS GENERALES

a) Las notificaciones que exija o permita una de las partes a la otra en virtud de las presentes CGV se efectuarán por escrito y se dirigirán al domicilio social o principal de la otra parte o a la dirección que se notifique oportunamente a la parte que realiza la notificación de acuerdo con esta estipulación.

b) La renuncia xx Xxxxxxxxx al cumplimiento específico de alguna de las cláusulas del Contrato por parte del Cliente no se interpretará como renuncia al cumplimiento posterior de la misma ni de alguna otra estipulación. Cualquier renuncia propuesta por Xxxxxxxxx será nula e ineficaz a menos que se realice por escrito y esté firmada por un representante adecuadamente autorizado xx Xxxxxxxxx.

c) Si alguna de las estipulaciones de las presentes CGV es o deviene ineficaz total o parcialmente, no se verán afectadas por ello las xxxxx estipulaciones de las CGV. Lo que antecede será de aplicación también si se encuentra una omisión involuntaria en el Contrato. La estipulación ineficaz total o parcialmente se sustituirá, o la omisión no intencionada en las CGV se completará, por una estipulación adecuada que se aproxime lo más posible, en la medida en que sea posible legalmente, a la intención inicial de las partes contractuales o a lo que habrían pretendido según el significado y el propósito de las presentes CGV si hubieran tenido conocimiento de la ineficacia u omisión de la estipulación o estipulaciones en cuestión.

d) El presente Contrato xx xxxxxx e interpretará en el marco de la legislación de Argentina. La Convención de las Naciones Unidas sobre los Contratos de Compraventa Internacional de Mercaderías no será

aplicable al presente Contrato (La Convención de Viena sobre los Contratos de Compraventa).

En el caso de que el Cliente resida en Argentina, las controversias que se deriven del presente Contrato deberán someterse a los juzgados y tribunales locales del domicilio social de Sartorius, y las Partes prestan su consentimiento por el presente a la jurisdicción única y competencia exclusiva de dichos juzgados y tribunales. Además, Xxxxxxxxx tendrá derecho, a su discreción, a presentar sus propias demandas en la jurisdicción del Cliente. Una vez que se presente una demanda, el Cliente se limitará, basándose en sus propios derechos y pretensiones, a presentar una reconvención ante el tribunal concreto al que se presentó la demanda inicial x x xxxxx en cuenta su propia reclamación frente a la presentada en dicha demanda ante el tribunal.

En el caso de que el Cliente resida fuera de Argentina, las diferencias, controversias o demandas que se deriven o que guarden relación con el presente Contrato o su validez se resolverán definitivamente según lo dispuesto en el Reglamento de Arbitraje y Conciliación de la CCI, sin recurrir a los tribunales de justicia ordinarios (salvo en lo que respecta a medidas cautelares). La sede del arbitraje será el lugar del domicilio social xx Xxxxxxxxx. Xxxxxxxxx tendrá derecho, a su discreción, a presentar sus propias demandas en la jurisdicción de los juzgados y tribunales del domicilio social del Cliente. El procedimiento arbitral se desarrollará en inglés.

e) Cada una de las partes se compromete a mantener la confidencialidad de la Información Confidencial y no

(i) utilizará ni revelará la Información Confidencial de la otra parte a ninguna persona, con la excepción de que podrá revelar dicha Información Confidencial a aquellos de sus Representantes que necesiten conocerla para cumplir alguna obligación prevista en el presente Contrato, siempre y cuando dicha parte se asegure de que cada Representante al que se revele la Información Confidencial conozca su carácter confidencial y acepta cumplir lo previsto en esta cláusula como si fuera una parte; (ii) podrá revelar la Información Confidencial que exija xx xxx, un tribunal o autoridad pública reguladora o supervisora o cualquier otra autoridad de jurisdicción competente. Xxxxxxxxx podrá, y el Cliente así lo reconoce y acepta, utilizar y explotar los residuos para cualquier fin tras la devolución o destrucción de la Información Confidencial del Cliente sin incumplimiento de sus obligaciones de confidencialidad en virtud del presente documento. Tal y como se utiliza en el

presente documento, se entenderá por residuos la información de cualquier forma intangible, incluyendo pero sin limitarse a ideas, conceptos, técnicas y/o entendimientos retenidos en la memoria no asistida de los Representantes xx Xxxxxxxxx como resultado de su revisión, evaluación y prueba de la Información Confidencial del Cliente.

f) Los pedidos no serán cedibles ni transmisibles, total ni parcialmente, sin el consentimiento escrito expreso xx Xxxxxxxxx.

g) Los materiales de marketing, promoción u otro tipo de publicidad, ya xxxx escritos o en formato electrónico, que se refieran a Sartorius, a sus Vinculadas, a sus Mercancías, Servicios o a las presentes CGV xxxxxx aprobarlos Sartorius antes de su uso o publicación.

h) Xxxxxxxxx, o sus Vinculadas, es el propietario de determinadasmarcas de fábrica, marcas comerciales, nombres comerciales, logotipos y xxxxx Propiedad Intelectual. Salvo con autorización expresa xx Xxxxxxxxx, no se permitirá el uso de marcas de fábrica, marcas comerciales, nombres comerciales, logotipos y xxxxx propiedad intelectual e industrial de Sartorius ni de sus Vinculadas, ni la adopción, uso o registro de palabras, frases o símbolos que se asemejen tanto a las marcas de fábrica, marcas comerciales, nombres comerciales, logotipos y xxxxx Propiedad Intelectual de Sartorius o de sus Vinculadas que puedan llevar a confusión o incertidumbre, que perjudiquen o infrinjan estos de alguna manera, o que impliquen un respaldo de Sartorius a los productos o servicios de otra entidad.

i) Xxxx xx xx estipulado en el presente Xxxxxxxx se considerará que constituye un acuerdo de colaboración entre las partes ni que designa a una de ellas agente de la otra para algún fin. Además, cada una de las partes seguirá siendo responsable única de sus propios actos, manifestaciones, compromisos, prestaciones, productos (en el caso xx Xxxxxxxxx estará sujeta a los xxxxx términos de las presentes CGV en relación con las Mercancías y Servicios) y personal.

j) Xxxx xx xx estipulado en este documento pretende crear derechos de terceros xxxx Xxxxxxxxx.

SECCIÓN II- CONDICIONES GENERALES DE VENTA DE MERCANCÍAS

Si el Cliente adquiere Mercancías a Sartorius, se aplicarán exclusivamente las estipulaciones siguientes

en relación con la venta de Mercancías, y de Mercancías únicamente, además de las estipulaciones de la Sección I de las presentes CGV:

13) ESPECIFICACIONES

a) El Cliente será responsable xxxx Xxxxxxxxx de asegurar la exactitud de los términos de los pedidos (incluida la Especificación que xxxx de aplicación) que presente el Cliente ("Especificación del Cliente"), y de proporcionar a Xxxxxxxxx la información que sea necesaria con respecto a la Mercancía en un plazo suficiente para permitir a Xxxxxxxxx cumplir el Contrato de acuerdo con sus términos

b) La cantidad, calidad y descripción de la Mercancía, así como las Especificaciones de la misma, serán las que se establezcan en el Presupuesto xx Xxxxxxxxx.

c) Si Xxxxxxxxx xx de fabricar las Mercancías o realizar alguna transformación en estas siguiendo l una Especificación del Cliente que presente este último, el Cliente indemnizará a Xxxxxxxxx por todas las pérdidas, xxxxx y perjuicios, costes y gastos que contraiga Xxxxxxxxx o en los que incurra en relación con la resolución de la demanda por infracción de la Propiedad Intelectual de algún xxxxxxx como consecuencia del uso por parte de Sartorius de la Especificación del Cliente, o que Xxxxxxxxx liquide o acuerde liquidar.

d) Xxxxxxxxx xx reserva el derecho a realizar los cambios (i) en la Especificación o, en su caso, en la Especificación del Cliente de la Mercancía que se requieran para cumplir algún requisito de seguridad u otros requisitos legales que xxxx de aplicación; y/o (ii) en el caso de que la Mercancía deba suministrarse según la Especificación de Sartorius relativa a los componentes, la funcionalidad o las características de rendimiento de la Mercancía que se suministre en virtud de un pedido formulado, siempre que la Mercancía siga cumpliendo en todos los aspectos sustanciales la Especificación o la Especificación del Cliente que esté en vigor en el momento del pedido.

14) ENTREGA

a) La Mercancía se entregará en el Lugar de Entrega en las fechas que se especifiquen en el Presupuesto a más tardar. Xxxxxxxxx notificará al Cliente por Escrito lo antes posible razonablemente en cuanto tenga conocimiento de que es posible que se produzca un retraso en la entrega y proporcionará un presupuesto revisado, si es posible. La Mercancía podrá entregarse mediante

entregas sucesivas. El retraso en la entrega o el defecto en una entrega parcial no dará derecho al Cliente a anular otra entrega parcial o el Contrato. Salvo que las Partes acuerden otra cosa, el Cliente eliminará el material de embalaje a su cargo.

b) Xxxxxxxxx hará todo lo posible por cumplir los plazos de entrega, pero dichos plazos son sólo aproximados y el plazo de entrega no es condición esencial, por lo que Xxxxxxxxx no será responsable del retraso en la entrega de la Mercancía, sea cual sea su causa. Xxxxxxxxx podrá entregar la Mercancía antes de la fecha de entrega que se especifique en el presupuesto, previa notificación al cliente con antelación razonable.

c) El Cliente reconoce que la variación en las cantidades de la Mercancía pedida hasta un diez por ciento (10%) más o un diez por ciento (10%) menos de la cantidad pedida no se considerará incumplimiento por parte xx Xxxxxxxxx de la ejecución del suministro de la Mercancía pedida, con la condición de que Xxxxxxxxx facturará al Cliente únicamente, y este último estará obligado a abonar, la cantidad entregada realmente.

d) Xx Xxxxxxxxx no pudiera entregar la Mercancía por causa ajena a la voluntad xx Xxxxxxxxx o por causa imputable al Cliente, y en consecuencia fuera responsable Xxxxxxxxx ante el Cliente, la responsabilidad de Xxxxxxxxx xx limitará al Precio de la Mercancía que Xxxxxxxxx no haya podido entregar.

15) RIESGO Y PROPIEDAD

a) El riesgo de daño o pérdida de las Mercancías se transmitirá al Cliente: (i) en el caso de que las Mercancías se entreguen en las instalaciones de Sartorius, la transmisión del riesgo xxxxxx xxxxx en el momento en que Xxxxxxxxx notifique al Cliente que tiene a su disposición las Mercancías para su recogida o, (ii) en el caso de que el destino de las Mercancías no sea las instalaciones de Sartorius, la transmisión de riesgo xxxxxx xxxxx en el momento de la entrega o, si el Comprador no acepta dicha entrega, en el momento en que Xxxxxxxxx ponga a disposición la entrega de dichas Mercancías.

b) Sin perjuicio de lo previsto con respecto a la entrega y la transmisión del riesgo de la Mercancía, o en otra estipulación de las presentes CGV, la propiedad de la mercancía no se transmitirá al Cliente hasta que Xxxxxxxxx reciba en efectivo o en fondos disponibles el pago íntegro del Precio de la Mercancía.

c) Hasta el momento en que se transmita la propiedad

de la Mercancía al Cliente, este último conservará la Mercancía en calidad de agente fiduciario y depositario xx Xxxxxxxxx, mantendrá la Mercancía separada de la del Cliente y de la de terceros, debidamente almacenada, protegida y asegurada, e identificada como propiedad xx Xxxxxxxxx, cuidará la Mercancía razonablemente y la mantendrá en el mismo estado en que se entregó, informará a Xxxxxxxxx inmediatamente en el caso de que se encuentre incurso en un procedimiento de insolvencia y permitirá, previo aviso con antelación razonable, que Xxxxxxxxx inspeccione la Mercancía durante el horario normal de oficina del Cliente, y proporcionará a Sartorius la información relativa a la Mercancía que ésta solicite en cada momento. Hasta el momento en que el Cliente tenga conocimiento o xxxx xxxxx conocimiento razonablemente de que se ha producido o es probable que se produzca algún tipo de insolvencia, el Cliente tendrá derecho a revender o utilizar la mercancía en el desarrollo de su actividad mercantil, xxxx xxxxxx dar cuenta a Sartorius del producto neto de la venta o de otra disposición de la Mercancía, ya sea tangible o intangible, incluido el producto del seguro, y mantendrá la totalidad de dicho producto separado de los fondos o haberes del Cliente y de terceros y, en el caso de que sea producto tangible, lo mantendrá debidamente almacenado, protegido y asegurado. Si el Cliente revende la Mercancía de acuerdo con lo que antecede, la titularidad se transmitirá al Cliente inmediatamente antes de la reventa. Si el Cliente informa a Xxxxxxxxx, o Xxxxxxxxx cree razonablemente, con anterioridad a la transmisión de la titularidad de la Mercancía al Cliente, que el Cliente se encuentra incurso en un procedimiento de insolvencia o es probable que lo esté, Xxxxxxxxx podrá (i) exigir al Cliente que devuelva la Mercancía a Xxxxxxxxx (a cargo del Cliente si así lo solicita Xxxxxxxxx); y/o (ii) si el Cliente no lo hace con prontitud, podrá entrar en el local donde se almacene la Mercancía y recuperarla.

d) Hasta el momento en que se transmita la titularidad de la Mercancía al Cliente (y siempre que siga existiendo la Mercancía y no se haya revendido), Xxxxxxxxx tendrá derecho a exigir en cualquier momento al cliente que entregue la Mercancía a Xxxxxxxxx y, si el cliente no lo hace inmediatamente, a entrar en el local del cliente o de un xxxxxxx en el que esté almacenada la Mercancía y recuperarla.

e) El Cliente no tendrá derecho a pignorar ni gravar de ningún modo como garantía de una deuda, ninguna de las Mercancías que sigan siendo titularidad xx Xxxxxxxxx, pero si el cliente lo hace, serán exigibles

inmediatamente todas las sumas que adeude a Xxxxxxxxx (sin perjuicio de cualquier otro derecho o recurso xx Xxxxxxxxx).

16) GARANTÍAS Y RECURSOS

a) Con sujeción a las condiciones que se establecen en las presentes condiciones, Xxxxxxxxx proporciona al Cliente una garantía limitada de que las Mercancías se corresponden con su Especificación en el momento de la entrega y de que estarán libres de defectos de materiales y mano de xxxx xxxxxxx el Periodo de Garantía de la Mercancía. Xxxxxxxxx tendrá la opción de reparar, sustituir o reembolsar el Precio de las Mercancías que no cumplan lo previsto en esta cláusula 16(a), siempre que el Cliente notifique por escrito a Xxxxxxxxx (i) en el caso de defectos que puedan descubrirse mediante una inspección física, en el plazo de cinco (5) xxxx hábiles a más tardar desde la llegada de la Mercancía xx Xxxxx de Entrega; o (ii) en el caso de defectos ocultos, en un plazo razonable desde la llegada de las Mercancías xx Xxxxx de Entrega o, de acuerdo con la Legislación Aplicable, desde la fecha en que el Cliente identifique dichos defectos ocultos, que una parte o la totalidad de las Mercancías no cumplen lo previsto en esta cláusula 16(a), e identificando con suficiente detalle la índole y el alcance de los defectos. Se considerará que el Cliente acepta la Mercancía si no notifica a Xxxxxxxxx que la Mercancía no cumple lo previsto en esta cláusula 16(a) en los plazos que se establecen más arriba. El Cliente cumplirá la política de devoluciones xx Xxxxxxxxx que le pueda ser notificada periódicamente, incluido si la política de devoluciones especifica procedimientos alternativos y en la medida en que lo xxxx, y los periodos de tiempo aplicables establecidos más arriba. Del mismo modo, y sujeto a las condiciones aquí establecidas, Xxxxxxxxx proporciona al Cliente una garantía limitada de que los Reactivos y Plásmidos, serán estables durante el Periodo de Garantía de las Mercancías, entendiéndose que la estabilidad del Reactivo y/o Plásmido puede, sin embargo, modificarse cuando el Reactivo y/o Plásmido se mezcla para constituir un compuesto.

b) Xxxxxxxxx concede dicha garantía con sujeción a las condiciones siguientes: (i) Xxxxxxxxx no será responsable de ningún defecto en las Mercancías que se derive de un plano, diseño o Especificación del Cliente que proporcione este último; (ii) Xxxxxxxxx no será responsable de ningún defecto que se derive del uso y desgaste normal, accidente, desastre, evento de fuerza mayor, uso indebido, xxxxxx x xxxx

premeditado, negligencia, condiciones de trabajo irregulares, sobretensiones o fallos eléctricos, incumplimiento de las instrucciones de Sartorius (ya xxxx verbales o escritas) en cuanto al almacenamiento, manipulación, uso, caducidad, instalación, puesta en servicio, mantenimiento devolución o eliminación de las Mercancías o de las buenas prácticas en relación con el almacenamiento, instalación, puesta en servicio, uso o mantenimiento de las Mercancías, uso indebido o alteración o reparación de las Mercancías sin la aprobación xx Xxxxxxxxx; (iii) Xxxxxxxxx no tendrá responsabilidad alguna en virtud de la garantía que antecede (ni en virtud de otra garantía, condición o aval) si no se abona el Precio total de las Mercancías en la fecha de vencimiento del pago; (iv) la garantía que antecede no se extenderá a las piezas o materiales que no fabrique Sartorius, con respecto a los cuales el Cliente solo tendrá derecho a beneficiarse de la garantía que ofrezca el fabricante a Sartorius; (v) Sartorius no tendrá responsabilidad alguna en virtud de la garantía que antecede (ni en virtud de otra garantía, condición o aval) en el caso de que el Cliente utilice las Mercancías después de notificar a Sartorius que esta no cumplen lo previsto en la cláusula 16(a) de las presentes CGV; (vi) Xxxxxxxxx no será responsable de la eficacia del Reactivo y/o Plásmido una vez incorporado a otro producto o mezclado para constituir un compuesto. (vii) Xxxxxxxxx no tendrá responsabilidad alguna en virtud de la garantía que antecede (ni en virtud de otra garantía, condición o aval) en el caso de que dicho fallo se produzca como resultado xx xxxxx o pérdidas que xxxxxx xxxxx después de que se transmita el riesgo de las Mercancías al Cliente. CUALQUIER INSTALACIÓN, MANTENIMIENTO, REPARACIÓN, SERVICIO, REUBICACIÓN, ALTERACIÓN U OTRA MANIPULACIÓN DE LAS MERCANCÍAS REALIZADA POR OTRA INSTANCIA QUE NO SEA SARTORIUS, SIN LA APROBACIÓN PREVIA POR ESCRITO XX XXXXXXXXX, CUALQUIER USO DE UNA PIEZA NO SUMINISTRADA POR SARTORIUS PARA DICHAS MERCANCÍAS O CUALQUIER USO DE LAS MERCANCÍAS EN ENTORNOS CON NIVELES DE BIOSEGURIDAD BSL 3/4 INVALIDARÁ DE FORMA INMEDIATA Y AUTOMÁTICA TODAS LAS GARANTÍAS CON RESPECTO A DICHAS MERCANCÍAS. LA GARANTÍA PROPORCIONADA POR EL PRESENTE CONTRATO TAMBIÉN PUEDE SER CANCELADA O INVALIDADA POR PARTE XX XXXXXXXXX SI EL CLIENTE ENVÍA LAS MERCANCÍAS FUERA DEL PAÍS AL QUE EL SARTORIUS LAS EXPIDIÓ.

LAS GARANTÍAS DE XXXXXXXXX XX EXTIENDEN SOLO AL CLIENTE CITADO EN EL PRESUPUESTO Y EL CLIENTE NO PUEDE TRANSFERIR LA GARANTÍA. CON LA EXCEPCIÓN DE LA GARANTÍA EXPRESAMENTE ESTABLECIDA EN LA SECCIÓN 16(a), SARTORIUS NO OFRECE NINGUNA GARANTÍA, EXPRESA O IMPLÍCITA, VERBAL O ESCRITA, CON RESPECTO A LAS MERCANCÍAS Y SERVICIOS, DURANTE O COMO PARTE DEL TRANSCURSO DE LA NEGOCIACIÓN, PUESTA EN PRÁCTICA, USO O PRÁCTICA COMERCIAL, O DE OTRA MANERA, INCLUIDAS, SIN CARÁCTER LIMITATIVO, CUALQUIER (I) GARANTÍA DE COMERCIABILIDAD; O (II) GARANTÍA DE IDONEIDAD PARA UN FIN DADO.

c) ESTA GARANTÍA ES EXCLUSIVA, Y ES LA ÚNICA Y EXCLUSIVA OBLIGACIÓN DE SARTORIUS CON RESPECTO A LAS MERCANCÍAS Y SERVICIOS, Y QUEDAN EXCLUIDOS EL RESTO DE GARANTÍAS, CONDICIONES Y OTROS TÉRMINOS IMPLÍCITOS DE ACUERDO CON XX XXX O DISPOSICIONES LEGALES EN LA MEDIDA EN QUE LO PERMITA XX XXX. SARTORIUS NO TENDRÁ NINGUNA OTRA OBLIGACIÓN CON RESPECTO A LAS MERCANCÍAS, SERVICIOS O NINGUNA PARTE DE ESTAS MERCANCÍAS O SERVICIOS, YA SE DERIVE DE RESPONSABILIDAD CONTRACTUAL, EXTRACONTRACTUAL, OBLIGACIÓN ESTRICTA O DE OTRO TIPO. LOS RECURSOS QUE SE ESTABLECEN EN LA SECCIÓN 9(b) SERÁN EL ÚNICO Y EXCLUSIVO RECURSO A DISPOSICIÓN DEL CLIENTE.

d) El Cliente no tendrá derecho en ningún caso a realizar una reclamación de garantía si infringe sus obligaciones estipuladas en el presente documento, incluido, sin carácter limitativo, el pago.

17) PROPIEDAD INTELECTUAL

a) Sin perjuicio de cualquierotra estipulación incluida en el presente Contrato, ni de la resolución o el vencimiento de este, Xxxxxxxxx será el titular de todos los derechos, títulos e intereses de toda la Propiedad Intelectual e Industrial relativa a las Mercancías que posea o controle Sartorius en la fecha del Presupuesto, y de toda la Propiedad Intelectual e Industrial que cree Xxxxxxxxx después de su confirmación escrita del pedido, siempre que no se base exclusivamente ni utilice sustancialmente: (i) la Información Confidencial del Cliente; ni (ii) la Propiedad Intelectual e Industrial titularidad del

Cliente. Salvo que se disponga expresamente lo contrario, las presentes CGV no transfieren, ceden, alquilan ni licencian al Cliente, ni le proporcionan de otro modo ningún derecho o interés sobre ninguna Propiedad Intelectual e Industrial titularidad xx Xxxxxxxxx. La obtención y el mantenimiento de los derechos de autor o de la Propiedad Intelectual e Industrial relativos a la Mercancía, o de otros derechos de propiedad relativos a la tecnología, incluidas las invenciones titularidad xx Xxxxxxxxx, xx llevará a cabo o se proseguirá a la discreción xx Xxxxxxxxx y a su cargo. El Cliente no utilizará ni causará o permitirá el uso de las Mercancías de ninguna manera (i) que confiera a un xxxxxxx cualquier Propiedad Intelectual e Industrial sobre las Mercancías o con respecto a estas o (ii) que cree obligaciones contractuales, legales o reglamentarias para revelar la venta de las Mercancías al Cliente por parte xx Xxxxxxxxx.

b)En el caso de que la Mercancía, o alguna parte de la misma, sea objeto de una demanda por infracción, o en opinión xx Xxxxxxxxx pueda ser objeto de dicha demanda, el Cliente permitirá a Xxxxxxxxx, a elección y a cargo xx Xxxxxxxxx, bien (i) que obtenga para el Cliente el derecho a seguir utilizando la misma; o bien (ii) que sustituya o modifique la Mercancía (o las piezas o elementos de la misma afectados) para que no infrinjan, siempre que dicha sustitución y/o modificación no afecte sustancialmente a la funcionalidad o eficiencia de la Mercancía. Las obligaciones xx Xxxxxxxxx en virtud de esta cláusula no serán de aplicación a la Mercancía que modifique o utilice el Cliente de forma distinta a la prevista en el Contrato o en las instrucciones de Sartorius. El Cliente indemnizará a Xxxxxxxxx por todas las pérdidas, xxxxx y perjuicios, obligaciones de pago, costes y gastos que contraiga Xxxxxxxxx en relación con la demanda que se derive de dicha modificación o uso.

c) En relación con las marcas comerciales que figuren o se incorporen en la Mercancía, el uso de las mismas se hará de acuerdo con el presente Contrato y con las directrices de xxxxxx xx Xxxxxxxxx (o de su licenciante, en su caso) que suministre al Cliente oportunamente y todo el fondo de comercio inherente al uso de las marcas comerciales se devengará en beneficio xx Xxxxxxxxx (o de su licenciante) y, a solicitud xx Xxxxxxxxx, el Cliente firmará, a su cargo, todos los documentos y hará todo lo necesario para ceder dicho fondo de comercio a Sartorius o al licenciante xx Xxxxxxxxx, xxxxx sea el caso. El Cliente se compromete a no solicitar el

registro ni a registrar la misma marca ni ninguna otra cuya similitud presté a confusión, ni a pretender o ayudar a alguien a que lo lleve a cabo y, salvo en la medida en que Xxxxxxxxx lo autorice por escrito, el Cliente no alterará ni eliminará dicha marca de la Mercancía.

18) RESTRICCIONES DE USO

a) El Cliente no utilizará las Mercancías ni la documentación asociada para aplicaciones de diagnóstico in vitro de humanos a menos que Xxxxxxxxx especifique expresamente lo contrario. Por otra parte, el Cliente solo utilizará o permitirá el uso de las Mercancías (i) de acuerdo con las instrucciones por escrito xx Xxxxxxxxx (incluidas las instrucciones impresas sobre el embalaje de las Mercancías o que se adjunten con las Mercancías), en relación con el almacenamiento, la manipulación, el uso, la caducidad, la instalación, la puesta en servicio, la devolución o la eliminación de las Mercancías; y (ii) dentro de la fecha de caducidad indicada en el embalaje de las Mercancías o indicada de otra forma por escrito por Xxxxxxxxx.

b) El Cliente no realizará las siguientes acciones ni causará o permitirá que ningún xxxxxxx:

i. utilice los Medios o los Componentes de Medios o cualquier Plásmido o cualquier Reactivo fuera del campo de uso o para la actividad permitida acordada entre el Cliente y Sartorius ("Finalidad Permitida") y, si el Cliente no identifica ningún campo de uso ni actividad permitida o acordada por Xxxxxxxxx, Xxxxxxxxx xx reservará todo el derecho a rescindir la entrega, así como este Contrato, cuando se identifique el campo de uso o la actividad permitida;

ii. transfiera a ningún xxxxxxx o permita a un xxxxxxx acceder a cualquier cantidad de los Medios o Componentes de Medios, a excepción y a menos que los Medios o Componentes de Medios se incorporen a otro material del que Xxxxxxxxx sea consciente, que se realice de acuerdo con la Finalidad Permitida y que xxxx vendidos como un producto por el Cliente; o

iii. analice, intente modificar, desensamblar, reensamblar, descompilar o aplicar ingeniería inversa, o intente de otra forma determinar la estructura, secuencia, formulación o composición de los Medios o Componentes de Medios o Plásmidos o Reactivos o muestra de los mismos sin

consentimiento previo por escrito xx Xxxxxxxxx. Para el caso específico de los Plásmidos comerciales, además de lo dispuesto anteriormente, no se transmite ningún derecho a amplificar, replicar y/o duplicar dichos Plásmidos comerciales, ni expresa ni implícitamente.

19) SISTEMAS Y SOFTWARE

Si el cliente adquiere una licencia de Software a Sartorius, incluido el software con licencia en relación con la compra de una Mercancía y cualquier otro software o firmware que lleve incorporado la misma, cargado o asociado de otro modo a la Mercancía adquirida, serán de aplicación las estipulaciones adicionales siguientes:

a) Xxxxxxxxx concede al Cliente el derecho y la licencia no exclusivos para utilizar la copia del Software en forma de objeto que se encuentra en el soporte informático legible que Xxxxxxxxx proporciona al Cliente.

b) El Software y los derechos de autor correspondientes son titularidad xx Xxxxxxxxx, de una Xxxxxxxxx xx Xxxxxxxxx y/o de ciertos proveedores xx Xxxxxxxxx y de sus Vinculadas, y no se transmitirá la titularidad del Software en general ni de los derechos de autor respectivos al Cliente como resultado del uso del Software por parte de este último. Los derechos de licencia que se conceden en virtud de las presentes condiciones no se pueden transmitir a un xxxxxxx sin el permiso escrito xx Xxxxxxxxx.

c) El Software está protegido por la Legislación de derechos de autor del país respectivo y por los tratados internacionales, y el Cliente no copiará ni permitirá que se copie, salvo que tenga derecho el Cliente a (i) realizar las copias que xxxx necesarias para el uso del Software por parte del Cliente de acuerdo con su finalidad, incluida la corrección de errores, (ii) a duplicar el Software con fines de copia de respaldo o archivo y transferir el Software a un ordenador de reserva en caso de funcionamiento defectuoso del ordenador, o (iii) a observar, estudiar o probar el funcionamiento del Software con el fin de determinar las ideas y los principios que subyacen a un elemento del Software si el Cliente lo hace mientras realiza alguno de los actos de carga, visualización, ejecución, transmisión o almacenamiento del Software a los que tiene derecho.

d) El Cliente (i) no utilizará el Software si no es con las Mercancías adquiridas ni para ningún fin que no esté comprendido dentro del ámbito de la aplicación para

la que se suministra, (ii) no pretenderá ni permitirá que se lleve a cabo ingeniería inversa, desmontaje, descompilación, modificación, adaptación del Software ni combinación del Software con otro software, salvo que sea indispensable para obtener la información que sea necesaria para lograr la interoperabilidad del Software con otros programas, pero solo en la medida en que sea indispensable, siempre que la información que sea necesaria para lograr la interoperabilidad no haya estado a disposición del Cliente previamente, y (iii) no trasladará el Software a ningún país que vulnere alguna normativa de control de importaciones o exportaciones que sea de aplicación. El Cliente se compromete a abstenerse de eliminar las marcas del fabricante y, en particular, los avisos de derechos de autor, y de cambiarlos sin el consentimiento escrito previo de Sartorius. Todos los xxxxx derechos sobre el software y la documentación, incluidas las copias, seguirán siendo titularidad xx Xxxxxxxxx. El Cliente no tendrá derecho a sublicenciar el Software.

e) El Cliente comprende además que el uso que xxxx del Software estará sujeto a los términos de los contratos de licencia de terceros, a los avisos que Xxxxxxxxx proporcione al Cliente y a los derechos de otros titulares o proveedores terceros del software o firmware que esté incluido en el Software, y el Cliente cumplirá los términos de tales contratos de licencia de terceros y los derechos que le proporcione Sartorius por anticipado.

f) El Software está cubierto por las garantías limitadas aplicables al Sistema que se establecen en la Sección 16 y por ninguna otra garantía, expresa ni implícita.

g) Xxxxxxxxx no manifiesta ni garantiza, expresa ni implícitamente, que no se interrumpa el funcionamiento del Software o del firmware, que esté libre de errores ni que las funciones que están contenidas en el Software o el firmware cumplan o satisfagan el uso fuera de la Especificación acordada. Las correcciones del Software o del firmware que se realicen durante el Período de Garantía de la Mercancía estarán garantizadas durante un período de tres (3) meses a partir de la fecha de envío por parte xx Xxxxxxxxx o hasta el vencimiento del Período de Garantía de la Mercancía, el período que sea mayor.

h) El incumplimiento de alguno de los términos de este apartado extingue el derecho del Cliente a utilizar el Software. Una vez que se extinga dicho derecho, el Cliente xxxxxx devolver a Xxxxxxxxx el disco que proporcione Sartorius, así como todas y cada una de las copias del mismo y de cualquier otro Software.

i) Las sustituciones, reparaciones o actualizaciones del Software que reciba el Cliente en lo sucesivo xx Xxxxxxxxx o de una Xxxxxxxxx xx Xxxxxxxxx, se proporcionarán con sujeción a las mismas restricciones y a las xxxxx estipulaciones que se contienen en este apartado, con independencia de que xx xxxx referencia al apartado o a las presentes CGV específicamente cuando el Cliente reciba dicha sustitución, reparación o actualización, salvo que se proporcione dicha sustitución, reparación o actualización con un contrato de licencia independiente que sustituya específicamente, en virtud de sus términos, las presentes CGV. El plazo de garantía para las actualizaciones será de un (1) año a partir de la fecha de su entrega al Cliente. Dichas sustituciones, reparaciones o actualizaciones se proporcionarán a los precios y condiciones de pago que se convengan en el momento en que se suministren.

j) Xxxxxxxxx no tendrá responsabilidad ni obligación alguna en virtud de la garantía si la modificación del software o del firmware la realiza alguien que no sea Xxxxxxxxx o quien esta designe. Además, Xxxxxxxxx repercutirá los costes y gastos que contraiga hasta el momento en que se descubra dicha modificación, así como los correspondientes a todos los trabajos de rectificación posteriores que xxxx necesarios para devolver el Software o el firmware a su estado garantizado.

k) El cliente reconoce que Xxxxxxxxx puede o quiere ofrecer el Software, el Sistema y las instalaciones a los Precios, únicamente en referencia a las limitaciones que se mencionan y a causa de las mismas.

20) EQUIPOS

Si el Cliente adquiere un Equipo a Xxxxxxxxx que xxxxxx instalar Xxxxxxxxx, se aplicarán las estipulaciones siguientes adicionales:

a) Pruebas de Aceptación en Fábrica ("FAT"): Xxxxxxxxx notificará al Cliente por escrito cuando el Equipo esté listo para ser probado en las instalaciones de Sartorius. Después de dicha notificación, los representantes de cada parte acudirán, a su propio cargo, a las instalaciones xx Xxxxxxxxx en la fecha que acuerden mutuamente con el fin de probar el Equipo de acuerdo con las Especificaciones que xxxx de aplicación y con el protocolo FAT que emitirá Xxxxxxxxx y aprobará el Cliente. Xxxxxxxxx proporcionará al Cliente un informe certificado de los resultados de las pruebas. Una vez que se pruebe el Equipo de acuerdo con esta Sección 20 a), Xxxxxxxxx entregará el Equipo en el Lugar de

Entrega del Cliente, en la fecha que se convenga mutuamente.

b) Prueba de Aceptación en Terreno ("SAT"): una vez finalizada la instalación y puesta en servicio del Equipo, representantes xx Xxxxxxxxx y del Cliente acudirán, a su propio cargo, xx Xxxxx de Entrega en la fecha que acuerden mutuamente, con el fin de realizar la puesta en servicio y la prueba de aceptación del Equipo de acuerdo con las Especificaciones que xxxx de aplicación y con el protocolo FAT que emitirá Sartorius y aprobará el Cliente. Xxxxxxxxx proporcionará al Cliente un informe certificado de los resultados de las pruebas. Además de los recursos previstos en las presentes CGV, Xxxxxxxxx podrá resolver el presente Contrato con efecto inmediato, previa notificación escrita al Cliente, en el caso de que este último no acepte el Equipo de acuerdo con las estipulaciones del protocolo SAT y dicho retraso se prolongue durante diez (10) xxxx a partir de la recepción de la notificación escrita, por parte del cliente

SECCIÓN III- CONDICIONES GENERALES DE VENTA DE SERVICIOS

Si el Cliente adquiere Servicios a Sartorius, se aplicarán exclusivamente las estipulaciones siguientes en relación con la venta de Servicios, y de Servicios únicamente, además de las estipulaciones de la Sección I de las presentes CGV y Términos y Condiciones Específicos de los Servicios que puedan aplicarse específicamente a un Servicio determinado..

21) EQUIPO OBJETO DE ASISTENCIA

a) Cuando el Equipo Objeto de Asistencia no se haya comprado a Xxxxxxxxx, el Cliente informará a Xxxxxxxxx de los derechos de Propiedad Intelectual en relación con el Equipo Objeto de Asistencia antes de la prestación de los Servicios, y el Cliente eximirá a Sartorius de responsabilidad frente a las reclamaciones de terceros en relación con cualquier infracción de dichos derechos de Propiedad Intelectual .

b) El Cliente garantizará que el Equipo Objeto de Asistencia dentro del ámbito de un Servicio en virtud de las presentes condiciones no suponga peligro alguno para la salud de los agentes o empleados de Sartorius.

c) Salvo que se indique otra cosa en el Presupuesto xx Xxxxxxxxx, el horario estándar de servicio en virtud del

Contrato será de lunes a viernes, de 08:00 a 17:00 horas (hora local en las instalaciones de Sartorius), excluidos los xxxx festivos.

22) SERVICIOS DE INSTALACIÓN

a) Si se acuerda y se detalla en el Presupuesto, Xxxxxxxxx instalará la Mercancía, siempre y cuando Xxxxxxxxx y el Cliente acuerden con antelación suficiente para permitir que comience la instalación, toda la información que sea necesaria respecto a la instalación de la Mercancía, en particular el lugar de instalación y todos los planos y xxxxx detalles pertinentes, incluidas todas las interfaces de software. El calendario de la información necesaria que xxxxxx proporcionar cada Parte lo acordarán los jefes de proyecto respectivos de cada Parte en el plazo de un

(1) mes a partir de la fecha en que Xxxxxxxxx acepte el pedido del Cliente.

b) Sartorius tendrá derecho a variar el Precio para cubrir los costes especiales de transporte, manipulación, elevación u otros costes de instalación, y para cubrir los gastos de almacenamiento u otros gastos que se deriven de los retrasos del Cliente en la preparación del lugar de instalación o en la entrega de información correcta y completa, instrucciones, licencias, consentimientos y de los tiempos que xxxx necesarios para la fabricación, modificación, suministro, envío, entrega o instalación de la Mercancía.

c) En el caso de que no se pudiera instalar la Mercancía en el lugar de instalación en el plazo de los dos (2) meses siguientes a la entrega, debido a retrasos en la preparación del lugar de instalación, Xxxxxxxxx tendrá derecho a facturar al Cliente el Precio de los bienes y servicios.

d) En los casos en que se acuerde que Xxxxxxxxx instale la mercancía, el Cliente, a su cargo, (i) preparará el lugar;

(ii) garantizará unas condiciones de trabajo razonables; (iii) proporcionará a Sartorius zonas seguras para el almacenamiento de materiales y equipos de instalación; (iv) proporcionará un acceso adecuado xx xxxxx; (v) garantizará la seguridad del lugar y certificará que el lugar está libre de riesgos químicos y biológicos; (vi) proporcionará todas las instalaciones que especifique Sartorius antes de la instalación, incluido, sin perjuicio de la generalidad de lo que antecede, el suministro de electricidad, agua, gas, aire comprimido, redes de datos, controles ambientales, sistemas de ventilación, equipos de elevación adecuados e iluminación.

e) Cuando Xxxxxxxxx lo solicite, el Cliente completará y proporcionará los permisos de trabajo y hará todo lo posible para facilitar el acceso al emplazamiento de los Representantes xx Xxxxxxxxx fuera de las horas normales de trabajo cuando sea necesario. Xxxxxxxxx hará todo lo posible razonablemente, en la medida en que lo permita la LegislaciónLegislación Aplicable, por cumplir los requisitos especiales del emplazamiento de los que reciba notificación escrita previa.

f) Xxxxxxxxx xx reserva el derecho a rechazar la instalación de la Mercancía cuando, en su opinión, no se haya preparado o proporcionado el emplazamiento y/o el acceso como se indica anteriormente, y no será responsable de las pérdidas, xxxxx o gastos adicionales que se deriven de dicho incumplimiento.

g) Salvo en caso de negligencia por parte xx Xxxxxxxxx o de sus Representantes, el Cliente eximirá a Xxxxxxxxx y a sus Representantes de toda responsabilidad por las reclamaciones, pérdidas, xxxxx, sanciones u otros que se presenten contra Xxxxxxxxx como consecuencia xx xxxxx civiles o muerte que se produzcan durante la instalación.

23) SERVICIOS PRESTADOS EN LAS INSTALACIONES DE SARTORIUS

Lo siguiente será de aplicación con respecto a todos los Equipos Objeto de Asistencia en las instalaciones de Sartorius:

a) El Cliente embalará y enviará los Equipos Objeto de Asistencia a las instalaciones xx Xxxxxxxxx a su cargo exclusivo, y el Cliente asumirá el riesgo de pérdida en relación con dicho envío cuyo destino y origen xxxx las instalaciones xx Xxxxxxxxx. A solicitud del cliente, el transporte a las instalaciones de Sartorius y, en caso necesario, desde las instalaciones de Sartorius estará asegurado contra los riesgos de transporte asegurables, por ejemplo, robo, rotura, incendio, a cargo del Cliente. No habrá cobertura de seguro durante el período en el que xx xxxxxx el Servicio en las instalaciones de Sartorius. El Cliente se asegurará de que se mantenga la cobertura de seguro existente para el Equipo Objeto de Asistencia. Xxxxxxxxx podrá contratar un seguro para cubrir dichos riesgos únicamente a solicitud expresa del Cliente y a cargo de este último.

b) Se considerará que xx xxx realizado y finalizado los servicios prestados en virtud del presente contrato si se ha probado el Equipo Objeto de Asistencia según lo previsto en el Contrato.

c) En el caso de que Xxxxxxxxx xx retrase en la ejecución de alguno de los Servicios como resultado de los actos u omisiones del Cliente y/o de sus empleados, agentes o contratistas, o si el Cliente se retrasara en la devolución del Equipo Objeto de Asistencia después de la ejecución y finalización de los Servicios, Xxxxxxxxx podrá optar por repercutir al Cliente el alquiler por el almacenamiento en las instalaciones de Sartorius o, a discreción xx Xxxxxxxxx, el Equipo Objeto de Asistencia podrá almacenarse de otra manera. El cliente xxxxxxx con el gasto y el riesgo de almacenamiento.

24) SERVICIOS PRESTADOS EN LAS INSTALACIONES DEL CLIENTE

Lo siguiente será de aplicación con respecto a todos los Equipos Objeto de Asistencia en las instalaciones del Cliente, o en otras instalaciones ajenas a Sartorius que el Cliente indique:

a) El cliente prestará, a su cargo, asistencia al personal de servicio de Sartorius en la prestación del Servicio previsto en las presentes condiciones, incluida la garantía de que los Equipos Objeto de Asistencia estén disponibles para el servicio en el momento de cada mantenimiento preventivo programado o de la llamada de servicio de emergencia. El personal de servicio de Xxxxxxxxx xx pondrá en contacto con el Cliente para fijar la fecha y hora de mutuo acuerdo para cada visita de servicio.

b) El Cliente adoptará todas las medidas que xxxx necesarias para proteger a las personas y las cosas en el emplazamiento donde xx xxxxxxx los Servicios. Informará también al personal de servicio xx Xxxxxxxxx acerca de las normas y reglamentos especiales de seguridad. Xxxxxxxxx podrá facturar al Cliente, a sus tarifas habituales, el tiempo que el personal de servicio xx Xxxxxxxxx dedique en relación con la instalación, la política, la seguridad o la formación que requiera el Cliente, salvo que lo que antecede esté incluido expresamente en el Precio que se establece en el Contrato.

c) El Cliente se compromete, a su cargo, a: (i) proporcionar el personal auxiliar necesario en el número y durante el tiempo que sea necesario para la prestación de los Servicios, en caso de ser necesario. Xxxxxxxxx no asumirá responsabilidad alguna por dicho personal auxiliar; (ii) llevar a cabo todos los trabajos de construcción, cimentación y andamiaje, incluida la adquisición de los materiales de construcción que

xxxx necesarios para ello; (iii) proporcionar los dispositivos y la maquinaria pesada y/o las herramientas que se precisen, así como los materiales y artículos necesarios para dicho equipo; (iv) proporcionar calefacción, iluminación, energía, agua, incluidas las conexiones y xxxxx de corriente requeridas; (v) proporcionar las xxxxx secas y con cerradura que xxxx necesarias para almacenar las herramientas del personal de servicio; (vi) proteger el emplazamiento en el que preste el Servicio y los materiales que se conserven allí de efectos dañinos de cualquier tipo, y limpiar el sitio en el que xx xxxxxx el Servicio; (vii) proporcionar zonas de descanso y de trabajo adecuadas y seguras al personal de servicio de Sartorius (con calefacción, iluminación, instalaciones xx xxxxxx, instalaciones sanitarias) y primeros auxilios; y (viii) proporcionar materiales y xxxxx todas las medidas que xxxx necesarias para ajustar el Equipo Objeto de Asistencia y llevar a cabo las pruebas acordadas contractualmente.

d) El Cliente garantizará que pueda iniciarse el Servicio sin demora indebida a la llegada del personal de servicio xx Xxxxxxxxx y prestarse sin demora. En la medida en que se requieran diagramas o manuales de instrucciones especiales para el Equipo Objeto de Asistencia, el Cliente los proporcionará a Xxxxxxxxx a su debido tiempo.

e) Para los Servicios que xx xxxxxxx dentro del ámbito de la puesta en servicio, el cliente garantizará, en particular, que se haya finalizado la instalación eléctrica y mecánica del Equipo Objeto de Asistencia como requisito previo para comenzar el Servicio previsto en las presentes condiciones, además de proporcionar la asistencia prevista más arriba.

f) Si el Cliente no cumpliera sus obligaciones previstas en la presente Sección 24, y se retrasara la finalización de los Servicios como resultado de dicho incumplimiento o se le prohibiera a Sartorius prestar los Servicios, Xxxxxxxxx tendrá derecho a repercutir en el Cliente, a sus tarifas habituales, los costes que contraiga en relación con dicho incumplimiento.

25) PLAZO PARA LA PRESTACIÓN DE LOS SERVICIOS

a) Los plazos indicados como fechas límite para el Servicio concreto que xx xxxxxx en virtud de las presentes condiciones xx xxxxx en estimaciones y por dicha razón no serán vinculantes. El cliente podrá solicitar a Xxxxxxxxx que acuerde un plazo vinculante para la prestación del Servicio o Servicios previstos en

las presentes condiciones, solo si define exactamente el ámbito del trabajo y/o del Servicio.

b) El plazo vinculante para la prestación de un Servicio previsto en las presentes condiciones se considerará xxxxxxxx si al vencimiento del mismo, el Equipo Objeto de Asistencia está a disposición del cliente para su retirada, si dicho Equipo Objeto de Asistencia debe someterse a prueba según lo previsto en el Contrato, y/o se ha finalizado el Servicio correspondiente objeto de las presentes condiciones y/o se ha logrado el objetivo deseado de dicho Servicio.

c) En el caso de pedidos adicionales o ampliados o de Servicios adicionales se prorrogará en consecuencia la fecha límite acordada para la prestación del Servicio pedido inicialmente.

d) Si se retrasara algún Servicio objeto de las presentes condiciones en el contexto de actos relacionados con conflictos laborales, en particular huelgas y cierres patronales, o con el acaecimiento de circunstancias ajenas a la voluntad xx Xxxxxxxxx, xx ampliará razonablemente el plazo para la prestación de dicho Servicio, en la medida que se demuestre que tales obstáculos ejercen una influencia significativa en la prestación del Servicio previsto en las presentes condiciones; lo que antecede será de aplicación también si tales circunstancias se producen después de que Xxxxxxxxx haya incumplido dicha prestación.

e) Si el cliente especificara un plazo razonable, teniendo en cuenta las excepciones legales, para la prestación posterior del Servicio después de que se haya producido dicho retraso y no se cumpliera el nuevo plazo, el Cliente tendrá derecho a resolver el Contrato dentro del ámbito de las disposiciones legales. Las reclamaciones adicionales que se deriven del retraso en la prestación se regirán exclusivamente conforme se establece en la Sección 25d) de las presentes condiciones.

26) RECEPCIÓN

a) El cliente se compromete a aceptar el Servicio prestado en virtud de las presentes condiciones, ya sea en forma de reparación, mantenimiento, puesta en servicio u otro Servicio que xx xxxxxx en las presentes condiciones. Si el Servicio prestado no fuera conforme a lo previsto en el presente Contrato, Xxxxxxxxx xx compromete a eliminar el defecto conforme se establece en la Sección 28 de las presentes condiciones, siempre que sea posible para que xx

xxxxxx el Servicio concreto. Lo que antecede no será de aplicación si el defecto xx xxxxx en lo que respecta al interés del Cliente o si xx xxxx en una circunstancia que no sea ajena a la voluntad del cliente. En caso de defecto menor, el Cliente no podrá xxxxxxx la recepción.

b) Si se retrasa la recepción por causa ajena a la voluntad de Xxxxxxxxx xx considerará que ha tenido lugar la misma transcurridas dos (2) semanas desde que Xxxxxxxxx notifique al cliente la finalización del Servicio prestado en virtud de las presentes condiciones.

c) La responsabilidad xx Xxxxxxxxx por los defectos discernibles se extinguirá al producirse la recepción, en la medida en que el Cliente no se reserve el derecho a formular una reclamación por un defecto determinado.

27) TERMINACIÓN

Xxxxxxxxx tendrá derecho a resolver el Contrato sin responsabilidad alguna, si la Asistencia guarda relación con un Software o con alguna de las versiones del mismo que xxxx objeto de suspensión. En el caso de que se notifique dicha suspensión al Cliente en una fecha en que el presente Contrato tenga una vigencia restante superior a seis (6) meses, el Cliente obtendrá un reembolso a prorrata.

28) GARANTÍAS Y RECURSOS

a) Xxxxxxxxx garantiza que los Servicios se llevarán a cabo de forma correcta y profesional, de conformidad con las normas del sector, y que todas las piezas que se suministren como parte de los Servicios se ajustarán a las Especificaciones de Sartorius. En el caso de que el Cliente solicite pruebas más exhaustivas, se acordará por escrito y los costes de las xxxxxx xxxxx a cargo del Cliente.

b) Si se informa por escrito a Xxxxxxxxx un incumplimiento de la garantía dentro del Periodo de Garantía de los Servicios, Sartorius, una vez comprobada la existencia de dicho incumplimiento, lo subsanará volviendo a prestar los Servicios. Si Xxxxxxxxx no pudiera subsanar dicha disconformidad volviendo a prestar los Servicios, Xxxxxxxxx podrá devolver el Precio de los mismos o, en su caso, la parte del Precio de los Servicios disconformes que Xxxxxxxxx no pueda subsanar. Lo que antecede serán los recursos únicos y exclusivos del Cliente, y la responsabilidad xx Xxxxxxxxx en virtud de las presentes condiciones se limita expresamente a la nueva prestación de los Servicios no conformes o a

la devolución del Precio de los mismos, según sea el caso. La garantía que se establece en este párrafo se aplicará también a las piezas y a las piezas de recambio.

c) La garantía sustituye a todas las xxxxx garantías, expresas o implícitas, y quedan excluidas todas las xxxxx garantías, expresas o implícitas, incluidas, sin carácter limitativo, las garantías de comerciabilidad e idoneidad para un fin determinado.

d) La garantía excluirá también los productos usados, las piezas de repuesto usadas, los xxxxx sufridos como consecuencia del uso y desgaste natural, el mantenimiento inadecuado, siempre que no lo haya realizado Xxxxxxxxx, el incumplimiento de las instrucciones de funcionamiento del equipo, el uso excesivo o inadecuado y la construcción y/o montaje incorrectos realizados por terceros y cualquiera otros efectos y causas externos sobre las que Sartorius no tenga control o de los que no sea responsable.

e) Xxxxxxxxx no contraerá responsabilidad alguna en virtud de la garantía anterior si el Cliente o un xxxxxxx efectúan cambios o reparaciones en el Equipo Objeto de Asistencia y los xxxxx xx ocasionan o se atribuyen a uso indebido, negligencia, accidente o servicio no autorizado en el Equipo Objeto de Asistencia por parte del Cliente o de terceros (sin que medie autorización escrita por parte xx Xxxxxxxxx al cliente).

29) RESPONSABILIDAD

a) Si xx xxxxx piezas del Equipo Objeto de Asistencia por causa imputable a Xxxxxxxxx, Xxxxxxxxx podrá optar por reparar dicho daño a su propio cargo o entregar repuestos nuevos. Xx xxxxxxxxxx xx Xxxxxxxxx de sustituir dichas piezas dañadas se limitará al precio al que se acordó el Servicio concreto. En cuanto a las xxxxx estipulaciones, se aplicará la Sección 29c).

b) Si el Cliente no puede utilizar el Equipo Objeto de Asistencia de acuerdo con lo previsto en el Contrato por causa imputable a Sartorius, y la no utilización se xxxx x xx xxxxx de suministro o a que se proporcionen sugerencias y/o asesoramiento deficientes, ya sea antes o después de la firma de dicho Contrato, así como a otras obligaciones adicionales del Contrato - en particular, las instrucciones para el funcionamiento y el mantenimiento del Equipo Objeto de Asistencia-, se aplicarán en consecuencia las estipulaciones de las Sección 26 y 27 , excludidas las reclamaciones adicionales del Cliente.

c) En el caso xx xxxxx que no se originen en el propio

Equipo Objeto de Asistencia, Xxxxxxxxx será responsable, con independencia de los fundamentos de derecho, únicamente (i) en caso de dolo; (ii) en caso de negligencia grave por parte del representante legal/entidades, administradores o cargos ejecutivos;

(iii) en caso de negligencia con resultado de lesión física, muerte y peligros para la vida y la salud; (iv) en caso de defectos que oculte fraudulentamente o xxxx xxxxxxxx garantice; (v) en la medida en que xx Xxx de Responsabilidad Civil por Productos Defectuosos aplicable en virtud de xx xxx que rige el Contrato, prevea la responsabilidad por xxxxx personale resultantes de objetos de uso privado, x xxxxx materiales ocasionados a estos últimos. En caso de incumplimiento culposo de las obligaciones contractuales esenciales, Xxxxxxxxx será responsable también en caso de negligencia grave por parte de sus empleados no ejecutivos y en caso de negligencia leve, la responsabilidad se limitará a las pérdidas que suelen asociarse con este tipo de contrato y que son previsibles razonablemente. Xxxxxx excluidas las xxxxx reclamaciones.
