Üürnik ja Üürileandja (xxxxxx xxx Pool xx xxxx kui Xxxxxx) on sõlminud käesoleva lepingu (Leping), lähtudes järgnevast:
(a) Üürileandja on väljendanud soovi anda Üürnikule üürile Üürileandja omandis olev Üürilepingu ese aadressil Saha-xxx xxx 00, Jõelähtme vald, Iru küla, Xxxxx maakond, koos selle oluliste osadega ja päraldistega (Üürilepingu ese);
(b) Üürnik on väljendanud soovi Üürilepingu eset üürida tingimusel, et Üürileandja muudab esimesel võimalusel, kuid hiljemalt ühe aasta jooksul pärast käesoleva lepingu allkirjastamist Üürilepingu eseme sihtotstarbe tootmismaaks või osaliselt tootmismaaks, et Üürnik saaks taotleda xx xxxxx jäätmeloa Üürilepingu eseme kasutamiseks muu hulgas jäätmete ladustamiseks;
(c) Lepinguga soovivad Pooled reguleerida omavahelisi õigusi ja kohustusi Üürilepingu eseme Üürnikule üürile andmisel.
2. TAUST
The Lessee and the Lessor (individually as a Party and collectively as the Parties) have entered into this Contract (Contract), subject to the following:
(a) The Lessor has expressed their wish to lease the Object of the Lease at the address Xxxx-xxx xxx 00, Xxxxxxxxx Xxxxxx, Xxx Xxxxxxx, Xxxxx Xxxxxx, owned by the Lessor, together with its essential parts and accessories (Object of the Lease) to the Lessee.
(b) The Lessee has expressed a wish to rent the Object of the Lease on the condition that as soon as possible but at latest within a year of signing this Contract, the Lessor changes the specific purpose of the Object of the Lease to production land or partially production land so that the Lessee can apply and obtain a waste permit to use the Object of the Lease for storing waste inter alia.
(c) With this Contract, the Parties wish to regulate their rights and obligations in relation to the lease of the Object of the Lease to the Lessee.
2. BACKGROUND

3.1. Üürilepingu eseme kirjeldus | 16.871 m2 suurune ärimaa, millel asub ca 4.000 m² betoonkividega kaetud parklaala xx xxxxx asuv ehitis, mille Lepingu esmeks olevate bürooruumide pindala on 249,8 m2 ja laoruumide pindala on 2.605,3 m2. Üürilepingu eseme täpsemad andmed ja paiknemine plaanidel on välja toodud Lepingu lisas 1 ja 2. |

3.3. Üürileandja kohustus muuta Üürilepingu eseme sihtotstarvet | Üürileandja on kohustatud võimalikult kiiresti muutma Üürilepingu eseme sihtotsarbe tootmismaaks või osaliselt tootmismaaks, tegema selleks kõik vajalikud toimingud ja kandma kõik sellega seotud kulud. |
3.OBJECT OF THE LEASE | |
3.1. Description of the Object of the Lease | Commercial land of 16,871 m2 with a concrete paved car park of approximately 4.000 m² and a building on it with the Object of the Lease consisting of office space with an area of 249, 8 m2 and warehouse with area of 2.605,3 m2. The details of the Object of the Lease and its location on the plans are set out in Annexes 1 and 2 to the Contract. |

3.3. Lessor’s obligation to change the specific purpose of the Object of the Lease | The Lessor has an obligation to change as soon as possible the specific purpose of the Object of the Lease to production land or partially production land, to perform all necessary actions and bear all costs regarding this. |
4. TÄHTAJAD
4.1. Üürilepingu eseme üleandmise aeg | Üürilepingu eseme otsene valdus antakse Üürniku üle hiljemalt 11.02.2022 (Üüriperioodi algus) Üürileandjal on õigus mõjuval põhjusel Üürilepingu eseme otsese valduse üleandmine edasi lükata ühel korral maksimaalselt kuni 30 päeva võrra, teatades sellest Üürnikule ette vähemalt 5 päeva, xxxx, et Üürnikul tekiks õigus kasutada Üürileandja vastu õiguskaitsevahendeid, sh Lepingust taganeda. |
4.2. Lepingu tähtaeg | Leping on sõlmitud tähtajalisena ja kehtib kuni 31.03.2027. |
4.3. Lepingu tähtaja automaatne pikenemine | Leping ei pikene automaatselt tähtaja möödumisel. |
4.4. Korraline ülesütlemine | Üürnikul on õigus käesolev leping ühepoolselt üles öelda teatades sellest kirjalikult 2 nädala jooksul xxxxx alltoodud tähtaegade saabumist: (a) Kui Üürilepingu eseme sihtotstarvet ei muudeta kinnistusraamatus tootmismaaks 12 kuu jooksul alates käesoleva lepingu allkirjastamisest; (b) kui Üürnikule ei ole väljastatud Üürilepingu eseme kasutamiseks vajalikku jäätmeluba 3 kuu jooksul alates kuupäevast, mil Üürilepingu eseme sihtotstarve muudeti kinnistusraamatus tootmismaaks. Eeltoodud põhjustel lepingu ülesütlemisel ei ole Üürileandjal õigus Üürnikult nõuda mingeid leppetrahve, kahju hüvitamist, saamata jäänud tulu hüvitamist ega muid sanktsioone. Pooltel ei xxx xxxxx eelnimetatud õiguste Lepingu korralise ülesütlemise õigust. |
4. DEADLINES | |
4.1. Time of delivery of the Object of the Lease | Direct possession of the Object of the Lease will be handed over to the Lessee no later than on 11 February 2022 (start of the Rental Period) The Lessor has the right, with good reason, to postpone the transfer of the direct possession of the Object of the Lease for a period of up to 30 days, giving the Lessee at least 5 days' notice, without the Lessee being entitled to exercise any legal remedies against the Lessor, including to withdraw from the Contract. |
4.2. Term of the Contract | The Contract is concluded for a fixed term until 31 March 2027. |
4.3. Automatic extension of the contract period | The Contract will not be automatically renewed upon expiry. |
4.4. Ordinary cancellation | The Lessee has the right to unilaterally terminate this Contract by submitting a written notice during 2 weeks after the following deadlines: (a) If the specific purpose of the Object of the Lease is not changed to production land in the Land Register within 12 months of signing this Contract; (b) if the Lessee has not been issued the necessary waste permit for the use of the Object of the Lease within 3 months of the date when the specific purpose of the Object of the Lease was changed to production land in the Land Register. In the event of termination of the Contract for the above reasons, the Lessor shall not be entitled to claim from the Lessee any contractual penalties, damages, compensation for loss of income or implement any other sanctions. Apart from the above rights, the Parties shall not have the right to terminate the Contract by notice. |
