Član 1
Potvrđuje se Sporazum između Crne Xxxx, s jedne strane i Belgijsko-Luksemburške ekonomske unije, s druge strane o uzajamnom podsticanju i zaštiti ulaganja, potpisan u Podgorici, 16. februara 2010. godine u originalu na crnogorskom, francuskom, holandskom i engleskom jeziku.

AGREEMENT BETWEEN MONTENEGRO,
on the one hand, AND
THE BELGIUM-LUXEMBOURG ECONOMIC UNION,
on the other hand,
ON THE RECIPROCAL PROMOTION AND PROTECTION OF INVESTMENTS
MONTENEGRO, on the one hand, and
THE KINGDOM OF BELGIUM, THE WALLOON REGION, THE FLEMISH REGION,
and THE BRUSSELS-CAPITAL REGION,
as well as
THE GRAND-DUCHY OF LUXEMBOURG,
on the other hand,
(hereinafter referred to as “the Contracting Parties”),
DESIRING to strengthen their economic cooperation by creating favourable conditions for investments by investors of one Contracting Party in the territory of the other Contracting Party,
HAVE AGREED as follows:
For the purpose of this Agreement,
1. The term “investors” shall mean:
ARTICLE 1 DEFINITIONS
a) the “nationals”, i.e. any natural person who, according to the legislation of the Kingdom of Belgium, of the Grand-Duchy of Luxembourg or of Montenegro, is considered as a citizen of the Kingdom of Belgium, of the Grand-Duchy of Luxembourg or of Montenegro respectively;
b) the “companies”, i.e. any legal person constituted in accordance with the legislation of the Kingdom of Belgium, of the Grand-Duchy of Luxembourg or of Montenegro and having its registered office in the territory of the Kingdom of Belgium, of the Grand-Duchy of Luxembourg or of Montenegro respectively.
2. The term “investments” shall mean any kind of assets and any direct or indirect contribution in cash, in kind or in services, invested or reinvested in any sector of economic activity.
The following shall more particularly, though not exclusively, be considered as investments for the purpose of this Agreement:
a) xxxxxxx and immovable property as well as any other rights in rem, such as mortgages, liens, pledges, usufruct and similar rights;
b) shares, corporate rights and any other kind of shareholdings, including minority or indirect ones, in companies constituted in the territory of one Contracting Party;
c) bonds, claims to money and to any performance having an economic value;
d) copyrights, industrial property rights, technical processes, trade names and goodwill;
e) concessions granted under public law or under contract, including concessions to explore, develop, extract or exploit natural resources.
Changes in the legal form in which assets and capital have been invested or reinvested shall not affect their designation as “investments” for the purpose of this Agreement.
3. The term “returns” shall mean the proceeds of an investment and shall include in particular, though not exclusively, profits, interests, capital increases, dividends, royalties and fees.
4. The term “territory” shall apply to:
a) the territory of the Kingdom of Belgium and to the territory of the Grand-Duchy of Luxembourg, as well as to the maritime areas, i.e. the marine and underwater areas which extend beyond the territorial waters of the Kingdom of Belgium upon which it exercises, in accordance with international law, its sovereign rights and its jurisdiction for the purpose of exploring, exploiting and preserving natural resources;
b) the territory of Montenegro, as well as to the maritime areas, i.e. the marine and underwater areas which extend beyond the territorial waters of Montenegro upon which it exercises, in accordance with international law, its sovereign rights and its jurisdiction for the purpose of exploring, exploiting and preserving natural resources.
5. The terms “environmental legislation” shall mean any legislation of the Contracting Parties, or provision thereof, the primary purpose of which is the protection of the environment, or the prevention of a danger to human, animal, or plant life or health, through:
a) the prevention, abatement or control of the release, discharge, or emission of pollutants or environmental contaminants;
b) the control of environmentally hazardous or toxic chemicals, substances, materials and wastes, and the dissemination of information related thereto;
c) the protection or conservation of wild flora or fauna, including endangered species, their habitat, and specially protected natural areas in the Contracting Party’s territory.
6. The terms “labour legislation” shall mean legislation of the Kingdom of Belgium, of the Grand-Duchy of Luxembourg or of Montenegro, or provisions thereof, that are directly related to the following internationally recognised labour rights:
a) the right of association;
b) the right to organise and bargain collectively;
c) a prohibition on the use of any form of forced or compulsory labour;
d) a minimum age for the employment of children;
e) acceptable conditions of work with respect to minimum wages, hours of work, and occupational safety and health.
ARTICLE 2
PROMOTION OF INVESTMENTS
1. Each Contracting Party shall promote investments in its territory by investors of the other Contracting Party and shall accept such investments in accordance with its legislation.
2. In particular, each Contracting Party shall authorise the conclusion and the fulfilment of license contracts and commercial, administrative or technical assistance agreements, as far as these activities are in connection with such investments.
ARTICLE 3 PROTECTION OF INVESTMENTS
1. All investments made by investors of one Contracting Party shall enjoy a fair and equitable treatment in the territory of the other Contracting Party.
2. Except for measures required to maintain public order, such investments shall enjoy continuous protection and security, i.e. excluding any unjustified or discriminatory measure which could hinder, either in law or in practice, the management, maintenance, use, possession or liquidation thereof.
ARTICLE 4
NATIONAL TREATMENT AND MOST FAVOURED NATION
1. In all matters relating to the treatment of investments, the investors of each Contracting Party shall enjoy national treatment and most-favoured-nation treatment in the territory of the other Contracting Party.
2. With respect to the operation, management, maintenance, use, enjoyment and sale or other disposal of investments, each Contracting Party shall accord, on its territory, to investors of the other Contracting Party, treatment no less favourable than that granted to its own investors or to investors of any other State if the latter is more favourable.
3. This treatment shall not include the privileges granted by one Contracting Party to investors of a third State by virtue of its participation or association in a free trade zone, customs union, common market or any other form of regional economic organisation.
4. The provisions of this article do not apply to tax matters.
ARTICLE 5 ENVIRONMENT
1. Recognising the right of each Contracting Party to establish its own levels of domestic environmental protection and environmental development policies and priorities, and to adopt or modify accordingly its environmental legislation, each Contracting Party shall strive to ensure that its legislation provide for high levels of environmental protection and shall strive to continue to improve this legislation.
2. The Contracting Parties recognise that it is inappropriate to encourage investment by relaxing domestic environmental legislation. Accordingly, each Contracting Party shall strive to ensure that it does not waive or otherwise derogate from, or offer to waive or otherwise derogate from, such legislation as an encouragement for the establishment, maintenance or expansion in its territory of an investment.
3. The Contracting Parties reaffirm their commitments under the international environmental agreements, which they have accepted. They shall strive to ensure that such commitments are fully recognised and implemented by their domestic legislation.
4. The Contracting Parties recognise that co-operation between them provides enhanced opportunities to improve environmental protection standards. Upon request by either Contracting Party, the other Contracting Party shall accept to hold expert consultations on any matter falling under the purpose of this Article.
ARTICLE 6 LABOUR
1. Recognising the right of each Contracting Party to establish its own domestic labour standards, and to adopt or modify accordingly its labour legislation, each Contracting Party shall strive to ensure that its legislation provide for labour standards consistent with the internationally recognised labour rights set forth in paragraph 6 of Article 1 and shall strive to improve those standards in that light.
2. The Contracting Parties recognise that it is inappropriate to encourage investment by relaxing domestic labour legislation. Accordingly, each Contracting Party shall strive to ensure that it does not waive or otherwise derogate from, or offer to waive or otherwise derogate from, such legislation as an encouragement for the establishment, maintenance or expansion in its territory of an investment.
3. The Contracting Parties reaffirm their obligations as members of the International Labour Organisation and their commitments under the International Labour Organisation Declaration on Fundamental Principles and Rights at Work and its Follow-up. The Contracting Parties shall strive to ensure that such labour principles and the internationally recognised labour rights set forth in paragraph 6 of Article 1 are recognised and protected by domestic legislation.
4. The Contracting Parties recognise that co-operation between them provides enhanced opportunities to improve labour standards. Upon request by either Contracting Party, the other Contracting Party shall accept to hold expert consultations on any matter falling under the purpose of this Article.
ARTICLE 7
DEPRIVATION AND LIMITATION OF OWNERSHIP
1. Each Contracting Party undertakes not to adopt any measure of expropriation or nationalisation or any other measure having the effect of directly or indirectly dispossessing the investors of the other Contracting Party of their investments in its territory.
2. If reasons of public purpose, security or national interest require a derogation from the provisions of paragraph 1, the following conditions shall be complied with:
a) the measures shall be taken under due process of law;
b) the measures shall be neither discriminatory, nor contrary to any specific commitments;
c) the measures shall be accompanied by provisions for the payment of an adequate and effective compensation.
3. Such compensation shall amount to the actual value of the investments on the day before the measures were taken or became public.
Such compensation shall be paid in any convertible currency. It shall be paid without undue delay and shall be freely transferable. It shall bear interest at the normal commercial rate from the date of the determination of its amount until the date of its payment.
4. Investors of one Contracting Party whose investments suffer losses owing to war or other armed conflict, revolution, a state of national emergency or revolt in the territory of the other Contracting Party shall be granted by the latter Contracting Party a treatment, as regards restitution, indemnification, compensation or other settlement, at least equal to that which the latter Contracting Party grants to the investors of the most favoured nation.
ARTICLE 8
TRANSFERS
1. Without prejudice to the measures adopted or to be adopted by the European Union, each Contracting Party shall grant to investors of the other Contracting Party the free transfer of all payments relating to an investment, including more particularly:
a) amounts necessary for establishing, maintaining or expanding the investment;
b) amounts necessary for payments under a contract, including amounts necessary for repayment of loans, royalties and other payments resulting from licences, franchises, concessions and other similar rights, as well as salaries of expatriate personnel;
c) proceeds from investments;
d) proceeds from the total or partial liquidation of investments, including capital gains or increases in the invested capital;
e) compensation paid pursuant to Article 7.
2. The nationals of each Contracting Party who have been authorised to work in the territory of the other Contracting Party in connection with an investment shall also be permitted to transfer an appropriate portion of their earnings to their country of origin.
3. Transfers shall be made in a freely convertible currency at the rate applicable on the day transfers are made to spot transactions in the currency used.
4. Each Contracting Party shall issue the authorisations required to ensure that the transfers can be made without undue delay, with no other expenses than the usual banking costs.
ARTICLE 9
SUBROGATION
1. If one Contracting Party or any public institution of this Party pays compensation to its own investors pursuant to a guarantee providing coverage for an investment, the other Contracting Party shall recognise that the former Contracting Party or the public institution concerned is subrogated into the rights of the investors.
2. As far as the transferred rights are concerned, the other Contracting Party shall be entitled to invoke against the insurer who is subrogated into the rights of the indemnified investors the obligations of the latter under law or contract.
ARTICLE 10
APPLICABLE REGULATIONS
If an issue relating to investments is covered both by this Agreement and by the national legislation of one Contracting Party or by international conventions, existing or to be subscribed to by the Parties in the future, the investors of the other Contracting Party shall be entitled to avail themselves of the provisions that are the most favourable to them.
ARTICLE 11
SPECIFIC AGREEMENTS
1. Investments made pursuant to a specific agreement concluded between one Contracting Party and investors of the other Party shall be covered by the provisions of this Agreement and by those of the specific agreement.
2. Each Contracting Party undertakes to ensure at all times that the commitments it has entered into vis-à-vis investors of the other Contracting Party shall be observed.
ARTICLE 12
SETTLEMENT OF INVESTMENT DISPUTES
1. Any investment dispute between an investor of one Contracting Party and the other Contracting Party shall be notified in writing by the first party to take action. The notification shall be accompanied by a sufficiently detailed memorandum.
As far as possible, the Parties shall endeavour to settle the dispute through negotiations, if necessary by seeking expert advice from a third party, or by conciliation between the Contracting Parties through diplomatic channels.
2. In the absence of an amicable settlement by direct agreement between the parties to the dispute or by conciliation through diplomatic channels within six months from the notification, the dispute shall be submitted, at the option of the investor, either to the competent jurisdiction of the State where the investment was made, or to international arbitration.
To this end, each Contracting Party agrees in advance and irrevocably to the settlement of any dispute by this type of arbitration. Such consent implies that both Parties waive the right to demand that all domestic administrative or judiciary remedies be exhausted.
3. In case of international arbitration, the dispute shall be submitted for settlement by arbitration to one of the hereinafter mentioned organisations, at the option of the investor:
- an ad hoc arbitral tribunal set up according to the arbitration rules laid down by the United Nations Commission on International Trade Law (U.N.C.I.T.R.A.L.);
- the International Centre for the Settlement of Investment Disputes (I.C.S.I.D.), set up by the Convention on the Settlement of Investment Disputes between States and Nationals of other States, opened for signature at Washington on March 18, 1965, when each State party to this Agreement has become a party to the said Convention. As long as this requirement is not met, each Contracting Party
agrees that the dispute shall be submitted to arbitration pursuant to the Rules of the Additional Facility of the I.C.S.I.D.:
- the Arbitral Court of the International Chamber of Commerce in Paris;
- the Arbitration Institute of the Chamber of Commerce in Stockholm.
If the arbitration procedure has been introduced upon the initiative of a Contracting Party, this Party shall request the investor involved in writing to designate the arbitration organisation to which the dispute shall be referred.
4. At any stage of the arbitration proceedings or of the execution of an arbitral award, none of the Contracting Parties involved in a dispute shall be entitled to raise as an objection the fact that the investor who is the opposing party in the dispute has received compensation totally or partly covering his losses pursuant to an insurance policy or to the guarantee provided for in Article 9 of this Agreement.
5. The arbitral awards shall be final and binding on the parties to the dispute. Each Contracting Party undertakes to execute the awards in accordance with its national legislation.
ARTICLE 13
DISPUTES BETWEEN THE CONTRACTING PARTIES
RELATING TO THE INTERPRETATION OR APPLICATION OF THIS AGREEMENT
1. Any dispute relating to the interpretation or application of this Agreement shall be settled as far as possible through diplomatic channels.
2. In the absence of a settlement through diplomatic channels, the dispute shall be submitted to a joint commission consisting of representatives of the two Parties; this commission shall convene without undue delay at the request of the first party to take action.
3. If the joint commission cannot settle the dispute, the latter shall be submitted, at the request of either Contracting Party, to an arbitration court set up as follows for each individual case:
Each Contracting Party shall appoint one arbitrator within a period of two months from the date on which either Contracting Party has informed the other Party of its intention to submit the dispute to arbitration. Within a period of two months following their appointment, these two arbitrators shall appoint by mutual agreement a national of a third State as chairman of the arbitration court.
If these time limits have not been complied with, either Contracting Party shall request the President of the International Court of Justice to make the necessary appointment(s).
If the President of the International Court of Justice is a national of either Contracting Party or of a State with which one of the Contracting Parties has no diplomatic relations or if, for any other reason, he cannot exercise this function, the Vice-President of the International Court of Justice shall be requested to make the appointment(s).
4. The court thus constituted shall determine its own rules of procedure. Its decisions shall be taken by a majority of the votes; they shall be final and binding on the Contracting Parties.
5. Each Contracting Party shall bear the costs resulting from the appointment of its arbitrator. The expenses in connection with the appointment of the third arbitrator and the administrative costs of the court shall be borne equally by the Contracting Parties.
ARTICLE 14 PREVIOUS INVESTMENTS
This Agreement shall also apply to investments made before its entry into force by investors of one Contracting Party in the territory of the other Contracting Party in accordance with the latter’s laws and regulations.
ARTICLE 15
ENTRY INTO FORCE AND DURATION
1. This Agreement shall enter into force one month after the date of exchange of the instruments of ratification by the Contracting Parties. The Agreement shall remain in force for a period of ten years.
Unless notice of termination is given by either Contracting Party at least six months before the expiry of its period of validity, this Agreement shall be tacitly extended each time for a further period of ten years, it being understood that each Contracting Party reserves the right to terminate the Agreement by notification given at least six months before the date of expiry of the current period of validity.
2. Investments made prior to the date of termination of this Agreement shall be covered by this Agreement for a period of ten years from the date of termination.
IN WITNESS WHEREOF, the undersigned representatives, duly authorised thereto by their respective Governments, have signed this Agreement.
DONE at Podgorica, on 16 February 2010, in two original copies, each in the French, Dutch, Montenegrin and English language, all texts being equally authentic. The text in the English language shall prevail in case of difference of interpretation.

O UZAJAMNOM PODSTICANJU I ZAŠTITI ULAGANJA
Crna Gora, s jedne strane i Kraljevina Belgija, Valonska regija, Flamanska regija,
Regija Brisel – Kapital, kao i
Veliko Vojvodstvo Luksemburg, s druge strane (u daljem tekstu “Strane ugovornice”)
u želji da poboljšaju međusobnu privrednu saradnju stvaranjem povoljnih uslova za ulaganja ulagača jedne Strane ugovornice na teritoriji druge Strane ugovornice,
sporazumjele su se o sljedećem:
Član 1 DEFINICIJE
U svrhu ovoga Ugovora:
1. Izraz "ulagač" označava:
a) "državljanina", tj. bilo koje fizičko lice koje, u skladu sa zakonima i propisima Crne Xxxx odnosno Kraljevine Belgije, Velikog Vojvodstva Luksemburga, ima državljanstvo Crne Xxxx, odnosno Kraljevine Belgije, Velikog Vojvodstva Luksemburga;
b) "kompaniju", tj. bilo koje pravno lice konstituisano u skladu sa zakonima i propisima Crne Xxxx odnosno Kraljevine Belgije, Velikog Vojvodstva Luksemburga, i koje ima registrovano sjedište na teritoriji Crne Xxxx odnosno Kraljevine Belgije, Velikog Vojvodstva Luksemburga;
2. Izraz "ulaganje" označava svaku vrstu sredstava koja se, direktno ili indirektno, investiraju ili reinvestiraju u novčanim sredstvima, u stvarima ili u uslugama, u bilo koji sektor ekonomskih aktivnosti.
U smislu ovog sporazuma, ulaganja obuhvataju naročito, mada ne i isključivo, sljedeće:
a) pokretnu i nepokretnu imovinu, kao i sva ostala prava “in rem”, kao što su hipoteka, xxxxxx, jemstvo, plodouživanje i slična prava;
b) akcije, korporativna prava i ostale oblike učešća u kompaniji, uključujući manjinska i indirektna, u kompanijama koje su konstituisane na teritoriji jedne Strane ugovornice;
c) obveznice, novčana potraživanja i bilo koja druga sredstva po osnovu ugovora koja imaju ekonomsku vrijednost;
d) autorska prava, prava industrijske svojine, tehničke procese, trgovačke oznake i “goodwill”;
e) koncesije odobrene po osnovu zakona ili na osnovu ugovora, uključujući koncesije za istraživanje, razvoj, vađenje ili korišćenje prirodnih bogatstava.
Promjena pravnog oblika u kome su sredstva i kapital uloženi ili reinvestirani neće imati uticaj na njihovu oznaku kao "ulaganje" u smislu ovog sporazuma.
3. Izraz "prinosi" označava prihode koje donosi ulaganje i obuhvata naročito, mada ne i isključivo, dobit, xxxxxx, kapitalnu dobit, dividende, tantijeme i naknade.
4. Izraz "teritorija" označava:
a) teritoriju Crne Xxxx, xxx i xxxx, xx. xxxx i podvodnog područja koje se prostire van teritorijalnih voda Crne Xxxx i na koje Crna Gora ima, u skladu sa međunarodnim pravom, suverena prava i jurisdikciju u svrhe istraživanja, korišćenja i očuvanja prirodnih bogatstava,
b) teritoriju Kraljevine Belgije i teritoriju Velikog Vojvodstva Luksemburg, kao i xxxx, xx. xxxx i podvodnog područja koje se prostire van teritorijalnih voda Kraljevine Belgije i na koje Kraljevina Belgija ima, u skladu sa međunarodnim pravom, suverena prava i jurisdikciju u svrhe istraživanja, korišćenja i očuvanja prirodnih bogatstava.
5. Izraz “legislativa o životnoj sredini” odnosi se na bilo xxxx xxxxx ili zakonski xxxxxx Strana ugovornica ili odredbu istih, xxxx je primarni zadatak zaštita životne sredine, ili sprječavanje mogućih opasnosti po živote ljudi, životinja, ili biljaka ili njihovog zdravlja, kroz:
a) prevenciju, umanjenje ili kontrolu ispuštanja, odlaganja ili emisije polutanata ili supstanci zagađivača životne sredine;
b) kontrolu po životnu sredinu opasnih ili toksičnih, hemikalija, supstanci, materijala i otpada kao i objelodanjivanje informacija koje se xxxx xxxx navedenog;
c) zaštitu i očuvanje divlje flore i faune, uključujući ugrožene vrste, njihova staništa, i posebno zaštićene oblasti na teritoriji Strane ugovornice
6. Izraz »radna legislativa-zakonodavstvo« odnosi se na zakonodavstvo Crne Xxxx ili Kraljevine Belgije, Velikog Vojvodstva Luksemburga, ili odnosne odredbe istih, koje su direktno povezane sa sljedećim međunarodno priznatim radnim pravima:
a) pravo udruživanja;
b) pravo kolektivnog organizovanja i dogovaranja;
c) zabrana korišćenja bilo koje forme prinudnog ili obaveznog rada;
d) minimalnu starost za zapošljavanje djece;
e) prihvatljive uslove xxxx xx poštovanjem minimalnih plata, časova rada i zaštite na radu.
Član 2 PODSTICANJE ULAGANJA
1. Svaka Strana ugovornica će podsticati ulaganja na svojoj teritoriji ulagača druge Strane ugovornice i dozvoljavati takva ulaganja u skladu sa svojim zakonodavstvom.
2. Svaka Strana ugovornica će, naročito, dozvoliti zaključenje i realizaciju ugovora o dozvolama kao i ugovora vezanih za komercijalnu, administrativnu ili tehničku pomoć, sve dok su ove aktivnosti u vezi sa navedenim ulaganjima.
Član 3
ZAŠTITA ULAGANJA
1. Sva ulaganja izvršena xx xxxxxx ulagača jedne Strane ugovornice će uživati pravičan i ravnopravan tretman na teritoriji druge Strane ugovornice.
2. Osim u slučaju mjera neophodnih za održavanje javnog xxxx, takva ulaganja će uživati neprekidnu pravnu zaštitu i sigurnost, tj. isključujući bilo koju neopravdanu ili diskriminatornu mjeru kojom, bilo zakonom ili u praksi, može da se omete upravljanje, održavanje, korišćenje, posjedovanje ili likvidacija istih.
Član 4
NACIONALNI TRETMAN I TRETMAN NAJPOVLAŠĆENIJE NACIJE
1. U svim pitanjima koja se odnose na tretman ulaganja, ulagači svake od Strana ugovornica će uživati nacionalni tretman i tretman najpovlašćenije nacije na teritoriji druge Strane ugovornice.
2. U pogledu rada, upravljanja, održavanja, korišćenja, uživanja i prodaje ili drugog načina raspolaganja xxx ulaganjima, svaka Strana ugovornica će, na sopstvenoj teritoriji, dodijeliti ulagačima druge Strane ugovornice tretman xxxx xxxx biti manje povoljan od onog koji se dodjeljuje sopstvenim ulagačima ili ulagačima bilo koje druge države, ukoliko je potonji povoljniji.
3. Ovaj tretman neće uključivati privilegije koje su dodijeljene xx xxxxxx jedne Xxxxxx ugovornice ulagačima bilo koje treće države proistekle na osnovu učešća ili povezivanja u zone slobodne trgovine, carinske unije, zajedničkog tržišta ili bilo kog drugog oblika regionalne privredne organizacije.
4. Odredbe ovog člana se ne odnose na poreska pitanja.
Član 5
ŽIVOTNA SREDINA
1. Svakoj Strani ugovornici se priznaje pravo da utvrđuje sopstveni xxxxxx nacionalne zaštite životne sredine i razvojne politike i prioritete razvoja životne sredine, i da iste prihvata ili mijenja shodno sopstvenom zakonodavstvu o životnoj sredini, i svaka Strana ugovornica će ulagati napore da sopstvenim zakonodavstvom obezbijedi visok xxxxxx zaštite životne sredine i nastojati da trajno poboljšava ovo zakonodavstvo.
2. Strane ugovornice priznaju kao neodgovarajuće podsticanje ulaganja putem popuštanja u propisima nacionalnog zakonodavstva o životnoj sredini. Shodno tome, svaka Strana ugovornica će nastojati da ne odstupa ili da se na drugi način ne odriče, xxxx xxxxxx da odstupi ili da se na drugi način odrekne od takvog zakonodavstva da bi time podstakla uspostavljanje, trajanje ili proširenje takvog ulaganja na svojoj teritoriji.
3. Strane ugovornice ponovo potvrđuju već prihvaćene sopstvene obaveze na osnovu međunarodnih sporazuma o zaštiti životne sredine. Dvije xxxxxx xx nastojati da tako preuzete obaveze budu u potpunosti prihvaćene i sprovedene preko njihovog nacionalnog zakonodavstva.
4. Strane ugovornice prihvataju da u međusobnoj kooperaciji obezbijede poboljšanje mogućnosti za unaprijeđenje standarda za zaštitu životne sredine. Na osnovu prijedloga jedne ili druge Strane ugovornice, druga Strana ugovornica će prihvatiti održavanje stručnih konsultacija o bilo kom pitanju koje xxxxx u xxxxx ovog člana.
Član 6 RADNA SNAGA
1. Priznajući pravo svake Strane ugovornice da propisuje sopstvene standarde o radnim odnosima, i da prihvata ili vrši izmjene i dopune istih u skladu sa sopstvenim zakonima o radu, svaka Strana ugovornica će nastojati da obezbijedi sopstvenim zakonodavstvom poštovanje standarda o radu utemeljenih na međunarodno priznatim radnim pravima iz člana 1 stava 6 i u xxx smislu će nastojati da poboljša takve standarde.
2. Strane ugovornice priznaju kao neodgovarajuće podsticanje ulaganja putem popuštanja u propisima nacionalnog zakonodavstva o radnim odnosima. Shodno tome, svaka Strana ugovornica će nastojati da ne odstupa ili da se na drugi način ne odriče, xxxx xxxxxx da odstupi ili da se na drugi način odrekne od takvog zakonodavstva da bi time podstakla uspostavljanje, trajanje ili proširenje takvog ulaganja na svojoj teritoriji.
3. Strane ugovornice ponovo potvrđuju sopstvene obaveze koje imaju xxx xxxxxxx Međunarodne organizacije xxxx, xxx i po osnovu Deklaracije Međunarodne organizacije rada o osnovnim principima i pravima na radu, te obavezama koje iz nje proističu. Strane ugovornice će uložiti napore da takvi principi o radu i međunarodno priznata radna prava iz člana 1 stava 6 budu prihvaćena i zaštićena nacionalnim zakonodavstvom.
4. Strane ugovornice prihvataju da u međusobnoj kooperaciji obezbijede poboljšanje mogućnosti za unaprijeđenje standarda o radnim odnosima. Na osnovu prijedloga bilo jedne ili druge Strane ugovornice, druga Strana ugovornica će prihvatiti održavanje stručnih konsultacija o bilo kom pitanju koje xxxxx u xxxxx ovog člana.
Član 7
ODUZIMANJE I OGRANIČAVANJE VLASNIŠTVA
1. Svaka Strana ugovornica se obavezuje da ne usvoji nijednu mjeru eksproprijacije ili nacionalizacije ili bilo koju drugu mjeru po dejstvu, posredno ili neposredno, slično oduzimanju prava raspolaganja ulagačima druge Strane ugovornice njihovih ulaganja na njenoj teritoriji.
2. Sljedeći uslovi se moraju zadovoljiti ukoliko se iz razloga javnih potreba, bezbjednosti ili nacionalnog interesa iziskuje odstupanje od odredbi stava 1:
a) mjere će biti preduzete i izvršavane u skladu sa zakonom;
b) xxxxx xxxx biti ni diskriminatorne ni suprotne bilo kojim specifičnim preuzetim obavezama;
c) mjere će biti propraćene odredbama za plaćanje odgovarajuće i valjane naknade.
3. Takva naknada će odgovarati tržišnoj vrednosti ulaganja na xxx prije nego što su takve mjere preduzete ili javno objavljene. Takva naknada će biti plativa u konvertibilnoj valuti, bez odlaganja i xxxx slobodno prenosiva. Ona će uključivati kamatu po uobičajenoj komercijalnoj stopi od datuma utvrđivanja tog iznosa do datuma takvog plaćanja.
4. Ulagačima jedne Strane ugovornice čija ulaganja pretrpe gubitke usljed rata ili drugog oružanog sukoba, revolucije, stanja nacionalne opasnosti ili nemira na teritoriji druge Strane ugovornice, druga Strana ugovornica će obezbijediti tretman, u pogledu povraćaja, obeštećenja, kompenzacije ili drugog načina izmirenja koji će biti najmanje jednak onom xxxx xxxxx Strana ugovornica odobrava ulagačima koji imaju tretman najpovlašćenije nacije.
Član 8 TRANSFERI
1. Ne kršeći mjere koje je usvojila ili koje će Evropska Unija usvojiti, svaka Strana ugovornica će dozvoliti ulagačima druge Strane ugovornice xxxxxxxx transfer svih plaćanja koja su u vezi sa ulaganjem, uključujući naročito:
a) sredstva neophodna za uspostavljanje, održavanje ili proširenje ulaganja;
b) neophodna sredstva za plaćanja po osnovu ugovora, uključujući iznose koji su neophodni za otplate kredita, tantijema i drugih plaćanja po osnovu licenci, franšiza, koncesija i drugih sličnih prava, kao i plata osoba iz inostranstva;
c) prihode od ulaganja;
d) prihode od ukupne ili djelimične prodaje ili likvidacije ulaganja, uključujući kapitalnu dobit ili dokapitalizaciju uloženog kapitala;
e) naknade plaćene u smislu člana 7;
2. Državljanima svake Strane ugovornice koji dobiju dozvolu za rad na teritoriji druge Strane ugovornice u vezi sa ulaganjem xxxx dopušteno da prenose odgovarajući dio zarade u svoju zemlju porijekla.
3. Transferi će se vršiti u slobodnoj konvertibilnoj valuti po deviznom kursu koji se primjenjuje na xxx transfera za spot transakcije u valuti xxxx xx korišćena.
4. Svaka Strana ugovornica će izdati neophodna ovlašćenja za vršenje transfera bez nepotrebnog odlaganja i bez bilo kakvih drugih troškova osim uobičajenih bankarskih troškova.
Član 9 SUBROGACIJA
1. Ako jedna Strana ugovornica ili bilo koja javna institucija xx Xxxxxx ugovornice plati naknadu sopstvenim ulagačima na ime garancije kojom se obezbjeđuje pokriće za ulaganje, druga Strana ugovornica će priznati prvoj Strani ugovornici ili odnosnoj javnoj instituciji da je izvršena subrogacija prava ulagača.
2. U pogledu prenesenih prava, druga Strana ugovornica će imati pravo da od osiguravajućeg društva na koje su prenesena prava obeštećenih ulagača zahtijeva izvršenje obaveza dotičnih ulagača po osnovu zakona ili ugovora.
Član 10
VAŽEĆI ZAKONSKI PROPISI
Ukoliko su pitanja koja se odnose na ulaganja pokrivena i ovim sporazumom i nacionalnim zakonodavstvom jedne Strane ugovornice ili međunarodnim konvencijama, koje su na snazi ili kojima xx Xxxxxx ugovornice pristupiti u budućnosti, ulagači druge Strane ugovornice će imati za pravo da primjenjuju one zakonske propise koji su za njih najpovoljniji.
Član 11 POSEBNI SPORAZUMI
1. Ulaganja izvšena u skladu sa posebnim sporazumom sklopljenim između jedne Strane ugovornice i ulagača druge Strane ugovornice xxxx regulisana odredbama ovog Sporazuma i onim iz takvog posebnog sporazuma.
2. Svaka Strana ugovornica se obavezuje da će osigurati da obaveze u koje xx xxxx vis-a-vis ulagača druge Strane ugovornice u svakom trenutku poštuju.
Član 12
RJEŠAVANJE INVESTICIONIH SPOROVA
1. O bilo kojem investicionom sporu između ulagača jedne Strane ugovornice i druge Strane ugovornice prva strana će uputiti pismeno obavještenje da pokreće postupak. Uz obavještenje će se priložiti detaljna bilješka.
Ukoliko je moguće, xxxxxx xx nastojati da spor riješe putem pregovora, uz, ukoliko je neophodno, traženje stručnog mišljenja od trećeg lica, ili putem poravnanja između Strana ugovornica diplomatskim putem.
2. U nedostatku prijateljskog rješenja putem direktnih pregovora između strana u sporu ili izravnanjem putem diplomatske pogodbe, a u roku od šest mjeseci od xxxx prijema obavještenja, spor će biti podnijet, po izboru ulagača, nadležnom sudu države u kojoj je ulaganje izvršeno ili na međunarodnu arbitražu.
U ove svrhe, svaka Strana ugovornica se neopozivo i unaprijed slaže da se rješavanje bilo kog takvog spora vrši ovom vrstom arbitraže. Takva saglasnost podrazumijeva da se obje strane odriču svog prava da prethodno traže iscrpljivanje svih domaćih administrativnih i pravnih lijekova.
3. U slučaju međunarodne arbitraže, spor će biti podnijet na rješavanje arbitražom jednoj od dolje navedenih organizacija, po izboru ulagača:
- ad hoc arbitražnom sudu, imenovanom u skladu sa Arbitražnim pravilima Komisije Ujedinjenih nacija za međunarodno trgovinsko pravo (U. N. C. I. T. R. A. L);
- Međunarodnom centru za rješavanje investicionih sporova (I. C. S. I. D.), osnovanom na osnovu Konvencije o rješavanju investicionih sporova između država i državljana drugih država, otvorene za potpisivanje u Vašingtonu 18. xxxxx 1965, u slučaju xxxx xx svaka Strana ugovornica ovog sporazuma potpisnica navedene konvencije. Ukoliko ovaj uslov nije ispunjen, svaka Strana ugovornica je saglasna da se spor uputi na arbitražu shodno Dodatnim pravilima o arbitraži ICSID – a;
- Arbitražnom sudu Međunarodne trgovinske komore u Parizu;
- Arbitražnom institutu Trgovinske komore u Štokholmu.
Ukoliko je arbitražni postupak pokrenut na inicijativu Strane ugovornice, ta strana će pismenim putem zatražiti od dotičnog ulagača da odredi arbitražnu organizaciju kojoj će se spor podnijeti.
4. U bilo kom periodu arbitražnog postupka ili izvršavanja odluke arbitražnog suda, ni jedna od Strana ugovornica xxxx xx upletena u spor neće biti ovlašćena da uputi prigovor na činjenicu da je ulagač, koji je suprotna strana u sporu, dobio nadoknadu u cjelosti ili djelimično za pokriće sopstvenih gubitaka shodno polisi osiguranja ili garanciji xxxx xx izdata u skladu sa članom 9 ovog sporazuma.
5. Arbitražna odluka će biti konačna i obavezujuća za obje strane u sporu. Svaka Strana ugovornica prihvata da izvršava odluku u skladu sa svojim nacionalnim zakonodavstvom.
Član 13
SPOROVI IZMEĐU STRANA UGOVORNICA U ODNOSU NA TUMAČENJE ILI PRIMJENU OVOG SPORAZUMA
1. Bilo xxxx xxxx u vezi sa tumačenjem ili primjenom ovog sporazuma rješavaće se, u što je moguće većoj mjeri, diplomatskim putem.
2. U nedostatku rješenja diplomatskim putem, spor se podnosi mješovitoj komisiji xxxx xx sačinjena od predstavnika dvije strane; ova komisija će se sastati bez nepotrebnog odlaganja na prijedlog prve Strane ugovornice xxxx xx pokrenula postupak.
3. Ukoliko mješovita komisija ne može riješiti xxxxxxx xxxx, on će, na zahtev jedne ili druge Strane ugovornice, biti podnijet na rješavanje arbitražnom sudu osnovanom na sljedeći način na ad hoc osnovi, za svaki pojedinačni slučaj:
Svaka Strana ugovornica će imenovati jednog člana arbitražnog suda u roku od dva mjeseca od xxxx xxxx je jedna strana ugovornica obavijestila drugu o svojoj nameri da pokrene spor putem arbitraže. Ova dva člana će u roku od dva mjeseca od xxxx njihovog imenovanja, obostranom saglasnošću imenovati državljanina treće države za predsjednika arbitražnog suda.
Ukoliko se rokovima utvrđenim u prethodnom stavu ne konstituiše arbitražni sud, jedna ili druga Strana ugovornica će zatražiti od predsjednika Međunarodnog suda pravde da obavi potrebno(a) imenovanje(a).
Ako je predsjednik Međunarodnog suda pravde državljanin bilo jedne ili druge Strane ugovornice ili države sa kojom jedna od Strana ugovornica nema uspostavljene diplomatske odnose ili, ukoliko je iz bilo kog razloga spriječen da obavi pomenutu funkciju, zatražiće se od potpredsjednika Međunarodnog suda pravde da obavi potrebno(a) imenovanje(a).
4. Ovako konstituisan sud utvrđuje sopstvenu proceduru rada. Arbitražni sud donosi odluke većinom glasova, a njegove odluke su konačne i obavezujuće za Strane ugovornice.
5. Svaka Strana ugovornica će snositi troškove koji prostiču iz imenovanja svog predstavnika. Troškove povezane sa imenovanjem trećeg arbitra i administrativne troškove suda snose podjednako Strane ugovornice.
Član 14 PRETHODNA ULAGANJA
Ovaj sporazum će se takođe primjenjivati na ulaganja izvršena prije njegovog stupanja na snagu od ulagača jedne Strane ugovornice na teritoriji druge Strane ugovornice, shodno zakonima i propisima druge Strane ugovornice.
Član 15
STUPANJE NA SNAGU I ROK TRAJANJA SPORAZUMA
1. Ovaj sporazum stupa na snagu mjesec xxxx od xxxx razmjene instrumenata ratifikacije između Strana ugovornica. Ovaj sporazum se zaključuje na period od deset xxxxxx.
Ukoliko jedna Strana ugovornica ne obavijesti pismenim putem drugu Stranu ugovornicu o svojoj nameri da raskine sporazum najmanje šest mjeseci prije isteka roka njegovog važenja, ovaj sporazum će se prećutno produžavati svaki put za naredni period od deset xxxxxx. Smatra se da svaka Strana ugovornica ima pravo da raskine ovaj sporazum pismenim putem najmanje šest meseci prije isteka roka tekućeg perioda važenja.
2. Ulaganja realizovana prije prestanka važenja ovog sporazuma će biti osigurana ovim sporaumom za xxxxx period od deset xxxxxx xx datuma prestanka važenja ovog sporazuma.
U potvrdu čega su dolje potpisani predstavnici, valjano ovlašćeni od svojih vlada, potpisali ovaj sporazum.
Sačinjeno u Podgorici, xxxx 16. februara 2010. godine u dva originalna primjerka, svaki na crnogorskom, francuskom, holandskom i engleskom jeziku, s xxx što su svi tekstovi podjednako autentični. U slučaju bilo kog odstupanja u tumačenju, tekst na engleskom jeziku će imati prevagu.
