LOAN AGREEMENT
Agreement dated October 9, 2014, between REPUBLIC OF SERBIA (“Borrower”) and INTERNATIONAL BANK FOR RECONSTRUCTION AND
DEVELOPMENT (“Bank”). The Borrower and the Bank hereby agree as follows:
ARTICLE I—GENERAL CONDITIONS; DEFINITIONS
1.01. The General Conditions (as defined in the Appendix to this Agreement) constitute an integral part of this Agreement.
1.02. Unless the context requires otherwise, the capitalized terms used in this Agreement have the meanings ascribed to them in the General Conditions or in the Appendix to this Agreement.
ARTICLE II—LOAN
2.01. The Bank agrees to lend to the Borrower, on the terms and conditions set forth or referred to in this Agreement, the amount of EUR two hundred twenty seven million four hundred and eighty thousand, (EUR 227,480,000), as such amount may be converted from time to time through a Currency Conversion in accordance with the provisions of Section 2.08 of this Agreement (“Loan”), to assist in financing the project described in Schedule 1 to this Agreement (“Project”).
2.02. The Borrower may withdraw the proceeds of the Loan in accordance with Section IV of Schedule 2 to this Agreement.
2.03. The Front-end Fee payable by the Borrower shall be equal to one quarter of one percent (0.25%) of the Loan amount.
2.04. The Commitment Charge payable by the Borrower shall be equal to one quarter of one percent (0.25%) per annum on the Unwithdrawn Loan Balance.
2.05. The interest payable by the Borrower for each Interest Period shall be at a rate equal to the Reference Rate for the Loan Currency plus the Variable Spread; provided, that upon a Conversion of all or any portion of the principal amount of the Loan, the interest payable by the Borrower during the Conversion Period on such amount shall be determined in accordance with the relevant provisions of Article IV of the General Conditions Notwithstanding the foregoing, if any amount of the Withdrawn Loan Balance remains unpaid when due and such non-payment continues for a period of thirty days, then the interest payable by the Borrower shall instead be calculated as provided in Section 3.02(e) of the General Conditions.
2.06. The Payment Dates are May 1 and November 1 in each year.
2.07. The principal amount of the Loan shall be repaid in accordance with the amortization schedule set forth in Schedule 3 to this Agreement.
2.08. (a) The Borrower may at any time request any of the following Conversions of the terms of the Loan in order to facilitate prudent debt management:
(i) a change of the Loan Currency of all or any portion of the principal amount of the Loan, withdrawn or unwithdrawn, to an Approved Currency;
(ii) a change of the interest rate basis applicable to: (A) all or any portion of the principal amount of the Loan withdrawn and outstanding from a Variable Rate to a Fixed Rate, or vice versa; or (B) all or any
portion of the principal amount of the Loan withdrawn and outstanding from a Variable Rate based on a Reference Rate and the Variable Spread to a Variable Rate based on a Fixed Reference Rate and the Variable Spread, or vice versa; or (C) all of the principal amount of the Loan withdrawn and outstanding from a Variable Rate based on a Variable Spread to a Variable Rate based on a Fixed Spread; and
(iii) the setting of limits on the Variable Rate or the Reference Rate applicable to all or any portion of the principal amount of the Loan withdrawn and outstanding by the establishment of an Interest Rate Cap or Interest Rate Collar on the Variable Rate or the Reference Rate.
(b) Any conversion requested pursuant to paragraph (a) of this Section that is accepted by the Bank shall be considered a “Conversion”, as defined in the General Conditions, and shall be effected in accordance with the provisions of Article IV of the General Conditions and of the Conversion Guidelines.
ARTICLE III—PROJECT
3.01. The Borrower declares its commitment to the objectives of the Project. To this end, and in accordance with the provisions of Article V of the General Conditions, the Borrower shall: (a) cause the Project Implementing Entity to carry out Part I of the Project, and (b) carry out Parts II and III of the Project through MAEP.
3.02. Without limitation upon the provisions of Section 3.01 of this Agreement, and except as the Borrower and the Bank shall otherwise agree, the Borrower shall ensure that the Project is carried out in accordance with the provisions of Schedule 2 to this Agreement.
ARTICLE IV—REMEDIES OF THE BANK
4.01. The Additional Event of Suspension consists of the following: namely, that the Project Implementing Entity’s Legislation has been amended, suspended, abrogated, repealed or waived so as to affect materially and adversely the ability of the Project Implementing Entity to perform any of its obligations under the Project Agreement or the Subsidiary Agreement.
4.02. The Additional Event of Acceleration consist of the following: namely, that the event specified in Section 4.01 of this Agreement occurs and is continuing for a period of thirty (30) days after notice of the event has been given by the Bank to the Borrower.
ARTICLE V—EFFECTIVENESS; TERMINATION
5.01. The Additional Condition of Effectiveness consists of the following,namely, that the Subsidiary Agreement has been executed on behalf of the Borrower and the Project Implementing Entity.
5.02. The Additional Legal Matters consist of, namely, that the Subsidiary Agreement referred to in Section 5.01 has been duly authorized or ratified by the Borrower and the Project Implementing Entity and is legally binding upon the Borrower and the Project Implementing Entity in accordance with its terms.
5.03. The Effectiveness Deadline is the date ninety (90) days after the date of this Agreement.
ARTICLE VI— REPRESENTATIVE; ADDRESSES
6.01. For the purposes of Section 10.02 of the General Conditions, the Borrower’s Representative who, inter alia, may agree to modification of the provisions of this Agreement on behalf of the Borrower, through exchange of letters (unless otherwise determined by the Borrower and the Bank), is its Minister of Finance.

SCHEDULE 1
Project Description
The objectives of the Project are to: (i) help restore power system capability to reliably meet domestic demand; (ii) protect livelihoods of farmers in the Flood Affected Areas; (iii) protect people and assets from floods; and (iv) improve the Borrower’s capacity to respond effectively to disasters.
The Project consists of the following parts:
Part I. Energy Sector Support
A. Financing of electricity purchases to improve power availability.
B. Supporting urgent restoration of the distribution network by: (i) provision of metering devices for Flood Affected Areas; (ii) provision of mobile substations; (iii) provision of energy-efficient light bulbs, and technical assistance and other goods to support power system load management activities.
C. Dewatering of Tamnava West Open Pit Mine.
Part II. Agricultural Sector Support
Supporting the financing of payments to farmers under the Borrower’s Farm Incentives Program, in Flood Affected Areas.
Part III. Flood Protection
A. Rehabilitating and reconstructing priority flood prevention and drainage control infrastructure through the provision of works, goods and consultants’ services in Flood Affected Areas, and areas vulnerable to flooding.
B. Support for Project management, including operating costs, and strengthening technical capacity for improved flood prevention and management, including technical studies to identify priority flood prevention infrastructure works and preparation of technical designs, bidding documents and terms of reference for such activities.
Part IV. Contingent Emergency Response
Provision of immediate response to an Eligible Crisis or Emergency, as needed.
SCHEDULE 2
Project Execution Section I. Implementation Arrangements
A. Institutional Arrangements
1. The Borrower, through its Office for Reconstruction and Flood Relief, shall be responsible for oversight of Project implementation, including, inter alia, (a) carrying out periodic monitoring activities on Project implementation and evaluation, including Project reporting activities pursuant to criteria set forth in the MAEP Project Operations Manual and the PIE Project Operations Manual; (b) carrying out coordination activities among the Project Implementing Entity, DAP, DWM, and with other entities of the Borrower, as necessary; (c) advising MAEP/DWM to adopt and/or amend the MAEP Project Operations Manual and any revisions to the Procurement Plan; (d) monitoring disbursements and addressing bottlenecks; (e) reviewing periodic financial reports; and (f) monitoring timely resolution of audit issues for the project.
2. The Borrower, through the Office for Reconstruction and Flood Relief, shall:
(a) cause the Project Implementing Entity to carry out Part Iof the Project in accordance with this Agreement, the Project Agreement, the Subsidiary Agreement, and the PIE Project Operations Manual;
(b) ensure that the Project Implementing Entity is responsible for the day- to-day implementation, including procurement and financial management, of Part I of the Project; and
(c) cause the Project Implementing Entity to establish not later than November 15 2014, and thereafter maintain, a Project implementation team with terms of reference, competent staff and sufficient resources, satisfactory to the Bank, for purposes of carrying out Part I of the Project.
3. The Borrower shall not amend, suspend, abrogate, repeal or waive the Farm Incentives Program in any way that, in the opinion of the Bank, would affect materially and adversely the payments to farmers in the Flood Affected Areas, under Part II of the Project.
4. The Borrower, through MAEP, shall:
(a) carry out Parts II and III of the Project in accordance with this Agreement and the MAEP Project Operations Manual;
(b) ensure that DAP maintains competent staff and sufficient resources, satisfactory to the Bank, to carry out Part II of the Project;
(c) ensure that MAEP establishes, not later than November 15, 2014 and thereafter maintains a Project Implementation Unit under DWM with terms of reference, competent staff, including a manager, a procurement specialist, a financial management specialist, a safeguards specialist, and a monitoring and evaluation specialist, and sufficient resources, satisfactory to the Bank, to carry out Parts II, and III of the Project; and
(d) ensure that a training plan, satisfactory to the Bank is prepared annually, which shall include information on the training activities, selected training providers, training cost, and number, position and
names of individuals to be trained. The training plan shall be updated as required, but at least yearly during Project implementation, in agreement with the Bank.
5. Not later than December 1, 2014, the Borrower shall cause the Project Implementing Entity to adopt the PIE Project Operations Manual for Part I of the Project and shall adopt, through MAEP, the MAEP Project Operations Manual for Parts II and III of the Project.
B. Subsidiary Agreement
1. To facilitate the carrying out of the Project Implementing Entity’s Respective Part of the Project, the Borrower shall make part of the proceeds of the Loan available to the Project Implementing Entity under a subsidiary agreement between the Borrower and the Project Implementing Entity (“Subsidiary Agreement”), under terms and conditions approved by the Bank, which shall include the following: the principal amount of the Loan made available under the Subsidiary Agreement (“Subsidiary Loan”) shall be: (a) denominated and repayable in Euros; and (b) made in no less favorable terms than the terms of the Loan.
2. The Borrower shall exercise its rights under the Subsidiary Agreement in such manner as to protect the interests of the Borrower and the Bank and to accomplish the purposes of the Loan. Except as the Bank shall otherwise agree, the Borrower shall not assign, amend, abrogate or waive the Subsidiary Agreement or any of its provisions.
C. Anti-Corruption
The Borrower shall ensure that the Project is carried out in accordance with the provisions of the Anti-Corruption Guidelines.
D. Safeguards
1. The Borrower shall carry out Parts II and III of the Project, and shall cause the Project Implementing Entity to carry out Part I of the Project in accordance with the ESMF, any and all EMPs, the EMP for the Tamnava West Open Pit Mine, the RPF, any and all RAPs, and the MAEP Project Operation Manual and/or PIE Project Operation Manual, as the case may be, and shall not assign, amend, suspend, abrogate, repeal or waive any provision of the ESMF, the EMPs, the EMP for the Tamnava West Open Pit Mine, the RPF, the RAPs, or the PIE Project Operations Manual or MAEP Project Operations Manual, as the case may be, without prior approval of the Bank.
2. For the purposes of Parts I.B, I.C, and III of the Project, the Borrower shall, or shall cause the Project Implementing Entity to:
(a) prior to the issuance of any bidding documents for works contracts, prepare and submit to the Bank the proposed design and the related site-specific EMP to the extent required by the ESMF, in form and substance satisfactory to the Bank;
(b) prior to the signing of the contract for said works, prepare and submit to the Bank for its approval the site-specific RAPs in form and substance satisfactory to the Bank, if any land acquisition is required; and
(c) prior to the commencement of the works involving land acquisition, ensure that the owners and users of the land where said works are to be implemented are fully compensated in accordance with the provisions of the RAP(s), if required.
3. The Borrower shall ensure, and shall cause the Project Implementing Entity to ensure, the complete implementation of the EMP for the Tamnava West Open Pit Mine and any and all EMPs, in a manner acceptable to the Bank, including all necessary measures to minimize and to mitigate any adverse environmental impacts caused by the implementation of the Project.
E. Contingent Emergency Response Mechanism
In order to ensure the proper implementation of Part IV of the Project (“Contingent Emergency Response”) (“CERC Part”), the Borrower shall take the following measures.
1. The Borrower shall:
(a) prepare and furnish to the Bank for its review and approval, an operations manual which shall set forth detailed implementation arrangements for the CERC Part, including: (i) designation of, terms of reference for and resources to be allocated to, the entity to be responsible for coordinating and implementing the CERC Part (“Coordinating Authority”); (ii) specific activities which may be included in the CERC Part, Eligible Expenditures required therefor (“Emergency Expenditures”), and any procedures for such inclusion; (iii) financial management arrangements for the CERC Part; (iv) procurement methods and procedures for Emergency Expenditures to be financed under the CERC Part; (v) documentation required for withdrawals of Emergency Expenditures; (vi) environmental and social safeguard management frameworks for the CERC Part, consistent with the Bank’s policies on the matter; and (vii) any other arrangements necessary to ensure proper coordination and implementation of the CERC Part;
(b) afford the Bank a reasonable opportunity to review said proposed operations manual;
(c) promptly adopt such operations manual for the CERC Part as shall have been approved by the Bank (“CERC Operations Manual”);
(d) ensure that the CERC Part is carried out in accordance with the CERC Operations Manual; provided, however, that in the event of any inconsistency between the provisions of the CERC Operations Manual and this Agreement, the provisions of this Agreement shall prevail; and
(e) not amend, suspend, abrogate, repeal or waive any provision of the CERC Operations Manual without prior approval by the Bank.
2. The Borrower shall, throughout the implementation of the CERC Part, maintain the Coordinating Authority, with adequate staff and resources satisfactory to the Bank.
3. The Bank shall undertake no activities under the CERC Part (and no activities shall be included in the CERC Part) unless and until the following conditions have been met in respect of said activities:
(a) the Bank has determined that an Eligible Crisis or Emergency has occurred, has furnished to the Bank a request to include said activities in the CERC Part in order to respond to said Eligible Crisis or Emergency, and the Bank has agreed with such determination, accepted said request and notified the Borrower thereof; and
(b) the Borrower has prepared and disclosed all safeguards instruments required for said activities, in accordance with the CERC Operations Manual, the Bank has approved all such instruments, and the Borrower has implemented any actions which are required to be taken under said instruments.
Section II. Project Monitoring Reporting and Evaluation
A. Project Reports
The Borrower shall monitor and evaluate the progress of the Project and prepare Project Reports in accordance with the provisions of Section 5.08 of the General Conditions and on the basis of indicators acceptable to the Bank. Each Project Report shall cover the period of one calendar semester, and shall be furnished to the Bank not later than forty-five (45) days after the end of the period covered by such report.
B. Financial Management, Financial Reports and Audits
1. The Borrower shall maintain or cause to be maintained a financial management system in accordance with the provisions of Section 5.09 of the General Conditions.
2. Without limitation on the provisions of Part A of this Section, the Borrower shall prepare and furnish to the Bank not later than 45 days after the end of each calendar quarter, interim unaudited financial reports for the Project covering the quarter, in form and substance satisfactory to the Bank.
3. The Borrower shall have its Financial Statements audited in accordance with the provisions of Section 5.09(b)of the General Conditions. Each audit of the Financial Statements shall cover the period of one fiscal year of the Borrower. The audited Financial Statements for each such period shall be furnished to the Bank not later than six months after the end of such period.
4. The Borrower shall ensure that the Project Implementing Entity has its financial statements audited on an annual basis. The audited Financial Statements for each such period shall be furnished to the Bank not later than nine (9) months after the end of such period.
Section III. Procurement
A. General
1. Goods, Works and Non-consulting Services. All goods, works and non- consulting services required for the Project and to be financed out of the proceeds of the Loan shall be procured in accordance with the requirements set forth or referred to in Section I of the Procurement Guidelines, and with the provisions of this Section.
2. Consultants’ Services. All consultants’ services required for the Project and to be financed out of the proceeds of the Loan shall be procured in accordance with the requirements set forth or referred to in Sections I and IV of the Consultant Guidelines and with the provisions of this Section.
3. Definitions. The capitalized terms used below in this Section to describe particular procurement methods or methods of review by the Bank of particular contracts refer to the corresponding method described in Sections II and III of the Procurement Guidelines, or Sections II, III, IV and V of the Consultant Guidelines, as the case may be.
B. Particular Methods of Procurement of Goods, Works and Non- consulting Services
1. International Competitive Bidding. Except as otherwise provided in paragraph 2 below, goods, works and non-consulting services shall be procured under contracts awarded on the basis of International Competitive Bidding.
2. Other Methods of Procurement of Goods, Works and Non-consulting Services. The following methods, other than International Competitive Bidding, may be used for procurement of goods, works and non-consulting services for those contracts specified in the Procurement Plan: (a) National Competitive Bidding, subject to the additional provisions set forth in the Attachment to this Schedule 2; (b) Shopping; (c) Direct Contracting; (d) Force Account; (e) Well-established Private Sector Procurement Methods or Commercial Practices which have been found acceptable to the Bank; and (f) Procurement of Commodities following the procedures set forth in paragraph
2.68 of the Procurement Guidelines.
C. Procurement of Eligible Essential Goods, including Commodities, Non- consulting Services, and Consultants’ Services
Notwithstanding the provisions of Section III, Part B of Schedule 2 to this Agreement, the procurement of goods (including commodities), non- consulting services, and consultants’ services required under Parts I and III of the Project may be conducted, through June 30, 2015, pursuant to: (1) national emergency procedures as set forth in the relevant laws of the Borrower; or (2) commercial practices of the private sector, as respectively set forth in the PIE Project Operations Manual and the MAEP Project Operations Manual.
D. Particular Methods of Procurement of Consultants’ Services
1. Quality- and Cost-based Selection. Except as otherwise provided in paragraph 2 below, consultants’ services shall be procured under contracts awarded on the basis of Quality and Cost-based Selection.
2. Other Methods of Procurement of Consultants’ Services. The following methods, other than Quality and Cost-based Selection, may be used for procurement of consultants’ services for those contracts which are specified in the Procurement Plan:(a) Quality-based Selection; (b) Selection under a Fixed Budget; (c) Least Cost Selection; (d) Selection based on Consultants’ Qualifications; (e) Single-source Selection of consulting firms; (f) Procedures set forth in paragraphs 5.2 and 5.3 of the Consultant Guidelines for the Selection of Individual Consultants; and (g) Single-source procedures for the Selection of Individual Consultants.
E. Review by the Bank of Procurement Decisions
The Procurement Plan shall set forth those contracts which shall be subject to the Bank’s Prior Review. All other contracts shall be subject to Post Review by the Bank.
F. Procurement of Emergency Expenditures under the CERC Part of the Project
Notwithstanding any provision to the contrary in this Section, Emergency Expenditures required for the CERC Part of the Project shall be procured in accordance with the procurement methods and procedures set forth in the CERC Operations Manual.
Section IV. Withdrawal of Loan Proceeds
A. General
1. The Borrower may withdraw the proceeds of the Loan in accordance with the provisions of Article II of the General Conditions, this Section, and such additional instructions as the Bank shall specify by notice to the Borrower (including the “World Bank Disbursement Guidelines for Projects” dated May 2006, as revised from time to time by the Bank and as made applicable to this Agreement pursuant to such instructions), to finance Eligible Expenditures as set forth in the table in paragraph 2 below.
2. The following table specifies the categories of Eligible Expenditures that may be financed out of the proceeds of the Loan (“Category”), the allocation of the amounts of the Loan to each Category, and the percentage of expenditures to be financed for Eligible Expenditures in each Category.

For purposes of this table “exclusive of Taxes” means, in connection with Section 2.06 of the General Conditions, that the Loan proceeds shall not be used for financing of Taxes levied by, or in the territory of the Borrower on or in respect of Eligible Expenditures, or on their importation, manufacture, procurement or supply.
B. Withdrawal Conditions; Withdrawal Period
1. Notwithstanding the provisions of Part A of this Section, no withdrawal shall be made:
(a) for payments made prior to the date of this Agreement, except thatwithdrawals up to an aggregate amount not to exceed Euro 90,992,000 may be made for payments made prior to this date but on or after May 15, 2014, for Eligible Expenditures, under Categories (1), (2), and (3); or
(b) under Category (1) unless the Project Implementing Entity has adopted the PIE Project Operations Manual satisfactory to the Bank; or
(c) under Category (2) unless:
(i) the Project Implementing Entity has adopted the PIE Project Operations Manual satisfactory to the Bank; and
(ii) the ESMF and RPF satisfactory to the Bank have been adopted and published; or
(d) under Category (3) unless:
(i) MAEP has adopted the MAEP Project Operations Manual satisfactory to the Bank;
(ii) the ESMF satisfactory to the Bank has been adopted and published;
(iii) MAEP has submitted evidence satisfactory to the Bank that any payments under the Farm Incentives Program have been made to eligible beneficiaries by the Borrower (i.e. farmers in the Flood Affected Areas), in accordance with the procedures set forth in the applicable laws and regulations, and the MAEP Project Operations Manual; or
(e) under Category (4) unless:
(i) MAEP has adopted the MAEP Project Operations Manual satisfactory to the Bank;
(ii) the ESMF and RPF satisfactory to the Bank have been adopted and published; and
(iii) DWM has established a PIU with terms of reference, competent staff, and sufficient resources satisfactory to the Bank; or
(f) under Category (5), for Emergency Expenditures under Part IV of the Project, unless and until the Bank is satisfied, and notified the Borrower of its satisfaction, that all of the following conditions have been met in respect of said activities:
(i) the Borrower has determined that an Eligible Crisis or Emergency has occurred, has furnished to the Bank a request to include said activities in the CERC Part in order to respond to said Eligible Crisis or Emergency, and the Bank has agreed with such determination, accepted said request and notified the Borrower thereof;
(ii) the Borrower has prepared and disclosed all safeguards instruments required for said activities, and the Borrower has
implemented any actions which are required to be taken under said instruments, all in accordance with the provisions of Section I.E of Schedule 2 to this Agreement;
(iii) the Borrower’s Coordinating Authority has adequate staff and resources, in accordance with the provisions of Section I.E of this Schedule 2 to this Agreement, for the purposes of said activities; and
(iv) the Borrower has adopted a CERC Operations Manual in form, substance and manner acceptable to the Bank and the provisions of the CERC Operations Manual remain, or have been updated in accordance with the provisions of Section I.E of this Schedule 2, so as to be appropriate for the inclusion and implementation of said activities under the CERC Part.
2. Notwithstanding the provisions of Part A of this Section, if, at any time, the Bank determines that any portion of the amount disbursed by the Bank under Category (3) was made for reimbursement of expenditures which are not eligible under the Borrower’s Farm Incentives Program, or not in compliance with the provisions of Section IV.B.1(d)(iii) of this Schedule, and the provisions of the MAEP Project Operations Manual, the Borrower shall promptly refund any such amount to the Bank, as the Bank shall specify by notice to the Borrower.
3. The Closing Date is December 31, 2017.
Section V. Other Undertakings
1. The Borrower undertakes to ensure the financial sustainability of the Project Implementing Entity, on the basis of a set of operational and financial target indicators acceptable to the Bank and set forth in the PIE Operations Manual, which may be reviewed and adjusted from time to time, but at least annually, with the agreement of the Bank.
2. In connection with the foregoing, and notwithstanding the remedies available to the Bank in cases of performance failure, the Borrower undertakes to prepare a time-bound action plan, acceptable to the Bank to address deviations from the targets set pursuant to paragraph 1 of this Section.
Attachment to SCHEDULE 2
The procedures to be followed for National Competitive Bidding shall be those set forth in this Attachment to Schedule 2 of the Loan Agreement of even date hereto, between the International Bank for Reconstruction and Development, and the Republic of Serbia, provided, however that such procedure shall be subject to the provisions of Section 1 and Paragraphs 3.3 and 3.4 of the “Guidelines for Procurement of Goods, Works, and Non-Consulting Services under IBRD Loans and XXX Credits and Grants by World Bank Borrowers”(January 2011, revised July 2014) (the “Procurement Guidelines”), and the following additional provisions:
• “Open Tendering” procedures as defined in Public Procurement Law of Serbia shall apply to all contracts.
• Foreign bidders shall not be precluded from bidding and no preference of any kind shall be given to national bidders in the bidding process. Government- owned enterprises in Serbia shall be permitted to bid only if they are legally and financially autonomous and operate under commercial law of the Recipient.
• Procuring entities shall use sample bidding documents approved by the Bank.
• In case of higher bid prices compared to the official estimate, all bids shall not be rejected without the prior concurrence of the World Bank.
• A single-envelope procedure shall be used for the submission of bids.
• Post-qualification shall be conducted only on the lowest evaluated bidder; no bid shall be rejected at the time of bid opening on qualification grounds.
• Bidders who contract as a joint venture shall be held jointly and severally liable.
• Contracts shall be awarded to the lowest evaluated, substantially responsive bidder who is determined to be qualified to perform in accordance with pre- defined and pre-disclosed evaluation criteria.
• Post-bidding negotiations shall not be allowed with the lowest evaluated or any other bidders.
• Contracts of long duration (more than 18 months) shall contain appropriate price adjustment provisions.
• The bidding document and contract as deemed acceptable by the World Bank shall include provisions stating the World Bank’s policy to sanction firms or individuals, found to have engaged in fraud and corruption as defined in the Procurement Guidelines.
• In accordance with the Procurement Guidelines, each bidding document and contract financed out of the proceeds of the Financing shall provide that bidders, suppliers and contractors, and their subcontractors, agents, personnel, consultants, service providers, or suppliers, shall permit the World Bank to inspect all accounts, records, and other documents relating to the submission of bids and contract performance, and to have them audited by auditors appointed by the World bank. Acts intended to materially impede the exercise of the World Bank’s inspection and audit rights provided for in the Procurement Guidelines constitute an obstructive practice as defined in the Guidelines.
SCHEDULE 3
Amortization Schedule
1. The following table sets forth the Principal Payment Dates of the Loan and the percentage of the total principal amount of the Loan payable on each Principal Payment Date (“Installment Share”). If the proceeds of the Loan have been fully withdrawn as of the first Principal Payment Date, the principal amount of the Loan repayable by the Borrower on each Principal Payment Date shall be determined by the Bank by multiplying: (a) Withdrawn Loan Balance as of the first Principal Payment Date; by (b) the Installment Share for each Principal Payment Date, such repayable amount to be adjusted, as necessary, to deduct any amounts referred to in paragraph 4 of this Schedule, to which a Currency Conversion applies.

2. If the proceeds of the Loan have not been fully withdrawn as of the first Principal Payment Date, the principal amount of the Loan repayable by the Borrower on each Principal Payment Date shall be determined as follows:
(a) To the extent that any proceeds of the Loan have been withdrawn as of the first Principal Payment Date, the Borrower shall repay the Withdrawn Loan Balance as of such date in accordance with paragraph 1 of this Schedule.
(b) Any amount withdrawn after the first Principal Payment Date shall be repaid on each Principal Payment Date falling after the date of such withdrawal in amounts determined by the Bank by multiplying the amount of each such withdrawal by a fraction, the numerator of which is the original Installment Share specified in the table in paragraph 1 of this Schedule for said Principal Payment Date (“Original Installment Share”) and the denominator of which is the sum of all remaining Original Installment Shares for Principal Payment Dates falling on or after such date, such amounts repayable to be adjusted, as necessary, to deduct any amounts referred to in paragraph 4 of this Schedule, to which a Currency Conversion applies.
3. (a) Amounts of the Loan withdrawn within two calendar months prior to any Principal Payment Date shall, for the purposes solely of calculating the principal amounts payable on any Principal Payment Date, be treated as withdrawn and outstanding on the second Principal Payment Date following the date of withdrawal and shall be repayable on each Principal Payment Date commencing with the second Principal Payment Date following the date of withdrawal.
(b) Notwithstanding the provisions of sub-paragraph (a) of this paragraph, if at any time the Bank adopts a due date billing system under which
invoices are issued on or after the respective Principal Payment Date, the provisions of such sub-paragraph shall no longer apply to any withdrawals made after the adoption of such billing system.
4. Notwithstanding the provisions of paragraphs 1 and 2 of this Schedule, upon a Currency Conversion of all or any portion of the Withdrawn Loan Balance to an Approved Currency, the amount so converted in the Approved Currency that is repayable on any Principal Payment Date occurring during the Conversion Period, shall be determined by the Bank by multiplying such amount in its currency of denomination immediately prior to the Conversion by either: (i) the exchange rate that reflects the amounts of principal in the Approved Currency payable by the Bank under the Currency Hedge Transaction relating to the Conversion; or (ii) if the Bank so determines in accordance with the Conversion Guidelines, the exchange rate component of the Screen Rate.
5. If the Withdrawn Loan Balance is denominated in more than one Loan Currency, the provisions of this Schedule shall apply separately to the amount denominated in each Loan Currency, so as to produce a separate amortization schedule for each such amount.
APPENDIX
Section I. Definitions
1. “Anti-Corruption Guidelines” means the “Guidelines on Preventing and Combating Fraud and Corruption in Projects Financed by IBRD Loans and XXX Credits and Grants”, dated October 15, 2006 and revised in January 2011.
2. “Category” means a category set forth in the table in Section IV of Schedule 2 to this Agreement.
3. “CERC Part of the Project” and “CERC Part” each means Part IV of the Project.
4. “Contingent Emergency Response Component Operations Manual” and “CERC Operations Manual” each means the operations manual referred to in Section I.E of Schedule 2 to this Agreement, to be adopted by the Borrower for the CERC Part of the Project in accordance with the provisions of said Section.
5. “Consultant Guidelines” means the “Guidelines: Selection and Employment of Consultants under IBRD Loans and XXX Credits and Grants by World Bank Borrowers” dated January 2011, revised July 2014.
6. “Coordinating Authority” means the entity or entities designated by the Recipient in the CERC Operations Manual and approved by the Bank pursuant to Section I.E of Schedule 2 to this Agreement, to be responsible for coordinating the CERC Part of the Project.
7. “Directorate for Agrarian Payments” or “DAP” means the agrarian payments administration within MAEP, responsible for incentive payments to farmers, or any legal successor thereto.
8. “Directorate of Water Management” or “DWM” means the directorate within MAEP responsible for water management, or any legal successor thereto.
9. “Eligible Crisis or Emergency” means an event that may occur after the date of this Agreement, and may have caused, or is likely to imminently cause, a major adverse economic and/or social impact to the Borrower, associated with a natural or man-made crisis or disaster, as determined by the Bank pursuant to Section I.E.3 of Schedule 2.
10. “Emergency Expenditure” means any of the Eligible Expenditures set forth in the CERC Operations Manual in accordance with the provisions of Section I.E of Schedule 2 to this Agreement and required for the activities included in the CERC Part of the Project.
11. “EMP” means the Environmental Management Plans prepared or to be prepared by the Borrower through MAEP, or by the Project Implementing Entity, satisfactory to the Bank, and updated as necessary during Project implementation, in respect of works to be undertaken by the Borrower through MAEP, or by the Project Implementing Entity under the Project defining details of measures to manage potential environmental risks and mitigate, reduce and/or offset adverse environmental impacts associated with the implementation of activities under the Project, together with adequate institutional, monitoring and reporting arrangements capable of ensuring proper implementation of, and regular feedback on compliance with, its terms, as the same shall be updated during Project implementation based on the detailed works plans and designs, as the same may be amended or
supplemented in any other way from time to time with the Bank’s prior written approval.
12. “EMP for the Tamnava West Open Pit Mine” means the Borrower’s site- specific Environmental Management Plan, prepared by the Project Implementing Entity and satisfactory to the Bank, dated September 16, 2014, and disclosed on the Project Implementing Entity’s website on September 18, 2014 for implementation of Part I.C of the Project, and updated as necessary during Project implementation, that covers water quantity and its impact downstream from point of discharge into Kolubara River; water quality and mode of control/monitoring; mud/sludge quality and its impact on the Kolubara River water quality, and impact of suspended matter that will be pumped out with water into the river; mud/sludge management and arrangements in case of finding “unpolluted” and “polluted” sludge; bank stability downstream of the water discharge point; health and safety work arrangements; and restoration of the embankments from damage caused by dewatering activities, upon their completion.
13. “ESMF” means the Borrower’s Environmental and Social Management Framework to be prepared by the Borrower through MAEP and by the Project Implementing Entity, and satisfactory to the Bank, to be published on MAEP’s website, the Project Implementing Entity’s website and the Bank’s Info shop, which identifies the policy triggers for the Project, the screening criteria for activities, the likely environmental and social impacts of the financing and the potential mitigation measures of the identified risks, assessment of the institutional capacity of the implementing agency and measures for capacity- filling gaps, and an estimate of the budget needed for its implementation and related instruments, as well as specific actions to review the Farm Incentives Program, and guidance for the preparation of activities-specific environmental and social impact assessments and/or Environmental Management Plans (EMPs).
14. “Farm Incentives Program” is the Borrower’s program to provide financial incentives to farmers in the Republic of Serbia, including: (a) direct support (i.e. reimbursement for fuel, seeds, and fertilizers, payments per hectare cultivated, per head of specific livestock, per liter of milk); (b) support to rural development (i.e., meeting food safety and environmental protection standards); and (c) special support measures (i.e., capacity building, introducing farmers to accounting and book-keeping), as such program is defined by the Borrower’s Law on Incentives for Agriculture and Rural Development of 2013.
15. “Flood Affected Areas” means the following forty-nine (49) municipalities within the Borrower’s territory, which were adversely affected by the floods in May 2014: Aleksinac, Bajina Bašta, Bogatić, Čačak, Ćuprija, Despotovac, Doljevac, Gornji Milanovac, Grocka, Jagodina, Knić, Koceljeva, Kosjerić, Kragujevac, Kraljevo, Krupanj, Kruševac, Lajkovac, Lazarevac, Ljig, Ljubovija, Loznica, Lučani, Mali Zvornik, Mionica, Mladenovac, Obrenovac, Osečina, Paraćin, Petrovac na Mlavi, Požarevac, Požega, Rača, Rakovica, Ražanj, Rekovac, Šabac, Šid, Smederevska Palanka, Sremska Mitrovica, Svilajnac, Trstenik, Ub, Užice, Valjevo, Varvarin, Velika Plana, Vladimirci, and Zaječar.
16. “General Conditions” means the “International Bank for Reconstruction and Development General Conditions for Loans”, dated March 12, 2012, with the modifications set forth in Section II of this Appendix.
17. “MAEP Project Operations Manual” means the manual to be prepared by MAEP, and satisfactory to the Bank, setting forth the financial management
procedures, procurement and institutional arrangements for carrying out Parts II and III of the Project, and monitoring and auditing mechanisms for the Project, as the same may be amended from time to time by agreement between the Bank and MAEP.
18. “Ministry of Agriculture and Environmental Protection” or “MAEP” means the Borrower’s Ministry responsible for agriculture and environmental protection, or any legal successor thereto.
19. “Office for Reconstruction and Flood Relief” means the special entity of the Borrower, established pursuant to the Borrower’s Law on Post-flood Rehabilitation, and the Borrower’s Decree on Establishment of the Office for the Assistance and Recovery of Flood Areas, which is in charge of coordination of, and assistance with, the reconstruction and relief efforts to address the floods and natural disasters that affected the Borrower in mid- May 2014.
20. “Operating Costs” means the reasonable and incremental expenses incurred by the PIU on account of Project implementation, based on periodic budgets acceptable to the Bank, for the maintenance and leasing of vehicles and equipment, for fuel, office supplies and other consumables, vehicle and equipment insurance, office rent, internet connection and communications costs, support for information systems, translation costs, bank charges, utilities, and travel, transportation, per diem and accommodation costs (other than for training), and other reasonable expenditures directly associated with implementation of Project activities. Incremental expenses will not include salaries of officials of the Borrower’s civil service.
21. “PIE Project Operations Manual” means the manual to be prepared by the Project Implementing Entity, and satisfactory to the Bank, setting forth the financial management procedures, procurement and institutional arrangements for carrying out Part I of the Project, and monitoring and auditing mechanisms for the Project, as the same may be amended from time to time by agreement between the Bank and the Project Implementing Entity.
22. “Procurement Guidelines” means the “Guidelines: Procurement of Goods, Works and Non-consulting Services under IBRD Loans and XXX Credits and Grants by World Bank Borrowers” dated January 2011, revised in July 2014.
23. “Procurement Plan” means the Borrower’s procurement plan for the Project, dated September 17, 2014 and referred to in paragraph 1.18 of the Procurement Guidelines and paragraph 1.25 of the Consultant Guidelines, as the same shall be updated from time to time in accordance with the provisions of said paragraphs.
24. “Project Implementing Entity” means, the Borrower’s fully owned, holding Public Company Elektroprivreda Srbije (EPS), which includes thirteen legal entities covering coal production, electricity generation, distribution and renewable energy sources.
25. “Project Implementing Entity’s Legislation” means Law on Public Enterprises (Official Gazette of RS No. 119/12), Decision on Harmonization of Business Operation of Public Enterprise for Generation, Distribution and Trading of Electricity with the Law on Public Enterprises (Official Gazette of RS No. 50/13), and Decision on amendment of the Decision on Incorporation of the Company for Production, Processing and Transport of Coal Mining Basin “Kolubara” D.O.O. Lazarevac, dated July 2014.
26. “Project Implementation Unit” or “PIU” means a unit established by DWM to implement Parts II and III of the Project, with terms of reference, competent staff, and resources satisfactory to the Bank.
27. “RAP” means any site-specific resettlement action plan, prepared or to be prepared by the Borrower through MAEP, or by the Project Implementing Entity, pursuant to the RPF and this Agreement, and satisfactory to the Bank, containing, inter alia, a program of actions, measures and policies for compensation and resettlement of persons, including compensation and resettlement arrangements, budget and cost estimates, and sources of funding, together with adequate institutional, monitoring and reporting arrangements capable of ensuring proper implementation of, and regular feedback on compliance with its terms for each site.
28. “RPF” means the Borrower’s Resettlement Policy Framework, to be prepared and adopted by the Borrower through MAEP and by the Project Implementing Entity, and satisfactory to the Bank, setting forth resettlement procedures, institutional arrangements, eligibility criteria, entitlements and compensation, including valuation procedures, public consultation and participation, and monitoring and evaluation criteria to be applied in preparing a Resettlement Action Plan (RAP).
29. “Subsidiary Agreement” means the agreement referred to in Section I.B of Schedule 2 to this Agreement pursuant to which the Borrower shall make the proceeds of the Loan available to the Project Implementing Entity.
30. “Tamnava West Open Pit Mine” means an open pit mine located in Kolubarska Oblast, Republic of Serbia.
Section II. Modifications to the General Conditions
The General Conditions are hereby modified as follows:
1. In the Table of Contents, the references to Sections, Section names and Section numbers are modified to reflect the modifications set forth in the paragraphs below.
2. Section 3.01. (Front-end Fee) is modified to read as follows: “Section 3.01. Front-end Fee; Commitment Charge
(a) The Borrower shall pay the Banka front-end fee on the Loan amount at the rate specified in the Loan Agreement (the “Front-end Fee”).
(b) The Borrower shall pay the Bank a commitment charge on the Unwithdrawn Loan Balance at the rate specified in the Loan Agreement (the “Commitment Charge”). The Commitment Charge shall accrue from a date sixty days after the date of the Loan Agreement to the respective dates on which amounts are withdrawn by the Borrower from the Loan Account or cancelled. The Commitment Charge shall be payable semi-annually in arrears on each Payment Date.”
3. In the Appendix, Definitions, all relevant references to Section numbers and paragraphs are modified, as necessary, to reflect the modification set forth in paragraph 2 above.
4. The Appendix is modified by inserting a new paragraph 19 with the following definition of “Commitment Charge”, and renumbering the subsequent paragraphs accordingly:
“19. “Commitment Charge” means the commitment charge specified in the Loan Agreement for the purpose of Section 3.01(b).”
5. In the renumbered paragraph 49 (originally paragraph 48) of the Appendix, the definition of “Front-end Fee” is modified by replacing the reference to Section 3.01 with Section 3.01 (a).
6. In the renumbered paragraph 68 (originally paragraph 67) of the Appendix, the definition of the term “Loan Payment” is modified to read as follows:
“68. “Loan Payment” means any amount payable by the Loan Parties to the Bank pursuant to the Legal Agreements or these General Conditions, including (but not limited to) any amount of the Withdrawn Loan Balance, interest, the Front-end Fee, the Commitment Charge, interest at the Default Interest Rate (if any), any prepayment premium, any transaction fee for a Conversion or early termination of a Conversion, the Variable Spread Fixing Charge (if any), any premium payable upon the establishment of an Interest Rate Cap or Interest Rate Collar, and any Unwinding Amount payable by the Borrower.”
7. In the renumbered paragraph 73 (originally paragraph 72) of the Appendix, the definition of “Payment Date” is modified by deleting the word “is” and inserting the words “and Commitment Charge are” after the word “interest”.

SPORAZUM O ZAJMU
Sporazum o zajmu (u daljem tekstu: „Sporazum”) potpisan xxxx 9. oktobra 2014. godine, između REPUBLIKE SRBIJE (u daljem tekstu: „Zajmoprimac”) i MEĐUNARODNE BANKE ZA OBNOVU I RAZVOJ (u daljem tekstu: „Banka”). Ovim putem Zajmoprimac i Banka saglasili su se o sledećem:
Član 1.
OPŠTI USLOVI; DEFINICIJE
1.01. Opšti uslovi (na način utvrđen u Prilogu ovog sporazuma) čine sastavni deo ovog sporazuma.
1.02. Ukoliko kontekst ne zahteva drugačije, izrazi xxxxxx velikim slovima, koji se koriste u ovom sporazumu, imaju značenje koje im je pripisano u Opštim uslovima ili u Prilogu ovog sporazuma.
Član 2.
ZAJAM
2.01. Xxxxx xx saglasna da dâ na zajam Zajmoprimcu, pod uslovima i na načine koji su utvrđeni ili pomenuti u ovom sporazumu, iznos od dvesta dvadeset xxxxx miliona četiri stotine osamdeset hiljade evra (EUR 227.480.000), s xxx da se xx xxxx može s vremena na vreme konvertovati putem Konverzije valute u skladu sa odredbama člana 2. stav 2.08 ovog sporazuma, (u daljem tekstu: „Zajam”), radi pomoći u finansiranju projekta opisanog u Programu 1. ovog sporazuma (u daljem tekstu: „Projekat”).
2.02. Zajmoprimac može povlačiti sredstva Zajma u skladu sa Odeljkom 4 Programa 2. ovog sporazuma.
2.03. Pristupna naknada, koju plaća Zajmoprimac, jednaka je jednoj četvrtini procenta (0,25%) iznosa Zajma.
2.04. Naknada za nepovučena sredstava Zajma koju plaća Zajmoprimac jednaka je jednoj četvrtini procenta (0,25%) godišnje na iznos nepovučenih sredstava Xxxxx.
2.05. Zajmoprimac će plaćati Kamatu za svaki Kamatni period po stopi u iznosu jednakom Referentnoj stopi za valutu zajma uvećanu za Promenljivu kamatnu maržu pod uslovom da xx xxxxx Konverzije ukupnog iznosa ili bilo kojeg dela iznosa glavnice Zajma, kamata koju će Zajmoprimac za taj iznos plaćati tokom perioda Konverzije biti određena u skladu sa relevantnim odredbama Xxxxx XX Opštih uslova. Izuzetno, ukoliko bilo koji iznos Povučenog dela Xxxxx ne bude plaćen o dospeću i takvo neplaćanje se nastavi u periodu od trideset xxxx, onda će se kamata koju će Xxxxxxxxxxx plaćati umesto toga obračunati prema odredbama člana 3. Dela 3.02 (e) Opštih uslova.
2.06. Datumi za plaćanje su 1. maj i 1. novembar svake godine.
2.07. Glavnica Xxxxx otplaćivaće se u skladu sa planom otplate utvrđenim u Programu 3. Ovog sporazuma.
2.08. (a) Zajmoprimac može u svako doba zatražiti bilo koju od sledećih Konverzija uslova Zajma kako bi se olakšalo efikasno upravljanje dugom:
(i) promenu valute Xxxxx za ceo iznos ili deo glavnice, povučenog ili nepovučenog, u odobrenu Valutu;
(ii) promenu osnovice kamatne stope primenjive na: (A) sve delove ili bilo xxxx xxx glavnice Zajma, povučene i neotplaćene sa Varijabilne stope u Fiksnu stopu, ili obrnuto; ili (B) sve delove ili bilo xxxx xxx glavnice zajma, povučene i neotplaćene, sa Varijabilne stope zasnovane na referentnoj stopi i Varijabilnoj marži u Varijabilnu stopu zasnovanoj na Fiksnoj referentnoj stopi i Varijabilnoj marži, ili obrnuto; ili (V) ukupan iznos glavnice Zajma, povučen a neotplaćen, sa Varijabilne stope zasnovane na Varijabilnoj marži u Varijabilnu stopu zasnovanoj na Fiksnoj marži; i
(iii) određivanje limita Varijabilne stope ili Referentne stope primenjivih na ukupan iznos ili deo glavnice Zajma, povučen i neotplaćen uspostavljanjem Najviše kamatne stope (Interest Rate Cap) ili najnižih prihvatljivih kamatnih xxxxx (Interest Rate Collar) za Varijabilnu stopu ili Referentnu stopu.
(b) Svaka izmena koja se traži u skladu sa tačkom (a) ovog člana, a koju Banka prihvati smatraće se „Konverzijom”, xxxx xx definisano u Opštim uslovima, i xxxx sprovedena u skladu sa odredbama Xxxxx XX Opštih uslova i Smernica za konverziju.
Član 3.
PROJEKAT
3.01. Zajmoprimac potvrđuje svoju posvećenost ciljevima Projekta. U xxx cilju, a u skladu sa odredbama Člana V Opštih uslova, Zajmoprimac će: (a) učiniti da Nosilac projekta realizuje Deo I Projekta; i (b) realizuje preko Ministarstva poljoprivrede i zaštite životne sredine (u daljem tekstu: „MPZŽS”) Xxxxxx XX i III Projekta.
3.02. Ne ograničavajući se odredbama člana 3. stav 3.01. ovog sporazuma, i osim ukoliko se Zajmoprimac i Banka ne dogovore drugačije, Zajmoprimac će se postarati da se Projekat realizuje u skladu sa odredbama Programa 2. ovog sporazuma.
Član 4.
PRAVNI LEKOVI BANKE
4.01. Dodatne mogućnosti obustave odnose se na okolnosti kada se zakonska regulativa Nosioca projekta menja, obustavlja, poništava, raskida ili xx xxxxx do odustajanja tako da se značajno i negativno utiče na sposobnost Nosioca projekta da ispuni bilo koju od svojih obaveza predviđenih Ugovorom o projektu ili Podsporazumom o zajmu.
4.02. Dodatni slučajevi ubrzanja čine okolnosti navedene u članu 4. stav 4.01 Sporazuma koje su nastale i koje traju trideset (30) xxxx xxxxx što xx Xxxxx obavestila Zajmoprimca o njihovom nastupanju.
Član 5.
STUPANjE NA SNAGU; RASKID
5.01. Dodatni uslov za stupanje na snagu je da je Podsporazum o zajmu zaključen između Zajmoprimca i Nosioca projekta.
5.02. Dodatna pravna pitanja odnose se na to da je Podsporazum o zajmu iz člana
5. stav 5.01 propisno odobren ili ratifikovan xx xxxxxx Zajmoprimca i Nosioca projekta i da je pravno obavezujući za Zajmoprimca i Nosioca projekta u skladu sa njegovim odredbama.
5.03. Krajnji rok za stupanje na snagu je devedeset (90) xxxx od datuma potpisivanja ovog sporazuma.
Član 6.
PREDSTAVNIK; ADRESE
6.01. Za potrebe člana 10. Dela 10.02 Opštih uslova, Predstavnik Zajmoprimca, koji se između ostalog, može složiti sa izmenama odredbi ovog sporazuma u ime Zajmoprimca, kroz razmenu pisama (osim ako je drugačije određeno xx xxxxxx Zajmoprimca i Banke), je ministar finansija Zajmoprimca.

PROGRAM 1
Opis projekta
Ciljevi Projekta su: (i) pomoć u ponovnom uspostavljanju energetskog sistema koji će obezbediti pouzdano snabdevanje električnom energijom u zemlji; (ii) zaštita sredstava za život zemljoradnika u oblastima pogođenim poplavama; (iii) zaštita ljudi i imovine od poplava; i (iv) unapređenje kapaciteta Zajmoprimca da uspešno odgovori na prirodne nepogode.
Projekat čine sledeće komponente: Deo I. Podrška energetskom sektoru
A. Finansiranje nabavke električne energije kako bi se poboljšalo pouzdano snabdevanja električnom energijom.
B. Podrška hitnom uspostavljanju distributivne mreže obezbeđivanjem:
(i) brojila za oblasti pogođene poplavama; (ii) mobilnih podstanica; (iii)štedljivih sijalica, tehničke pomoći i drugih dobara xxxxxx xx se pružiti podrška aktivnostima koje se odnose na upravljanje potrošnjom.
V. Ispumpavanje vode iz površinskog kopa Tamnava – Zapadno polje. Xxx XX. Podrška poljoprivrednom sektoru
Podrška finansiranju podsticaja koji se isplaćuju poljoprivrednicima u okviru programa Zajmoprimca za raspodelu podsticaja u poljoprivredi u oblastima pogođenim poplavama.
Deo III.Zaštita od poplava
A. Rehabilitacija i rekonstrukcija prioritetne infrastrukture za zaštitu od poplava i kontrolu odvodnjavanja obezbeđivanjem radova, dobara i konsultantskih usluga u oblastima pogođenim poplavama kao i oblastima koje mogu biti ugrožene u slučaju poplava.
B. Podrška upravljanju projektom, uključujući operativne troškove i jačanje tehničkih kapaciteta za unapređenje zaštite od poplava i upravljanja aktivnostima, što obuhvata izradu tehničkih elaborata xxxxxx xx se identifikovati prioritetni radovi u oblasti infrastrukture za zaštitu od poplava i pripremu tehničkih projekata, tenderske dokumentacije i projektnih zadataka za navedene aktivnosti.
Xxx XX. Hitno reagovanje u nepredviđenim situacijama
Obezbeđivanje hitnog reagovanja u kvalifikovanim kriznim i vanrednim situacijama, po potrebi.
PROGRAM 2
Izvršenje projekta Odeljak I. Aranžmani za implementaciju
A. Institucionalni aranžmani
1. Zajmoprimac će, preko Kancelarije za pomoć i obnovu poplavljenih područja, biti odgovoran za praćenje realizacije projekta, uključujući, između ostalog, i (i) vršenje periodičnog praćenja i evaluacije realizacije projekta, uključujući projektno izveštavanje u skladu sa kriterijumima definisanim u Projektnom operativnom priručniku MPZŽS i Operativnom priručniku Nosioca projekta; (ii) koordinaciju aktivnosti između Nosioca projekta, UAP, DV i drugih institucija Zajmoprimca, po potrebi; (iii) savetodavnu funkciju za MPZŽS/DV prilikom usvajanja i/ili izmena i dopuna Projektnog operativnog priručnika MPZŽS i izmena Plana nabavki; (iv) praćenje plaćanja i rešavanje problema; (v) reviziju periodičnih finansijskih izveštaja; i (vi) praćenje pravovremenog rešavanja problema vezanih za reviziju za potrebe projekta.
2. Preko Kancelarije za pomoć i obnovu poplavljenih područja, Zajmoprimac će:
(a) učiniti da Nosilac projekta sprovede Deo I Projekta u skladu sa ovim sporazumom, Ugovorom o Projektu, Podsporazumom i Projektnim operativnim priručnikom Nosioca projekta;
(b) osigurati da Nosilac projekta bude odgovoran za svakodnevnu realizaciju Projekta, uključujući nabavke i finansijsko upravljanje projektnog Dela I; i
(v) učiniti da Nosilac projekta oformi najkasnije do 15. novembra 2014. godine i održava Xxx za realizaciju projekta sa projektnim zadacima, kompetentnim osobljem i neophodnim resursima, prihvatljivim za Banku, za potrebe realizacije Dela I Projekta.
3. Zajmoprimac neće menjati, obustaviti, poništiti ili odustati od Programa podsticaja za poljoprivrednike na način koji bi, po mišljenju Banke značajno i negativno uticao na isplate poljoprivrednicima u oblastima pogođenim poplavama, u okviru projektnog Dela II.
4. Zajmoprimac će, preko MPZŽS:
(a) sprovesti projektne Xxxxxx XX i III u skladu sa Sporazumom i Projektnim operativnim priručnikom MPZŽS;
(b) osigurati da UAP zadrži kompetentno osoblje i potrebne resurse, prihvatljive za Banku, kako bi sprovela projektni Xxx XX;
(v) obezbedi da MPZŽS najkasnije do 15. novembra 2014. godine uspostavi i održava Jedinicu za implementaciju projekta u okviru Direkcije za vode sa projektnim zadacima, kompetentnim osobljem, uključujući rukovodioca, stručnjaka za nabavke, za finansijsko upravljanje, za politike zaštite, monitoring i evaluaciju kao i neophodnim resursima, prihvatljivim za Banku, za potrebe realizacije Delova II i III Projekta; i
(g) obezbedi da se godišnje priprema plan obuke, prihvatljiv za Banku, koji će sadržati informacije o obukama, odabranim pružaocima obuke, troškovima, broju, funkciji i imenima pojedinaca koji prolaze obuku.
Plan obuke će se po potrebi, ali najmanje jednom godišnje tokom trajanja Projekta ažurirati u dogovoru sa Bankom.
5. Najkasnije do 1. decembra 2014. godine, Zajmoprimac će učiniti da Nosilac projekta usvoji Projektni operativni priručnik za Xxx X Projekta i da preko MPZŽS usvoji Projektni operativni priručnik MPZŽS-a za Xxxxxx XX i III Projekta.
B. Podsporazum o zajmu
1. Kako bi se Nosiocu projekta olakšala realizacija pripadajućeg Dela projekta, Zajmoprimac će mu staviti na raspolaganje deo sredstava Zajma u okviru Podsporazuma o zajmu između Zajmoprimca i Nosioca projekta (u daljem tekstu: „Podsporazum o zajmu”), pod uslovima koje Banka odobri, koji će obuhvatiti sledeće: glavnica Zajma koja se stavlja na raspolaganje u okviru Podsporazuma o zajmu (u daljem tekstu: „Dopunski zajam”) : (a) xxxx biti izražena i plativa u evrima; i (b) uslovi koji će se primeniti neće biti nepovoljniji od uslova Xxxxx.
2. Zajmoprimac će sprovoditi svoja prava iz Podsporazuma o zajmu tako da zaštiti interese Zajmoprimca i Banke i da realizuje ciljeve Xxxxx. Osim ukoliko nije drugačije dogovoreno sa Bankom, Zajmoprimac ne sme menjati, obustaviti, poništiti ili raskinuti Podsporazum o zajmu xxxx xxxx koju njegovu odredbu.
V. Anti-korupcija
Zajmoprimac će osigurati sprovođenje Projekta u skladu sa odredbama Smernica o anti-korupciji.
G. Zaštitne politike
1. Zajmoprimac će realizovati Xxxxxx XX i III Projekta i učiniće da Nosilac projekta realizuje Deo I Projekta u skladu sa Okvirom za upravljanje životnom sredinom i društvom i svim PUŽS, PUŽS za površinski kop Tamnava – Zapadno polje, OPR i svim APR, Projektnim operativnim priručnikom MPZŽS i/ili Projektnim operativnim priručnikom Nosioca projekta, i bilo koja odredba OUŽSD, PUŽS, PUŽS za površinski kop Tamnava – Zapadno polje, OPR i svih APR, Projektnog operativnog priručnika MPZŽS i/ili Projektnog operativnog priručnika Nosioca projekta ne sme se menjati, obustaviti, poništiti ili raskinuti, bez prethodne saglasnosti Banke.
2. Za potrebe Delova I.B, I.V, i III Projekta, Zajmoprimac će sprovesti ili učiniti da Nosilac projekta sprovede sledeće:
(a) pre objavljivanja tenderske dokumentacije za nabavku radova, pripremi i podnese Banci predloženi nacrt i povezan PUŽS za konkretnu lokaciju u meri u kojoj se traži u OUŽSD, u formi i sadržine koji su prihvatljivi za Banku;
(b) pre potpisivanja ugovora za navedene radove, pripremi i podnese Banci na odobrenje APR za konkretnu lokaciju, u formi i sadržine koji su prihvatljivi za Banku, ukoliko je potrebna kupovina zemljišta; i
(v) pre otpočinjanja radova koji podrazumevaju kupovinu zemljišta, potrebno je obezbediti da su vlasnici i korisnici zemljišta na kome će se radovi sprovesti u potpunosti kompenzovani u skladu sa odredbama APR, ako je to potrebno.
3. Zajmoprimac će obezbediti ili učiniti da Nosilac projekta obezbedi potpunu implementaciju PUŽS za površinski kop Tamnava – Zapadno polje i sve PUŽS na način prihvatljiv za Banku, uključujući sve neophodne mere xxxxxx
xx se umanjiti i ublažiti svi negativni uticaji na životnu sredinu uzrokovani implementacijom Projekta.
D. Mehanizam hitnog reagovanja u nepredviđenim situacijama - MHRNS
Kako bi se obezbedila adekvatna implementacija projektnog Dela IV („Hitno reagovanje u nepredviđenim situacijama”), u daljem tekstu: „MHRNS Deo”, Zajmoprimac će preduzeti sledeće mere.
1. Zajmoprimac će:
(a) pripremiti i dostaviti Banci na uvid i odobrenje, operativni priručnik u kome će biti navedeni detaljni aranžmani koji se odnose na implementaciju MHRNS Dela, uključujući i: (i) postavljenje tela koje će biti odgovorno za koordinaciju i implementaciju MHRNS Dela sa projektnim zadacima i potrebnim resursima (u daljem tekstu:
„Koordinaciona jedinica”); (ii) xxxxxx konkretnih aktivnosti koje mogu biti obuhvaćene MHRNS Delom, sa kvalifikovanim rashodima (u daljem tekstu: „Hitni troškovi”) i procedurama za njihovo uključivanje;
(iii) aranžmane koji se odnose na finansijsko upravljanje za MHRNS Deo; (iv) metode nabavke i procedure za potrebe Hitnih rashoda koji će se finansirati u okviru MHRNS Dela; (v) dokumentaciju potrebnu za povlačenje sredstava za hitne troškove; (vi) okvire za upravljanje životnom sredinom i društvom za MHRNS Deo, u skladu sa politikama Banke relevantnim za ovu oblast; i (vi) druge aranžmane neophodne kako bi se obezbedila adekvatna koordinacija i implementacija MHRNS Dela;
(b) omogućiti Banci da pregleda pomenuti operativni priručnik;
(v) pravovremeno usvojiti pomenuti operativni priručnik za MHRNS Deo koji će biti odobren xx xxxxxx xxxxx (u daljem tekstu: „MHRNS operativni priručnik”);
(g) osigura da se MHRNS Xxx realizuje u skladu sa MHRNS Operativnim priručnikom; ali u slučaju bilo kakvog neslaganja između odredbi MHRNS Operativnog priručnika i ovog sporazuma, Sporazum će preovladati; i
(d) odredbe MHRNS operativnog priručnika ne smeju se menjati, obustaviti, poništiti ili raskinuti bez dobijanja prethodnog odobrenja Banke.
2. Zajmoprimac će tokom implementacije MHRNS Dela, zadržati Koordinacionu jedinicu, sa adekvatnim osobljem i resursima koji su prihvatljivi za Banku.
3. Banka neće preduzimati aktivnosti u okviru MHRNS Dela (i ni jedna aktivnost ne bi trebalo da bude dodata u MHRNS Deo) osim ako i sve dok se ne ispune sledeći uslovi:
(a) Xxxxx xx ustanovila da xx xxxxx do kvalifikovane krize ili vanredne situacije, Xxxxx xx dostavljen zahtev da se navedene aktivnosti uključe u MHRNS Deo kako bi se odgovorilo na navedenu kvalifikovanu krizu ili vanrednu situaciju i Banka se saglasila po xxx pitanju, prihvatila navedeni zahtev i o tome obavestila Zajmoprimca;
(b) Zajmoprimac je pripremio i objavio sve instrumente zaštite koji se traže za navedene aktivnosti u skladu sa MHRNS Operativnim priručnikom, Xxxxx xx odobrila sve instrumente i Zajmoprimac je sproveo aktivnosti koje su potrebne u okviru pomenutih instrumenata.
Odeljak II. Praćenje, izveštavanje i vrednovanje projekta
A. Projektni izveštaji
Zajmoprimac će pratiti i vrednovati napredak postignut u sprovođenju Projekta i izrađivati Projektne izveštaje u skladu sa odredbama Odeljka 5.08. Opštih uslova i na osnovu pokazatelja koji su usaglašeni sa Bankom. Svaki Projektni izveštaj obuhvataće period od jednog (1) kalendarskog semestra, i dostavljaće se Banci u roku od četrdeset pet (45) xxxx po isteku svakog perioda obuhvaćenog datim izveštajem.
B. Finansijsko upravljanje, finansijski izveštaji i revizije
1. Zajmoprimac će održavati ili učiniti da se održava sistem za finansijsko upravljanje u skladu sa odredbama Odeljka 5.09. Opštih uslova.
2. Ne ograničavajući odredbe Dela A ovog odeljka, Zajmoprimac će izrađivati i dostavljati Banci, najkasnije u roku od četrdeset pet (45) xxxx po isteku svakog kalendarskog kvartala, privremene finansijske izveštaje za Projekat za koje nije izvršena revizija, koji će obuhvatati dati kvartal i xxxx će format i sadržaj biti prihvatljivi za Banku.
3. Zajmoprimac će izvršiti reviziju svojih Finansijskih izveštaja u skladu sa odredbama Odeljka 5.09. (b) Opštih uslova. Svaka revizija Finansijskih izveštaja obuhvataće period od jedne fiskalne godine Zajmoprimca. Finansijski izveštaji za koje je izvršena revizija za svaki takav period dostavljaće se Banci u roku od najkasnije šest (6) meseci po isteku svakog takvog perioda.
4. Zajmoprimac će obezbediti da Nosilac projekta izvrši reviziju svojih finansijskih izveštaja svake godine. Finansijski izveštaji koji su prošli reviziju dostavljaće se Banci u roku xx xxxxx (9) meseci xx xxxxx tog perioda.
Xxxxxxx XXX. Nabavka
A. Opšte odredbe
1. Xxxx, radovi i nekonsultantske usluge. Nabavka robe, radova i nekonsultantskih usluga za potrebe Projekta koji se finansiraju sredstvima zajma vrši će se u skladu sa zahtevima utvrđenim ili pomenutim u Odeljku I Smernica za nabavke i u skladu sa odredbama ovog odeljka.
2. Konsultantske usluge. Sve konsultantske usluge koje su neophodne za Projekat i koje će se finansirati iz sredstava Zajma nabavljaće se u skladu sa zahtevima utvrđenim i pomenutim u odeljcima I i IV Smernica za konsultante i u skladu sa odredbama ovog odeljka.
3. Definicije. Termini xxxxxx velikim slovom, korišćeni u nastavku ovog odeljka za opis pojedinih procedura za nabavke ili procedura za reviziju pojedinih ugovora xx xxxxxx Xxxxx, odnose se na metode opisane u odeljcima II i III Smernica za nabavke ili odeljcima II, III, IV i V Smernica za konsultante, u zavisnosti od potrebe.
B. Pojedinačne procedure za nabavku robe, radova i nekonsultantskih usluga
1. Međunarodno javno nadmetanje. Osim ukoliko u stavu 2. u nastavku nije drugačije određeno, nabavka robe, radova i nekonsultantskih usluga vrši se u okviru ugovora dodeljenih na osnovu međunarodnog javnog nadmetanja.
2. Druge metode za nabavku robe, radova i nekonsultantskih usluga. Sledeće metode pored međunarodnog javnog nadmetanja, mogu se koristiti za nabavku robe, radova i nekonsultantskih usluga za ugovore koji su
navedeni u planu nabavke: (a) Nacionalno javno nadmetanje, na koje se odnose i dodatne odredbe definisane u Prilogu u Poglavlju 2; (b) Kupovina;
(v) Direktno ugovaranje; (g) Namenski račun (Force Account); (d) Dobro ustanovljene metode nabavke u privatnom sektoru ili komercijalna praksa xxxx xx prihvatljiva za Banku;i (đ) Nabavka robe prema proceduri navedenoj u stavu 2.68 Smernica za nabavke.
V. Nabavka kvalifikovane osnovne robe, uključujući i proizvode, nekonsultantske i konsultantske usluge
Nezavisno od odredbi iz Odeljka III, Dela B Programa 2 ovog sporazuma, nabavka dobara (uključujući robu), nekonsultantskih i konsultantskih usluga za potrebe projektnih Delova I i III može se do 30. xxxx 2015. godine realizovati u skladu sa: (1) nacionalnom hitnom procedurom definisanom u relevantnoj zakonskoj regulativi Zajmoprimca; ili (2) komercijalnom praksom privatnog sektora kao što je definisano u Operativnom priručniku Nosioca projekta i Operativnom priručniku MPZŽS.
G. Posebne metode za nabavku konsultantskih usluga
1. Izbor na osnovu kvaliteta i cene. Osim ako nije drugačije definisano u stavu 2 u daljem tekstu, konsultantske usluge će se nabavljati primenom metode Izbor na osnovu kvaliteta i cene.
2. Druge metode za izbor konsultantskih usluga. Pored Izbora na osnovu kvaliteta i cene, za nabavku konsultantskih usluga za ugovore koji su navedeni u Planu nabavke mogu se koristiti i sledeće metode:(a) Izbor na osnovu kvaliteta; (b) Izbor sa fiksnim budžetom; (v) Izbor na osnovu najniže cene; (g) Izbor na osnovu kvalifikacije konsultanta; (d) Izbor konsultantstke firme iz jednog izvora; (đ) Procedure navedene u stavu 5.2 i 5.3 Smernica za konsultante za izbor pojedinačnih konsultanata; i (e) Procedura izbora iz jednog izvora za izbor pojedinačnih konsultanata.
D. Revizija odluka o nabavkama xx xxxxxx Xxxxx
U planu nabavke utvrdiće se koji ugovori podležu Prethodnoj reviziji xx xxxxxx Xxxxx. Svi ostali ugovori podležu Bančinoj Naknadnoj reviziji.
Đ. Nabavke koje se odnose na Hitne rashode u okviru MHR Dela Projekta
Izuzetno od odredbi ovog odeljka, hitni rashodi za potrebe MHR Dela Projekta nabavljaće se u skladu sa metodama i procedurama nabavke definisanim u Operativnom priručniku za MHR.
Odeljak IV. Isplata sredstava zajma
A. Opšte odredbe
1. Zajmoprimac može povući sredstva Zajma u skladu sa odredbama člana II Opštih uslova, ovog odeljka i dodatnih instrukcija koje Banka utvrdi u obaveštenju Zajmoprimcu (uključujući ,,Smernice Svetske banke za isplatu sredstava za projekte”, od maja 2006. godine, koje Banka može povremeno revidirati i koje će se primenjivati na ovaj sporazum u skladu sa datim instrukcijama), za finansiranje Dozvoljenih troškova, na način utvrđen u tabeli u stavu 2. u nastavku.
2. U tabeli u nastavku, navedene su kategorije Dozvoljenih troškova koji se mogu finansirati iz sredstava Zajma (u daljem tekstu: ,,Kategorija”), iznosi sredstava Zajma dodeljenih za svaku Kategoriju i procenti rashoda koji će se finansirati u svakoj Kategoriji.

Za potrebe ove tabele termin „bez poreza” u smislu Odeljka 2.06 Opštih uslova označava da se sredstva Zajma neće koristiti za finansiranje poreza koje nameće Zajmoprimac ili se nameću na teritoriji Zajmoprimca ili u smislu kvalifikovanih troškova ili pri njihovom uvozu, proizvodnji, nabavci ili isporuci.
B. Uslovi isplate; Rok isplate
1. Nezavisno od odredbi iz Dela A ovog odeljka, isplate xx xxxx vršiti:
(a) za plaćanja izvršena pre datuma ovog sporazuma, osim u slučaju povlačenja sredstava do ukupne sume koja neće preći iznos od
90.992.000 xxxx za plaćanja izvršena pre tog datuma i to xxxx 15. maja 2014. godine ili nakon tog datuma za kvalifikovane rashode u kategorijama (1), (2) i (3); ili
(b) u Kategoriji (1) ako Nosilac projekta nije usvojio Projektni operativni priručnik koji je prihvatljiv za Banku; ili
(v) u Kategoriji (2) ako:
(i) Nosilac projekta nije usvojio Projektni operativni priručnik koji je prihvatljiv za Banku; i
(ii) Nisu usvojeni i objavljeni OUŽSD i OPR koji su prihvatljivi za Banku; ili
(g) U Kategoriji (3) ako:
(i) MPZŽS nije usvojilo svoj Projektni operativni priručnik koji je prihvatljiv za Banku;
(ii) nije usvojen i objavljen OUŽSD koji je prihvatljiv za Banku;
(iii) MPZŽS nije podnelo dokaze prihvatljive za Banku da je Zajmoprimac isplatio korisnicima koji na to imaju pravo naknade u okviru Programa podsticaja za poljoprivrednike (tj. poljoprivrednicima u oblastima pogođenim poplavama), u skladu sa procedurama definisanim u relevantnoj zakonskoj regulativi i Projektnom operativnom priručniku MPZŽS; ili
(d) U Kategoriji (4) ako:
(i) MPZŽS nije usvojilo svoj Projektni operativni priručnik koji je prihvatljiv za Banku;
(ii) nisu usvojeni i objavljeni OUŽSD i OPR prihvatljivi za Banku; i
(iii) DV nije oformila JIP sa projektnim zadacima, kompetentnim osobljem i adekvatnim resursima, prihvatljivim za Banku; ili
(đ) U Kategoriji (5), za Hitne rashode u okviru projektnog Dela IV, osim ako i sve xxx Xxxxx ne bude zadovoljna i obavesti Zajmoprimca da je zadovoljna i da su ispunjeni svi navedeni uslovi koji se odnose na navedene aktivnosti:
(a) Xxxxx xx ustanovila da xx xxxxx do kvalifikovane krize ili vanredne situacije, Xxxxx xx dostavljen zahtev da se navedene aktivnosti uključe u MHRNS Deo kako bi se odgovorilo na navedenu kvalifikovanu krizu ili vanrednu situaciju i Banka se saglasila po xxx pitanju, prihvatila navedeni zahtev i o tome obavestila Zajmoprimca;
(b) Zajmoprimac je pripremio i objavio sve instrumente zaštite koji se traže za navedene aktivnosti i Zajmoprimac je sproveo sve aktivnosti koje su potrebne u okviru pomenutih instrumenata, u skladu sa odredbama Odeljka I.D Programa 2 ovog sporazuma;
(v) Koordinaciona jedinica Zajmoprimca ima adekvatne ljudske i druge resurse, u skladu sa odredbama Odeljka I.D Programa 2 ovog sporazuma, za potrebe navedenih aktivnosti; i
(g) Zajmoprimac je usvojio Operativni priručnik koji se odnosi na MHRNS u formi i na način prihvatljivim za Banku i odredbe Operativnog priručnika o MHRNS ostaju ili su ažurirane tako da su u skladu sa odredbama Odeljka I.D Programa 2 tako da je pogodan da se uvrsti i realizuje u okviru navedenih aktivnosti u MHRNS Delu.
2. Nezavisno od odredbi iz Dela A ovog odeljka, ukoliko u bilo kom trenutku Banka ustanovi da xx xxx sredstava koji xx Xxxxx isplatila u okviru kategorije
(3) korišćen za rashode koji nisu podesni u skladu sa Programom podsticaja za poljoprivrednike Zajmoprimca ili nisu u skladu sa odredbama Odeljka IV.B.1(g)(iii) ovog programa, i odredbama Projektnog operativnog priručnika MPZŽS, Zajmoprimac xx xxxxx da odmah refundira taj iznos Banci, u skladu sa obaveštenjem koje Banka šalje Zajmoprimcu.
3. Datum završetka projekta je 31. decembar 2017. godine
Odeljak X. Xxxxx obaveze
1. Zajmoprimac se obavezuje da će obezbediti finansijsku održivost Nosioca projekta na osnovu xxxxx operativnih i finansijskih pokazatelja uspešnosti prihvatljivih za Banku i definisanih u Operativnom priručniku Nosioca projekta koji se povremeno, a najmanje jednom godišnje, mogu menjati i revidirati uz saglasnost Banke.
2. U vezi xx xxxx navedenim i bez obzira na pravne lekove koje Banka ima na raspolaganju u slučaju neizvršenja, Zajmoprimac je u obavezi da pripremi akcioni plan sa rokovima, prihvatljiv za Banku u kojima se rešavaju odstupanja od ciljeva definisanih u paragrafu 1 ovog odeljka.

PROGRAMU 2
Procedure koje se primenjuju za nacionalno javno nadmetanje su one koje su definisane u Programu 2 Sporazuma o zajmu pod istim datumom između Međunarodne banke za obnovu i razvoj i Republike Srbije pod uslovom da su te procedure u skladu sa Odeljkom 1 i Stavovima 3.3. i 3.4 „Smernica za nabavku robe, radova i nekonsultantskih usluga u okviru IBRD zajmova i XXX kredita i grantova za Zajmoprimce Svetske banke” (januar 2011. godine sa izmenama i dopunama iz jula 2014. godine) („Smernice za nabavkama”) kao i sledećim dodatnim odredbama:
Postupak otvorenog tendera kao što je definisano u zakonu o javnim nabavkama Republike Srbije primenjuje se na sve ugovore.
Strani ponuđači neće biti sprečeni da učestvuju u nadmetanju i prednost bilo koje vrste neće biti data domaćim ponuđačima u procesu nadmetanja. Državnim preduzećima u Srbiji je dozvoljeno da se nadmeću samo ukoliko su pravno i finansijski samostalni i ako posluju u skladu sa odredbama privrednog prava u zemlji Korisnika.
Naručilac će koristiti model tenderske dokumentacije koji xx Xxxxx odobrila.
Ukoliko su ponuđene cene više od zvaničnih procena, ponude xx xxxx odbiti bez prethodne saglasnosti Svetske banke.
Postupak jedne jedinstvene koverte se koristi za podnošenje ponuda.
Naknadna kvalifikacija se sprovodi samo za najpovoljnijeg ponuđača; nijedna ponuda neće biti odbijena u trenutku otvaranja ponuda na osnovu kvalifikacija.
Ponuđači koji nastupaju kao zajedničko ulaganje, snosiće solidarnu odgovornost.
Ugovori se dodeljuju ponuđaču koji je dostavio najpovoljniju ponudu, koji je suštinski odgovarajući, a za xxxx xx utvrđeno da je kvalifikovan i ispunjava unapred definisane i objavljene kriterijume evaluacije.
Naknadni pregovori sa najpovoljnijim ili bilo kojim drugim ponuđačem nakon podnošenja ponuda neće biti dozvoljeni.
Dugoročni ugovori (preko 18 meseci) moraju da sadrže odgovarajuće odredbe o usklađivanju cena.
Tenderska dokumentacija i ugovor prihvatljivi za Svetsku banku moraju sadržati odredbe u xxxxxx xx sadržana politika Svetske banke o kaznenoj politici prema preduzećima i pojedincima za koje se utvrdi da su uključeni u prevarne i koruptivne radnje u skladu sa Smernicama za nabavku.
U skladu sa Smernicama za nabavku, svaka tenderska dokumentacija i ugovor koji se finansiraju sredstvima zajma moraju da obezbede da će ponuđači, dobavljači i izvođači, i njihovi podizvođači, agenti, osoblje, konsultanti, pružaoci usluga ili dobavljači omogućiti Svetskoj banci da vrši inspekciju svih računa, evidencije i ostale dokumentacije koja se odnosi na podnošenje ponuda i da revizor koga imenuje Svetska banka izvrši reviziju. Radnje koje imaju za cilj da spreče realizaciju prava Svetske banke na inspekciju i reviziju, xxxx xx definisano u Smernicama za nabavku, čine opstruktivnu praksu, što je takođe definisano u Smernicama za nabavku.
PROGRAM 3
Program amortizacije
1. U tabeli u nastavku navedeni su Datumi za plaćanje glavnice Zajma i procenat ukupnog iznosa glavnice Zajma koji dospeva za plaćanje na svaki Datum za plaćanje glavnice („Procenat rate”). U slučaju da su sredstva Zajma u potpunosti isplaćena do prvog Datuma za plaćanje glavnice, Xxxxx xx odrediti iznos glavnice Zajma koji Zajmoprimac treba da otplati na svaki Datum za plaćanje glavnice tako što će pomnožiti: (a) iznos Zajma isplaćenog do prvog Datuma za plaćanje glavnice; sa (b) Procentom rate za svaki Datum za plaćanje glavnice, s xxx da će se tako dobijeni iznos za otplatu korigovati, ukoliko bude potrebno, i umanjiti za sve iznose iz stava 4. ovog programa na koje se primenjuje Konverzija valute.

2. U slučaju da sredstva Xxxxx nisu u potpunosti isplaćena do prvog Datuma za plaćanje glavnice, iznos glavnice Zajma koji Zajmoprimac treba da otplati na svaki Datum za plaćanje glavnice odrediće se na sledeći način:
(a) Za svaki iznos sredstava Zajma koji bude isplaćen do prvog Datuma za plaćanje glavnice, Zajmoprimac će otplatiti Iznos isplaćenog Zajma sa stanjem na taj xxx u skladu sa stavom 1. ovog programa.
(b) Svaki iznos isplaćen nakon prvog Datuma za plaćanje glavnice otplaćivaće se na svaki Datum za plaćanje glavnice koji usledi nakon datuma takve isplate sredstava, u iznosima koje će odrediti Banka, tako što će iznos svake takve isplate pomnožiti razlomkom, pri čemu će brojilac biti originalni Procenat rate utvrđen u tabeli u stavu 1. ovog programa za dati Datum za plaćanje glavnice („Originalni procenat rate”), a imenilac zbir svih preostalih Originalnih procenata rata za Datume za plaćanje glavnice koji padaju na taj datum ili posle tog datuma, s xxx da će se tako dobijeni iznosi za otplatu korigovati, ukoliko bude potrebno, i umanjiti za sve iznose iz stava 4. ovog programa na koje se primenjuje Konverzija valute.
3. (a) Iznosi Zajma isplaćeni u periodu od dva kalendarska meseca pre svakog Datuma za plaćanje glavnice tretiraće se, isključivo za potrebe izračunavanja iznosa glavnice koji dospevaju za plaćanje na svaki Datum za plaćanje glavnice, kao isplaćeni a neotplaćeni iznosi na drugi Datum za plaćanje glavnice koji usledi nakon datuma isplate i dospevaće za plaćanje na svaki Datum za plaćanje glavnice, počev od drugog Datuma za plaćanje glavnice koji usledi nakon datuma isplate.
(b) Nezavisno od odredbi iz podstava (a) ovog stava, ukoliko Banka u bilo kojem momentu usvoji sistem izdavanja računa na datume dospeća u kojem će se računi izdavati na ili po isteku odgovarajućeg Datuma za plaćanje
glavnice, odredbe date xxxxx xxxx se primenjivati na isplate izvršene nakon usvajanja takvog sistema za izdavanje računa.
4. Nezavisno od odredbi iz st. 1. i 2. ovog programa, nakon Konverzije valute ukupnog iznosa ili bilo kojeg dela isplaćenih sredstava Zajma u Odobrenu valutu, Xxxxx xx odrediti iznos za koji je izvršena takva konverzija u Odobrenu valutu, koji dospeva za otplatu na svaki Datum za plaćanje glavnice koji usledi tokom Perioda za konverziju, tako što će dati iznos u valuti u kojoj je bio izražen neposredno pre Konverzije pomnožiti sa: (i) kursnom stopom koja odražava iznose glavnice u odobrenoj valuti koju Banka plaća za Transakcije za valutni hedžing koje se odnose na datu Konverziju; ili
(ii) ukoliko Banka tako odluči u skladu sa Smernicama za konverziju, kursnom komponentom Stope terminala.
5. Ako je isplaćeni iznos sredstava zajma dat u više od jedne valute zajma, odredbe ovog programa će se odnositi odvojeno na iznose u svakoj valuti zajma tako da se izradi odvojeni plan za amortizaciju za svaki iznos.
PRILOG
Odeljak I. Definicije
1. ,,Smernice za borbu protiv korupcije” označavaju „Smernice za sprečavanje i borbu protiv prevare i korupcije u okviru projekata finansiranih iz sredstava zajmova Međunarodne banke za obnovu i razvoj i zajmova i donacija Međunarodnog udruženja za razvoj”, od 15. oktobra 2006. godine sa izmenama i dopunama iz januara 2011. godine.
2. „Kategorija” označava kategoriju definisanu u tabeli navedenoj u Odeljku IV Programa 4. ovog sporazuma.
3. „MHRNS Deo Projekta” i „MHRNS Deo” označavaju IV Deo Projekta.
4. „Projektni operativni priručnik za Xxxxxxxxx hitnog reagovanja u nepredviđenim situacijama” i „Operativni priručnik MHRNS” označavaju operativni priručnik naveden u Poglavlju I.D ovog sporazuma xxxx xxxxx da usvoji Zajmoprimac za MHRNS Deo Projekta u skladu sa odredbama ovog poglavlja.
5. „Smernice za konsultante” označavaju ,,Smernice za izbor i angažovanje konsultanata u okviru zajmova Međunarodne banke za obnovu i razvoj i kredita i donacija Međunarodnog udruženja za razvoj xx xxxxxx Zajmoprimaca Svetske banke” iz januara 2011. godine, sa izmenama i dopunama iz jula 2014. godine.
6. „Koordinaciona jedinica” označava telo ili tela zadužena xx xxxxxx Korisnika u operativnom priručniku MHRNS koje xx Xxxxx odobrila u skladu sa Odeljkom
I.D Programa 2 ovog sporazuma da bude odgovorno za koordinaciju MHRNS Dela Projekta.
7. „Uprava za agrarna plaćanja” ili „UAP” označava Upravu za agrarna plaćanja u okviru Ministarstva poljoprivrede i zaštite životne sredine odgovornu za isplatu podsticaja poljoprivrednicima ili njenog pravnog sledbenika.
8. „Direkcija za vode” ili „DV” označava Direkciju u okviru Ministarstva poljoprivrede i zaštite životne sredine odgovorno za upravljanje vodama ili njenog pravnog sledbenika.
9. „Kvalifikovane krize ili vanredne situacije” označavaju događaj koji bi mogao da se desi nakon datuma Sporazuma i koji bi mogao da prouzrokuje ili je moguće da će direktno uzrokovati značajan negativan ekonomski i/ili socijalni efekat na Zajmoprimca, i koji se odnosi xx xxxxx ili nepogode koju su izazvali ljudski faktor ili priroda, kao što xx Xxxxx definisala u Odeljku D.3 Programa 2.
10. „Hitni rashodi” označavaju podobne rashode definisane u Projektnom operativnom priručniku MHRNS u skladu sa odredbama Odeljka I.D Programa 2 ovog sporazuma i neophodne za aktivnosti koje su obuhvaćene MHRNS Delom Projekta.
11. „PUŽS” označava Planove upravljanja životnom sredinom koje priprema ili treba da pripremi Zajmoprimac preko MPZŽS ili Nosilac projekta, koji su prihvatljivi za Banku i koji će se po potrebi ažurirati tokom implementacije Projekta, a odnose se na radove koje Zajmoprimac treba da sprovede preko MPZŽS ili Nosioca projekta i detaljno definiše mere za upravljanje potencijalnim rizicima po životnu sredinu i njihovo ublažavanje, smanjenje i/ili otklanjanja negativnih uticaja na životnu sredinu koji su uzrokovani implementacijom projektnih aktivnosti, zajedno sa odgovarajućim institucionalnim aranžmanima, kao i aranžmanima koji se odnose na
monitoring i izveštavanje xxxxxx xx moguće obezbediti adekvatnu implementaciju odredbi i izveštavanje o usklađenosti sa istim; planovi će se ažurirati tokom implementacije projekta na osnovu detaljnih planova i programa xxxx xxxx će biti ažurirani ili dopunjeni s vremena na vreme uz prethodno odobrenje Banke.
12. „PUŽS za površinski kop Tamnava – Zapadno polje” označava plan upravljanja životnom sredinom Zajmoprimca koji je Nosilac projekta pripremio i koji je prihvatljiv za Banku, a usvojen 16. septembra 2014. godine i objavljen na veb sajtu Nosioca projekta 18. septembra 2014. godine za potrebe implementacije projektnog dela I.S, koji se po potrebi ažurira tokom implementacije Projekta i obuhvata podatke koji se odnose na kvalitet vode i uticaj nizvodno xx xxxxx ispuštanja vode u reku Kolubaru; kvalitet vode i način kontrole/praćenja; kvalitet mulja i njegov uticaj na kvalitet vode u reci Kolubari i uticaj suspendovanih materija xxxx xx se ispumpavati zajedno sa vodom u reku; upravljanje muljem i aranžmane u slučaju da se pronađe
„nezagađen” i „zagađen” mulj; stabilnost obala nizvodno xx xxxxx ispuštanja vode; bezbednost i zdravlje na radu; i ponovnu obnovu nasipa nakon štete učinjene tokom aktivnosti ispumpavanja, po završetku samog ispumpavanja.
13. „OUŽSD” označava Okvir za upravljanje životnom sredinom i društvom xxxx xxxxx da pripremi Zajmoprimac preko MPZŽS i Nosioca projekta i treba da bude prihvatljiv za Banku, i objavljen na veb sajtu MPZŽS, Nosioca projekta i Infošop-u Banke u kome su identifikovani okidači politika relevantni za ovaj projekat, kriterijumi za proveru aktivnosti, mogući uticaji finansiranja na životnu sredinu i društvo i potencijalne mere ublažavanja identifikovanih rizika, procena institucionalnih kapaciteta institucija koje realizuju projekat, mere za osnaživanje kapaciteta, procena potrebnih sredstava za implementaciju i povezanih instrumenata kao i konkretne mere za reviziju Programa agrarnih podsticaja i uputstva za pripremu Procena uticaja na životnu sredinu za određene konkretne aktivnosti i/ili planove za upravljanje životnom sredinom.
14. „Program podsticaja za poljoprivrednike” označava program Zajmoprimca kojim se obezbeđuju finansijski podsticaji poljoprivrednicima u Republici Srbiji i koji obuhvata: (a) direktna plaćanja (tj. naknadu troškova za gorivo, seme, đubrivo, isplate po obrađenoj površini, po grlu stoke, po litru mleka); (b) podsticaje za mere ruralnog razvoja (tj. saobraznost sa standardima koji se odnose na bezbednost hrane i zaštitu životne sredine); i (v) posebne podsticaje (tj. izgradnju kapaciteta, informisanje poljoprivrednika o računovodstvu i knjigovodstvu), a program je definisan u skladu sa Zakonom Zajmoprimca o podsticajima u poljoprivredi i ruralnom razvoju iz 2013. godine.
15. „Oblasti pogođene poplavama” označava sledećih četrdeset devet (49) opština na teritoriji Zajmoprimca koje su pogođene poplavama u maju 2014. godine: Aleksinac, Bajina Bašta, Bogatić, Čačak, Ćuprija, Despotovac, Doljevac, Gornji Milanovac, Grocka, Jagodina, Knić, Koceljeva, Kosjerić, Kragujevac, Kraljevo, Krupanj, Kruševac, Lajkovac, Lazarevac, Ljig, Ljubovija, Loznica, Lučani, Mali Zvornik, Mionica, Mladenovac, Obrenovac, Osečina, Paraćin, Petrovac na Mlavi, Požarevac, Požega, Rača, Rakovica, Ražanj, Rekovac, Šabac, Šid, Smederevska Planka, Sremska Mitrovica, Svilajnac, Trstenik, Ub, Užice, Valjevo, Varvarin, Velika Plana, Vladimirci i Zaječar.
16. „Opšti uslovi” označavaju ,,Opšte uslove za zajmove Međunarodne banke za obnovu i razvoj”, od 12. xxxxx 2012. xxxxxx, xx izmenama i dopunama definisanim u Odeljku II ovog priloga.
17. „Projektni operativni priručnik MPZŽS” označava priručnik koji priprema MPZŽS prihvatljiv za Banku koji definiše procedure finansijskog upravljanja, nabavke, institucionalne aranžmane za sprovođenje Delova II i III Projekta kao i mehanizme praćenja i revizije Projekta koji s vremena na vreme u dogovoru između Banke i MPZŽS može biti predmet izmena i dopuna.
18. „Ministarstvo poljoprivrede i zaštite životne sredine” ili „MPZŽS” označava Ministarstvo Zajmoprimca koje je odgovorno za poljoprivredu i zaštitu životne sredine ili njegov pravni sledbenik.
19. „Kancelarija za pomoć i obnovu poplavljenih područja” označava posebno telo Zajmoprimca uspostavljeno u skladu sa Zakonom o otklanjanju posledica poplava Zajmoprimca i Uredbom Zajmoprimca o osnivanju kancelarije za pomoć i obnovu poplavljenih područja xxxx xx nadležna za koordinaciju i pružanje podrške u rekonstrukciji i naporima da se ublaže posledice poplava i prirodnih katastrofa koje su pogodile zajmoprimca sredinom maja 2014. godine.
20. „Operativni troškovi” označavaju razumne i inkrementalne rashode koje xx xxxxx JIP na ime implementacije projekta na osnovu periodičnih budžeta prihvatljivih za Banku za potrebe održavanja i lizinga vozila i opreme, goriva, kancelarijskog materijala i druge potrošne robe, osiguranja vozila i opreme, zakupa kancelarijskog prostora, troškova interneta i komunikacija, podrške za informativne sisteme, troškova prevođenja, bankarskih troškova, komunalija, putnih troškova, prevoza, dnevnica i smeštaja (osim za potrebe obuke) i drugih razumnih troškova koji su u direktnoj vezi sa aktivnostima na realizaciji projekta. Inkrementalni troškovi ne obuhvataju zarade zaposlenih u državnoj upravi Zajmoprimca.
21. „Projektni operativni priručnik Nosioca projekta” označava priručnik xxxx xxxxx da pripremi Nosilac projekta i xxxx xxxxx da bude prihvatljiv za Banku u kome se definišu procedure finansijskog upravljanja, nabavki institucionalnih aranžmana za sprovođenje Dela I Projekta kao i mehanizmi praćenja i revizije Projekta koji s vremena na vreme u dogovoru između Banke i Nosioca projekta mogu pretrpeti izmene i dopune.
22. „Smernice o nabavkama” označavaju „Smernice: Nabavka dobara, radova i nekonsultantskih usluga u okviru zajmova IBRD-a i XXX kredita i grantova xx xxxxxx Zajmoprimaca Svetske banke” iz januara 2011. godine, sa izmenama i dopunama iz jula 2014. godine.
23. „Plan nabavke” označava plan nabavke za Projekat od 17. septembra 2014. godine i pomenut u stavu 1.18 Smernica za nabavke i u stavu 1.25 Smernica za konsultante, sa svim povremenim izmenama i dopunama izvršenim u skladu sa odredbama navedenih stavova.
24. „Nosilac projekta” označava Javno preduzeće „Elektroprivreda Srbije” (EPS) u vlasništvu Zajmoprimca, koje se sastoji od trinaest pravnih xxxx xxxx se bave proizvodnjom uglja, proizvodnjom električne energije, distribucijom i obnovljivim izvorima energije.
25. „Regulativa Nosioca projekta” označava Zakon o javnim preduzećima („Službeni glasnik RS”, br. 119/12, 116/13 – autentično tumačenje i 44/14 – US), Odluku o usklađivanju poslovanja javnih preduzeća za proizvodnju, distribuciju i trgovanje električnom energijom sa Zakonom o javnim preduzećima („Službeni glasnik RS”, broj 50/13) i Odluku o izmenama i dopunama Odluke o inkorporaciji Preduzeća za proizvodnju, preradu i transport uglja „Rudarski basen Kolubara” d.o.o, Lazarevac iz jula 2014. godine.
26. „Jedinica za implementaciju projekta” ili „JIP” označava jedinicu oformljenu u XX xxxx xx xxxx implementacijom Delova II i III Projekta, sa projektnim zadacima, kompetentnim ljudskim i drugim resursima, xxxx xx prihvatljiva za Banku.
27. „APR” označava svaki akcioni plan raseljavanja koji se pravi za konkretne lokacije i koji je pripremio ili će pripremiti Zajmoprimac preko MPZŽS ili Nosioca projekta, u sladu sa Okvirnom politikom raseljavanja i ovim sporazumom i prihvatljivim za Banku koji, između ostalog, sadrži program aktivnosti, mera i politika koje se odnose na kompenzaciju i raseljavanje ljudi uključujući i aranžmane za kompenzaciju i raseljavanje, budžetiranje i procenu troškova, izvore finansiranja zajedno sa adekvatnim institucionalnim aranžmanima, aranžmanima za monitoring i izveštavanje koji su u mogućnosti da obezbede adekvatnu implementaciju usaglašenosti sa odredbama za svaku lokaciju i redovno izveštavanje.
28. „OPR” označava Okvirnu politiku raseljavanja Zajmoprimca, koju će pripremiti i usvojiti Zajmoprimac preko MPZŽS i Nosioca projekta i xxxx xx prihvatljiva za Banku u kojoj su definisane procedure koje se odnose na raseljavanje, institucionalni aranžmani, kriterijumi podobnosti, prava i kompenzacije, uključujući i procedure vrednovanja, javne konsultacije i učešće, i kriterijume za monitoring i evaluaciju koji će se primeniti tokom pripreme Akcionog plana za raseljavanje (APR).
29. „Podsporazum o zajmu” označava sporazum iz Odeljka I.B Programa 2 ovog sporazuma u okviru xxxx xx Zajmoprimac staviti na raspolaganje Nosiocu projekta sredstva Zajma.
30. „Površinski kop Tamnava – Zapadno polje” označava površinski kop koji se nalazi u kolubarskom okrugu u Republici Srbiji.
Odeljak II. Izmene opštih uslova
Opšti uslovi će biti promenjeni kao što sledi:
1. U Sadržaju se menjaju pozivanja na Odeljke, nazive i brojeve Odeljaka kako bi se ukazalo na izmene date u daljem tekstu.
2. Odeljak 3.01. (Pristupna naknada) se menja i glasi:
„ Odeljak 3.01.Pristupna naknada; Naknada za angažovanje
(a) Zajmoprimac će platiti Banci pristupnu naknadu na iznos Zajma, po stopi navedenoj u Sporazumu o zajmu („Pristupna naknada”).
(b) Zajmoprimac će platiti Banci Naknadu za angažovanje na neisplaćena sredstva zajma po stopi naznačenoj u Sporazumu o zajmu („Naknada za angažovanje”). Naknada za angažovanje se obračunava počevši od šezdesetog xxxx od xxxx sklapanja Sporazuma o zajmu do datuma povlačenja sredstava xx xxxxxx Zajmoprimca sa računa zajma ili poništenja. Naknada za angažovanje dospeva šestomesečno na svaki datum plaćanja.
3. U Dodatku, u Definicijama, sva relevantna pozivanja na brojeve Xxxxxxxx i stavove se menjaju kako bi se ukazalo na izmene date u xxxx navedenom stavu 2.
4. Dodatak se modifikuje tako što mu se dodaje novi stav 19. koji sadrži sledeću definiciju „Naknada za angažovanje” i shodno se menja numeracija naknadnih stavova:
„19. „Naknada za angažovanje” označava naknadu za angažovanje xxxx xx definisana u Sporazumu o zajmu u Odeljku 3.01(b).”
5. U novooznačenom stavu 49. (prvobitno stav 48) Xxxxxxx, definicija
„Pristupne naknade” se menja i pozivanje na Odeljak 3.01 se menja u pozivanje u Odeljak 3.01 (a).
6. U novooznačenom stavu 68. (prvobitno stav 67) Xxxxxxx, definicija „Isplate zajma” se menja i glasi:
„68. „Isplata zajma”označava iznos zajma koji se isplaćuje Banci u skladu sa Sporazumom o zajmu i ovim Opštim uslovima uključujući (ali ne ograničavajući se) sve povučene iznose glavnice, xxxxxx, pristupnu naknadu, naknadu za angažovanje, zateznu kamatu (ukoliko postoji), premiju za otplatu duga pre dospeća, naknade za transakcije prilikom Konverzije ili rano okončanje Konverzije, varijabilnu kamatnu maržu (ukoliko postoji), premije koje se isplaćuju po uspostavljanju Najviše kamatne stope (Interest Rate Cap) ili najniže prihvatljive kamatne stope (Interest Rate Collar) ili druge kompenzacije koje Zajmoprimac plaća.”
7. U novooznačenom stavu 73. (prvobitno stav 72) Priloga, definicija „Datuma za plaćanje” se menja tako što se briše reč: „je” i dodaju se reči: „i Naknada za angažovanje su” pre reči: „kamata”.
Član 3.
Ovaj zakon stupa na snagu osmog xxxx od xxxx objavljivanja u „Službenom glasniku Republike Srbije - Međunarodni ugovori”.
