Na osnovu ĉlana 6 i 10 Zakona o udruživanju gradjana u udruženja, društvene organizacije i politiĉke organizacije koji se osnivaju za teritoriju SFRJ (“Službeni list SFRJ”, br. 42/90), Skupština ”Xxxxx fest”-a, ul. Varovniĉka br. 16, iz Beograda, na svojoj osnivaĉkoj sednici od xxxx 01-07-2017. godine usvojila je

organizacije ”Xxxxx fest”
I OPŠTE ODREDBE
Član 1.
”Xxxxx fest”, ul. Varovniĉka br. 16, Beograd osnovan xx xxx: udruženje graĊana - neprofitna, nestranaĉka i nevladina organizacija u koju se udružuju graĊani radi ostvarivanja zajedniĉkih ciljeva i zadataka utvrdjenih ovim statutom i zakonom.
Član 2.
Naziv udruženja je: ”Xxxxx fest” , (u daljem tekstu Udruženje).
Sedište Udruženja je: Beograd, ul. Varovniĉka br. 16.
Udruženje svoju delatnost obavlja na teritoriji Republike Srbije.
Član 3.
Udruženje ima svojstvo pravnog lica, sa pravima, obavezama, i odgovornostima koje proizlaze iz Ustava, Zakona i ovog Statuta.
Član 4.
Udruženje predstavlja i zastupa Predsednik Upravnog odbora. Pored Predsednika Upravnog odbora Udruženje u pravnom prometu sa trećim licima zastupaju ĉlanovi Upravnog odbora koje za to ovlasti Skupština.
Član 5.
Udruženje ima peĉat sa tekstom: ”Xxxxx fest”, Beograd.
Član 6.
Ovim Statutom se utvrdjuju zajedniĉki ciljevi i zadaci, meĊusobna prava, obaveze i odgovornosti ĉlanova, organa i drugih tela, xxx x xxxxx pitanja, od interesa za rad Udruženja.
II CILJEVI I ZADACI
Član 7.
Udruženje podstiĉe i koordinirara rad svojih ĉlanova na usavršavanju, razvoju i unapreĊenju svih aktivnosti koje doprinose podizanju muziĉke kulture i razvijanju i unapreĊenju muziĉkog stvaralaštva, u skladu sa Ustavom, Zakonom i drugim zakonskim propisima.
Član 8.
Ciljevi Udruženja su:
- da omogući i doprinosi informisanju javnosti o tendecijama i zbivanjima u svetu i zemlji iz oblasti muziĉkog stvaralaštva;
- da saradjuje sa organizacijama, institucijama i sliĉnim udruženjima, kao i svim relevantnim fiziĉkim i pravnim licima i na xxx xxxxx promoviše razvoj muziĉke kulture i povezuje talentovane autore modernog muziĉkog izraza;
- da podstiĉe i prati svoje ĉlanove u njihovim nastojanjima da usavršavaju i izuĉavaju savremene trendove u muziĉkom stvaralaštvu i vrše razmnu znajna steĉenih izuĉavanjem muziĉkog stvaralaštva.
Član 9.
Radi ostvarivanja svojih ciljeva udruženje naroĉito:
- promoviše svoje ciljeve organizovanjem tribina, radionica, i sliĉnih manifestacija, u skladu sa zakonom;
- informiše i upoznaje ĉlanstvo i sva zainteresovana pravna i fiziĉka lica o steĉenim znanjima i aktivnostima Udruženja;
- ostvaruje saradnju sa udruženjima i organizacijama u zemlji i inostranstvu sa istim i sliĉnim ciljevima;
- saradjuje sa predstavnicima institucija kulture u zemlji i inostranstvu;
- pronalazi i stara se o usavršavanju talenata, a s xxx u vezi uspostavlja i unapredjuje razne oblike struĉne saradnje sa nadležnim ministarstvima;
- okuplja prijatelje Xxxxxxxxx, koji su spremni da svojim radom doprinesu radu Udruženja i unapreĊenju muziĉkog stvaralaštva na teritoriji Republike Srbije;
- priprema i obradjuje, dokumentaciju, literaturu i struĉnu gradju u vezi sa razvojem muziĉkog stvaralaštva i prati i prouĉava odnose i pojave, zauzima stavove o zbivanjima iz oblasti muziĉke kulture.
III ODNOS I SARADNJA SA DRUGIM ORGANIZACIJAMA I ZAJEDNICAMA
Član 10.
Udruženje je samostalno u svom radu i odgovorno u ostvarivanju dogovorenih stavova.
Udruženje se može udružiti u saveze, organizacije kao i u medjunarodne organizacije u skaldu sa Zakonom, a odluku o udruživanju donosi Skupština Udruženja.
IV ČLANSTVO U UDRUŽENJU
Član 11.
Svaki gradjanin Republike Srbije pod jednakim uslovima može dobrovoljno pristupiti u ĉlanstvo Udruženja. Članstvo xx xxxxx podnošenjem pristupnice i upisom u registar ĉlanstva, odnosno, evidenciju koju vodi Udruženje.
Član 12.
Članstvo u Udruženju saĉinjavaju fiziĉka lica, a ĉlanstvo može biti iskljuĉivo liĉno, odnosno pojedinaĉno.
Član 13.
Članovi Udruženja mogu biti redovni, pomažući i podmladak.
Član 14.
Redovni ĉlanovi Udruženja aktivno uĉestvuju u radu svog udruženja sa svim pravima, obavezama i odgovornostima predvidjenim ovim Statutom.
Pomažući ĉlanovi su xxx xxxx koja ne uĉestvuju aktivno u radu organa i tela, ali prihvataju, pomažu i podržavaju ciljeve i zadatke Udruženja i ukljuĉuju se u akcije i aktivnosti, te im se zbog toga priznaje pravo ĉlanstva u statustu pomažućeg ĉlana.
Podmladak su ĉlanovi koja zbog uzrasta (ispod 18 xxxxxx) i/ili zbog liĉnog znanja i obrazovanja nisu u mogućnosti da se, pre pripremnog perioda usavršavanja i obuĉavanja, aktivno ukljuĉe u rad organa i tela, ali prihvataju i podrzavaju ciljeve i zadatke Udruzenja, te im se zbog toga priznaje pravo ĉlanstva u statusu pomažućeg ĉlana.
Član 15.
Prijemom u ĉlanstvo ĉlan prihvata Statut Udruženja i druge opšte akte, te obavezu uĉestvovanja u ostvarivanju ciljeva i zadataka Udruženja.
Član 16.
Vrstu i oblik ĉlanske karte odredjuje Upravni odbor Udruženja. Člansku kartu potpisuje Predsednik Upravnog odbora.
Član 17.
Članska karta obavezno sadrži sledeće podatke:
- registarski broj
- prezime i ime
- godinu stupanja u ĉlanstvo.
Član 18 Prava i dužnosti ĉlana Udruženja:
- da prema svojim mogućnostima u sklonostima uĉestvuje u aktivnostima, doprinoseći time ostvarivanju postavljenih ciljeva i zadataka;
- da svojim predlozima i izvršavanjem usvojenih odluka unapredjuju rad podižu i šire ugled Udruženja;
- da u skladu sa opštim aktima Udruženje bira organe i tela i da u njih bude biran;
- da razvija javnost rada Udruženja uz pravo da bude obaveštavan o svim delatnostima i o radu;
- da redovno plaća ĉlanarinu;
- da bude redovno obaveštavan o finansijskom poslovanju Uruženja u skladu sa opštim aktima;
- da se pridržava odredaba Statuta i opštih akata.
Član 19.
Članstvo u Udruženju prestaje:
- istupanjem;
- brisanjem sa evidencije, u sluĉaju dužeg neplaćanja ĉlanarine ili neuĉestvovanja u radu.
- iskljuĉenjem, u sluĉaju težeg ogrešenja ili grube povrede ciljeva u drugih odredbi Statuta.
Član 20.
Odluku o prestanku ĉlanstva donosi Upravni odbor. Lice na koje se odluka odnosi ima pravo žalbe u roku od 15 xxxx po prijemu pismenog obaveštenja o prestanku ĉlanstva u Udruženju. Žalbu razmatra Skupština i njena odluka je konaĉna. Do odluke Skupštine Upravni odbor može primeniti suspenziju.
V JAVNOST RADA
Član 21.
Rad Udruženja i njegovih organa xx xxxxx. Javnost rada Udruženja pored ostalog, obezbedjuje se i:
- održavanjem javnih manifestacija i drugih skupova ĉlanova u okviru ostvarivanja svojih planova i programa rada;
- prezentovanjem svojih aktivnosti putem periodiĉnog biltena;
- uvidom inspekcijskih organa u dokumentaciju i evidencije koje se vode u Udruženju u skladu sa Zakonom.
Član 22.
Udruženje preduzima potrebne mere da obezbedi javnost svog rada, i da ĉlanovi budu stalno informisani o radu, problemima, odlukama i drugim aktima donetim u Udruženju, kao i da se ĉlanovima omogući uvid u ostvarivanje ciljeva i zadataka i korišćenja sredstava.
VI UPRAVLJANJE I ORGANI UDRUŽENJA
Član 23.
Skupština je najviši organ upravljanja u Udruženju. Skupštinu saĉinjavaju svi osnivaĉi koji su uzeli uĉešće u osnivaĉkoj Skupštini i svi redovni ĉlanovi Udruženja. Skupština donosi odluku u skladu sa Ustavom, Zakonom, ovim Statutom i opštim aktima Udruženja.
Član 24.
Redovna skupština se održava jedanput godišnje, a saziva je predsednik Upravnog odbora. Predsednik Upravnog odbora xx xxxxx da Skupštinu sazove na predlog:
- Upravnog odbora,
- Nadzornog odbora,
- 1/3 redovnih ĉlanova.
Član 25.
Skupština se saziva 30 xxxx unapred pismenim pozivima ili preko drugih sredstava informisanja.
Član 26.
Za punovažno odluĉivanje u Skupštini xxxx biti prisutno više od polovine ukupnog broja redovnih ĉlanova.

Ukoliku sednici Skupštine ne prisustvuje većina ĉlanova, xxxx xx predvidjeno ovim Statutom ona se odlaže i zakazuje u roku od 30 xxxx.
Član 29.
Nadležnost Skupstine je da:
- proglašava Statut i odluĉuje o izmenama i dopunama istog;
- bira organe i tela udruženja,
- odluĉuje o donošenju akata,
- zakljuĉuje dogovore i sporazume.
- odluĉuje o udruživanju u savez i druge oblike udruživanja i uĉlanjivanja u medjunarodne organizacije;
- odredjuju smernice u ciljeve i zadatke i da u skladu sa njima utvrdjuju plan i program rada;
- razmatra i usvaja izveštaje Upravnog odbora i drugih organa Udruženja;
- razmatra i usvaja finajsijski plan i završni raĉun Udruženja;
- odluĉuje po molbama, prigovorima i žalbama;
- obrazuje razna tela, odbore i komisije, za obavljanje odredjenih poslova;
- odredjuje visinu ĉlanarine;
- donosi odluke o prestanku rada udruženja.

Član 30.
Skupština bira i razrešava Upravni odbor, Nadzorni odbor i druge svoje
Član 31.
Skupština razmatra i rešava i druga znaĉajna pitanja koja ostaju otvorena
ili sporna u Upravnom odboru i drugim telima Udruženja.
VII ORGANI SKUPŠTINE
Član 32.
Organi Skupštine su:
- Upravni odbor
- Nadzorni odbor
1.Upravni odbor
Član 33.
Upravni odbor je izvršni organ Skupštine koji izmedju dve Skupštine rukovodi radom Udruženja i odluĉuje o svim pitanjima iz svoje nadležnosti u skladu sa Statutom, opštim aktima i Zakonom. Upravni odbor saĉinjava 3. (tri) ĉlana.
Član 34.
Upravni odbor bira Skupština na 4 (ĉetiri) godine. Predlog kandidata za ĉlanove Upravnog odbora priprema se u skladu sa ovim Statutom i odlukom Skupštine.
Upravni odbor iz svojih redova bira predsednika i sekretara. Mandati predsednika i sekretara su ĉetiri godine sa mogućnošću reizbora.
Sednice Upravnog odbora saziva Predsednik koji mu i predsedava. U sluĉaju spreĉenosti Predsednika sednicu saziva i istom predsedava sekretar ili ĉlan Upravnog odbora koga Upravni odbor odredi.
Upravni odbor se sastaje po potrebi a po pravilu ĉetiri puta godišnje. Upravni odbor punovažno odluĉuje ako je prisutno više od polovine ĉlanova. Odluke se donose dvotrećinskom većinom glasova prisutnih ĉlanova.
Upravnu odbor može odluĉiti o promeni jedne trećine ĉlanova Upravnog odbora o ĉemu je dužno izvestitu prvu narednu Skupštinu.
Član 35.
U nadležnosti Upravnog odbora je da:
1. se stara o sprovodjenju odluka Skupštine;
2. izvršava odluke Skupštine;
3. predlaže Skupštini okvirni program aktivnosti;
4. predlaže godišnji finasijski plan i završni raĉun;
5. daje inicijativu za izmene i dopune Statuta i drugih opštih akata koji donosi Skupština;
6. rukovodi radom izmedju dve Skupštine, a u skladu sa programom i odlukama Skupštine;
7. prati izvršenje sporazuma, dogovora i drugih opštih akata;
8. u sluĉaju hitnosti izmedju dva saziva Skupštine zakljuĉuje ugovore, sporazume i donosi druge opšte akte;
9. odluĉuje o korišćenju sredstava udruženja;
10. upravlja imovinom udruženja;
11. priprema izveštaje i druge materijale za Skupštinu, xxx x xxxxx akta ĉije je donošenje u nadežnosti Skupštine,
12. odluĉuje o naĉinu i uslovima održavanja poslovnih i drugih veza sa odgovarajućim institucijama;
13. obavlja sve druge poslove utvrdjene ovim Statutom i drugim opštim aktima Udruženja.
Član 36.
Upravni odbor može obrazovati struĉna tela, komisije i odbore za prouĉavanje pojedinih pitanja i predloga ili za izvršenje postavljenih zadataka. Upravni odbor može na svoje organe i tela preneti i deo svojih nadležnosti i odgovornosti i na svoje sastanke pozivati ĉlanove ovih tela.
Ukoliko Upravni odbor xxxxxx odluku o formiranju drugih organa ili tela, odluke o formiranju ovih organa ili tela regulisaće se njihov sastav, nadležnost i rukovodioci.
2. Nadzorni odbor
Član 37.
U cilju vršenja kontrole nad radom organa upravljanja, drugih organa i tela, kao i kontrolu materijalno-finanjsijskog poslovanja i sprovoĊenja zadataka koji proizilaze iz zakona, obrazuje se u Nadzorni odbor.
Član 38.
Nadzorni odbor bira Skupština sa mandatom od 4 godine i ima 3 (tri) ĉlana. Članovi Nadzornog odbora ne mogu biti ĉlanovi Upravnog odbora udruženja.
Član 39.
1/3 ĉlanova može predložiti Skupštini opoziv ĉlanova ovog Odbora i pre isteka mandata.
Član 40.
Nadzorni odbor bira svog predsednika sa mandatom od 4 godine, uz mogućnost reizbora. Predsednik saziva i predsedava sednicama Odbora, predstavlja Odbor, te
organizuje i uskladjuje njegov rad i delovanje. Nadzorni odbor zauzima stavove i donosi zakljuĉke većinom glasova svih ĉlanova.
Član 41.
Nadzorni odbor razmatra i kontroliše:
- primenu odredaba ovog Statuta i drugih opštih akata,
- zaštitu upravljanja i prava ĉlanova,
- ostvarivanje prava i obaveza svih organa
- materijalno i finansijsko poslovanje, kao i ispravnost korišćenja materijalno finansijskih sredstava,
- ostvarivanje odluka, zakljuĉaka i sporazuma i drugih akata,
- vrši i druge poslove koji mu se stave u nadležnost.
Nadzorni odbor se stara o:
- zaštiti prava udruženja
- spreĉavanju nesavesnog rada ĉlanova, organa i tela.
Odbor predlaže Upravnom odboru preduzimanje mera u cilju spreĉavanja zloupotrebe funkcija ĉlanova i organa Udruženja i drugih štetnih pojava.
Član 42.
Nadzorni odbor ima pravo i dužnost da o svojim nalozima i stavovima obaveštava Skupštinu, odnosno Upravni odbor i predlaže im preduzimanje odgovarajućih mera. Nadzorni odbor saradjuje sa nadležnim organima i inspekcijskim službama.
Član 43.
Nadzorni odbor ima pravo da, radi izvršenja svojih zadataka, zatraži na uvid dokumentaciju i druge podatke radi utvrdjivanja ĉinjeniĉnog stanja.
Član 44.
Odbor xx xxxxx da o svim povredama koje utvrdi obavesti Upravni odbor, odnosno Skupštinu, a po potrebi i nadležne organe.
VIII OBAVLJANJE STRUČNO-ADMINISTRATIVNIH POSLOVA
Član 45.
Radi obavljanja struĉnih, finansijskih i administrativnih poslova Skupština može obrazovati struĉnu službu u okviru koje se mogu angažovati radnici u radnom odnosu na neodredjeno ili odredjeno vreme, ili na osnovu Ugovora o delu ili uz posredovanje Omladinske ili Studentske zadruge.
Obavljanje ovih delatnosti može se poveriti struĉnoj službi druge organizacije, zajednice ili udruženja.
Član 46.
Ako Udruženje ne obrazuje struĉnu službu ili obavljanje poslova prethodnog ĉlana ne poveri struĉnoj službi drugih organizacija, zajednica ili Udruženja, Upravni odbor može obavljanje tih poslova poveriti pojedinim radnicim na osnovu pismenog ugovora.
IX SREDSTVA UDRUŽENJA I MATERIJALNO FINANSIJSKO POSLOVANjE
Član 47.
Za ostvarivanje ciljeva i zadataka Udruženje ostvaruje finansijska sredstva koja se mogu upotrebljavati samo na zakonski propisan naĉin, xxxx xx odredjeno ovim Statutom i drugim opštimu aktima donesenim na osnovu ovog Statuta.
Član 48.
Udruženje xxxxx stvari, novĉana sredstva i materijalna prava:
- iz ĉlanarina i doprinosa svojih ĉlanova;
- iz drugih izvora na osnovu ugovora o poklonu, pomoći, dotaciji, donaciji, sponzorstvu i drugih delatnosti, a takve delatnosti, ako ih bude, će biti naknadno registrovane kod nadležnog organa.
Član 49.
Izvor xxxxxxx Udruženja su:
- ĉlanarina, prilozi, legati, pokloni, donacije, dotacije od privrednih i drugih organizacija i ostali prihodi u skladu sa zakonom.
Član 50.
Sredstva Udruženja utvrdjuju se i raspodeljuju finansijskim planom.
Finansijski plan sastavlja se krajem svake godine za narednu godinu.
Član 51.
Udruženje je dužno da izvor svojih xxxxxxx i finansijskog poslovanja uĉini dostupnim javnosti. Članstvo i javnost se sa prihodima upoznaje preko izveštaja o materijalno-finansijskom poslovanju na sednicama Skupštine i drugih organa, xxxx xx to odredjeno Statutom. O ostvarenim finansijskim troškovima, xxxx xx to potrebno, Udruženje obaveštava i nadležne organe na ĉijem je podruĉju sedište Udruženja.
Član 52.
Za zakonitu upotrebu sredstava, po finansijskom planu odgovoran je Predsednik kao naredbodavac ili lice koje posebnom odlukom ovlasti Upravni odbor.
X IZMENE I DOPUNE STATUTA
Član 53.
Inicijativu za izmenu i dopunu Statuta mogu dati:
- organi udruženja,
- pojedini ĉlanovi udruženja.
Inicijativa za izmenu i dopunu Statuta dostavlja se Upravnom odboru. Ako Upravni odbor prihvati inicijativu za izmenu i dopunu Statuta, pokreće postupak za promenu, a ako nadje da za to ne postoje razlozi, inicjativa se odbacuje, o ĉemu će se obavestiti podnosilac predloga.
Član 54.
Nacrt izmena i dopuna Statuta Upravni odbor dostavlja na prethodnu raspravu ĉlanovima radi davanja predloga, mišljenja i primedbi. Na osnovu datih predloga, mišljenja i primedbi Upravni odbor saĉinjava predlog izmena i dopuna Statuta, dostavlja ga Skupštini radi donošenja odluke o izmenama i dopunama Statuta.
XI PRESTANAK RADA UDRUŽENJA
Član 55.
O prestanku rada Udruženja može da odluĉi samo Skupština i to dvotrećinskom većinom svih ĉlanova. U sluĉaju da Udruženje prestane xx xxxxx odlukom Skupštine, njegova imovina predaje se svim ĉlanovima Udruženja.
Član 56.
U sluĉaju da se Skupština ne može održati iz razloga posebnih vanrednih okolnosti, kao što je vanredno stanje, proglašenje rata ili neposredne ratne opasnosti Udruženja prestanu xx xxxxx u svim aktivnostima, odluku o prestanku xx xxxxx može doneti Upravni odbor.
Član 57.
Ako Udruženje prestane xx xxxxx xx xxxxx xxxx xx napred navedeno, lice koje zastupa Udruženje dužno je da podnese prijavu u roku od 15 xxxx od xxxx prestanka rada udruženja, organu kod kojeg je izvršen upis u registar radi brisanja iz registra.
XII PRELAZNE I ZAVRŠNE ODREDBE
Član 58.
Izabrani organi konstituisaće se i doneti neophodna akta za rad u roku od 90 xxxx, od xxxx stupanja na snagu ovog Statuta.
Član 59.
Ovaj Statut stupa na snagu danom proglašenja a primenjivaće se u roku od 8. xxxx od xxxx upisa Udruženja kod nadležnog organa i oglašavanja na oglasnoj tabli Udruženja.
Član 60.
Statut je usvojen i proglašen na sednici Skupštine Udruženja održanoj xxxx 06-06-2008. godine u Beogradu.

ARTICLES OF ASSOCIATION
of the ”Xxxxx fest” Association
I GENERAL PROVISIONS
Article 1
”Xxxxx fest”, 00, Xxxxxxxxxx Xx., Xxxxxxxx, is founded as: a citizens’ association – a non-profit, non-partisan and non-governmental organization in which citizens associate to achieve common goals and objectives set out in this Articles of Association and the Law.
Article 2
Name of the association is ”Xxxxx fest” , (hereinafter: the Association).
The registered address of the Association is: Belgrade, 00 Xxxxxxxxxx Xx.
The Association performs its activities in the territory of the Republic of Serbia.
Article 3
The Association has the status of a legal entity, with rights, obligations and responsibilities arising from the Constitution, the Law and this Articles of Association.
Article 4
The Association is represented by the Chairman of the Board of Directors. In addition to the Chairman, the Board of Directors of the Association in legal transactions with third parties is represented by members of the Board of Directors appointed by the Assembly.
Article 5
The Association has a stamp with the text: ”Xxxxx fest”, Belgrade.
Article 6
This Articles of Association determines the common goals and tasks, mutual rights, obligations and responsibilities of the members and other bodies, as well as other issues of interest to the Association.
II GOALS AND TASKS
Article 7
The Association encourages and coordinates the work of its members in terms of training, development and improvement of all activities that contribute to improvement of music culture and development of musical creativity, in accordance with the Constitution, Law and other legislation.
Article 8 The objectives of the Association are:
- To enable and contribute to informing the public about tendencies and events in the world and the country in the field of music creation;
- To cooperate with organizations, institutions and similar associations, as well as all relevant natural and legal persons and thus promote the development of music culture and connect talented authors of modern musical expression;
- To encourage and follow their members in their efforts to improve and study contemporary trends in music creation and to exchange knowledge gained through the study of music creation.
Article 9
In order to achieve its objectives, the Association in particular:
- Promotes its goals by organizing forums, workshops and similar events, in accordance with the law;
- Informs its members and interested legal entities and natural persons about the acquired knowledge and activities of the Association;
- Achieves cooperation with associations and organizations in the country and abroad with the same and similar goals;
- Cooperates with representatives of cultural institutions in the country and abroad;
- Finds and takes care of the training of talents and in this regard establishes and improves various forms of professional cooperation with the competent ministries;
- Gathers friends of the Association, who are ready to contribute with their work to the Association and promotion of musical creativity in the territory of the Republic of Serbia;
- Prepares and processes documentation, literature and professional material related to the development of musical creativity and monitors and studies relations and phenomena, takes positions on events in the field of music culture
III RELATIONSHIP AND COOPERATION WITH OTHER ORGANIZATIONS AND COMMUNITIES
Article 10
The Association is independent in its work and responsible in achieving the agreed positions.
The Association may join associations, organizations as well as international organizations in accordance with the Law and the decision on association is adopted by the Assembly of the Association.
IV MEMBERSHIP IN THE ASSOCIATION
Article 11
Every citizen of the Republic of Serbia can join the Association on a voluntary basis under equal conditions. Membership is acquired by submitting an application form and registration in the Register of Membership i.e. the records kept by the Association.
Article 12
The membership in the Association consists of natural persons and the membership is exclusively personal and/or individual.
Article 13
Members of the Association can be regular, assistant members and junior.
Article 14
Regular Members of the Association actively participate in the work of their association with all rights, obligations and responsibilities provided by this Articles of Association.
Assisting Members are those persons who do not actively participate in the work of bodies and authorities, but accept, assist and support the goals and tasks of the Association and get involved in actions and activities, and therefore they are recognized as members in the status of an assistant member.
Juniors are members who due to their age (under 18 years) and/or personal knowledge and education are not able to, before the preparatory period of training and education, be actively involved in the work of bodies and authorities, but accept and support the goals and objectives of the Association, and they are therefore granted the right to Membership as an assistant member.
Article 15
Upon admission to membership, a member accepts the Articles of Association and other general acts, as well as the obligation to participate in achieving goals and objectives of the Association.
Article 16
Type and form of the membership card is determined by the Board of Directors of the Association. The membership card is signed by the President of the Board of Directors.
Article 17
The membership card shall contain the following information:
- Registration number
- Name and surname
- Year of admission.
Article 18
Rights and duties of the members of the Association:
- To participate in activities according to his/her abilities, thus contributing to the realization of set goals and tasks;
- To improve the work and reputation of the Association with their proposals and execution of adopted decisions;
- To elect bodies and to be elected in accordance with the general acts of the Association;
- To develop the publicity of the work of the Association with the right to be informed about all activities and work;
- To pay the membership regularly;
- To be regularly informed about the financial operations of the Association in accordance with the general acts;
- To comply with the provisions of the Articles of Association and general acts.
Article 19
The membership in the Association ceases in case of:
- resignation;
- deletion from the records, in case of prolonged non-payment of membership or non-participation in the work.
- Exclusion, in case of a serious violation or gross violation of the goals in other provisions of the Articles of Association.
Article 20
The decision to terminate the Membership is made by the Board of Directors. The person to whom the decision applies is entitled to appeal within 15 days of receiving written notice of termination of Membership in the Association. The appeal is considered by the Assembly and its decision is final. Until the decision of the Assembly, the Board of Directors may apply the suspension.
V PUBLICITY OF WORK
Article 21
The work of the Association and its bodies is public. The publicity of the work of the Association, among other things, is provided by:
- Organization of public events and other gatherings of members within the realization of their plans and work programs;
- By presenting its activities through a periodical bulleting;
- Examination of the documentation and records kept by the Association in accordance with the Law, by supervisory bodies.
Article 22
The Association takes the necessary measures to ensure the publicity of its work, and that the Members are constantly informed about the work, problems, decisions and other acts adopted by the Association, as well as to provide members with insight into achieving goals and objectives and use of funds.
VI GOVERNANCE AND BODIES OF THE ASSOCIATION
Article 23
The Assembly is the highest governing body in the Association. The Assembly consists of all founders who took part in the founding Assembly and all regular members of the Association. The Assembly makes decisions in accordance with the Constitution, the Law, this Articles of Association and general acts of the Association.
Article 24
The regular assembly is held once a year, and is convened by the President of the Board of Directors:
- Board of Directors,
- Supervisory Board,
- 1/3 of regular members.
Article 25
The Assembly is convened 30 days in advance by written invitations or other means of information.
Article 26
More than half of the total number of regular members must be present in the Assembly for valid decision-making.
Article 27
Decisions are adopted by public voting, by a majority vote of the members present.
Article 28
If the session of the Assembly is not attended by the majority of members, as provided by this Articles of Association, it is postponed and scheduled within 30 days.
Article 29
The Assembly shall:
- Adopt the Articles of Association and decide on its amendments;
- Elect the bodies of the Association,
- Decide on the adoption of acts,
- Enter into agreements and arrangements.
- Decide on association in alliance and other forms of association and joining international organizations;
- Determine guidelines for goals and tasks and plan and program of work in accordance with them;
- Consider and adopt the reports of the Board of Directors and other bodies of the Association;
- Consider and adopt the financial plan and the final report of the Association;
- Decide on applications, objections and appeals;
- Form various bodies, committees and commissions to perform certain tasks;
- Determine the amount of membership fees;
- Make decisions on the termination of the association.
Article 30
The Assembly elects and dismisses the Board of Directors, the Supervisory Board and other bodies.
Article 31
The Assembly considers and resolves other important issues that remain open or controversial in the Board of Directors and other bodies of the Association.
VII BODIES OF THE ASSEMBLY
Article 32 Bodies of the Assembly are:
- Board of Directors
- Supervisory Board
1. Board of Directors
Article 33
The Board of Directors is the executive body of the Assembly that between the two Assemblies manages the work of the Association and decides on all matters within its competence in accordance with the Articles of Association, general acts and the Law. The Board of Directors consists of 3 (three) members.
Article 34
The Board of Directors elects the Assembly for 4 (four) years. The proposal of candidates for members of the Board of Directors is prepared in accordance with this Articles of Association and the decision of the Assembly.
The Board of Directors elects the President and the Secretary from its members. The terms of office of the Chairman and the Secretary is four years with the possibility of re-election.
Meetings of the Management Board are convened by the presiding Chairman. In the event the Chairman is prevented, the session shall be convened and chaired by the Secretary or a member of the Board of Directors appointed by the Management Board.
The Board of Directors meets as needed and as a rule four times a year. The Board of Directors decides validly if more than half of the members are present. Decisions shall be taken by a two-thirds majority of the members present.
The Board of Directors may decide on the change of one third of members of the Board of Directors, of which it is obliged to inform the members on the following Assembly session.
Article 35 The Board of Directors shall:
1. Take care of the implementation of the decisions of the Assembly;
2. Execute the decisions of the Assembly;
3. Propose to the Assembly a framework program of activities;
4. Propose the annual financial plan and final report;
5. Initiate amendments of the Articles of Association and other general acts adopted by the Assembly;
6. Manage the work between two Assembly sessions, in accordance with the program and decisions of the Assembly;
7. Monitor the execution of agreements, arrangements and other general acts;
8. In case of urgency between two Assembly sessions, enter into contracts, agreements and adopt the general acts;
9. Decide on the use of association’s funds;
10. Manage the Association’s property;
11. Prepare reports and other materials for the Assembly, as well as other acts whose adoption is the Assembly’s responsibility,
12. Decide on the manner and conditions of maintaining business and other relations with appropriate institutions;
13. Perform all other tasks determined by this Articles of Association and other general acts of the Association.
Article 36
The Board of Directors may form expert bodies, commissions and boards to study individual issues and proposals or to carry out the set tasks. The Board of Directors may delegate to its bodies a part of its competencies and responsibilities and invite the members of these bodies to its meetings.
If the Board of Directors makes a decision on the establishment of other bodies, the decisions on the establishment of these bodies will govern its composition, competence and managers.
2. Supervisory Board
Article 37
In order to control the work of management bodies and other bodies, as well as to control of material and financial operations and the implementation of tasks arising from the law, the Supervisory Board is established.
Article 38
The Supervisory Board is elected by the Assembly for a term of 4 years and has 3 (three) members. Members of the Supervisory Board cannot be Members of the Board of Directors of the Association.
Article 39
1/3 of the members may propose to the Assembly the recall of the members of this Board even before the expiration of their mandate.
Article 40
The Supervisory Board elects its Chairman for a term of 4 years, with the possibility of re-election. The Chairman convenes and presides the sessions of the Board, represents the Board, and organizes and coordinates its work and activities. The Supervisory Board takes positions and adopts conclusions by a majority vote of all members.
Article 41
The Supervisory Board considers and controls:
- Application of this Articles of Association and other general acts,
- Protection of management and rights of members,
- Exercising the rights and obligations of all bodies,
- Material and financial operations, as well as the correct use of material and financial resources,
- Realization of decisions, conclusions and agreements and other acts,
- Performs other tasks that are placed under his jurisdiction.
The Supervisory Board shall:
- Protect the rights of associations
- Prevent negligent work of members and bodies.
The Board proposes to the Board of Directors to take measures in order to prevent abuse of office of members and bodies of the Association and other harmful phenomena.
Article 42
The Supervisory Board has the right and duty to inform the Assembly and/or the Board of Directors, about its orders and positions and to propose them to take appropriate
measures. The Supervisory Board cooperates with the competent authorities and inspection services.
Article 43
The Supervisory Board has the right, in order to perform its tasks, to request access to documentation and other data in order to determine the factual situation.
Article 44
The Supervisory Board is obliged to inform the Board of Directors and/or the Assembly, and, if necessary, the competent bodies, about all violations that it determines.
VIII PERFORMANCE OF PROFESSIONAL AND ADMINISTRATIVE WORK
Article 45
For the purpose of performing professional, financial and administrative tasks, the Assembly may establish a professional service within which employees may be hired for an indefinite or definite period of time, either on the basis of an employment contract or with the mediation of a Youth or Student Cooperative.
The performance of these activities may be entrusted to the professional service of another organization, community or association.
Article 46
If the Association does not form a professional service or does not entrust the performance of the previous Article to the professional service of other organizations, communities or the Association, the Board of Directors may entrust the performance of these tasks to individual workers on the basis of a written contract.
IX FUNDS OF THE ASSOCIATION AND MATERIAL AND FINANCIAL OPERATIONS
Article 47
In order to achieve its goals and tasks, the Association realizes financial resources that can be used only in the legally prescribed manner, as determined by this Articles of Association and other general acts adopted on the basis of this Articles of Association.
Article 48
The Association acquires things, money and material rights:
- From membership fees and contributions of its members;
- From other sources on the basis of a contract on gifts, assistance, grants, donations, sponsorships and other activities, and such activities, if any, will be subsequently registered with the competent authority.
Article 49
The sources of income of the Association are:
- Membership fees, contributions, legacies, gifts, donations, grants from business and other organizations and other income in accordance with the law.
Article 50
The funds of the Association are determined and distributed in accordance with the financial plan. The financial plan is drawn up at the end of each year for the following year.
Article 51
The Association shall make the source of its income and financial operations available to the public. The membership and the public are acquainted with the revenues through the report on material and financial operations at the sessions of the Assembly and other bodies, as determined by the Articles of Association. When necessary, the Association also informs the competent authorities in whose territory the seat of the Association is located about the realized financial costs.
Article 52
For the legal use of funds, according to the financial plan, the Chairman is responsible as the ordering party or the person who authorizes the Board of Directors by a special decision.
X AMENDMENTS TO THE ARTICLES OF ASSOCIATION
Article 53
The initiative for amending the Articles of Association can be given by:
- Bodies of the association,
- Individual members of the association.
The initiative to amend the Articles of Association is submitted to the Board of Directors. If the Board of Directors accepts the initiative to amend the Articles of Association, it initiates the procedure for change, and if it finds that there are no reasons for that, the initiative is rejected, of which the submitter of the proposal will be notified.
Article 54
The draft amendments to the Articles of Association are submitted by the Board of Directors to the members for preliminary discussion in order to give proposals, opinions and remarks. Based on the given proposals, opinions and remarks, the Board of Directors makes a proposal for amendments to the Articles of Association, submits it to the Assembly for a decision on amendments to the Articles of Association.
XI TERMINATION OF THE ASSOCIATION
Article 55
The termination of the work of the Association can be decided only by the Assembly by a two-thirds majority of all members. In the event that the Association ceases to operate by decision of the Assembly, its assets shall be handed over to all members of the Association.
Article 56
In case the Assembly cannot be held due to special extraordinary circumstances, such as state of emergency, declaration of war or imminent danger of war, the Association ceases to operate in all activities, the decision to terminate may be made by the Board of Directors.
Article 57
If the Association ceases to operate in the manner set forth above, the person representing the Association is required to file an application within 15 days of the termination of the association, the authority with which the entry was made in the register for deletion from the register.
XII TRANSITIONAL AND FINAL PROVISIONS
Article 58
The elected bodies shall be constituted and the necessary acts for work shall be adopted within 90 days from the day this Articles of Association enters into force.
Article 59
This Articles of Association enters into force on the day of proclamation and will be applied within 8 days from the day of registration of the Association with the competent authority and publication on the noticeboard of the Association.
Article 60
The Articles of Association was adopted and proclaimed at the session of the Assembly of the Association held on June 6th, 2008 in Belgrade.
