Dated November 14, 2016
Agreement dated November 14, 2016, between REPUBLIC OF SERBIA (“Borrower”) and INTERNATIONAL BANK FOR RECONSTRUCTION AND DEVELOPMENT (“Bank”) for the purpose of providing additional financing for the project described in Schedule 1 to this Agreement (“Project”). The Borrower and the Bank hereby agree as follows:
ARTICLE I - GENERAL CONDITIONS; DEFINITIONS
1.01. The General Conditions (as defined in the Appendix to this Agreement) constitute an integral part of this Agreement.
1.02. Unless the context requires otherwise, the capitalized terms used in this Agreement have the meanings ascribed to them in the General Conditions or in the Appendix to this Agreement.
ARTICLE II - LOAN
2.01. The Bank agrees to lend to the Borrower, on the terms and conditions set forth or referred to in this Agreement, the amount of thirty five million Euros (€35,000,000), as such amount may be converted from time to time through a Currency Conversion in accordance with the provisions of Section 2.08 of this Agreement (“Loan”), to assist in financing the Project.
2.02. The Borrower may withdraw the proceeds of the Loan in accordance with Section IV of Schedule 2 to this Agreement.
2.03. The Front-end Fee payable by the Borrower shall be equal to one quarter of one percent (0.25%) of the Loan amount.
2.04. The Commitment Charge payable by the Borrower shall be equal to one quarter of one percent (0.25%) per annum on the Unwithdrawn Loan Balance.
2.05. The interest payable by the Borrower for each Interest Period shall be at a rate equal to the Reference Rate for the Loan Currency plus the Fixed Spread; provided, that upon a Conversion of all or any portion of the principal amount of the Loan, the interest payable by the Borrower during the Conversion Period on such amount shall be determined in accordance with the relevant provisions of Article IV of the General Conditions. Notwithstanding the foregoing, if any amount of the Withdrawn Loan Balance remains unpaid when due and such non-payment continues for a period of thirty days, then the interest payable by the Borrower shall instead be calculated as provided in Section 3.02 (e) of the General Conditions.
2.06. The Payment Dates are June 1 and December 1 in each year.
2.07. The principal amount of the Loan shall be repaid in accordance with the amortization schedule set forth in Schedule 3 to this Agreement.
2.08. (a) The Borrower may at any time request any of the following Conversions of the terms of the Loan in order to facilitate prudent debt management: (i) a change of the Loan Currency of all or any portion of the principal amount of the Loan, withdrawn or unwithdrawn, to an Approved Currency; (ii) a change of the interest rate basis applicable to: (A) all or any portion of the principal amount of the Loan withdrawn and outstanding from a Variable Rate to a Fixed Rate, or vice versa; or (B) all or any portion of the principal amount of the Loan withdrawn and outstanding from a Variable Rate based on a Reference Rate and the Variable Spread to a Variable Rate based on a Fixed Reference Rate and the Variable Spread, or vice versa; or (C) all of the principal amount of the Loan withdrawn and outstanding from a Variable Rate based on a Variable Spread to a Variable Rate based on a Fixed Spread; and (iii) the setting of limits on the Variable Rate or the Reference Rate applicable to all or any portion of the principal amount of the Loan withdrawn and outstanding by the establishment of an Interest Rate Cap or Interest Rate Collar on the Variable Rate or the Reference Rate.
(b) Any conversion requested pursuant to paragraph (a) of this Section that is accepted by the Bank shall be considered a “Conversion”, as defined in the General Conditions, and shall be effected in accordance with the provisions of Article IV of the General Conditions and of the Conversion Guidelines.
ARTICLE III - PROJECT
3.01. The Borrower declares its commitment to the objectives of the Project. To this end, the Borrower shall cause the Project to be carried out by the Project Implementing Entity, in accordance with the provisions of Article V of the General Conditions and the Project Agreement.
3.02. Without limitation upon the provisions of Section 3.01 of this Agreement, and except as the Borrower and the Bank shall otherwise agree, the Borrower shall ensure that the Project is carried out in accordance with the provisions of Schedule 2 to this Agreement.
ARTICLE IV - REMEDIES OF THE BANK
4.01. The Additional Event of Suspension consists of the following, namely that the Project Implementing Entity’s Legislation has been amended, suspended, abrogated, repealed or waived so as to affect materially and adversely the ability of the Project Implementing Entity to perform any of its obligations under the Project Agreement.
4.02. The Additional Event of Acceleration consists of the following, namely that the event specified in Section 4.01 of this Agreement occurs.
ARTICLE V - TERMINATION
5.01. The Effectiveness Deadline is the date one hundred eighty (180) days after the date of this Agreement.
ARTICLE VI - REPRESENTATIVE; ADDRESSES
6.01. For the purposes of section 10.02 of the General Conditions, the Borrower’s Representative, who, inter alia, may agree to modification of the provisions of this Agreement on behalf of the Borrower through an exchange of letter (unless otherwise determined by the Borrower and the Bank), is its Minister of Finance.

SCHEDULE 1
Project Description
The objectives of the Project are to increase transport efficiency and improve traffic safety on three sections of Corridor X, between Niš and Dimitrovgrad and Leskovac (Grabovnica) and Donji Neradovac respectively, and to improve road management and road safety in the Borrower’s territory.
The Project consists of the Original Project as modified below:
Part A. Motorway construction on E-75 and E-80
Carrying out a program of works and equipment provision for the construction of sections of motorway totaling about: (i) 38 kilometers between Leskovac (Grabovnica) and Grdelica, and between Caricina Dolina and Donji Neradovac (Corridor Xd) on the E-75 highway axis; and (ii) 9 kilometers of motorway on a section of the corridor to the north of Dimitrovgrad on the E-80 highway axis, including construction of new alignment and upgrading of the existing road, and consisting of:
1. the relevant electrical and mechanical facilities, annex areas, toll plazas and buildings, interchanges and some interconnecting roads to improve integration with the local road network;
2. a full profile motorway with four 3.75 meters traffic lanes and design speed of 120km/h for all sections (100km/h design speed in tunnels); and
3. the procurement of a consulting firm to provide engineering services for said program and additional sections of Corridor X as agreed with the Bank.
Part B. Road Safety
Provision of goods, equipment, technical assistance and training for:
0. xxxx safety capacity building, including support for the establishment of a national road safety council;
2. the creation of a road safety performance framework;
3. the development and launching of a national road safety strategy;
4. the preparation and piloting of two multi-sector road safety pilots; and
5. the procurement and establishment of a road safety database and other road safety equipment.
Part C. Implementation Assistance and Institutional Support
Support to the Project Implementing Entity through the provision of goods, equipment (including vehicles), technical assistance and training and the financing of Incremental Operating Costs for:
1. the carrying out of separate, independent supervision of environmental and social aspects of activities under Part A of the Project and additional sections of Corridor X as agreed with the Bank;
2. Project management and implementation, including procurement and other experts;
3. the carrying out of an independent technical audit, including engineering aspects, design, quality review and supervision of works to be carried under, respectively, Part A of the Project and additional sections of Corridor X as agreed with the Bank; and
4. the development and implementation of a reform action plan for the institutional strengthening of PEPS.
SCHEDULE 2
Project Execution
Section I. Implementation Arrangements
A. Institutional Arrangements
1. The Project Implementing Entity shall be responsible for the overall implementation of the Project, under the guidance and supervision of the Steering Committee. The Project Implementing Entity shall be responsible for handling the day-to-day management of the Project including procurement, financial management, Project monitoring and evaluation, and reporting arrangements, as well as management of environmental and social issues under the Project.
2. The Borrower shall, at all times throughout the duration of the Project, maintain, adequately fund and cause the Project Implementing Entity to comprise qualified staff, including procurement and financial management specialists and an environmental safeguards expert, in adequate number and with terms of reference satisfactory to the Bank.
3. To facilitate the carrying out of the Project and to accomplish the purposes of the Loan, the Borrower shall make the appropriate arrangements to make the proceeds of the Loan available to the Project Implementing Entity.
4. The Borrower shall, and shall cause the Project Implementing Entity to: (i) ensure that the Project is carried out in accordance with the Financial Manual; and (ii) prior to the carrying out of any activities to be financed with the proceeds of the Loan, update the Financial Manual for purposes of this Loan and in a manner satisfactory to the Bank.
B. Anti-Corruption
The Borrower shall ensure that the Project is carried out in accordance with the provisions of the Anti-Corruption Guidelines.
C. Safeguards
1. The Borrower shall, and shall cause PEPS and the Project Implementing Entity to ensure that:
(a) the Project is carried out in accordance with the respective terms of the Environmental Impact Assessments and the Resettlement Policy Framework, and the policies, procedures and arrangements therein set forth are applied and implemented; and
(b) the Environmental Impact Assessments and the Resettlement Policy Framework, or any provision thereof, shall not be amended, suspended, abrogated, terminated or waived or permitted to be amended, suspended, abrogated, terminated or waived, except with the prior written approval of the Bank.
2. Prior to the commencement of works for each proposed road section, the Borrower shall cause PEPS and the Project Implementing Entity to: (a) submit to the Bank for its approval: (i) the related section specific Resettlement Action Plan, including the relevant social assessment, in form and substance satisfactory to the Bank; and (ii) the related section specific Environmental Management Plan and Checklist, in form and substance satisfactory to the Bank; (b) ensure that the provisions of said Resettlement Action Plan and Environmental Management Plan and Checklist are adequately included in the proposed contract(s) for said works; and (c) ensure that said Resettlement Action Plan is disclosed and, unless the Bank shall otherwise agree, all related, adequate compensation amounts are paid in full, all in accordance with the related section specific Resettlement Action Plan and Environmental Management Plan and Checklist, the Resettlement Policy Framework and the Environmental Impact Assessments.
D. Other Covenants
During the implementation of each contract for works under the Project, the Borrower shall take the necessary measures to submit to the Bank evidence, satisfactory to the Bank, confirming the availability of appropriate compensation amounts for purposes of expropriation.
Section II. Project Monitoring Reporting and Evaluation
A. Project Reports
1. The Borrower, through the Project Implementing Entity, shall monitor and evaluate the progress of the Project and prepare Project Reports in accordance with the provisions of Section 5.08 of the General Conditions and on the basis of monitoring and evaluation indicators agreed with the Bank. Each Project Report shall cover the period of one (1) calendar quarter, and shall be furnished to the Bank not later than one (1) month after the end of the period covered by such report. In addition, semi-annual reviews shall be conducted jointly by the Borrower, the Project Implementing Entity and the Bank to review progress in Project implementation.
2. The Borrower, through the Project Implementing Entity, shall ensure that the Project Reports referred to in the preceding paragraph 1 report on the monitoring and implementation of the requirements set forth in the Environmental Impact Assessments and the Resettlement Policy Framework.
3. For purposes of Section 5.08 (c) of the General Conditions, the report on the execution of the Project and related plan required pursuant to that Section shall be furnished by the Borrower, through the Project Implementing Entity, to the Bank not later than six (6) months after the Closing Date.
B. Financial Management, Financial Reports and Audits
1. The Borrower shall cause the Project Implementing Entity to maintain a financial management system in accordance with the provisions of Section 5.09 of the General Conditions.
2. Without limitation on the provisions of Part A of this Section, the Borrower, through the Project Implementing Entity, shall prepare and furnish to the Bank, not later than forty five (45) days after the end of each calendar quarter, interim unaudited financial reports for the Project covering the quarter, in form and substance satisfactory to the Bank.
3. The Borrower shall have its Financial Statements audited in accordance with the provisions of Section 5.09 (b) of the General Conditions. Each audit of the Financial Statements shall cover the period of one (1) Fiscal Year of the Borrower. The audited Financial Statements for each such period shall be furnished to the Bank not later than six (6) months after the end of such period.
Section III. Procurement
A. General
1. Goods and Works. All goods and works required for the Project and to be financed out of the proceeds of the Loan shall be procured in accordance with the requirements set forth or referred to in Section I of the Procurement Guidelines, and with the provisions of this Section.
2. Consultants’ Services. All consultants’ services required for the Project and to be financed out of the proceeds of the Loan shall be procured in accordance with the requirements set forth or referred to in Sections I and IV of the Consultant Guidelines and with the provisions of this Section.
3. Definitions. The capitalized terms used below in this Section to describe particular procurement methods or methods of review by the Bank of particular contracts refer to the corresponding method described in the Procurement Guidelines, or Consultant Guidelines, as the case may be.
B. Particular Methods of Procurement of Goods and Works
1. International Competitive Bidding. Except as otherwise provided in paragraph 2 below, goods and works shall be procured under contracts awarded on the basis of International Competitive Bidding.
2. Other Methods of Procurement of Goods and Works. The following table specifies the methods of procurement, other than International Competitive Bidding, which may be used for goods and works. The Procurement Plan shall specify the circumstances under which such methods may be used.

C. Particular Methods of Procurement of Consultants’ Services
1. Quality- and Cost-based Selection. Except as otherwise provided in paragraph 2 below, consultants’ services shall be procured under contracts awarded on the basis of Quality and Cost-based Selection.
2. Other Methods of Procurement of Consultants’ Services. The following table specifies the methods of procurement, other than Quality and Cost-based Selection, which may be used for consultants’ services. The Procurement Plan shall specify the circumstances under which such methods may be used.

D. Review by the Bank of Procurement Decisions
The Procurement Plan shall set forth those contracts which shall be subject to the Bank’s Prior Review. All other contracts shall be subject to Post Review by the Bank.
Section IV. Withdrawal of Loan Proceeds
A. General
1. The Borrower may withdraw the proceeds of the Loan in accordance with the provisions of Article II of the General Conditions, this Section, and such additional instructions as the Bank shall specify by notice to the Borrower (including the “World Bank Disbursement Guidelines for Projects” dated May 2006, as revised from time to time by the Bank and as made applicable to this Agreement pursuant to such instructions), to finance Eligible Expenditures as set forth in the table in paragraph 2 below.
2. The following table specifies the categories of Eligible Expenditures that may be financed out of the proceeds of the Loan (“Category”), the allocation of the amounts of the Loan to each Category, and the percentage of expenditures to be financed for Eligible Expenditures in each Category.

B. Withdrawal Conditions; Withdrawal Period
1. Notwithstanding the provisions of Part A of this Section, no withdrawal shall be made from the Loan Account for payments made prior to the date of this Agreement.
2. The Closing Date is June 30, 2018.
ANNEX
National Competitive Bidding: Additional Provisions
For the purposes of using National Competitive Bidding Procedures, the following shall apply:
1. Registration
(a) Bidding shall not be restricted to pre-registered firms.
(b) Where registration is required, bidders: (i) shall be allowed a reasonable time to complete the registration process; and (ii) shall not be denied registration for reasons unrelated to their capability and resources to successfully perform the contract, which shall be verified through post-qualification.
(c) Foreign bidders not from the territory of the Borrower shall not be precluded from bidding. If a registration process is required, a foreign bidder declared the lowest evaluated bidder shall be given a reasonable opportunity to register.
2. Advertising
Invitations to bid in Serbian shall be advertised in at least one widely circulated local daily newspaper available over the territory of the Borrower allowing a minimum of thirty (30) days for the preparation and submission of bids.
3. Participation by Publicly-owned enterprises
Publicly-owned enterprises shall be eligible to participate in bidding only if they can establish that they are legally and financially autonomous, operate under commercial law and are not a dependent agency of the contracting authority. Furthermore, they will be subject to the same bid and performance security requirements as other bidders.
4. Bidding Documents
Procuring entities shall use the appropriate standard bidding documents for the procurement of works or services, acceptable to the Bank.
5. Bid Opening and Bid Evaluation
(a) Bids shall be submitted in a single envelope containing the bidder’s qualification information, technical and price bids, which shall be opened simultaneously at the public bid opening.
(b) Bids shall be opened in public, immediately after the deadline for submission of bids. The name of the bidder, the total amount of each bid and any discounts offered shall be read aloud and recorded in the minutes of the public bid opening.
(c) Evaluation of bids shall be made in strict adherence to the monetarily quantifiable criteria declared in the bidding documents. No merit point system will be used.
(d) Extensions of bid validity will be allowed once only for not more than thirty (30) days. No further extensions shall be requested without the prior approval of the Bank.
(e) Contracts shall be awarded to the qualified bidder having submitted the lowest-evaluated, substantially responsive bid and no negotiation shall take place.
6. Price Adjustment
Civil works contracts of long duration (more than 18 months) shall contain an appropriate price adjustment clause.
7. Rejection of Bids
(a) All bids shall not be rejected and new bids solicited without the Bank’s prior concurrence.
(b) When the number of bids received is less than three, re-bidding shall not be carried out without the Bank’s prior concurrence.
8. Securities
Bid security shall not exceed three percent (3%) of the estimated cost of the contract and performance security not more than ten percent (10%) of this cost. No advance payment at the amount of more than ten percent (10%) of the contract price shall be made to contractors without a suitable advance payment security. These securities shall be included in the bidding documents in a text and format acceptable to the Bank.
(a) Bid security and performance security should follow the generally accepted practice used in the local market.
(b) Alternative methods such as bid securing declaration may be acceptable, in which case the Borrower may require bidders to sign a declaration accepting that if they withdraw or modify their bids during the period of validity or they are awarded the contract and they fail to sign the contract or to submit a performance security before the deadline defined in the bidding documents, the bidder will be suspended for bidding in any contract with the implementing unit.
9. Right to inspect and audit
Each contract financed from the proceeds of the Loan shall provide that the suppliers, contractors and subcontractors shall permit the Bank, at its request, to inspect their accounts and records relating to the procurement and performance of the contract and to have said accounts and records audited by auditors appointed by the Bank. The deliberate and material violation by the supplier, contractor or subcontractor of such provision may amount to obstructive practice.
10. Fraud & Corruption
The Bank shall declare a firm or individual ineligible, either indefinitely or for a stated period, to be awarded a contract financed by the Bank, if it at any time determines that the firm or individual has, directly or through an agent, engaged in corrupt, fraudulent, collusive, coercive or obstructive practices in competing for, or in executing, a contract financed by the World Bank Group.
SCHEDULE 3
Amortization Schedule
1. The following table sets forth the Principal Payment Dates of the Loan and the percentage of the total principal amount of the Loan payable on each Principal Payment Date (“Installment Share”). If the proceeds of the Loan have been fully withdrawn as of the first Principal Payment Date, the principal amount of the Loan repayable by the Borrower on each Principal Payment Date shall be determined by the Bank by multiplying: (a) Withdrawn Loan Balance as of the first Principal Payment Date; by (b) the Installment Share for each Principal Payment Date, such repayable amount to be adjusted, as necessary, to deduct any amounts referred to in paragraph 4 of this Schedule, to which a Currency Conversion applies.

2. If the proceeds of the Loan have not been fully withdrawn as of the first Principal Payment Date, the principal amount of the Loan repayable by the Borrower on each Principal Payment Date shall be determined as follows:
(a) To the extent that any proceeds of the Loan have been withdrawn as of the first Principal Payment Date, the Borrower shall repay the Withdrawn Loan Balance as of such date in accordance with paragraph 1 of this Schedule.
(b) Any amount withdrawn after the first Principal Payment Date shall be repaid on each Principal Payment Date falling after the date of such withdrawal in amounts determined by the Bank by multiplying the amount of each such withdrawal by a fraction, the numerator of which is the original Installment Share specified in the table in paragraph 1 of this Schedule for said Principal Payment Date (“Original Installment Share”) and the denominator of which is the sum of all remaining Original Installment Shares for Principal Payment Dates falling on or after such date, such amounts repayable to be adjusted, as necessary, to deduct any amounts referred to in paragraph 4 of this Schedule, to which a Currency Conversion applies.
3. (a) Amounts of the Loan withdrawn within two calendar months prior to any Principal Payment Date shall, for the purposes solely of calculating the principal amounts payable on any Principal Payment Date, be treated as withdrawn and outstanding on the second Principal Payment Date following the date of withdrawal and shall be repayable on each Principal Payment Date commencing with the second Principal Payment Date following the date of withdrawal.
(b) Notwithstanding the provisions of sub-paragraph (a) of this paragraph, if at any time the Bank adopts a due date billing system under which invoices are issued on or after the respective Principal Payment Date, the provisions of such sub-paragraph shall no longer apply to any withdrawals made after the adoption of such billing system.
4. Notwithstanding the provisions of paragraphs 1 and 2 of this Schedule, upon a Currency Conversion of all or any portion of the Withdrawn Loan Balance to an Approved Currency, the amount so converted in the Approved Currency that is repayable on any Principal Payment Date occurring during the Conversion Period, shall be determined by the Bank by multiplying such amount in its currency of denomination immediately prior to the Conversion by either: (i) the exchange rate that reflects the amounts of principal in the Approved Currency payable by the Bank under the Currency Hedge Transaction relating to the Conversion; or (ii) if the Bank so determines in accordance with the Conversion Guidelines, the exchange rate component of the Screen Rate.
5. If the Withdrawn Loan Balance is denominated in more than one Loan Currency, the provisions of this Schedule shall apply separately to the amount denominated in each Loan Currency, so as to produce a separate amortization schedule for each such amount.
APPENDIX
Section I. Definitions
1. “Anti-Corruption Guidelines” means the “Guidelines on Preventing and Combating Fraud and Corruption in Projects Financed by IBRD Loans and XXX Credits and Grants”, dated October 15, 2006 and revised in January 2011.
2. “Category” means a category set forth in the table in Section IV of Schedule 2 to this Agreement
3. “Consultant Guidelines” means the “Guidelines: Selection and Employment of Consultants under IBRD Loans and XXX Credits and Grants by World Bank Borrowers” dated January 2011 (revised July 2014).
4. “Corridor X” means one of the most important pan-European transport corridors that run through Serbia and connects Austria, Hungary, Slovenia, Croatia, Serbia, Bulgaria, Macedonia and Greece. The main branch of Corridor X is Saltsburg (A) - Ljubljana (SLO) – Zagreb (CRO) – Belgrade (SRB) – Niš (SRB) – Skopje (MK) – Veles (MK) – Thessalonica (GR).
5. “Environmental Impact Assessments” means, collectively, the Corridor Level Environmental Impact Assessments dated May 28, 2009, prepared for, respectively, Parts A and B of the Project, adopted by the Borrower and satisfactory to the Bank, including the associated environmental management plans, consisting of the set of mitigation, monitoring and institutional measures required for the Project and to be taken to eliminate adverse environmental and social impacts, offset them, or reduce them to acceptable levels, as well as actions needed to implement said measures, including measures and information required for the preparation of road section specific Environmental Management Plans and Checklists.
6. “Environmental Management Plan and Checklist” means a road section specific environmental management plan and checklist, referred to in part C.2, Section I of Schedule 2 to this Agreement, and to be prepared and implemented in a manner fully consistent with the Environmental Impact Assessments.
7. “Financial Manual” means the financial manual dated April 9, 2009, prepared by the Project Implementing Entity and describing all procedures and controls for the implementation of the Project, as the same may be amended from time to time with the Bank’s prior written agreement.
8. “Fiscal Year” means the twelve (12) month period corresponding to any of the Borrower’s or the Project Implementing Entity’s fiscal years, which period commences on January 1 and ends on December 31 in each calendar year.
9. “General Conditions” means the “International Bank for Reconstruction and Development General Conditions for Loans”, dated March 12, 2012, with the modifications set forth in Section II of this Appendix.
10. “Incremental Operating Costs” means reasonable expenditures incurred by the Project Implementing Entity in relation to the management and implementation of the Project as per its annual budget, including the preparation of the annual financial audits required under the Project, cost of communications, translations, meetings, local travel, consumables and day-to-day office maintenance and administration, including office rental, operation and maintenance of equipment provided to the Project Implementing Entity under the Project, and excluding salaries of government officials and civil servants.
11. “Original Loan Agreement” means the loan agreement for a Corridor X Highway Project between the Borrower and the Bank, dated July 13, 2009, as amended to the date of this Agreement (Loan No 7746-YF).
12. “Original Project” means the Project described in Schedule 1 to the Original Loan Agreement.
13. “PEPS” means the Public Enterprise Putevi Srbije, the Borrower’s public roads company established and operating pursuant to the Borrower’s Decision No. 115/05, or any successor thereto.
14. “Procurement Guidelines” means the “Guidelines: Procurement of Goods, Works and Non-consulting Services under IBRD Loans and XXX Credits and Grants by World Bank Borrowers” dated January 2011 (revised July 2014).
15. “Project Agreement” means the Project agreement of even date herewith, entered into between the Bank and the Project Implementing Entity.
16. “Procurement Plan” means the Borrower’s procurement plan for the Project, dated July 20, 2016 and referred to in paragraph 1.18 of the Procurement Guidelines and paragraph 1.25 of the Consultant Guidelines, as the same shall be updated from time to time in accordance with the provisions of said paragraphs.
17. “Project Implementing Entity” means the Koridori Srbije d.o.o (formerly Koridor 10 d.o.o), established by the Borrower’s Decision No: 023-9271/2010-3 dated January 21, 2011, or any successor thereto.
18. “Project Implementing Entity’s Legislation” means the decision of the Government No. 023-9271/2010-3, dated January 21, 2011, governing the Project Implementing Entity.
19. “Resettlement Action Plan” means a resettlement action plan for a road section specific resettlement, referred to in part C.2, Section I of Schedule 2 to this Agreement, and to be prepared and implemented in a manner fully consistent with the Resettlement Policy Framework.
20. “Resettlement Policy Framework” means the resettlement policy framework, satisfactory to the Bank, dated May 18, 2009, setting forth, inter alia: (i) the description of areas covered by the Project; (ii) the legal basis and screening process for land acquisition, resettlement and land use in connection with works and construction activities to be carried out under the Project; (iii) the resettlement principles and entitlements of Project affected people based on different categories of impact; (iv) the procedures for valuation, compensation and other assistance provided to the affected people, including the grievance process; (v) the responsibilities, procedures and requirements for the development and implementation of road section specific Resettlement Action Plans; and (vi) an estimate of scale of land acquisition and cost of compensation.
21. “Steering Committee” means the Steering Committee established by a decision of the Borrower dated October 30, 2008, and comprising representatives of the Borrower’s various relevant institutions.
22. “Taxes” includes imposts, levies, fees and duties of any nature whether in effect at the date of this Agreement or imposed after that date.
Section II. Modifications to the General Conditions
The General Conditions are hereby modified as follows:
1. In the Table of Contents, the references to Sections, Section names and Section numbers are modified to reflect the modifications set forth in the paragraphs below.
2. Section 3.01. (Front-end Fee) is modified to read as follows:
“Section 3.01. Front-end Fee; Commitment Charge
(a) The Borrower shall pay the Bank a front-end fee on the Loan amount at the rate specified in the Loan Agreement (the “Front-end Fee”).
(b) The Borrower shall pay the Bank a commitment charge on the Unwithdrawn Loan Balance at the rate specified in the Loan Agreement (the “Commitment Charge”). The Commitment Charge shall accrue from a date sixty days after the date of the Loan Agreement to the respective dates on which amounts are withdrawn by the Borrower from the Loan Account or cancelled. The Commitment Charge shall be payable semi-annually in arrears on each Payment Date.”
3. In the Appendix, Definitions, all relevant references to Section numbers and paragraphs are modified, as necessary, to reflect the modification set forth in paragraph 2 above.
4. The Appendix is modified by inserting a new paragraph 19 with the following definition of “Commitment Charge”, and renumbering the subsequent paragraphs accordingly:
“19. “Commitment Charge” means the commitment charge specified in the Loan Agreement for the purpose of Section 3.01(b).”

SPORAZUM O ZAJMU
Sporazum, od 14. novembra 2016. godine između REPUBLIKE SRBIJE (Zajmoprimac) i MEĐUNARODNE BANKE ZA OBNOVU I RAZVOJ (Banka) za potrebe dodatnog finansiranja za projekat opisan u Programu 1 ovog sporazuma (Projekat). U skladu s xxx, Zajmoprimac i Banka saglasili su se o sledećem:
ČLAN I - OPŠTI USLOVI; DEFINICIJE
1.01 Opšti uslovi (xxxx xx definisano u Prilogu ovog sporazuma) čine integralni deo ovog sporazuma.
1.02. Ukoliko kontekst ne zahteva drugačije, termini napisani velikim početnim slovom u ovom sporazumu imaju značenje koje je ranije ustanovljeno u Opštim uslovima ili u Prilogu ovog sporazuma.
ČLAN II - ZAJAM
2.01. Xxxxx xx saglasna da Zajmoprimcu odobri zajam, pod uslovima i na načine određene ili pomenute u ovom sporazumu, u iznosu od trideset pet miliona evra (35.000.000 EUR) koji se povremeno može konvertovati putem Konverzije valute u skladu sa odredbom odeljka 2.08. ovog sporazuma (Zajam), kao podršku finansiranju Projekta.
2.02. Zajmoprimac može povlačiti sredstva Zajma u skladu sa Odeljkom IV. Programa 2 datom uz ovaj sporazum.
2.03. Pristupna naknada koju plaća Zajmoprimac jednaka je jednoj četvrtini jednog procenta (0,25%) od iznosa Zajma.
2.04. Naknada za angažovanje koju plaća Zajmoprimac jednaka je jednoj četvrtini jednog procenta (0,25%) godišnje na Nepovučeni deo zajma.
2.05. Kamata koju Zajmoprimac plaća za svaki Kamatni period obračunava se po stopi xxxx xx jednaka Referentnoj stopi za valutu Zajma uvećanoj za Fiksnu maržu pod uslovom da xx xxxxx Konverzije ukupnog iznosa ili bilo kog dela iznosa glavnice Zajma, kamata koju na taj iznos plaća Zajmoprimac u toku perioda Konverzije biti određena u skladu sa relevantnim odredbama člana IV Opštih uslova. Izuzetno, ukoliko bilo koji iznos Povučenog dela Xxxxx ne bude isplaćen u roku i to plaćanje se ne izvrši u periodu od trideset xxxx, kamata koju Zajmoprimac u xxx slučaju plaća obračunava se u skladu sa odredbama odeljka 3.02 (e) Opštih uslova.
2.06. Datumi plaćanja su 1. jun i 1. decembar, svake godine.
2.07. Glavnica Xxxxx se otplaćuje se u skladu sa planom otplate utvrđenim u Programu 3 ovog sporazuma.
2.08. (a) Zajmoprimac može u bilo kom momentu da zatraži bilo koju od sledećih Konverzija uslova Zajma da bi se olakšalo racionalno upravljanje dugom: (i) promenu Valute Zajma u ukupnom iznosu ili bilo kog dela iznosa glavnice Zajma, povučenog ili nepovučenog, u Odobrenu valutu; (ii) promenu kamatne stope koja se primenjuje na: (A) ukupan iznos ili bilo xxxx xxx iznosa glavnice Zajma povučen i neotplaćen, sa Varijabilne stope na Fiksnu stopu, ili obrnuto; ili (B) ukupan iznos ili bilo xxxx xxx iznosa glavnice Zajma povučen i neotplaćen, sa Varijabilne stope bazirane na Referentnoj stopi i Varijabilnoj marži u Varijabilnu stopu baziranu na Fiksnoj Referentnoj stopi i Varijabilnoj marži, ili obrnuto; ili (C) ukupan iznos glavnice Zajma, povučen i neotplaćen, sa Varijabilne stope bazirane na Varijabilnoj marži u Varijabilnu stopu baziranu na Fiksnoj marži; i (iii) određivanje limita Varijabilne ili Referentne stope koje se primenjuju na ukupan iznos ili deo povučene i neotplaćene glavnice Zajma, uspostavljanjem Kamatnog limita ili Kamatnog raspona za Varijabilnu stopu ili Referentnu stopu.
(b) Svaka izmena koja se traži u skladu sa tačkom (a) ovog odeljka koju Banka prihvati smatra se „Konverzijom”, xxxx xx definisano u Opštim uslovima i izvršava se u skladu sa odredbama člana IV Opštih uslova i Smernica za konverziju.
ČLAN III - PROJEKAT
3.01. Zajmoprimac potvrđuje svoju posvećenost ciljevima Projekta. U xxx cilju Zajmoprimac će osigurati da Izvršilac Projekta realizuje Projekat u skladu sa odredbama člana V Opštih uslova i Sporazumom o projektu.
3.02. Ne ograničavajući odredbe odeljka 3.01. ovog sporazuma i osim ukoliko se Zajmoprimac i Banka ne dogovore drugačije, Zajmoprimac će obezbediti da se Projekat sprovodi u skladu sa odredbama Programa 2 ovog sporazuma.
ČLAN IV - PRAVNI XXX XXXXX
4.01. Ukoliko dođe do izmene, obustave, ukidanja, poništavanja ili odricanja od opštih akata Izvršioca Projekta kojim se materijalno i nepovoljno utiče na sposobnost Izvršioca Projekta da ispunjava svoje obaveze iz Sporazuma o projektu, pribeći će se prinudnom obustavljanju.
4.02. Ukoliko nastupi događaj naveden u odeljku 4.01. ovog sporazuma, pribeći će se ubrzanoj otplati.
ČLAN V - RASKID
5.01. Krajnji rok za stupanje na snagu je sto osamdeset (180) xxxx od datuma ovog sporazuma.
ČLAN VI - PREDSTAVNIK; ADRESE
6.01. Za potrebe Odeljka 10.02 Opštih uslova, Predstavnik Zajmoprimca koji se, između ostalog, može složiti sa izmenama odredbi ovog sporazuma u ime Zajmoprimca, kroz razmenu pisama (osim ako je drugačije određeno xx xxxxxx Zajmoprimca ili Banke), je ministar finansija.

PROGRAM 1
Opis Projekta
Cilj Projekta je poboljšanje efikasnosti i bezbednosti saobraćaja na tri deonice Koridora 10, između Niša i Dimitrovgrada i Leskovca (Grabovnica) i Donjeg Neradovca, kao i poboljšanje upravljanja putevima i bezbednosti puteva na teritoriji Zajmoprimca.
Projekat se sastoji iz Osnovnog projekta koji je izmenjen na sledeći način:
Deo A. Izgradnja deonica autoputa E-75 i E-80
Sprovođenje programa radova i opreme za izgradnju dve deonice autoputa ukupne dužine oko: (i) 38 kilometra između Leskovca (Grabovnica) i Grdelice i između Caričine Doline i Donjeg Neradovca (Koridor 10d) na osi autoputa E-75; i (ii) 9 kilometara autoputa na deonici koridora severno od Dimitrovgrada na osi autoputa E-80, u vidu nove izgradnje, i u vidu unapređenja postojećeg puta, uključujući:
1. relevantne električne i mehaničke objekte, pripadajuća područja, objekte za naplatu putarine, raskrsnice i pojedine sporedne puteve kako bi se unapredilo povezivanje sa mrežom lokalnih puteva;
2. autoput punog profila sa četiri saobraćajne trake širine 3,75 metara i računskom brzinom od 120 km/h za sve deonice(obuhvatajući tunele sa računskom brzinom od 100 km/h); i
3. angažovanje konsultantske firme xxxx xx pružati inženjerske usluge za pomenuti program i dodatne deonice Koridora 10 u dogovoru sa Bankom.
Deo B. Bezbednost puteva
Nabavka robe, opreme, tehničke pomoći i obuke za:
1. izgradnju kapaciteta za potrebe bezbednosti puteva, uključujući pomoć za osnivanje nacionalnog saveta za bezbednost puteva;
2. izradu okvirnog plana za unapređenje bezbednosti puteva;
3. izradu i usvajanje nacionalne strategije za bezbednost puteva;
4. izradu i upravljanje dva međuresorna pilot projekta o bezbednosti puteva;
5. nabavku i uspostavljanje xxxx podataka o bezbednosti puteva i druge opreme u vezi sa bezbednošću puteva.
Deo C. Pomoć pri implementaciji i Institucionalna podrška
Pružanje pomoći Izvršiocu Projekta putem dostavljanja robe, opreme (uključujući vozila), pružanja tehničke pomoći i obuke i finansiranja Pratećih operativnih troškova za:
1. sprovođenje zasebnog i nezavisnog nadzora ekoloških i socijalnih aspekata aktivnosti iz Dela A Projekta i dodatnih deonica Koridora 10 u dogovoru sa Bankom;
2. upravljanje Projektom i njegovu implementaciju, uključujući eksperte za nabavku i druge eksperte;
3. sprovođenje nezavisne tehničke revizije, uključujući inženjerske aspekte, plan, procenu kvaliteta i nadgledanje radova koji će biti sprovedeni u okviru Dela A Projekta i dodatnih deonica Koridora 10 u dogovoru sa Bankom; i
4. izradu i realizaciju akcionog plana reforme za institucionalno jačanje JP „Putevi Srbije”.
PROGRAM 2
Izvršenje Projekta
Odeljak I. Aranžmani za implementaciju
A. Institucionalni aranžmani
1. Izvršilac Projekta će biti odgovoran za celokupno sprovođenje Projekta, pod usmeravanjem i nadzorom Upravnog odbora. Izvršilac Projekta će biti odgovoran za svakodnevno upravljanje Projektom, uključujući nabavku, finansijsko upravljanje, nadgledanje i vrednovanje Projekta, izveštavanje, kao i upravljanje ekološkim i socijalnim pitanjima u okviru Projekta.
2. Zajmoprimac će, u svakom trenutku za vreme trajanja Projekta, imati, adekvatno finansirati i postarati se da Izvršilac Projekta ima, stručni kadar, uključujući stručnjake za nabavku i finansijsko upravljanje i eksperta za zaštitu životne sredine, u adekvatnom broju i sa projektnim zadatkom xxxx Xxxxx smatra zadovoljavajućim.
3. U cilju lakšeg sprovođenja Projekta i ispunjenja namene Xxxxx, Zajmoprimac će izvršiti neophodne radnje kako bi omogućio da sredstva Zajma budu na raspolaganju Izvršiocu Projekta.
4. Zajmoprimac će obezbediti i postaraće se da: (i) Izvršilac Projekta obezbedi, da se Projekat sprovede u skladu sa Finansijskim priručnikom; i (ii) pre sprovođenja bilo koje aktivnosti finansirane sredstvima Zajma, inovira Finansijski priručnik u svrhu ovog Zajma i na način xxxx Xxxxx smatra zadovoljavajućim.
B. Sprečavanje korupcije
Zajmoprimac će obezbediti da se Projekat realizuje u skladu sa odredbama Smernica o sprečavanju korupcije.
C. Mere zaštite
1. Zajmoprimac će obezbediti i postaraće se da JP „Putevi Srbije” i Izvršilac Projekta obezbede:
(a) da se Projekat realizuje u skladu sa odgovarajućim uslovima Procena uticaja na životnu sredinu i Okvirnog plana raseljavanja i da se politike, procedure i odgovornosti koji su u njima utvrđeni poštuju i sprovode; i
(b) da Procene uticaja na životnu sredinu i Okvirni plan raseljavanja, ili bilo koja njihova odredba, neće biti izmenjeni, obustavljeni, ukinuti, poništeni ili biti predmet odricanja, niti će biti dozvoljeno da oni budu izmenjeni, obustavljeni, ukinuti, poništeni ili budu predmet odricanja, osim uz prethodno xxxxxx odobrenje Banke.
2. Pre početka radova na svakoj predloženoj deonici puta, Zajmoprimac će se postarati da JP „Putevi Srbije” i Izvršilac Projekta: (a) podnesu Banci na odobrenje (i) posebni Akcioni plan raseljavanja za odgovarajuću deonicu, uključujući relevantnu socijalnu procenu, u formi i sadržaju koji su zadovoljavajući za Banku, (ii) poseban Plan za upravljanje životnom sredinom i Uputstvo za odgovarajuću deonicu, u formi i sadržaju koji su zadovoljavajući za Banku, (b) obezbede da odredbe pomenutog Akcionog plana raseljavanja, Plana za upravljanje životnom sredinom i Uputstva budu na odgovarajući način obuhvaćene predloženim ugovorom(ima) u vezi sa napred pomenutim radovima i (c) obezbede da Xxxxxxx plan raseljavanja bude obelodanjen i da, ukoliko Banka drugačije ne odluči, sve prateće i relevantne nadoknade budu plaćene u celosti i u skladu sa posebnim Akcionim planom raseljavanja za odgovarajuću deonicu, Uputstvom i Planom za upravljanje životnom sredinom, Okvirnim planom raseljavanja, Okvirnim planom upravljanja životnom sredinom i Procenama uticaja na životnu sredinu.
D. Ostale obaveze
U toku realizacije bilo kog ugovora za izvođenje radova u okviru Projekta, Zajmoprimac će preduzeti neophodne mere kako bi Banci dostavio dokaze, koje Banka smatra zadovoljavajućim, a koji potvrđuju raspoloživost adekvatnih naknada za potrebe eksproprijacije.
Odeljak II. Praćenje, izveštavanje i vrednovanje Projekta
A. Projektni izveštaji
1. Zajmoprimac, preko Izvršioca Projekta, vrši praćenje i vrednovanje napretka Projekta i priprema projektne izveštaje u skladu sa odredbama odeljka 5.08 Opštih uslova i na osnovu pokazatelja za praćenje i vrednovanje utvrđenih u dogovoru sa Bankom. Svaki Projektni izveštaj obuhvata period od jednog (1) kalendarskog kvartala i dostavlja se Banci najkasnije (1) jedan mesec nakon završetka perioda koji taj izveštaj pokriva. Uz to, Zajmoprimac, Izvršilac Projekta i Banka zajedno vrše polugodišnje kontrole kako bi ocenili napredak postignut u sprovođenju Projekta.
2. Zajmoprimac će se, preko Izvršioca Projekta, pobrinuti da Projektni izveštaji iz prethodnog stava 1. sadrže podatke o praćenju i ispunjavanju zahteva utvrđenih u Procenama uticaja na životnu sredinu i Okvirnom planu raseljavanja.
3. U skladu sa odeljkom 5.08 (c) Opštih uslova, Zajmoprimac će preko Izvršioca Projekta dostaviti Banci izveštaj o sprovođenju projekta i potreban prateći plan u skladu sa pomenutim odeljkom, najkasnije šest (6) meseci nakon Poslednjeg datuma za povlačenje.
B. Upravljanje finansijama, finansijski izveštaji i revizije
1. Zajmoprimac se stara da Izvršilac Projekta održava sistem za finansijsko upravljanje, u skladu sa odredbama odeljka 5.09 Opštih uslova.
2. Ne ograničavajući odredbe dela A ovog odeljka, najkasnije četrdeset pet (45) xxxx po isteku svakog kalendarskog kvartala Zajmoprimac preko Izvršioca Projekta priprema i dostavlja Banci, xxx xxx izveštaja o Projektu, periodične finansijske izveštaje za Projekat, za koje nije izvršena revizija, a koji pokrivaju taj kvartal, u formi i sadržaju prihvatljivim za Banku.
3. Zajmoprimac daje da se izvrši revizija njegovih finansijskih izveštaja u skladu sa odredbama odeljka 5.09 (b) Opštih uslova. Svaka revizija finansijskih izveštaja pokriva period od jedne (1) fiskalne godine Zajmoprimca. Revidirani finansijski izveštaji za svaki takav period dostavljaju se Banci najkasnije šest (6) meseci po isteku roka za svaki takav period.
Xxxxxxx XXX. Nabavka
A. Opšta pitanja
1. Roba i radovi. Sva roba i radovi koji su potrebni za Projekat, a koji se finansiraju iz sredstava Zajma, nabavljaju se u skladu sa zahtevima utvrđenim ili pomenutim u Odeljku I Smernica za nabavke i sa odredbama ovog odeljka.
2. Konsultantske usluge. Sve konsultantske usluge za potrebe Projekta, koje se finansiraju iz sredstava Zajma, obezbediće se u skladu sa zahtevima utvrđenim ili pomenutim u Odeljcima I i IV Smernica za konsultante i sa odredbama ovog odeljka.
3. Definicije. Termini napisani velikim početnim slovom koji se koriste u daljem tekstu ovog odeljka u svrhu opisivanja posebnih procedura za nabavke ili procedura za kontrolu pojedinih ugovora xx xxxxxx Xxxxx, odnose se na odgovarajuće procedure opisane u Smernicama za nabavke ili u Smernicama za konsultante, zavisno od slučaja.
B. Pojedine procedure nabavke robe i radova
1. Međunarodno nadmetanje. Osim ukoliko u stavu 2. u tekstu koji sledi nije drugačije određeno, nabavka robe i radova vrši se prema ugovorima dodeljenim na osnovu procedura Međunarodnog nadmetanja.
2. Ostali metodi nabavke robe i radova. Naredna tabela prikazuje procedure nabavke koji se ne vrše po Međunarodnom nadmetanju, a koji se mogu koristiti za robu i radove. U Planu nabavki navode se okolnosti u kojima se procedure mogu koristiti.

C. Pojedine procedure nabavke konsultantskih usluga
1. Izbor na osnovu odnosa kvaliteta i cene. Osim ukoliko u stavu 2. u tekstu koji sledi nije drugačije određeno, nabavka konsultantskih usluga vrši se prema ugovorima dodeljenim u skladu sa Izborom na osnovu kvaliteta i cene.

Odeljak IV. Povlačenje sredstava Zajma
A. Opšta pitanja
1. Zajmoprimac može povući sredstva Xxxxx u skladu sa odredbama člana II Opštih uslova, ovog odeljka i dodatnim instrukcijama koje Banka navede u obaveštenju Zajmoprimcu (uključujući ,,Smernice Svetske banke za isplatu u okviru projekata”, iz maja 2006. godine, koje Banka može povremeno revidirati i koje će se primenjivati na ovaj sporazum u skladu sa datim instrukcijama), da bi mogao da: finansira Odobrene troškove, xxxx xx prikazano u tabeli u stavu 2. u nastavku.
2. U narednoj tabeli se navode kategorije Odobrenih troškova koji se mogu finansirati iz sredstava Zajma (Kategorija), raspoređeni iznos Zajma za svaku Kategoriju, kao i procenat troškova koji se moraju finansirati za Odobrene troškove u svakoj Kategoriji.

B. Uslovi povlačenja; Period povlačenja
1. Nezavisno od odredbi dela A ovog odeljka, neće se vršiti povlačenja sa računa Xxxxx za plaćanja koja su izvršena pre datuma ovog sporazuma.
2. Poslednji datum za povlačenje je 30. jun 2018. godine.
PRILOG
Domaće nadmetanje: dodatne odredbe
Za potrebe korišćenja procedura Domaćeg nadmetanja, primenjivaće se sledeće:
1. Registracija
(a) Nadmetanje nije ograničeno na već registrovane firme.
(b) U delu gde je potrebna registracija, ponuđačima (i) će biti na raspolaganju razumno dovoljno vremena da sprovedu proces registracije; i (ii) neće biti odbijena registracija iz razloga koji nisu povezani sa njihovim sposobnostima i resursima da uspešno realizuju ugovor, što će se utvrditi u post-kvalifikacionom postupku.
(c) Strani ponuđači koji nisu sa teritorije Zajmoprimca neće biti isključeni iz nadmetanja. Ukoliko se zahteva proces registracije, stranom ponuđaču koji xx xxx najpovoljniju ponudu xxxx omogućeno da se registruje.
2. Oglašavanje
Pozivi za učešće u nadmetanju, na srpskom jeziku, objavljuju se najmanje u jednom dnevnom listu koji se distribuira na celoj teritoriji Zajmoprimca, sa minimalnim rokom od trideset (30) xxxx za pripremu i podnošenje ponuda.
3. Učestvovanje javnih preduzeća
Javnim preduzećima xxxx omogućeno da učestvuju u nadmetanju samo ukoliko mogu da dokažu da su zakonski i finansijski nezavisna, da posluju u skladu sa privatno-pravnim propisima i da nisu zavisan entitet naručioca u procesu javnog nadmetanja. Osim toga, podležu istim zahtevima nadmetanja u pogledu garancije za ozbiljnost ponude i garancije za dobro izvršenje posla kao i ostali ponuđači.
4. Tenderska dokumentacija
Nabavljači koriste odgovarajuću standardnu dokumentaciju za nadmetanje za nabavku radova i usluga, a xxxx xx prihvatljiva za Banku.
5. Otvaranje ponuda i ocena ponuda
(a) Ponude se dostavljaju u jednoj koverti koja sadrži informaciju o kvalifikacijama ponuđača, tehničku ponudu i cenu, a otvaraju se istovremeno i javno.
(b) Ponude se otvaraju javno, neposredno nakon isteka roka za prijem ponuda. Ime ponuđača, ukupan iznos svake ponude i svi ponuđeni popusti čitaju se naglas i unose u zapisnik o javnom otvaranju ponuda.
(c) Ocena ponuda se vrši uz strogo pridržavanje novčano kvantifikovanih kriterijuma navedenih u tenderskoj dokumentaciji. Ne koristi se sistem zbrajanja poena.
(d) Produženje važenja ponude dozvoljava se samo jednom i to najviše do trideset (30) xxxx. Dalja produženja se ne mogu tražiti bez prethodnog odobrenja Banke.
(e) Ugovori se dodeljuju bez pregovaranja kvalifikovanom ponuđaču koji je podneo najpovoljniju ponudu.
6. Korekcija cene
Ugovori za građevinske radove na duži period (preko 18 meseci) moraju sadržati odgovarajuću klauzulu o korekciji cene.
7. Odbijanje ponuda
(a) Nijedna ponuda neće biti odbijena niti će se krenuti u prikupljanje novih bez prethodne saglasnosti Banke.
(b) Ako xx xxxx primljenih ponuda manji od tri, ponovljeno nadmetanje ne vrši se bez prethodne saglasnosti Banke.
8. Garancija
Garancija za ozbiljnost ponude neće preći tri procenta (3%) od procenjene vrednosti ugovora, a garancija za dobro izvršenje posla neće prelaziti deset procenata (10%) od ovog xxxxxx. Nisu dozvoljena avansna plaćanja izvođačima radova u iznosu većem od deset procenata (10%) od ugovorne cene bez odgovarajuće avansne garancije. Ove garancije xxxx uključene u tendersku dokumentaciju, u sadržini i formi prihvatljivim za Banku.
(a) Garancija za ozbiljnost ponude i garancija za dobro izvršenje posla xxxxx xx xxxx u skladu sa opšte prihvaćenom praksom na domaćem tržištu.
(b) Mogu se prihvatiti i alternativne metode, poput izjave o garantovanju za ozbiljnost ponude, pri čemu Zajmoprimac može zahtevati od ponuđača da potpišu izjavu kojom ponuđač prihvata xx xxxx imati pravo da učestvuje u nadmetanju za bilo koji ugovor sa jedinicom za implementaciju ukoliko povuče ili izmeni svoju ponudu u toku perioda važenja ponude ili mu se dodeli ugovor, a on ga ne potpiše ili ne uspe da dostavi garanciju za dobro izvršenje posla do roka koji je utvrđen tenderskom dokumentacijom.
9. Pravo na inspekciju i reviziju
Svaki ugovor koji se finansira iz sredstava Zajma xxxx da predvidi da će dobavljači, izvođači i podizvođači omogućiti Banci da, na njen zahtev, izvrši inspekciju njihovih računa i evidencija u vezi sa nabavkom i izvršenjem ugovora i da će dati da se izvrši revizija pomenutih računa i evidencija xx xxxxxx revizora koje Banka odredi. Svesno i materijalno kršenje ove odredbe xx xxxxxx dobavljača, izvođača i podizvođača može se smatrati opstrukcijom.
10. Prevara i korupcija
Xxxxx xx proglasiti firmu ili pojedinca nepodesnim za dodeljivanje ugovora, na neodređeno ili određeno vreme, xxxx Xxxxx finansira, ukoliko Banka u bilo kom trenutku utvrdi da je firma ili pojedinac, direktno ili preko svog agenta, učestvovao u nepoštenim, korumpiranim, tajnim, opstruktivnim radnjama ili radnjama koje navode na prinudu tokom nadmetanja za dobijanje, ili izvršenja, ugovora koji finansira Grupacija Svetske banke.
PROGRAM 3
Plan otplate
1. U narednoj tabeli navedeni su Datumi otplate glavnice Zajma i procenat od ukupnog iznosa glavnice Zajma koji dospeva na plaćanje na svaki Datum otplate glavnice (Udeo rate). Ako su sredstva Xxxxx u potpunosti povučena do prvog Datuma otplate glavnice, Banka određuje iznos glavnice Zajma koji je Zajmoprimac xxxxx da xxxxx xx svaki Datum otplate glavnice tako što pomnoži (a) sredstva Zajma koja su povučena do prvog Datuma otplate glavnice sa (b) Udelom rate za svaki Datum otplate glavnice, pri čemu se tako dobijeni iznos može korigovati, kako bi se od njega oduzeli bilo koji iznosi navedeni u stavu 4. ovog programa na koje se primenjuje Konverzija valute.

2. Ukoliko sredstva Xxxxx nisu u potpunosti povučena do prvog Datuma otplate glavnice, iznos glavnice Zajma koji Zajmoprimac otplaćuje svakog Datuma otplate glavnice određuje se na sledeći način:
(a) U slučaju da xx xxxx xxxx xxx sredstava iz Zajma povučen do prvog Datuma otplate glavnice, Zajmoprimac otplaćuje povučena sredstva Xxxxx, na datum koji je u skladu sa stavom 1. ovog programa.
(b) Xxxxx iznos koji je povučen posle prvog Datuma otplate glavnice otplaćuje se svakog Datuma otplate glavnice koji pada posle datuma povlačenja, a u iznosima koje odredi Banka množenjem iznosa svakog takvog povlačenja sa razlomkom xxxx je brojilac originalni Udeo rate naveden u tabeli u stavu 1. ovog programa za navedeni Datum otplate glavnice („Originalni udeo rate”) i xxxx je imenilac suma svih preostalih Originalnih udela rate za Datum otplate glavnice koji padaju na ili posle takvog datuma, takvi iznosi koji se otplaćuju moraju se korigovati, prema potrebi, da bi se oduzeli bilo koji iznosi navedeni u stavu 4. ovog programa na koje se primenjuje Konverzija valute.
3. (a) Sredstva Zajma koja su povučena u roku od dva kalendarska meseca pre nekog Datuma otplate glavnice, isključivo u svrhu izračunavanja iznosa glavnice koji se otplaćuje na bilo koji Datum otplate glavnice, smatraće se povučenim i neotplaćenim na drugi Datum otplate glavnice posle datuma povlačenja i dospeća na plaćanje svakog Datuma otplate glavnice počevši od drugog Datuma otplate glavnice posle datuma povlačenja.
(b) Ne ograničavajući odredbe xxxxx (a) ovog stava, ukoliko Banka u bilo kom trenutku usvoji sistem dostavljanja naloga za plaćanje po roku dospeća prema kojem izdaju na ili posle odgovarajućeg Datuma otplate glavnice, odredbe xxxxx (a) ovog stava više xx xxxx primenjivati na bilo koja povlačenja izvršena nakon usvajanja pomenutog sistema.
4. Ne ograničavajući odredbe stava 1. i stava 2. ovog programa, nakon Konverzije valute ukupnog iznosa ili jednog dela povučenih sredstava Zajma u Odobrenu valutu, iznos koji je na xxx xxxxx konvertovan u odobrenu valutu, a koji se može otplatiti bilo kog Datuma otplate glavnice za vreme perioda konverzije, određuje Banka množenjem takvog iznosa u njegovoj valuti denominacijom neposredno pre konverzije ili sa: (i) kursom koji odražava iznose glavnice u Odobrenoj valuti koju Banka plaća po „hedžingu” za konverziju, ili (ii) ako Banka tako odluči u skladu sa Smernicama za konverziju, za kursnu komponentu kotacijske stope.
5. Ukoliko su povučena sredstva Xxxxx denominovana u više od jedne valute Zajma, odredbe ovog programa primenjivaće se zasebno na iznos denominovan u svakoj valuti Zajma, kako bi se izradio poseban plan otplate za svaki takav iznos.
PRILOG
Odeljak I. Definicije
1. „Smernice o sprečavanju korupcije” označava ,,Smernice o sprečavanju i borbu protiv prevare i korupcije u projektima koji se finansiraju iz sredstava zajmova IBRD i kredita i donacija XXX, koje su objavljene 15. oktobra 2006. godine i revidirane u januaru 2011. godine.
2. „Kategorija” označava kategoriju utvrđenu u tabeli u Odeljku IV. Programa 2. ovog sporazuma.
3. „Smernice za konsultante” označava ,,Smernice: izbor i angažovanje konsultanata xx xxxxxx zajmoprimaca Svetske banke” koje su objavljene u januaru 2011. godine (revidirane u julu 2014. godine).
4. „Koridor 10” označava jedan od najvažnijih pan-evropskih saobraćajnih koridora koji prolazi kroz Srbiju i povezuje Austriju, Mađarsku, Sloveniju, Hrvatsku, Srbiju, Bugarsku, Makedoniju i Grčku. Glavni krak Koridora 10 je Salzburg (A) - Ljubljana (SLO) - Zagreb (HR) - Beograd (SRB) - Niš (SRB) - Skoplje (MK) - Veles (MK) - Solun (GR).
5. „Procene uticaja na životnu sredinu” označava, zajedno, Procene nivoa uticaja Koridora na životnu sredinu od 28. maja 2009, izrađene za Deo A i Deo B Projekta, koje je Zajmoprimac usvojio i koje Banka smatra zadovoljavajućim, uključujući relevantne planove za upravljanje životnom sredinom, a koje se sastoje od niza mera za ublažavanje i praćenje, kao i institucionalnih mera koje su potrebne za Projekat i koje je neophodno preduzeti da bi se eliminisali i ublažili nepovoljni ekološki i socijalni uticaji i sveli na prihvatljiv nivo, kao i radnje koje su potrebne da bi se pomenute mere sprovele, uključujući relevantne planove za upravljanje životnom sredinom, mere i informacije koje su potrebne za izradu posebnog Uputstva i Plana za upravljanje životnom sredinom za određenu deonicu.
6. „Uputstvo i Plan za upravljanje životnom sredinom” označava posebno uputstvo i plan za upravljanje životnom sredinom za određenu deonicu, koji se navode u delu C. 2. Odeljka I. Programa 2. ovog sporazuma, koji će biti izrađeni i sprovedeni na način koji je u celosti u skladu sa Procenama uticaja na životnu sredinu.
7. „Finansijski priručnik” označava finansijski priručnik koji je usvojio Izvršilac Projekta na xxx 9. aprila 2009. godine i u kome su opisane sve procedure i kontrole za realizaciju Projekta, a koji se periodično može izmeniti uz prethodnu pisanu saglasnost Banke.
8. „Fiskalna xxxxxx” označava period od dvanaest (12) meseci koji se poklapa sa fiskalnom godinom Zajmoprimca ili Izvršioca Projekta, a koji počinje 1. januara i traje do 31. decembra svake kalendarske godine.
9. „Opšti uslovi” označava ,,Opšte uslove za zajmove Međunarodne banke za obnovu i razvoj”, datirane od 12. xxxxx 2012. xxxxxx, xx izmenama datim u Odeljku II. ovog priloga.
10. „Prateći operativni troškovi” označava troškove Izvršioca Projekta u vezi sa upravljanjem i realizacijom Projekta na nivou godišnjeg budžeta, uključujući izradu godišnjih finansijskih revizija, koje je potrebno vršiti u okviru Projekta, troškove korespondencije, prevođenja, sastanaka, putovanja na teritoriji Zajmoprimca, potrošnog materijala i svakodnevnog kancelarijskog održavanja i administracije, kao i iznajmljivanje kancelarije, rad i održavanje opreme nabavljene za Izvršioca Projekta u okviru Projekta, a ne uključujući plate postavljenih lica i državnih službenika.
11. „Osnovni Sporazum o zajmu” označava Sporazum o zajmu za Projekat autoput Koridor 10 između Zajmoprimca i Banke, potpisan 13. jula 2009. godine, sa izmenama izvršenim do datuma ovog sporazuma (Zajam br. 7746-YF).
12. „Osnovni Projekat” označava Projekat opisan u Programu 1 Osnovnog Sporazuma o zajmu.
13. „JP „Putevi Srbije” označava javno preduzeće „Putevi Srbije”, odnosno javno preduzeće za puteve Zajmoprimca, koje je osnovano i posluje u skladu sa Odlukom Zajmoprimca, br. 115/05, ili njegovog pravnog sledbenika.
14. „Smernice za nabavke” označava ,,Smernice: nabavka iz sredstava zajmova IBRD i kredita XXX” koje xx Xxxxx objavila u januaru 2011. godine (a revidirala u julu 2014. godine).
15. „Sporazum o projektu” označava Sporazum o projektu, sa istim datumom kao i ovaj sporazum, koji je zaključen između Banke i Izvršioca Projekta.
16. „Plan nabavki” označava Plan nabavki za Projekat Zajmoprimca od 20. jula 2016. godine, naveden u stavu 1.18. Smernica za nabavke i stavu 1.25. Smernica za konsultante, sa svim periodičnim ažuriranjem u skladu sa odredbama navedenih stavova.
17. „Izvršilac Projekta” označava preduzeće Koridori Srbije d.o.o. (bivši Koridor 10 d.o.o.), koje je osnovano odlukom Zajmoprimca br. 023-9271/2010-3 od 21. januara 2011. godine, ili bilo kog njegovog pravnog sledbenika.
18. „Opšta akta Izvršioca Projekta” označava odluku Vlade br. 023-9271/2010-3 od 21. januara 2011. godine, prema kojoj se Izvršilac Projekta upravlja.
19. „Akcioni plan raseljavanja” označava poseban akcioni plan koji se odnosi na određenu deonicu, naveden u delu C.2. odeljak I. Programa 2. ovog sporazuma, koji će biti izrađen i sproveden na način koji je u celosti u skladu sa Okvirnim planom raseljavanja.
20. „Okvirni plan raseljavanja” označava okvirni plan raseljavanja xxxx Xxxxx smatra zadovoljavajućim, izrađen xxxx 18. maja 2009. godine i koji, između ostalog, određuje (i) opis oblasti koje su obuhvaćene Projektom, (ii) pravni osnov i pripremne radnje za nabavku zemljišta, raseljavanje i korišćenje zemljišta u vezi sa radovima i građevinskim aktivnostima koji će se sprovoditi u okviru ovog projekta, (iii) principe raseljavanja i prava lica na koje će Projekat uticati, na osnovu različitih kategorija uticaja, (iv) procedure za vrednovanje, naknadu i ostalu pomoć koju dobijaju lica na xxxx xx Projekat uticati, uključujući i žalbeni postupak, (v) obaveze, procedure i potrebe za izradu i sprovođenje posebnih Akcionih planova za raseljavanje za određene deonice i (vi) procenu površine zemljišta za nabavku i troškove nadoknade.
21. „Upravni odbor” označava Upravni odbor koji je osnovan odlukom Zajmoprimca od 30. oktobra 2008. godine i koji je sastavljen od različitih relevantnih institucija Zajmoprimca.
22. „Porezi” uključuju dažbine, nadoknade, takse i xxxxxx xxxx koje prirode bez obzira da xx xx na snazi na xxx ovog sporazuma ili su nametnuti nakon tog xxxx.
Odeljak II. Izmene Opštih uslova
Opšti uslovi će biti promenjeni kao što sledi:
1. U Sadržaju se menjaju pozivanja na odeljke, nazive i brojeve odeljaka kako bi se ukazalo na izmene date u daljem tekstu.
2. Odeljak 3.01. (Pristupna naknada) se menja i glasi:
„Odeljak 3.01. Pristupna naknada; Naknada za angažovanje
(a) Zajmoprimac će platiti Banci pristupnu naknadu na iznos Zajma, po stopi navedenoj u Sporazumu o zajmu („Pristupna naknada”).
(b) Zajmoprimac će platiti Banci Naknadu za angažovanje na nepovučena sredstva zajma po stopi naznačenoj u Sporazumu o zajmu („Naknada za angažovanje”). Naknada za angažovanje se obračunava počevši od šezdesetog (60) xxxx od xxxx zaključenja Sporazuma o zajmu do datuma povlačenja sredstava xx xxxxxx Zajmoprimca sa računa zajma ili poništenja. Naknada za angažovanje dospeva šestomesečno na svaki datum plaćanja.”
3. U prilogu, Xxxxxxxxxx, sva relevantna pozivanja na brojeve odeljaka i stavove se menjaju kako bi se ukazalo xx xxxx navedene izmene u stavu 2.
4. Prilog se menja i unosi se novi stav 19 sa sledećom definicijom „Naknada za angažovanje”, a ostali stavovi će shodno biti renumerisani:
„19. „Naknada za angažovanje” označava naknadu za angažovanje xxxx xx definisana u Sporazumu o zajmu u odeljku 3.01(b).”
Član 3.
Ovaj zakon stupa na snagu osmog xxxx od xxxx objavljivanja u „Službenom glasniku Republike Srbije – Međunarodni ugovori”.
