WHEREAS:
(a) The Borrower has stated that it desires to undertake a project (hereinafter called the “Project”) through its Ministry of Health (the Borrower, acting through its Ministry of Health, hereinafter also called the “Promoter”) consisting in the modernisation, redevelopment and extension of Serbia’s four tertiary care hospitals in Belgrade, Kragujevac, Nis and Novi Sad, as more particularly described in the technical description (hereinafter called the “Technical Description”) set out in Schedule A hereto.
(b) The total cost of the Project, as estimated by the Bank is EUR 430,000,000 (four hundred and thirty million euros) to be financed as follows:

(c) The financing of the Project under this Contract is secured by the guarantee agreement entered into on 29 August 2007 by and between the European Community and the Bank pursuant to Article 8 of the Council Decision 2006/1016/EC of 19 December 2006. The Republic of Serbia (formerly Federal Republic of Yugoslavia) is one of the countries listed in the Decision No. 633/2009/EC and, on 11 May 2009, concluded with the Bank a Framework Agreement governing the Bank’s activities in the territory of the Republic of Serbia (hereinafter the “Framework Agreement”).
(d) To enable it to complete the financing required for the Project, the Borrower requested the Bank to establish in its favour a credit up to the amount of EUR 200,000,000 (two hundred million euros).
(e) In response to the Borrower’s request, being satisfied that the financing of the Sub-projects come within the scope of its functions and conform to the aims of the Framework Agreement, and relying, inter alia, on the statements and facts cited in these Recitals,
(i) the Bank, signed on the 8th December 2006 in Belgrade a first contract with the Borrower for an amount of EUR 80,000,000 (eighty million euros);
(ii) the Bank, signed on the 12th December 2008 in Belgrade a second contract with the Borrower for an amount of EUR 70,000,000 (seventy million euros);
(iii) now, the Bank has decided to accede to the Borrower's request hereunder by making available to it a third credit in an amount of EUR 50,000,000 (fifty million euros) under this finance contract (“Contract”) being the Borrower’s immediate financial requirements.
(f) The Statute of the Bank provides that the Bank shall ensure that its funds are used as rationally as possible in the interests of the European Union; and, accordingly, the terms and conditions of the Bank's loan operations must be consistent with relevant policies of the European Union.
(g) The Bank considers that access to information plays an essential role in the reduction of environmental and social risks, including human rights violations, linked to the projects it finances and has therefore established its transparency policy, the purpose of which is to enhance the accountability of the Bank’s group companies towards its stakeholders and the citizens of the European Union in general.
(h) The processing of personal data shall be carried out by the Bank in accordance with applicable European Union legislation on the protection of individuals with regard to the processing of personal data by the EC institutions and bodies and on the free movement of such data.
NOW THEREFORE it is hereby agreed as follows:
INTERPRETATION AND DEFINITIONS
Interpretation
In this Contract references to:
(a) Articles, Recitals and Schedules are, save if explicitly stipulated otherwise, references respectively to articles of, and recitals and schedules to this Contract;
(b) a provision of law are references to that provision as amended or re-enacted; and
(c) any other agreement or instrument are references to that other agreement or instrument as amended, novated, supplemented, extended or restated.
Definitions
In this Contract:
"Acceptance Deadline" for a notice means:
(a) 16h00 Luxembourg time on the day of delivery, if the notice is delivered by 14h00 Luxembourg time on a Business Day; or
(b) 11h00 Luxembourg time on the next following day which is a Business Day, if the notice is delivered after 14h00 Luxembourg time on any such day or is delivered on a day which is not a Business Day.
"Authorisation" means an authorisation, permit, consent, approval, resolution, licence, exemption, filing, notarisation or registration.
"Bank’s Guide to Procurement" means the guide to procurement of the Bank published on EIB’s website1.
"Business Day" means a day (other than a Saturday or Sunday) on which the Bank and commercial banks are open for general business in Luxembourg and in Belgrade.
"Change-of-Law Event" has the meaning given to it in Article 4.3.A(3). "Contract" has the meaning given to it in Recital (e).
"Credit" has the meaning given to it in Article 1.1.

"Criminal Offence" means any of the following criminal offences as applicable: fraud, corruption, coercion, collusion, obstruction, money laundering, financing of terrorism.
"Deferment Indemnity" means an indemnity calculated on the amount of disbursement deferred or suspended at the percentage rate (if higher than zero) by which:
(a) the interest rate that would have been applicable to such amount had it been disbursed to the Borrower on the Scheduled Disbursement Date, exceeds
(b) the Relevant Interbank Rate (one month rate) less 0.125% (12.5 basis points), unless this value is less than zero, in which case it will be set at zero.
Such indemnity shall accrue from the Scheduled Disbursement Date to the Disbursement Date or, as the case may be, until the date of cancellation of the Notified Tranche in accordance with this Contract.
"Disbursement Date" means the date on which actual disbursement of a Tranche is made by the Bank.
"Disbursement Notice" means a notice from the Bank to the Borrower pursuant to and in accordance with Article 1.2.C.
"Disbursement Request" means a notice substantially in the form set out in Schedule C.1.
"Disruption Event" means either or both of:
(a) a material disruption to those payment or communications systems or to those financial markets which are, in each case, required to operate in order for payments to be made in connection with this Contract; or
(b) the occurrence of any other event which results in a disruption (of a technical or systems-related nature) to the treasury or payments operations of either the Bank or the Borrower, preventing that party:
(i) from performing its payment obligations under this Contract; or
(ii) from communicating with other parties,
and which disruption (in either such case as per (a) or (b) above) is not caused by, and is beyond the control of, the party whose operations are disrupted.
"Environment" means the following, in so far as they affect human health and social well-being:
(a) fauna and flora;
(b) soil, water, air, climate and the landscape; and
(c) cultural heritage and the built environment;
and includes, without limitation, occupational and community health and safety.
"Environmental and Social Impact Assessment Study" means a comprehensive study as an outcome of the environmental and social impact assessment identifying and assessing the potential environmental and social impacts associated with the proposed project and recommending measures to avoid, minimise and/or remedy any impacts. This study is subject to public consultation with direct and indirect project stakeholders.
"Environmental and Social Documents" means (a) the opinion of the competent authority on the application of the national ESIA regulation; and if required by the competent authority, development of the ESIA in accordance with the national
procedures: (b) the Environmental and Social Impact Assessment Study, and a Non- Technical Summary.
"EIB Environmental and Social Standards" means the Environmental and Social Standards Dated 2013 contained in Volume I of the Environmental and Social Handbook, a copy of which is available at xxxx://xxx.xxx.xxx/xxxxxxxxxx/xxxxxxxxxxxx/xxx/xxxxxxxxxxxxx-xxx-xxxxxx-xxxxxxxxx- handbook.htm that outlines the Standards that EIB requires of the projects that it finances and the responsibilities of the various parties.
"Environmental or Social Approval" means any permit, licence, authorisation, consent or other approval required by an Environmental Law or a Social Law in connection with the construction or operation of the Project.
"Environmental or Social Claim" means any claim, proceeding, formal notice or investigation by any person in respect of any Environmentalor Social Matters affecting the Project including any breach or alleged breach of any Environmental and Social Standard.
"Environmental Law" means:
(a) EU law, including principles and standards save for any derogation accepted by the Bank for the purpose of this Contract based on any agreement between the Republic of Serbia and the EU;
(b) the Republic of Serbia’s national laws and regulations; and
(c) international treaties and conventions signed and ratified by or otherwise applicable and binding on the Republic of Serbia,
of which a principal objective is the preservation, protection or improvement of the Environment.
"EURIBOR" has the meaning given to it in Schedule B.
"EUR" or "euro" means the lawful currency of the Member States of the European Union which adopt or have adopted it as their currency in accordance with the relevant provisions of the Treaty on European Union and the Treaty on the Functioning of the European Union or their succeeding treaties.
“External Debt Instrument” has the meaning given to it in Article 7.1.
"Event of Default" means any of the circumstances, events or occurrences specified in Article 10.1.
"Final Availability Date" means the date falling on 15 June 2022 or a later date if approved in writing by the Bank upon written request of the Borrower.
"Fixed Rate" means an annual interest rate determined by the Bank in accordance with the applicable principles from time to time laid down by the governing bodies of the Bank for loans made at a fixed rate of interest, denominated in the currency of the Tranche and bearing equivalent terms for the repayment of capital and the payment of interest.
"Fixed Rate Tranche" means a Tranche on which Fixed Rate is applied.
"Floating Rate" means a fixed-spread floating interest rate, that is to say an annual interest rate determined by the Bank for each successive Floating Rate Reference Period equal to the Relevant Interbank Rate plus the Spread.
"Floating Rate Reference Period" means each period from one Payment Date to the next relevant Payment Date; the first Floating Rate Reference Period shall commence on the date of disbursement of the Tranche.
"Floating Rate Tranche" means a Tranche on which Floating Rate is applied.
"Functional Plan" means the plan describing the nature and capacity of services that will be provided by a Clinical Centre after completion of the Project.
"Indemnifiable Prepayment Event" means a Prepayment Event other than those specified in paragraph 4.3.A(2).
"Interest Revision/Conversion" means the determination of new financial conditions relative to the interest rate, specifically the same interest rate basis ("revision") or a different interest rate basis ("conversion") which can be offered for the remaining term of a Tranche or until a next Interest Revision/Conversion Date, if any, for an amount which, at the proposed Interest Revision/Conversion Date, is not less than EUR 10,000,000 (ten million euros) or the equivalent thereof.
"Interest Revision/Conversion Date" means the date, which shall be a Payment Date, specified by the Bank pursuant to Article 1.2.C in the Disbursement Notice or pursuant to Article 3 and Schedule D.
"Interest Revision/Conversion Proposal" means a proposal made by the Bank under Schedule D.
"Interest Revision/Conversion Request" means a written notice from the Borrower, delivered at least 75 (seventy-five) days before an Interest Revision/Conversion Date, requesting the Bank to submit to it an Interest Revision/Conversion Proposal. The Interest Revision/Conversion Request shall also specify:
(a) Payment Dates chosen in accordance with the provisions of Article 3.1;
(b) the preferred repayment schedule chosen in accordance with Article 4.1; and
(c) any further Interest Revision/Conversion Date chosen in accordance with Article 3.1.
"Loan" means the aggregate amount of Tranches disbursed from time to time by the Bank under this Contract.
"Market Disruption Event" means any of the following circumstances:
(a) there are, in the reasonable opinion of the Bank, events or circumstances adversely affecting the Bank’s access to its sources of funding;
(b) in the opinion of the Bank, funds are not available from its ordinary sources of funding in order to adequately fund a Tranche in the relevant currency and/or for the relevant maturity and/or in relation to the reimbursement profile of such Tranche; or
(c) in relation to a Tranche in respect of which interest is or would be payable at Floating Rate:
(i) the cost to the Bank of obtaining funds from its sources of funding, as determined by the Bank, for a period equal to the Floating Rate Reference Period of such Tranche (i.e. in the money market) would be in excess of the applicable Relevant Interbank Rate; or
(ii) the Bank determines that adequate and fair means do not exist for ascertaining the applicable Relevant Interbank Rate for the relevant currency of such Tranche or it is not possible to determine the Relevant Interbank Rate in accordance with the definition contained in Schedule B.
"Material Adverse Change" means, in relation to the Borrower any event or change of condition affecting the Borrower, which, in the opinion of the Bank:
(a) materially impairs the ability of the Borrower to perform its obligations under this Contract; or
(b) materially impairs the financial condition or prospects of the Borrower.
"Maturity Date" means the last repayment date of a Tranche specified pursuant to Article 4.1.A(b)(iv).
"Notified Tranche" means a Tranche in respect of which the Bank has issued a Disbursement Notice.
"Payment Date" means the annual, semi-annual or quarterly dates specified in the Disbursement Notice until the Interest Revision/Conversion Date, if any, or the Maturity Date, save that, in case any such date is not a Relevant Business Day, it means:
(a) for a Fixed Rate Tranche, the following Relevant Business Day, without adjustment to the interest due under Article 3.1; and
(b) for a Floating Rate Tranche, the next day, if any, of that calendar month that is a Relevant Business Day or, failing that, the nearest preceding day that is a Relevant Business Day, in all cases with corresponding adjustment to the interest due under Article 3.1.
"PIU" has the meaning given to it in Article 1.4.B.
"Prepayment Amount" means the amount of a Tranche to be prepaid by the Borrower in accordance with Article 4.2.A.
"Prepayment Date" means the date, which shall be a Payment Date, on which the Borrower proposes to effect prepayment of a Prepayment Amount.
"Prepayment Event" means any of the events described in Article 4.3.A.
"Prepayment Indemnity" means in respect of any principal amount to be prepaid or cancelled, the amount communicated by the Bank to the Borrower as the present value (as of the Prepayment Date) of the excess, if any, of:
(a) the interest that would accrue thereafter on the Prepayment Amount over the period from the Prepayment Date to the Interest Revision/Conversion Date, if any, or the Maturity Date, if it were not prepaid; over
(b) the interest that would so accrue over that period, if it were calculated at the Redeployment Rate, less 0.15% (fifteen basis points).
The said present value shall be calculated at a discount rate equal to the Redeployment Rate, applied as of each relevant Payment Date.
"Prepayment Notice" means a written notice from the Bank to the Borrower in accordance with Article 4.2.C.
"Prepayment Request" means a written request from the Borrower to the Bank to prepay all or part of the Loan, in accordance with Article 4.2.A.
"Project" has the meaning given to it in Recital (a). "Promoter" has the meaning given to it in Recital (a).
"Qualifying Expenditure" means expenditure (including costs of design and supervision, if relevant, and net of taxes and duties payable by the Borrower) incurred by the Borrower for the Project, in respect of works, goods and services relating to items specified in the Technical Description as eligible for financing under the Credit, which have been the object of contract or contracts executed on terms satisfactory to the Bank, having regard to the most recent edition of the Bank’s Guide to Procurement.
"Redeployment Rate" means the Fixed Rate in effect on the day of the indemnity calculation for fixed-rate loans denominated in the same currency and which shall have the same terms for the payment of interest and the same repayment profile to the Interest Revision/Conversion Date, if any, or the Maturity Date as the Tranche in respect of which a prepayment is proposed or requested to be made. For those cases where the period is shorter than 48 (forty-eight) months (or 36 (thirty-six) in the absence of a repayment of principal during that period) the most closely corresponding money market rate equivalent will be used, that is the Relevant Interbank Rate minus 0.125% (12.5 basis points) for periods of up to 12 (twelve) months. For periods falling between 12 (twelve) and 36/48 (thirty-six /forty-eight) months as the case may be, the bid point on the swap rates as published by Reuters for the related currency and observed by the Bank at the time of calculation will apply.
"Relevant Business Day" means a day on which the Trans-European Automated Real-time Gross Settlement Express Transfer payment system which utilises a single shared platform and which was launched on 19 November 2007 (TARGET2) is open for the settlement of payments in EUR.
"Relevant Interbank Rate" means EURIBOR.
"Scheduled Disbursement Date" means the date on which a Tranche is scheduled to be disbursed in accordance with Article 1.2.C.
“Social Law” means each of:
(a) any law applicable in Serbia relating to Social Matters;
(b) any ILO Core Labour Conventions;
(c) any United Nations treaty, convention or covenant on human rights signed and ratified by or otherwise applicable and binding on the Serbia.
“Social Matters” means all, or any of, the following: (i) labour and employment conditions, (ii) occupational health and safety, (iii) protection and empowerment of rights and interests of ethnic minorities and vulnerable groups, (iv) cultural heritage (tangible and intangible), (v) public health, safety and security, (vi) involuntary physical resettlement and/or economic displacement and loss of livelihood of persons, and (vii) public participation and stakeholder engagement.
"Spread" means the fixed spread to the Relevant Interbank Rate (being either plus or minus) determined by the Bank and notified to the Borrower in the relevant Disbursement Notice or Interest Revision/Conversion Proposal.
"Tax" means any tax, levy, impost, duty or other charge or withholding of a similar nature (including any penalty or interest payable in connection with any failure to pay or any delay in paying any of the same).
"Technical Description" has the meaning given to it in Recital (a).
"Tranche" means each disbursement made or to be made under this Contract. In case no Disbursement Notice has been delivered, Tranche shall mean a Tranche as requested under Article 1.2.B.
ARTICLE 1
Credit and Disbursements
1.1 Amount of Credit
By this Contract the Bank establishes in favour of the Borrower, and the Borrower accepts, a credit in an amount of EUR 50,000,000 (fifty million euros) for the financing of the Project (the "Credit").
1.2 Disbursement procedure
1.2.A Tranches
The Bank shall disburse the Credit in up to 5 (five) Tranches. The amount of each Tranche, if not being the undrawn balance of the Credit, shall be in a minimum amount of EUR 10,000,000 (ten million euros). The amount of the first Tranche shall be a minimum of EUR 5,000,000 (five million euros).
1.2.B Disbursement Request
(a) The Borrower may present to the Bank a Disbursement Request for the disbursement of a Tranche, such Disbursement Request to be received at the latest 15 (fifteen) days before the Final Availability Date. The Disbursement Request shall be in the form set out in Schedule C.1 and shall specify:
(i) the amount of the Tranche;
(ii) the preferred disbursement date for the Tranche; such preferred disbursement date must be a Relevant Business Day falling at least 15 (fifteen) days after the date of the Disbursement Request and, in any event, on or before the Final Availability Date, it being understood that notwithstanding the Final Availability Date the Bank may disburse the Tranche up to 4 (four) calendar months from the date of the Disbursement Request;
(iii) whether the Tranche is a Fixed Rate Tranche or a Floating Rate Tranche, each pursuant to the relevant provisions of Article 3.1;
(iv) the preferred interest payment periodicity for the Tranche, chosen in accordance with Article 3.1;
(v) the preferred terms for repayment of principal for the Tranche, chosen in accordance with Article 4.1;
(vi) the preferred first and last dates for repayment of principal for the Tranche;
(vii) the Borrower’s choice of Interest Revision/Conversion Date, if any, for the Tranche; and
(viii) the IBAN code (or appropriate format in line with local banking practice) and SWIFT BIC of the bank account to which disbursement of the Tranche should be made in accordance with Article 1.2.D.
(b) If the Bank, following a request by the Borrower, has provided the Borrower, before the submission of the Disbursement Request, with a non binding fixed interest rate or spread quotation to be applicable to
the Tranche, the Borrower may also at its discretion specify in the Disbursement Request such quotation, that is to say:
(i) in the case of a Fixed Rate Tranche, the aforementioned fixed interest rate previously quoted by the Bank; or
(ii) in the case of a Floating Rate Tranche, the aforementioned spread previously quoted by the Bank,
applicable to the Tranche until the Maturity Date or until the Interest Revision/Conversion Date, if any.
(c) Each Disbursement Request shall be accompanied by evidence of the authority of the person or persons authorised to sign it and the specimen signature of such person or persons or a declaration by the Borrower that no change has occurred in relation to the authority of the person or persons authorised to sign Disbursement Requests under this Contract.
(d) Subject to Article 1.2.C(b), each Disbursement Request is irrevocable.
1.2.C Disbursement Notice
(a) Not less than 10 (ten) days before the proposed Scheduled Disbursement Date of a Tranche the Bank shall, if the Disbursement Request conforms to this Article 1.2, deliver to the Borrower a Disbursement Notice which shall specify:
(i) the amount of the Tranche;
(ii) the Scheduled Disbursement Date;
(iii) the interest rate basis for the Tranche, being: (1) a Fixed Rate Tranche; or (2) a Floating Rate Tranche all pursuant to the relevant provisions of Article 3.1;
(iv) the first interest Payment Date and the periodicity for the payment of interest for the Tranche;
(v) the terms for repayment of principal for the Tranche;
(vi) the first and last dates for repayment of principal for the Tranche;
(vii) the applicable Payment Dates for the Tranche;
(viii) the Interest Revision/Conversion Date, if requested by the Borrower, for the Tranche; and
(ix) for a Fixed Rate Tranche the Fixed Rate and for a Floating Rate Tranche the Spread applicable to the Tranche until the Interest Revision/Conversion Date, if any or until the Maturity Date.
(b) If one or more of the elements specified in the Disbursement Notice does not reflect the corresponding element, if any, in the Disbursement Request, the Borrower may following receipt of the Disbursement Notice revoke the Disbursement Request by written notice to the Bank to be received no later than 12h00 Luxembourg time on the next Business Day and thereupon the Disbursement Request and the Disbursement Notice shall be of no effect. If the Borrower has not revoked in writing the Disbursement Request within
such period, the Borrower will be deemed to have accepted all elements specified in the Disbursement Notice.
(c) If the Borrower has presented to the Bank a Disbursement Request in which the Borrower has not specified the fixed interest rate or spread as set out in Article 1.2.B(b), the Borrower will be deemed to have agreed in advance to the Fixed Rate or Spread as subsequently specified in the Disbursement Notice.
1.2.D Disbursement Account
The amount of each Tranche shall be disbursed by the Bank on behalf and for account of the Borrower by transfer to a special account being entitled "Clinical Centres / C" opened in the name of the Ministry of Finance of the Borrower with the National Bank of Serbia and bearing a number which is to be communicated to the Bank by a duly authorised officer of the Ministry of Finance of the Borrower in writing accompanying the first Disbursement Request.
1.3 Currency of disbursement
Disbursement of each Tranche shall be made in EUR.
1.4 Conditions of disbursement
1.4.A First Tranche
The disbursement of the first Tranche under Article 1.2 is conditional upon receipt by the Bank, in form and substance satisfactory to it, on or before the date falling 7 (seven) Business Days before the Scheduled Disbursement Date, of the following documents or evidence:
(a) evidence satisfactory to the Bank that the execution of this Contract by the Borrower has been duly authorised and that the person or persons signing the Contract on behalf of the Borrower is/are duly authorised to do so together with the specimen signature of each such person or persons;
(b) a legal opinion in the English language issued by the Ministry of Justice of the Borrower, confirming that:
(i) the conclusion of this Contract has been authorised by a decision of the Government of the Republic of Serbia,
(ii) the Contract is duly executed by the Borrower,
(iii) its provisions are in full force and effect,
(iv) it is valid, binding and enforceable in the Republic of Serbia in accordance with its terms, and
(v) no exchange control restrictions are in place or consents are required in order to permit the receipt of all amounts to be disbursed hereunder on the special account mentioned in Article 1.2.D and to permit the repayment of the Loan and the payment of interest and all other amounts due under this Contract;
(c) evidence that tenders related to the components of the projects to be financed by the Bank comply with the Bank’s Guide to Procurement; the relevant procurement documentation has to be satisfactory to the Bank; and
(d) evidence that all exchange control consents specified by the Bank or indicated in the legal opinion given under paragraph (b) above as being necessary have been obtained to permit the Borrower to receive disbursements as provided in this Contract, to repay the Loan and to pay interest and all other amounts due hereunder.
1.4.B All Tranches
The disbursement of each Tranche under Article 1.2, including the first, is subject to the following conditions:
(a) that the Bank has received, in form and substance satisfactory to it, on or before the date falling 7 (seven) Business Days before the Scheduled Disbursement Date for the proposed Tranche, of the following documents or evidence:
(i) a certificate from the Borrower in the form of Schedule C.2 signed by an authorised representative of the Borrower and dated no earlier than the date falling 15 days before the Scheduled Disbursement Date;
(ii) evidence that the Borrower has obtained all necessary consents, authorisations, licences or approvals of governmental or public bodies or authorities required in connection with this Contract and the Project for the relevant Tranche;
(iii) evidence demonstrating that, following drawdown of the relevant Tranche, the aggregate amount of the Loan or Loans will not exceed the aggregate Qualifying Expenditure incurred or contractually committed by the Borrower in respect of the Project up to the date of the relevant Disbursement Request;
(iv) evidence in the English language that the Promoter maintains a Project Implementation Unit (“PIU”) to the satisfaction of the Bank and that it is adequately staffed with qualified and dedicated personnel for carrying out the following duties:
(1) tender preparation, publication, evaluation and award processes,
(2) co-ordination of activities and administrative support to the project teams of the four clinical centres mentioned in Recital (a); and
(3) management of the disbursement process and provision of progress reports to the Bank; and
(v) a copy of any other authorisation or other document, opinion or assurance which the Bank has notified the Borrower is necessary or desirable in connection with the entry into and performance of, and the transactions contemplated by, this Contract or the validity and enforceability of the same.
(b) that on the Disbursement Date for the proposed Tranche:
(i) the representations and warranties which are repeated pursuant to Article 6.7 are correct in all respects; and
(ii) no event or circumstance which constitutes or would with the passage of time or giving of notice under this Contract constitute:
(1) an Event of Default; or
(2) a Prepayment Event;
has occurred and is continuing unremedied or unwaived or would result from the disbursement of the proposed Tranche; and
(iii) the Bank is satisfied with the works on previous phase(s) and that the Promoter has adequately accommodated any concerns raised by the Bank.
1.4.C Tranches Regarding Construction Contracts
Without prejudice to any other condition set out in this Article 1.4 disbursements aimed at financing the construction works of each of the four clinical centres mentioned in Recital (a) shall be further subject to the Bank having received by the Borrower on or before the date falling 20 (twenty) Business Days preceding the Scheduled Disbursement Date and in any case prior to the actual awarding of the first construction contracts for each of the four clinical centres mentioned in Recital (a) the following documents or evidence in form and substance satisfactory to it:
(a) a copy of the first construction contract to be awarded for each clinical centres mentioned in Recital (a) for the Bank’s non objection;
(b) a copy of the updated Functional Plan prepared by the Promoter, which will be implemented with the Project, for each of the four clinical centres;
(c) a copy of the Final Detailed Design Documents for performance of works and Detailed Budget breakdown, as well as any other available Technical documents necessary to define the buildings that are part of the project (size, capacity, main funcions, etc.), the distribution of the main areas (medical and non-medical), the distribution of the rooms (medical and noon-medical) within the different units;
(d) list of medical and non-medical equipment (main specifications, number and location), etc.;
(e) evidence by the Promoter that the scope and the design of the plan has been reviewed in order to be consistent with the relevant strategies that govern the development of tertiary healthcare services in Serbia, including the Public Health Strategy of the Republic of Serbia and the Strategy for Continuous Improvement of Healthcare Quality and Patient Safety, and any updates thereto;
(f) environmental and social impact assessment studies, if required by the applicable legislation.
1.4.D Last Tranche
In case a Disbursement Request is made without the conditions set out in Article 1.4 having been fulfilled, such Disbursement Request shall be deemed to have been received by the Bank on the date on which the Bank is satisfied that such conditions have been fulfilled.
The submission of the last Disbursement Request under Article 1.2.B, shall be subject to the Bank having received, in form and substance acceptable to it, by the Borrower:
(a) documents demonstrating to the satisfaction of the Bank that it may reasonably be expected that the Promoter will have incurred, by the
180th day falling after the preferred date for such disbursement specified in the Disbursement Request, Qualifying Expenditure in an amount equal to the 100% (one hundred per cent) of the amount of the Tranche to be disbursed; and
(b) documents demonstrating to the satisfaction of the Bank that the Promoter has incurred Qualifying Expenditure in an amount equal to the 100% (one hundred per cent) of the amounts of all previously disbursed Tranches.
1.4.E General provisions on the conditions of disbursement
Notwithstanding the provision of the previous paragraph, if any part of the documents received pursuant to Article 1.4 is not satisfactory to the Bank, the Bank may disburse, without prejudice to the minimum amount set out in Article 1.2A, an amount equal to the amount being the subject of the relevant Disbursement Request less the amount corresponding to the undocumented incurred and forecasted Qualifying Expenditure.
1.5 Deferment of disbursement
1.5.A Grounds for deferment
Upon the written request of the Borrower, the Bank shall defer the disbursement of any Notified Tranche in whole or in part to a date specified by the Borrower being a date falling not later than 6 (six) months from its Scheduled Disbursement Date and not later than 60 (sixty) days prior to the first repayment date of the Tranche indicated in the Disbursement Notice. In such case, the Borrower shall pay the Deferment Indemnity calculated on the amount of disbursement deferred.
Any request for deferment shall have effect in respect of a Tranche only if it is made at least 7 (seven) Business Days before its Scheduled Disbursement Date.
If for a Notified Tranche any of the conditions referred to in Article 1.4 is not fulfilled as at the specified date and at the Scheduled Disbursement Date (or the date expected for disbursement in case of a previous deferment), disbursement will be deferred to a date agreed between the Bank and the Borrower falling not earlier than 7 (seven) Business Days following the fulfilment of all conditions of disbursement (without prejudice to the right of the Bank to suspend and/or cancel the undisbursed portion of the Credit in whole or in part pursuant to Article 1.6.B). In such case, the Borrower shall pay the Deferment Indemnity calculated on the amount of disbursement deferred.
1.5.B Cancellation of a disbursement deferred by 6 (six) months
The Bank may, by notice in writing to the Borrower, cancel a disbursement which has been deferred under Article 1.5.A by more than 6 (six) months in aggregate. The cancelled amount shall remain available for disbursement under Article 1.2.
1.6 Cancellation and suspension
1.6.A Xxxxxxxx’x right to cancel
The Borrower may at any time by notice in writing to the Bank cancel, in whole or in part and with immediate effect, the undisbursed portion of the Credit. However, the notice shall have no effect in respect of (i) a Notified Tranche which has a Scheduled Disbursement Date falling within 7 (seven)
Business Days of the date of the notice or (ii) a Tranche in respect of which a Disbursement Request has been submitted but no Disbursement Notice has been issued.
1.6.B Bank’s right to suspend and cancel
(a) The Bank may, by notice in writing to the Borrower, suspend and/or cancel the undisbursed portion of the Credit in whole or in part at any time and with immediate effect:
(i) upon the occurrence of a Prepayment Event or an Event of Default or an event or circumstance which would with the passage of time or giving of notice under this Contract constitute a Prepayment Event or an Event of Default; or
(ii) if a Material Adverse Change occurs.
(b) Any suspension shall continue until the Bank ends the suspension or cancels the suspended amount.
(c) The Bank may also suspend the portion of the Credit in respect of which it has not issued a Disbursement Notice with immediate effect in the case that a Market Disruption Event occurs.
1.6.C Indemnity for suspension and cancellation of a Tranche
1.6.C(1) SUSPENSION
If the Bank suspends a Notified Tranche, whether upon an Indemnifiable Prepayment Event or an Event of Default or upon the occurrence of a Material Adverse Change, the Borrower shall pay to the Bank the Deferment Indemnity calculated on the amount of disbursement suspended.
1.6.C(2) CANCELLATION
(a) If pursuant to Article 1.6.A, the Borrower cancels:
(i) a Fixed Rate Tranche which is a Notified Tranche, it shall indemnify the Bank under Article 4.2.B; or
(ii) a Floating Rate Tranche which is a Notified Tranche or any part of the Credit other than a Notified Tranche, no indemnity is payable.
(b) If the Bank cancels:
(i) a Fixed Rate Tranche which is a Notified Tranche upon an Indemnifiable Prepayment Event or upon the occurrence of a Material Adverse Change or pursuant to Article 1.5.B, the Borrower shall pay to the Bank the Prepayment Indemnity; or
(ii) a Notified Tranche upon an Event of Default, the Borrower shall indemnify the Bank under Article 10.3.
Save in these cases referred to in (a) and (b) above, no indemnity is payable upon cancellation of a Tranche by the Bank.
The indemnity shall be calculated as if the cancelled amount had been disbursed and repaid on the Scheduled Disbursement Date or, to the extent that the disbursement of the Tranche is currently deferred or suspended, on the date of the cancellation notice.
1.7 Cancellation after expiry of the Credit
On the day following the Final Availability Date, and unless otherwise specifically agreed to in writing by the Bank, the part of the Credit in respect of which no Disbursement Request has been made in accordance with Article 1.2.B shall be automatically cancelled, without any notice being served by the Bank to the Borrower and without liability arising on the part of either party.
1.8 Sums due under Article 1
Sums due under Articles 1.5 and 1.6 shall be payable in Euro. They shall be payable within 15 (fifteen) days of the Borrower’s receipt of the Bank’s demand or within any longer period specified in the Bank’s demand.
ARTICLE 2
The Loan
2.1 Amount of Loan
The Loan shall comprise the aggregate amount of Tranches disbursed by the Bank under the Credit, as confirmed by the Bank pursuant to Article 2.3.
2.2 Currency of repayment, interest and other charges
Interest, repayments and other charges payable in respect of each Tranche shall be made by the Borrower in EUR.
Any other payment shall be made in the currency specified by the Bank having regard to the currency of the expenditure to be reimbursed by means of that payment.
2.3 Confirmation by the Bank
Within 10 (ten) days after disbursement of each Tranche, the Bank shall deliver to the Borrower the amortisation table referred to in Article 4.1, if appropriate, showing the Disbursement Date, currency, the amount disbursed, the repayment terms and the interest rate of and for that Tranche.
ARTICLE 3
Interest
3.1 Rate of interest
Fixed Rates and Spreads are available for periods of not less than 4 (four) years.
3.1.A Fixed Rate Tranches
The Borrower shall pay interest on the outstanding balance of each Fixed Rate Tranche at the Fixed Rate quarterly, semi-annually or annually in arrears on the relevant Payment Dates as specified in the Disbursement Notice, commencing on the first such Payment Date following the Disbursement Date of the Tranche. If the period from the Disbursement Date to the first Payment Date is 15 (fifteen) days or less then the payment of interest accrued during such period shall be postponed to the following Payment Date.
Interest shall be calculated on the basis of Article 5.1(a).
3.1.B Floating Rate Tranches
The Borrower shall pay interest on the outstanding balance of each Floating Rate Tranche at the Floating Rate quarterly, semi-annually or annually in arrears on the relevant Payment Dates, as specified in the Disbursement Notice commencing on the first such Payment Date following the Disbursement Date of the Tranche. If the period from the Disbursement Date to the first Payment Date is 15 (fifteen) days or less then the payment of interest accrued during such period shall be postponed to the following Payment Date.
The Bank shall notify the Floating Rate to the Borrower within 10 (ten) days following the commencement of each Floating Rate Reference Period.
If pursuant to Articles 1.5 and 1.6 disbursement of any Floating Rate Tranche takes place after the Scheduled Disbursement Date the Relevant Interbank Rate applicable to the first Floating Rate Reference Period shall apply as though the disbursement had been made on the Scheduled Disbursement Date.
Interest shall be calculated in respect of each Floating Rate Reference Period on the basis of Article 5.1(b). If the Floating Rate for any Floating Rate Reference Period is below zero, it will be set at zero.
3.1.C Revision or Conversion of Tranches
Where the Borrower exercises an option to revise or convert the interest rate basis of a Tranche, it shall, from the effective Interest Revision/Conversion Date (in accordance with the procedure set out in Schedule D) pay interest at a rate determined in accordance with the provisions of Schedule D.
3.2 Interest on overdue sums
Without prejudice to Article 10 and by way of exception to Article 3.1, if the Borrower fails to pay any amount payable by it under this Contract on its due date, interest shall accrue (subject to mandatory provisions of the applicable laws, including Article 1154 of the Luxembourg Civil Code) on any overdue amount payable under the terms of this Contract from the due date to the date of payment at an annual rate equal to:
(a) for overdue sums related to Floating Rate Tranches, the applicable Floating Rate plus 2% (200 basis points);
(b) for overdue sums related to Fixed Rate Tranches, the higher of (i) the applicable Fixed Rate plus 2% (200 basis points) or (ii) the Relevant Interbank Rate plus 2% (200 basis points); and
(c) for overdue sums other than under (a) or (b) above, the Relevant Interbank Rate plus 2% (200 basis points),
and shall be payable in accordance with the demand of the Bank. For the purpose of determining the Relevant Interbank Rate in relation to this Article 3.2, the relevant periods within the meaning of Schedule B shall be successive periods of one month commencing on the due date.
If the overdue sum is in a currency other than the currency of the Loan, the following rate per annum shall apply, namely the relevant interbank rate that is generally retained by the Bank for transactions in that currency plus 2% (200 basis points), calculated in accordance with the market practice for such rate.
3.3 Market Disruption Event
If at any time (i) from the issuance by the Bank of the Disbursement Notice in respect of a Tranche, and (ii) until the date falling 30 (thirty) calendar days prior to the Scheduled Disbursement Date, a Market Disruption Event occurs, the Bank may notify to the Borrower that this clause has come into effect. In such case, the following rules shall apply:
(a) the rate of interest applicable to such Tranche until the Maturity Date or the Interest Revision/Conversion Date if any, shall be the rate (expressed as a percentage rate per annum) which is determined by the Bank to be the all-inclusive cost to the Bank for the funding of the relevant Tranche based upon the then applicable internally generated Bank reference rate or an alternative rate determination method reasonably determined by the Bank.
The Borrower shall have the right to refuse in writing such disbursement within the deadline specified in the notification and shall bear charges incurred as a result, if any, in which case the Bank shall not effect the disbursement and the corresponding Credit shall remain available for disbursement under Article 1.2.B. If the Borrower does not refuse the disbursement in time, the parties agree that the disbursement and the conditions thereof shall be fully binding for both parties.
(b) The Spread or Fixed Rate previously notified by the Bank in the Disbursement Notice shall no longer be applicable.
ARTICLE 4
Repayment
4.1 Normal repayment
4.1.A Repayment by instalments
(a) The Borrower shall repay each Tranche by instalments on the Payment Dates specified in the relevant Disbursement Notice in accordance with the terms of the amortisation table delivered pursuant to Article 2.3.
(b) Each amortisation table shall be drawn up on the basis that:
(i) in the case of a Fixed Rate Tranche without an Interest Revision/Conversion Date, repayment shall be made quarterly, semi-annually or annually by equal instalments of principal or constant instalments of principal and interest;
(ii) in the case of a Fixed Rate Tranche with an Interest Revision/Conversion Date or a Floating Rate Tranche, repayment shall be made by equal quarterly, semi-annual or annual instalments of principal;
(iii) the first repayment date of each Tranche shall be a Payment Date falling not earlier than 60 (sixty) days from the Scheduled Disbursement Date and not later than the first Payment Date immediately following the 6th (sixth) anniversary of the Scheduled Disbursement Date of the Tranche; and
(iv) the last repayment date of each Tranche shall be a Payment Date falling not earlier than 4 (four) years and not later than 25 (twentyfive) years from the Scheduled Disbursement Date.
4.2 Voluntary prepayment
4.2.A Prepayment option
Subject to Articles 4.2.B, 4.2.C and 4.4, the Borrower may prepay all or part of any Tranche, together with accrued interest and indemnities if any, upon giving a Prepayment Request with at least 1 (one) month's prior notice specifying:
(a) the Prepayment Amount;
(b) the Prepayment Date;
(c) if applicable, the choice of application method of the Prepayment Amount in line with Article 5.5.C(a); and
(d) the contract number ("FI nr 31.464") mentioned on the cover page of this Contract.
Subject to Article 4.2.C the Prepayment Request shall be binding and irrevocable.
4.2.B Prepayment indemnity
4.2.B(1) FIXED RATE TRANCHE
Subject to Article 4.2.B(3) below, if the Borrower prepays a Fixed Rate Tranche, the Borrower shall pay to the Bank on the Prepayment Date the Prepayment Indemnity in respect of the Fixed Rate Tranche which is being prepaid.
4.2.B(2) FLOATING RATE TRANCHE
Subject to Article 4.2.B(3) below, the Borrower may prepay a Floating Rate Tranche without indemnity on any relevant Payment Date.
4.2.B(3) NO INDEMNITY
Unless the Borrower has accepted in writing a Fixed Rate in respect of an Interest Revision/Conversion Proposal pursuant to Schedule D, prepayment of a Tranche on its Interest Revision/Conversion Date as notified under Article 1.2.C(a)(viii), or in accordance with Schedule C.1 or D, as the case may be, may be effected without indemnity.
4.2.C Prepayment mechanics
Upon presentation by the Borrower to the Bank of a Prepayment Request, the Bank shall issue a Prepayment Notice to the Borrower, not later than 15 (fifteen) days prior to the Prepayment Date. The Prepayment Notice shall specify the Prepayment Amount, the accrued interest due thereon, the Prepayment Indemnity payable under Article 4.2.B or, as the case may be, that no indemnity is due, the method of application of the Prepayment Amount and the Acceptance Deadline.
If the Borrower accepts the Prepayment Notice no later than by the Acceptance Deadline, it shall effect the prepayment. In any other case, the Borrower may not effect the prepayment.
The Borrower shall accompany the prepayment by the payment of accrued interest and indemnity, if any, due on the Prepayment Amount, as specified in the Prepayment Notice.
4.3 Compulsory prepayment
4.3.A Prepayment Events
4.3.A(1) PROJECT COST REDUCTION
If the total cost of the Project falls below the figure stated in Recital (b) so that the amount of the Credit exceeds:
(a) 50% (fifty per cent); and/or
(b) when aggregated with the amount of any other funds from the European Union made available for the Project, 90% (ninety per cent),
of such total cost of the Project, the Bank may forthwith, by notice to the Borrower, cancel the undisbursed portion of the Credit and/or demand prepayment of the Loan up to the amount by which the Credit exceeds the limits referred to in (a) or (b) above. The Borrower shall effect payment of the amount demanded on the date specified by the Bank, such date being a date falling not less than 30 (thirty) days from the date of the demand.
4.3.A(2) PARI PASSU TO NON-EIB FINANCING
If the Borrower voluntarily prepays (for the avoidance of doubt, prepayment shall include a repurchase or cancellation where applicable) a part or the whole of any Non-EIB Financing and such prepayment is not be made out of the proceeds of a loan having a term at least equal to the unexpired term of the Non-EIB Financing prepaid, the Bank may, by notice to the Borrower, cancel the undisbursed portion of the Credit and demand prepayment of the Loan. The proportion of the Loan that the Bank may require to be prepaid shall be the same as the proportion that the prepaid amount of the Non-EIB Financing bears to the aggregate outstanding amount of all Non-EIB Financing.
The Borrower shall effect payment of the amount demanded on the date specified by the Bank, such date being a date falling not less than 30 (thirty) days from the date of the demand.
For the purposes of this Article, "Non-EIB Financing" includes any loan, (save for the Loan and any other direct loans from the Bank to the Borrower, credit bond or other form of financial indebtedness or any obligation for the payment or repayment of money originally granted to the Borrower for a term of more than 5 (five) years.
4.3.A(3) CHANGE OF LAW
The Borrower shall promptly inform the Bank if a Change-of-Law Event has occurred or is likely to occur. In such case, or if the Bank has reasonable cause to believe that a Change-of-Law Event has occurred or is about to occur, the Bank may request that the Borrower consult with it. Such consultation shall take place within 30 (thirty) days from the date of the Bank’s request. If, after the lapse of 30 (thirty) days from the date of such request for consultation the Bank is of the opinion that the effects of the Change-of-Law Event cannot be mitigated to its satisfaction, the Bank may by notice to the Borrower, cancel the undisbursed portion of the Credit and
demand prepayment of the Loan, together with accrued interest and all other amounts accrued or outstanding under this Contract.
The Borrower shall effect payment of the amount demanded on the date specified by the Bank, such date being a date falling not less than 30 (thirty) days from the date of the demand.
For the purposes of this Article "Change-of-Law Event" means the enactment, promulgation, execution or ratification of or any change in or amendment to any law, rule or regulation (or in the application or official interpretation of any law, rule or regulation) that occurs after the date of this Contract and which, in the opinion of the Bank, would materially impair the Borrower's ability to perform its obligations under this Contract.
4.3.B Prepayment mechanics
Any sum demanded by the Bank pursuant to Article 4.3.A, together with any interest or other amounts accrued or outstanding under this Contract including, without limitation, any indemnity due under Article 4.3.C and Article 4.4, shall be paid on the date indicated by the Bank in its notice of demand.
4.3.C Prepayment indemnity
In the case of an Indemnifiable Prepayment Event, the indemnity, if any, shall be determined in accordance with Article 4.2.B.
4.4 General
A repaid or prepaid amount may not be reborrowed. This Article4 shall not prejudice Article 10.
If the Borrower prepays a Tranche on a date other than a relevant Payment Date, the Borrower shall indemnify the Bank in such amount as the Bank shall certify is required to compensate it for receipt of funds otherwise than on a relevant Payment Date.
ARTICLE 5
Payments
5.1 Day count convention
Any amount due by way of interest, indemnity or fee from the Borrower under this Contract, and calculated in respect of a fraction of a year, shall be determined on the following respective conventions:
(a) in respect of interest and indemnities due under a Fixed Rate Tranche, a year of 360 (three hundred and sixty) days and a month of 30 (thirty) days;
(b) in respect of interest and indemnities due under a Floating Rate Tranche, a year of 360 (three hundred and sixty) days and the number of days elapsed; and
(c) in respect of fees, a year of 360 (three hundred and sixty) days and the number of days elapsed.
5.2 Time and place of payment
Unless otherwise specified in this Contract or in the Bank’s demand, all sums other than sums of interest, indemnity and principal are payable within 15 (fifteen) days of the Borrower’s receipt of the Bank’s demand.
Each sum payable by the Borrower under this Contract shall be paid to the relevant account notified by the Bank to the Borrower. The Bank shall notify the account not less than 15 (fifteen) days before the due date for the first payment by the Borrower and shall notify any change of account not less than 15 (fifteen) days before the date of the first payment to which the change applies. This period of notice does not apply in the case of payment under Article 10.
The Borrower shall indicate in each payment made hereunder the contract number ("FI nr 31.464") found on the cover page of this Contract.
A sum due from the Borrower shall be deemed paid when the Bank receives it.
Any disbursements by and payments to the Bank under this Contract shall be made using account(s) acceptable to the Bank. For the avoidance of doubt, any account in the name of the Borrower held with a duly authorized financial institution in the jurisdiction where the Borrower is incorporated or where the Project is undertaken is deemed acceptable to the Bank.
5.3 No set-off by the Borrower
All payments to be made by the Borrower under this Contract shall be calculated and be made without (and free and clear of any deduction for) set- off or counterclaim.
5.4 Disruption to Payment Systems
If either the Bank determines (in its discretion) that a Disruption Event has occurred or the Bank is notified by the Borrower that a Disruption Event has occurred:
(a) the Bank may, and shall if requested to do so by the Borrower, consult with the Borrower with a view to agreeing with the Borrower such changes to the operation or administration of this Contract as the Bank may deem necessary in the circumstances;
(b) the Bank shall not be obliged to consult with the Borrower in relation to any changes mentioned in paragraph (a) if, in its opinion, it is not practicable to do so in the circumstances and, in any event, shall have no obligation to agree to such changes; and
(c) the Bank shall not be liable for any damages, costs or losses whatsoever arising as a result of a Disruption Event or for taking or not taking any action pursuant to or in connection with this Article 5.4.
5.5 Application of sums received
5.5.A General
Sums received from the Borrower shall only discharge its payment obligations if received in accordance with the terms of this Contract.
5.5.B Partial payments
If the Bank receives a payment that is insufficient to discharge all the amounts then due and payable by the Borrower under this Contract, the Bank shall apply that payment:
(a) first, in or towards payment pro rata of any unpaid fees, costs, indemnities and expenses due under this Contract;
(b) (secondly, in or towards payment of any accrued interest due but unpaid under this Contract;
(c) thirdly, in or towards payment of any principal due but unpaid under this Contract; and
(d) fourthly, in or towards payment of any other sum due but unpaid under this Contract.
5.5.C Allocation of sums related to Tranches
(a) In case of:
(i) a partial voluntary prepayment of a Tranche that is subject to a repayment in several instalments, the Prepayment Amount shall be applied pro rata to each outstanding instalment, or, at the request of the Borrower, in inverse order of maturity; or
(ii) a partial compulsory prepayment of a Tranche that is subject to a repayment in several instalments, the Prepayment Amount shall be applied in reduction of the outstanding instalments in inverse order of maturity.
(b) Sums received by the Bank following a demand under Article 10.1 and applied to a Tranche, shall reduce the outstanding instalments in inverse order of maturity. The Bank may apply sums received between Tranches at its discretion.
(c) In case of receipt of sums which cannot be identified as applicable to a specific Tranche, and on which there is no agreement between the Bank and the Borrower on their application, the Bank may apply these between Tranches at its discretion.
ARTICLE 6
Borrower undertakings and representations
The undertakings in this Article 6 remain in force from the date of this Contract for so long as any amount is outstanding under this Contract or the Credit is in force.
A. PROJECT UNDERTAKINGS
6.1 Use of Loan and availability of other funds
The Borrower shall use all amounts borrowed by it under the Loan for the execution of the Project.
The Borrower shall ensure that it has available to it the other funds listed in Recital (b) and that such funds are expended, to the extent required, on the financing of the Project.
The Loan proceeds shall not be used for the payment of value added tax on sales of goods and services and import of goods and services, costs of
customs duties and other import duties, taxes and other impositions occurring in the execution of implementation of the Project.
6.2 Implementation and completion of Project
The Promoter shall carry out the Project in accordance with the Technical Description as may be modified from time to time with the approval of the Bank, and complete it by the final date specified therein.
Twelve months prior to the completion of the construction works relating to each of the four clinical centres mentioned in Recital (a) the Promoter shall prepare for each clinical centre a decanting and transfer plan.
The Promoter shall ensure that the procurement and the delivery of the relevant equipment is timed in accordance with the Project implementation plans to ensure that the buildings are adequately prepared prior to their delivery and installation.
So long as the Loan is outstanding the Promoter shall ensure that the initiatives aimed at encouraging changes in clinical and management practice and technology are continued as the investment in the four clinical centres mentioned in Recital (a) is planned in detail and implemented fully.
So long as the Loan is outstanding the Borrower shall ensure that sufficient resources are available for covering the annual operating costs of the four clinical centres mentioned in Recital (a).
6.3 Increased cost of Project
If the total cost of the Project exceeds the estimated figure set out in Recital (b), the Borrower shall obtain the finance to fund the excess cost without recourse to the Bank, so as to enable the Project to be completed in accordance with the Technical Description. The plans for funding the excess cost shall be communicated to the Bank without delay.
6.4 Procurement procedure
The Borrower undertakes to procure works, goods and services for the Project by procurement procedures agreed with the Bank and complying, to the Bank's satisfaction, with its policy as described in its Guide to Procurement.
The review procedures for remedies, as provided for in Serbian law, shall be available to any party having had an interest in obtaining a particular contract and who has been or risk being harmed by an alleged infringement.
6.5 Continuing Project undertakings
The Borrower shall:
(a) Maintenance: maintain, repair, overhaul and renew all property forming part of the Project as required to keep it in good working order;
(b) Project assets: unless the Bank shall have given its prior consent in writing retain title to and possession of all or substantially all the assets comprising the Project or, as appropriate, replace and renew such assets and maintain the Project in substantially continuous operation in accordance with its original purpose; provided that the Bank may withhold its consent only where the proposed action would prejudice the Bank's interests as lender to the Borrower or would
render the Project ineligible for financing by the Bank under its Statute or under article 309 of the Treaty on the Functioning of the European Union;
(c) Insurance: insure all works and property forming part of the Project with first class insurance companies in accordance with the most comprehensive relevant industry practice;
(d) Rights and Permits: maintain in force all rights of way or use and all Authorisations necessary for the execution and operation of the Project;
(e) Environment:
(i) implement and operate the Project in compliance with Environmental and Social Laws;
(ii) obtain and maintain requisite Environmental and Social Approvals for the Project; and
(iii) comply with any such Environmental and Social Approvals.
(f) Integrity: take, within a reasonable timeframe, appropriate measures in respect of any member of its management bodies who has been convicted by a final and irrevocable court ruling of a Criminal Offence perpetrated in the course of the exercise of his/her professional duties, in order to ensure that such member is excluded from any Borrower’s activity in relation to the Loan or the Project; and
(g) Integrity Audit Rights: ensure that all contracts under the Project to be procured after the date of signature of this Contract in accordance with EU Directives on procurement provide for:
(i) the requirement that the relevant contractor promptly informs the Bank of a genuine allegation, complaint or information with regard to Criminal Offences related to the Project;
(ii) the requirement that the relevant contractor keeps books and records of all financial transactions and expenditures in connection with the Project; and
(iii) the Bank’s right, in relation to an alleged Criminal Offence, to review the books and records of the relevant contractor in relation to the Project and to take copies of documents to the extent permitted by law.
B. GENERAL UNDERTAKINGS
6.6 Compliance with laws
The Borrower shall comply in all respects with all laws and regulations to which it or the Project is subject.
6.7 General Representations and Warranties
The Borrower represents and warrants to the Bank that:
(a) it has the power to execute, deliver and perform its obligations under this Contract and all necessary corporate, shareholder and other action has been taken to authorise the execution, delivery and performance of the same by it;
(b) this Contract constitutes its legally valid, binding and enforceable obligations;
(c) the execution and delivery of, the performance of its obligations under and compliance with the provisions of this Contract do not and will not contravene or conflict with:
(i) any applicable law, statute, rule or regulation, or any judgement, decree or permit to which it is subject;
(ii) any agreement or other instrument binding upon it which might reasonably be expected to have a material adverse effect on its ability to perform its obligations under this Contract;
(d) there has been no Material Adverse Change since April 2005;
(e) no event or circumstance which constitutes a Prepayment Event or an Event of Default has occurred and is continuing unremedied or unwaived;
(f) no litigation, arbitration, administrative proceedings or investigation is current or to its knowledge is threatened or pending before any court, arbitral body or agency which has resulted or if adversely determined is reasonably likely to result in a Material Adverse Change, nor is there subsisting against it or any of its subsidiaries any unsatisfied judgement or award;
(g) it has obtained all necessary Authorisations in connection with this Contract and in order to lawfully comply with its obligations hereunder, and the Project and all such Authorisations are in full force and effect and admissible in evidence;
(h) its payment obligations under this Contract rank not less than pari passu in right of payment with all other present and future unsecured and unsubordinated obligations under any of its debt instruments except for obligations mandatorily preferred by law applying to companies generally;
(i) it is in compliance with Article 6.5(e) and to the best of its knowledge and belief (having made due and careful enquiry) no Environmental or Social Claim has been commenced or is threatened against it.
The representations and warranties set out above shall survive the execution of this Contract and are, with the exception of the representation set out in paragraph (d) above, deemed repeated on each Disbursement Date and on each Payment Date.
6.8 Integrity Commitment
(i) The Borrower warrants and undertakes that it has not committed, and no person to its present knowledge has committed, any of the following acts and that they will not commit, and no person, with their consent or prior knowledge, will commit any such act, that is to say:
(a) the offering, giving, receiving or soliciting of any improper advantage to influence the action of an person holding a public office or function or a director or employee of a public authority or public enterprise or a director or official of a public international organisation in connection with any procurement process or in the execution of any contract in connection with the Project; or
(b) any act which improperly influences or aims improperly to influence the procurement process or the implementation of the Project to the detriment of the Borrower, including collusion between tenderers.
For this purpose, the knowledge of any member of the any Minister of the Borrower, any State Secretary of the Borrower, any Assistant Minister of the Borrower, any Advisor to a Minister of the Borrower or the officer mentioned in Article 12.1 shall be deemed the knowledge of the Borrower.
The Borrower undertakes to inform the Bank if they should become aware of any fact or information suggestive of the commission of any such act.
(ii) The Borrower will institute, maintain and comply with internal procedures and controls in compliance with applicable national laws and best practices, for the purpose of ensuring that no transaction is entered with, or for the benefit of, any of the individuals or institutions named on updated lists of sanctioned persons promulgated by the United Nations Security Council or its committees pursuant to Security Council Resolutions 1267 (1999), 1373 (2001) (xxx.xx.xxx/xxxxxxxxx) and/or by the Council of the EU pursuant to its Common Positions 2001/931/CSFP and 2002/402/CSFP and their related or successor resolutions and/or implementing acts in connection with financing of terrorism matters.
6.9 Legitimacy of the funds used for the Projects
The Borrower warrants that it applies the Recommendations of the OECD Financial Action Task Force.
6.10 Other undertakings
The Borrower shall:
(a) take all necessary measures to ensure that buildings included in the Project will comply with the EU Directive on energy performance of buildings (2002/91/EC);
(b) not commit any funds disbursed or to be disbursed by the Bank against sub-projects that require an Environmental and Social Impact Assessment (“ESIA”) or biodiversity assessment according to Environmental and Social Law without, prior to commitment, receiving the consent from the competent authority, and the Non- Technical Summary of the ESIA having been made available to the public;
(c) for sub-projects requiring an ESIA, submit to the Bank either the Non Technical Summary of the ESIA and the full ESIA, with a copy of the relevant consent showing that public consultation has been performed, comprising the results taken into consideration; and
(d) for sub-projects not requiring an ESIA, a copy of the relevant consent from the competent authority evidencing the reasons why ESIA was not necessary (screening decision).
6.11 Project Implementation Unit
The Promoter shall maintain at all times, to the Bank's satisfaction, a PIU and shall ensure that it is adequately staffed and equipped with qualified and dedicated personnel, and supported and advised as necessary by suitable technical assistance under terms of reference acceptable to the Bank.
ARTICLE 7
Security
The undertakings in this Article 7 remain in force from the date of this Contract for so long as any amount is outstanding under this Contract or the Credit is in force.
7.1 Pari passu ranking
The Borrower shall ensure that its payment obligations under this Contract rank, and will rank, not less than pari passu in right of payment with all other present and future unsecured and unsubordinated obligations under any of its External Debt Instruments except for obligations mandatorily preferred by law applying to companies generally.
In particular, if the Bank makes a demand under Article 10.1 or if an event or potential event of default under any unsecured and unsubordinated External Debt Instrument of the Borrower or of any of its agencies or instrumentalities has occurred and is continuing, the Borrower shall not make (or authorize) any payment in respect of any other such External Debt Instrument (whether regularly scheduled or otherwise) without simultaneously paying, or setting aside in a designated account for payment on the next Payment Date a sum equal to, the same proportion of the debt outstanding under this Contract as the proportion that the payment under such External Debt Instrument bears to the total debt outstanding under that Instrument. For this purpose, any payment of an External Debt Instrument that is made out of the proceeds of the issue of another instrument, to which substantially the same persons as hold claims under the External Debt Instrument have subscribed, shall be disregarded.
In this Contract, “External Debt Instrument” means (a) an instrument, including any receipt or statement of account, evidencing or constituting an obligation to repay a loan, deposit, advance or similar extension of credit (including without limitation any extension of credit under a refinancing or rescheduling agreement), (b) an obligation evidenced by a bond, debenture or similar written evidence of indebtedness or (c) a guarantee granted by the Borrower for an obligation of a third party; provided in each case that such obligation is: (i) governed by a system of law other than the law of the Borrower; or (ii) payable in a currency other than the currency of the Borrower's country; or (iii) payable to a person incorporated, domiciled, resident or with its head office or principal place of business outside the Borrower's country.
7.2 Additional Security
Should the Borrower grant to a third party any security for the performance of any External Debt Instrument or any preference or priority in respect thereof, the Borrower shall, if so required by the Bank, provide to the Bank equivalent security for the performance of its obligations under this Contract or grant to the Bank equivalent preference or priority.
7.3 Clauses by inclusion
If the Borrower concludes with any other medium or long term financial creditor a financing agreement that includes a loss-of-rating clause or a covenant or other provision regarding pari passu ranking or cross default that is stricter than the equivalent provision of this Contract, the Borrower shall so inform the Bank and shall, at the request of the Bank, execute an agreement to amend this Contract so as to provide for an equivalent provision in favour of the Bank.
ARTICLE 8
Information and Visits
8.1 Information concerning the Project
The Borrower shall:
(a) deliver to the Bank:
(i) the information in content and in form, and at the times, specified in Schedule A.2 or otherwise as agreed from time to time by the parties to this Contract; and
(ii) any such information or further document concerning the financing, procurement, implementation, operation and environmental and social matters of or for the Project as the Bank may reasonably require within a reasonable time;
provided always that if such information or document is not delivered to the Bank on time, and the Borrower does not rectify the omission within a reasonable time set by the Bank in writing, the Bank may remedy the deficiency, to the extent feasible, by employing its own staff or a consultant or any other third party, at the Borrower’s expense (within the limit of reasonable and duly documented expenses) and the Borrower shall provide such persons with all assistance necessary for the purpose;
(b) submit for the approval of the Bank without delay any material change to the Project, also taking into account the disclosures made to the Bank in connection with the Project prior to the signing of this Contract, in respect of, inter alia, the price, design, plans, timetable or to the expenditure programme or financing plan for the Project;
(c) promptly inform the Bank of:
(i) any action or protest initiated or any objection raised by any third party or any genuine complaint received by the Borrower or any Environmental or Social Claim that is to its knowledge commenced, pending or threatened against it with regard to environmental social or other matters affecting the Project;
(ii) any fact or event known to the Borrower, which may substantially prejudice or affect the conditions of execution or operation of the Project;
(iii) a genuine allegation, complaint or information with regard to Criminal Offences related to the Project;
(iv) any non-compliance by it with any applicable Environmental and Social Law;
(v) any suspension, revocation or modification of any Environmental or Social Approval,
and set out the action to be taken with respect to such matters;
(d) deliver by the dates respectively specified below and in a manner satisfactory to the Bank, documents in English or accompanied by an English translation, evidencing Qualifying Expenditure up to the following respective amounts:
(i) within 90 (ninety) days following the disbursement of a Tranche, 75% (seventy-five per cent) of the amount of that Tranche plus 100% (one hundred per cent) of all previously disbursed Tranches; and
(ii) within 120 (one hundred and twenty) days following the disbursement of a Tranche, 100% (one hundred per cent) of the amount of that Tranche plus 100% (one hundred per cent) of all previously disbursed Tranches; and
(e) provide to the Bank, if so requested:
(i) a certificate of its insurers showing fulfilment of the requirements of Article 6.5(c); and
(ii) annually, a list of policies in force covering the insured property forming part of the Project, together with confirmation of payment of the current premiums.
8.2 Information concerning the Borrower
The Borrower shall:
(a) Ensure that its accounting records fully reflect the operations relating to the financing, execution and operation of the Project; and
(b) inform the Bank immediately of:
(i) any fact which obliges it to prepay any financial indebtedness or any European Union funding;
(ii) any event or decision that constitutes or may result in a Prepayment Event;
(iii) any intention on its part to grant any Security over any of its assets in favour of a third party;
(iv) any intention on its part to sell, transfer, lease or otherwise dispose of its assets and which could trigger a breach of Article 6.7;
(v) any intention on its part to relinquish ownership of any material component of the Project;
(vi) any fact or event that is reasonably likely to prevent the substantial fulfilment of any obligation of the Borrower under this Contract;
(vii) any Event of Default having occurred or being threatened or anticipated;
(viii) any measure taken by the Borrower pursuant to Article 6.5(f) of this Contract; and
(ix) any litigation, arbitration or administrative proceedings or investigation which is current, threatened or pending and which might if adversely determined result in a Material Adverse Change.
8.3 Visits by the Bank
The Borrower shall allow persons designated by the Bank, as well as persons designated by other institutions or bodies of the European Union when so required by the relevant mandatory provisions of European Union law,
(a) to visit the sites, installations and works comprising the Project;
(b) to interview representatives of the Borrower, and not obstruct contacts with any other person involved in or affected by the Project; and
(c) to review the Borrower’s books and records in relation to the execution of the Project and to be able to take copies of related documents to the extent permitted by the law.
The Borrower shall provide the Bank, or ensure that the Bank is provided, with all necessary assistance for the purposes described in this Article.
The Borrower acknowledges that the Bank may be obliged to communicate information relating to the Borrower and the Project to any competent institution or body of the European Union in accordance with the relevant mandatory provisions of European Union law.
8.4 Investigations and information
The Borrower undertakes:
(i) to take such action as the Bank shall reasonably request to investigate and/or terminate any alleged or suspected act of the nature described in Article 6.8;
(ii) to inform the Bank of the measures taken to seek damages from the persons responsible for any loss resulting from any such act;
(iii) to facilitate any investigation that the Bank may make concerning any such act;
(iv) to inform the Bank immediately of any investigations concerning the integrity of the members of the Borrower’s administrative body or managers;
(v) to inform the Bank immediately, to the extent permitted by law, of any material litigation, arbitration, administrative proceedings or investigation carried out by a court, administration or similar public authority, which, to the best of its knowledge and belief, is current, imminent or pending in connection with Criminal Offences related to the Loan or the Project.
ARTICLE 9
Charges and expenses
9.1 Taxes, duties and fees
The Borrower shall pay all Taxes, duties, fees and other impositions of whatsoever nature, including stamp duty and registration fees, arising out of the execution or implementation of this Contract or any related document and in the creation, perfection, registration or enforcement of any Security for the Loan to the extent and if applicable. In such cases, the Borrower shall ensure that the proceeds of the Loan and/or any technical cooperation funds shall not be used for financing of custom duties and Taxes levied by, or in the territory of, the Borrower in respect of all goods, works and services (including consultancy services) procured by the Promoter for the purposes of the Project.
The Borrower shall pay all principal, interest, indemnities and other amounts due under this Contract gross without deduction of any national or local impositions whatsoever; provided that, if the Borrower is obliged to make any such deduction, it will gross up the payment to the Bank so that after deduction, the net amount received by the Bank is equivalent to the sum due.
9.2 Other charges
The Borrower shall bear all charges and expenses, including professional, banking or exchange charges incurred in connection with the preparation, execution, implementation, enforcement and termination of this Contract or any related document, any amendment, supplement or waiver in respect of this Contract or any related document, and in the amendment, creation, management, enforcement and realisation of any security for the Loan.
The Bank shall provide documentary support for any such charges or expenses 14 (fourteen) days before its demand for payment falls due. By way of exception, however, any charges in an amount not exceeding EUR 100,00 (one hundred), to be paid by the Borrower, will be documented by the Bank (i) soley ex-post (i.e., after the payment having occurred); and (ii) upon request of the Borrower.
9.3 Increased costs, indemnity and set-off
(a) The Borrower shall pay to the Bank any sums or expenses incurred or suffered by the Bank as a consequence of the introduction of or any change in (or in the interpretation, administration or application of) any law or regulation or compliance with any law or regulation made after the date of signature of this Contract, in accordance with or as a result of which (i) the Bank is obliged to incur additional costs in order to fund or perform its obligations under this Contract, or (ii) any amount owed to the Bank under this Contract or the financial income resulting from the granting of the Credit or the Loan by the Bank to the Borrower is reduced or eliminated.
(b) Without prejudice to any other rights of the Bank under this Contract or under any applicable law, the Borrower shall indemnify and hold the Bank harmless from and against any loss incurred as a result of any payment or partial discharge that takes place in a manner other than as expressly set out in this Contract.
(c) The Bank may set off any matured obligation due from the Borrower under this Contract (to the extent beneficially owned by the Bank) against any obligation owed by the Bank to the Borrower regardless of the place of payment, booking branch or currency of either obligation. If the obligations are in different currencies, the Bank may convert either obligation at a market rate of exchange in its usual course of business for the purpose of the set-off.
ARTICLE 10
Events of Default
10.1 Right to demand repayment
The Borrower shall repay all or part of the Loan (as requested by the Bank) forthwith, together with accrued interest and all other accrued or outstanding amounts under this Contract, upon written demand being made by the Bank in accordance with the following provisions.
10.1.A Immediate demand
The Bank may make such demand immediately:
(a) if the Borrower fails on the due date to repay any part of the Loan, to pay interest thereon or to make any other payment to the Bank as provided in this Contract, unless (i) its failure to pay is caused by an administrative or technical error or a Disruption Event and (ii) payment is made within 3 (three) Business Days of its due date;
(b) if any information or document given to the Bank by or on behalf of the Borrower or any representation, warranty or statement made or deemed to be made by the Borrower in or pursuant to this Contract or in connection with the negotiation or performance of this Contract is or proves to have been incorrect, incomplete or misleading in any material respect;
(c) if, following any default of the Borrower in relation to any loan, or any obligation arising out of any financial transaction, other than the Loan:
(i) the Borrower is required or is capable of being required or will, following expiry of any applicable contractual grace period, be required or be capable of being required to prepay, discharge, close out or terminate ahead of maturity such other loan or obligation; or
(ii) any financial commitment for such other loan or obligation is cancelled or suspended;
(d) if the Borrower is unable to pay its debts as they fall due, or suspends its debts, or, without prior notice to the Bank, makes or seeks to make a composition with its creditors;
(e) if the Borrower defaults in the performance of any obligation in respect of any other loan made to it from the resources of the Bank or the European Union;
(f) if any distress, execution, sequestration or other process is levied or enforced upon the property of the Borrower or any property forming part of the Project and is not discharged or stayed within 14 (fourteen) days;
(g) if a Material Adverse Change occurs, as compared with the Borrower’s condition at the date of this Contract; or
(h) if it is or becomes unlawful for the Borrower to perform any of its obligations under this Contract or this Contract is not effective in accordance with its terms or is alleged by the Borrower to be ineffective in accordance with its terms.
10.1.B Demand after notice to remedy
The Bank may also make such demand:
(a) if the Borrower fails to comply with any obligation under this Contract not being an obligation mentioned in Article 10.1.A; or
(b) if any fact related to the Borrower or the Project stated in the Recitals materially alters and is not materially restored and if the alteration either prejudices the interests of the Bank as lender to the Borrower or adversely affects the implementation or operation of the Project,
unless the non-compliance or circumstance giving rise to the non- compliance is capable of remedy and is remedied within a reasonable period of time specified in a notice served by the Bank on the Borrower.
10.2 Other rights at law
Article 10.1 shall not restrict any other right of the Bank at law to require prepayment of the Loan.
10.3 Indemnity
10.3.A Fixed Rate Tranches
In case of demand under Article 10.1 in respect of any Fixed Rate Tranche, the Borrower shall pay to the Bank the amount demanded together with the Prepayment Indemnity on any amount of principal due to be prepaid. Such Prepayment Indemnity shall accrue from the due date for payment specified in the Bank’s notice of demand and be calculated on the basis that prepayment is effected on the date so specified.
10.3.B Floating Rate Tranches
In case of demand under Article 10.1 in respect of any Floating Rate Tranche, the Borrower shall pay to the Bank the amount demanded together with a sum equal to the present value of 0.15% (fifteen basis points) per annum calculated and accruing on the amount of principal due to be prepaid in the same manner as interest would have been calculated and would have accrued, if that amount had remained outstanding according to the original amortisation schedule of the Tranche, until the Interest Revision/Conversion Date, if any, or the Maturity Date.
The value shall be calculated at a discount rate equal to the Redeployment Rate applied as of each relevant Payment Date.
10.3.C General
Amounts due by the Borrower pursuant to this Article 10.3 shall be payable on the date of prepayment specified in the Bank’s demand.
10.4 Non-Waiver
No failure or delay or single or partial exercise by the Bank in exercising any of its rights or remedies under this Contract shall be construed as a waiver of
such right or remedy. The rights and remedies provided in this Contract are cumulative and not exclusive of any rights or remedies provided by law.
Law and jurisdiction
11.1 Governing Law
This Contract shall be governed by the laws of the Grand Duchy of Luxembourg.
11.2 Jurisdiction
The parties hereby submit to the jurisdiction of the Court of Justice of the European Union.
The parties to this Contract hereby waive any immunity from or right to object to the jurisdiction of these courts. A decision of the courts given pursuant to this Article shall be conclusive and binding on each party without restriction or reservation.
11.3 Evidence of sums due
In any legal action arising out of this Contract the certificate of the Bank as to any amount or rate due to the Bank under this Contract shall, in the absence of manifest error, be prima facie evidence of such amount or rate.
11.4 Amendments
Any amendment to this Contract shall be made in writing and shall be signed by the parties hereto.
12.1 Notices to either party
ARTICLE 12
Final clauses
Notices and other communications given under this Contract addressed to either party to this Contract shall be made to the address or facsimile number as set out below, or to such other address or facsimile number as a party previously notifies to the other in writing:

Unless the Borrower shall otherwise specify in writing to the Bank, the Borrower shall be responsible for contacts with the Bank for the purposes of Article 6.8.
12.2 Form of notice
Any notice or other communication given under this Contract must be in writing.
Notices and other communications, for which fixed periods are laid down in this Contract or which themselves fix periods binding on the addressee, may be made by hand delivery, registered letter or facsimile. Such notices and communications shall be deemed to have been received by the other party on the date of delivery in relation to a hand-delivered or registered letter or on receipt of transmission in relation to a facsimile.
Other notices and communications may be made by hand delivery, registered letter or facsimile or, to the extent agreed by the parties by written agreement, by email or other electronic communication.
Without affecting the validity of any notice delivered by facsimile according to the paragraphs above, a copy of each notice delivered by facsimile shall also be sent by letter to the relevant party on the next following Business Day at the latest.
Notices issued by the Borrower pursuant to any provision of this Contract shall, where required by the Bank, be delivered to the Bank together with satisfactory evidence of the authority of the person or persons authorised to sign such notice on behalf of the Borrower and the authenticated specimen signature of such person or persons.
12.3 Entry into force
This Contract shall enter into force upon confirmation by the Bank to the Borrower that it has received a certified copy of the Official Gazette of the Republic of Serbia publishing the law on ratification of this Contract by the Parliament of the Republic of Serbia.

Technical Description and Reporting
A.1 Technical Description (Article 6.2)
The project, which aims to substantially improve the provision of tertiary healthcare services to the vast majority of the population of Serbia, comprises the design, construction, equipping and implementation of new build and major refurbishment of existing buildings at four Clinical Centres located at Belgrade, Nis, Novi Sad and Kragujevac in the Republic of Serbia. It also includes a number of smaller supporting investments at the four sites.
Description
The project comprises the following components:
a) Clinical Centre Belgrade – This sub-project is divided into 2 phases. Phase 1: Completion of part of the existing podium, construction of a new tower, construction of new technical buildings and parking areas. Phase 2: Renovation of the remaining existing building. The total area impacted bu the sub-project is approximately 150,000 sqm.
b) Clinical Centre Kragujevac – it concern the constrction of a new building, reconstruction of existing medical infrastructure, construction of new technical blocks, landscape works, roads, parking areas and sidewalks. The total area of influence of the project is approximately 30,000 sqm.
(c) Clinical Centre Nis – it concern the constrction of a new building, rehabilitation and expansion of existing medical infrastructure, construction of new technical blocks, landscape works, roads, parking areas and sidewalks. The total area of influence of the project is approximately 50,000 sqm.
d) Clinical Centre Novi Sad – it concerns the reconstruction and expansion of existing medical infrastructure, construction of technical blocks, landscape works, roads, parking areas and sidewalks. The total area of influence of the project is approximately 35,000 sqm.
e) Thermoenergetic Project Belgrade – replacement of the existing fuel oil fired boilers on the Belgrade site with a gas fired combined heat and power plant to generate electricity and low grade heat to the Belgrade Clinical Centre and associated buildings (completed).
f) Waste Management project – a national scheme to bring hospital waste management process in line with EU directives involving incinerators on the sites of the four Clinical Centres plus a number of mobile incinerators to serve the other hospitals in Serbia (completed).
g) Blood Transfusion project – the design, construction and commissioning of blood donor centres at each of the four Clinical Centres (completed).
h) Furthermore, the equipment purchase for 4 Clinical Centres is included into the project: medical and non-medical equipment to be installed in the new or refurbished facilities.
i) Technical Assistance contracts aiming to support the general improvement in healthcare provision in Serbia.
Programme
Basic design and feasibility studies began in 2003. Design and Supervision contracts were signed on 26 September 2008. Physical completion of all new and refurbished buildings is planned for December 2021.

Definitions of EURIBOR
A. EURIBOR
"EURIBOR" means:
(a) in respect of a relevant period of less than one month, the Screen Rate (as defined below) for a term of one month;
(b) in respect of a relevant period of one or more months for which a Screen Rate is available, the applicable Screen Rate for a term for the corresponding number of months; and
(c) in respect of a relevant period of more than one month for which a Screen Rate is not available, the rate resulting from a linear interpolation by reference to two Screen Rates, one of which is applicable for a period next shorter and the other for a period next longer than the length of the relevant period,
(the period for which the rate is taken or from which the rates are interpolated being the "Representative Period").
For the purposes of paragraphs (b) and (c) above:
"available" means the rates, for given maturities, that are calculated and published by Global Rate Set Systems Ltd (GRSS), or such other service provider selected by the European Money Markets Institute (EMMI), under the sponsorship of EMMI and EURIBOR ACI, or any successor to that function of EMMI and EURIBOR ACI as determined by the Bank; and
"Screen Rate" means the rate of interest for deposits in EUR for the relevant period as published at 11h00, Brussels time, or at a later time acceptable to the Bank on the day (the "Reset Date") which falls 2 (two) Relevant Business Days prior to the first day of the relevant period, on Reuters page EURIBOR 01 or its successor page or, failing which, by any other means of publication chosen for this purpose by the Bank.
If such Screen Rate is not so published, the Bank shall request the principal euro-zone offices of four major banks in the euro-zone, selected by the Bank, to quote the rate at which EUR deposits in a comparable amount are offered by each of them as at approximately 11h00, Brussels time, on the Reset Date to prime banks in the euro-zone interbank market for a period equal to the Representative Period. If at least 2 (two) quotations are provided, the rate for that Reset Date will be the arithmetic mean of the quotations.
If fewer than 2 (two) quotations are provided as requested, the rate for that Reset Date will be the arithmetic mean of the rates quoted by major banks in the euro-zone, selected by the Bank, at approximately 11h00, Brussels time, on the day which falls 2 (two) Relevant Business Days after the Reset Date, for loans in EUR in a comparable amount to leading European banks for a period equal to the Representative Period.
If no rate is available as provided above, EURIBOR shall be the rate (expressed as a percentage rate per annum) which is determined by the Bank to be the all-inclusive cost to the Bank for the funding of the relevant Tranche based upon the then applicable internally generated Bank reference rate or an alternative rate determination method reasonably determined by the Bank.
B. GENERAL
For the purposes of the foregoing definitions:
(a) All percentages resulting from any calculations referred to in this Schedule will be rounded, if necessary, to the nearest one hundred- thousandth of a percentage point, with halves being rounded up.
(b) The Bank shall inform the Borrower without delay of the quotations received by the Bank.
If any of the foregoing provisions becomes inconsistent with provisions adopted under the aegis of EMMI and EURIBOR ACI (or any successor to that function of EMMI and EURIBOR ACI as determined by the Bank) in respect of EURIBOR, the Bank may by notice to the Borrower amend the provision to bring it into line with such other provisions.

(d) no event or circumstance which constitutes or would with the passage of time or giving of notice under the Finance Contract constitute an event of default under Article 10.1 has occurred and is continuing unremedied or unwaived;
(e) no litigation, arbitration administrative proceedings or investigation is current or to our knowledge is threatened or pending before any court, arbitral body or agency which has resulted or if adversely determined is reasonably likely to result in a Material Adverse Change, nor is there subsisting against us or any of our subsidiaries any unsatisfied judgement or award;
(f) all necessary consents, authorisations, licences or approvals of governmental or public bodies or authorities required in connection with the Finance Contract and the Project for this Tranche have been obtained;
(g) the representations and warranties to be made or repeated by us under Article 6.11 are true in all material respects; and
(h) no Material Adverse Change has occurred, as compared with our condition at the date of the Finance Contract.

Schedule D
Interest Rate Revision and Conversion
If an Interest Revision/Conversion Date has been included in the Disbursement Notice for a Tranche, the following provisions shall apply.
A. Mechanics of Interest Revision/Conversion
Upon receiving an Interest Revision/Conversion Request the Bank shall, during the period commencing 60 (sixty) days and ending 30 (thirty) days before the Interest Revision/Conversion Date, deliver to the Borrower an Interest Revision/Conversion Proposal stating:
(a) the Fixed Rate and/or Spread that would apply to the Tranche, or the part thereof indicated in the Interest Revision/Conversion Request pursuant to Article 3.1; and
(b) that such rate shall apply until the Maturity Date or until a new Interest Revision/Conversion Date, if any, and that interest is payable quarterly, semi-annually or annually in arrears on designated Payment Dates.
The Borrower may accept in writing an Interest Revision/Conversion Proposal by the deadline specified therein.
Any amendment to this Contract requested by the Bank in this connection shall be effected by an agreement to be concluded not later than 15 (fifteen) days prior to the relevant Interest Revision/Conversion Date.
B. Effects of Interest Revision/Conversion
If the Borrower duly accepts in writing a Fixed Rate or a Spread in respect of an Interest Revision/Conversion Proposal, the Borrower shall pay accrued interest on the Interest Revision/Conversion Date and thereafter on the designated Payment Dates.
Prior to the Interest Revision/Conversion Date, the relevant provisions of this Contract and Disbursement Notice shall apply to the entire Tranche. From and including the Interest Revision/Conversion Date onwards, the provisions contained in the Interest Revision/Conversion Proposal relating to the new interest rate or Spread shall apply to the Tranche (or part thereof) until the new Interest Revision/Conversion Date, if any, or until the Maturity Date.
C. Non-fulfilment of Interest Revision/Conversion
If the Borrower does not submit an Interest Revision/Conversion Request or does not accept in writing the Interest Revision/Conversion Proposal for the Tranche or if the parties fail to effect an amendment requested by the Bank pursuant to Paragraph A above, the Borrower shall repay the Tranche (or part thereof) on the Interest Revision/Conversion Date, without indemnity. The Borrower will repay on the Interest Revision/Conversion Date any part of a Tranche which is unaffected by the Interest Revision/Conversion.

OVAJ UGOVOR SE ZAKLjUČUJE IZMEĐU:
Republike Srbije, koju predstavlja ministar finansija xx Xxxxx Xxxxxxx, u ime Vlade, kao zastupnika Republike Srbije | (u daljem tekstu: Zajmoprimac) |
sa jedne strane, i
Evropske investicione banke, sa sedištem u bulevaru Xxxxxx Xxxxxxxx 100, L-2950 Luksemburg, koju predstavlja potpredsednik Xxxxx Xxxxxxxxxxx | (u daljem tekstu: Banka) |
s druge strane.
S OBZIROM NA TO DA:
(a) je Zajmoprimac naveo da želi da sprovede projekat (u daljem tekstu: Projekat) preko svog Ministarstva zdravlja (Zajmoprimac, postupajući posredstvom svog Ministarstva zdravlja u daljem tekstu: Promoter) koji će se sastojati od modernizacije, unapređenja i proširenja četiri tercijarne bolnice u Srbiji – u Beogradu, Kragujevcu, Nišu i Novom Sadu, kao što je detaljnije opisano u tehničkom opisu (u daljem tekstu: Tehnički opis) datom u Prilogu A ovog ugovora.
(b) Ukupna vrednost Projekta procenjuje se xx xxxxxx Xxxxx na 430.000.000 evra (četiristotinetrideset miliona evra) koji će se finansirati na sledeći način:

(c) Finansiranje Projekta u skladu sa ovim ugovorom obezbeđeno je sporazumom o garanciji koji je zaključen 29. avgusta 2007. godine između Evropske zajednice i Banke, a u skladu sa članom 8. Odluke Saveta 2006/1016/EC od 19. decembra 2006. godine. Republika Srbija (bivša Savezna Republika Jugoslavija) jedna od država navedenih u Odluci br. 633/2009/EC, a 11. maja 2009. godine zaključila je sa Bankom Okvirni sporazum koji reguliše aktivnosti Banke na teritoriji Republike Srbije (u daljem tekstu: „Okvirni sporazum”).
(d) Kako bi bio u mogućnosti da obezbedi neophodno finansiranje Projekta, Zajmoprimac je zatražio xx Xxxxx da mu odobri kredit u iznosu od 200.000.000 evra (dvestotine miliona evra).
(e) Odazivajući se na zahtev Zajmoprimca, a pošto je uverena da finansiranje Potprojekata xxxxx u delokrug njenih funkcija i odgovara ciljevima Okvirnog sporazuma, i oslanjajući se, između ostalog, na izjave i činjenice koje se navode u ovim stavovima Preambule,
(i) Xxxxx xx 8. decembra 2006. godine u Beogradu potpisala prvi ugovor sa Zajmoprimcem na iznos od 80.000.000 evra (osamdeset miliona evra);
(ii) Xxxxx xx 12. decembra 2008. godine u Beogradu potpisala drugi ugovor sa Zajmoprimcem na iznos od 70.000.000 evra (sedamdeset miliona evra);
(iii) xxxx, Xxxxx xx odlučila da prihvati navedeni zahtev Zajmoprimca te da mu odobri xxxxx xxxxxx u iznosu od 50.000.000 evra (pedeset miliona evra) u skladu sa ovim finansijskim ugovorom („Ugovor”) što predstavlja njegove trenutne finansijske potrebe.
(f) Statut Banke utvrđuje da xx Xxxxx dužna da koristi svoja sredstva što racionalnije i u interesu Evropske unije, te u skladu sa xxx, uslovi njenih zajmovnih operacija moraju biti usklađeni sa politikom Evropske unije.
(g) Banka smatra da pristup informacijama igra suštinsku ulogu u smanjenju ekoloških i socijalnih rizika, uključujući i kršenja ljudskih prava, vezano za projekte koje finansira, te xx xxxxx utvrdila svoju politiku transparentnosti koja
ima za cilj povećanje odgovornosti EIB xxxxx xxxxx svojim članicama i građanima Evropske unije uopšte.
(h) Obradu ličnih podataka vrši Banka u skladu sa primenljivim zakonodavstvom Evropske unije o zaštiti pojedinaca u pogledu obrade ličnih podataka xx xxxxxx institucija i tela Evropske komisije i o slobodnom kretanju navedenih podataka.
I S XXX U VEZI je dogovoreno sledeće:
TUMAČENjE I DEFINICIJE
Tumačenje
U ovom ugovoru, pozivanja na:
(a) članove, Preambulu i priloge, ukoliko nije izričito drugačije navedeno, odnose se na članove, Preambulu i priloge ovog ugovora;
(b) odredbe zakona su pozivanja na odredbu tog zakona uključujući i sve naknadne izmene i dopune istog; i
(c) bilo koji drugi sporazum ili instrument odnose se na taj sporazum ili instrument uključujući i izmenjen, obnovljen, dopunjen, proširen ili prepravljen sporazum.
Definicije
U ovom ugovoru:
„Rok za prihvatanje” obaveštenja označava:
(a) 16.00 časova po luksemburškom vremenu na xxx dostavljanja, ako se obaveštenje dostavi do 14.00 časova po luksemburškom vremenu na radni xxx; ili
(b) 11.00 časova po luksemburškom vremenu narednog radnog xxxx, ako je obaveštenje dostavljeno posle 14.00 časova po luksemburškom vremenu bilo kog xxxx ili ako je dostavljeno na xxx koji nije radni xxx.
„Ovlašćenje” označava svako ovlašćenje, dozvolu, pristanak, odobrenje, odluku, licencu, izuzeće, podnesak, overu ili registraciju.
„Vodič za nabavke Banke” označava vodič za nabavke banke dostupan na internet stranici EIB-a.1
„Radni xxx” je xxx (osim subote ili nedelje) kada su Banka i poslovne banke otvorene za redovno poslovanje u Luksemburgu i Beogradu.
„Slučaj promene zakona” ima značenje navedeno u članu 4.3.A(3).
„Ugovor” ima značenje koje mu se daje u Preambuli (e).
„Kredit” ima značenje koje mu se daje u članu 1.1.
„Krivično delo” označava bilo koje od sledećih krivičnih dela, u zavisnosti od slučaja: malverzaciju, korupciju, iznuđivanje, prisilu, krivotvorenje, ometanje, pranje novca, finansiranje terorizma.
„Obeštećenje za odlaganje” označava obeštećenje obračunato na iznos odložene ili obustavljene isplate po procentualnoj stopi (ako xx xxxx xx xxxx) kojom:
1 xxxx://xxx.xxx.xxx/xxxxxxxx/xxxxxxxxxxxx/xxxxx-xx-xxxxxxxxxxx.xxx. Napominje se da se primenjuje verzija Vodiča koji je na snazi u vreme javne nabavke za projekat.
(a) kamatna xxxxx koja bi bila primenljiva na taj iznos da je isplaćen zajmoprimcu na zakazani datum isplate, prevazilazi
(b) relevantnu međubankarsku stopu (jednomesečnu stopu) umanjenu za 0,125% (12,5 baznih poena), osim u slučaju da je ta vrednost manja od nule, kada iznosi nula.
Takvo obeštećenje će se obračunavati od Zakazanog datuma isplate do Datuma isplate ili, kao što može biti slučaj, do datuma otkazivanja najavljene tranše u skladu sa ovim ugovorom.
„Datum isplate” označava datum na koji xx Xxxxx izvršila stvarnu isplatu tranše.
„Obaveštenje o isplati” znači obaveštenje Banke Zajmoprimcu shodno i u skladu sa članom 1.2.C.
„Zahtev za isplatu” je obaveštenje koje u osnovi ima formu iz Priloga C.1.
„Slučaj poremećaja” ima jedno od sledeća dva značenja ili oba:
(a) materijalni poremećaj onih sistema plaćanja ili komunikacionih sistema ili finansijskih tržišta, čije je funkcionisanje potrebno za izvršavanje plaćanja vezanih za ovaj ugovor; ili
(b) bilo koji drugi događaj koji ima za rezultat poremećaj funkcionisanja (tehničke ili sistemske prirode) trezora ili plaćanja bilo Banke, bilo Zajmoprimca, koji ih sprečava da:
(i) izvrši svoje obaveze isplate prema ovom ugovoru; ili
(ii) komunicira sa drugim stranama,
i kada poremećaj (bilo u slučaju (a) ili (b) xxxx navedenim) nije uzrokovan i van kontrole xxxxxx xxxx je rad poremećen.
„Životna sredina” će označavati sledeće, u meri u kojoj utiče na zdravlje i dobrobit društva:
(a) floru i faunu;
(b) zemljište, vodu, vazduh, klimu i prirodnu sredinu; i
(c) kulturnu baštinu i izgrađenu okolinu;
i uključuje bez ograničenja, profesionalno zdravlje i zdravlje i bezbednost zajednice.
„Ekološka i sociološka studija procene uticaja” označava opsežnu studiju koja predstavlja rezultat ekološke i sociološke studije procene uticaja identifikujući i procenjujući potencijalne ekološke i socijalne uticaje udružene sa predloženim projektom i predlažući mere da se izbegne, smanji i/ili otkloni bilo koji uticaj. Ova studija predmet je javnih konsultacija sa direktnim i indirektnim učesnicima projekta.
„Ekološka i sociološka dokumenta” označava (a) mišljenje kompetentnog organa na primenu nacionalne ESIA regulative; i ukoliko je potrebno, xx xxxxxx kompetentnog organa, razvoj ESIA u skladu sa nacionalnim procedurama: (b) Ekološka i sociološka studija procene uticaja, i ne tehnički kratak pregled.
„Ekološki i socijalni standardi EIB-a” označava ekološke i socijalne standarde iz 2013. xxxxxx xxxx su sadržani u knjizi I ekološkog i socijalnog Priručnika, koji je dostupan na xxxx://xxx.xxx.xxx/xxxxxxxxxx/xxxxxxxxxxxx/xxx/xxxxxxxxxxxx-xxx-xxxxxx- practices-handbook.htm koji opisuje standarde koje EIB zahteva od projekata koje finansira i odgovornosti različitih strana.
„Ekološka ili socijalna dozvola” znači bilo koja dozvola, licenca, ovlašćenje, saglasnost ili drugo odobrenje potrebno u skladu sa Zakonom o životnoj sredini ili Socijalnim zakonom, a u vezi sa izgradnjom ili funkcionisanjem Projekta.
„Tužba za ugrožavanje životne sredine ili socijalna tužba” znači bilo koja tužba, postupak, zvanično obaveštenje ili istraga xx xxxxxx bilo kog lica u pogledu bilo kojih socijalnih ili ekoloških pitanja koja utiču na Projekat, uključujući bilo koji prekršaj ili navodni prekršaj bilo kog ekološkog i socijalnog standarda.
„Zakon o zaštiti životne sredine” označava:
(a) zakonodavstvo Evropske unije, uključujući standarde i načela, osim bilo kog odstupanja koje Banka prihvati za potrebe ovog ugovora, koje se zasniva na bilo kom sporazumu između Republike Srbije i EU;
(b) zakone i propise Republike Srbije; i
(c) međunarodne sporazume i konvencije potpisane i ratifikovane ili na drugi način primenljive i obavezujuće za Republiku Srbiju,
xxxx je glavni cilj očuvanje, zaštita ili unapređenje životne sredine.
„EURIBOR” ima značenje koje mu se daje u Prilogu B.
„EUR" ili „evro” označava zakonsku valutu država članica Evropske unije koju usvajaju ili su usvojile kao svoju valutu, u skladu sa odgovarajućim odredbama Ugovora o Evropskoj uniji i Ugovora o funkcionisanju Evropske unije ili njihovim budućim ugovorima.
„Instrument spoljnog duga” ima značenje koje mu se daje u članu 7.1.
„Slučaj neispunjenja obaveza” označava bilo koju od okolnosti, događaja ili dešavanja navedenih u članu 10.1.
„Krajnji datum raspoloživosti” označava datum koji pada na 15. jun 2022. godine ili na kasniji datum ukoliko bude odobren xx xxxxxx Xxxxx u pisanoj formi, nakon formalnog zahteva u pisanoj formi xx xxxxxx Zajmoprimca.
„Fiksna kamatna xxxxx” označava godišnju kamatnu stopu koju utvrdi Banka u skladu sa važećim principima koje povremeno utvrđuju upravna xxxx Xxxxx za zajmove date po fiksnoj kamatnoj stopi, izražene u valuti Tranše i koji nose jednake uslove za otplatu glavnice i plaćanje xxxxxx.
„Tranša sa fiksnom kamatnom stopom” označava Tranšu koja se isplaćuje uz primenu fiksne kamatne stope.
„Varijabilna kamatna xxxxx” označava varijabilnu kamatnu stopu sa fiksnim rasponom, odnosno kamatnu stopu na godišnjem nivou koju određuje Banka za svaki sukcesivni referentni period varijabilne kamatne stope jednaku relevantnoj međubankarskoj stopi plus Raspon.
„Referentni period varijabilne kamatne stope” označava svaki period od jednog Datuma plaćanja do sledećeg relevantnog Datuma plaćanja; prvi Referentni period varijabilne kamatne stope počinje na datum isplate Tranše.
„Tranša sa varijabilnom kamatnom stopom” označava Tranšu koja se isplaćuje uz primenu varijabilne kamatne stope.
„Funkcionalni plan” označava plan koji opisuje prirodu i kapacitet usluga koje xx Xxxxxxxx centar pružati nakon završetka Projekta.
„Slučaj prevremenog plaćanja sa naknadom” označava slučaj prevremenog plaćanja sem onog definisanog u skladu sa stavom 4.3.A(2).
„Revizija/konverzija xxxxxx” označava utvrđivanje novih finansijskih uslova koji se odnose na kamatnu stopu, posebno reviziju osnovice iste kamatne („revizija”) ili promenu kamatne stope („konverzija”) koja se može ponuditi za preostali rok Tranše ili do sledećeg datuma revizije/konverzije, ako postoji, za iznos koji, na predloženi datum revizije/konverzije xxxxxx, nije niži od 10.000.000 evra (deset miliona evra) ili ekvivalenta tog iznosa.
„Datum revizije/konverzije xxxxxx” označava datum, koji je Datum plaćanja koji odredi Banka prema članu 1.2.C u Obaveštenju o isplati ili prema članu 3. i Prilogu D.
„Predlog revizije/konverzije xxxxxx" označava predlog koji daje Banka prema Prilogu D.
„Zahtev za reviziju/konverziju xxxxxx” označava xxxxxx obaveštenje Zajmoprimca, koje xxxx biti isporučeno najmanje 75 (sedamdeset pet) xxxx pre Datuma revizije/konverzije xxxxxx, kojim se xx Xxxxx traži da podnese Predlog revizije/konverzije xxxxxx. Zahtev za reviziju/konverziju xxxxxx xx takođe precizirati i sledeće:
(a) Datume plaćanja odabrane u skladu sa odgovarajućim odredbama člana 3.1;
(b) traženi plan otplate odabran u skladu sa članom 4.1; i
(c) svaki sledeći datum revizije/konverzije xxxxxx odabran u skladu sa članom 3.1.
„Zajam” označava zbirni iznos Tranši koje Banka s vremena na vreme isplaćuje po ovom ugovoru.
„Slučaj poremećaja na tržištu” označava jednu od sledećih okolnosti:
(a) postoje, prema razumnoj proceni Banke, događaji ili okolnosti koje štetno utiču na pristup Banke svojim izvorima finansiranja;
(b) prema proceni Banke, fondovi za adekvatno finansiranje tranše u relevantnoj valuti i/ili za relevantan datum otplate i/ili u vezi sa profilom otplate takve Tranše, nisu dostupni iz uobičajenih izvora finansiranja; ili
(c) u vezi sa Tranšom za koju se kamata plaća ili bi se plaćala prema varijabilnoj kamatnoj stopi:
(i) troškovi pribavljanja sredstava iz redovnih izvora finansiranja Banke, xxxx xx određeno xx xxxxxx Xxxxx, za period jednak Referentnom periodu varijabilne kamatne stope navedene Tranše (tj. na tržištu novca) prevazilaze primenjenu Relevantnu međubankarsku stopu; ili
(ii) Banka procenjuje da ne postoje fer i adekvatni uslovi za određivanje primenjive Relevantne međubankarske stope za relevantnu valutu takve Tranše ili nije moguće odrediti Relevantnu međubankarsku stopu u skladu sa definicijom iz Priloga B.
„Materijalno štetna promena” koja xx xxxx Zajmoprimca znači, svaki događaj ili promenu stanja koji utiču na Zajmoprimca tako da, po mišljenju Banke:
(a) materijalno ugrožava sposobnost Zajmoprimca da izvršava svoje obaveze iz ovog ugovora; ili
(b) materijalno utiče na finansijsko stanje i perspektive Zajmoprimca.
„Datum otplate” označavaće poslednji datum otplate Tranše koji se utvrđuje prema članu 4.1.A(b)(iv).
„Najavljena tranša” označava Tranšu za koju xx Xxxxx dala Obaveštenje o isplati.
„Datum plaćanja” označava godišnje, polugodišnje ili tromesečne datume koji se navode u Obaveštenju o isplati do datuma revizije/konverzije xxxxxx, ako postoji, ili Datuma otplate, osim ako, u slučaju da bilo koji takav datum nije Relevantni radni xxx, on označava:
(a) za Tranšu sa fiksnom kamatom, naredni Relevantni radni xxx, bez korekcije za kamatu dospelu po članu 3.1; i
(b) za Tranšu sa varijabilnom kamatnom stopom, sledeći xxx, ako postoji, tekućeg kalendarskog meseca koji je Relevantni radni xxx ili, ako ga nema, najbliži prethodni xxx koji je Relevantni radni xxx, u svakom slučaju sa odgovarajućom korekcijom xxxxxx dospele shodno članu 3.1.
„JIP” ima značenje koje mu se daje u članu 1.4.B.
„Iznos prevremene otplate” označava iznos Tranše koju će Zajmoprimac prevremeno otplatiti prema članu 4.2.A.
„Datum prevremene otplate” označava datum, koji će biti Datum plaćanja, kada Zajmoprimac predloži da izvrši prevremeno plaćanje Iznosa prevremene otplate.
„Slučaj prevremene otplate” označava bilo koji od događaja opisanih u članu 4.3.A.
„Obeštećenje za prevremenu otplatu” u odnosu na bilo koji iznos glavnice koji se prevremeno otplaćuje ili otkazuje označava iznos xxxx Xxxxx saopštava Zajmoprimcu kao sadašnju vrednost (na datum prevremene otplate) viška, ukoliko postoji, od:
(a) kamate koja bi se obračunala na taj iznos prevremene otplate tokom perioda od datuma prevremene otplate do datuma promene/konverzije xxxxxx, ako ga ima, ili datuma dospeća, da nije bilo prevremene otplate; preko
(b) kamate koja bi se obračunala tokom tog perioda, kada bi se obračunavala po stopi za prebacivanje, umanjenoj za 0,15% (petnaest baznih poena).
Navedena sadašnja vrednost se obračunava po diskontnoj stopi xxxx xx jednaka stopi za prebacivanje, primenjenoj na svaki odgovarajući datum plaćanja.
„Obaveštenje o prevremenoj otplati” označava xxxxxx obaveštenje Banke Zajmoprimcu u skladu sa članom 4.2.C.
„Zahtev za prevremenu otplatu” označava xxxxxx obaveštenje Zajmoprimca Banci u cilju prevremene otplate celog ili dela Zajma, u skladu sa članom 4.2.A.
„Projekat” ima značenje koje mu se daje u navodu (a) Preambule.
„Promoter” ima značenje koje mu sa daje u navodu (a) Preambule.
„Kvalifikovani rashodi” označavaju rashode (uključujući troškove projektovanja i nadzora ako je relevantno, bez poreza i dažbina koje plaća Zajmoprimac) koje je napravio Zajmoprimac radi sprovođenja Projekta, u vezi sa radovima, dobrima i uslugama koje se odnose na stavke koje su u Tehničkom opisu navedene kao podobne za finansiranje shodno uslovima ovog Kredita, a koje su predmet ugovora ili više ugovora koji su potpisani po uslovima prihvatljivim za Banku, imajući u vidu najnovije izdanje Vodiča za nabavke.
„Xxxxx za prebacivanje” označava fiksnu kamatnu stopu xxxx xx na snazi na xxx obračuna obeštećenja za zajmove s fiksnom kamatnom stopom izraženu u istoj valuti, a koja ima jednake uslove plaćanja xxxxxx i jednak profil otplate do datuma promene/konverzije xxxxxx, ako takav postoji, ili datuma dospeća tranše za koju se predlaže ili zahteva prevremena otplata. Za slučajeve xxxx xx rok kraći od 48 meseci (ili 36 meseci ukoliko se u xxx periodu ne vrši otplata glavnice), koristi se najpribližniji ekvivalent stope na tržištu novca, odnosno relevantna međubankarska xxxxx
umanjena za 0,125% (12,5 baznih poena) za periode do 12 (dvanaest) meseci. Za periode između 12 i 36/48 meseci, u zavisnosti od slučaja, primenjuje xx xxxxx ponude na xxxxxx xxxxx koje objavljuje Rojters za relevantnu valutu i koju Banka primenjuje u vreme obračuna.
„Relevantni radni xxx” označava xxx xxxx je Trans-European Automated Real- time Gross Settlement Express Transfer payment system koji koristi jedinstvenu zajedničku platformu i koji je pokrenut 19. novembra 2007. godine (TARGET2), otvoren za izmirenje plaćanja u evrima.
„Relevantna međubankarska xxxxx” znači: EURIBOR.
„Zakazani datum isplate” označavaće datum za koji je zakazana isplata Tranše u skladu sa članom 1.2.C.
„Socijalni zakon” označava svaki od:
(a) zakona primenljivih u Republici Srbiji koji se odnose na socijalna pitanja;
(b) bilo koje MOR konvencije;
(c) bilo kog ugovora Ujedinjenih nacija, konvencije ili sporazuma o ljudskim pravima potpisanog i ratifikovanog ili na drugi način važećeg i obavezujućeg za Republiku Srbiju.
„Socijalna pitanja” označavaju sve, ili bilo koje od sledećeg: (i) uslovi rada i zapošljavanja (ii) zdravlje i bezbednost na radu, (iii) zaštita i osnaživanje prava i interesa autohtonih naroda, etničkih manjina i ranjivih grupa, (iv) kulturno nasleđe (materijalno i nematerijalno), (v) javno zdravlje, sigurnost i bezbednost, (vi) nevoljno fizičko preseljenje i/ili raseljavanje iz ekonomskih razloga i gubitak xxxxxxx xxxx, i (vii) javno učešće i angažovanje zainteresovanih strana.
„Raspon” označava fiksni raspon na Relevantnu međubankarsku kamatu (bilo da je plus ili minus) koji je odredila Banka i o njemu obavestila zajmoprimca u relevantnom Obaveštenju o isplati ili Predlogu revizije/konverzije xxxxxx.
„Porez” označava svaki porez, namet, davanje, carinu ili drugi namet ili zadržavanje poreza slične prirode (uključujući svaki penal ili xxxxxx xxxx se plaća u vezi xx xxxx kakvim neplaćanjem ili kašnjenjem u isplati istih).
„Tehnički opis” ima značenje koje mu se daje u navodu (a) Preambule.
„Tranša” će označavati svaku isplatu xxxx xx izvršena ili treba da se izvrši prema ovom ugovoru. U slučaju da nije isporučeno obaveštenje o isplati, tranša treba da označava tranšu xxxx xx definisano u članu 1.2.B.
Č lan 1.
Kredit i isplata
1.1 Iznos Kredita
Ovim ugovorom Banka daje u korist Zajmoprimca, a Zajmoprimac prihvata, kredit u iznosu od 50.000.000 evra (pedeset miliona evra) za potrebe finansiranja Projekta (u daljem tekstu: Kredit).
1.2 Postupak isplate
1.2.A Tranše
Xxxxx xx isplatiti Kredit u 5 (pet) tranši. Iznos svake tranše, pod uslovom da to nisu nepovučena sredstva Kredita, xxxx najmanje 10.000.000 evra (deset miliona evra). Visina prve tranše iznosiće najmanje 5.000.000 evra (pet miliona evra).
1.2.B Zahtev za isplatu
(a) Zajmoprimac može da podnese Banci Zahtev za isplatu Tranše, takav Zahtev za isplatu Banka xxxx xxxxxxx najmanje 15 (petnaest) xxxx pre Krajnjeg datuma raspoloživosti. Zahtev za isplatu Tranše xxxx u formi definisanoj u Prilogu C.1 i preciziraće:
(i) iznos Tranše;
(ii) traženi datum za isplatu Tranše, koji će biti Relevantni radni xxx koji pada najmanje 15 (petnaest) xxxx xxxxx datuma u Zahtevu za isplatu, a u svakom slučaju najkasnije na Krajnji datum raspoloživosti sredstava ili pre tog datuma, s xxx xx Xxxxx može da isplati tranšu do 4 (četiri) kalendarska meseca od datuma zahteva za isplatu nezavisno od Krajnjeg datuma raspoloživosti sredstava;
(iii) da xx xx u pitanju tranša s fiksnom kamatnom stopom ili tranša s promenljivom kamatnom stopom, pri čemu svaka od njih treba da bude u skladu s odgovarajućim odredbama člana 3.1;
(iv) željenu dinamiku otplate xxxxxx za tranšu, odabranu u skladu sa članom 3.1;
(v) željene uslove otplate glavnice za tranšu, odabrane u skladu sa članom 4.1;
(vi) željeni prvi i poslednji datum otplate glavnice za tranšu;
(vii) predlog Zajmoprimca u vezi sa Datumom revizije/konverzije xxxxxx za tranšu, ukoliko postoji;
(viii) IBAN broj (ili odgovarajući format u skladu s lokalnom bankarskom praksom) i oznaku SWIFT BIC bankovnog računa na xxxx xxxxx izvršiti isplatu tranše u skladu sa članom 1.2.D).
(b) Ukoliko Banka, postupajući po zahtevu Zajmoprimca, dostavi Zajmoprimcu, pre podnošenja Zahteva za isplatu, neobavezujuću fiksnu kamatnu stopu ili kvotu raspona koja bi se primenjivala na tranšu, Zajmoprimac može takođe, po svom izboru, da precizira takvu kvotu u Zahtevu za isplatu, odnosno:
(i) za Tranšu sa fiksnom kamatom, fiksnu kamatnu stopu prethodno navedenu xx xxxxxx Xxxxx; ili
(ii) za Tranšu sa varijabilnom kamatnom stopom, Raspon prethodno naveden xx xxxxxx Xxxxx,
xxxx se primenjuje na tranšu do Datuma otplate ili Datuma revizije/konverzije xxxxxx, ukoliko postoji.
(c) Uz svaki Zahtev za isplatu dostavlja se dokaz o ovlašćenju jednog ili više lica za potpisivanje zahteva, sa uzorkom potpisa svakog od tih lica ili izjava Zajmoprimca da nije došlo do promene xxxx xxxx/e su/je ovlašćeni/o za potpisivanje Zahteva za isplatu u skladu sa Ugovorom.
(d) Shodno članu 1.2.C(b), svaki Zahtev za isplatu je neopoziv.
1.2.C Obaveštenje o isplati
(a) Najmanje 10 (deset) xxxx pre predloženog planiranog datuma isplate tranše Xxxxx xx, ako zahtev za isplatu zadovoljava zahteve iz ovog člana 1.2, dostaviti Zajmoprimcu obaveštenje o isplati kojim će odrediti:
(i) iznos tranše;
(ii) planirani datum isplate;
(iii) osnovicu kamatne stope tranše, bilo da je reč o: (1) tranši s fiksnom kamatnom stopom; ili (2) tranši s promenljivom kamatnom stopom, a sve u skladu s relevantnim odredbama člana 3.1;
(iv) prvi datum plaćanja xxxxxx i dinamiku otplate xxxxxx za tranšu;
(v) uslove otplate glavnice tranše;
(vi) prvi i poslednji datum otplate glavnice tranše;
(vii) primenjive datume plaćanja za tranšu;
(viii) datum revizije/konverzije xxxxxx za tranšu, ako Zajmoprimac to zahteva;
(ix) za tranšu s fiksnom kamatnom stopom – fiksnu kamatu, a za tranšu s promenljivom kamatnom stopom – raspon koji se primenjuje na tranšu do datuma revizije/konverzije xxxxxx, ukoliko postoji, odnosno do datuma dospeća.
(b) Ako jedan ili više elemenata utvrđenih obaveštenjem o isplati nije u skladu s odgovarajućim elementom u zahtevu za isplatu, Zajmoprimac može, nakon prijema obaveštenja o isplati, da povuče zahtev za isplatu dostavljanjem pisanog obaveštenja Banci, koje Banka mora da primi najkasnije u 12:00 sati po luksemburškom vremenu narednog radnog xxxx, nakon čega zahtev za isplatu i obaveštenje o isplati prestaju xx xxxx. Ako Zajmoprimac nije pisanim putem povukao zahtev za isplatu u xxx roku, smatraće se da je Xxxxxxxxxxx prihvatio sve elemente navedene u obaveštenju o isplati.
(c) Ako je Zajmoprimac podneo Banci zahtev za isplatu u kojem Zajmoprimac nije naveo fiksnu kamatnu stopu ili kamatnu maržu u skladu sa članom 1.2.B(b), smatraće se da se Zajmoprimac unapred saglasio s fiksnom kamatom ili kamatnom maržom koje su naknadno navedene u obaveštenju o isplati.
1.2.D Račun za isplatu
Iznos svake Tranše Xxxxx xx isplatiti u ime i za račun Zajmoprimca transferom na poseban račun nazvan „Klinički centri/C” otvoren u ime Ministarstva finansija Zajmoprimca kod Narodne banke Srbije i sa brojem koji će biti saopšten Banci u pisanoj formi xx xxxxxx odgovarajućeg ovlašćenog lica Ministarstva finansija Zajmoprimca zajedno sa prvim Zahtevom za isplatu Tranše.
1.3 Valuta isplate
Xxxxx xx vršiti isplatu svake Tranše u evrima.
1.4 Uslovi za isplatu
1.4.A Prva tranša
Uslov za isplatu prve tranše na osnovu člana 1.2 xx xx Xxxxx primi, na ili pre datuma koji pada 7 (xxxxx) radnih xxxx pre planiranog datuma isplate, sledeće dokumente ili dokaze u formi i sadržaju koje Banka smatra zadovoljavajućim:
(a) dokaz da je potpisivanje ovog ugovora xx xxxxxx Zajmoprimca propisno odobreno i da je/su lice ili xxxx xxxx potpisuju Ugovor u ime Zajmoprimca propisno ovlašćeni za to, sa uzorkom potpisa svakog takvog lica;
(b) pravno mišljenje na engleskom jeziku koje je izdalo Ministarstvo pravde Zajmoprimca, kojim se potvrđuje:
(i) da je zaključenje ovog ugovora odobreno odlukom Vlade Republike Srbije;
(ii) da je Zajmoprimac propisno potpisao ovaj ugovor;
(iii) da su njegove odredbe u potpunosti na snazi;
(iv) da xx xxxxxx, obavezujući i izvršiv u Republici Srbiji u skladu sa svojim uslovima, i
(v) da ne postoje ograničenja devizne kontrole, odnosno da nisu potrebne saglasnosti da bi se dozvolilo primanje svih iznosa koji će shodno ovom ugovoru biti isplaćeni na poseban račun određen u članu 1.2.D, niti da bi se dozvolila otplata Zajma i plaćanje kamata i svih drugih iznosa dospelih na osnovu ovog ugovora;
(c) dokaz da su javne nabavke vezane za delove projekta, a koje finansira Banka, u saglasnosti sa Vodičem za nabavke Banke; relevantna dokumentacija o nabavkama xxxx biti zadovoljavajuća za Banku; i
(d) dokaz da su sve saglasnosti devizne kontrole, navedene kao neophodne xx xxxxxx Xxxxx ili u pravnom mišljenju iznesenom u xxxx navedenom stavu (b), dobijene kako bi se izvršilo primanje svih iznosa koji će shodno ovom ugovoru biti isplaćeni u cilju otplate Zajma i plaćanje kamata i svih drugih dospelih iznosa.
1.4.B Sve tranše
Na isplatu svake tranše na osnovu člana 1.2, uključujući i prvu, primenjuju se sledeći uslovi:
(a) da xx Xxxxx primila, u formi i sadržaju zadovoljavajućim za nju, na ili pre datuma koji pada 7 (xxxxx) radnih xxxx pre planiranog datuma isplate sledeća dokumenta ili dokaze:
(i) potvrde Zajmoprimca u formi iz Priloga C.2 potpisane xx xxxxxx ovlašćenog predstavnika Zajmoprimca i datiranog ne ranije od datuma koji pada 15 xxxx pre planiranog datuma isplate;
(ii) dokaza da je Zajmoprimac dobio sve neophodne saglasnosti, autorizacije, dozvole ili odobrenja xx xxxxxx vladinih ili državnih ili nadležnih organa, navedene kao potrebne u ovom ugovoru ili Projektu za relevantnu tranšu;
(iii) dokaza koji pokazuje da posle povlačenja relevantne Xxxxxx, ukupan iznos Zajma/Zajmova neće biti veći od ukupnog Kvalifikovanog rashoda koji predstavlja ugovornu obavezu Zajmoprimca prema Projektu, do datuma relevantnog Zahteva za isplatu;
(iv) dokaza na engleskom jeziku da Zajmoprimac održava Jedinicu za implementaciju projekta („JIPˮ) na zadovoljavajući način za Banku, i da je ona adekvatno opremljena ljudstvom kvalifikovanim i posvećenim poslu za sprovođenje sledećih obaveza:
(1) pripremu tendera, objavljivanje, procese ocenjivanja i dodeljivanja ugovora,
(2) koordinaciju aktivnosti i administrativnu podršku projektnim timovima za četiri klinička centra navedena u Preambuli (a); i
(3) upravljanje procesom isplata i dostavu izveštaja o napretku Banci; i
(v) primerak svakog drugog ovlašćenja ili drugog akta, mišljenja ili uverenja koji xx Xxxxx naznačila Zajmoprimcu kao neophodan ili poželjan, u vezi sa izvršavanjem ugovornih obaveza Zajmoprimca i transakcijama koje su njime predviđene ili za valjanost i izvršnost ovog ugovora.
(b) da su na datum isplate predložene Tranše:
(i) izjave i jemstva koji se ponavljaju u skladu sa članom 6.7 tačni u svakom smislu; i
(ii) da nije nastupio ni jedan događaj xxxx xxxx ili bi protekom vremena ili davanjem obaveštenja po ovom ugovoru činio:
(1) slučaj neispunjenja obaveza; ili
(2) slučaj prevremenog plaćanja;
i da isti nije u toku ili nije otklonjen, bez odricanja ili koji bi nastao iz isplate predložene Tranše; i
(iii) Xxxxx xx zadovoljna izvođenjem radova iz prethodne faze/a i adekvatnom reakcijom Promotera na sve probleme na koje xx Xxxxx ukazala.
1.4.C Tranše koje se odnose na ugovore za izvođenje građevinskih radova
Ne izuzimajući ostale uslove iz ovog člana 1.4, isplate namenjene za finansiranje građevinskih radova za svaki od četiri klinička centra navedena u stavu (a) Preambule zavisiće od toga da li xx Xxxxx primila od Zajmoprimca pre, ili na datum koji pada dvadeset (20) Radnih xxxx pre Zakazanog datuma isplate, a u svakom slučaju pre dodele prvih ugovora o izvođenju građevinskih radova, za svaki od četiri klinička centra navedenih u stavu (a) Preambule sledeća dokumenta ili druge dokaze koji su po formi i sadržini zadovoljavajući za nju:
(a) primerak prvog ugovora o izvođenju građevinskih radova koji će biti dodeljen za svaki od kliničkih centara iz stava (a) Preambule na odobrenje Banke;
(b) primerak ažuriranog Funkcionalnog plana koji je pripremio Promoter, koji će se sprovoditi zajedno sa projektom, za svaki od četiri klinička centra;
(c) ppimerak Konačnih detaljnih nacrta dokumenata za izvođenje radova i detaljnu strukturu budžeta, kao i bilo koju drugu raspoloživu tehničku dokumentaciju potrebnu za definisanje objekata koji su deo projekta (veličina, kapacitet, glavne funkcije itd), podela glavnih oblasti (medicinska i nemedicinska), podela soba (medicinske i nemedicinske) u okviru različitih jedinica;
(d) lista medicinske i nemedicinske opreme (glavne specifikacije, broj i lokacija), itd;
(e) dokaz Promotera da su obim i nacrt plana prekontrolisani kako bi se osigurala usklađenost sa relevantnim strategijama koje rukovode razvojem tercijarne zdravstvene zaštite u Srbiji, uključujući Strategiju javnog zdravlja u Republici Srbiji i Strategiju za stalno unapređenje kvaliteta zdravstvene zaštite i bezbednosti pacijenata, kao i bilo koja njihova izmena;
(f) ekološke i sociološke studije procene uticaja, ako važeći propisi to zahtevaju.
1.4.D Poslednja Tranša
U slučaju da se Zahtev za isplatu podnese, a da nisu ispunjeni uslovi iz člana 1.4, smatraće se da je takav Zahtev za isplatu Banka primila na datum na xxxx Xxxxx bude smatrala da su ti uslovi ispunjeni.
Podnošenje poslednjeg Zahteva za isplatu u skladu sa članom 1.2.B, zavisiće od toga da li xx Xxxxx od Zajmoprimca primila, u formi i sadržaju prihvatljivim za nju:
(a) dokumenta koja pokazuju, na način zadovoljavajući za Banku, da je razumno očekivati da će Zajmoprimac, u roku od 180 xxxx xxxxx traženog datuma isplate preciziranog u Zahtevu za isplatu, ostvariti Kvalifikovane rashode u iznosu jednakom 100% (sto posto) Tranše xxxx xxxxx da se isplati, i
(b) dokumenta koja pokazuju, na način zadovoljavajući za Banku, da je Promoter ostvario Kvalifikovane rashode u iznosu jednakom 100% (sto posto) svih prethodno isplaćenih Tranši.
1.4.E Opšte odredbe o uslovima za isplatu
Ne izuzimajući odredbe prethodnog stava, ako bilo xxxx xxx dokumenata primljenih u skladu sa članom 1.4 ne bude zadovoljavajući za Banku, Banka
može da isplati, ne izuzimajući minimalni iznos predviđen u članu 1.2.A, onaj iznos koji xx xxxxxx kad se iznos iz Zahteva za isplatu umanji za iznos koji odgovara nedokumentovanim ostvarenim i prognoziranim Kvalifikovanim rashodima.
1.5 Odlaganje isplate
1.5.A Osnov za odlaganje
Xxxxx xx, po prijemu pisanog zahteva Zajmoprimca, odložiti isplatu bilo koje najavljene tranše, u celosti ili delimično, do datuma koji odredi Zajmoprimac, pod uslovom da taj datum pada ne kasnije od 6 (šest) meseci od zakazanog datuma isplate Tranše i ne kasnije od 60 (šezdeset) xxxx pre prvog datuma otplate Tranše naznačene u obaveštenju o isplati. U xxx slučaju, Zajmoprimac plaća obeštećenje za odlaganje obračunato u odnosu na iznos odložene isplate.
Svaki zahtev za odlaganje proizvodiće dejstvo u pogledu Tranše samo ako se podnese najmanje 7 (xxxxx) radnih xxxx pre zakazanog datuma isplate.
Ako za najavljenu tranšu bilo koji od uslova iz člana 1.4 ne bude ispunjen na precizirani datum i na Zakazani datum isplate (ili datum za koji se očekuje da bude isplata xxxx xx prethodno odlagana), isplata će biti odložena do datuma koji bude dogovoren između Banke i Zajmoprimca koji pada najmanje 7 (xxxxx) radnih xxxx xxxxx što uslovi za isplatu budu ispunjeni (ne dovodeći u pitanje pravo Banke da suspenduje i/ili otkaže neisplaćeni deo kredita u celini ili delimično u skladu sa članom 1.6.B). U xxx slučaju, Zajmoprimac plaća obeštećenje za odlaganje obračunato u odnosu na iznos odložene isplate.
1.5.B Otkazivanje isplate odložene za 6 (šest) meseci
Dostavljanjem obaveštenja Zajmoprimcu, Banka može da otkaže isplatu koja xx xxxx odložena u skladu sa članom 1.5.A za više od ukupno 6 (šest) meseci. Otkazani iznos ostaje raspoloživ za isplatu shodno članu 1.2.
1.6 Otkazivanje i suspenzija
1.6.A Pravo Zajmoprimca na otkazivanje
Dostavljanjem obaveštenja Banci, Zajmoprimac može, u bilo koje vreme, da sa trenutnim dejstvom otkaže celinu ili deo neisplaćenog dela Kredita. Međutim, obaveštenje neće imati dejstva na (i) najavljenu Xxxxxx xxxx Zakazani datum isplate pada u roku od 7 (xxxxx) Radnih xxxx od datuma obaveštenja ili (ii) Tranše u pogledu koje je podnet zahtev za isplatu ali nije izdato obaveštenje o isplati.
1.6.B Pravo Banke na suspenziju i otkazivanje
(a) Dostavljanjem obaveštenja Zajmoprimcu, Banka može u bilo koje vreme, sa trenutnim dejstvom, da suspenduje i/ili otkaže u celosti ili delimično nepovučeni deo Kredita:
(i) po nastanku slučaja prevremenog plaćanja ili slučaja neispunjenja obaveza ili događaja ili okolnosti koje bi protokom vremena ili davanjem obaveštenja po ovom ugovoru činili slučaj neispunjenja obaveza ili slučaj prevremenog plaćanja; ili
(ii) ako dođe do materijalno štetne promene.
(b) Svaka suspenzija trajaće dok xx Xxxxx ne prekine ili otkaže suspendovani iznos.
(c) Banka takođe može da obustavi deo kredita za koji nije izdala obaveštenje o isplati s trenutnim dejstvom u slučaju nastupanja događaja poremećaja tržišta.
1.6.C Obeštećenje za suspenziju i otkazivanje Tranše
1.6.C (1) Suspenzija
Ako Banka suspenduje najavljenu Tranšu, bilo u Slučaju prevremenog plaćanja sa naplatom odštete ili Slučaja neispunjenja obaveza ili po nastanku materijalno štetne promene, Zajmoprimac će isplatiti Banci obeštećenje za odlaganje izračunato na osnovu iznosa suspendovane isplate.
1.6.C (2) Otkazivanje
(a) Ako u skladu sa članom 1.6.A, Zajmoprimac otkaže:
(i) Najavljenu Tranšu sa fiksnom kamatnom stopom,
Zajmoprimac će obeštetiti Banku shodno članu 4.2.B; ili
(ii) Najavljenu Tranšu sa varijabilnom kamatnom stopom ili xxxx xxx Kredita, osim Najavljene tranše sa fiksnom kamatnom stopom, obeštećenje se ne plaća.
(b) Ako Banka otkaže:
(i) Tranšu sa fiksnom kamatnom stopom xxxx xx Najavljena tranša, u Slučaju prevremenog plaćanja sa naplatom odštete ili po nastanku materijalno štetne promene ili usled okolnosti iz člana 1.5.B, Zajmoprimac će isplatiti Banci obeštećenje za prevremenu otplatu; ili
(ii) Najavljenu tranšu po nastanku Slučaja neispunjenja obaveza, Zajmoprimac će obeštetiti Banku shodno članu 10.3.
Osim u slučajevima pomenutim u (a) i (b), za otkazivanje Tranše koje izvrši Banka obeštećenje se ne plaća.
Obeštećenje će se izračunati kao da je otkazani iznos isplaćen na Zakazani datum isplate i otplaćen ili, u meri u kojoj je isplata Xxxxxx trenutno odložena ili suspendovana, na datum obaveštenja o otkazivanju.
1.7 Otkazivanje nakon isteka Kredita
Na xxx xxxxx krajnjeg datuma raspoloživosti sem ako je drugačije dogovoreno pisanim putem xx xxxxxx Xxxxx, xxx kredita za koji nije dostavljen Zahtev za isplatu u skladu sa članom 1.2.B xxxx automatski otkazan, bez obaveštenja Banke Zajmoprimcu i bez obaveze koja proističe od bilo koje od strana.
1.8 Iznosi koji dospevaju u skladu sa članom 1.
Iznosi koji dospevaju u skladu sa čl. 1.5 i 1.6 plaćaće se u evrima. Iznosi će morati da se plate u roku od 15 (petnaest) xxxx od xxxx xxxx Zajmoprimac primi zahtev Banke ili u dužem roku xxxx Xxxxx navede u zahtevu.
Član 2. Zajam
2.1 Xxxxx Xxxxx
Zajam će se sastojati od ukupnih iznosa tranši koje xx Xxxxx isplatila po ovom kreditu, a u skladu sa potvrdom Banke prema članu 2.3.
2.2 Valuta otplate glavnice, xxxxxx i drugih troškova
Kamata, otplate i druge prateće troškove plative za svaku tranšu Zajmoprimac plaća u evrima.
Sva druga plaćanja xxxx izvršena u valuti koju precizira Banka uzevši u obzir valutu rashoda koji će biti plaćeni xxx uplatom.
2.3 Potvrda Banke
U roku od 10 (deset) xxxx od isplate svake tranše, Xxxxx xx Zajmoprimcu dostaviti plan otplate koji se navodi u članu 4.1, ako je to odgovarajuće, gde se prikazuju datum isplate, valuta i iznos isplate, uslovi otplate i kamatna xxxxx za tu tranšu.
Član 3. Kamata
3.1 Kamatna xxxxx
Fiksna kamatna xxxxx i Rasponi su na raspolaganju u periodima koji nisu manji od 4 (četiri) godine.
3.1.A Tranše sa fiksnom kamatnom stopom
Zajmoprimac će platiti kamatu na neizmireni iznos svake tranše sa fiksnom kamatnom stopom tromesečno, polugodišnje ili godišnje, na relevantne datume plaćanja xxxx xx precizirano u Obaveštenju o isplati, počevši od prvog takvog datuma plaćanja nakon datuma isplate tranše. Ako je period od datuma isplate do prvog Datuma plaćanja 15 (petnaest) ili xxxxx xxxx, plaćanje obračunate xxxxxx u xxx periodu se odlaže do sledećeg datuma plaćanja.
Kamata će se obračunavati na osnovu člana 5.1(a).
3.1.B Tranše sa varijabilnom kamatnom stopom
Zajmoprimac će platiti kamatu na neizmireni iznos svake tranše sa varijabilnom kamatnom stopom po varijabilnoj kamatnoj stopi tromesečno, polugodišnje ili godišnje, na relevantne datume plaćanja xxxx xx precizirano u Obaveštenju o isplati, počevši od prvog takvog Datuma plaćanja nakon datuma isplate tranše. Ako je period od datuma isplate tranše do prvog Datuma plaćanja 15 (petnaest) ili xxxxx xxxx, plaćanje obračunate xxxxxx u xxx periodu se odlaže do sledećeg Datuma plaćanja.
Xxxxx xx obavestiti Zajmoprimca o varijabilnoj kamatnoj stopi u roku od 10 (deset) xxxx xxxxx početka svakog referentnog perioda varijabilne kamatne stope.
Ako se prema članovima 1.5 i 1.6 isplata tranše sa varijabilnom kamatnom stopom izvrši nakon Zakazanog datuma isplate, kamatna xxxxx koja se primenjuje na prvi Referentni period varijabilne kamatne stope utvrđuje kao da je isplata izvršena na Zakazani datum isplate.
Za svaki Referentni period varijabilne kamatne stope, kamata će se obračunavati xxxx xx predviđeno u članu 5.1(b). Ako je varijabilna kamatna xxxxx za xxxx xxxx Referentni period varijabilne kamatne stope ispod nule, smatra se da je kamatna xxxxx xxxx.
3.1.C Revizija ili Konverzija Tranši
Kada Zajmoprimac izabere mogućnost da izvrši reviziju ili konverziju kamatne stope koja se primenjuje za određenu Tranšu, on će od Datuma efektivnosti revizije/konverzije (u skladu sa procedurom koja se utvrđuje u Prilogu D), plaćati kamatu po stopi utvrđenoj u skladu sa odredbama Priloga D.
3.2 Kamata na neizmirene iznose
Ne izuzimajući odredbe člana 10. i kao izuzetak od člana 3.1, ako Zajmoprimac ne uspe da isplati bilo koji iznos u skladu sa ovim ugovorom na xxx dospeća, kamata će se pripisivati (u skladu sa obavezujućim odredbama primenljivih zakona, uključujući član 1154 Luksemburškog građanskog zakonika) na bilo koji neizmiren iznos koji dospeva na plaćanje u skladu sa uslovima ovog ugovora od datuma dospeća do datuma plaćanja po godišnjoj stopi xxxx xx jednaka:
(a) za neizmirene iznose koji se odnose na tranše sa varijabilnom kamatnom stopom, primenljivoj varijabilnoj kamatnoj stopi plus 2% (200 baznih poena);
(b) za neizmirene iznose koji se odnose na tranše sa fiksnom kamatnom stopom, višoj od (i) primenljive fiksne kamatne stope plus 2% (200 baznih poena) ili (ii) relevantne međubankarske stope plus 2% (200 baznih poena); i
(c) za neizmirene iznose sem navedenih pod (a) ili (b), relevantnoj međubankarskoj stopi plus 2% (200 baznih poena),
i plaćaće se u skladu sa zahtevom Banke. U svrhu utvrđivanja Relevantne međubankarske stope u vezi sa ovim članom 3.2, relevantni periodi u smislu Priloga B xxxx sukcesivni periodi u trajanju od jednog meseca pri čemu prvi period počinje na datum dospeća.
Ako je neizmirena suma izražena u valuti koja nije valuta tranše, primenjivaće se sledeća godišnja xxxxx, to jest Relevantna međubankarska xxxxx xxxx Banka generalno koristi za transakcije u toj valuti plus 2% (200 baznih poena), izračunato u skladu sa tržišnom praksom za takvu stopu.
3.3 Slučaj poremećaja na tržištu
Ako u bilo koje vreme (i) od datuma kada Banka izda obaveštenje o isplati u vezi sa tranšom i (ii) do datuma koji pada 30 (trideset) kalendarskih xxxx pre planiranog datuma isplate, nastupi događaj poremećaja tržišta, Banka može da obavesti Zajmoprimca da je ova klauzula stupila na snagu. U xxx slučaju primenjuju se sledeća pravila:
(a) kamatna xxxxx xxxx xx se primeniti za takvu Tranšu do Datuma otplate ili Datuma Revizije/konverzije xxxxxx, ako postoji, xxxx xxxxx (izražena kao procenat godišnje stope) za koju Banka utvrđuje da je njen ukupni trošak za finansiranje relevantne Tranše, zasnovane na tada primenjivim internim referentnim stopama Banke ili alternativnim metodama utvrđivanja stope, xxxx Xxxxx delujući razumno utvrdi.
Zajmoprimac ima pravo da odbije pisanim putem takvu isplatu unutar roka navedenog u obaveštenju i snosiće rezultujuće troškove, ako ih ima, u kom slučaju Banka neće izvršiti isplatu i odnosni kredit će ostati dostupan za isplatu prema članu 1.2.B. Ako Zajmoprimac ne
odbije isplatu na vreme, strane se slažu da će isplata i prateći uslovi biti u potpunosti obavezujući za xxx xxxxxx.
(b) raspon ili fiksna kamatna xxxxx koje xx Xxxxx prethodno naznačila u obaveštenju o isplati više neće biti primenljivi.
Č lan 4. Otplata
4.1 Normalna otplata
4.1.A Otplata u ratama
(a) Zajmoprimac će otplatiti svaku Tranšu u ratama na Datume plaćanja precizirane u relevantnom Obaveštenju o isplati, a u skladu sa uslovima plana otplate dostavljenom shodno članu 2.3.
(b) Svaki plan otplate izradiće se na osnovu sledećeg:
(i) u slučaju Tranše sa fiksnom kamatnom stopom bez Datuma revizije/konverzije xxxxxx, otplata se vrši u jednakim tromesečnim, polugodišnjim ili godišnjim ratama glavnice ili u stalnim ratama glavnice i xxxxxx;
(ii) u slučaju Tranše sa fiksnom kamatnom stopom sa Datumom revizije/konverzije xxxxxx ili Tranše sa varijabilnom kamatnom stopom, otplata se vrši u jednakim tromesečnim, polugodišnjim ili godišnjim ratama glavnice;
(iii) prvi datum izmirivanja obaveza po osnovu svake tranše xxxx datum plaćanja koji pada ne pre isteka 60 (šezdeset) xxxx od Zakazanog datuma isplate i ne nakon prvog datuma plaćanja koji sledi odmah nakon 6. (šeste) godišnjice Zakazanog datuma isplate tranše; i
(iv) poslednji datum otplate svake Tranše xxxx Datum plaćanja koji pada ne pre isteka 4 (četiri) godine i ne kasnije od 25 (dvadeset pet) xxxxxx xx zakazanog datuma isplate.
4.2 Dobrovoljna prevremena otplata
4.2.A Opcija prevremene otplate
Shodno članu 4.2.B, 4.2.C i 4.4, Zajmoprimac može da izvrši prevremeno plaćanje svih ili dela bilo koje Xxxxxx, sa obračunatom kamatom i obeštećenjima, ako ih ima, dajući Zahtev za prevremenu otplatu najmanje 1 (jedan) mesec ranije precizirajući:
(a) iznos prevremene otplate;
(b) datum prevremene otplate;
(c) po potrebi, izbor metode primene u Iznosu prevremene otplate u skladu sa članom 5.5.C(a); i
(d) ugovorni broj („FI br. 31.464”) pomenut na naslovnoj strani ovog ugovora.
Uz primenu člana 4.2.C, zahtev za prevremenu otplatu je obavezujući i neopoziv.
4.2.B Obeštećenje za prevremenu otplatu
4.2.B(1) TRANŠA SA FIKSNOM KAMATNOM STOPOM
U skladu sa dolenavedenim članom 4.2.B(3), ako Zajmoprimac prevremeno otplati Tranšu sa fiksnom kamatnom stopom, Zajmoprimac xxxxx xx xxxxx Banci na Datum prevremene otplate Obeštećenje za prevremenu otplatu u pogledu Tranše sa fiksnom kamatnom stopom koja se prevremeno otplaćuje.
4.2.B(2) TRANŠA SA VARIJABILNOM KAMATNOM STOPOM
Zajmoprimac može prevremeno otplatiti Tranšu sa varijabilnom kamatnom stopom bez obeštećenja na svaki relevantan datum plaćanja shodno xxxx navedenom članu 4.2.B(3).
4.2.B(3) BEZ OBEŠTEĆENJA
Osim ako je Zajmoprimac prihvatio u pisanom obliku fiksnu kamatnu stopu u odnosu na predlog za promenu/konverziju xxxxxx u skladu sa Prilogom D, prevremena otplata tranše na datum promene/konverzije xxxxxx xxxx xx definisano u skladu sa članom 1.2.C(a)(viii), ili u skladu sa Prilogom C.1 ili D, zavisno od slučaja, može biti izvršena bez obeštećenja.
4.2.C Mehanizmi prevremene otplate
Nakon što Zajmoprimac podnese Banci zahtev za prevremenu otplatu, Banka izdaje Obaveštenje o prevremenoj otplati, najkasnije 15 (petnaest) xxxx pre Datuma prevremene otplate, pri čemu se u Obaveštenju o prevremenoj otplati navodi iznos prevremene otplate i pripadajuća dospela kamata, kao i obeštećenje za prevremenu otplatu koje se plaća na osnovu člana 4.2.B ili, ako slučaj nalaže da se obeštećenje ne plaća, metod primene iznosa prevremene otplate i rok za prihvatanje.
Ako Zajmoprimac prihvati Obaveštenje o prevremenoj otplati najkasnije do datuma prihvatanja, on će izvršiti prevremenu otplatu. U svim drugim situacijama, Zajmoprimac neće izvršiti otplatu.
Zajmoprimac će uz prevremenu otplatu izvršiti i plaćanje pripisane xxxxxx i obeštećenja, ako postoji, koji dospevaju na iznos prevremene otplate, xxxx xx naznačeno u Obaveštenju o prevremenoj otplati.
4.3 Prinudna prevremena otplata
4.3.A Slučajevi prevremene otplate
4.3.A(1) SMANjENjE TROŠKOVA PROJEKTA
Ako ukupni troškovi Projekta padnu ispod cifre navedene u stavu (b) Preambule tako da iznos Kredita premašuje:
(a) 50% (pedeset procenata); i/ili
(b) kada se saberu sa iznosom drugih sredstava iz Evropske unije koja su raspoloživa za Projekat, 90% (devedeset procenata),
takvih ukupnih troškova Projekta, Banka može potom, putem obaveštenja za Zajmoprimca, da otkaže neisplaćeni deo Kredita i/ili da zahteva prevremenu otplatu Zajma, do iznosa kojim Banka premašuje limite iz xxxx navedenih stavova (a) ili (b). Zajmoprimac će izvršiti isplatu tražene sume na datum koji određuje Xxxxx xxxx pada ne ranije od 30 (trideset) xxxx pre datuma zahteva.
4.3.A(2) PARI PASSU U ODNOSU NA FINANSIRANJE KOJE NE OBEZBEĐUJE EIB
Ako Zajmoprimac dobrovoljno prevremeno otplati delimično ili u celosti drugi zajam koji ne obezbeđuje EIB (kako bi se izbegla sumnja, prevremena otplata će uključivati ponovnu kupovinu ili otkazivanje gde je moguće), a to učini sredstvima koja ne potiču od zajma koji ima rok barem jednak preostalom roku prevremeno otplaćenog zajma koji ne obezbeđuje EIB, Banka može, putem obaveštenja Zajmoprimcu, da otkaže nepovučeni deo Kredita i da zahteva prevremenu otplatu Zajma. Banka može zahtevati da deo Xxxxx za prevremenu otplatu bude u onoj proporciji u kojoj prevremeno otplaćeni iznos zajma koji ne obezbeđuje EIB učestvuje u ukupnom neisplaćenom iznosu svih zajmova koje ne obezbeđuje EIB.
Zajmoprimac će izvršiti plaćanje zahtevanog iznosa na datum preciziran xx xxxxxx Xxxxx, a koji pada ne ranije od 30 (trideset) xxxx pre datuma zahteva.
U smislu ovog člana, „finansiranje koje ne obezbeđuje EIB” obuhvata svaki zajam (osim zajma) i sve druge direktne zajmove Banke Zajmoprimcu, obveznicu ili neki drugi vid finansijske zaduženosti ili obaveze za plaćanje ili otplatu novčanih obaveza odobrenih Zajmoprimcu, na rok duži od 5 (pet) xxxxxx.
4.3.A(3) PROMENA ZAKONA
Zajmoprimac će bez odlaganja obavestiti Banku o nastupanju slučaja promene zakona ili verovatnoći nastupanja. U takvom slučaju, ili ako Banka ima opravdan razlog da veruje da xx xxxxx ili da predstoji Slučaj promene zakona, xxx xxxx da zahteva da je Zajmoprimac konsultuje. Do tih konsultacija xxxx xxxx u roku od 30 (trideset) xxxx od datuma zahteva Banke. U slučaju da Banka nakon isteka 30 (trideset) xxxx od datuma tog zahteva za konsultacije, ima mišljenje da efekti slučaja promene zakona ne mogu biti ublaženi na zadovoljavajući način, Banka može obaveštavajući Zajmoprimca, da otkaže Kredit i traži prevremenu otplatu zajma, sa obračunatom kamatom i svim drugim obračunatim i neisplaćenim iznosima po ovom ugovoru.
Zajmoprimac će izvršiti plaćanje iznosa koji je zahtevan na datum koji precizira Banka, gde taj datum pada najmanje 30 (trideset) xxxx od datuma zahteva.
U smislu ovog člana „Slučaj promene zakona” označava donošenje, proglašavanje, potpisivanje ili ratifikaciju svake izmene i dopune nekog zakona, uredbe ili propisa (ili sprovođenja ili zvaničnog tumačenja zakona, uredbe ili propisa) koje nastaju posle datuma ovog ugovora i koje, po mišljenju Banke, materijalno štete ili postoji verovatnoća da će materijalno štetiti sposobnosti Zajmoprimca da ispuni svoje obaveze prema ovom ugovoru.
4.3.B Mehanizmi prevremene otplate
Svaki iznos xxxx Xxxxx zatraži na osnovu člana 4.3.A, zajedno sa svakom prispelom kamatom i svakim iznosom obračunatim ili neotplaćenim prema ovom ugovoru, uključujući bez ograničenja, svako obeštećenje prispelo na osnovu člana 4.3.C i člana 4.4, xxxx plaćen na datum koji navede Banka u svom obaveštenju o zahtevu.
4.3.C Obeštećenje za prevremenu otplatu
U Slučaju prevremenog plaćanja sa naplatom odštete, ista, ako je ima, će se utvrditi u skladu sa članom 4.2.B.
4.4 Opšte
Vraćen ili prevremeno otplaćen iznos ne može ponovo da se pozajmljuje. Član 4. ne dovodi u pitanje član 10.
Ako Zajmoprimac prevremeno otplati Tranšu na datum koji nije relevantni datum plaćanja, Zajmoprimac će obeštetiti Banku u iznosu koji xx Xxxxx potvrditi da je potreban da se kompenzuje radi prijema sredstava na datum koji nije relevantan datum plaćanja.
Član 5.
Plaćanja
5.1 Konvencija o brojanju xxxx
Svi iznosi koji Zajmoprimcu dospevaju po osnovu xxxxxx, obeštećenja ili naknada prema ovom ugovoru, i koji se računaju u odnosu na xxx xxxxxx, računaće se na osnovu sledećih konvencija:
(a) za kamatu i obeštećenja koja se plaćaju u pogledu Tranše sa fiksnom kamatnom stopom, uzima xx xxxxxx od 360 (tri stotine šezdeset) xxxx x xxxxx od 30 (trideset) xxxx;
(b) za kamatu i obeštećenja koja se plaćaju u pogledu Tranše sa varijabilnom kamatnom stopom, uzima xx xxxxxx od 360 (tri stotine šezdeset) xxxx x xxxx proteklih xxxx; i
(c) u pogledu naknada, uzima xx xxxxxx od 360 (tri stotine šezdeset) xxxx x xxxx proteklih xxxx.
5.2 Vreme i mesto plaćanja
Ako se ne utvrdi drugačije u ovom ugovoru ili po zahtevu Banke, svaki iznos koji nije kamata, obeštećenje i glavnica, plativ je u roku od 15 (petnaest) xxxx od kada Zajmoprimac primi zahtev Banke.
Svaki iznos koji plaća Zajmoprimac po ovom ugovoru plaćaće se na račun xxxx Xxxxx naznači Zajmoprimcu. Xxxxx xx naznačiti račun najmanje 15 (petnaest) xxxx pre datuma dospeća prve otplate xx xxxxxx Zajmoprimca i obavestiće o bilo kakvoj promeni računa najmanje 15 (petnaest) xxxx pre datuma prve otplate na koju se promena odnosi. Ovaj period obaveštavanja ne odnosi se na slučajeve plaćanja iz člana 10.
Zajmoprimac će naznačiti u svakoj isplati koja se izvrši u skladu sa uslovima utvrđenim u ovom ugovoru („FI br 31.464”) koji se nalazi na naslovnoj strani ovog ugovora.
Iznos koji dospeva Zajmoprimcu na naplatu smatraće se plaćenim kada ga Banka primi.
Sve isplate xx xxxxxx i uplate Banci u skladu sa ovim ugovorom izvršavaju se koristeći račun(e) koji su prihvatljivi za Banku. Da bi se izbegla bilo kakva sumnja, svaki račun na ime Zajmoprimca koji je otvoren u propisno ovlašćenoj finansijskoj instituciji xxxx xx u nadležnosti pravnog sistema u
okviru kojeg Zajmoprimac posluje ili gde se Projekat sprovodi smatra se prihvatljivim za Banku.
5.3 Bez poravnanja xx xxxxxx Zajmoprimca
Sve isplate koje se izvrše xx xxxxxx Zajmoprimca u skladu sa ovim ugovorom obračunavaju se i vrše bez (odnosno bez ikakvih odbitaka na ime) poravnanja ili protivpotraživanja.
5.4 Poremećaj sistema plaćanja
Ukoliko Banka utvrdi (prema svom diskrecionom pravu) da je nastao Slučaj poremećaja ili je Zajmoprimac o tome obavesti:
(a) Banka može, i to će uraditi ako dobije zahtev od Zajmoprimca, konsultovati Zajmoprimca u cilju sporazumevanja oko promena obavljanja operacija ili administracije ovog ugovora koje Banka utvrdi kao neophodne u xxx okolnostima;
(b) Banka neće biti obavezna da konsultuje Zajmoprimca u vezi xx xxxx kojim promenama navedenim u stavu (a), ako po njenom mišljenju to nije korisno učiniti u xxx okolnostima, i u svakom slučaju, neće imati obavezu da pristane na takve promene; i
(c) Banka neće biti odgovorna za bilo kakvu štetu, troškove ili gubitke nastale kao rezultat Slučaja poremećaja ili za preduzimanje ili ne preduzimanje mera shodno ili vezano za ovaj član 5.4.
5.5 Upotreba primljenih iznosa
5.5.A Opšte
Iznosi primljeni xx xxxxxx Zajmoprimca samo rasterećuju njegove obaveze plaćanja, ako su primljeni u skladu sa uslovima ovog ugovora.
5.5.B Delimične uplate
Ukoliko Banka primi uplatu xxxx xx nedovoljna da bi se isplatili svi iznosi koji su u xxx trenutku dospeli za plaćanje ili koji su plativi xx xxxxxx Zajmoprimca u skladu sa ovim ugovorom, Xxxxx xx upotrebiti tu uplatu:
(a) najpre, unutar ili za plaćanje pro rata svih neisplaćenih naknada, troškova, obeštećenja i rashoda koji dospevaju na naplatu u skladu sa ovim ugovorom;
(b) drugo, unutar ili za plaćanje bilo koje obračunate xxxxxx dospele za plaćanje, ali neplaćene u skladu sa ovim ugovorom;
(c) treće, unutar ili za plaćanje bilo koje glavnice dospele za plaćanje, ali neplaćene u skladu sa ovim ugovorom; i
(d) četvrto, unutar ili za plaćanje bilo kog drugog iznosa dospelog za plaćanje, ali neplaćenog u skladu sa ovim ugovorom.
5.5.C Raspodela iznosa vezanih za tranše
(a) U slučaju:
(i) delimične dobrovoljne prevremene otplate Tranše koja podleže otplati u više rata, iznos prevremene otplate kredita se primenjuje pro rata za svaku neplaćenu ratu, ili, na zahtev Zajmoprimca, u obrnutom redosledu dospeća; ili
(ii) delimične obavezne prevremene otplate Tranše koja podleže otplati u više rata, iznos prevremene otplate kredita se primenjuje u smanjenju neplaćenih rata, u obrnutom redosledu dospeća.
(b) Iznosi primljeni xx xxxxxx Xxxxx prateći zahtev u skladu sa članom
10.1 i merodavni su za Tranšu, smanjuju nenaplaćene rate u obrnutom redosledu dospeća. Banka može primeniti iznose primljene između Xxxxxx po svom diskrecionom pravu.
(c) U slučaju prijema iznosa koji se ne mogu identifikovati kao merodavni za neku specifičnu Tranšu i za koje ne postoji sporazum između Banke i Zajmoprimca o njihovoj primeni, Banka može primeniti iste između Xxxxxx po svom diskrecionom pravu.
Član 6.
Obaveze i izjave Zajmoprimca
Obaveze iz člana 6. xxxx xx snazi od datuma potpisivanja ovog ugovora sve dok se ne izmiri svaki iznos iz ovog ugovora ili dok xx Xxxxxx na snazi.
A. OBAVEZE U OKVIRU PROJEKTA
6.1 Korišćenje Zajma i drugih raspoloživih sredstava
Zajmoprimac će koristiti sredstva Zajma isključivo za finansiranje Projekta.
Zajmoprimac će osigurati da ima na raspolaganju i druga sredstva koja se navode u stavu (b) Preambule kao i da se ista prošire, u potrebnoj meri, radi finansiranja Projekta.
Sredstva Zajma neće se koristiti za plaćanje poreza na dodatu vrednost na prodaju robe i usluga i uvoz robe i usluga, troškova carine i drugih uvoznih dažbina, taksi i drugih naknada koje su u vezi sa sprovođenjem Projekta.
6.2 Implementacija i završetak Projekta
Promoter će sprovesti Projekat u skladu sa Tehničkim opisom koji se može, s vremena na vreme, i uz odobrenje Banke, modifikovati i okončati ga do krajnjeg datuma preciziranog u opisu.
Dvanaest meseci pre okončanja građevinskih radova u svakom od četiri klinička centra pomenuta u stavu (a) Preambule Promoter će pripremiti za svaki klinički centar plan trošenja i prenosa.
Promoter će obezbediti da nabavka i isporuka relevantne opreme bude vremenski usklađena sa planovima implementacije Projekta, da bi se osiguralo da su zgrade adekvatno pripremljene pre isporuke i instaliranja.
Dok god je Xxxxx neizmiren Promoter će obezbeđivati da se inicijative, namenjene podsticanju promena u kliničkoj i upravnoj praksi i tehnologiji, nastave kao ulaganje u četiri klinička centra pomenuta u stavu (a) Preambule, detaljno planiraju i u potpunosti sprovode.
Dok god je Xxxxx neizmiren Zajmoprimac će se postarati da bude raspoloživ dovoljni nivo sredstava za pokrivanje godišnjih operativnih troškova četiri klinička centra pomenuta u stavu (a) Preambule.
6.3 Uvećani troškovi Projekta
Ukoliko ukupni troškovi Projekta pređu procenjenu cifru navedenu u stavu (b) Preambule, Zajmoprimac će obezbediti sredstva za finansiranje uvećanih troškova bez pomoći Banke, tako da se osigura da se Projekat okonča u skladu sa Tehničkim opisom. Planovi Zajmoprimca za finansiranja uvećanih troškova xxxx blagovremeno podneti Banci.
6.4 Procedura nabavke
Zajmoprimac će nabaviti opremu, obezbediti usluge i naručiti radove za Projekat prema procedurama za nabavku dogovorenih sa Bankom, na zadovoljavajući način za Banku, a koji odgovaraju politici kao što je objašnjeno u Vodiču za nabavke.
Provera postupaka po pravnim lekovima, kao što je predviđeno u srpskom zakonodavstvu, xxxx xx raspolaganju bilo kojoj strani koja xx xxxxx interes za dobijanje određenog ugovora i koja xx xxxx oštećena ili rizikuje da bude oštećena od navodnog kršenja.
6.5 Kontinuirane preuzete obaveze u vezi sa Projektom
Zajmoprimac će:
(a) Održavanje: održavati, popravljati, remontovati i obnavljati celokupnu imovinu koja xxxx xxx Projekta u cilju održavanja u dobrom radnom stanju;
(b) Projektna sredstva: osim ako Banka prethodno ne da svoj pristanak u pisanoj formi, zadržati pravo svojine i posed nad svim sredstvima, ili njihovom značajnom delu, koja čine Projekat ili, xxxx xx to prikladno, zameniti i obnoviti takva sredstva i održavati Projekat u stalnoj funkciji u skladu sa njegovom prvobitnom namenom; pod uslovom da Banka razmatra zahtev Zajmoprimca bez odlaganja da može da uskrati svoj pristanak samo tamo gde bi predložene aktivnosti išle na štetu interesa Xxxxx xxx Zajmodavca Zajmoprimcu ili bi učinilo Projekat nekvalifikovanim za finansiranje xx xxxxxx Xxxxx xxxxx Statutu ili članu 309. Sporazuma o funkcionisanju Evropske unije;
(c) Osiguranje: osigurati sve radove i imovinu koja xxxx xxx Projekta kod prvoklasne osiguravajuće kompanije, u skladu sa standardnom praksom u industriji;
(d) Prava i dozvole: održavati na snazi sva prava prolaza i upotrebe i sva ovlašćenja neophodna za izvršenje i funkcionisanje Projekta;
(e) Životna sredina:
(i) sprovoditi Projekat i rukovoditi njime u saglasnosti sa Zakonima o životnoj sredini i socijalnim zakonima;
(ii) pribaviti sve ekološke i socijalne dozvole potrebne za realizaciju Projekta; i
(iii) postupati u skladu sa pribavljenim ekološkim i socijalnim dozvolama.
(f) Integritet: preduzima, u okviru nekog razumnog vremenskog okvira, odgovarajuće mere u odnosu na bilo kog člana upravnih tela koji je osuđen konačnom i neopozivom odlukom suda za krivično delo počinjeno u toku izvršavanja njegovih/njenih profesionalnih dužnosti, da bi osigurao da je takav član izuzet od bilo koje aktivnosti Zajmoprimca u odnosu na Zajam ili Projekat; i
(g) Prava revizije integriteta: obezbeđuje da svi ugovori u skladu sa ovim Projektom koje treba nabaviti posle datuma potpisivanja ovog ugovora u skladu sa Direktivama Evropske unije o nabavci predviđaju:
(i) zahtev da odgovarajući izvođač radova odmah obavesti Banku o pravom navodu, žalbi ili informaciji u odnosu na krivična dela vezana za Projekat;
(ii) zahtev da odgovarajući izvođač radova vodi knjige i evidencije svih finansijskih transakcija i izdataka u vezi sa Projektom; i
(iii) pravo Banke, u odnosu na neko navodno krivično delo, da pregleda knjige i evidencije odgovarajućeg izvođača radova u odnosu na Projekat i da uzme kopije dokumenata do opsega dozvoljenog Zakonom.
B. Opšte obaveze
6.6 Poštovanje zakona
Zajmoprimac će poštovati u potpunosti sve zakone i propise koji se odnose na njega ili Projekat.
6.7 Opšte izjave i garancije
Zajmoprimac izjavljuje i garantuje Banci da:
(a) ima pravo da zaključi, preda i izvršava svoje obaveze po ovom ugovoru i da su preduzete sve potrebne mere da se odobri zaključenje, predaja i izvršenje istog s njegove strane;
(b) da ovaj ugovor predstavlja zakonski važeće, obavezujuće i izvršne obaveze;
(c) da zaključivanje i predaja ovog ugovora, izvršavanje ugovornih obaveza i postupanje u skladu sa odredbama ovog ugovora ne predstavljaju niti se očekuje da će predstavljati povredu ili sukob sa:
(i) nekim važećim zakonom, statutom, pravilnikom ili propisom ili presudom, uredbom ili dozvolom koje se odnose na Ugovor;
(ii) nekim drugim ugovorom ili instrumentom koji je obavezujući za Zajmoprimca, za koji bi se s razlogom moglo očekivati da će imati materijalno štetne efekte po sposobnost Zajmoprimca da izvrši svoje obaveze po ovom ugovoru;
(d) da ne postoje Materijalno štetne promene od aprila 2005. godine;
(e) nikakav dogaćaj ili okolnost koji predstavlja slučaj prevremenog plaćanja ili slučaj neispunjenja obaveza nije nastupio i ne traje neotklonjen ili neodbačen;
(f) da nije u toku ni jedan sudski, arbitražni, upravni postupak ili istraga i da isti ne preti i ne čeka na rešavanje, prema njegovim saznanjima, ni u jednom sudu, arbitraži ili agenciji, koji bi doveo, ili bi ako bi se nepovoljno xxxxx postoji verovatnoća da bi doveo do materijalno štetne promene, kao i da protiv njega ili nekog njegovog zavisnog društva ne postoji bilo kakva presuda ili rešenje;
(g) da je pribavio i da su važeća i na snazi, sa svim dokazima, sva neophodna ovlašćenja u vezi sa ovim ugovorom i da bi ispunio sve odredbe definisane istim i Projektom;
(h) da se njegove obaveze plaćanja iz ovog ugovora rangiraju najmanje pari passu u pogledu prava na plaćanje sa svim ostalim sadašnjim i budućim neosiguranim i nesubordiniranim obavezama po
osnovu bilo kog instrumenta zaduženja Zajmoprimca, osim obaveza koje propisuje zakon kao obavezne za preduzeća uopšte; i
(i) da, u skladu sa članom 6.5(e) i prema njegovom saznanju i veri (nakon sprovođenja potrebne pažljive istrage) ne postoji nijedna tužba za ugrožavanje životne sredine ili socijalna tužba niti xx xxxxx zaprećeno.
Izjave i jemstva iz prednjih navoda ostaju xx xxxx i po izvršenju ovog ugovora i, osim u slučaju xxxx navedenog stava (d), smatra se da su ponovljena svakog Datuma isplate i svakog Datuma plaćanja.
6.8 Obavezivanje na integritet
(i) Zajmoprimac garantuje i obavezuje se da nije i neće počiniti, i da ni jedno lice nije i neće počiniti, ni jedno od sledećih dela sa njegovom saglasnošću ili prethodnim saznanjem:
(a) nuđenje, davanje, primanje ili traženje bilo kakve nepropisne prednosti koja utiče na postupanje imaoca javnih ovlašćenja, rukovodioca ili zaposlenog u državnom organu ili javnom preduzeću, odnosno rukovodioca ili zvaničnika neke javne međunarodne organizacije, a u vezi xx xxxx kojom procedurom nabavke ili sprovođenjem bilo kog ugovora vezanim za Projekat; ili
(b) bilo xxxx xxxxxxxx koji nepropisno utiče ili xxxx je cilj da nepropisno utiče na proces nabavke ili sprovođenje Projekta na štetu Zajmoprimca, uključujući i tajni dogovor između ponuđača.
U smislu navedenog, saznanja bilo kog ministra, državnog sekretara, pomoćnika ministra ili savetnika ministra Zajmoprimca, ili zvaničnika pomenutog u članu 12.1, smatraće se saznanjem Zajmoprimca.
Zajmoprimac preuzima obavezu da obavesti Banku ukoliko postane svestan bilo koje činjenice ili informacije koja sugeriše da je počinjeno neko takvo delo.
(ii) Zajmoprimac će ustanoviti, održavati i usaglašavati se sa internim procedurama i kontrolama u saglasnosti sa važećim nacionalnim zakonima i najboljom praksom, sa ciljem da se osigura da se ni jedna transakcija ne zaključi sa nekim licima ili institucijama, niti za njihovu korist, kada se xx xxxx ili institucije nalaze na ažuriranim listama lica pod sankcijama po odluci Saveta bezbednosti Ujedinjenih nacija ili njegovih komiteta shodno Rezolucijama Saveta bezbednosti 1267 (1999), 1373 (2001) (xxx.xx.xxx/xxxxxxxxx) i/ili Saveta EU prema njegovom Zajedničkom stavu 2001/931/CSFP i 2002/402/CSFP povezanim ili kasnijim rezolucijama, i/ili aktima o sprovođenju u vezi sa finansiranjem terorizma.
6.9 Zakonitost sredstava finansiranja Projekta
Zajmoprimac garantuje da primenjuje sve Preporuke OECD Xxxxx xxxxx za finansijske aktivnosti.
6.10 Ostale obaveze
Zajmoprimac:
(a) će preduzeti sve neophodne mere da osigura da objekti uključeni u Projekat budu u saglasnosti sa EU Direktivom o energetskom učinku zgrada (2002/91/EC);
(b) neće nameniti nikakva sredstva, isplaćena ili koja tek xxxxx xx xxxx isplaćena xx xxxxxx Xxxxx, potprojektima za koje je potrebna Xxxxxxxx i sociološka studija procene uticaja („ESIA”) ili procena biodiverziteta, shodno Zakonu o životnoj sredini i Socijalnom zakonu, pre nego što dobije saglasnost nadležnih organa, i pre nego što Ne- tehnički rezime ESIA bude dostupan javnosti;
(c) će za potprojekte za koje je potrebna ESIA, Banci podneti ili Ne- tehnički rezime ESIA ili kompletnu ESIA, sa primerkom relevantne saglasnosti koja pokazuje da su javne konsultacije bile organizovane i rezultati uzeti u razmatranje; i
(d) će dostaviti za potprojekte za koje nije potrebna ESIA, primerak relevantne saglasnosti nadležnih organa koji dokazuje razloge zbog kojih ESIA nije potrebna (provizorna odluka).
6.11 Jedinica za upravljanje projektom
Promoter će sve vreme, na prihvatljiv način za Banku, održavati JIP i obezbediće da ona ima odgovarajuće osoblje koje se sastoji od kvalifikovanih i posvećenih ljudi, kao i da će JIP biti podržana i savetovana, po potrebi, xx xxxxxx odgovarajuće tehničke pomoći prema uslovima koji su prihvatljivi za Banku.
Član 7.
Obezbeđenje
Obaveze preuzete iz ovog člana 7. ostaju na snazi od datuma ovog ugovora sve dok postoji neki neizmireni iznos po ovom ugovoru ili Kreditu koji je na snazi.
7.1 Rangiranje Pari passu
Zajmoprimac će osigurati da se njegove obaveze plaćanja po ovom ugovoru rangiraju najmanje pari passu u pogledu prava na plaćanje sa svim ostalim sadašnjim i budućim neosiguranim obavezama po osnovu bilo kog Instrumenta spoljnog zaduženja Zajmoprimca, osim obaveza koje kao prioritetne propisuje zakon primenjiv na preduzeća uopšte.
Naročito, ako Banka uputi zahtev iz člana 10.1 ili ako je slučaj neizvršenja ili potencijalni slučaj neizvršenja nastupio ili može da nastupi po bilo kom neobezbeđenom i nezavisnom instrumentu spoljnog duga Zajmoprimca, Zajmoprimac neće vršiti (niti odobriti) bilo kakvo plaćanje u vezi s drugim takvim instrumentima spoljnog duga (bilo da je redovno planirano ili ne) ukoliko istovremeno ne plati ili ne izdvoji na namenski račun za plaćanje na naredni datum plaćanja iznos jednak onom delu neizmirenog duga na osnovu ovog ugovora koji odgovara učešću konkretnog plaćanja po osnovu tog instrumenta spoljnog duga u ukupnom neizmirenom dugu po osnovu tog instrumenta. Za potrebe ove odredbe ne uzimaju se u obzir plaćanja po instrumentu spoljnog duga koja se vrše iz sredstava dobijenih emitovanjem drugog instrumenta koji su upisala suštinski ista xxxx xxxx imaju potraživanja i po dotičnom instrumentu spoljnog duga.
U smislu ovog ugovora, „Instrument spoljnog zaduženja” znači (a) instrument, uključujući i svaku priznanicu ili izvod sa računa koji dokazuje ili
predstavlja obavezu da se otplati zajam, depozit, xxxxx ili sličan vid kredita (uključujući bez ograničenja i svako davanje kredita po osnovu sporazuma o refinansiranju ili reprogramu), (b) obaveza na osnovu obveznice, dužničke hartije od vrednosti ili sličnog pisanog dokaza o zaduženju, ili (c) garancija Zajmoprimca obaveze koja proističe iz Instrumenta spoljnog zaduženja neke xxxxx xxxxxx, u svakom slučaju pod uslovom da se takva obaveza: (i) reguliše pravnim sistemom koji nije pravo Zajmoprimca; ili (ii) je plativa u valuti koja nije valuta zemlje Zajmoprimca; ili (iii) je plativa licu zaposlenom, sa prebivalištem, boravištem ili sedištem ili glavnim mestom poslovanja van zemlje Zajmoprimca.
7.2 Dodatno obezbeđenje
Ukoliko Zajmoprimac da trećoj strani bilo koji vid obezbeđenja za realizaciju bilo kog Instrumenta spoljnog zaduženja, odnosno da prednost ili prioritet, Zajmoprimac će, ukoliko to Banka zatraži, obezbediti Banci ekvivalentno obezbeđenje za ispunjenje svojih obaveza iz ovog ugovora ili joj dati ekvivalentnu prednost ili prioritet.
7.3 Klauzule koje se naknadno unose
Ukoliko Zajmoprimac zaključi xx xxxx kojim drugim srednjoročnim ili dugoročnim finansijskim poveriocem finansijski sporazum koji sadrži klauzulu za slučaj opadanja kreditnog rejtinga Zajmoprimca ili drugu odredbu u vezi sa pari passu rangiranjem ili unakrsnim neispunjenjem, xxxx xx strožija od bilo koje ekvivalentne odredbe iz ovog ugovora, Zajmoprimac će o tome obavestiti Banku i na zahtev Xxxxx, xx zaključiti sporazum kojim će se izvršiti izmena i dopuna ovog ugovora kako bi se u njega unela ekvivalentna odredba u prilog Banci.
Č lan 8.
Informacije i posete
8.1 Informacije o Projektu
Zajmoprimac će:
(a) dostaviti Banci:
(i) informaciju sa sadržajem, u formi i u rokovima navedenim u Prilogu A.2 ili povremeno na drugi način, po dogovoru ugovornih strana; i
(ii) sve dodatne informacije ili druga dokumenta u vezi sa finansiranjem, nabavkom, sprovođenjem, funkcionisanjem ili ekološkim i socijalnim pitanjima Projekta ili u vezi sa Projektom, koje bi Banka mogla razumno da zahteva u razumnom vremenu;
pod uslovom da uvek kada se takva informacija ili dokument ne dostavi Banci na vreme, a Zajmoprimac ne ispravi propust u razumnom roku xxxx Xxxxx utvrdi pisanim putem, Banka može ispraviti nastali propust, u meri koliko je to moguće, tako što će angažovati sopstvene zaposlene ili konsultanta ili bilo koju treću stranu, a o trošku Zajmoprimca (u okviru razumnog limita i dokumentovanih troškova), pri čemu će Zajmoprimac pomenutim licima obezbediti svu pomoć neophodnu za napred navedenu namenu;
(b) na odobrenje bez odlaganja bilo kakvu materijalnu promenu Projekta, takođe uzimajući u obzir sve činjenice u vezi sa Projektom dostupne Banci pre potpisivanja ovog ugovora, vezano za, između ostalog, cenu, dizajn, planove, rokove ili programe izdataka ili finansijskog plana Projekta;
(c) bez odlaganja obavestiti Banku o:
(i) bilo kakvom značajnom pokrenutom postupku ili protestu, odnosno primedbi xxxx xx xxxx xxxx xxxxx strana, bilo kojoj žalbi koju Zajmoprimac primi ili bilo kakvoj Tužbi za zaštitu životne sredine ili socijalnoj tužbi koja se pokrene protiv njega ili je zaprećena, a u vezi sa ekološkim i socijalnim pitanjima ili drugim pitanjima koja se tiču Projekta; i
(ii) svakoj činjenici ili događaju poznatom Zajmoprimcu, xxxx xxxx značajno ugroziti ili uticati na uslove za sprovođenje ili funkcionisanje Projekta;
(iii) istinitoj tvrdnji, žalbi ili informaciji koje se tiču krivičnih dela u vezi sa Projektom;
(iv) svakom nepoštovanju primenjivog Zakona o životnoj sredini ili socijalnog zakona sa njegove strane;
(v) svakoj suspenziji, stavljanju van snage ili promeni ekološke i socijalne dozvole,
i predložiti mere koje treba preduzeti u pogledu toga;
(d) na datume niže navedene i na način zadovoljavajući za Banku, dokumenta na engleskom jeziku ili sa priloženim prevodom na engleski jezik, koja dokazuju Kvalifikovane troškove do sledećih iznosa:
(i) u okviru 90 (devedeset) xxxx xxxxx isplate Tranše, 75% (sedamdeset pet posto) iznosa Tranše plus 100% (sto posto) od svih prethodno isplaćenih Tranši; i
(ii) u okviru 120 (sto dvadeset) xxxx xxxxx isplate Tranše, 100% (sto posto) iznosa Tranše plus 100% (sto posto) od svih prethodno isplaćenih Tranši; i
(e) omogućiti Banci, ako to zahteva:
(i) sertifikat osiguranja koji pokazuje ispunjenje svih zahteva iz člana 6.5(c); i
(ii) godišnje, xxxxxx polisa na snazi koji pokrivaju osiguranu imovinu koja xxxx xxx Projekta, zajedno sa potvrdom o plaćanju tekućih premija.
8.2 Informacije koje se tiču Zajmoprimca
Zajmoprimac će:
(a) osigurati da njegove računovodstvene knjige u potpunosti odražavaju operacije vezane za finansiranje, izvršenje i izvođenje Projekta; i
(b) obavestiti Banku bez odlaganja o:
(i) bilo kojoj činjenici koja ga obavezuje da prevremeno otplati bilo koje finansijsko dugovanje ili po osnovu sredstava dobijenih od Evropske unije;
(ii) bilo kom događaju ili odluci koja predstavlja ili može da ima za rezultat slučaj prevremene pretplate;
(iii) svakoj nameri sa njegove strane da izda bilo kakvo obezbeđenje na teret bilo kog dela njegove aktive u korist xxxxx xxxxxx;
(iv) svakoj nameri s njegove strane da proda, prenese, iznajmi ili se na drugi način reši svojih sredstava što bi dovelo do kršenja člana 6.7;
(v) svakoj nameri sa njegove strane da se odrekne vlasništva nad bilo kojom materijalnom komponentom Projekta;
(vi) bilo kojoj činjenici ili događaju koji bi mogli da spreče suštinsko ispunjenje bilo koje obaveze Zajmoprimca po ovom ugovoru;
(vii) bilo kom Slučaju neispunjenja obaveza koji je nastupio ili se očekuje, odnosno preti da se dogodi;
(viii) svakoj meri preduzetoj xx xxxxxx Zajmoprimca u skladu sa članom 6.5(f) ovog ugovora; i
(ix) svakom sudskom, arbitražnom ili upravnom postupku ili istrazi xxxx xx u toku, zaprećena ili čeka na rešavanje i za koje, ako se nepovoljno reše, postoji verovatnoća da bi doveli do Materijalno štetne promene.
8.3 Posete Banke
Zajmoprimac će dozvoliti licima koje xx Xxxxx odredila, kao i licima određenim xx xxxxxx institucija Evropske unije ili organa Evropske unije xxxx xx to obavezno u skladu sa relevantnim zakonodavstvom EU:
(a) da posete lokacije, instalacije i radove pod Projektom;
(b) da razgovaraju sa predstavnicima Zajmoprimca, da ne sprečavaju kontakte xx xxxx kojim drugim licem uključenim u ili na koje Projekat utiče; i
(c) da pregledaju knjige i evidencije Zajmoprimca u vezi sa sprovođenjem Projekta i da budu u mogućnosti da uzmu kopije dokumenata u vezi sa Projektom u meri u kojoj je to dozvoljeno Zakonom.
Zajmoprimac pruža Banci ili obezbeđuje da Banka dobije svu neophodnu pomoć u svrhe opisane u ovom članu.
Zajmoprimac je upoznat sa činjenicom da Banka može biti obavezna da obelodani takve informacije u vezi sa Zajmoprimcem i Projektom, nadležnim institucijama ili organima Evropske unije u skladu sa relevantnim obavezujućim odredbama zakonodavstva EU.
8.4 Istrage i informisanje
Zajmoprimac se obavezuje:
(i) da na opravdani zahtev Banke sprovede istragu i/ili prekine sve navodne radnje ili radnje za koje se posumnja da se vrše, opisane u članu 6.8;
(ii) da obavesti Banku o merama preduzetim da bi se tražilo obeštećenje od lica odgovornih za bilo kakav gubitak koji proistekne iz bilo koje takve radnje;
(iii) da omogući svaku istragu koju bi Banka mogla da preduzme u vezi sa takvom radnjom;
(iv) da obavesti Banku odmah o svakoj istrazi u vezi sa integritetom članova upravnih tela Zajmoprimca ili rukovodilaca;
(v) da obavesti Banku odmah o bilo kojem materijalno značajnom arbitražnom, upravnom ili istražnom postupku pred sudom, upravnim organom ili drugim sličnim državnim organom koji je, po njegovom najboljem znanju i uverenju, u toku ili predstoji ili preti u vezi sa krivičnim xxxxxx u vezi sa Zajmom ili Projektom, u meri u kojoj je to dozvoljeno Zakonom.
Č lan 9.
Rashodi i troškovi
9.1 Porezi, dažbine i naknade
Zajmoprimac će platiti sve poreze, dažbine i naknade i druge namete bilo kakve prirode, uključujući i taksene marke i naknade za registraciju, koje proističu iz izvršenja ili primene ovog ugovora ili bilo kog pratećeg dokumenta, kao i tokom izrade, usavršavanja, registracije ili primene bilo kog obezbeđenja za Zajam, u meri u kojoj je primenljivo i po potrebi. U xxx slučaju, Zajmoprimac će obezbediti da sredstva Zajma i/ili bilo koji fondovi tehničke saradnje neće biti korišćeni za plaćanje carina i poreskih dažbina xx xxxxxx, ili na teritoriji, Zajmoprimca u odnosu xx xxxx, radove i usluge (uključujući i konsultantske usluge) nabavljene xx xxxxxx Promotera za svrhu Projekta.
Zajmoprimac će platiti svu glavnicu, kamatu, obeštećenje i druge iznose koji sleduju po ovom ugovoru, xxxxx bez odbijanja bilo kakvih nacionalnih ili lokalnih dažbina; pod uslovom da, ako je Zajmoprimac obavezan da napravi neki takav odbitak, on poveća bruto otplatu Banci tako da posle odbitka, neto iznos xxxx Xxxxx primi bude ekvivalentan dospelom iznosu.
9.2 Ostali troškovi
Zajmoprimac će snositi sve troškove i izdatke, uključujući stručne, bankarske ili menjačke troškove nastale u vezi sa pripremom, izvršenjem, sprovođenjem i prestankom ovog ugovora ili bilo kog s njim povezanog dokumenta, bilo kojom izmenom, dopunom ili odricanjem u vezi sa ovim ugovorom ili bilo kog s njim povezanog dokumenta, kao i u izmeni, izradi, upravljanju, izvršenju i realizaciji bilo kog sredstva obezbeđenja zajma.
Xxxxx xx obezbediti podršku u vidu dokumenata za sve takve naknade ili troškove 14 (četrnaest) xxxx pre dospeća njenog zahteva za plaćanje. Kao izuzetak, međutim, svi troškovi u iznosu koji ne nadmašuje 100 evra (jedna stotina), koje xxxxx xx xxxxx Zajmoprimac, xxxx dokumentovani xx xxxxxx Xxxxx (i) isključivo ex-post (to jest, nakon što se plaćanje izvrši); i (ii) po zahtevu Zajmoprimca.
9.3 Uvećani troškovi, obeštećenje i poravnanje
(a) Zajmoprimac plaća Banci sve iznose ili izdatke kojima xx Xxxxx bila izložena, ili ih je pretrpela, kao posledicu uvođenja ili bilo koje
promene u (ili u tumačenju, administraciji ili primeni) bilo kog Zakona ili propisa ili usaglašavanja xx xxxx kojim zakonom ili propisom načinjenim nakon datuma potpisivanja ovog ugovora, u skladu sa ili kao rezultat čega (i) xx Xxxxx u obavezi da pretrpi dopunske troškove da bi finansirala ili izvršila svoje obaveze u skladu sa ovim ugovorom, ili (ii) xx xxxx koji iznos, koji se duguje Banci u skladu sa ovim ugovorom ili finansijski prihod koji je rezultat dodele Kredita ili Zajma xx xxxxxx Xxxxx Zajmoprimcu, smanjen ili ukinut.
(b) Ne dovodeći u pitanje druga prava Banke u skladu sa ovim ugovorom ili bilo kojim merodavnim Zakonom, Zajmoprimac obeštećuje i obezbeđuje da Banka nema štete od i protiv bilo kog gubitka pretrpljenog kao rezultat bilo kog plaćanja ili delimične isplate, koja se dešava na način drugačiji od onoga xxxx xx izričito navedeno u ovom ugovoru.
(c) Banka može sve dospele obaveze Zajmoprimca na osnovu ovog ugovora (ukoliko xx Xxxxx njihov stvarni vlasnik) da poravna xx xxxx kojom obavezom koju Banka duguje Zajmoprimcu, nezavisno xx xxxxx plaćanja, filijale knjiženja ili valute bilo koje od tih obaveza. Ako su obaveze u različitim valutama, Banka može bilo koju od njih da preračuna po tržišnom kursu koji primenjuje u svom redovnom poslovanju radi poravnanja.
Č lan 10.
Slučajevi neispunjenja obaveza
10.1 Pravo na zahtevanje otplate
Zajmoprimac će otplatiti Xxxxx ili neki njegov deo (po zahtevu Banke), zajedno sa prispelom kamatom i svim ostalim neotplaćenim iznosima, po pisanom zahtevu Banke, a u skladu sa sledećim odredbama.
10.1.A Hitan zahtev
Banka može odmah da podnese takav zahtev:
(a) ako Zajmoprimac propusti da na datum dospeća otplati xxxx xxx Zajma, da xxxxx xxxxxx na to ili da izvrši bilo kakvo plaćanje Banci xxxx xx to određeno ovim ugovorom, osim ako je (i) neizvršeno plaćanje prouzrokovano administrativnom ili tehničkom greškom ili slučajem poremećaja (ii) isplata izvršena u roku od 3 (tri) xxxxx xxxx od datuma dospeća;
(b) ako bilo koja informacija ili dokument dostavljeni Banci xx xxxxxx ili u ime Zajmoprimca ili bilo koja izjava, garancija ili izveštaj koje Zajmoprimac daje ili se smatra da daje u ovom ugovoru ili u vezi s ovim ugovorom ili u vezi s pregovaranjem o zaključenju ili izvršenjem ovog ugovora netačni, nepotpuni ili neistiniti u bilo kom bitnom materijalnom pogledu;
(c) ako se nakon neispunjenja obaveza xx xxxxxx Zajmoprimca u vezi s bilo kojim zajmom ili bilo kojom obavezom koja proizilazi iz bilo koje finansijske transakcije koja nije u vezi sa ovim zajmom:
(i) od Zajmoprimca zahteva ili može da se zahteva, ili će se nakon isteka važećeg ugovorenog perioda počeka od njega zahtevati ili moći da se zahteva prevremena otplata, izmirenje,
zatvaranje ili otkazivanje tog drugog kredita ili obaveze pre dospeća; ili
(ii) otkaže ili obustavi bilo koja finansijska obaveza za taj drugi zajam ili obavezu;
(d) ako Zajmoprimac nije u stanju da plaća svoje dugove o dospeću ili ako obustavi plaćanje svojih dugova ili bez prethodnog obaveštenja Banke izvrši ili zatraži poravnanje sa svojim poveriocima;
(e) ako Zajmoprimac ne ispunjava bilo koju obavezu po osnovu bilo kog drugog zajma koji je primio iz sredstava Banke ili Evropske unije;
(f) ako xx xxxxx stvari zbog duga, izvršenje, konfiskovanje, ili drugi proces nametnut ili izvršen nad imovinom Zajmoprimca ili bilo koje imovine koja xx xxx Projekta, i obaveza nije isplaćena ili odložena u roku od 14 (četrnaest) xxxx;
(g) ako nastupi materijalno značajna negativna promena u poređenju sa stanjem Zajmoprimca na datum zaključenja ovog ugovora; ili
(h) ako jeste ili ako postane nezakonito da Zajmoprimac izvršava neku svoju obavezu po ovom ugovoru ili ako ovaj ugovor nije važeći u skladu sa svojim uslovima ili ako Xxxxxxxxxxx tvrdi da on nije važeći u skladu sa njegovim uslovima.
10.1.B Zahtev nakon opomene o ispravci
Banka takođe može da postavi takav zahtev:
(a) ako Zajmoprimac ne ispuni bilo koju obavezu po ovom ugovoru, osim one pomenute u članu 10.1.A; ili
(b) ako se bilo koja činjenica u vezi sa Zajmoprimcem ili Projektom, navedena u stavovima Preambule, materijalno promeni, a materijalno se ne vrati u prvobitno stanje bilo da promena šteti interesima Xxxxx xxx zajmodavca prema Zajmoprimcu ili nepovoljno utiče na sprovođenje ili funkcionisanje Projekta,
osim ako je neispunjenje ili okolnost zbog koje xx xxxxx do neispunjenja moguće ispraviti i ako se ispravi u razumnom roku naznačenom u obaveštenju koje Banka dostavi Zajmoprimcu.
10.2 Ostala prava po zakonu
Član 10.1. neće ograničiti bilo koje drugo pravo Banke u skladu sa zakonom da zahteva prevremenu otplatu zajma.
10.3 Obeštećenje
10.3.A Tranše sa fiksnom kamatnom stopom
U slučaju zahteva iz člana 10.1. koji se odnosi na Xxxxxx s fiksnom kamatnom stopom, Zajmoprimac plaća Banci traženi iznos zajedno s obeštećenjem za prevremenu otplatu na bilo koji iznos glavnice koji je dospeo za prevremenu otplatu. Takvo obeštećenje za prevremenu otplatu se obračunava od xxxx dospeća plaćanja navedenog u zahtevu Banke i izračunava se na osnovu prevremene otplate xxxx xx izvršena na datum naveden u zahtevu.
10.3.B Tranše sa varijabilnom kamatnom stopom
U slučaju zahteva iz člana 10.1 u vezi xx xxxx kojom Xxxxxxx sa varijabilnom kamatnom stopom, Zajmoprimac će platiti Banci traženi iznos zajedno sa iznosom jednakim sadašnjoj vrednosti od 0,15% (petnaest baznih poena) na godišnjem nivou koji će se obračunavati na iznos glavnice koji će biti prevremeno otplaćen, i to na isti xxxxx xxx što bi se obračunavala kamata da je taj iznos ostao neizmiren u skladu sa prvobitnim planom otplate te Tranše do Datuma revizije/konverzije xxxxxx, ukoliko postoji, ili do Datuma otplate Tranše.
Takva sadašnja vrednost xxxx izračunata po diskontnoj stopi jednakoj Stopi za prebacivanje, koja važi na svaki relevantni Datum plaćanja.
10.3.C Opšte
Iznose koje je Zajmoprimac xxxxx xx xxxxx u skladu sa ovim članom 10.3. dospeće na naplatu na datum prevremene otplate xxxx Xxxxx precizira u svom zahtevu.
10.4 Neodricanje
Nijedan slučaj neostvarivanja ili odlaganja ili delimičnog ostvarivanja prava ili pravnih lekova koje Banka ima po osnovu ovog ugovora neće se smatrati njenim odricanjem od istih. Prava i pravni lekovi predviđeni ovim ugovorom su kumulativni i ne isključuju ni jedno pravo ili pravni lek predviđen zakonom.
Član 11.
Zakon i nadležnost
11.1 Zakon
Ovaj ugovor upravljaće se prema zakonima Velikog Vojvodstva Luksemburga.
11.2 Nadležnost
Strane ovim putem prihvataju nadležnost Suda pravde Evropske Unije.
Ugovorne strane se ovim putem odriču bilo kakvog imuniteta ili prava na prigovor u vezi sa nadležnošću ovih sudova. Svaka odluka sudova data u skladu sa ovim članom xxxx konačna i obavezujuća za svaku stranu bez ograničenja ili rezervisanja.
11.3 Dokaz o dospelim iznosima
U bilo kom pravnom postupku koji proistekne iz ovog ugovora, potvrda Banke o bilo kom iznosu ili stopi plativoj Banci će, ukoliko ne postoje očigledne greške, predstavljati prima facie dokaz o xxx iznosu ili stopi.
11.4 Izmene i dopune
Bilo koja izmena i dopuna ovog ugovora xxxx sačinjena u pisanoj formi i potpisana od ugovornih strana.
Član 12.
Završne odredbe
12.1 Obaveštenja obema stranama
Obaveštenja i druga saopštenja koja se u skladu sa ovim ugovorom upućuju bilo kojoj ugovornoj strani xxxx poslata na adresu ili broj telefaksa navedene
niže u nastavku, odnosno na drugu adresu ili broj telefaksa o xxxxxx xx jedna strana prethodno obavestila drugu u pisanoj formi:

Osim ako Zajmoprimac u pisanoj formi ne obavesti Banku drugačije, Zajmoprimac je odgovoran za kontakte sa Bankom za potrebe iz člana 6.8.
12.2 Forma obaveštavanja
Sva obaveštenja i druga saopštenja na osnovu ovog ugovora moraju biti u pisanoj formi.
Obaveštenja i druga saopštenja za koja su ovim ugovorom predviđeni fiksni rokovi ili koja u sebi sadrže fiksne rokove obavezujuće za primaoca, xxxx uručeni lično, preporučenom poštom ili telefaksom. Takva obaveštenja i saopštenja smatraće se primljenim xx xxxxx xxxxxx xx datum dospeća ličnim uručenjem, preporučenim pismom ili potvrde o prijemu telefaksa.
Druga obaveštenja i saopštenja dostavljaju se ličnim uručenjem, preporučenom poštom ili telefaksom ili, ukoliko se ugovorne strane o tome saglase u pisanom obliku, elektronskom poštom ili drugim oblikom elektronske komunikacije.
Ne utičući na valjanost obaveštenja koje je dostavljeno telefaksom prema prethodnim stavovima, kopija svakog obaveštenja uručenog telefaksom šalje se i pismom licu na koje je naslovljeno, najkasnije prvog narednog radnog xxxx.
Obaveštenja koje Zajmoprimac šalje u skladu s bilo kojom odredbom ovog ugovora se, ako Banka to zahteva, dostavljaju Banci zajedno sa zadovoljavajućim dokazima o ovlašćenju jednog ili više lica ovlašćenih za potpisivanje tog obaveštenja u ime Zajmoprimca i s overenim uzorcima potpisa tog/tih lica.
12.3 Stupanje na snagu
Ovaj ugovor stupa na snagu nakon potvrde xx xxxxxx Xxxxx Zajmoprimcu da je primljena overena kopija „Službenog glasnika Republike Srbije” u
kojem je objavljen zakon o potvrđivanju ovog ugovora xx xxxxxx Narodne skupštine Republike Srbije.

Tehnički opis i izveštavanje
A.1 Tehnički opis (Član 6.2)
Projekat, xxxx je cilj da u značajnoj meri unapredi pružanje usluga tercijarne zdravstvene zaštite velikoj većini stanovništva Srbije, sastoji se od projektovanja, izgradnje, opremanja i implementacije nove gradnje i velikog renoviranja postojećih zgrada četiri klinička centra locirana u Beogradu, Nišu, Novom Sadu i Kragujevcu u Republici Srbiji. Takođe obuhvata i jedan broj manjih pomoćnih investicija na četiri lokacije.
Opis
Projekat se sastoji od sledećih komponenti:
(a) Klinički centar Beograd: ovaj potprojekat je podeljen u dve faze. Faza 1: završetak dela postojećeg podijuma, izgradnja nove kule, izgradnja novih tehničkih zgrada i parkinga. Faza 2: renoviranje preostalog dela postojeće zgrade. Ukupna površina obuhvaćena ovim potprojektom xx xxx 150.000 m2.
(b) Klinički centar Kragujevac: obuhvata izgradnju nove zgrade, rekonstrukciju postojeće medicinske infrastrukture, izgradnju novih tehničkih blokova, radove na uređenju pejzaža, puteve, parkinge i trotoare. Ukupna površina obuhvaćena ovim potprojektom xx xxx 30.000 m2.
(c) Klinički centar Niš: obuhvata izgradnju nove zgrade, rehabilitaciju i proširenje postojeće medicinske infrastrukture, izgradnju novih tehničkih blokova, radove na uređenju pejzaža, puteve, parkinge i trotoare. Ukupna površina obuhvaćena ovim potprojektom xx xxx 50.000 m2.
(d) Klinički centar Novi Sad: obuhvata rekonstrukciju i proširenje postojeće medicinske infrastrukture, izgradnju tehničkih blokova, radove na uređenju pejzaža, puteve, parkinge i trotoare. Ukupna površina obuhvaćena ovim potprojektom xx xxx 35.000 m2.
(e) Termoenergetski Projekat Beograd – zamena postojećih kotlova na tečna goriva u Beogradu sa kombinovanom elektranom na gas za grejanje i struju da bi se generisala struja i toplota niskog stepena u beogradskom Kliničkom centru i pripadajućim zgradama (završen).
(f) Projekat upravljanja otpadom – nacionalni plan da se proces upravljanja otpadom u bolnicama uskladi sa direktivama EU uključujući i incineratore u krugu četiri klinička centra plus jedan broj mobilnih incineratora koji bi služili drugim bolnicama u Srbiji (završen).
(g) Projekat Transfuzije krvi – projektovanje, izgradnja i puštanje u rad centara za davanje krvi u svakom od četiri klinička centra (završen).
(h) Takođe, nabavka opreme za 4 klinička xxxxxx xx uključena u projekat: medicinska i nemedicinska oprema xxxx xx se instalirati u novim ili renoviranim objektima.
(i) Ugovori za tehničku pomoć imaju za cilj podršku opštem poboljšanju zdravstva u Srbiji.
Program
Osnovno projektovanje i studije o izvodljivosti početi su 2003. godine. Ugovori za projektovanje i nadzor potpisani su 26. septembra 2008. godine. Fizički završetak svih novih i renoviranih zgrada planiran je za decembar 2021.

Definicije EURIBOR-a
A. EURIBOR
„EURIBOR’’ označava:
(a) u odnosu na relevantni period kraći od jednog meseca, objavljena xxxxx (u skladu s xxxx navedenom definicijom) za rok od jednog meseca;
(b) u odnosu na relevantni period od jednog ili više meseci za koji je raspoloživa objavljena xxxxx, primenljivu objavljenu stopu za odgovarajući broj meseci; i
(c) u odnosu na relevantni period od jednog ili više meseci za koji objavljena xxxxx nije raspoloživa, objavljena xxxxx dobijena linearnom interpolacijom iz dve objavljene stope, od kojih se jedna primenjuje na prvi period kraći od relevantnog perioda, a druga na prvi period duži od relevantnog perioda,
(pri čemu je datum na koji xx xxxxx uzima ili iz kojeg se stope interpoliraju
„reprezentativni period”).
U smislu stavova (b) i (c) ovog člana:
„raspoloživ” označava stope, za data dospeća, koje su izračunate i objavljene xx xxxxxx Global Rate Set Systems Ltd (GRSS) ili bilo kog drugog dobavljača usluga izabranog xx xxxxxx European Money Markets Institute (EMMI), pod pokroviteljstvom EMMI EURIBOR ACI ili bilo kog naslednika te funkcije EMMI i EURIBOR ACI kojeg odredi Banka.
„Objavljena xxxxx” je kamatna xxxxx xx depozite u evrima za relevantni period objavljena u 11.00 časova po briselskom vremenu ili u kasnije vreme prihvatljivo za Banku na datum (u daljem tekstu: „datum utvrđivanja”) koji pada 2 (dva) relevantna xxxxx xxxx pre prvog xxxx relevantnog perioda na stranici Reuters EURIBOR 01 ili na stranici xxxx xx zamenjuje ili, ako nije objavljena tamo, objavljena bilo kojim drugim sredstvom objavljivanja koje u tu svrhu izabere Banka.
Ako takva xxxxx nije objavljena na navedeni način, Xxxxx xx zatražiti od glavnih poslovnica četiri prvorazredne banke u evrozoni koje odabere Banka da navedu stopu po kojoj svaka od njih u približno 11.00 časova po briselskom vremenu na datum utvrđivanja nudi depozite u evrima u uporedivom iznosu prvorazrednim bankama na međubankarskom tržištu evrozone za period jednak reprezentativnom periodu. Ako su dostavljene najmanje 2 (dve) kotacije, xxxxx za xxx datum utvrđivanja izračunava xx xxx aritmetička sredina kotiranih xxxxx.
Ako su na zahtev dostavljene manje od 2 (dve) kotacije, xxxxx za xxx datum utvrđivanja se izračunava kao aritmetička sredina xxxxx koje navedu prvorazredne banke u evrozoni koje odabere Banka u približno 11.00 časova po briselskom vremenu na xxx koji pada 2 (dva) relevantna radna xxxx xxxxx datuma utvrđivanja, za zajmove u evrima u uporedivom iznosu koje odobravaju vodećim evropskim bankama za period jednak reprezentativnom periodu.
Ako xxxxx određena u skladu s xxxx navedenim nije dostupna, EURIBOR će biti xxxxx (izražena kao procentualna xxxxx xx godišnjem nivou) koju Banka odredi kao sveukupni trošak Banke za finansiranje odgovarajuće tranše na
osnovu tada primenljive interno generisane referentne stope Banke ili xxxxx određena alternativnim metodom određivanja stope xxxx Xxxxx odredi.
B. OPŠTI DEO
U smislu xxxx pomenutih definicija:
(a) Svi procenti koji proizilaze iz bilo kakvih proračuna u skladu sa ovim prilogom xxxx zaokruženi, ako je to potrebno, na najbliži stohiljaditi procentni poen, dok se polovine zaokružuju nagore;
(b) Xxxxx xx bez odlaganja obavestiti Zajmoprimca o kotacijama koje Banka primi;
Ako bilo koja od prethodnih odredbi postane neusklađena sa odredbama usvojenim pod pokroviteljstvom EMMI i EURIBOR ACI (odnosno bilo kog naslednika te funkcije EMMI i EURIBOR ACI kojeg odredi Banka) u pogledu EURIBOR-a, Banka može putem dostavljanja obaveštenja Zajmoprimcu izmeniti i dopuniti odredbe da bi ih uskladila sa drugim takvim odredbama.

Poštovani,
Obraćamo vam se povodom Finansijskog ugovora. Termini koji su definisani u Finansijskom ugovoru imaće isto značenje u ovom pismu.
U smislu člana 1.4 Finansijskog ugovora, ovim putem potvrđujemo Banci sledeće:
(a) da nije nastao slučaj opisan u članu 4.3.A i ne traje bez preduzetih mera za otklanjanje štetnih posledica;
(b) nije došlo ni do kakve materijalne promene u pogledu bilo kog dela Projekta za koji smo obavezni da podnesemo izveštaj u skladu sa članom 8.1, osim ukoliko o tome nismo prethodno obavestili;
(c) imamo dovoljno sredstava na raspolaganju da obezbedimo blagovremen završetak i realizaciju Projekta u skladu sa Prilogom A.1;
(d) ne postoje događaji i okolnosti koje predstavljaju ili, bi sa protokom vremena ili davanjem obaveštenja prema Finansijskom ugovoru predstavljali, slučaj neizvršenja obaveze prema članu 10.1 i iste nisu u toku bez preduzetih mera za njihovo otklanjanje ili bez odricanja prava na naknadu;
(e) nikakav parnični, arbitražni, upravni ili istražni postupak nije u toku niti, xxxxx xxxxx saznanjima, preti ili predstoji pred bilo kojim sudom, arbitražnim telom ili agencijom koji je doveo ili bi u slučaju negativnog ishoda mogao da dovede do Materijalno štetne promene, niti protiv nas ili naših zavisnih pravnih lica postoji bilo kakva sudska presuda ili odluka koja nije u našu korist;
(f) da su dobijene sve neophodne saglasnosti, autorizacije, dozvole ili odobrenja xx xxxxxx vladinih ili državnih ili nadležnih organa, navedene kao potrebne u vezi sa ovim ugovorom i Projektom za ovu Tranšu;
(g) da su izjave i garancije koje se daju ili ponavljaju u skladu sa članom 6.11 tačne u svakom materijalnom smislu; i
(h) da nije došlo do Materijalno štetne promene u poređenju xx xxxxx položajem na xxx sklapanja Finansijskog ugovora.

Revizija i konverzija kamatne stope
Ako je u obaveštenju o isplati tranše naveden datum revizije/konverzije kamatne stope, primenjivaće se sledeće odredbe:
A. Mehanizmi revizije/konverzije
Kada primi zahtev za reviziju/konverziju xxxxxx Xxxxx xx dužna, da u roku koji počinje da teče 60 (šezdeset) xxxx i završava se 30 (trideset) xxxx pre Datuma revizije/konverzije xxxxxx, dostavi Zajmoprimcu predlog za reviziju/konverziju kamatne stope u kome će navesti:
(a) fiksnu kamatnu stopu i/ili raspon koji će se primenjivati na tu tranšu, ili na deo tranše preciziran u Zahtevu za reviziju/konverziju xxxxxx shodno članu 3.1; i
(b) da će se xx xxxxx primenjivati do Datuma otplate ili do novog Datuma revizije/konverzije xxxxxx, ako je određen, a dospela kamata će se plaćati kvartalno, polugodišnje ili godišnje za prethodni period na naznačene datume plaćanja.
Zajmoprimac može u pisanom obliku da se saglasi s predlogom za reviziju/konverziju kamatne stope u roku koji je u xxx predlogu naznačen.
Bilo koja izmena i dopuna Ugovora koje Banka zahteva u vezi s ovim, vrše se zaključenjem sporazuma najkasnije 15 (petnaest) xxxx pre odgovarajućeg Datuma revizije/konverzije xxxxxx.
B. Efekti revizije/konverzije
Ukoliko Zajmoprimac propisno u pisanom obliku prihvati fiksnu kamatnu stopu ili raspon na osnovu predloga za reviziju/konverziju xxxxxx, Zajmoprimac plaća pripadajuću kamatu na datum revizije/konverzije xxxxxx, a nakon toga na utvrđene datume plaćanja.
Pre Datuma revizije/konverzije xxxxxx, relevantne odredbe ovog ugovora i Obaveštenja o isplati primenjivaće se na celu Tranšu. Od Datuma revizije/konverzije xxxxxx i uključujući taj datum i nadalje, odredbe sadržane u predlogu za reviziju/konverziju xxxxxx i koje se odnose na novu kamatnu stopu ili Raspon primenjivaće se na tu Tranšu (ili njen deo) do novog Datuma revizije/konverzije xxxxxx, ako ga ima, ili do Datuma otplate.
C. Neizvršavanje revizije/konverzije xxxxxx
Ukoliko Zajmoprimac ne podnese Zahtev za reviziju/konverziju ili ne prihvati pisanim putem Predlog revizije/konverzije xxxxxx za Tranšu ili ako strane ne sprovedu izmenu koju Banka zatraži u skladu xx xxxx navedenim stavom A, Zajmoprimac će otplatiti Tranšu (ili njen deo) na Datum revizije/konverzije xxxxxx, bez obeštećenja. Zajmoprimac će na Datum revizije/konverzije otplatiti deo tranše koji nije obuhvaćen Revizijom/konverzijom xxxxxx.
Član 3.
Ovaj zakon stupa na snagu osmog xxxx od xxxx objavljivanja u „Službenom glasniku Republike Srbije – Međunarodni ugovori”.
