LOAN AGREEMENT
AGREEMENT dated 27 November 2013 between REPUBLIC OF SERBIA (the "Borrower") and EUROPEAN BANK FOR RECONSTRUCTION AND DEVELOPMENT (the "Bank").
PREAMBLE
WHEREAS, the Bank has been established to provide financing for specific projects to xxxxxx the transition towards open market-oriented economies and to promote private and entrepreneurial initiative in the Central and Eastern European countries committed to and applying the principles of multiparty democracy, pluralism and market economics;
WHEREAS, the Borrower intends to implement the Project as described in Schedule 1 which is designed to assist the Borrower in rehabilitation of its national road network, to facilitate road transportation and increase safety and to assist the Borrower in its ability to manage the road network and carry out road works effectively and efficiently;
WHEREAS, the Project will be carried out by Public Enterprise Roads of Serbia (the "Project Entity") with financial assistance from the Borrower;
WHEREAS, the Borrower has requested assistance from the Bank in financing part of the Project;
WHEREAS, the Bank will endeavour to mobilise technical cooperation funds on a grant basis in the amount of up to EUR 70,000 to finance consultants who would assist the Project Entity in implementing ISO 39001 Standard for Road Traffic Safety Management (as such term is defined in the Project Agreement);
WHEREAS, the Bank will endeavour to mobilise technical cooperation funds on a grant basis in the amount of up to EUR 75,000 to finance consultants who would assist the Project Entity in overseeing and monitoring of the professional training provided to young unemployed people (as such term is defined in the ESAP);
WHEREAS, the Bank will endeavour to mobilise technical cooperation funds on a grant basis in the amount of up to EUR 30,000 to engage consultants to prepare and carry out the road safety campaign;
WHEREAS, the Borrower intends to contract a loan from the European Investment Bank (the "EIB") in the amount of up to EUR 100,000,000 (the “EIB Loan”) to assist in financing Part B of the Project, subject to the terms and conditions set forth in an agreement between the Borrower and EIB (the "EIB Loan Agreement");
WHEREAS, the Borrower intends to contract a loan from the International Bank for Reconstruction and Development (the “World Bank”) in the amount of up to USD 100,000,000 (the “World Bank Loan”) to assist in financing Part B of the Project, subject to terms and conditions set forth in an agreement between the Borrower and the World Bank (the “World Bank Loan Agreement”); and
WHEREAS, the Bank has agreed on the basis of, inter alia, the foregoing to make a loan to the Borrower in the amount of up to one hundred million Euro (EUR 100,000,000) to finance Part A of the Project, as described in Schedule 1, subject to the terms and conditions set forth or referred to in this Agreement and in the project agreement between the Project Entity and the Bank (the "Project Agreement" as defined in the Standard Terms and Conditions).
NOW, THEREFORE, the parties hereby agree as follows:
ARTICLE I - STANDARD TERMS AND CONDITIONS; DEFINITIONS
Section 1.01. Incorporation of Standard Terms and Conditions
All of the provisions of the Bank's Standard Terms and Conditions dated 1 December 2012 are hereby incorporated into and made applicable to this Agreement with the same force and effect as if they were fully set forth herein, subject, however, to the following modifications (such provisions as so modified are hereinafter called the "Standard Terms and Conditions"):
(a) The definition of the "Statutes" in Section 2.02 of the Standard Terms and Conditions shall, for purposes of this Agreement, be modified to read as follows:
"Statutes" means any and all founding documents of the Project Entity, including, but not limited to, the Decision of the Government of the Republic of Serbia on Establishing the Public Enterprise for State Road Management dated 22 December 2005.
Wherever used in this Agreement (including the Preamble and Schedules), unless stated otherwise or the context otherwise requires, the terms defined in the Preamble have the respective meanings given to them therein, the terms defined in the Standard Terms and Conditions have the respective meanings given to them therein and the following terms have the following meanings:
"Borrower's Authorised
Representative" means the Minister of Finance of the Borrower.
"Fiscal Year" means the Borrower's fiscal year commencing on 1
January and ending on 31 December of each year.
“Project Annual Work Plan” means an annual plan of works on the selected sections of
the roads to be financed from the proceeds of the Loan in the forthcoming year, which shall set forth: (i) the road sections to be financed; (ii) the detailed description of the civil works to be undertaken; and (iii) the updated cost estimates for the works to be performed on the selected road sections, which plan shall be in form and substance
satisfactory to the Bank and as such plan may be amended from time to time with the prior written consent of the Bank.
“Project Implementation
Unit” or “PIU” means the project implementation unit referred to in
Section 2.03 of the Project Agreement.
“Project Steering
Committee” means a committee to be established by the Borrower in
accordance with Section 3.01(f).
“Road Safety Audit” means the audit of the construction designs of each road
section to be financed with the proceeds of the Loan, in line with the principles of the EU Road Safety Directive.
"Subsidiary Loan
Agreement" means the loan agreement to be entered into between the
Project Entity and the Borrower pursuant to Section 3.01(a), as such loan agreement may be amended from time to time.
In this Agreement, a reference to a specified Article, Section or Schedule shall, except where stated otherwise in this Agreement, be construed as a reference to that specified Article or Section of, or Schedule to, this Agreement.
ARTICLE II - PRINCIPAL TERMS OF THE LOAN
Section 2.01. Amount and Currency
The Bank agrees to lend to the Borrower, on the terms and conditions set forth or referred to in this Agreement, the amount of up to one hundred million Euro (EUR 100,000,000).
Section 2.02. Other Financial Terms of the Loan
(a) The Minimum Drawdown Amount shall be EUR 100,000.
(b) The Minimum Prepayment Amount shall be EUR 5,000,000.
(c) The Minimum Cancellation Amount shall be EUR 5,000,000.
(d) The Interest Payment Dates shall be 15 June and 15 December of each year.
(e) (1) The Borrower shall repay the Loan in 24 equal (or as nearly equal as possible) semi-annual instalments on 15 June and 15 December of each year, with
the first Loan Repayment Date being the Interest Payment Date falling on or immediately after the third anniversary of this Agreement.
(2) Notwithstanding the foregoing, in the event that (i) the Borrower does not draw down the entire Loan amount prior to the first Loan Repayment Date specified in this Section 2.02.(e), and (ii) the Bank extends the Last Availability Date specified in Section 2.02.(f) below to a date which falls after such first Loan Repayment Date, then the amount of each drawdown made on or after the first Loan Repayment Date shall be allocated for repayment in equal amounts to the several Loan Repayment Dates which fall after the date of such drawdown (with the Bank adjusting the amounts so allocated as necessary so as to achieve whole numbers in each case). The Bank shall, from time to time, notify the Borrower of such allocations.
(f) The Last Availability Date shall be 30 June 2018, or such later date that the Bank may in its discretion establish and notify to the Borrower. If the Available Loan Amount, or any part thereof, is subject to a Fixed Interest Rate, and the Bank postpones the Last Availability Date, the Borrower shall promptly pay to the Bank such amount of Unwinding Costs as shall, from time to time, be notified by the Bank in writing to the Borrower.
(g) The rate of the Commitment Charge shall be 0.5% per annum.
(h) The Loan is subject to a Variable Interest Rate.Notwithstanding the foregoing, the Borrower may, as an alternative to paying interest at a Variable Interest Rate on all or any portion of the Loan then outstanding, elect to pay interest at a Fixed Interest Rate on such portion of the Loan in accordance with Section 3.04(c) of the Standard Terms and Conditions.
The Available Amount may be drawn down from time to time in accordance with the provisions of Schedule 2 to finance (1) expenditures made (or, if the Bank so agrees, to be made) in respect of the reasonable cost of goods, works and services required for the Project, and (2) the Front-end Commission.
ARTICLE III - EXECUTION OF THE PROJECT
Section 3.01. Other Affirmative Project Covenants
In addition to the general undertakings set forth in Articles IV and V of the Standard Terms and Conditions, the Borrower shall, unless the Bank otherwise agrees:
(a) Make the proceeds of the Loan available to the Project Entity pursuant to the Subsidiary Loan Agreement on form and substance satisfactory to the Bank on terms and conditions acceptable to the Bank and to procure that the proceeds of the Loan shall be applied exclusively to the Project in accordance with the terms of this Agreement and the Project Agreement;
(b) Exercise its rights under the Subsidiary Loan Agreement in such manner as to protect the interests of the Borrower and the Bank, to comply with the provisions of this Agreement and to accomplish the purposes for which the Loan is made;
(c) Not, except as the Bank otherwise agrees, assign, amend, abrogate or waive any provision of the Subsidiary Loan Agreement;
(d) Delegate to the Project Entity the day-to-day management of the Project;
(e) Cause the Project Entity to perform all of its obligations under the Project Agreement, including without limitation its obligations under Section 2.01(c) of the Project Agreement, and its obligations relating to:
(1) establishment and operation of a project implementation unit as provided for in Section 2.03of the Project Agreement;
(2) procurement of goods, works and services for the Project as provided for in Section 2.04 of the Project Agreement;
(3) environmental and social matters as provided for in Section 2.05of the Project Agreement;
(4) employment and use of consultants to assist in the implementation of the Project as provided for in Section 2.06of the Project Agreement;
(5) preparation and submission of reports on matters relating to the Project and to the Project Entity's operations as provided for in Section 2.07 of the Project Agreement;
(6) maintenance of procedures, records and accounts, preparation, auditing and submission to the Bank of financial statements and furnishing to the Bank any other relevant information relating to the Project or the Project Entity's operations as provided for in Section 3.01 of the Project Agreement; and
(7) compliance with all covenants regarding financial and operational aspects of the Project and the Project Entity as provided for in Sections 3.02 and 3.03 of the Project Agreement;
(f) Not later than 31 December 2013 form and maintain throughout the implementation of the Project the Project Steering Committee, which shall act as a body responsible for the strategic coordination and oversight of the Project related activities, in order to proactively identify and resolve issues which may delay the implementation of the Project, under the terms of reference and in the composition satisfactory to the Bank; provided that, except as the Bank otherwise agrees, the mandate of the Project Steering Committee shall not be amended, abrogated or otherwise revised;
(g) Take, or cause to be taken, all additional action necessary to provide adequate funds for the completion of the Project;
(h) Ensure that the Statutesof the Project Entity are not amended, suspended, abrogated, repealed or waived so as to materially and adversely affect the operations or
the financial condition of the Project Entity or its ability to carry out the Project or to perform any of its obligations under the Project Agreement;
(i) Subject to the provisions of Section 2.05(c) of the Project Agreement, ensure that the Project Entity shall prepare the technical designs of the road sections to be financed by the proceeds of the Loan based on the recommendations made pursuant to the Road Safety Audit; and
(j) Ensure that the proceeds of the Loan and/or any technical cooperation funds shall not be used for financing of Taxes levied by, or in the territory of, the Borrower in respect of all goods, works and services (including consultancy services) procured by the Project Entity for the purposes of the Project.
ARTICLE IV - SUSPENSION; ACCELERATION; CANCELLATION
The following are specified for purposes of Section 7.01(a) (xvii) of the Standard Terms and Conditions:
(a) The legislative and regulatory framework applicable to the roads sector in the territory of the Borrower shall have been amended, suspended, abrogated, repealed or waivedin a manner that has or could have a material adverse effect on the Project or the operations or the financial condition of the Project Entity or its ability to carry out the Project or to perform any of its obligations under the Project Agreement;
(b) The Statutes shall have been amended, suspended, abrogated, repealed or waivedso as to materially and adversely affect the operations or the financial condition of the Project Entity or its ability to carry out the Project or to perform any of its obligations under the Project Agreement;
(c) Control of the Project Entity shall have been transferred to a party other than the Borrower; or
(d) The Borrower or the Project Entity shall have failed to perform their obligations under the Subsidiary Loan Agreement.
Section 4.02. Acceleration of Maturity
The following are specified for purposes of Section 7.06(f) of the Standard Terms and Conditions:
(a) any event specified in Section 4.01 which shall have occurred and shall have continued for thirty (30) days after notice thereof shall have been given by the Bank to the Borrower.
Section 5.01. Conditions Precedent to Effectiveness
The following are specified for purposes of Section 9.02(c) of the Standard Terms and Conditions as additional conditions to the effectiveness of this Agreement and the Project Agreement:
(a) The Bank shall have received evidence satisfactory to the Bank that the PIU has been established in accordance with the terms of the Project Agreement;
(b) The Project Entity shall have appointed consultants in accordance with Section
2.06 of the Project Agreement;
(c) The Bank shall have received evidence satisfactory to the Bank that the Project Entity shall have completed the Road Safety Audit of the designs of the road sections to be financed under Category 1;
(d) The World Bank Loan Agreement and the EIB Loan Agreement have been executed and delivered, and all conditions precedent to their effectiveness or to the right of the Borrower to make drawings thereunder, except only the effectiveness of this Agreement, have been fulfilled.
(e) The Subsidiary Loan Agreement, in form and substance satisfactory to the Bank, has been executed and delivered and all conditions precedent to its effectiveness or to the right of the Project Entity to make drawings thereunder, except only the effectiveness of this Agreement, have been fulfilled.
(a) For purposes of Section 9.03(a) of the Standard Terms and Conditions, the opinion or opinions of counsel shall be given on behalf of the Borrower by the Minister of Justice and Public Administration and the following are specified as additional matters to be included in the opinion or opinions to be furnished to the Bank:
(1) the Subsidiary Loan Agreement has been duly authorised or ratified by, and delivered on behalf of, the Borrower and constitutes a valid and legally binding obligation of the Borrower, enforceable in accordance with its terms.
(b) For purposes of Section 9.03(c) of the Standard Terms and Conditions, the opinion or opinions of counsel shall be given on behalf of the Project Entity by Head of the Legal Department of the Project Entity and the following are specified as additional matters to be included in the opinion or opinions to be furnished to the Bank:
(1) the Subsidiary Loan Agreement has been duly authorised or ratified by, and delivered on behalf of, the Project Entity and constitutes a valid and legally binding obligation of the Project Entity, enforceable in accordance with its terms.
Section 5.03. Termination for Failure to Become Effective
The date 180 days after the date of this Agreement is specified for purposes of Section 9.04 of the Standard Terms and Conditions.

SCHEDULE 1 - DESCRIPTION OF THE PROJECT
1. The purpose of the Project is to assist the Borrower in the rehabilitation of its national road network, to facilitate road transportation and increase safety and to assist the Borrower in its ability to manage the road network and carry out road works effectively and efficiently.
2. The Project consists of the following Parts, subject to such modifications thereof as the Bank and the Borrower may agree upon from time to time:
Part A: Civil Works (to be financed by the Bank):
Road Section 1: rehabilitation of, and safety improvements on, the following national road sections: Zabalj 1 - Zrenjanin 1 (obilaznica); Adasevci - Kuzmin 1 (autoput); Vratarnica – Knjazevac 2; Bela Zemlja – Knezevici – Uzice 3.
The road sections specified above may change, as the final road sections to the financed under Category 1 shall be included in the Project Annual Work Plan for works to be financed under Category 1, which shall be submitted to the Bank for approval, as provided for in Schedule 2.
Road Section 2: rehabilitation of, and safety improvements on, the following national road sections: Granica APV (Smederevska ada) – Ralja 6; Ralja 6 - Pozarevac 4; Prijepolje - Sjenica 3 (Medare); Pancevo 1 - granica APV (Pancevo).
The road sections specified above may change, as the final road sections to the financed under Category 2 shall be included in the Project Annual Work Plan for works to be financed under Category 2, which shall be submitted to the Bank for approval, as provided for in Schedule 2.
Road Section 3: rehabilitation of, and safety improvements on, the following national road sections: Razanj 1 (autoput) - Paracin 1 (autoput); Aleksinac 1 (autoput) - Razanj 1 (autoput); Ruma 1 (autoput) - Pecinci 1 (autoput); Kula 1 (Crveka) - Vrbas 1 (Kucura); Srpski Xxxxxxx - Xxxx 1 (Xxxxxx Selo); Ruma 1 (autoput) - Sremska Mitrovica (autoput); Mrcajevci - Kraljevo 1.
The road sections specified above may change, as the final road sections to the financed under Category 3 shall be included in the Project Annual Work Plan for works to be financed under Category 3, which shall be submitted to the Bank for approval, as provided for in Schedule 2.
Road Section 4: rehabilitation of, and safety improvements on, the following national road sections: Razanj 1 (autoput) - Aleksinac 1 (autoput); Brestovac 1 (autoput) - Doljevac 1 (autoput).
The road sections specified above may change, as the final road sections to the financed under Category 4 shall be included in the Project Annual Work
Plan for works to be financed under Category 4, which shall be submitted to the Bank for approval, as provided for in Schedule 2.
Part B: Civil works (to be co-financed by the World Bank, EIB and the Borrower):
Rehabilitation of, and safety improvements on, the national road sections, which are acceptable to the World Bank and EIB.
3. The Project is expected to be completed by 30 June 2018.
SCHEDULE 2 - CATEGORIES AND DRAWDOWNS
1. The table attached to this Schedule sets forth the Categories, the amount of the Loan allocated to each Category and the percentage of expenditures to be financed in each Category.
2. Notwithstanding the provisions of paragraph 1 above, no Drawdown shall be made in respect of:
(A) expenditures incurred prior to the date of the Loan Agreement; and
(B) expenditures under Category 1 until:
(I) the Bank shall have received from the Project Entity the Project Annual Work Plan for works to be financed under Category 1, which shall set forth among others: (i) the road sections to be financed from the Loan proceeds allocated for Category 1; (ii) the detailed description of the civil works to be undertaken; and (iii) the updated cost estimates for works to be performed on road sections selected for Category 1, in form and substance acceptable to the Bank; and
(II) the Bank shall have received evidence of the completed Road Safety Audit of the designs for the road sections under Category 1.
(C) expenditures under Category 2 until:
(I) the Bank shall have received from the Project Entity the Project Annual Work Plan for works to be financed under Category 2, which shall set forth among others: (i) the road sections to be financed from the Loan proceeds allocated for Category 2; (ii) the detailed description of the civil works to be undertaken; and (iii) the updated cost estimates for works to be performed on road sections selected for Category 2, in form and substance acceptable to the Bank; and
(II) the Bank shall have received evidence of the completed Road Safety Audit of the designs for the road sections under Category 2.
(D) expenditures under Category 3 until:
(I) the Bank shall have received from the Project Entity the Project Annual Work Plan for works to be financed under Category 3, which shall set forth among others: (i) the road sections to be financed from the Loan proceeds allocated for Category 3; (ii) the detailed description of the civil works to be undertaken; and (iii) the updated cost estimates for works to be performed on road sections selected for Category 3, in form and substance acceptable to the Bank; and
(II) the Bank shall have received evidence of the completed Road Safety Audit of the designs for the road sections under Category 3.
(E) expenditures under Category 4 until:
(I) the Bank shall have received from the Project Entity the Project Annual Work Plan for works to be financed under Category 4, which shall set forth among others: (i) the road sections to be financed from the Loan proceeds allocated for Category 4; (ii) the detailed description of the civil works to be undertaken; and (iii) the updated cost estimates for works to be performed on road sections selected for Category 4, in form and substance acceptable to the Bank; and
(II) the Bank shall have received evidence of the completed Road Safety Audit of the designs for the road sections under Category 4.

SPORAZUM O ZAJMU zaključen xxxx 27. novembra 2013. godine, između REPUBLIKE SRBIJE (u daljem tekstu: „Zajmoprimac”) i EVROPSKE BANKE ZA OBNOVU I RAZVOJ (u daljem tekstu: „Banka”).
UVODNE ODREDBE
S OBZIROM NA TO DA xx Xxxxx osnovana radi obezbeđenja finansiranja posebnih projekata xxxx je cilj podsticanje tranzicije ka otvorenim tržišno orijentisanim privredama i promovisanje privatne i preduzetničke inicijative u državama Srednje i Istočne Evrope, koje su privržene principima višepartijske demokratije, pluralizma i tržišne ekonomije i koje te principe primenjuju;
S OBZIROM NA TO DA Zajmoprimac namerava da implementira Projekat opisan u Prilogu 1 koji je osmišljen tako da pomogne Zajmoprimcu u rehabilitaciji njegove nacionalne putne mreže, da olakša drumski saobraćaj i poveća bezbednost, kao i da pomogne Zajmoprimcu u njegovoj sposobnosti upravljanja putnom mrežom i izvođenja radova na putevima na efikasan i ekonomičan način;
S OBZIROM NA TO DA će Projekat realizovati Javno preduzeće ,,Putevi Srbije” (u daljem tekstu: „Izvršilac projekta”) uz finansijsku pomoć Zajmoprimca;
S OBZIROM NA TO DA je Zajmoprimac zatražio pomoć Banke u finansiranju dela Projekta;
S OBZIROM NA TO DA Banka namerava da stavi na raspolaganje sredstva tehničke pomoći na bazi donacije u iznosu do 70.000 EUR kako bi se finansirali konsultanti koji bi pomogli Izvršiocu projekta u implementaciji ISO 39001 standarda za upravljanje bezbednošću na putevima (na način definisan u Sporazumu o projektu);
S OBZIROM NA TO DA Banka namerava da stavi na raspolaganje sredstva tehničke pomoći na bazi donacije u iznosu do 75.000 EUR za finansiranje konsultanata koji bi pomogli Izvršiocu projekta u nadgledanju i praćenju profesionalne obuke koja se pruža mladim nezaposlenim ljudima (na način definisan u Akcionom planu za zaštitu životne sredine i socijalna pitanja (Environmental and Social Action Plan – ESAP));
S OBZIROM NA TO DA Banka namerava da stavi na raspolaganje sredstva tehničke pomoći na bazi donacije u iznosu do 30.000 EUR za angažovanje konsultanata na pripremi i sprovođenju kampanje za bezbednost na putevima;
S OBZIROM NA TO DA Zajmoprimac namerava da ugovori zajam od Evropske investicione banke (u daljem tekstu: „EIB”) u iznosu do 100.000.000 EUR (u daljem tekstu: ,,EIB zajam”) kao pomoć u finansiranju Dela B ovog Projekta, pod odredbama i uslovima definisanim u sporazumu između Zajmoprimca i EIB (u daljem tekstu: ,,EIB Sporazum o zajmu");
S OBZIROM NA TO DA Zajmoprimac namerava da ugovori zajam od Međunarodne banke za obnovu i razvoj (u daljem tekstu: ,,Svetska banka”) u iznosu do 100.000.000
USD (u daljem tekstu: ,,Zajam Svetske banke”) kao pomoć u finansiranju Dela B ovog Projekta, pod odredbama i uslovima definisanim u sporazumu između Zajmoprimca i Svetske banke (u daljem tekstu: „Sporazum o zajmu Svetske banke”); i
S OBZIROM NA TO DA xx Xxxxx saglasila na osnovu xxxx pomenutog, između ostalog da Zajmoprimcu odobri zajam u iznosu do sto miliona evra (100.000.000 EUR) za finansiranje Dela A ovog Projekta, na način opisan u Prilogu 1, pod odredbama i uslovima utvrđenim ili pomenutim u ovom Sporazumu o zajmu (u daljem tekstu:
„Sporazum”) i u Sporazumu o projektu zaključenom između Izvršioca projekta i Banke („Sporazum o projektu”, xxxx xx definisan u Standardnim odredbama i uslovima);
NA OSNOVU TOGA, ugovorne strane su saglasne sa sledećim:
ČLAN 1. – STANDARDNE ODREDBE I USLOVI; DEFINICIJE
Stav 1.01. Primena Standardnih odredbi i uslova
Sve odredbe Standardnih odredbi i uslova Banke od 1. decembra 2012. godine ovim putem se uključuju u Sporazum i primenjuju se na njega sa istom pravnom snagom i dejstvom xxx xx xx u celosti ovde navedene, podložne, međutim, sledećim izmenama (te odredbe, tako izmenjene, nazivaju se u daljem tekstu „Standardne odredbe i uslovi ”):
(a) Definicija ,,Statut” u stavu 2.02 Standardnih odredbi i uslova u svrhe ovog Sporazuma menja se i glasi:
,,Statut ” znači bilo koja i sva osnivačka dokumenta Izvršioca projekta, uključujući, ali se ne ograničavajući na Odluku Vlade Republike Srbije o osnivanju Javnog preduzeća za upravljanje državnim putevima od 22. decembra 2005. godine.
Gde god se koriste u ovom Sporazumu (uključujući Uvodne odredbe i Priloge), osim ako nije drugačije precizirano ili ako kontekst drugačije ne nalaže, izrazi definisani u Uvodnim odredbama imaju značenja koja su im data u njima, izrazi definisani u Standardnim odredbama i uslovima imaju odgovarajuća značenja koja su im tamo data, a sledeći izrazi imaju sledeća značenja:
„Ovlašćeni predstavnik
Zajmoprimca” označava Ministra finansija Zajmoprimca.
„Fiskalna xxxxxx” označava fiskalnu godinu Zajmoprimca koja počinje 1.
januara, a završava se 31. decembra svake godine.
„Godišnji plan rada
na Projektu” označava godišnji plan radova na odabranim deonicama
puteva koji će se finansirati iz sredstava Xxxxx u predstojećoj godini, a koji definiše: (i) deonice puteva koje će biti finansirane; (ii) detaljan opis građevinskih radova koji će biti izvedeni; i (iii) ažuriranu procenu troškova radova koji će biti izvedeni na odabranim deonicama
„Jedinica za implementaciju projekata” ili ,,PIU” (Project
puteva, pri čemu je taj plan po svojoj formi i sadržaju zadovoljavajući za Banku i može se povremeno menjati uz prethodnu pismenu saglasnost Banke.
Implementation Unit) označava jedinicu za implementaciju projekta navedenu u
stavu 2.03 Sporazuma o projektu.
„Nadzorni odbor
Projekta” označava odbor xxxx xxxxx da formira Zajmoprimac na osnovu stava 3.01(f).
„Revizija bezbednosti
saobraćaja” označava reviziju građevinskih projekata svake deonice puta xxxx xx se finansirati iz sredstava Zajma, u skladu sa principima Direktive EU o bezbednosti saobraćaja.
„Podsporazum o zajmu” označava sporazum o zajmu koji će biti sklopljen između
Izvršioca projekta i Zajmoprimca na osnovu stava 3.01(a), koji se može povremeno menjati.
U ovom Sporazumu poziv na određeni član, stav ili Prilog, osim xxxx xx drugačije navedeno u samom Sporazumu, tumači xx xxx poziv na taj određeni član, stav ili Prilog ovog Sporazuma.
ČLAN 2. – OSNOVNI USLOVI ZAJMA
Xxxxx xx saglasna da odobri zajam Zajmoprimcu, pod odredbama i uslovima definisanim ili navednim u ovom Sporazumu, u iznosu do sto miliona evra (100.000.000 EUR).
Stav 2.02. Ostali finansijski uslovi zajma
(a) Minimalni iznos za povlačenje je 100.000 EUR.
(b) Minimalni iznos prevremene otplate je 5.000.000 EUR.
(c) Minimalni iznos otkazivanja je 5.000.000 EUR.
(d) Datumi za plaćanje xxxxxx xx 15. jun i 15. decembar svake godine.
(e) (1) Zajmoprimac vrši otplatu Zajma u 24 jednake (ili jednake u najvećoj mogućoj meri) polugodišnje rate 15. xxxx i 15. decembra svake godine, sa prvim Datumom otplate zajma koji je Datum za plaćanje xxxxxx, a koji pada na xxx ili odmah nakon treće godišnjice ovog Sporazuma.
(2) Izuzeto od napred navedenog, u slučaju da (i) Zajmoprimac ne izvrši povlačenje celokupnog iznosa Zajma pre prvog Datuma otplate zajma xxxx xx naznačeno u stavu 2.02.(e) i (ii) Banka produži Poslednji datum raspoloživosti sredstava preciziran u stavu 2.02.(f) do datuma koji pada nakon pomenutog prvog Datuma otplate zajma, tada se iznos svakog povlačenja sredstava koje je izvršeno na ili nakon prvog Datuma otplate zajma raspoređuje za otplatu u jednakim iznosima na nekoliko Datuma otplate zajma koji padaju nakon datuma tog povlačenja sredstava (s xxx što Banka po potrebi koriguje ovako raspoređene iznose tako da iznos u svakom pojedinačnom slučaju bude ceo broj). Banka povremeno obaveštava Zajmoprimca o takvim raspoređivanjima.
(f) Poslednji datum raspoloživosti sredstava je 30. jun 2018. godine ili neki kasniji datum xxxx Xxxxx može utvrditi po svom diskrecionom pravu i o tome obavestiti Zajmoprimca. Ukoliko Xxxxxxxxxxx iznos ili neki njegov deo podleže Xxxxxxx kamatnoj stopi, a Banka odloži Poslednji datum raspoloživosti sredstava, Zajmoprimac bez odlaganja plaća Banci iznos Nepredviđenih troškova o kojima Banka povremeno obaveštava Zajmoprimca u pismenoj formi.
(g) Xxxxx za obračunavanje provizije na neiskorišćena sredstva je 0,5% godišnje.
(h) Zajam podleže promenljivoj kamatnoj stopi. Izuzeto od napred navedenog, Zajmoprimac može, kao alternativu za plaćanje xxxxxx po promenljivoj kamatnoj stopi na celokupan ili na bilo xxxx xxx iznosa Zajma koji je u xxx trenutku neotplaćen, izabrati da xxxxx xxxxxx po fiksnoj kamatnoj stopi na xxx xxx zajma u skladu sa stavom 3.04(c) Standardnih odredbi i uslova.
Stav 2.03. Povlačenje sredstava
Raspoloživi iznos se može povremeno povlačiti u skladu sa odredbama Priloga 2 za finansiranje (1) izdataka koji xx xxxxxxx (ili, ukoliko xx Xxxxx saglasi s xxx, izdataka koji će nastati) po osnovu realnih troškova za dobra, radove i usluge koji su potrebni za Projekat i (2) Pristupne provizije.
ČLAN 3. – SPROVOĐENJE PROJEKTA
Stav 3.01. Ostale afirmativne odredbe u vezi sa Projektom
Pored opštih obaveza definisanih u članu IV i V Standardnih odredbi i uslova, Zajmoprimac se, osim ukoliko xx Xxxxx ne saglasi drugačije, obavezuje da:
(a) učini sredstva Xxxxx raspoloživim Izvršiocu projekta u skladu sa Podsporazumom o zajmu, koji će po svojoj formi i suštini biti zadovoljavajući za Banku, pod odredbama i uslovima prihvatljivim za Banku, i obezbedi da se sredstva Zajma koriste isključivo za ovaj Projekat, u skladu sa odredbama i uslovima ovog Sporazuma i Sporazuma o projektu;
(b) realizuje svoja prava na osnovu Podsporazuma o zajmu na takav način da zaštiti interese Zajmoprimca i Banke, postupa u skladu sa odredbama ovog Sporazuma i ostvari svrhe za koje je Zajam dat;
(c) osim ukoliko xx Xxxxx ne saglasi drugačije, neće dodeliti, menjati, ukidati ili vršiti odricanje od bilo koje odredbe Podsporazuma o zajmu;
(d) poveri Izvršiocu projekta svakodnevno upravljanje Projektom;
(e) obezbedi da Izvršilac projekta ispuni sve svoje obaveze iz Sporazuma o projektu, uključujući bez ograničenja i njegove obaveze iz stava 2.01(c) Sporazuma o projektu, i njegove obaveze koje se odnose na:
(1) osnivanje i rad jedinice za implementaciju projekta u skladu sa stavom 2.03 Sporazuma o projektu;
(2) nabavku dobara, radova i usluga za potrebe Projekta, u skladu sa stavom
2.04 Sporazuma o projektu;
(3) ekološka i socijalna pitanja u skladu sa stavom 2.05 Sporazuma o projektu;
(4) zapošljavanje konsultanata i korišćenje njihovih usluga u cilju pružanja pomoći u sprovođenju Projekta, u skladu sa stavom 2.06 Sporazuma o projektu;
(5) pripremu i podnošenje izveštaja o pitanjima koja se tiču Projekta i poslovanja Izvršioca projekta, u skladu sa stavom 2.07 Sporazuma o projektu;
(6) sprovođenje procedura, vođenje evidencija i računa, pripremu, podnošenje na reviziju i dostavljanje Banci finansijskih izveštaja, kao i dostavljanje Banci svih drugih relevantnih informacija koje se odnose na Projekat ili poslovanje Izvršioca projekta, a u skladu sa stavom 3.01 Sporazuma o projektu; i
(7) poštovanje svih obaveza u vezi sa finansijskim i operativnim aspektima Projekta i Izvršioca projekta u skladu sa stavovima 3.02 i 3.03 Sporazuma o projektu;
(f) najkasnije do 31. decembra 2013. godine formira i održava tokom celokupnog perioda realizacije Projekta Nadzorni odbor Projekta, koji će delovati xxx xxxx odgovorno za stratešku koordinaciju i nadgledanje aktivnosti koje se izvode u vezi sa ovim Projektom, u cilju proaktivne identifikacije i rešavanja pitanja koja bi mogla odložiti realizaciju Projekta, xxxx će opis poslova i zadataka, kao i sastav biti zadovoljavajući za Banku; pod uslovom da xx xxxxxx Nadzornog odbora Projekta ne menja, ne ukida ili na neki drugi način revidira, osim ukoliko xx Xxxxx sa xxx saglasi;
(g) preduzme, ili omogući da budu preduzete, sve dodatne aktivnosti neophodne za obezbeđenje potrebnih sredstava za završetak Projekta;
(h) obezbedi da se Statut Izvršioca projekta ne izmeni, suspenduje, stavi van snage ili ukine na način koji materijalno i negativno utiče na rad ili finansijsko stanje Izvršioca projekta ili na njegovu sposobnost da realizuje Projekat ili izvršava bilo koju od svojih obaveza po osnovu Sporazuma o projektu;
(i) shodno odredbama stava 2.05(c) Sporazuma o projektu, obezbedi da Izvršilac projekta pripremi tehničke projekte za deonice puteva koje se finansiraju iz sredstava Zajma na osnovu preporuka datih u okviru Revizije bezbednosti saobraćaja; i
(j) obezbedi da se sredstva Zajma i/ili bilo koja sredstva tehničke pomoći ne koriste za finansiranje poreza nametnutih od, ili na teritoriji, Zajmoprimca u vezi sa svim
dobrima, radovima i uslugama (uključujući konsultantske usluge) čiju nabavku vrši Izvršilac projekta u svrhu Projekta.
ČLAN 4. – OBUSTAVA; UBRZANJE DOSPEĆA; OTKAZIVANJE
Za potrebe stava 7.01(a)(xvii) Standardnih odredbi i uslova definiše se sledeće:
(a) Zakonodavni i regulatorni okvir koji se primenjuje na sektor drumskog saobraćaja na teritoriji Zajmoprimca je izmenjen, suspedovan, ukinut ili se od njega odustalo na način koji materijalno i negativno utiče na poslovanje ili finansijsko stanje Izvršioca projekta, odnosno na njegovu sposobnost da izvodi Projekat ili da ispunjava bilo koju od svojih obaveza po osnovu Sporazuma o projektu;
(b) Statut je izmenjen, suspendovan, ukinut ili se od njega odustalo na način koji materijalno i negativno utiče na poslovanje ili finansijsko stanje Izvršioca projekta, odnosno na njegovu sposobnost da izvodi Projekat ili ispunjava bilo koju od svojih obaveza po osnovu Sporazuma o projektu;
(c) Kontrola nad Izvršiocem projekta xx xxxxxxx na drugo lice koje nije Zajmoprimac; ili
(d) Zajmoprimac i Izvršilac projekta nisu uspeli da izvrše svoje obaveze po osnovu Podsporazuma o zajmu.
Za potrebe stava 7.06(f) Standardnih odredbi i uslova definiše se sledeće:
(a) bilo koji događaj definisan u stavu 4.01 koji xx xxxxx i koji je trajao trideset (30) xxxx xxxxx što xx Xxxxx obavestila Zajmoprimca o xxx događaju.
Stav 5.01. Preduslovi za stupanje na snagu
Za potrebe stava 9.02(c) Standardnih odredbi i uslova definišu se sledeći dodatni uslovi za stupanje na snagu ovog Sporazuma i Sporazuma o projektu:
(a) Xxxxx xx dobila za nju zadovoljavajući dokaz da je PIU formirana u skladu sa uslovima Sporazuma o projektu;
(b) Izvršilac projekta je imenovao konsultante u skladu sa stavom 2.06 Sporazuma o projektu;
(c) Xxxxx xx dobila za nju zadovoljavajući dokaz da je Izvršilac projekta završio Reviziju bezbednosti saobraćaja za projekte sačinjene za deonice puteva koje će se finansirati u okviru Kategorije 1;
(d) Sporazum o zajmu Svetske banke i EIB Sporazum o zajmu su zaključeni i svi preduslovi njihovog stupanja na snagu ili uslovi koji daju pravo Zajmoprimcu da
povlači sredstva na osnovu tih sporazuma su ispunjeni, osim stupanja na snagu ovog Sporazuma.
(e) Podsporazum o zajmu, koji je po svojoj formi i suštini zadovoljavajući za Banku, je zaključen, i svi preduslovi njegovog stupanja na snagu ili uslovi koji daju pravo Izvršiocu projekta da povlači sredstva na osnovu tog sporazuma su ispunjeni, osim stupanja na snagu ovog Sporazuma.
(a) Za potrebe stava 9.03(a) Standardnih odredbi i uslova, mišljenje ili mišljenja pravnog savetnika u ime Zajmoprimca daje Ministar pravde i državne uprave, a sledeće se definiše kao dodatna pitanja xxxx xxxxx uključiti u mišljenje ili mišljenja koja se dostavljaju Banci:
(1) Podsporazum o zajmu je odobren ili ratifikovan xx xxxxxx, i zaključen u ime, Zajmoprimca i čini važeći i pravno obavezujući dokument u pogledu obaveza Zajmoprimca, primenljiv u skladu sa njegovim uslovima;
(b) Za xxxxxxx xxxxx 0.00(c) Standardnih odredbi i uslova, mišljenje ili mišljenja pravnog savetnika u ime Izvršioca projekta daje rukovodilac Pravnog odseka Izvršioca projekta, a sledeće se definiše kao dodatna pitanja xxxx xxxxx uključiti u mišljenje ili mišljenja koja se dostavljaju Banci:
(1) Podsporazum o zajmu je odobren ili ratifikovan xx xxxxxx, i zaključen u ime, Izvršioca projekta i čini važeći i pravno obavezujući dokument u pogledu obaveza Izvršioca projekta, primenljiv u skladu sa njegovim uslovima.
Stav 5.03. Raskid sporazuma zbog nestupanja na snagu
Za potrebe stava 9.04 Standardnih odredbi i uslova, predviđa se datum koji pada 180 xxxx xxxxx datuma ovog Sporazuma.

POTVRĐUJUĆI NAPRED NAVEDENO, ugovorne strane su se, preko svojih propisno ovlašćenih predstavnika, postarale da se ovaj Sporazum potpiše i zaključi, u četiri primerka, u Beogradu, Republika Srbija, na xxx i u godini xxxx xx napred navedeno.

PRILOG 1 – OPIS PROJEKTA
1. Svrha ovog Projekta je da se pomogne Zajmoprimcu u rehabilitaciji njegove nacionalne putne mreže, da olakša drumski saobraćaj i poveća bezbednost, kao i da pomogne Zajmoprimcu u njegovoj sposobnosti upravljanja putnom mrežom i izvođenja radova na putevima na efikasan i ekonomičan način.
2. Ovaj Projekat se sastoji od sledećih delova, koji su podložni izmenama o kojima xx Xxxxx i Zajmoprimac mogu povremeno dogovoriti:
Deo A: Građevinski radovi (koje finansira Banka):
1. Deonica puta 1: Rehabilitacija puta i unapređenje bezbednosti saobraćaja na sledećim deonicama nacionalne putne mreže: Žabalj 1 – Zrenjanin 1 (obilaznica); Adaševci – Kuzmin 1 (autoput); Vratarnica – Knjaževac 2; Bela Zemlja – Kneževići – Užice 3.
Napred navedene deonice puta mogu se menjati, do konačnog spiska deonica za finansiranje u okviru Kategorije 1 navedenog u Godišnjem planu rada na Projektu za radove koji se finansiraju u okviru Kategorije 1, koji se dostavlja Banci na odobrenje, na način definisan u Prilogu 2.
Deonica puta 2: Rehabilitacija puta i unapređenje bezbednosti saobraćaja na sledećim deonicama nacionalne putne mreže: Granica APV (Smederevska ada) – Ralja 6 ; Ralja 6 – Požarevac 4; Prijepolje – Sjenica 3 (Medare); Pančevo 1 – granica APV (Pančevo).
Napred navedene deonice puta mogu se menjati, do konačnog spiska deonica za finansiranje u okviru Kategorije 2 navedenog u Godišnjem planu rada na Projektu za radove koji se finansiraju u okviru Kategorije 2, koji se dostavlja Banci na odobrenje, na način definisan u Prilogu 2.
Deonica puta 3: Rehabilitacija puta i unapređenje bezbednosti saobraćaja na sledećim deonicama nacionalne putne mreže: Ražanj 1 (autoput) – Paraćin 1 (autoput); Aleksinac 1 (autoput) – Ražanj 1 (autoput); Ruma 1 (autoput) – Pećinci 1 (autoput); Kula 1 (Crveka) – Vrbas 1 (Kucura); Srpski Miletić – Kula 1 (Xxxxxx Selo); Ruma 1 (autoput) – Sremska Mitrovica (autoput); Mrčajevci – Kraljevo 1.
Napred navedene deonice puta mogu se menjati, do konačnog spiska deonica za finansiranje u okviru Kategorije 3 navedenog u Godišnjem planu rada na Projektu za radove koji se finansiraju u okviru Kategorije 3, koji se dostavlja Banci na odobrenje, na način definisan u Prilogu 2.
Deonica puta 4: Rehabilitacija puta i unapređenje bezbednosti saobraćaja na sledećim deonicama nacionalne putne mreže: Ražanj 1 (autoput) – Aleksinac 1 (autoput); Brestovac 1 (autoput) – Doljevac 1 (autoput).
Napred navedene deonice puta mogu se menjati, do konačnog spiska deonica za finansiranje u okviru Kategorije 4 navedenog u Godišnjem planu rada na Projektu za radove koji se finansiraju u okviru Kategorije 4, koji se dostavlja Banci na odobrenje, na način definisan u Prilogu 2.
Deo B: Građevinski radovi (koje kofinansiraju Svetska banka, EIB i Zajmoprimac):
Rehabilitacija puta i unapređenje bezbednosti saobraćaja na deonicama nacionalne putne mreže koje su prihvatljive za Svetsku banku i EIB.
3. Očekuje se da se ovaj Projekat završi do 30. xxxx 2018. godine.
PRILOG 2 – KATEGORIJE I POVLAČENJA SREDSTAVA
1. U tabeli xxxx xx data uz ovaj Prilog utvrđene su Kategorije, iznos Zajma dodeljen svakoj pojedinačnoj Kategoriji i procenat troškova koji se finansira u okviru svake Kategorije.
2. Izuzeto od odredbi iz stava 1, nikakvo Povlačenje sredstava neće biti izvršeno po osnovu:
(A) troškova nastalih pre datuma Sporazuma o zajmu; i
(B) troškova iz Kategorije 1 sve dok:
(II) Banka ne dobije od Izvršioca projekta Godišnji plan rada na Projektu za radove koji se finansiraju u okviru Kategorije 1, koji između ostalog definiše: (i) deonice puta koje će se finansirati iz sredstava Zajma namenjenih za Kategoriju 1; (ii) detaljni opis građevinskih radova koji će biti izvedeni; i (iii) ažuriranu procenu troškova za radove koji će biti izvedeni na deonicama puteva odabranim za Kategoriju 1, u formi i prema sadržaju prihvatljivim za Banku; i
(II) Banka ne dobije dokaz o završenoj Reviziji bezbednosti saobraćaja za projekte koji su urađeni za deonice puteva iz Kategorije 1;
(C) troškova iz Kategorije 2 sve dok:
(I) Banka ne dobije od Izvršioca projekta Godišnji plan rada na Projektu za radove koji se finansiraju u okviru Kategorije 2, koji između ostalog definiše: (i) deonice puta koje će se finansirati iz sredstava Zajma namenjenih za Kategoriju 2; (ii) detaljni opis građevinskih radova koji će biti izvedeni; i (iii) ažuriranu procenu troškova za radove koji će biti izvedeni na deonicama puteva odabranim za Kategoriju 2, u formi i prema sadržaju prihvatljivim za Banku; i
(II) Banka ne dobije dokaz o završenoj Reviziji bezbednosti saobraćaja za projekte koji su urađeni za deonice puteva iz Kategorije 2;
(D) troškova iz Kategorije 3 sve dok:
(I) Banka ne dobije od Izvršioca projekta Godišnji plan rada na Projektu za radove koji se finansiraju u okviru Kategorije 3, koji između ostalog definiše: (i) deonice puta koje će se finansirati iz sredstava Zajma namenjenih za Kategoriju 3; (ii) detaljni opis građevinskih radova koji će biti izvedeni; i (iii) ažuriranu procenu troškova za radove koji će biti izvedeni na deonicama puteva odabranim za Kategoriju 3, u formi i prema sadržaju prihvatljivim za Banku; i
(II) Banka ne dobije dokaz o završenoj Reviziji bezbednosti saobraćaja za projekte koji su urađeni za deonice puteva iz Kategorije 3;
(E) troškova iz Kategorije 4 sve dok:
(I) Banka ne dobije od Izvršioca projekta Godišnji plan rada na Projektu za radove koji se finansiraju u okviru Kategorije 4, koji između ostalog definiše: (i) deonice puta koje će se finansirati iz sredstava Zajma namenjenih za Kategoriju 4; (ii) detaljni opis građevinskih radova koji će biti izvedeni; i (iii) ažuriranu procenu troškova za radove koji će biti izvedeni na deonicama puteva odabranim za Kategoriju 4, u formi i prema sadržaju prihvatljivim za Banku; i
(II) Banka ne dobije dokaz o završenoj Reviziji bezbednosti saobraćaja za projekte koji su urađeni za deonice puteva iz Kategorije 4.
