Potvrđuje se Dodatni protokol 6 o trgovini uslugama Sporazuma o izmeni i pristupanju Sporazumu o slobodnoj trgovini u Centralnoj Evropi, sačinjen u Tirani, 18. decembra 2019. godine, u originalu na engleskom jeziku.

ADDITIONAL PROTOCOL 6 ON TRADE IN SERVICES
TO THE AGREEMENT ON AMENDMENT OF AND ACCESSION TO THE CENTRAL EUROPEAN FREE TRADE AGREEMENT
Preamble
The Parties to the Agreement on Amendment of and Accession to the Central European Free Trade Agreement (hereinafter called "the Parties")
Bearing in mind the Preamble, the objectives, as set out in Article 1, and Chapter VI (Articles 26 to 29) of the Central European Free Trade Agreement 2006 (CEFTA 2006) relating to trade in services, including electronic commerce, the Parties will gradually achieve a progressive liberalization of their services markets in accordance with Article V of the General Agreement on Trade in Services (GATS) of the World Trade Organization (WTO);
Recognising that the liberalization of both goods and services in the framework of CEFTA 2006 shall act as avenue for achieving the objectives of economic development and growth in the region by expanding intra-regional investment and production opportunities;
Desiring to create favourable conditions for the development and diversification of trade between the Parties and for the promotion of commercial and economic co-operation in services;
Considering that the services sector plays an increasing role in the economies and trade of the Parties, with great potential to enhance intra-regional trade in services in a mutually beneficial manner;
No provision of this Protocol may be interpreted as exempting the Parties from their respective rights and obligations under their international agreements, including their existing regional and bilateral trade agreements and the WTO Agreement;
Have agreed as follows:
1. For the purposes of this Protocol:
Article 1
Definitions
(a) "measure" means any measure by a Party, whether in the form of a law, regulation, rule, procedure, decision, administrative action, or any other form;
(b) "supply of a service" includes the production, distribution, marketing, sale and delivery of a service;
(c) "measures by Parties affecting trade in services" includes measures in respect of:
(i) the purchase, payment or use of a service;
(ii) the access to and use of, in connection with the supply of a service, services which are required by those Parties to be offered to the public generally;
(iii) the presence, including commercial presence, of persons of a Party for the supply of a service in the territory of another Party;
(d) "commercial presence" means any type of business or professional establishment, including through:
(i) the constitution, acquisition1 or maintenance of a juridical person, or
(ii) the creation or maintenance of a branch or a representative office, within the territory of a Party for the purpose of supplying a service;
(e) "sector" of a service means:
(i) with reference to a specific commitment, one or more, or all, subsectors of that service, as specified in a Party's Schedule,
(ii) otherwise, the whole of that service sector, including all of its subsectors;
(f) "service of another Party" means a service which is supplied:
(i) from or in the territory of that other Party, or in the case of maritime transport, by a vessel registered under the laws of that other Party, or by a person of that other Party which supplies the service through the operation of a vessel and/or its use in whole or in part; or
(ii) in the case of the supply of a service through commercial presence or through the presence of natural persons, by a service supplier of that other Party;
(g) "service supplier" means any natural or juridical person that supplies a service;2
(h) "monopoly supplier of a service" means any person, public or private, which in the relevant market of the territory of a Party is authorized or established formally or in effect by that Party as the sole supplier of that service;
(i) "service consumer" means any person that receives or uses a service;
(j) "person" means either a natural person or a juridical person;
(k) "natural person” means a national of a Party according to its domestic legislation;
(l) "natural person of another Party" means a natural person who resides in the territory of that other Party or any other Party, and who under the law of that other Party: (i) is a national of that other Party; or (ii) has the right of permanent residence in that other Party.
(m) "juridical person" means any legal entity duly constituted or otherwise organized under applicable law, whether for profit or otherwise, and whether privately- owned or governmentally-owned, including any corporation, trust, partnership, joint venture, sole proprietorship or association;
(n) "juridical person of a Party" means:

2 Where the service is not supplied directly by a juridical person but through other forms of commercial presence such as a branch or a representative office, the service supplier (i.e. the juridical person) shall, nonetheless, through such presence be accorded the treatment provided for service suppliers under this Protocol. Such treatment shall be extended to the presence through which the service is supplied and need not be extended to any other parts of the supplier located outside the territory where the service is supplied.
a juridical person set up in accordance with the laws of a Party, and having its registered office, central administration, or principal place of business in the territory of that Party. Should the juridical person have only its registered office or central administration in the territory of a Party it shall not be considered as a juridical person of that Party, unless it engages in substantive business operations in that Party;
a juridical person is:
(i) "owned" by persons of a Party if more than 50 per cent of the equity interest in it is beneficially owned by persons of that Party;
(ii) "controlled" by persons of a Party if such persons have the power to name a majority of its directors or otherwise to legally direct its actions;
(iii) "affiliated" with another person when it controls, or is controlled by, that other person; or when it and the other person are both controlled by the same person;
(o) “subsidiary” of a juridical person of a Party means a juridical person which is effectively controlled by another juridical person of that Party;
(p) "branch" of a juridical person of a Party means a place of business not having legal personality which has the appearance of permanency, such as the extension of a parent body, has a management and is materially equipped to negotiate business with third parties so that the latter, although knowing that there will if necessary be a legal link with the parent body, the head office of which is abroad, does not have to deal directly with such parent body but may transact business at the place of business constituting the extension;
(q) "direct taxes" comprises all taxes on total income, on total capital or on elements of income or of capital, including taxes on gains from the alienation of property, taxes on estates, inheritances and gifts, and taxes on the total amounts of wages or salaries paid by enterprises, as well as taxes on capital appreciation;
(r) “Schedule” means the Schedule referred to in Article 6 and contained in Xxxxx XXX;
(s) “specific commitment” means a specific commitment set out in the Schedule referred to in Article 6;
(t) "aircraft repair and maintenance services" means such activities when undertaken on an aircraft or a part thereof while it is withdrawn from service and do not include so-called line maintenance;
(u) "selling and marketing of air transport services" means opportunities for the air carrier concerned to sell and market freely its air transport services including all aspects of marketing such as market research, advertising and distribution; these activities do not include the pricing of air transport services nor the applicable conditions;
(v) "computer reservation system (CRS) services" means services provided by computerised systems that contain information about air carriers' schedules, availability, fares and fare rules, through which reservations can be made or tickets may be issued;
(w) "air traffic rights" means the right for scheduled and non-scheduled air transport services to operate and/or to carry passengers, cargo and mail for remuneration
or hire from, to, within, or over the territory of a Party, including points to be served, routes to be operated, types of traffic to be carried, capacity to be provided, tariffs to be charged and their conditions, and criteria for designation of airlines, including such criteria as number, ownership, and control.
Article 2
Scope and Coverage
1. This Protocol applies to measures adopted or maintained by the Parties affecting trade in services. It applies to all services sectors, except as indicated in paragraph 4.
2. For the purposes of this Protocol, trade in services is defined as the supply of a service:
(a) from the territory of one Party into the territory of any other Party;
(b) in the territory of one Party to the service consumer of any other Party;
(c) by a service supplier of one Party, through commercial presence in the territory of any other Party;
(d) by a service supplier of one Party, through presence of natural persons of a Party in the territory of any other Party.
3. For the purposes of this Protocol:
(a) "measures by Parties" means measures taken by:
(i) central, regional or local governments and authorities; and
(ii) non-governmental bodies in the exercise of powers delegated by central, regional or local governments or authorities;
In fulfilling its obligations and commitments under the Protocol, each Party shall take such reasonable measures as may be available to it to ensure their observance by regional and local governments and authorities and non-governmental bodies within its territory;
(b) "services" includes any service in any sector except services supplied in the exercise of governmental authority;
(c) "a service supplied in the exercise of governmental authority" means any service which is supplied neither on a commercial basis, nor in competition with one or more service suppliers.
4. In respect of air transport services, this Protocol shall not apply to measures affecting air traffic rights or measures affecting services directly related to the exercise of air traffic rights. This Protocol applies to aircraft repair and maintenance services, selling and marketing of air transport services and computer reservation system (CRS) services.
5. This Protocol shall not apply to laws, regulations or requirements governing the procurement by governmental agencies of services purchased for governmental purposes and not with a view to commercial resale or with a view to use in the supply of services for commercial sale.
6. This Protocol shall not apply to any subsidies or grants provided by a Party, including government-supported loans, guarantees and insurance.
Article 3
Most-Favoured-Nation Treatment
1. Each Party shall accord immediately and unconditionally to services and service suppliers of any other Party treatment no less favourable than the treatment it accords to like services and service suppliers of any non-Party.
2. If a Party accords treatment to services and service suppliers under an existing or future international agreement with a non-Party, the Party concerned shall, upon request by another Party, enter into negotiations so as to incorporate into this Protocol treatment no less favourable than that accorded to services and service suppliers under the international agreement concerned.
3. Treatment accorded to services and service suppliers from the EU under a Stabilisation and Association Agreement with the EU, or under the Association Agreement between the Republic of Moldova and the EU, shall be exempted from the obligations provided for in paragraphs 1 and 2. Treatment accorded to services and service suppliers from the EU under the domestic legislation that a Party enacted for purposes of its accession to the EU shall be exempted from the obligations provided for in paragraphs 1 and 2.
4. This Article shall not be construed to prevent any Party from conferring or according advantages to adjacent countries in order to facilitate exchanges limited to contiguous frontier zones of services that are both locally produced and consumed.
Article 4
Market Access
1. With respect to market access through the modes of supply identified in Article 2 paragraph 2, each Party shall accord services and service suppliers of any other Party treatment no less favourable than that provided for under the terms, limitations and conditions agreed and specified in its part of the Schedule.
2. In sectors where market-access commitments are undertaken, the measures which a Party shall not maintain or adopt either on the basis of a regional subdivision or on the basis of its entire territory, unless otherwise specified in its part of the Schedule, are defined as:
(a) limitations on the number of service suppliers whether in the form of numerical quotas, monopolies, exclusive service suppliers or the requirement of an economic needs test;
(b) limitations on the total value of service transactions or assets in the form of numerical quotas or the requirement of an economic needs test;
(c) limitations on the total number of service operations or on the total quantity of service output expressed in terms of designated numerical units in the form of quotas or the requirement of an economic needs test;3
(d) limitations on the total number of natural persons that may be employed in a particular service sector or that a service supplier may employ and who are necessary for, and directly related to, the supply of a specific service in the form of numerical quotas or the requirement of an economic needs test;
(e) measures which restrict or require specific types of legal entity or joint venture through which a service supplier may supply a service; and

(f) limitations on the participation of foreign capital in terms of maximum percentage limit on foreign shareholding or the total value of individual or aggregate foreign investment.
3. No Party shall introduce in its territory any new restrictions on the supply of services, as defined by Article 2 paragraph 2, except as otherwise provided for in this Protocol.
Article 5
National Treatment
1. In the sectors inscribed in its part of the Schedule, and subject to any conditions and qualifications set out therein, each Party shall accord to services and service suppliers of any other Party, in respect of all measures affecting the supply of services, treatment no less favourable than that it accords to its domestic like services and service suppliers.4
2. A Party may meet the requirement of paragraph 1 by according to services and service suppliers of any other Party, either formally identical treatment or formally different treatment to that it accords to its domestic like services and service suppliers.
3. Formally identical or formally different treatment shall be considered to be less favourable if it modifies the conditions of competition in favour of services or service suppliers of the Party compared to like services or service suppliers of any other Party.
Article 6
Schedule of Specific Commitments
1. Each Party shall set out in a consolidated Schedule the specific commitments it undertakes under this Protocol. With respect to sectors where such commitments are undertaken, the Schedule shall specify:
(a) terms, limitations and conditions on market access;
(b) conditions and qualifications on national treatment;
(c) where appropriate, the time-frame for the implementation of such commitments; and
(d) where appropriate, the date of entry into force of such commitments.
2. The Parties’ Schedule of specific commitments is set out in Annex III and shall form an integral part of this Protocol.
Article 7
Modification of Schedules
The Parties shall, upon written request by a Party notified to the Subcommittee on Trade in Services, hold consultations to consider any request to modify a specific commitment of the requesting Party. The consultations shall be held within three months after the requesting Party notified its request to the Subcommittee on Trade in Services. In the consultations, the Parties shall aim to maintain a general level of mutually advantageous commitments no less favourable to trade than that provided for in the Schedule of specific commitments prior to such consultations. Any modification of specific commitments is subject to the procedures set out in Article 47 of the CEFTA 2006.
4 Specific commitments assumed under this Article shall not be construed to require any Party to compensate for any inherent competitive disadvantages which result from the foreign character of the relevant services or service suppliers.
Article 8
Movement of Natural Persons
1. The rights and obligations of the Parties in respect of the movement of natural persons supplying services in a Party shall be governed by Annex I to this Protocol. Natural persons covered by a specific commitment of a Party shall be allowed to supply the service in that Party in accordance with the terms of that commitment.
2. This Protocol shall not apply to measures affecting natural persons seeking access to the employment market of a Party, nor shall it apply to measures regarding citizenship, residence or employment on a permanent basis.
3. Nothing in this Protocol shall prevent the Parties from applying measures to regulate the entry of natural persons into, or their temporary stay in, their territory, including those measures necessary to protect the integrity of, and to ensure the orderly movement of natural persons across their borders, provided that such measures are not applied in such a manner as to nullify or impair the benefits accruing to any Party under the terms of a specific commitment.
Article 9
Transparency
1. Each Party shall publish promptly and, except in emergency situations, at the latest by the time of their entry into force, all relevant measures of general application which pertain to or affect the operation of this Protocol. International agreements pertaining to or affecting trade in services to which a Party is a signatory shall also be published.
2. Where publication as referred to in paragraph 1 is not practicable, such information shall be made otherwise publicly available.
3. Each Party shall establish a Contact Point for Services as provided for in Article 44 of CEFTA 2006.
4. Each Party shall promptly and at least annually inform the Subcommittee on Trade in Services of the introduction of any new, or any changes to existing, laws, regulations or administrative guidelines which significantly affect trade in services covered by its specific commitments under this Protocol.
5. Each Party shall, to the extent practicable, provide in advance information on any relevant measure of general application that the Party proposes to adopt in order to allow an opportunity for other Parties to comment on the measure. The information shall be provided to the other Parties through the Subcommittee on Trade in Services and the Contact Points for Services shall be the means for such communications.
6. Any Party may notify to the Subcommittee on Trade in Services any measure by any other Party, which it considers to affect the operation of this Protocol.
Article 10
Domestic Regulation
1. Consistent with the provisions of this Protocol, the Parties retain the right to regulate, and to adopt new regulations, to meet legitimate policy objectives.
2. In sectors where specific commitments are undertaken, each Party shall ensure that all measures of general application affecting trade in services are administered in a reasonable, objective and impartial manner.
3. (a) each Party shall maintain or institute as soon as practicable judicial, arbitral or administrative tribunals or procedures which provide, at the request of an affected service supplier, for the prompt review of, and where justified, appropriate remedies for, administrative decisions affecting trade in services. Where such procedures are not independent of the agency entrusted with the administrative decision concerned, the Party shall ensure that the procedures in fact provide for an objective and impartial review.
(b) the provisions of subparagraph (a) shall not be construed to require a Party to institute such tribunals or procedures where this would be inconsistent with its constitutional structure or the nature of its legal system.
4. Where authorization is required for the supply of a service on which a specific commitment has been made, the competent authorities of a Party shall, within a reasonable period of time after the submission of an application considered complete under domestic laws and regulations, inform the applicant of the decision concerning the application. At the request of the applicant, the competent authorities of the Party shall provide, without undue delay, information concerning the status of the application.
5. With a view to ensuring that measures relating to qualification requirements and procedures, technical standards and licensing requirements and procedures do not constitute unnecessary barriers to trade in services, the Subcommittee on Trade in Services shall, through appropriate bodies it may establish, develop any necessary disciplines. Such disciplines shall aim to ensure that such requirements are, inter alia:
(a) based on objective and transparent criteria, such as competence and the ability to supply the service;
(b) not more burdensome than necessary to ensure the quality of the service;
(c) in the case of licensing procedures, not in themselves a restriction on the supply of the service.
6. (a) in sectors in which a Party has undertaken specific commitments, pending the entry into force of disciplines developed in these sectors pursuant to paragraph 5, the Party shall not apply licensing and qualification requirements and technical standards that nullify or impair its specific commitments in a manner which:
(i) does not comply with the criteria outlined in subparagraphs 5(a), (b) or (c); and
(ii) could not reasonably have been expected of that Party at the time it made the specific commitments in those sectors.
(b) in determining whether a Party is in conformity with the obligation under paragraph (a), account shall be taken of international standards of relevant international organizations5 applied by that Party.
7. In sectors where specific commitments regarding professional services are undertaken, each Party shall provide for adequate procedures to verify the competence of professionals of any other Party.
8. The Parties will review issues of domestic regulation within two years of the entry into force of this Protocol. Upon the request of one or more Parties, the Parties will enter into

negotiations on domestic regulation disciplines to be incorporated into this Protocol, as an Annex or otherwise.
Article 11
Recognition
1. For the purpose of the fulfilment of its relevant standards or criteria for the authorisation, licensing or certification of service suppliers, each Party shall give due consideration to any requests by another Party to recognise the education or experience obtained, requirements met, or licences or certifications granted in that other Party. Such recognition may be based upon an agreement or arrangement with that other Party, or be accorded autonomously.
2. Where a Party recognises, by agreement or arrangement, the education or experience obtained, requirements met, or licences or certifications granted, in the territory of a non-party, that Party shall afford adequate opportunity for the other Parties to negotiate their accession to such an agreement or arrangement, whether existing or future, or to negotiate a comparable agreement or arrangement with it. Where a Party accords recognition autonomously, it shall afford adequate opportunity for any other Party to demonstrate that the education or experience obtained, requirements met, or licences or certifications granted in the territory of that other Party should also be recognised.
3. A Party shall not accord recognition in a manner which would constitute a means of discrimination between the Parties in the application of its standards or criteria for the authorization, licensing or certification of services suppliers, or a disguised restriction on trade in services.
4. The Parties shall conclude the necessary processes to develop mutual recognition agreements or arrangements for the regulated professions after the entry into force of this Protocol.
Article 12
Monopolies and Exclusive Service Suppliers
1. Each Party shall ensure that any monopoly supplier of a service in its territory does not, in the supply of the monopoly service in the relevant market, act in a manner inconsistent with that Party's obligations under Article 3 and its specific commitments.
2. Where a Party's monopoly supplier competes, either directly or through an affiliated company, in the supply of a service outside the scope of its monopoly rights and which is subject to that Party's specific commitments, the Party shall ensure that such a supplier does not abuse its monopoly position to act in its territory in a manner inconsistent with such commitments.
3. The Subcommittee on Trade in Services may, at the request of a Party which has a reason to believe that a monopoly supplier of a service of any other Party is acting in a manner inconsistent with paragraph 1 or 2, request the Party establishing, maintaining or authorizing such supplier to provide specific information concerning the relevant operations.
4. The provisions of this Article shall also apply to cases of exclusive service suppliers, where a Party, formally or in effect, (a) authorizes or establishes a small number of service suppliers and (b) substantially prevents competition among those suppliers in its territory.
Article 13
Business Practices
1. The Parties recognize that certain business practices of service suppliers, other than those falling under Article 12, may restrain competition and thereby restrict trade in services.
2. Each Party shall, at the request of any other Party, enter into consultations with a view to eliminating practices referred to in paragraph 1. The Party addressed shall accord full and sympathetic consideration to such a request and shall cooperate through the supply of publicly available non-confidential information of relevance to the matter in question. The Party addressed shall also provide other information to the requesting Party, subject to its domestic law and to the conclusion of satisfactory agreement concerning the safeguarding of its confidentiality by the requesting Party.
Article 14
Payments and Transfers
1. Except under the circumstances envisaged in Article 15, a Party shall not apply restrictions on international transfers and payments for current transactions with another Party relating to its specific commitments.
2. If a Party undertakes a market access commitment in relation to the supply of a service through a mode of supply referred to in Article 2 paragraph 2, and if the cross-border movement of capital is an essential part of the service itself, that Party is thereby committed to allow such movement of capital. If a Party undertakes a market access commitment in relation to the supply of a service through a mode of supply referred to in Article 2 paragraph 2, it is thereby committed to allow related transfers of capital into its territory.
3. Nothing in this Protocol shall affect the rights and obligations of the Parties under the Articles of Agreement of the International Monetary Fund (hereinafter referred to as the “IMF”), including the use of exchange actions which are in conformity with the Articles of Agreement of the IMF, provided that a Party shall not impose restrictions on capital transactions inconsistently with its specific commitments regarding such transactions, except under Article 15 or at the request of the IMF.
Article 15
Restrictions to Safeguard the Balance of Payments
1. The Parties shall endeavour to avoid the imposition of restrictions on the supply of services to safeguard the balance of payments.
2. Any restriction to safeguard the balance of payments adopted or maintained by a Party under and in conformity with Article XII of the GATS shall be deemed to be compatible with this Protocol.
Article 16
General Exceptions
Subject to the requirement that such measures are not applied in a manner which would constitute a means of arbitrary or unjustifiable discrimination between Parties where like conditions prevail, or a disguised restriction on trade in services, nothing in this Protocol shall be construed to prevent the adoption or enforcement by any Party of measures:
(a) necessary to protect public morals or to maintain public order;6
(b) necessary to protect human, animal or plant life or health;
(c) necessary to secure compliance with laws or regulations which are not inconsistent with the provisions of this Protocol including those relating to:
(i) the prevention of deceptive and fraudulent practices or to deal with the effects of a default on services contracts;
(ii) the protection of the privacy of individuals in relation to the processing and dissemination of personal data and the protection of confidentiality of individual records and accounts;
(iii) safety;
(d) inconsistent with Article 5 provided that the difference in treatment is aimed at ensuring the equitable or effective7 imposition or collection of direct taxes in respect of services or service suppliers of other Parties;
(e) inconsistent with Article 3, provided that the difference in treatment is the result of an agreement on the avoidance of double taxation or provisions on the avoidance of double taxation in any other international agreement or arrangement by which the Party is bound.
Article 17
Security Exceptions
1. Nothing in this Protocol shall be construed:
(a) to require any Party to furnish any information, the disclosure of which it considers contrary to its essential security interests; or

7 Measures that are aimed at ensuring the equitable or effective imposition or collection of direct taxes include measures taken by a Party under its taxation system which:
(i) apply to non-resident service suppliers in recognition of the fact that the tax obligation of non- residents is determined with respect to taxable items sourced or located in the Party's territory; or
(ii) apply to non-residents in order to ensure the imposition or collection of taxes in the Party's territory; or
(iii) apply to non-residents or residents in order to prevent the avoidance or evasion of taxes, including compliance measures; or
(iv) apply to consumers of services supplied in or from the territory of another Party in order to ensure the imposition or collection of taxes on such consumers derived from sources in the Party's territory; or
(v) distinguish service suppliers subject to tax on worldwide taxable items from other service suppliers, in recognition of the difference in the nature of the tax base between them; or
(vi) determine, allocate or apportion income, profit, gain, loss, deduction or credit of resident persons or branches, or between related persons or branches of the same person, in order to safeguard the Party's tax base.
Tax terms or concepts within the meaning of paragraph (d) and this footnote are determined according to tax definitions and concepts, or equivalent or similar definitions and concepts, under the domestic law of the Party adopting the measure.
(b) to prevent any Party from taking any action which it considers necessary for the protection of its essential security interests:
(i) relating to the supply of services as carried out directly or indirectly for the purpose of provisioning a military establishment;
(ii) relating to fissionable and fusionable materials or the materials from which they are derived;
(iii) taken in time of war or other emergency in international relations; or
(c) to prevent any Party from taking any action in pursuance of its obligations under the United Nations Charter for the maintenance of international peace and security.
2. The Subcommittee on Trade in Services shall be informed to the fullest extent possible of measures taken under paragraphs 1(b) and (c) and of their termination.
Article 18
Cooperation on Electronic Commerce
1. The Parties, recognising that electronic commerce increases trade opportunities in many sectors, agree to promote the development of electronic commerce between them, in particular by cooperating on the issues raised by electronic commerce under the provisions of this Protocol.
2. The Parties agree that the development of electronic commerce must be fully compatible with the highest international standards of data protection, in order to ensure the confidence of users of electronic commerce.
3. The Parties agree that deliveries by electronic means shall be considered as the supply of services, within the meaning of Article 2 paragraph 2(a), and shall not be subject to customs duties.
4. The Parties shall maintain a dialogue on regulatory issues raised by electronic commerce, which will, inter alia, address the following issues:
(a) the recognition of certificates of electronic signatures issued to the public and the facilitation of cross-border certification services;
(b) the liability of intermediary service providers with respect to the transmission, or storage of information;
(c) the treatment of unsolicited electronic commercial communications;
(d) the protection of consumers in the ambit of electronic commerce;
(e) any other issue relevant for the development of electronic commerce.
5. Such cooperation can take the form of exchange of information on the respective domestic legislation of the Parties on these issues as well as on the implementation of such legislation.
Article 19
Denial of Benefits
A Party may deny the benefits of this Protocol to a service supplier of another Party if it establishes that the service is being supplied in that Party by a juridical person which is owned
or controlled by persons of a non-Party who have no substantive business operations in the territory of any Party.
Article 20
Review
1. With the objective of further liberalising trade in services between them, in particular eliminating substantially all discrimination between and among them within a period of five years, the Parties shall regularly review their Schedule of specific commitments, taking into account in particular any autonomous liberalisation and on-going work under the auspices of the WTO. The first such review shall take place no later than three years after the entry into force of this Protocol.
2. The regular reviews of the level of liberalisation pursuant to paragraph 1 shall take into account the assessment of the degree of restrictiveness of measures affecting trade in services by using the methodologies established by the World Bank and the Organisation for Economic Co-operation and Development (OECD).
Article 21 Subcommittee on Trade in Service
The Subcommittee on Trade in Services established pursuant to Article 41 paragraph 5 of the CEFTA 2006 shall facilitate and supervise the implementation and application of this Protocol by the Parties.
Article 22
According to Article 47 paragraph 1 of CEFTA 2006, this Protocol is an integral part of CEFTA 2006.
Article 23
Annexes
The following Annexes form an integral part of this Protocol:
Annex I - Temporary Entry and Stay of Natural Persons for Business Purposes; Annex II - Regulatory Principles Regarding Telecommunications;
Annex III - Consolidated Schedule of Specific Commitments on Trade in Services of CEFTA Parties.
Article 24 Entry into force
1. This Protocol is subject to ratification, acceptance or approval in accordance with the requirements foreseen by the domestic legislation of the Parties. The instruments of ratification, acceptance or approval shall be deposited with the Depositary.
2. This Protocol shall enter into force on the thirtieth day upon depositing of the third instrument of ratification, acceptance or approval.
3. For each Party depositing its instrument of ratification, acceptance or approval after the date of the deposit of the third instrument of ratification, acceptance or approval, this Protocol shall enter into force on the thirtieth day upon that Party depositing its instrument of ratification, acceptance or approval.
4. If its domestic legal requirements allow, a Party may apply this Protocol provisionally until that Party has deposited its instrument of ratification, acceptance or approval in accordance with paragraph 1. Any provisional application of this Protocol shall be notified to the Depositary.
IN WITNESS WHEREOF, the Plenipotentiaries of all CEFTA Parties, being duly authorized thereto, have adopted this Protocol.
Done in Tirana on 18 December 2019, in a single authentic copy in the English language, which shall be deposited with the Depositary of the CEFTA 2006, which shall transmit certified copies to all CEFTA Parties.
ANNEX I
Temporary Entry and Stay of Natural Persons for Business Purposes
This Annex applies to measures by the Parties concerning the temporary entry and stay in their territories of key personnel, trainees, business services sellers, contractual services suppliers, independent professionals and short term visitors for business purposes.
Section I
Key Personnel, Trainees, Business Service Sellers, Contractual Service Suppliers, and Independent Professionals
1. In accordance with the objectives of this Protocol, the Parties undertake to allow the temporary entry and stay in their territories of the following categories of natural persons subject to the conditions listed below: (a) key personnel; (b) trainees; (c) business service sellers; (d) contractual service suppliers; and (e) independent professionals.
2. For every sector liberalised in accordance with Article 4 of this Protocol and subject to any reservations listed in Annex III the Parties shall allow the temporary entry and stay of the following categories of natural persons.
3. “Key personnel” means natural persons employed within a juridical person of a Party, other than a non-profit organisation, who are responsible for the setting up or the proper control, administration and operation of an establishment.
Key personnel comprises business visitors responsible for setting up an establishment and intra-corporate transferees. The temporary entry and stay of key personnel shall be allowed for a period of six months in any 12-month period for business visitors; and three years, in the first instance, for intra-corporate transferees. Temporary entry and stay for intra-corporate transferees shall be extended for up to two additional years for a total period not exceeding five years.
(a) “Business visitors” (BV) means natural persons working in a senior position within a juridical person who are responsible for setting up an establishment. They do not engage in direct transactions with the general public and do not receive remuneration from a source located within the host Party; and
(b) “Intra-corporate transferees” (ICT) means natural persons who have been employed by a juridical person of a Party or have been partners in it for at least one year and who are temporarily transferred to an establishment (including subsidiaries, affiliates or branches) in the territory of another Party. The natural persons concerned shall belong to one of the following categories:
(i) Managers are natural persons working in a senior position within a juridical person, receiving general supervision or direction of the business, who primarily direct the management of the establishment, including:
(a) directing the establishment, or a department or subdivision thereof;
(b) supervising and controlling the work of other supervisory, professional or managerial employees; and
(c) having the authority to personally recruit and dismiss or recommend recruiting, dismissing or other personnel actions.
(ii) Specialists are natural persons working within a juridical person who possess specialized knowledge essential to the establishment’s production, research
equipment, techniques or management. In assessing such knowledge, account will be taken not only of knowledge specific to the establishment, but also of whether the person has a high level of qualification referring to a type of work or trade requiring specific technical knowledge, including membership of an accredited profession.
4. “Trainees” means natural persons who have been employed by a juridical person of a Party for at least one year, who possess a university degree and who are temporarily transferred to an establishment in the territory of another Party, for career development purposes or to obtain training in business techniques or methods. The recipient establishment may be required to submit a training programme covering the duration of stay for prior approval, demonstrating that the purpose of the stay is for training corresponding to the level of a university degree.
The temporary entry and stay for trainees shall be allowed for up to one year.
5. “Business service sellers” (BSS) means natural persons who are representatives of a service supplier of a Party seeking temporary entry into the territory of another Party for the purpose of negotiating the sale of services or goods or entering into agreements to sell services for that service supplier. They do not engage in making direct sales to the general public and do not receive remuneration from a source located within the host Party.
The temporary entry and stay of business service sellers shall be allowed for up to six months in any 12-month period.
6. “Contractual service suppliers” (CSS) means natural persons employed by a juridical person of a Party which has no establishment in the territory of another Party and which has concluded a bona fide contract to supply services with a consumer in that other Party requiring the presence on a temporary basis of its employees in that Party in order to fulfil the contract to provide services. The service contract hereby referred to shall comply with the laws, regulations and requirements of the Party where the contract is executed.
Contractual services suppliers that are allowed temporary entry and stay in a Party to supply services in that Party shall be subject to the conditions specified below:
(a) The natural persons must be engaged in the supply of a service on a temporary basis as employees of a juridical person, which has obtained a service contract in another Party.
(b) The natural persons should have at least two years experience in the particular sector of activity that is the subject of the service contract.
(c) The natural persons must possess professional qualifications if this is required to exercise an activity pursuant to the laws, regulations or requirements of the Party where the service is supplied.
(d) The natural persons shall not receive remuneration for the supply of services other than the remuneration paid by their employers during their stay in another Party.
(e) The temporary entry and stay of natural persons within another Party shall be for a period of not more than six months in any twelve-month period or for the duration of the service contract, whichever is less.
(f) The number of persons covered by the service contract shall not be greater than necessary to fulfil the contract, in accordance with the laws, regulations and requirements of the Party where the service is supplied.
7. “Independent professionals” (IP) means natural persons engaged in the supply of a service and registered as self-employed in the territory of a Party, who have concluded a bona fide contract to supply services with a consumer in another Party, requiring their presence on a temporary basis in that other Party in order to fulfil the contract to provide services.
Independent professionals that are allowed temporary entry and stay in a Party to supply services in that Party shall be subject to the conditions specified below:
(a) The natural persons must be engaged in the supply of a service on a temporary basis as self-employed persons registered in another Party and must have obtained a service contract for a period not exceeding twelve months.
(b) The natural persons must possess, at the date of submission of an application for entry into a Party, at least three years professional experience in the sector of activity which is the subject of the service contract.
(c) The natural persons must possess professional qualifications if this is required to exercise an activity pursuant to the laws, regulations or requirements of the Party where the service is supplied.
(d) The temporary entry and stay of natural persons in a Party shall be for a period of not more than six months in any twelve-month period or for the duration of the service contract, whichever is less.
8. A Party shall not maintain or adopt any limitations on the total number of natural persons that a juridical person of another Party may transfer as key personnel or trainees in a specific sector in the form of numerical quotas, or a requirement of an economic needs test or labour market test or any discriminatory limitations. A Party shall not require that an establishment appoint to senior management positions natural persons of any particular nationality.
Section II
Short term visitors for business purposes
1. The Parties shall facilitate, in conformity with their respective legislation, the temporary entry and stay in their territories of short-term visitors for business purposes from any other Party with a view to carrying out the following activities:
(a) Research and Design: Technical, scientific and statistical researchers on behalf of a juridical person established in the territory of another Party;
(b) Marketing research: Personnel conducting research or analysis, including market research, on behalf of a juridical person established in the territory of another Party;
(c) Training seminars: Personnel of a juridical person in a Party who enter the territory of another Party to receive training in techniques and work practices employed by juridical persons or organisations in that other Party, provided that the training received is confined to observation, familiarisation and classroom instruction only;
(d) Trade Fairs and Exhibitions: Personnel attending a trade fair for the purpose of promoting their juridical person or its products or services in another Party;
(e) Sales: Sales representatives and agents taking orders or negotiating contracts for goods for a juridical person located in the territory of another Party, but not delivering goods;
(f) Purchasing: Buyers purchasing for a juridical person or management and supervisory personnel engaging in a commercial transaction carried out in the territory of another Party.
(g) Meetings and consultations: Natural persons attending meetings or conferences or engaged in consultations with business associates.
2. Persons engaging in the activities listed in paragraph 1 may be granted temporary entry and stay in a Party as short term visitors for business purposes, provided that they:
(i) are not engaged in selling their goods or services to the general public or in supplying their goods or services themselves; (ii) do not on their own behalf receive any remuneration from a source located within the Party where they are staying temporarily; and (iii) are not engaged in the supply of a service in the framework of a contract concluded between a juridical person who has no commercial presence in the Party where the short-term visitors for business purposes are staying temporarily and a consumer in that Party.
3. The temporary entry and stay of short term visitors for business purposes in the territories of the Parties, when allowed, shall be for a period of up to six months in any twelve- month period.
ANNEX II
Regulatory Principles Regarding Telecommunications
The following are definitions and principles on the regulatory framework for telecommunications networks and services.
Definitions
"Telecommunications" means the transmission and reception of signals by any electromagnetic means.
“Public telecommunications transport service" means any telecommunications transport service required, explicitly or in effect, by a Party to be offered to the public generally. Such services may include, inter alia, telegraph, telephone, telex, and data transmission typically involving the real-time transmission of customer-supplied information between two or more points without any end-to-end change in the form or content of the customer's information.
"Public telecommunications transport network" means the public telecommunications infrastructure which permits telecommunications between and among defined network termination points.
“User” means service consumer and service supplier.
“Essential facilities” means facilities of a public telecommunications transport network or service that:
(a) are exclusively or predominantly provided by a single or limited number of suppliers;
and
(b) cannot feasibly be economically or technically substituted in order to provide a
service.
A “major supplier” means a supplier, which has the ability to materially affect the terms of participation (having regard to price and supply) in the relevant market for telecommunications networks and services as a result of: (a) control over essential facilities; or (b) use of its position in the market.
1. Competitive safeguards
Prevention of anti-competitive practices in telecommunications
Appropriate measures shall be maintained or adopted for the purpose of preventing suppliers who, alone or together, are a major supplier from engaging in or continuing anti- competitive practices. These anti-competitive practices shall include in particular:
(a) engaging in anti-competitive cross-subsidization;
(b) using information obtained from competitors with anti-competitive results; and
(c) not making available to other services suppliers on a timely basis technical information about essential facilities and commercially relevant information, which are necessary for them to provide services.
2. Interconnection
2.1 Interconnection refers to linking with suppliers providing public telecommunications transport networks or services in order to allow the users of one supplier to communicate with users of another supplier and to access services provided by another supplier, where specific commitments are undertaken.
2.2 Interconnection to be ensured
Interconnection with a major supplier shall be ensured at any technically feasible point in the network. Such interconnection shall be provided8:
(a) under non-discriminatory terms, conditions (including technical standards and specifications) and rates and of a quality no less favourable than that provided for its own like services or for like services of non-affiliated service suppliers or for its subsidiaries or other affiliates;9
(b) in a timely fashion, on terms, conditions (including technical standards and specifications) and cost-oriented rates that are transparent, reasonable, having regard to economic feasibility, and sufficiently unbundled so that the supplier need not pay for network components or facilities that it does not require for the service to be provided; and
(c) upon request, at points in addition to the network termination points offered to the majority of users, subject to charges that reflect the cost of construction of necessary additional facilities.
2.3 Public availability of the procedures for interconnection negotiations
The procedures applicable for interconnection to a major supplier shall be made publicly available.
2.4 Transparency of interconnection arrangements
Each Party shall ensure that a major supplier makes publicly available either its interconnection agreements or a reference interconnection offer.
2.5 Interconnection: dispute settlement
A service supplier requesting interconnection with a major supplier shall have recourse,
either:
(a) at any time; or
(b) after a reasonable period of time which has been made publicly known
to an independent domestic body, which may be a regulatory body as referred to in paragraph 5 below, to resolve disputes regarding appropriate terms, conditions and rates for interconnection within a reasonable period of time, to the extent that these have not been established previously.
3. Universal service
Any Party has the right to define the kind of universal service obligation it wishes to maintain. Such obligations shall not be regarded as anti-competitive per se, provided they are administered in a transparent, non-discriminatory and competitively neutral manner and are not more burdensome than necessary for the kind of universal service defined by the Party.
8 Suppliers of services or networks not generally available to the public, such as closed user groups, have guaranteed rights to connect with the public telecommunications transport network or services on terms, conditions and rates which are non-discriminatory, transparent and cost oriented. Such terms, conditions and rates may, however, vary from the terms, conditions and rates applicable to interconnection between public telecommunication networks and services.
9 Different terms, conditions and rates may be set for operators in different market segments, on the basis of non-discriminatory and transparent licensing provisions, where such differences can be objectively justified because these services are not considered "like services".
4. Public availability of licensing criteria
Where a licence is required, the following shall be made publicly available:
(a) all the licensing criteria and the period of time normally required to reach a decision concerning an application for a licence; and
(b) the terms and conditions of individual licences.
The reasons for the denial of a licence shall be made known to the applicant upon request.
5. Independent regulators
The regulatory body in each Party shall be separate from, and not accountable to, any supplier of telecommunications networks and services. The decisions of, and the procedures used by regulators shall be impartial with respect to all market participants.
6. Allocation and use of scarce resources
Any procedures for the allocation and use of scarce resources, including frequencies, numbers and rights of way, shall be carried out in an objective, timely, transparent and non- discriminatory manner. The current state of allocated frequency bands shall be made publicly available, but detailed identification of frequencies allocated for specific government uses is not required.
ANNEX III
Consolidated Schedule of Specific Commitments on Trade in Services of CEFTA Parties
CONSOLIDATED SCHEDULE OF SPECIFIC COMMITMENTS ON TRADE IN SERVICES OF CEFTA PARTIES EXPLANATORY NOTES
This “Consolidated Schedule of Specific Commitments on Trade in Services of CEFTA Parties” is based on the United Nations Central Product Classification (CPC) list used in services negotiations in the World Trade Organization, but it also includes some services as described by the CPC Version 2 (United Nations Publication ST/ESA/STAT/SER.M/77/Ver.2).
This Schedule is consistent with the GATS scheduling practice and indicates only those services sectors and subsectors in which the Parties are undertaking commitments. With respect to market access and national treatment commitments, the different modes of supply indicated in the Schedule are as follows:
Mode 1: from the territory of one Party into the territory of any other Party; Mode 2: in the territory of one Party to a service consumer of any other Party;
Mode 3: by a service supplier of one Party, through commercial presence in the territory of any other Party; and
Mode 4: by a service supplier of one Party, through presence of natural persons of a Party in the territory of any other Party.
For the purpose of this Schedule, when commitments are undertaken by all the Parties to CEFTA 2006, this is indicated by the notation “All CEFTA Parties”. Otherwise, commitments by individual Parties are indicated by the following abbreviations below, in the order as listed in the preamble of CEFTA 2006, but excluding the Parties that have withdrawn from the Agreement in accordance with Article 51.

A. HORIZONTAL COMMITMENTS
1. Acquisition of land and real estate
PI – Natural and juridical persons of another Party may not acquire natural resources and agricultural land, State-owned forestry and forestry land or land in frontier and military areas in PI. The natural and juridical persons of another Party are entitled to buy State-owned, non-agricultural land provided that the value of investment in the land concerned is three times higher than the value of non–agricultural land in PI.
PII –Natural and juridical persons of another Party may not acquire and own real estate in PII except if the acquired property is related to the supply of a service and upon condition of reciprocity between PII and the Party where the natural or juridical person resides or is duly constituted. Agricultural land may not be owned by natural or juridical persons of another Party.
PIII – A natural or juridical person of another Party may, upon condition of reciprocity between PIII and the Party where the natural or juridical person resides or is duly constituted, acquire the right to ownership of flat, building and business premises, and the right to ownership or long-term lease of construction land in the territory of the PIII. A natural or juridical person of another Party may obtain a right to long-term lease of agricultural land in the territory of the PIII, upon condition of reciprocity between PIII and the Party where the natural or juridical person resides or is duly constituted. Long-term leases may not exceed ninety-nine (99) years. All acquisitions require the approval of the competent Ministries.
PIV – Land lease not exceeding ninety-nine (99) years is permitted. Natural or juridical persons of another Party may purchase land in PIV except land for agriculture or for forestry.
PV – Natural and juridical persons of another Party may own real estate in PV other than agricultural land and real estate within restricted areas.
PVI – Agricultural land may not be owned by natural or juridical persons of another Party. Natural and juridical persons of another Party may not acquire and own real estate in the PVI except if the acquired property is related to the provision of a service and upon condition of reciprocity between PVI and the Party where the natural or juridical person resides or is duly constituted. Land leases may not exceed ninety-nine (99) years.
PVII – Natural and juridical persons of another Party may acquire rights in real estate in PVII, unless otherwise provided by law (non-discriminatory restrictions). Limitations apply to agricultural land and forestry land.
2. Capital movements
PIII – PIII retains the right to maintain limitations regarding resident deposit operations, and resident capital operations related to investment in real estate and securities abroad.
3. Registration of companies
All CEFTA Parties– A representative office is a part of a company without having the status of a juridical person. Such offices may only engage in market research, promotional, or representational activities. They may not perform commercial activities.
PII – In areas of media, (television, radio, newspapers), trade and production of arms, explosives, and military equipment the percentage of foreign capital shall not be more than forty-nine (49) percent.
PVI - A natural or juridical person of another Party may not have majority ownership in enterprises dealing with trade of weapons and ammunition, or in enterprises established in restricted areas (such as frontier strip, national parks, military areas) and must have the approval of the competent ministry for investments in such cases. Natural or juridical persons of another Party may establish or invest in such enterprises only with a domestic person upon meeting the aforementioned requirement.
4. Public utilities
All CEFTA Parties:
Services considered as public utilities at a national or local level may be subject to public monopolies or to exclusive rights granted to private operators. These may exist in the following areas: energy services; water; public transport services and services auxiliary to all modes of transport; scientific and technical consulting services; research and development services on social sciences and humanities; technical testing and analysis services; environmental services; public health and public social services; communication services and public education services. Exclusive rights on such services may be granted to national or local private operators on a preferential basis.
5. The presence of natural persons
All CEFTA Parties except PV:
Unbound except for measures concerning the entry into and temporary stay of the following categories of natural persons providing services: key personnel (business visitors, intra-corporate transferees); trainees; business service sellers; contractual services suppliers; independent professionals; and short-term visitors for business purposes, as defined in the Annex 1 to the Additional Protocol 6 on Trade in Services.
PV:
In order to implement its commitments under Annex 1 to the Additional Protocol 6 on Trade in Services, PV may not invoke its rights and obligations during a transition period of eighteen (18) months from the date of entry into force of this Protocol for PV. During that transition period, PV will extend the following commitments on the presence of natural persons to all CEFTA Parties on a reciprocal basis.
PV undertakes to allow the temporary entry and stay in its territory of the following categories of natural persons:
(i) Intra-corporate transferees (ICT)
Entry and stay for a maximum of 3 years shall be granted to persons transferred within a corporation and its subsidiaries and branches who:
(a) Have been employed by a juridical person established in another Party for at least one year immediately preceding the date of entry;
(b) Are temporarily transferred in the context of the provision of a service in PV to a subsidiary or branch that is providing services in PV; and
(c) Are Managers, Executives or Specialists, as defined below.
Managers: are persons working in a senior position who primarily direct the juridical person, including (a) directing the establishment or a department or sub-division of the establishment; (b) supervising and controlling the work of other supervisory, professional or managerial employees; and (c) having the
authority personally to hire and dismiss or recommend hiring, dismissing or other personnel actions (such as promotion or leave authorization), and exercise discretionary authority over day-to-day operations. Does not include first-line supervisors, unless the employees supervised are professionals, nor does it include employees who primarily perform tasks necessary for the provision of the service. An economic needs test will not be required.
Executives: are persons within the juridical person, who primarily direct the management of the juridical person, establish the goals and policies of the juridical person, exercise wide latitude in decision-making, and receive only general supervision or direction from higher-level executives, the board of directors, or shareholders of the juridical person. Executives would not directly perform tasks related to the actual provision of a service or services. An economic needs test will not be required.
Specialists: are persons who possess uncommon knowledge essential to an establishment's service, research equipment, techniques or management.
In assessing such knowledge, account will be taken not only of knowledge specific to the establishment, but also of whether the person has a high level of qualification referring to a type of work or trade requiring specific technical knowledge, including membership of an accredited profession. An economic needs test will not be required.
(ii) Business Visitors (BV)
Entry and temporary stay of the following categories is permitted without application of an economic needs test for a period of up to 90 days in any twelve month- period:
(a) Service sellers - persons not residing in PV who are representatives of a service supplier and are seeking temporary entry for the purpose of negotiating and contracting for the sale of services but are not engaged in making direct sales to the general public or in supplying services themselves; and
(b) Persons responsible for setting up a commercial presence - managers who are responsible for setting up in PV a commercial presence of a service provider of another Party and who are not engaged in making direct sales or in supplying services if the service provider has no other commercial presence in PV.
(iii) Contractual Service Suppliers (CSS)
Entry will be granted to natural persons engaged in the supply of a service on a temporary basis as employees of a legal person with no commercial presence in
PV, subject to the following conditions:
a) The legal person has obtained a service contract, for a period not exceeding 12 months from a final consumer in PV, through a procedure which guarantees the bona fide character of the contract;
b) The service contract complies with the laws of PV;
c) The natural person seeking entry should be offering such services as an employee of the legal person supplying the service for at least a year immediately preceding such entry;
d) The temporary entry and stay shall be for a cumulative period of not more than 90 days in any 12-month period or for the duration of the contract, whatever is less;
e) The natural person must possess (a) a university degree or a technical qualification demonstrating knowledge of an equivalent level1; (b) professional qualifications where this is required to exercise an activity in the sector concerned pursuant to the laws, regulations or requirements of PV; and (c) at least 3 years professional experience in the sector;
f) The commitment relates only to the service activity which is the subject of the contract; it does not confer entitlement to exercise a profession in PV;
g) The number of the persons covered by the service contract shall not be larger than necessary to fulfil the contract;

7 Insurance companies and reinsurance companies of another Party are required to establish subsidiaries which must be incorporated as joint stock companies in the territory of the PVI. Exceptionally, a company for insurance brokerage, or for insurance agency services, or for other insurance services must be incorporated as a joint stock company or limited liability company. Branches of companies commercially established outside PVI for supplying re-insurance and insurance related services will be allowed 5 years after entry into force of this Protocol. At least one member of any insurance company supervisory board and at least one member of any insurance company executive board must have active knowledge of the PVI language and domicile (permanent residence) in the territory of the PVI. All members of any insurance company executive board must be resident in the territory of the PVI. Compulsory insurance may only be provided by insurance companies incorporated in the PVI. Compulsory insurance schemes related to social security, state health insurance and state retirement plans, as well as compulsory deposit insurance schemes are excluded from market access and national treatment commitments included in this Schedule. Admission of new insurance products may be controlled for prudential reasons.

10 Banks of another Party can perform financial activity in the territory of the PIV only through a branch office or subsidiary for which a licence has been issued by the National Bank of PIV. One of condition for issuing the licence is the payment of the initial capital that shall not be less than the minimum capital required on a non-discriminatory basis. Preambula
Strane Sporazuma o izmeni i pristupanju Sporazumu o slobodnoj trgovini u Centralnoj Evropi (u daljem tekstu: „Strane“)
Imajući u vidu Preambulu, ciljeve, navedene u članu 1 i glavi VI (članovi 26 do 29) Sporazuma o slobodnoj trgovini u Centralnoj Evropi 2006 (CEFTA 2006) koji se odnose na trgovinu uslugama, uključujući i elektronsku trgovinu, Xxxxxx xx postepeno postići progresivnu liberalizaciju svojih tržišta usluga u skladu sa članom V Opšteg sporazuma o trgovini uslugama (GATS) Svetske trgovinske organizacije (STO);
Prepoznajući da će liberalizacija roba i usluga u okviru CEFTA 2006 delovati kao put za ostvarivanje ciljeva ekonomskog razvoja i rasta u regionu širenjem unutar regionalnih investicionih i proizvodnih mogućnosti;
Želeći da stvore povoljnije uslove za razvoj i diverzifikaciju trgovine između Strana i unapređenje trgovinske i ekonomske saradnje na polju usluga;
Uviđajući da sektor usluga igra sve veću ulogu u privredi i trgovini Strana, sa velikim potencijalom za poboljšanje unutar regionalne trgovine uslugama na uzajamno koristan način;
Nijedna odredba ovog Protokola ne može se tumačiti tako da oslobađa Strane njihovih prava i obaveza prema svojim međunarodnim ugovorima, uključujući njihove postojeće regionalne i bilateralne trgovinske sporazume i STO Sporazum;
Složile su se u sledećem:
1. Za potrebe ovog Protokola:
Član 1
Definicije
(a) „mera“ se odnosi na svaku meru Strane, bilo u obliku zakona, propisa, pravila, postupka, odluke, upravne radnje, ili u nekom drugom obliku;
(b) „pružanje usluge“ obuhvata proizvodnju, distribuciju, marketing, prodaju i isporuku usluge;
(v) „mere Strana koje utiču na trgovinu uslugama“ uključuju mere u vezi sa:
(i) kupovinom, plaćanjem ili korišćenjem usluge;
(ii) mogućnosti pristupa i upotrebe onih usluga koje xx Xxxxxx moraju da obezbede da budu dostupne široj javnosti, a koje su u vezi sa pružanjem usluge;
(iii) prisustvo, uključujući i komercijalno, xxxx Xxxxxx sa ciljem pružanja usluge na teritoriji druge Strane;
(g) „komercijalno prisustvo“ se odnosi na bilo koju formu poslovnog ili profesionalnog ustanovljavanja, uključujući:
(i) konstituisanje novog, kao i preuzimanje1 ili održavanje postojećeg pravnog lica, ili
(ii) stvaranje nove ili održavanje postojeće filijale ili predstavništva, na teritoriji Xxxxxx xx ciljem pružanja usluge;
(d) „sektor“ usluga, ima sledeća značenja:
(i) kada se odnosi na posebne obaveze, „sektor“ obuhvata jednu ili više, ili sve, podsektore konkretne usluge, navedene u Listi Strane,
(ii) u suprotnom, „sektor“ podrazumeva ceo sektor jedne usluge, uključujući sve njegove podsektore;
(đ) „usluga druge Strane“ obuhvata uslugu koja se pruža:
(i) sa teritorije ili na teritoriju xx xxxxx Xxxxxx, ili u slučaju pomorskog saobraćaja, plovnim objektima registrovanim po zakonima xx xxxxx Xxxxxx, ili xx xxxx xx xxxxx Xxxxxx, koje pruža uslugu upravljanje i/ili korišćenjem, delimično ili u celosti, tog plovnog objekta; ili
(ii) xx xxxxxx pružaoca usluge xx xxxxx Xxxxxx, u slučaju pružanja usluge putem komercijalnog prisustva ili prisustva fizičkih lica;
(e) „pružalac usluge“ se odnosi na bilo koje fizičko ili pravno lice koje pruža uslugu;2 (ž) „monopolski pružalac usluge“ se odnosi na bilo koje lice, javno ili privatno, koje je
na relevantnom tržištu na teritoriji Strane ovlašćeno ili osnovano bilo formalno bilo de facto od xx Xxxxxx xxx jedini pružalac te usluge;
(z) „korisnik usluge“ se odnosi na bilo koje lice koje prima ili koristi uslugu;
(i) „lice“ je fizičko lice ili pravno lice;
(j) „fizičko lice“ se odnosi na građanina Strane, u skladu sa njenim domaćim zakonodavstvom;
(k) „fizičko lice druge Strane“ se odnosi na fizičko lice koje boravi na teritoriji xx xxxxx Xxxxxx ili bilo koje druge Strane, i koje je prema zakonu xx xxxxx Xxxxxx:
(i) državljanin xx xxxxx Xxxxxx; ili
(ii) ima pravo na stalni boravak u toj drugoj Strani.
(l) „pravno lice“ se odnosi na bilo koji pravni subjekat koji uredno osnovan odnosno drugačije organizovan prema važećim zakonima, u svrhu sticanja xxxxxxx ili u xxxxx svrhe, bilo u privatnom ili državnom vlasništvu, uključujući korporaciju, trust, ortačka, zajedničko ulaganje, inokosna preduzeća ili udruženja;
(lj) „pravno lice Strane“ predstavlja:
pravno lice koje je osnovano u skladu sa zakonima Strane, i koje ima registrovano sedište, centralnu upravu ili glavno mesto poslovanja na teritoriji te

2 I u slučaju kada se usluga ne pruža direktno xx xxxxxx pravnog lica, već kroz druge forme komercijalnog prisustva, kao što su filijale ili predstavništva, pružalac usluge (tj. pravno lice) će i kroz takvo prisustvo imati tretman koji je predviđen za pružaoce usluga prema odredbama ovog Protokola. Takav tretman će se odnositi na onu formu prusustva kroz koju se usluga pruža,a ne xxxx da se odnosi na organizacione delove pružaoca koji se nalaze van teritorije na kojoj se usluga pruža.
Strane. U slučaju da pravno lice ima samo registrovano sedište ili centralnu upravu na teritoriji Strane, ne može se smatrati pravnim licem xx Xxxxxx, ukoliko nije suštinski angažovano u poslovanju xx Xxxxxx;
pravno lice je:
(i) „u vlasništvu“ xxxx Xxxxxx, ako xx xxxx od 50% kapitala tog pravnog lica u vlasništvu lica xx Xxxxxx, a cilj tog vlasništva je sticanje matrijalne dobiti;
(ii) „kontrolisano“ od lica xxxx Xxxxxx ako takva lica imaju pravo da imenuju većinu njegovih direktora ili na neki drugi način legalno upravljaju njegovim poslovanjem;
(iii) „povezano“ sa drugim licem, u slučaju kada kontroliše, ili je pod kontrolom tog drugog lica; ili kada su i ovo i to drugo lice kontrolisano xx xxxxxx istog lica;
(m) „filijala“ pravnog xxxx Xxxxxx predstavlja pravno lice koje je pod stvarnom kontrolom drugog pravnog lica xx Xxxxxx;
(n) „ogranak“ pravnog xxxx Xxxxxx predstavlja mesto poslovanja koje nema status pravnog lica u pogledu trajnosti, a koje kao nastavak matičnog pravnog lica, ima rukovodstvo i materijalno je opremljen za obavljanje poslova sa trećim stranama, tako da kasnije, iako znaju da će, ako je potrebno, postojati pravna veza sa matičnim pravnim licem,čije je sedište u inostranstvu, ne moraju poslovati direktno s xxx matičnim pravnim licem, ali mogu obavljati posao na mestu poslovanja koje predstavlja nastavak;
(nj) „direktni porezi“ obuhvataju sve poreze na ukupne prihode, na ukupni kapital ili na elemente prihoga ili kapitala, uključujući poreze na dobit od otuđenja imovine, poreze na nepokretnosti, nasledstva i poklone, i poreze na ukupne iznose zarada ili plata koje preduzeće isplaćuje, kao i poreze na uvećanje vrednosti kapitala;
(o) „Lista“ označava Listu iz člana 6 i sadržanu u Xxxxxx XXX;
(p) „specifična obaveza” predstavlja specifičnu obavezu utvrđenu u Listi iz člana 6;
(r) „usluge popravke i održavanja aviona“ se odnose na aktivnosti koje se obavljaju na avionu ili nekom njegovom delu u vremenu xxxx xx isključen iz saobraćaja i ne obuhvata tzv. usluge održavanja linija;
(s) „prodaja i marketing usluga vazdušnog saobraćaja“ se odnosi na mogućnosti da konkretni vazdušni prevoznik slobodno prodaje i obavlja marketing svojih usluga vazdušnog transporta, uključujući sve aspekte marketinga, kao što su istraživanje tržišta, reklamiranje i distribucija; ove aktivnosti ne obuhvataju određivanje cena usluga u vazdušnom saobraćaju niti uslove njihove primene;
(t) „kompjuterski sistem rezervacija (CRS)“ se odnosi na usluge koje obezbeđuju kompjuterski sistemi koji sadrži informacije o redovima letenja avio prevoznika, slobodnim mestima, cenama, tarifama i odgovarajućim pravilima, putem kojih se mogu napraviti rezervacije ili izdavati karte;
(ć) „saobraćajna prava“ se odnose na pravo, bilo navedeno u okviru posebnih obaveza ili ne, da se pružaju usluge i/ili prevoze putnici, teret i pošta, na komercijalnoj osnovi ili da se unajme sa, ka, na ili preko teritorije xxxx Xxxxxx, uključujući xxxxx sletanja, maršute, tip transporta, raspoložive kapacitete, tarife koje se naplaćuju i njihove uslove, kao i kriterijume za uspostavljanje
vazduhoplovnih kompanija, uključujući i takve kriterijume kao što su broj, vlasništvo i kontrola.
Član 2
Obuhvat i pokrivenost
1. Ovaj Protokol se primenjuje na mere usvajene ili održavane od Strana, koje se odnose na trgovinu uslugama. On se odnosi na sve sektore usluga, osim navedenih u stavu 4.
2. Za potrebe ovog Protokola, trgovina uslugama se definiše kao pružanje usluge:
(a) sa teritorije jedne Strane na teritoriju xxxx xxxxx Xxxxxx;
(b) na teritoriji jedne Strane korisniku usluga bilo koje druge Strane;
(v) putem komercijalnog prisustva subjekta jedne Xxxxxx xxxx pružaju usluge na teritoriji xxxx xxxxx Xxxxxx;
(g) xx xxxxxx fizičkih lica jedne Xxxxxx, xxxx pružaju usluge i prisutni su na teritoriji xxxx xxxxx Xxxxxx.
3. Za potrebe ovog Protokola:
(a) „mere koje donose Strane“ znače mere koje donose:
(i) centralna, regionalna ili lokalna uprava i organi; i
(ii) nevladina tela na koja su centralna, regionalna ili lokalna uprava ili organi preneli izvršnu funkciju;
U ispunjavanju svojih opštih i posebnih obaveza po osnovu ovog Protokola, svaka Strana će preduzeti razumne mere koje joj stoje na raspolaganju kako bi osigurala da se regionalna i lokalna uprava i organi vlasti, kao i nevladina tela na njenoj teritoriji pridržavaju pomenutih obaveza;
(b) „usluge“ obuhvataju sve usluge u bilo kojem sektoru, osim usluga koje se pružaju u postupku vršenja vlasti;
(v) pod pojmom „usluga koje se pružaju u postupku vršenja vlasti“ podrazumevaju se sve usluge koje se ne pružaju niti na komercijalnoj osnovi, niti pod uslovima konkurencije jednog ili više pružalaca usluga.
4. U odnosu na usluge vazdušnog saobraćaja, ovaj Protokol xx xxxx primenjivati na mere koje utiču na saobraćajna prava ili mere koje utiču na usluge u direktnoj vezi sa ostvarivanjem saobraćajnog prava. Ovaj Protokol se odnosi na usluge popravke i održavanja aviona, prodaju i marketing usluga vazdušnog saobraćaja i kompjuterski sistem rezervacija (CRS).
5. Ovaj Protokol xx xxxx primenjivati na zakone, propise ili uslove koji regulišu javne nabavke xx xxxxxx vladinih agencija, za usluge kupljene u vladine svrhe, a ne u svrhu dalje komercijalne prodaje ili sa ciljem pružanja usluga za komercijalnu prodaju.
6. Ovaj Protokol xx xxxx primenjivati na subvencije ili grantove Strana, uključujući vladine podsticajne kredite, garancije i osiguranje.
Član 3
Tretman najpovlašćenije nacije
1. Svaka Strana će, odmah i bezuslovno, odobriti uslugama i pružaocima usluga bilo koje druge Strane tretman ne manje povoljan od tretmana koji odobrava sličnim uslugama i pružaocima usluga bilo koje druge zemlje.
2. Ako Strana odobri tretman uslugama i pružaocima usluga u okviru postojećeg ili budućeg međunarodnog sporazuma sa trećom stranom, Strana će, na zahtev druge Strane, pristupiti pregovorima kako bi u ovaj Protokol uključila tretman koji nije manje povoljan od onog garantovanog xxx međunarodnim sporazumom.
3. Tretman odobren uslugama i pružaocima usluga iz EU prema Sporazumu o stabilizaciji i pridruživanju sa EU, ili prema Sporazumu o pridruživanju između Republike Moldavije i EU, xxxx izuzeti od obaveza predviđenih u stavu 1 i stavu 2.
Tretman odobren uslugama i pružaocima usluga iz EU, u okviru domaćih propisa donetih sa ciljem pristupanja EU, xxxx izuzeti od obaveza iz stava 1 i stava 2.
4. Odredbama ovog Protokola neće se ni jednoj Strani onemogućiti da odobri ili prizna neku prednost susednim zemljama u cilju olakšavanja trgovine ograničene na zone malograničnog prometa usluga koje se lokalno proizvode i koriste.
Član 4
Pristup tržištu
1. U pogledu pristupa tržištu na načine pružanja usluga utvrđenih u članu 2 stav 2, svaka Strana će odobriti uslugama i pružaocima usluga drugih Strana ne manje povoljan tretman od tretmana koji se postiže pod propozicijama, ograničenjima i uslovima, dogovorenim i navedenih u njenoj Listi.
2. Mere koje Strana ne sme da zadrži ili usvoji u sektorima u xxxxxx xx preuzela obavezu pristupa tržištu, kako na regionalnom delu tako i na čitavoj teritorije, osim ako nije drugačije navela u svojoj Listi, definišu xx xxx:
(a) ograničenja broja pružalaca usluga bilo u obliku kvantitativnih kvota, monopola, ekskluzivnih pružalaca usluga ili zahteva za procenu ekonomskih potreba;
(b) ograničenja ukupne vrednosti uslužnih transakcija ili sredstava u formi kvantitivnih kvota ili zahteva za ocenu ekonomskih potreba;
(v) ograničenja ukupnog broja uslužnih transakcija ili ukupne količine rezultata ostvarenog uslužnom delatnošću koji je izražen u određenim brojčanim jedinicama u formi kvota ili zahteva za ocenu ekonomskih potreba;1
(g) ograničenja ukupnog broja fizičkih xxxx xxxx mogu biti zaposlena u konkretnom uslužnom sektoru ili koje može da zaposli pojedinačni pružalac usluge, a koji su potrebni za, i direktno povezani sa pružanjem konkretne usluge u formi kvantitativnih kvota ili zahteva za ocenu ekonomskih potreba;
(d) mere kojima se ograničava ili zahteva posebna forma pravnog lica ili zajedničko ulaganje kroz koje pružalac usluge može da pruži uslugu; i
(đ) ograničenja učešća stranog kapitala u obliku maksimalnog procentualog učešća stranog udela u akcijama ili ukupnoj vrednosti pojedinačnog ili ukupnog stranog investiranja.
3. Nijedna Strana ne može da na svojoj teritoriji uvodi nikakva nova ograničenja za pružanje usluga, kao što je određeno članom 2 stav 2, osim ako nije drugačije predviđeno ovim Protokolom.
1 Podstav 2 (v) ne obuhvata mere Strane kojima se ograničavaju inputi potrebni za pružanje usluge.
Član 5
Nacionalni tretman
1. U sektorima koji su navedeni u Listi Strane, i pod uslovima i na način koji xx xxxx naveden, svaka Strana će uslugama i pružaocima usluga bilo koje druge Strane, odobriti tretman ne manje povoljan od tretmana koji odobrava svojim sopstvenim sličnim uslugama i pružaocima usluga, a u odnosu na sve mere koje utiču na pružanje usluga.1
2. Strana može da ispunjava uslov iz stava 1. dodeljivanjem uslugama i dobavljačima usluga bilo koje druge strane, formalno istovetnog tretmana ili formalnog drugačijeg tretmana od onog koji dodeljuje sličnim domaćim uslugama i dobavljačima usluga.
3. Formalno identičan ili formalno različit tretman smatraće se manje povoljnim ako se pomoću njega menjaju uslovi konkurencije u korist usluga ili pružalaca usluga xx Xxxxxx u poređenju sa sličnim uslugama ili pružaocima usluga xxxx xxxxx Xxxxxx.
Član 6
Lista posebnih obaveza
1. Svaka strana će u Listama posebnih obaveza izneti posebne obaveze koje preuzima u skladu sa ovim Protokolom. U odnosu na sektore u kojima su preuzete ovakve obaveze, svaka Lista će sadržati:
(a) uslove, rokove i ograničenja u vezi sa pristupom tržištu;
(b) uslove i kvalifikacije za nacionalni tretman;
(v) gde je moguće, vremenski okvir za primenu ovih obaveza; i
(g) gde je moguće, datum stupanja na snagu preuzetih obaveza.
2. Liste posebnih obaveza Strana će se nalaziti u Aneksu III ovog Protokola i činiće njegov sastavni deo.
Član 7
Izmene Lista
Strane su obavezne da, na osnovu pismenog zahteva Xxxxxx xxxx se dostavlja Potkomitetu za trgovinu uslugama, održe konsultacije kako bi se razmotrio svaki zahtev za izmenu posebne obaveze u okviru posebnih obaveza Strane koja podnosi zahtev. Konsultacije će biti održane u roku od tri meseca nakon što je Strana dostavila svoj zahtev Potkomitetu za trgovinu uslugama. Na konsultacijama, Xxxxxx xx imati za cilj da održe opšti nivo obostrano korisnih obaveza koje nisu manje povoljne za trgovinu u odnosu na onaj predviđen Listom posebnih obaveza pre takvih konsultacija. Svaka izmena posebnih obaveza podleže procedurama propisanih članom 47 CEFTA 2006.
Član 8
Kretanje fizičkih lica
1. Prava i obaveze Strana koje se odnose na kretanje fizičkih xxxx xxxx pružaju usluge u Strani regulisani su Aneksom I ovog Protokola. Fizičkim licima obuhvaćenim posebnom obavezom Strane xxxx dozvoljeno da pruža uslugu u toj Strani u skladu sa uslovima te obaveze.
1 Posebnim obavezama na koje se ovaj član odnosi neće se zahtevati xx Xxxxxx da nadoknadi bilo kakvu štetu zbog nepovoljnog uticaja na tržištu, nastalu kao rezultat stranog svojstva odgovarajuće usluge ili pružaoca usluge.
2. Ovaj Protokol xx xxxx primenjivati na mere koje se tiču fizičkih xxxx xxxx traže pristup tržištu rada jedne Strane, niti će se primenjivati na mere koje se tiču državljanstva, prebivališta ili zaposlenja na trajnoj osnovi.
3. Ništa u ovom Protokolu neće sprečiti Strane od primene mera kojim se reguliše ulazak fizičkih lica ili njihov privremeni boravak na njihovoj teritoriji, uključujući i one mere koje su neophodne za zaštitu integriteta, i kojim se obezbeđuje uredno kretanje fizičkih lica preko njihovih granica, pod uslovom da se takve mere ne primenjuju na način kojim poništavaju ili umanjuju koristi koje xxx xxxx koja Strana u skladu sa uslovima posebne obaveze.
Član 9
Transparentnost
1. Svaka Strana će objaviti odmah ili, u vanrednim okolnostima najkasnije sa danom njihovog stupanja na snagu, sve relevantne mere opšte primene koje se odnose na ili utiču na izvršenje ovog Protokola. Takođe će biti objavljeni međunarodni sporazumi u xxxxxx xx Strana ugovorna strana a koji se odnose na ili utiču na trgovinu uslugama.
2. U slučaju kada objavljivanje na način predviđen stavom 1 nije izvodljivo, omogućiće se da takva informacija bude dostupna široj javnosti na neki drugi način.
3. Svaka Strana će imenovati kontakt tačku za usluge, kao što je predviđeno članom 44 CEFTA 2006.
4. Svaka Strana će redovno, a najmanje jedanput godišnje obaveštavati Potkomitet za trgovinu uslugama o uvođenju svakog novog ili o svakoj izmeni postojećih zakona, propisa ili administrativnih uputstava koji značajnije utiču na trgovinu uslugama obuhvaćenu njenim posebnim obavezama po ovom Protokolu.
5. Svaka Strana je u obavezi da, u meri u kojoj je moguće, unapred obavesti o svakoj relevantnoj meri opšte primene koju ta Strana predlaže na usvojanje kako bi se omogućilo drugim Stranama da se izjasni o meri. Informacije će se dostavljati drugim Stranama preko Potkomiteta za trgovinu uslugama i Kontakt xxxxx za usluge koji su posrednici u toj komunikaciji.
6. Svaka Strana može da obavesti Potkomitet za trgovinu uslugama o svakoj xxxx xxxxx Xxxxxx, za koju smatra da utiče na izvršenje ovog Protokola.
Član 10
Domaća regulativa
1. Saglasno odredbama ovog Protokola, Strane zadržavaju pravo da regulišu i donose nove propise, da bi ostvarile legitimne političke ciljeve.
2. U sektorima u kojima su preuzete posebne obaveze, svaka Strana će obezbediti da se sve mere opšte primene koje se odnose na trgovinu uslugama, izvršavaju na razuman, objektivan i nepristrasan način.
3. (a) Svaka Strana će održavati ili osnovati u najbržem mogućem roku sudska, arbitražna ili upravna tela i postupke koji, na zahtev oštećenog pružaoca usluga, obezbeđuju brzo razmatranje i, gde je opravdano, odgovarajuće pravne lekove, za administrativne odluke koje utiču na trgovinu uslugama. U slučaju kada takvi postupci nisu nezavisni od organa nadležnog za donošenje upravne odluke o kojoj je reč, Xxxxxx će obezbediti da ti postupci zapravo obezbede objektivno i nepristrasno razmatranje.
(b) Neće se smatrati da se odredbama podstava (a) Strana obavezuje da uspostavi takva tela ili postupke ako je to u suprotnosti sa njenim ustavnim uređenjem ili prirodom njenog pravnog sistema.
4. U slučaju xxxx xx za pružanje usluge za xxxx xx preuzeta posebna obaveza neophodno ovlašćenje, nadležni organi Xxxxxx xx, u razumnom roku od podnošenje zahteva koji se smatra kompletnim u skladu sa domaćim zakonima i propisima, obavestiti podnosioca zahteva o odluci po zahtevu. Na zahtev podnosioca, nadležni organi Strane pružaće, bez neopravdanog odlaganja, informacije o statusu njegovog zahteva.
5. Da bi se omogućilo da mere u vezi sa zahtevima koji se tiču stručnosti, tehničkih standarda i izdavanja dozvola ne predstavljaju nepotrebne prepreke u trgovini uslugama, Potkomitet za trgovinu uslugama će, preko odgovarajućih xxxx xxxx može da osnuje, razviti sva potrebna obavezna pravila. Cilj ovih pravila će biti da, između ostalog, obezbede da ti zahtevi budu:
(a) zasnovani na objektivnim i transparentnim kriterijumima, kao što su kompetentnost i mogućnost pružanja usluge;
(b) da nije neophodno opterećenje sa stanovišta postizanja kvaliteta usluge;
(v) u slučaju postupka za dobijanje dozvola, da xxxxxxxx xxx po sebi ne predstavlja ograničenje za pružanje usluge.
6. (a) U sektorima u xxxxxx xx Strana preuzela posebne obaveze, a dok obavezna pravila iz stava 5 u ovim sektorima ne stupe na snagu, Strana neće primenjivati zahteve koji se tiču izdavanja dozvola, stručnosti i tehničkih standarda kojima se poništavaju ili umanjuju njene posebne obaveze na način koji:
(i) nije u skladu sa kriterijumima navedenim u podstavovima 5 (a), (b) ili (v); i
(ii) nije bilo razumno očekivati od xx Xxxxxx u vreme kada su posebne obaveze u xxx sektorima preuzete.
(b) Prilikom utvrđivanja da li se Strana ponaša u saglasnosti sa obavezama iz stava 5 (a), vodiće se računa o međunarodnim standardima relevantnih međunarodnih organizacija1 koje Strana primenjuje.
7. U sektorima u kojima su preuzete posebne obaveze u profesionalnim uslugama, svaka Strana će obezbediti odgovarajuće postupke za proveru kompetentnosti profesionalaca drugih Strane.
8. Xxxxxx xx preispitati domaće propise u roku od dve godine od xxxx stupanja na snagu ovog Protokola. Na zahtev jedne ili više Strana, Xxxxxx xx pregovarati o domaćem regulisanju pravila xxxx xx biti sastavni deo ovog Protokola, kao Aneks ili na neki drugi način.
Član 11
Priznavanje
1. U cilju potpunog ispunjenja svojih standarda ili kriterijuma za davanje ovlašćenja, dozvola ili sertifikata za pružaoce usluga, Strana može da omogući priznavanje obrazovanja ili iskustva koje je stečeno, ispunjenje uslova, dozvola i sertifikata izdatih xx xxxxx Xxxxxx. Takvo priznanje može biti bazirano na sporazumu ili dogovoru sa xxx drugom Stranom, ili jednostrano.
1 Izraz „relevantne međunarodne organizacije“ se odnosi na međunarodna tela u xxxxxx xx članstvo moguće za relevantna tela najmanje svih članica Svetske trgovinske organizacije (STO).
2. Strana koja priznaje, na osnovu ugovora ili dogovora, obrazovanje ili iskustvo koje je stečeno, ispunjenje uslova, dozvola i sertifikata, van teritorija Strana, ta Strana će pružiti odgovarajuću mogućnost ostalim zainteresovanim Stranama da pregovaraju o pristupanju xxx sporazumima i dogovorima, bez obzira na postojeće ili buduće, ili o zaključivanju sličnih sporazuma ili dogovora sa njom. Ako Strana vrši jednostrano priznavanje, pružiće adekvatnu priliku svakoj drugoj Strani da pokaže da obrazovanje ili iskustvo, dozvole, ili sertifikati koji su stečeni ili zahtevi koji su u xxx smislu ispunjeni na teritoriji xx xxxxx Xxxxxx, xxxxx da budu priznati.
3. Strana neće vršiti priznavanje na način koji bi, u procesu primene njenih standarda ili kriterijuma za davanje ovlašćenja, dozvola ili sertifikata pružaocima usluga, predstavljao bilo sredstvo diskriminacije među Stranama, bilo prikriveno ograničenje za trgovinu uslugama.
4. Xxxxxx xx zaključiti neophodne procedure u razvijanju sporazuma ili dogovora o uzajamnom priznavanju za regulisane profesije, nakon stupanja na snagu ovog Protokola.
Član 12
Monopoli i ekskluzivni pružaoci usluga
1. Svaka Strana će obezbediti da se, prilikom pružanja monopolskih usluga na relevantnom tržištu, svi monopolski pružaoci usluga na njenoj teritoriji ne ponašaju suprotno obavezama Xxxxxx xxxxx članu 3 i preuzetim posebnim obavezama.
2. Kada se monopolski pružalac usluga xxxx Xxxxxx, bilo direktno ili preko povezane kompanije, pojavljuje na tržištu uslužne delatnosti xxxx xx van okvira njegovih monopolskih prava, a ta delatnost je predmet posebnih obaveza xx Xxxxxx, Strana će obezbediti da takav pružalac usluga ne koristi svoj monopolski položaj da se na njenoj teritoriji ponaša na način koji nije u skladu sa takvim obavezama.
3. Potkomitet za trgovinu uslugama može, na zahtev xxxx Xxxxxx koja ima razloga da veruje da monopolski pružalac usluga druge Strane deluje na način koji je suprotan stavu 1 ili 2, da zahteva od xx Xxxxxx koja uspostavlja, podržava ili daje ovlašćenja takvim subjektima, da pruži konkretne podatke o relevantnim operacijama.
4. Odredbe ovog člana će se takođe primenjivati na slučajeve ekskluzivnih pružalaca usluga, gde Strana, formalno ili stvarno, (a), odobrava ili uspostavlja mali broj pružalaca usluga i
(b) suštinski ograničava konkurenciju među takvim pružaocima usluga na svojoj teritoriji.
Član 13
Poslovni običaji
1. Strane priznaju da određeni poslovni običaji pružalaca usluga, sem onih iz člana 12, mogu da naruše konkurenciju i time ograniče trgovinu uslugama.
2. Svaka Strana će, na zahtev bilo koje druge Strane, započeti konsultacije sa ciljem ukidanja poslovnih običaja iz stava 1. Strana kojoj se upućuje zahtev će isti razmotriti u potpunosti i sa razumevanjem i sarađivaće u pružanju javnosti raspoloživih informacija koje nisu poverljive prirode, a tiču se datog pitanja. Strana kojoj je postavljen zahtev će Strani xxxx xx zahtev postavila takođe pružiti ostale dostupne informacije, u skladu sa njenim domaćim zakonodavstvom, ukoliko je postignut zadovoljavajući sporazum koji obezbeđuje čuvanje poverljivosti tih informacija xx xxxxxx Xxxxxx xxxx xx postavila zahtev.
Član 14
Plaćanja i transferi
1. Osim u slučajevima predviđenim članom 15, Strana neće primenjivati ograničenja na međunarodne transfere i plaćanja za tekuće transakcije koje se odnose na preuzete posebne obaveze.
2. U slučaju da jedna Strana preuzme obavezu pristupa tržištu u odnosu na pružanje usluga kroz model pružanja predviđen članom 2 stav 2, i ukoliko je prekogranični transfer kapitala xxxxx xxx same usluge, ta strana se time obavezala da omogući takav transfer kapitala. U slučaju da jedna Strana preuzme obavezu pristupa tržištu u odnosu na pružanje usluga kroz model pružanja predviđen članom 2 stav 2, ta strana se time obavezala da omogući srodne transfere kapitala na njenu teritoriju.
3. Ništa u ovom Protokolu neće uticati na prava i obaveze članica Međunarodnog monetarnog xxxxx (u daljem tekstu: „MMF“) prema statutu MMF, uključujući i devizne aktivnosti u skladu sa Statutom MMF-a, pod uslovom da Strana ne uvede ograničenja ni na koju kapitalnu transakciju suprotno njenim posebnim obavezama koje se odnose na ovakve transakcije, osim po članu 15 ili na zahtev MMF-a.
Član 15
Ograničenja kojima se štiti platni bilans
1. Xxxxxx xx nastojati da izbegnu nametanje ograničenja na pružanje usluga radi očuvanja platnog bilansa.
2. Svako ograničenje radi očuvanja platnog bilansa koji je usvojen ili održava Strana prema i u skladu sa članom XII GATS-a, smatraće se kompatibilnim sa ovim Protokolom.
Član 16
Opšta izuzeća
1. Pod uslovom da su ispunjeni zahtevi da takve mere ne budu primenjivane na način koji bi predstavljao sredstvo svojevoljne ili nepravedne diskriminacije među Stranama, u uslovima koji su uglavnom slični, niti prikriveno ograničenje za međunarodnu trgovinu uslugama, ovim Protokolom xx xxxx sprečavati usvajanje ni primena u bilo kojoj Strani, sledećih mera:
(a) potrebnih za zaštitu javnog morala ili za održavanja javnog xxxx;1
(b) potrebnih za zaštitu života ili zdravlja ljudi, životinja ili biljaka;
(v) potrebnih da se obezbedi usklađenost sa zakonima i propisima koji nisu u suprotnosti sa odredbama ovog Protokola, uključujući one koji se odnose na:
(i) sprečavanje prakse lažnog predstavljanja i prevara ili za savladavanje posledica kršenja ugovora o uslugama;
(ii) zaštite privatnosti pojedinaca u vezi sa obradom i distribucijom ličnih podataka i zaštite poverljivosti ličnih podataka i računa;
(iii) sigurnosti;
1 Pozivanje na razloge za izuzeće radi zaštite javnog xxxx moguće je i u slučaju prave i ozbiljne pretnje jednom od osnovnih interesa društva.
(g) suprotno članu 5, pod uslovom da razlika u tretmanu postoji radi obezbeđivanja pravednog ili efikasnog1 nametanja ili ubiranja direktnih poreza u sektoru usluga ili od pružalaca usluga drugih Strana;
(d) suprotno članu 3, pod uslovom da je razlika u tretmanu rezultat postojanja sporazuma o izbegavanju dvostrukog oporezivanja ili odredbe o izbegavanju dvostrukog oporezivanja u međunarodnom sporazumu ili aranžmanu koji obavezuje Stranu.
Član 17
Izuzeća iz bezbednosnih razloga
1. Ovoj Protokol xx xxxx primenjivati tako da se:
(a) xx Xxxxxx traži da daje podatke čije otkrivanje ona smatra da je u suprotnosti sa njenim osnovnim bezbednosnim interesima, ili
(b) bilo koja Strana sprečava da preduzme radnje koje ona smatra da su neophodne za zaštitu njenih osnovnih bezbednosnih interesa:
(i) u vezi sa pružanjem usluga koja se obavlja direktno ili indirektno sa ciljem snabdevanja stalne vojske;
(ii) u vezi sa fisionim i fuzionim materijalima ili sa materijalima od kojih se isti dobijaju;
(iii) preduzetim u vreme rata ili drugih vanrednih okolnosti međunarodnih razmera; ili
(v) bilo koja Strana sprečava da preduzima radnje u izvršavanju njenih obaveza na osnovu Povelje Ujedinjenih Nacija radi održavanje međunarodnog mira i sigurnosti.
2. Potkomitet za trgovinu uslugama će biti, u najdetaljnijoj mogućoj formi, informisan o merama preduzetim prema stavovima 1 (b) i (v) i o njihovom prestanku.
1 Mere koje imaju za cilj pravično ili efektivno nametanje ili ubiranje direktnih poreza uključujući mere koje Strana uvodi u svoj poreski sistem, a koje se:
(i) primenjuju na pružaoce usluga koji su nerezidenti, s obzirom na činjenicu da se poreska obaveza nerezidenata utvrđuje u odnosu na predmete oporezovanja koji je poreklom ili je smešten na teritoriji xx Xxxxxx; ili
(ii) primenjuju na nerezidente kako bi se obezbedilo nametanje ili ubiranje poreza na teritoriji xx Xxxxxx; ili
(iii) primenjuju na nerezidente ili rezidente kako bi se sprečilo izbegavanje ili utaja poreza, uključujući i mere za usaglašavanje; ili
(iv) primenjuju na korisnike usluga na ili sa teritorije druge Strane kako bi se obezbedilo nametanje ili ubiranje poreza od tih korisnika, a gde xx xxxxxxx osnov nastao na teritoriji xx Xxxxxx; ili
(v) koriste da bi se razlikovali pružaoci usluga koji podležu plaćanju porezu na predmete oporezovanja koji se oporezuju svuda po svetu, od ostalih pružalaca usluga, imajući u vidu koje su razlike u poreskoj osnovici; ili
(vi) koriste kako bi se utvrdio, locirao i odredio deo dohotka, xxxxxxx, gubitka ili kredita rezidentnih lica ili filijala, ili između lica ili filijala koje su povezane sa xxx licem, sa ciljem zaštite poreske osnovice Strane.
Poreske odredbe i pojmovi u stavu (g) i u ovoj fusnoti su određeni na osnovu poreskih definicija i pojmova, ili podjednakih ili sličnim definicija i pojmova u domaćem zakonodavstvu Strane koja mere primenjuje.
Član 18
Saradnja u oblasti elektronske trgovine
1. Strane, prepoznajući da elektronska trgovina povećava mogućnosti trgovine u mnogim sektorima, prihvataju da međusobno unaprede razvoj elektronske trgovine, naročito kroz saradnju po pitanjima pokrenutim putem elektronske trgovine u skladu sa odredbama ovog Protokola.
2. Strane su saglasne da razvoj elektronske trgovine xxxx biti u potpunosti u skladu sa najvišim međunarodnim standardima zaštite podataka, u cilju osiguranja poverenja korisnika elektronske trgovine.
3. Strane su saglasne da se isporuke elektronskim putem smatraju pružanjem usluga, u smislu člana 2 stav 2(a), i neće se cariniti.
4. Xxxxxx xx uspostaviti dijalog o regulatornim pitanjima koja su pokrenuta elektronskom trgovinom, koji će se, između ostalog, baviti sledećim pitanjima:
(a) priznavanje sertifikata elektronskih potpisa izdatih za javnost i olakšavanje sertifikacije prekograničnih usluga;
(b) odgovornost pružalaca posredničkih usluga u vezi sa prenosom ili skladištenjem podataka;
(v) otklanjanje neželjenih elektronskih komercijalnih komunikacija;
(g) zaštita potrošača u oblasti elektronske trgovine;
(d) ostalim pitanjima značajnim za razvoj elektronske trgovine.
5. Ova saradnja može poprimiti oblik razmene podataka o odgovarajućem domaćem zakonodavstvu Strana po ovim pitanjima, kao i o implementaciji tog zakonodavstva.
Član 19
Uskraćivanje povlastica
Strana može uskratiti povlastice ovog Protokola pružaocu usluga druge Strane ukoliko utvrdi da se usluga pruža toj Strani xx xxxxxx pravnog lica koje je u vlasništvu ili pod kontrolom lica ne Strane koje nije suštinski angažovano u poslovanju na teritoriji bilo koje Strane.
Član 20
Razmatranje preuzetih obaveza
1. U cilju dalje liberalizacije trgovine uslugama između njih, a naročito suštinske eliminacije svih oblika diskriminacije između i među njima u periodu od pet xxxxxx, Xxxxxx xx redovno razmatrati njihove Liste posebnih obaveza, posebno uzimajući u obzir svaku jednostranu liberalizaciju i tekuće aktivnosti u okviru STO. Prvo takvo razmatranje će biti najkasnije u roku od tri godine nakon stupanja na snagu ovog Protokola.
2. U skladu sa stavom 1. redovna razmatranja nivoa liberalizacije uzimaće u obzir procenu stepena restriktivnosti mera koje utiču na trgovinu uslugama korišćenjem metodologija utvrđenih xx xxxxxx Svetske banke i Organizacije za ekonomsku saradnju i razvoj (OECD).
Član 21
Potkomitet za trgovinu uslugama
Potkomitet za trgovinu uslugama osnovan u skladu sa članom 41, stav 5. CEFTA 2006. olakšava sprovođenje i primenu ovog Protokola od CEFTA Strana.
Član 22
U skladu sa članom 47, stav 1. CEFTA 2006, ovaj Protokol je sastavni deo CEFTA Sporazuma 2006.
Član 23
Aneksi
Sledeći Aneksi čine sastavni deo ovog Protokola:
Aneks I - Privremeni ulazak i boravak fizičkih lica u poslovne svrhe; Aneks II - Regulatorni principi u oblasti telekomunikacija;
Aneks III - Konsolidovana Lista obaveza pristupa tržištu u trgovini uslugama CEFTA Strana.
Član 24 Stupanje na snagu
1. Ovaj Protokol podleže ratifikaciji, prihvatanju ili odobrenju, u skladu sa zahtevima predviđenim domaćim zakonodavstvom Strana. Instrumenti ratifikacije, prihvatanja ili odobravanja xxxx deponovani kod Depozitara.
2. Ovaj Protokol stupa na snagu tridesetog xxxx xxxxx deponovanja trećeg instrumenta ratifikacije, prihvatanja ili odobravanja.
3. Za svaku Stranu koja deponuje svoj instrument ratifikacije, prihvatanja ili odobravanja od datuma deponovanja trećeg instrumenta ratifikacije, prihvatanja ili odobravanja, ovaj Protokol stupa na snagu tridesetog xxxx od xxxx deponovanja njenog instrumenta ratifikacije, prihvatanja ili odobravanja.
4. Ukoliko njeni domaći propisi to dozvoljavaju, Strana može privremeno primenjivati ovaj Protokol dok ta Strana ne deponuje njen instrument ratifikacije, prihvatanja ili odobravanja saglasno stavu 2. Svaka privremena primena ovog Protokola xxxx dostavljena Depozitaru.
KAO POTVRDU TOGA, punomoćnici svih CEFTA Strana, na osnovu posebnih ovlašćenja, usvojili su ovaj Protokol.
Sačinjeno u Xxxxxx, xxxx 18. decembra 2019. godine, u jednom izvornom primerku na engleskom jeziku, koji će biti deponovan Depozitaru CEFTA 2006, koji će svim CEFTA Stranama dostaviti overene kopije.
ANEKS I
Privremeni ulazak i boravak fizičkih lica u poslovne svrhe
Ovaj Xxxxx se odnosi na mere Strana koje se odnose na privremeni ulazak i boravak na njihovim teritorijama ključnog osoblja, pripravnika, prodavaca poslovnih usluga, pružalaca ugovorenih usluga, nezavisnih stručnjaka i kratkotrajnih posetilaca u poslovne svrhe.
Odeljak I
Ključno osoblje, pripravnici, prodavci poslovnih usluga, pružaoci ugovornih usluga i nezavisni stručnjaci
1. U skladu sa ciljevima ovog Protokola, Strane se obavezuju da dozvole privremeni ulazak i boravak na svojoj teritoriji sledećim kategorijama fizičkih lica u skladu sa uslovima koji su navedeni ispod: (a) ključno osoblje; (b) pripravnici; (v) prodavci poslovnih usluga; (g) pružaoci ugovorenih usluga; i (d) nezavisni stručnjaci.
2. Za svaki sektor koji je liberalizovan skladu sa članom 4. ovog Protokola i koji je predmet bilo kakve rezere navedene u Aneksu III, Xxxxxx xx dozvoliti privremeni ulazak i boravak sledećim kategorijama fizičkih lica.
3. „Ključno osoblje“ označava fizička lica zaposlena unutar pravnog lica jedne ugovorne Strane, osim neprofitne organizacije, koja su odgovorna za osnivanje ili odgovarajuću kontrolu, upravljanje i rad neke ustanove.
Ključno osoblje obuhvata poslovne posetioce koji su odgovorni za osnivanje i unutarkorporativno premeštene osobe. Privremeni ulazak i boravak ključnog osoblja je dozvoljen u periodu od šest meseci u okviru bilo kog perioda od dvanaest meseci za poslovne posetioce; i tri godine, u prvom slučaju, za unutarkorporativno premeštene osobe. Privremeni ulazak i boravak za unutarkorporativno premeštene osobe se može produžiti do dve dodatne godine u ukupnom periodu ne dužem od pet xxxxxx.
(a) „Poslovni posetioci“ (PP) označavaju fizička xxxx xxxx xxxx na višem položaju unutar pravnog xxxx xxxx su odgovorna za osnivanje neke ustanove. Ona ne učestvuju u direktnim transakcijama sa javnošću i ne primaju naknadu od izvora koji se nalazi u okviru Strane domaćina; i
(b) „Unutarkorporativno premeštene osobe“ (UKP) označavaju fizička xxxx xxxx su zaposlena kod pravnog lica jedne Strane, ili su bila partneri u istom najmanje godinu xxxx i xxxx xx privremeno premešteni u neku ustanovu (uključujući povezana preduzeća, filijale ili ogranke) na teritoriji druge Strane. Fizička lica pripadaju jednoj od sledećih kategorija:
(iii) Direktori su fizička xxxx xxxx xxxx na višem položaju unutar pravnog lica, sprovode opšti nadzor ili pravac poslovanja, koji pre svega rukovode upravljanjem jedinice, uključujući:
(a) usmeravanje ustanove, ili njenog odeljenja ili odseka;
(b) nadzor i kontrolu rada drugih zaposlenih: nadzornika, stručnjaka ili rukovodilaca;
(v) ovlašćenje da lično zapošljavaju i otpuštaju ili preporučuju zapošljavanje, otpuštanje ili druge kadrovske poslove.
(iv) Specijalisti su fizička xxxx xxxx xxxx u okviru pravnog lica: koji poseduju specijalizovana znanja bitna za rad ustanove, sposobnostima istraživanja, tehnički obučeni ili poseduju veštine rukovođenja. U proceni takvog znanja, u obzir će se uzeti ne samo znanja usko vezana za ustanovu, već i to da xx xxxxx ima visok nivo
osposobljenosti u odnosu na vrstu posla ili delatnosti koja zahteva posebno stručno znanje, uključujući članstvo u akreditovanoj profesiji.
4. „Pripravnici“ označavaju fizička xxxx xxxx su zaposlena xx xxxxxx pravnog xxxx Xxxxxx najmanje jednu godinu, koja poseduju visoku stručnu spremu i koja su privremeno premeštena u neku ustanovu na teritoriji druge Strane, u cilju razvoja karijere ili obuke u poslovnim tehnikama i metodama. Od ustanove primaoca može se tražiti da dostavi program obuke xxxx xxxxxxx trajanje boravka na prethodno odobrenje, što pokazuje da svrha boravka obuka koja odgovara nivou univerzitetskog stepena.
Privremeni ulazak i boravak za pripravnike će biti dozvoljen u trajanju do jedne godine.
5. „Prodavci poslovnih usluga” (PPU) označavaju fizička xxxx xxxx su predstavnici pružaoca usluga Strane koja traži privremeni ulazak na teritoriju druge Strane radi pregovora o prodaji usluga ili robe ili sklapanja ugovora o prodaji usluga za tog pružaoca usluga. Ona ne učestvuju u direktnim transakcijama za javnost i ne primaju naknadu od izvora koji se nalazi u okviru Strane domaćina.
Privremeni ulazak i boravak za prodavce poslovnih usluga je dozvoljen do šest meseci u okviru bilo kog perioda od dvanaest meseci.
6. „Pružaoci ugovorenih usluga” (PUU) označavaju fizička lica zaposlena kod pravnog xxxx Xxxxxx koja nema ustanovu na teritoriji Druge strane i xxxx xx zaključila dobronameran ugovor o isporuci usluga sa korisnikom druge Strane, zahtevajući prisustvo svojih zaposlenih na privremenoj osnovi u toj Strani u cilju ispunjenja ugovora o pružanju usluga. Pomenuti ugovor o uslugama xxxx biti u skladu sa zakonima, propisima i zahtevima Strane u kojoj se ugovor izvršava.
Pružaoci ugovorenih usluga xxxxxx xx dozvoljen privremen ulazak i boravak u Strani kako bi pružala usluge u toj Strani podležu xxxx navedenim uslovima:
(a) Fizička lica moraju biti angažovana u pružanju usluga na privremenoj osnovi kao zaposleni u pravnom licu koje je dobilo ugovor o uslugama u drugoj Strani.
(b) Fizička xxxx xxxxx da imaju najmanje dve godine iskustva u određenom sektoru delatnosti xxxx xx predmet ugovora o uslugama.
(v) Fizička lica moraju imati profesionalne kvalifikacije koje su potrebne za obavljanje delatnosti u skladu sa zakonima, propisima ili zahtevima Strane gde se pruža usluga.
(g) Fizička lica ne primaju naknadu za pružanje usluga osim naknade koju im plaćaju njihovi poslodavci tokom njihovog boravka u drugoj Strani.
(d) Privremeni ulazak i boravak fizičkih lica u okviru druge Strane trajaće ne duže od šest meseci u bilo kom periodu od dvanaest meseci ili za vreme trajanja ugovora o uslugama, koji god je kraći.
(đ) Broj lica obuhvaćenih ugovorom o uslugama ne sme biti veći nego što je potrebno da se izvrši ugovor, u skladu sa zakonima, propisima i uslovima Strane gde je usluga pružena.
7. „Nezavisni stručnjaci” (NS) označavaju fizička xxxx xxxx se bave pružanjem usluge i koja su registrovana kao samozaposlena na teritoriji Strane, koja su zaključila dobronameran ugovor o isporuci usluga sa korisnikom u drugoj Strani, koji zahteva njihovo prisustvo na privremenoj osnovi u toj drugoj Strani sa ciljem izvršenja ugovora za pružanje usluga.
Nezavisni stručnjaci xxxxxx xx dozvoljen privremeni ulazak i boravak u Strani sa ciljem isporuke usluga u toj Strani podležu xxxx navedenim uslovima:
(a) Fizička lica moraju biti angažovana u pružanju usluga na privremenoj osnovi kao samozaposlena xxxx xxxx su registrovana u drugoj Strani i koja moraju imati ugovor o uslugama za period ne duži od dvanaest meseci.
(b) Fizička lica moraju imati, na xxx podnošenja zahteva za ulazak u Stranu, najmanje tri godine profesionalnog iskustva u sektoru xxxx xx predmet ugovora o uslugama.
(v) Fizička lica moraju imati profesionalne kvalifikacije koje su potrebne za obavljanje delatnosti u skladu sa zakonima, propisima ili zahtevima Strane gde se pruža usluga.
(g) Privremeni ulazak i boravak fizičkih lica u Strani će trajati ne duže od šest meseci u bilo kom periodu od dvanaest meseci ili za vreme trajanja ugovora o uslugama, koji god je kraći.
8. Strana ne sme održavati ili usvajati bilo kakva ograničenja za ukupan broj fizičkih lica koje pravno lice iz druge Strane može da premesti kao ključno osoblje ili pripravnike u određeni sektor u obliku numeričkih kvota, ili uslov za ispitivanje ekonomskih potreba ili ispitivanje tržišta rada ili bilo kakva diskriminatorska ograničenja. Strana ne sme zahtevati da ustanova imenuje na pozicije visokih rukovodilaca fizička lica neke posebne nacionalnosti.
Odeljak II
Kratkotrajni posetioci u poslovne svrhe
1. Xxxxxx xx olakšati, u skladu sa svojim odgovarajućim zakonodavstvom, privremeni ulazak i boravak na njihovim teritorijama kratkotrajnim posetiocima u poslovne svrhe bilo koje druge Strane u cilju obavljanja sledećih aktivnosti:
(a) Istraživanje i dizajn: Tehnički, naučni i statistički istraživači u ime pravnog lica osnovanog na teritoriji druge Strane;
(b) Istraživanje tržišta: Osoblje koje sprovodi istraživanje ili analizu, uključujući istraživanje tržišta, u ime pravnog lica osnovanog na teritoriji druge Strane;
(v) Kursevi obuke: Osoblje jednog pravnog lica u Strani koje ulazi na teritoriju druge Strane u cilju obučavanja tehnikama i radnom praksom zaposlenih kod pravnih lica ili organizacija u toj Strani, pod uslovom da je obučavanje ograničeno na posmatranje, upoznavanje i samu nastavu u učionici;
(g) Xxxxxxx i izložbe: Osoblje koje učestvuje na sajmu u cilju promocije svog pravnog lica ili njegovih proizvoda ili usluga u drugoj Strani;
(d) Prodaja: Predstavnici i agenti prodaje koji primaju narudžbine ili ugovaranja za robu za pravno lice koje se nalazi na teritoriji xxxx xxxxx xxxxxx, xxx koji ne isporučuju robu;
(đ) Kupovina: Kupci koji kupuju za pravno lice ili rukovodioci i nadzorno osoblje angažovano u komercijalnim poslovima koji se vrše na teritoriji druge Strane.
(e) Sastanci i konsultacije: Fizička xxxx xxxx prisustvuju sastancima ili konferencijama ili se bave konsultacijama sa poslovnim saradnicima.
2. Licima koja se bave aktivnostima navedenim u stavu 1 može se odobriti privremeni ulazak i boravak u Strani, kao kratkotrajnim posetiocima u poslovne svrhe, pod uslovom da: (i) se ne bave prodajom svoje robe ili usluga široj javnosti ili sopstvenom isporukom robe ili usluga;
(ii) u svoje ime, ne dobijaju nikakvu naknadu od izvora koji se nalazi unutar Strane u kojoj
borave privremeno; i (iii) nisu angažovana u pružanju usluga u okviru ugovora koji je zaključen između pravnog lica koje nema komercijalnu prisutnost u Strani gde kratkotrajni posetioci u poslovne svrhe privremeno borave i korisnika u toj Strani.
3. Privremeni ulazak i boravak kratkotrajnih posetilaca u poslovne svrhe na teritoriji ugovornih Strana, xxxx xx to dozvoljeno, trajaće do šest meseci u bilo kom periodu od dvanaest meseci.
ANEKS II
Regulatorni principi u oblasti telekomunikacija
Slede definicije i principi regulatornog okvira za telekomunikacione mreže i usluge.
Definicije
„Telekomunikacije“ podrazumeva prenos i prijem signala preko bilo kojeg elektromagnetnog sredstva.
„Javne usluge telekomunikacionog prenosa“ označava bilo koju uslugu telekomunikacionog prenosa za koje Strana zahteva, eksplicitno ili u praksi, da se ponude široj javnosti. Takve usluge mogu da uključe, između ostalog, telegraf, telefon, teleks i prenos podataka obično prenos informacija, u realnom vremenu, koje pruža potrošač, između dve ili više tačaka, a bez bilo kakve promene oblika i sadržaja informacije xx xxxxx ulaska do xxxxx izlaska.
„Javna prenosna telekomunikaciona mreža“ označava javnu telekomunikacionu infrastrukturu kojom se omogućava telekomunikacija između i unutar određenih izlaznih tačaka mreže.

„Glavni pružalac“ označava pružaoca koja ima mogućnost da značajno utiče na uslove učešća (imajući u vidu cenu i isporuku) na relevantnom tržištu za telekomunikacione mreže i usluge kao rezultat: (a) kontrole nad osnovnim objektima; ili (b) korišćenja svog položaja na tržištu.
1. Zaštita konkurencije
Prevencija antikonkurentne prakse u oblasti telekomunikacija
Odgovarajuće mere će se održavati ili usvojiti u svrhu sprečavanja pružalaca koji, sami ili zajedno, predstavljaju glavnog pružaoca da se uključi ili nastavi sa antikonkurentnom praksom. Ova antikonkurentna praksa posebno uključuje:
(a) angažovanje u antikonkurentnom unakrsnom subvencionisanju;
(b) korišćenje informacija dobijenih od takmičara sa antikonkurentnim rezultatima; i
(v) nestavljanje na raspolaganje drugim pružaocima usluga pravovremenih tehničkih informacija o osnovnim objektima i komercijalno relevantnim informacijama koje su potrebne za njihovo pružanje usluga.
2. Interkonekcija
2.1 Interkonekcija se odnosi na povezivanje sa pružaocima koji pružaju javnu prenosnu telekomunikacionu mrežu ili uslugu kako bi omogućili korisnicima jednog pružaoca da komuniciraju sa korisnicima drugog pružaoca i pristupe uslugama koje pruža drugi pružalac, kada se preuzimaju posebne obaveze.
2.2 Interkonekcije koje je potrebno obezbediti
Interkonekcija sa glavnim pružaocem usluga se obezbeđuje na bilo kojem tehnički izvodljivom položaju mreže. Takva interkonekcija se obezbeđuje1:
(a) po nediskriminatornim uslovima (uključujući tehničke standarde i specifikacije) i stopama i sa kvalitetom koji xx xxxxx manje povoljan od onog koji se pruža za slične sopstvene usluge ili za slične usluge nepovezanih pružaoca usluga ili za njegove filijale ili druga povezana preduzeća;2
(b) blagovremeno, pod uslovima (uključujući tehničke standarde i specifikacije) i stopama orijentisanim na troškove koji su transparentni, razumni, imajući u vidu ekonomsku izvodljivost, i dovoljno jasni, tako da pružalac ne xxxx xx xxxxx za mrežne komponente ili objekte koji mu nisu neophodni za uslugu koju treba pružiti; i
(v) na zahtev, na mestima pored krajnjih tačaka mreže koje se nude većini korisnika, u skladu sa naknadama koje odražavaju troškove izgradnje potrebnih dodatnih objekata.
2.3 Javna dostupnost procedura za pregovore o interkonekciji
Važeće procedure za interkonekciju sa glavnim pružaocem moraju biti dostupne javnosti.
2.4 Transparentnost aranžmana o interkonekciji
Svaka Strana treba da obezbedi da glavni pružalac učini javno dostupnim ili svoje sporazume o interkonekciji ili referentnu ponudu za interkonekciju.
2.5 Interkonekcija: rešavanje sporova
Pružalac usluge koji zahteva interkonekciju sa glavnim pružaocem ima pravo, ili:
(a) u bilo koje vreme; ili
(b) nakon razumnog vremenskog perioda koji je javno objavljen nezavisnom domaćem organu, xxxx xxxx biti regulatorno telo iz 5. stava, da rešava sporove u vezi sa odgovarajućim uslovima i stopama za povezivanje u razumnom vremenskom periodu, u meri u kojoj isti nisu prethodno utvrđeni.
1 Pružaoci usluga ili mreža koji generalno nisu dostupni široj javnosti, kao što su zatvorene xxxxx korisnika, imaju garantovana prava da se povežu sa javnom prenosnom telekomunikacionom mrežom ili uslugama pod uslovima i stopama koje su antidiskriminatorne, transparentne i orijentisane na troškove. Takvi uslovi i stope mogu, međutim, da variraju od uslova i xxxxx xxxx xxxx za interkonekciju između javnih telekomunikacionih mreža i usluga.
2 Drugačiji uslovi i stope se mogu utvrditi za različite operatere u različitim tržišnim segmentima, na osnovu antidiskriminatornih i transparentnih odredaba za licenciranje, gde takve razlike mogu biti objektivno opravdane jer se ove usluge ne smatraju „sličnim uslugama“.
3. Univerzalna usluga
Svaka Strana ima pravo da definiše vrstu obaveze univerzalne usluge koju želi da održava. Takve obaveze se ne smatraju antikonkurentnim same po sebi, pod uslovom da se primenjuju na transparentan, nediskriminatoran i konkurentski neutralan način i da ne predstavljaju veći teret nego što je neophodno za vrstu univerzalne usluge koju odredi Strana.
4. Javna dostupnost kriterijuma za licenciranje
Gde je potrebna licenca, xxxx javno dostupno sledeće:
(a) svi kriterijumi za izdavanje dozvola (licenciranje) i vremenski period koji je obično potreban za postizanje odluke o zahtevu za izdavanje dozvole; i
(b) uslovi za pojedinačne licence.
Razlozi za uskraćivanje licence pružaju se podnosiocu zahteva na osnovu zahteva.
5. Nezavisni regulatori
Regulatorno telo u svakoj Strani treba da bude odvojeno od, i ne odgovara za, bilo kog pružaoca telekomunikacionih mreža i usluga. Odluke, kao i procedure koje koriste regulatori xxxxx xx xxxx nepristrasne u odnosu na sve učesnike na tržištu.
6. Raspodela i korišćenje ograničenih resursa
Bilo kakve procedure za dodelu i korišćenje ograničenih resursa, uključujući i frekvencije, brojeve i prednost, vrše se na objektivan, blagovremen, transparentan i nediskriminatoran način. Trenutno stanje dodeljenih frekventnih opsega xxxx biti dostupno javnosti, ali detaljna identifikacija dodeljenih frekvencija za posebne namene Vlade nije potrebna.
KONSOLIDOVANA LISTA OBAVEZA PRISTUPA TRŽIŠTU U OBLASTI TRGOVINE USLUGAMA CEFTA STRANA OBJAŠNjENjA
Ova „Konsolidovana lista obaveza pristupa tržištu u oblasti trgovine uslugama CEFTA Strana“ je zasnovana na Centralnoj listi klasifikacije (CPC) proizvoda Ujedinjenih nacija koja se u Svetskoj trgovinskoj organizaciji koristi u pregovorima u oblasti usluga, i takođe uključuje i neke usluge opisane u CPC verz. 2 (Publikacija Ujedinjenih nacija ST/ESA/STAT/SER.M/77/Ver.2).
Ova Xxxxx xx u skladu sa praksom GATS lista i pokazuje samo one uslužne delatnosti u kojima Strane preduzimaju obaveze. U vezi sa obavezama pristupanja tržištu i nacionalnog tretmana, u Listi su navedeni sledeći različiti Načini pružanja usluga:
Način 1: sa teritorije jedne Strane na teritoriju xxxx xxxxx Xxxxxx;
Način 2: na teritoriji jedne Strane korisniku usluga bilo koje druge Strane;
Način 3: putem komercijalnog prisustva subjekta jedne Xxxxxx xxxx pružaju usluge na teritoriji xxxx xxxxx Xxxxxx; Način 4: xx xxxxxx fizičkih lica jedne Xxxxxx, xxxx pružaju usluge i prisutni su na teritoriji xxxx xxxxx Xxxxxx.
Kada sve Strane CEFTA 2006 preuzmu obaveze, to xx x Xxxxx naglašava oznakom „Sve CEFTA Strane“. U suprotnom, obaveze Strana pojedinačno označene su skraćenicama navedenim u nastavku, prema redosledu u preambuli CEFTA 2006, ali isključujući strane koje su se povukle iz Sporazuma u skladu sa članom 51:

1. Sticanje zemljišta i nekretnina
CI – Fizička i pravna xxxx xxxx koje xxxxx Xxxxxx ne mogu sticati prirodne resurse i poljoprivredno zemljište, državne šume i šumsko ili pogranično zemljište, i vojne oblasti u CI. Fizička i pravna xxxx xxxx koje xxxxx Xxxxxx imaju pravo da kupuju nepoljoprivredno zemljište u državnom vlasništvu, pod uslovom da je vrednost investicija na određenom zemljištu tri puta veća od vrednosti nepoljoprivrednog zemljišta u CI.
CII – Fizička i pravna xxxx xxxx koje xxxxx Xxxxxx ne mogu sticati ni posedovati nekretnine u CII, osim pod uslovima reciprociteta i ukoliko se stečena imovina koristi za pružanje usluga. Fizička ili pravna xxxx xxxxx Xxxxxx ne mogu posedovati poljoprivredno zemljište.
CIII – Fizičko ili pravno lice druge Strane može pod uslovima reciprociteta sticati pravo svojine za xxxx, zgradu i poslovni prostor, kao i pravo vlasništva ili dugoročnog zakupa nad građevinskim zemljištem na teritoriji CIII. Fizičko ili pravno lice druge Strane može, pod uslovima reciprociteta sticati pravo dugoročnog zakupa poljoprivrednog zemljišta na teritoriji CIII. Dugoročni zakup ne može biti duži od 99 xxxxxx. Svako sticanje xxxx biti odobreno xx xxxxxx nadležnog ministarstava.
CIV – Dozvoljen je zakup zemljišta koji ne prelazi 99 xxxxxx. Fizička ili pravna xxxx xxxxx Xxxxxx mogu da kupuju zemlju, osim poljoprivrednog i šumskog zemljišta.
CV – Fizička i pravna xxxx xxxxx Xxxxxx mogu posedovati nekretnine u CV, osim obradivog zemljišta i nekretnina u okviru ograničenih oblasti.
CVI – Fizička i pravna xxxx xxxxx Xxxxxx ne mogu biti vlasnici poljoprivrednog zemljišta. Fizička i pravna xxxx xxxx koje xxxxx Xxxxxx ne mogu sticati ni posedovati nekretnine u CVI osim pod uslovima reciprociteta i ukoliko se stečena imovina koristi za pružanje usluga. Zakup zemljišta ne može biti duži od 99 xxxxxx.
CVII – Fizička i pravna xxxx xxxxx Xxxxxx mogu sticati prava nad nekretninama, osim ako nije drugačije predviđeno zakonom (nediskriminatorna ograničenja). Ograničenja se odnose na poljoprivredno i šumsko zemljište.
2. Kretanja kapitala
CIII – CIII zadržava pravo da održi ograničenja u pogledu poslova rezidentnog depozita, i poslova rezidentnog kapitala koji se odnosi na investicije u nekretnine i hartije od vrednosti u inostranstvu.
3. Registracija kompanija
Sve CEFTA Strane – Predstavništvo xx xxx kompanije bez svojstva pravnog lica. Ova predstavništva samo se bave istraživanjem tržišta, promotivnim ili reprezentativnim poslovima. Ona se ne mogu baviti komercijalnim poslovima.
CII – U oblasti medija (televizija, radio, novine), trgovine i proizvodnje naoružanja, eksploziva, vojne opreme, procenat stranog kapitala ne sme biti veći od 49 procenata.
CVI - Fizičko ili pravno lice bilo koje druge Strane ne može imati većinsko vlasništvo u preduzećima koja se bave prometom naoružanja i municije, ili u preduzećima koja su osnovana u ograničenim oblastima (kao što su pogranična zona, nacionalni parkovi, vojne oblasti) i moraju imati dozvolu nadležnog ministarstva za investicije u takvim slučajevima. Fizička ili pravna xxxx xxxx koje xxxxx Xxxxxx mogu osnovati ili ulagati u takvu kompaniju samo sa domaćim licem uz ispunjavanje pomenutog zahteva.
4. Komunalne usluge
Sve CEFTA Strane:
Komunalne usluge na nacionalnom ili lokalnom nivou mogu biti predmet javnih monopola ili ekskluzivnih prava koja se dodeljuju privatnim subjektima. One mogu postojati u sledećim oblastima: energetske usluge; voda; usluge javnog prevoza i pomoćne usluge za sve vidove transporta; naučne i tehničke konsultantske usluge; usluge istraživanja i razvoja u društvenim i humanističkim naukama; tehnička ispitivanja i usluge analiza; ekološke usluge; usluge javnog zdravlja i javne socijalne usluge; komunikacijske usluge i usluge javnog obrazovanja. Ekskluzivna prava na ovakve usluge mogu se dodeliti nacionalnim ili lokalnim privatnim subjektima na preferencijalnoj osnovi.
5. Prisustvo fizičkih lica
Ne obavezujemo se, osim u slučaju mera koje se odnose na ulaz i privremeni boravak fizičkih xxxx xxxx pružaju usluge: ključno osoblje (poslovni posetioci, unutarkorporativne premeštene osobe); pripravnici; prodavci poslovnih usluga; dobavljači ugovorenih usluga; nezavisni stručnjaci; i kratkoročni posetioci u poslovne svrhe, u skladu sa odredbama Aneksa 1 Dodatnog protokola 6 o trgovini uslugama.
CV – U cilju implementacije svojih obaveza u skladu sa Aneksom 1, CV ne može da se poziva na svoja prava i obaveze tokom prelaznog perioda od 18 (osamnaest) meseci od xxxx stupanja na snagu ovog Protokola za CV. Za vreme ovog prelaznog perioda CV će produžiti sledeće obaveze o prisustvu fizičkih lica za sve CEFTA Strane na bazi reciprociteta.
CV se obavezuje da dozvoli privremeni ulazak i boravak na svojoj teritoriji za sledeće kategorije fizičkih lica:
(i) unutarkorporativni premeštaji (UKP)
Ulazak i boravak do najviše tri godine xxxx omogućen licima premeštenim u okviru korporacije i njenim predstavništvima i filijalama koja:
(a) su zaposlena kod pravnog lica osnovanog u nekoj drugoj Strani najmanje godinu xxxx neposredno pre datuma prijema;
(b) su privremeno premeštena u cilju pružanja usluga u CV u filijalu koja pruža usluge u CV; i
(v) su direktori, rukovodioci ili specijalisti, prema definiciji u nastavku.
Direktori: su xxxx xxxx xxxx na višem položaju koja prvenstveno rukovode organizacijom, uključujući: (a) rukovođenje organizacijom ili odeljenjem ili odsekom organizacije; (b) nadzor i kontrola rada drugih nadzornika, stručnjaka ili upravnika; (v) ovlašćenje da lično zapošljava i otpušta ili preporuči zapošljavanja ili otpuštanje ili druge kadrovske poslove (kao što su izdavanje i oduzimanje dozvole), i vrši diskreciono pravo nad svakodnevnim poslovima. Ne obuhvata prvostepene supervizore osim ako su nadzornici profesionalci, niti obuhvata zaposlene koji prvenstveno obavljaju poslove neophodne za pružanje usluge. Ekonomske potrebe xx xxxx procenjivati.
Rukovodioci: su lica u okviru pravnog lica, koja prvenstveno obavljaju poslove upravljanja organizacijom, uspostavljanjem organizacionih ciljeva i politike, ostvaruju veliku slobodu u odlučivanju, primaju samo opšta uputstva ili pravce od viših rukovodioca, odbora direktora ili akcionara. Rukovodioci ne obavljaju direktno poslove u vezi sa stvarnim pružanjem usluga ili uslugom. Ekonomske potrebe xx xxxx procenjivati.
Specijalisti: su xxxx xxxx poseduju posebna znanja neophodna za usluge organizacije, istraživanje opreme, tehnike ili upravljanja. U proceni takvog znanja, u obzir će se uzeti ne samo znanja usko vezana za organizaciju, već i da xx xxxxx ima visok nivo osposobljenosti u odnosu na vrstu posla ili trgovine koja zahteva posebno stručno znanje, uključujući i članstvo i akreditaciju profesionalnog udruženja. Ekonomske potrebe xx xxxx procenjivati.
(ii) poslovni posetioci (PP)
Ulazak i privremeni boravak sledećih kategorija je dozvoljen bez procene ekonomskih potreba za period do 90 xxxx x xxxx kojih dvanaest meseci:
(a) prodavcima usluga – xxxx xxxx ne xxxx u CV xxxx xx predstavnici pružaoca usluga i traže privremeni ulazak radi pregovaranja i ugovaranja u prodaji usluga, ali nisu uključeni u direktnoj prodaji široj javnosti ili u pružanju samih usluga; i
(b) licima odgovornim za uspostavljanje komercijalne prisutnosti - menadžeri koji su odgovorni za uspostavljanje u CV komercijalnog prisustva pružaoca usluge druge Strane i koji nisu uključeni u obavljanje direktne prodaje ili u pružanju usluga. Kada pružalac usluga nema drugo komercijalno prisustvo u CV.
(iii) ugovorni pružaoci usluge (UPU)
Pristup će biti odobren fizičkim licima koja se bave pružanjem usluga na privremenoj osnovi, kao zaposleni pravnog lica koje nije komercijalno prisutno u CV, pod sledećim uslovima:
(a) Pravno lice poseduje ugovor o uslugama u periodu do dvanaest meseci od krajnjeg korisnika u CV, kroz xxxxxxxx xxxx garantuje dobronamerni ugovor;
(b) ugovor o uslugama je u skladu sa zakonima CV;
(v) fizičko lice koje traži pristup u pružanju takvih usluga, kao zaposleni u pravnom licu koje pruža usluge najmanje godinu xxxx neposredno pre takvog prijema;
(g) privremeni ulazak i boravak xxxx za ukupan period ne duži od 90 xxxx x xxxx kojih dvanaest meseci ili za vreme trajanja ugovora, ukoliko xx xxxxx;
(d) fizičko lice xxxx imati: (a) univerzitetsku diplomu ili tehničke kvalifikacije koje pokazuju isti nivo znanja1. (b) profesionalne kvalifikacije koje su potrebne za obavljanje delatnosti u struci u skladu sa zakonima, propisima ili zahtevima CV; i (v) najmanje tri godine profesionalnog iskustva u struci;
(đ) obaveza se odnosi samo na uslužnu delatnost xxxx xx predmet ugovora; ne daje se pravo usavršavanja stručnog zvanja u CV;
(e) broj osoba obuhvaćenih ugovora o uslugama ne može biti veći nego što je potrebno za izvršenje ugovora; (ž) ekonomske potrebe xx xxxx procenjivati; i
(z) ugovor o uslugama može se dobiti u jednoj xx xxxx navedenih delatnosti:

Računovodstvene i knjigovodstvene usluge;
Arhitektonske usluge, usluge urbanističkog planiranja i pejzažne arhitekture;
