Definizione di Extraordinary Event

Extraordinary Event with respect to a Share means:
Extraordinary Event means, in respect of a Share, a Merger Event, a Tender Offer, a Nationalisation, a Delisting or an Insolvency.
Extraordinary Event means an Index Adjustment Event.

Examples of Extraordinary Event in a sentence

  • The Certificates may also be redeemed early on occurrence of an Additional Disruption Event, an Optional Additional Disruption Event, an Extraordinary Event, a Potential Adjustment Event or if performance of the Issuer's obligations under the Securities becomes illegal, or becomes illegal or impractical by reason of force majeure or act of state.

  • Upon the occurrence of an Extraordinary Event, the Issuer may also freely elect to terminate the Certificates prematurely instead of making an Adjustment.

  • If an Adjustment would not be sufficient to preserve the economic profile of the Certificates prior to the occurrence of the Extraordinary Event, the Issuer shall terminate the Certificates according to paragraph 1 prematurely; the Issuer shall decide in its reasonable discretion (billiges Ermessen) (§ 315 German Civil Code (BGB)) whether this is the case.

  • Upon the occurrence or likely occurrence of an Extraordinary Event or a Disruption Event, the Put Notices or the exercise by the Issuer of its right of optional redemption relating to an Optional Redemption Date with an Optional Redemption Cut-Off Date falling after the date of such occurrence shall be null and void.

  • In the event of an Extraordinary Event the Issuer may redeem all, or some only, of the Certificates then outstanding at the Early Redemption Amount together, if appropriate, with interest accrued to (but excluding) the date of redemption upon the Issuer having given not less than 5 Business Days' notice to the Certificateholders in accordance with §12; and not less than 7 Business Days before the giving of such notice, notice to the Fiscal Agent (unless the Fiscal Agent acts as Calculation Agent).

  • The Calculation Agent may (but need not) determine the appropriate adjustment by reference to the adjustment in respect of the relevant Extraordinary Event made by any options exchange to options on the Shares traded on that options exchange.

  • The Certificates may also be redeemed early on occurrence of an Additional Element Title Disruption Event, an Optional Additional Disruption Event, an Extraordinary Event, a Potential Adjustment Event or if performance of the Issuer's obligations under the Securities becomes illegal, or becomes illegal or impractical by reason of force majeure or act of state.

  • Such substitution and the relevant adjustment to the Basket of Shares will be deemed to be effective as of the date selected by the Calculation Agent (the "Substitution Date") in its sole and absolute discretion and specified in the notice referred to below which may, but need not, be the relevant Extraordinary Event Effective Date.
