GENERAL TERMS AND CONDITIONS OF THE BUSINESS LOAN AGREEMENT
1. BENDROSIOS NUOSTATOS 1. GENERAL PROVISIONS
1.1. Šios UAB „Bendras finansavimas“, juridinio asmens kodas: 303259527, adresas: Xxxxxx x. 36A, Vilnius, Lietuvos Respublika („SAVY“ arba
„Bendrovė“ arba „Organizatorius“) Paskolos sutarties verslui bendrosios sąlygos („Bendrosios sąlygos“) apima bendrąsias sąlygas ir nuostatas, kurios yra taikomos Paskolos gavėjui - juridiniam asmeniui ir/ar verslu užsiimančiam fiziniam asmeniui, - kuris sudarė Paskolos sutartį („Paskolos sutartis“) su Bendrove, be kita ko, sutelktinio finansavimo būdu.
1.1. These General Terms and Conditions of the Business Loan Agreement concluded between Bendras finansavimas UAB, legal entity registration number: 303259527, address: Latvių
g. 36A, Vilnius, Republic of Lithuania (“SAVY” or the “Company” or the “Organiser”) and a legal person (General Terms and Conditions) shall include the general terms and conditions and the provisions applicable to the Recipient of the Loan,
i.e. legal person and/or natural person engaged in business, who concluded the Loan Agreement (Loan Agreement) with the Company, inter alia, by means of crowdfunding.
1.2. Šios Bendrosios sąlygos yra neatskiriama verslo Paskolos sutarties bei Specialiųjų Sąlygų dalis.
1.2. These General Conditions shall constitute an integral part of the business Loan Agreement and the Special Terms and Conditions.
2. SĄVOKOS 2. DEFINITIONS
2.1. Audito institucijos - Lietuvos Respublikos valstybės kontrolė, Lietuvos Respublikos ekonomikos ir inovacijų ministerija, Lietuvos Respublikos finansų ministerija, UAB ILTE, Finansinių nusikaltimų tyrimo tarnyba prie Vidaus reikalų ministerijos, Lietuvos Respublikos specialiųjų tyrimų tarnyba, Lietuvos Respublikos konkurencijos taryba, kiti nacionaliniai ar Europos Sąjungos subjektai, turintys teisę tikrinti, kaip panaudojamos UAB ILTE fondo lėšos;
2.1. “Audit Authorities” shall mean the State Control of the Republic of Lithuania, the Ministry of the Economy and Innovation of the Republic of Lithuania, the Ministry of Finance of the Republic of Lithuania, UAB ILTE, the Financial Crimes Investigation Service under the Ministry of Internal Affairs, the Special Investigation Service of the Republic of Lithuania, the Competition Council of the Republic of Lithuania, other national or European Union entities that have the right to inspect how the funds of the UAB ILTE fund are used.
2.2. Avietė – UAB ILTE finansų inžinerijos priemonė
„Sutelktinės paskolos „Avietė“;
2.2. “Avietė” shall mean the financial engineering instrument “Crowdfunded Loans Avietė” implemented by UAB ILTE;
2.3. Bendrosios sąlygos – tai yra šis dokumentas;
2.3. “General Terms and Conditions” shall mean this document;
2.4. Bendrovė arba SAVY arba Organizatorius – tai yra UAB „Bendras finansavimas“, juridinio asmens kodas 303259527, buveinės adresas Latvių g. 36A, Vilnius, Lietuvos Respublika;
2.4. “Company” or “SAVY” or “Organiser” shall mean Bendras finansavimas UAB, legal entity registration numbers 303259527, address of the registered office Latvių g. 00X, Xxxxxxx, Xxxxxxxx xx Xxxxxxxxx;
2.5. CK – tai yra Lietuvos Respublikos civilinis kodeksas;
2.5. “CC” shall mean the Civil Code of the Republic of Lithuania;
2.6. Delspinigiai – tai yra Specialiosiose Sąlygose nustatyto dydžio netesybos, kurias Paskolos
2.6. “Default Interest” shall mean the penalties at the rate set forth in the Special Terms and

Conditions which shall be paid by the Recipient of the Loan for delayed payment of instalments, calculated for each day of delay till the date of full settlement of accounts;
2.7. Interneto svetainė – tai yra SAVY interneto svetainė adresu xxx.xxxxxx.xxx ir / ar xxx.xxxx.xx;
2.7. “Website ” shall mean the website of SAVY at xxx.xxxxxx.xxx and/or xxx.xxxx.xx;
2.8. Mėnesinis tarpininkavimo mokestis – tai yra Specialiosiose sąlygose nurodytas mėnesinis tarpininkavimo mokestis, kurį Paskolos gavėjas moka Organizatoriui už suteiktas tarpininkavimo ir administravimo paslaugas iki visiško įsipareigojimų pagal Paskolos sutartį įvykdymo. Mėnesinio tarpininkavimo mokesčio dydis priklauso nuo likusios nesumokėtos Paskolos sumos ir kitų individualių tarp Organizatoriaus ir Xxxxxxxx gavėjo sutartų individualių sąlygų;
2.8. “Monthly Management Fee” shall mean the monthly management fee specified in the Special Terms and Conditions, which shall be paid by the Recipient of the Loan to the Organiser for the management and administrative services provided until full performance of the obligations under the Loan Agreement. The amount of the Monthly Management Fee shall depend on the remaining outstanding Loan amount and other individual terms and conditions agreed between the Organiser and the Recipient of the Loan;
2.9. Naudotojo sąskaita – tai yra Xxxxxxxxx vardu atidaryta sąskaitą kredito įstaigoje ar elektroninių pinigų įstaigoje;
2.9. “User Account” shall mean an account opened at a credit institution or electronic money institution in the name of the User;
2.10. Naudojimosi sutartis – tai yra SAVY administruojamos Platformos naudojimosi sutartis, kurioje yra nustatytos Platformos naudojimosi bei Bendrovės teikiamų paslaugų sąlygos;
2.10. “Use Agreement” shall mean the Website Use Agreement for the website administered by SAVY which shall set out the terms and conditions of use of the Website and the services provided by the Company;
2.11. Naudotojas – tai yra Platformoje užsiregistravęs ir su Naudojimosi sutartimi sutikęs fizinis ar juridinis asmuo, kuris yra Paskolos gavėjas ir / ar Paskolos davėjas;
2.11. “User” shall mean a natural or legal person who has registered on the Platform and has agreed to the Use Agreement and is the Recipient of the Loan and/or Lender;
2.12. Palūkanos – tai yra palūkanos, kurias Paskolos gavėjas moka už naudojimąsi Paskola, kurių dydis nustatomas Specialiosiose sąlygose;
2.12. “Interest” shall mean the interest paid by the Recipient of the Loan for the use of the Loan the rate of which shall be set in the Special Terms and Conditions;
2.13. Paraiška (Oferta) – tai yra Platformoje Paskolos gavėjo pateiktas ir Organizatoriaus patvirtintas viešas siūlymas sudaryti Paskolos sutartį;
2.13. “Application (Offer)” shall mean a public proposal to conclude a Loan Agreement put forward by the Recipient of the Loan and approved by the Organiser on the Platform;
2.14. Paskola – tai yra Paskolos davėjų Paskolos gavėjui sutelktinio finansavimo būdu išduota paskola ar jos likutis pagal Paskolos sutartyje nurodytą grąžinimo grafiką;
2.14. “Loan” shall mean a loan issued by the Lenders to the Recipient of the Loan by means of crowdfunding or a balance thereof according to the repayment schedule laid down in the Loan Agreement;
2.15. Paskolos davėjas – tai yra Naudotojas, kuris investavo į Paskolą. Paskolos davėju taip pat gali būti UAB ILTE, jei Paskola atitinka
2.15. “Lender” shall mean the User who invested in the Loan. UAB ILTE may also be a Lender if the Loan meets the conditions and/or
priemonės, kurios dalyvis yra sutelktinio finansavimo platformos operatorius, sąlygas ir (ar) kitus reikalavimus;
requirements for the instrument a participant of which is the operator of the crowdfunding platform;
2.16. Paskolos gavėjas arba Projekto savininkas – tai yra juridinis asmuo ir/ar fizinis asmuo, kuris skolinasi verslo poreikiams tenkinti;
2.16. “Recipient of the Loan” or “Project Owner” shall mean a legal person and/or natural person who lends for satisfaction of business needs;
2.17. Paskolos ir įkeisto turto santykis (LTV) – tai yra procentinis santykis tarp Paskolos gavėjo maksimalios įsiskolinimo vertės ir pagal Paskolos sutartį įkeisto turto rinkos vertės.
2.17. “Loan-to-Value Ratio” (LTV) shall mean the percentage ration between the maximum value of indebtedness of the Recipient of the Loan and the market value of the assets pledged under the Loan Agreement;
2.18. Paskolos suma – Paskolos sutartimi Paskolos davėjų Xxxxxxxx gavėjo nuosavybėn perduodama pinigų suma, kurią Paskolos gavėjas įsipareigoja grąžinti Paskolos davėjams Paskolos sutartyje nustatyta tvarka;
2.18. “Loan Amount” shall mean the amount of money transferred by the Lenders to the ownership of the Recipient of the Loan under the Loan Agreement which the Recipient of the Loan shall undertake to repay to the Lenders in accordance with the procedure prescribed in the Loan Agreement;
2.19. Paskolos sutartis – tai yra per Platformą sutelktinio finansavimo būdu tarp Paskolos gavėjo ir Organizatoriaus atstovaujamų Paskolos davėjų sudaryta verslo paskolos sutartis. Neatskiriamomis Paskolos sutarties dalimis yra Bendrosios sąlygos, Specialiosios sąlygos, Naudojimosi sutartis, grąžinimo grafikas ir kiti tarp šalių sutarti dokumentai;
2.19. “Loan Agreement” shall mean a business loan agreement concluded through the crowdfunding Platform by means of crowdfunding between the Recipient of the Loan and the Lenders represented by the Organiser. The General Terms and Conditions, the Special Terms and Conditions, the Use Agreement, the Repayment Schedule and other documents agreed between the Parties shall be deemed to be an integral part of the Loan Agreement;
2.20. Platforma – tai yra Organizatoriaus prižiūrima ir administruojama sutelktinio finansavimo platforma, pasiekiama per Interneto svetainę ir / ar Mobiliąją aplikaciją, kurios pagalba Paskolos gavėjai gali teikti Paraiškas dėl Paskolos, o Paskolų davėjai gali teikti Siūlymus (investuoti) į Paskolas;
2.20. “Platform” shall mean a crowdfunding platform maintained and administered by the Organiser, accessible through the Website and/or the Mobile Application, through which Recipients of the Loan may submit Loan Applications and Lenders may submit Loan Offers (investments);
2.21. Prievolių įvykdymo užtikrinimo priemonės – tai yra Paskolos gavėjo prievolių pagal Paskolos sutartį užtikrinimo priemonės: 1) Hipoteka ir / ar įkeitimas; 2) trečiųjų asmenų laidavimas ir / ar garantija; 3) vekselis; 4) kitas prievolių užtikrinimo būdas;
2.21. “Performance Securities” shall mean the means of securing the obligations of the Recipient of the Loan according to the Loan Agreement: 1) mortgage and/or pledge; 2) suretyship and/or guarantee by third parties;
3) promissory note; 4) other means of securing the obligations.
2.22. Savitarna – tai yra Naudotojo individuali paskyra Platformoje, kuri apsaugota unikaliu slaptažodžiu, skirta Naudotojui vykdyti įvairius veiksmus Platformoje ir naudotis SAVY teikiamomis paslaugomis;
2.22. “Self-Service System” shall mean the individual account of the User on the Platform, which shall be protected by a unique password, for the User to perform various actions on the Platform and to use the services provided by SAVY;
2.23. Siūlymas (Akceptas) – tai yra Naudotojo siūlymas investuoti į atitinkamą sutelktinio finansavimo projektą (Paskolą), kuris atitinka Paraiškoje numatytus kriterijus ir sąlygas;
2.23. “Proposal (Acceptance)” shall mean the User’s proposal to invest in a relevant crowdfunding project (Loan) that meets the criteria and conditions set out in the Application;
2.24. Specialiosios sąlygos – tai yra kiekvienam individualiai Paskolos gavėjui taikomos sąlygos ir nuostatos, dėl kurių susitarė Paskolos gavėjas ir Organizatorius;
2.24. “Special Terms and Conditions” shall mean the terms and conditions agreed between the Recipient of the Loan and the Organiser, individually applicable to each Recipient of the Loan;
2.25. Taisyklės – tai yra Projektų savininkų patikimumo vertinimo taisykles, kurios reglamentuoja nuostatas, kriterijus ir principus, kuriomis Organizatoriaus vadovaujasi vertindamas Paskolos gavėjų reputaciją ir kreditingumą. Šios Taisyklės yra viešai prieinamos Interneto svetainėje;
2.25. “Rules” shall mean the Rules for the Assessment of Reliability of Project Owners which shall regulate the provisions, criteria and principles followed by the Organiser in assessment of the reputation and creditworthiness of the Recipients of the Loan. The afore-mentioned Rules shall be publicly available on the Website;
2.26. Tarpininkavimo mokestis – tai yra vienkartinis Paskolos gavėjo Organizatoriui mokamas mokestis už tarpininkavimą dėl Paskolos suteikimo;
2.26. “Management Fee” shall mean a one-off fee paid by the Recipient of the Loan to the Organiser for intermediation in grant of the Loan;
2.27. Vėlavimo palūkanos – tai yra Specialiosiose Sąlygose nustatyto dydžio palūkanos už naudojimąsi Paskola suėjus terminui sumokėti įmoką pagal Paskolos grąžinimo grafiką, skaičiuojamos nuo kiekvienos pradelstos įmokos dalies už kiekvieną vėlavimo dieną iki visiško atsiskaitymo dienos.
2.27. “Late Payment Interest” shall mean the interest rate specified in the Special Terms and Conditions for the use of the Loan after the due date for payment of the instalment according to the Loan repayment schedule charged on each over part of the instalment for each day of late payment until the date of full settlement.
3. PASKOLOS SUTARTIES OBJEKTAS 3. OBJECT OF THE LOAN AGREEMENT
3.1. Paskolos sutartyje nurodytomis sąlygomis Organizatoriaus atstovaujami Paskolos davėjai įsipareigoja per Platformą sutelktinio finansavimo būdu suteikti Paskolos gavėjui Paskolą, o Paskolos gavėjas įsipareigoja pagal šią Paskolos sutartį gautas lėšas naudoti pagal Paskolos sutartyje nurodytą Paskolos paskirtį, sumokėti Tarpininkavimo mokestį, Mėnesinius tarpininkavimo mokesčius, Palūkanas, grąžinti Paskolą pagal Paskolos sutartyje nustatytą grąžinimo grafiką bei vykdyti kitus Paskolos sutartyje nustatytus įsipareigojimus.
3.1. The Lenders represented by the Organiser shall undertake to grant to the Recipient of the Loan a Loan through the Platform by means of crowdfunding under the terms and conditions set out in the Loan Agreement, and the Recipient of the Loan shall undertake to use the funds received under the Loan Agreement for the purpose of the Loan specified in the Loan Agreement, pay the Management Fee, the Monthly Management Fees, the Interest, repay the Loan in accordance with the repayment schedule specified in the Loan Agreement and fulfil other obligations set out in the Loan Agreement.
3.2. Paskolos gavėjas įsipareigoja naudoti Paskolą išimtinai tik Paskolos sutartyje nurodytai Paskolos panaudojimo paskirčiai. Organizatoriui to pareikalavus, Paskolos gavėjas įsipareigoja Organizatoriui pateikti visą reikalingą informaciją ir / ar dokumentus,
3.2. The Recipient of the Loan shall undertake to use the Loan exclusively for the purpose of use of the Loan specified in the Loan Agreement. Upon the Organiser’s request, the Recipient of the Loan shall undertake to provide the Organiser with all necessary information

and/or documents that would justify the use of the Loan in for the purpose specified in the Loan Agreement. The Recipient of the Loan shall clearly and unequivocally understand that if he does not fulfil the requirement set out in this paragraph of the General Terms and Conditions, the Organiser will have the right to protect his own interests and those of the Lenders, among other things, terminate the Loan Agreement in accordance with Section 12 of these General Terms and Conditions.
4. PASKOLOS SUTARTIES SUDARYMAS 4. CONCLUSION OF THE LOAN AGREEMENT
4.1. Ši Paskolos sutartis yra sudaroma aukciono būdu ir laikoma automatiškai sudaryta nuo aukciono pabaigos dienos tarp Paskolos gavėjo ir Paskolos davėjų, kurie dalyvavo ir aukcione pateikė Paraišką atitinkančius Siūlymus. Aukcionas sėkmingai pasibaigia, kai Xxxxxxx numatytos sąlygos atitinka Paraiškoje numatytas sąlygas arba Organizatoriaus siūlymu Paskolos gavėjas sutinka su mažesne Paskolos suma.
4.1. This Loan Agreement shall be concluded by means of an auction and shall be considered as automatically concluded from the day of the end of the auction between the Recipient of the Loan and the Lenders who participated and submitted Proposals meeting the Application at the auction. The auction shall end successfully when the terms and conditions provided for in the Proposal meet the conditions provided for in the Application or the Recipient of the Loan agrees to a lower amount of the Loan at the Organizer’s suggestion.
4.2. Aukcionas Paskolos sumai finansuoti gali trūkti ne ilgiau nei 90 (devyniasdešimt) kalendorinių dienų. Tuo atveju, jeigu Paskolos suma būtų sufinansuota ankščiau nei prieš 90 (devyniasdešimt) kalendorinių dienų, tai Paskolos suma gali būti išmokama Paskolos gavėjui anksčiau, jeigu yra visos Error! 4.2. An auction for financing the Loan Amount may last no longer than 90 (ninety) calendar day. In the event that the Loan Amount was financed earlier than 90 (ninety) calendar days ago, the Loan Amount may be paid to the Recipient of the Loan earlier if all the terms and conditions provided for in Section 5 are met.
4.3. Paskolos gavėjas turi teisę atsiimti Paraišką iki aukciono pradžios momento, t. y. iki pirmo Paskolos davėjo Siūlymo aukcione pateikimo momento. Kitais atvejai atsiimti Paraišką ir nutraukti aukcioną galima tik su Organizatoriaus sutikimu.
4.3. The Recipient of the Loan shall have the right to withdraw the Application before the start of the auction, i.e. before the first submission of the Proposal by the Lender. In other cases, withdrawal of the Application and cancellation of the auction shall be possible only with the consent of the Organiser.
4.4. Organizatorius turi teisę bet kada atšaukti, keisti ar nutraukti aukcioną. Tokiu atveju rezervuotos lėšos grąžinamos Paskolos davėjams. Aukcionas neįvyksta, kai per 90 dienų nėra pateikta pakankamai Siūlymų pagal Paraišką. Tokiu atveju Paskolos paraiška nustoja galioti.
4.4. The Organiser shall have the right to cancel, amend or terminate the auction at any time. In such case, the reserved funds shall be repaid to the Lenders. An auction shall fail if the number of Proposals under the Application received within 90 days is not sufficient. In such case, the Loan Application shall cease to be valid.
4.5. Jeigu aukcionas pasibaigia ir nėra pateikta pakankamai Siūlymų dėl Paskolos
4.5. If the auction ends and there are not enough Proposals for financing of the Loan, i.e. the
finansavimo, t. y. Paskola laikoma nesufinansuota, šios Xxxxxxxxxx sąlygos ir Paskolos sutartis netampa privalomos Paskolos gavėjui, nebent Paskolos gavėjas sutinka su mažesne Paskolos suma ir / ar kitomis Paskolos sąlygomis nei buvo pirmiau sutarta.
Loan is deemed to be unfunded and these General Terms and Conditions and the Loan Agreement do not become binding upon the Recipient of the Loan unless the Recipient of the Loan agrees to a lower Loan Amount and/or different conditions of the Loan than previously agreed.
4.6. Jeigu Aukcione ir Paraiškoje yra nurodoma Minimali ir Prašoma paskolos suma, Aukcionas laikomas įvykusiu, jeigu yra pateikiami Siūlymai už sumą, kuri yra tarp Minimalios ir Prašomos paskolos sumos (įskaitant). Tokiu atveju Paskolos gavėjas iš naujo patvirtina Paraišką su galutine Aukciono suma, kuri bus laikoma Paskolos sutarties suma. Ši pakeista Paraiška yra neatskiriama Paskolos sutarties dalis.
4.6. If the Auction and the Application specify a the Minimum Loan Amount and the Requested Loan Amount are specified in the Auction and the Application, the Auction shall be deemed to have taken place if bids are submitted for an amount that is between the Minimum Loan Amount and the Requested Loan Amount (inclusive). In such case, the Recipient of the Loan shall re-approve the Application with the final amount of the Auction, which will be considered as the amount of the Loan Agreement. The amended Application shall form an integral part of the Loan Agreement.
4.7. Šalys susitaria, kad Xxxxxxxx gavėjo ir Paskolos davėjo atlikti veiksmai ir nurodyti duomenys (kuriuos patvirtina Vartotojo numeris, Paskolos gavėjo/davėjo savitarnos sistemos duomenys, tapatybės patvirtinimas, Naudotojo ar Platformos elektroniniai laiškai, arba telefoninio pokalbio garso įrašas, arba Platformos išrašas apie Paskolos gavėjo ar Paskolos davėjo veiksmus Savitarnoje) yra laikomi Paskolos gavėjo ar Paskolos davėjo parašu, turinčiu Lietuvos Respublikos elektroninės atpažinties ir elektroninių operacijų patikimumo užtikrinimo paslaugų įstatymo 5 str. 1 dalyje įtvirtintą teisinę galią, o Paraiška ir jos pagrindu pateiktas Siūlymas ir Paskolos sutartis, pagal kurią Xxxxxxxx gavėjui yra pervedama Paskolos davėjo investuojama suma, yra prilyginama dokumentui, sudarytam rašytine forma, ir sukelia tokias pat teisines pasekmes kaip ir dokumentas, patvirtintas Paskolos gavėjo bei Paskolos davėjo parašu kiekviename jo lape.
4.7. The Parties shall agree that the actions performed by the Recipient of the Loan and the Lender and the data specified (which are confirmed by the User number, the data of the Lender’s Self-Service System, the identity verification, the e-mails of the User or the Platform, or the audio recording of a telephone conversation, or the Platform’s extract of the actions of the Recipient of the Loan or the Lender in the Self-Service System) shall be considered as the signature of the Recipient of the Loan or the Lender having the legal force enshrined in paragraph 1 of Article 5 of the Republic of Lithuania Law on Electronic Identification and Trust Services for Electronic Transactions and the Application and the Proposal and Loan Agreement submitted on the basis thereof, under which the amount invested by the Lender is transferred to the Recipient of the Loan, shall be deemed to be a document in writing and shall have the same legal effect as a document endorsed by the signature of the Recipient of the Loan and the Lender on each page of the document.
4.8. Paskola gali būti derinama su Europos Sąjungos struktūrinių fondų arba Lietuvos valstybės ar savivaldybės institucijų lėšomis teikiamomis negrąžinamosiomis subsidijomis ir kitomis finansinėmis priemonėmis, tačiau kartu sudėjus visas finansavimo formas, konkrečioms išlaidoms finansuoti negali būti skirta daugiau nei 100 (vienas šimtas) proc. šių
4.8. The Loan may be combined with non- repayable grants and other financial instruments from the European Union Structural Funds or from the state or municipal authorities of Lithuania, however, all forms of financing taken together may not exceed 100% (one hundredth) of the amount of the expenses concerned and may not affect the conditions for granting the State aid.

4.9. Iki Paskolos suteikimo Paskolos gavėjas privalo pateikti Organizatoriui visą informaciją apie visus galiojančius Paskolos gavėjo įsipareigojimus tretiesiems asmenims, gautas bei išleistas garantijas, sudarytus laidavimo, prievolių užtikrinimo sandorius, taip pat visą kitą informaciją, kuri gali turėti esminės reikšmės šios Sutarties sudarymui, vykdymui, galiojimui ir pasibaigimui;
4.9. Prior to the granting of the Loan, the Recipient of the Loan must provide the Organiser with all information concerning all existing obligations of the Recipient of the Loan to third parties, received and issued guarantees, issued suretyships, performance transactions, as well as all other information which may be of material importance for the conclusion, performance, validity and termination of this Agreement.
4.10. Paskolos gavėjas neprieštaraus, kad tuo atveju, kai Paskola finansuojama priemonės
„Avietė“ lėšomis, duomenis apie iš Paskolos lėšų įgyvendinamą ar įgyvendintą verslo projektą UAB ILTE naudos viešinimo ir informavimo tikslais.
4.10. The Recipient of the Loan shall not object to the fact that, in the event that the Loan is financed with the funds of the instrument “Avietė”, UAB ILTE shall use the data about the business project being implemented or implemented from the Loan funds for publicity and information purposes.
5. PASKOLOS IŠMOKĖJIMO TVARKA 5. PROCEDURE FOR DISBURSEMENT OF THE LOAN
5.1. Organizatorius įsipareigoja išmokėti Paskolą į Paskolos gavėjo nurodytą mokėjimo sąskaitą vėliausiai per 5 (penkias) kalendorines dienas po to, kai yra įgyvendintos visos toliau nurodytos sąlygos:
5.1. The Organiser shall undertake to disburse the Loan to the payment account indicated by the Recipient of the Loan no later than 5 (five) calendar days from the date of fulfilment of all the following conditions:
5.1.1. Paskolai sufinansuoti organizuotas Aukcionas yra laikomas pasibaigusiu, kaip tai yra numatyta šių Bendrųjų sąlygų Error! Reference source not found. - Error! Reference source not found. punktuose, ir buvo sufinansuota visa Paskolai reikalinga suma. Paskolos gavėjas ir Organizatorius gali susitarti dėl visos arba dalies Paskolos sumos išmokėjimo dar nepasibaigus aukciono terminui, kaip tai yra numatyta šių Bendrųjų sąlygų Error! Reference source not found. punkte;
5.1.1. An Auction organised for the purpose of financing the Loan shall be deemed to have ended as provided for in paragraphs Error! Reference source not found. to Error! Reference source not found. of these General Terms and Conditions, and the total amount required for the Loan has been financed. The Recipient of the Loan and the Organiser may agree on disbursement of the total Loan Amount or any amount thereof before the end of the term of the Auction as provided for in paragraph Error! Reference source not found. of these General Terms and Conditions;
5.1.2. Paskolos gavėjas pateikė Organizatoriui visus dokumentus, kurių pagrįstai galėjo reikalauti Organizatorius vadovaudamasis savo vidinėmis tvarkomis ir procedūromis, be kita ko, Taisyklėmis, bei aktualiais taikomais teisės aktais, be kita ko, Lietuvos Respublikos pinigų plovimo ir
5.1.2. The Recipient of the Loan has provided the Organiser with all documents that the Organiser could reasonably have requested in accordance with its internal orders and procedures, including the Rules, and the relevant applicable legislation, including the Republic of
teroristų finansavimo prevencijos įstatymu;
Lithuania Law on the Prevention of Money Laundering and Terrorist Financing;
5.1.3. Jeigu konkrečiai Paskolos sutarčiai taikoma, Xxxxxxxx gavėjas užtikrino savo įsipareigojimų vykdymą pagal sudarytą Paskolos sutartį viena ar keliomis Prievolių įvykdymo užtikrinimo priemonėmis. Paskolos gavėjas ir Organizatorius gali susitarti, jog dalis arba visa Paskolos suma gali būti išmokėta Paskolos gavėjui iki šio konkretaus Bendrųjų sąlygų punkto įsipareigojimo įgyvendinimo;
5.1.3. If applicable to the particular Loan Agreement, the Recipient of the Loan has secured its obligations under the Loan Agreement by one or more Performance Securities. The Recipient of the Loan and the Organiser may agree that a part of the Loan or the total amount of the Loan may be disbursed to the Recipient of the Loan prior to the implementation of this particular paragraph of the General Terms and Conditions;
5.1.4. Jeigu konkrečiai Paskolos sutarčiai taikoma, Paskolos gavėjas apdraudė šių Bendrųjų sąlygų Error! Reference source not found. punkte numatytą įkeistą daiktą, įskaitant nekilnojamąjį, ir pateikė Organizatoriui visus tokį faktą patvirtinančius dokumentus;
5.1.4. If applicable to the particular Loan Agreement, the Recipient of the Loan has insured the pledged item, including real estate, provided for in paragraph 5.1.3 of these General Terms and Conditions, and has provided the Organiser with all documents evidencing this fact;
5.1.5. Jeigu konkrečiai Paskolos sutarčiai taikoma, Paskolos gavėjas pateikė Organizatoriui šių Bendrųjų sąlygų Error! Reference source not found. punkte numatyto įkeisto daikto, įskaitant nekilnojamąjį, vertinimą, kuris buvo atliktas Organizatoriaus patvirtinto nepriklausomo turto vertintojo ir Paskolos ir įkeisto turto santykis atitinka Organizatoriaus reikalavimus;
5.1.5. If applicable to the particular Loan Agreement, the Recipient of the Loan has provided the Organiser with an appraisal of the pledged item, including real estate, provided for in paragraph Error! Reference source not found. of these General Terms and Conditions, carried out by an independent asset appraiser approved by the Organiser and the Loan-to-Value Ratio is in line with the requirements of the Organiser;
5.1.6. Paskolos gavėjas turi visus Organizatoriaus ir taikytinų teisės aktų reikalaujamus leidimus sudaryti Paskolos sutartį;
5.1.6. The Recipient of the Loan shall have all authorisations required by the Organiser and the applicable legislation to enter into the Loan Agreement;
5.1.7. Paskolos gavėjas įvykdė visus kitus jam taikomus reikalavimus ir įsipareigojimus, kurie yra numatyti, be kita ko, Organizatoriaus Taisyklėse ir / ar kituose vidiniuose dokumentuose bei taikomuose teisės aktuose.
5.1.7. The Recipient of the Loan has complied with all other requirements and obligations applicable to him, which are provided for, inter alia, in the Organiser’s Rules and/or other internal documents and applicable legislation.
5.2. Tais atvejais, kai Paskolos gavėjas kreipėsi į Organizatorių dėl Paskolos, kuri yra skirta kitų Paskolos gavėjo turimų kreditorinių
5.2. In cases where the Recipient of the Loan has applied to the Organiser for a Loan which is intended to cover the liabilities of other
įsipareigojimų padengimui, t. y refinansavimui, Organizatorius gali išmokėti Paskolos lėšas pervedant jas į Paskolos gavėjo refinansuojamos paskolos kreditoriaus nurodytą mokėjimo sąskaitą.
creditors of the Recipient of the Loan, i.e. refinancing, the Organiser may disburse the Loan by transferring the Loan funds to the payment account specified by the creditor of the refinanced loan of the Recipient of the Loan.
5.3. Jeigu Paskolos gavėjas neįvykdo bet kurios šių Bendrųjų sąlygų Error! Reference source not found. punkte nurodytų sąlygų ir / ar kitų Paskolos sutarties dokumentuose ir / ar Organizatoriaus vidiniuose dokumentuose bei taikomuose teisės aktuose numatytų sąlygų bei reikalavimų, Organizatorius turi teisę be jokių pasekmių vienašališkai nuspręsti neišmokėti Xxxxxxxx sumos Paskolos gavėjui.
5.3. If the Recipient of the Loan fails to comply with any of the conditions set out in paragraph 5.1 of these General Terms and Conditions and/or any other conditions and requirements set out in the documents of the Loan Agreement and/or the Organiser’s internal documents and applicable legislation, the Organiser shall be entitled to unilaterally decide not to disburse the Loan Amount to the Recipient of the Loan without any consequences.
6. PASKOLOS GRĄŽINIMAS 6. REPAYMENT OF THE LOAN
6.1. Paskolos gavėjas įsipareigoja grąžinti Paskolą ir kitas su Paskola susijusias sumas (Palūkanas, Tarpininkavimo mokestį, Mėnesinius tarpininkavimo mokesčius ir kt.) tokia tvarka, kaip tai yra nurodyta tarp Organizatoriaus ir Xxxxxxxx gavėjo sutartame Paskolos grąžinimo grafike, kuris yra neatsiejama Paskolos sutarties dalimi.
6.1. The Recipient of the Loan shall undertake to repay the Loan and other amounts related to the Loan (the Interest, the Management Fee, the Monthly Management Fees, etc.) in accordance with the Loan repayment schedule agreed between the Organiser and the Recipient of the Loan, which shall be an integral part of the Loan Agreement.
6.2. Šalys susitaria, kad skaičiuojant Palūkanas bus laikoma, kad metai turi 360 (tris šimtus šešiasdešimt) kalendorinių dienų, o mėnuo turi 30 (trisdešimt) kalendorinių dienų.
6.2. The Parties shall agree that for the purpose of calculating the Interest, the year shall be considered as having 360 (three hundred and sixty) calendar days and the month as having 30 (thirty) calendar days.
6.3. Paskolos gavėjas Xxxxxxxx sumos ir kitų su Paskola susijusių sumų grąžinimą atliks atitinkamo dydžio sumas pervesdamas į Organizatoriaus nurodytą atsiskaitomąją sąskaitą. Gavęs Paskolos gavėjo mokėjimus, Organizatorius tokius mokėjimus atitinkamai paskirstys Paskolos davėjams, kaip tai yra nurodyta šiose Bendrosiose sąlygose bei kitose su Paskolos sutartimi susijusiose dokumentuose.
6.3. The Recipient of the Loan shall repay the Loan and other related amounts by transferring the appropriate amounts to the settlement account specified by the Organiser. Upon receipt of payments from the Recipient of the Loan, the Organiser shall distribute such payments to the Lenders accordingly, as specified in these General Terms and Conditions and other documents relating to the Loan Agreement.
6.4. Organizatorius paskirsto Xxxxxxxx gavėjo mokamas įmokas toliau nurodyta tvarka:
6.4. The Organiser shall distribute the contributions paid by the Recipient of the Loan in accordance with the following procedure:
6.4.1. Tarpininkavimo mokestis; 6.4.1. the Management Fee;
6.4.2. Mėnesinis tarpininkavimo mokestis; 6.4.2. the Monthly Management Fee;
6.4.3. Palūkanos; 6.4.3. the Interest;
6.4.4. Paskolos suma ar jos dalis. 6.4.4. the Loan Amount or a part thereof.
6.5. Tais atvejais, kai Organizatorius nutraukia Paskolos sutartį prieš terminą, Paskolos gavėjas įsipareigoja sumokėti visas pagal Paskolos sutartį priklausančias mokėti Palūkanas bei Tarpininkavimo mokestį / Mėnesinius tarpininkavimo mokesčius, t. y. Organizatorius įgyja teisę reikalauti ir tų Palūkanų bei Tarpininkavimo mokesčio / Mėnesinio tarpininkavimo mokesčių, kurie būtų sumokėti, jeigu Paskolos gavėjas Paskolą būtų grąžinęs pagal Paskolos sutartyje nurodytą grąžinimo grafiką.
6.5. In cases of early termination of the Loan Agreement by the Organiser, the Recipient of the Loan shall undertake to pay all the Interest and the Management Fee due under the Loan Agreement, i.e. the Monthly Management Fee,
i.e. the Organiser shall also be entitled to claim the Interest and the Management Fee and the Monthly Management Fee that would have been due if the Recipient of the Loan had repaid the Loan in accordance with the repayment schedule specified in the Loan Agreement.
7. IŠANKSTINIS PASKOLOS GRĄŽINIMAS 7. EARLY REPAYMENT OF THE LOAN
7.1. Paskolos gavėjas turi teisę grąžinti Paskolą ar jos dalį anksčiau grafike nurodyto termino. Grąžinant Paskolą ar jos dalį anksčiau nustatyto termino, Paskolos gavėjas papildomai privalo sumokėti Išankstinio grąžinimo mokestį, numatytą Specialiosiose sąlygose, bei Palūkanas (skaičiuojamas iki artimiausios įmokos pagal mokėjimo grafiką) ir Mėnesinį administravimo mokestį (skaičiuojamą iki artimiausios įmokos pagal mokėjimo grafiką).
7.1. The Recipient of the Loan shall be entitled to repay the Loan or a part thereof within the time limit specified in the repayment schedule above. When repaying the Loan or a part thereof before expiry of the set time limit, the Recipient of the Loan shall also be obliged to pay the Early Repayment Fee provided for in the Special Terms and Conditions and the Interest (calculated up to the next instalment according to the Payment Schedule) and the Monthly Management Fee (calculated up to the next instalment according to the Payment Schedule).
7.2. Paskolos gavėjas, norėdamas grąžinti Paskolą ar jos dalį anksčiau grafike nurodyto termino, privalo raštu informuoti Organizatorių ne vėliau kaip prieš 5 (penkias) kalendorines dienas apie savo norą grąžinti Paskolą iš anksto.
7.2. In order to repay the Loan or a part thereof before expiry of the due date indicated in the schedule, the Recipient of the Loan shall inform the Organiser of his wish to repay the Loan by giving a written 5 (five) calendar days’ prior notice.
7.3. Paskolos gavėjas pranešime apie išankstinį Xxxxxxxx grąžinimą nurodo Sutarties rekvizitus (datą ir numerį), prieš terminą grąžinamos Paskolos sumą ir mokėjimo dieną, kurią bus grąžinama Paskola. Tais atvejais, jei Xxxxxxxx gavėjo pranešimas neatitinka šio punkto reikalavimų, Organizatorius turi teisę neįskaityti Paskolos gavėjo lėšų Xxxxxxxx grąžinimui anksčiau termino.
7.3. The Recipient of the Loan shall indicate the details of the Agreement (date and number), the Loan Amount to be repaid early and the payment date on which the Loan shall be repaid in the early repayment notice. In cases where the notification of the Recipient of the Loan does not meet the requirements of this Clause, the Organiser shall be entitled not to credit the Recipient of the Loan’s funds for the early repayment of the Loan.
7.4. Paskolos gavėjui pervedus išankstinio grąžinimo sumą, Organizatorius privalo per 5 (penkias) kalendorines dienas įskaityti minėtas lėšas, nebent yra šiose Bendrosiose sąlygose numatytos priežastys, kai Organizatorius gali tokių lėšų neįskaityti.
7.4. The Organiser shall be obliged to credit the above-mentioned funds within 5 (five) calendar days from the transfer of the early repayment to the Recipient of the Loan, unless there are reasons for which the Organiser may not credit such funds provided for in these General Terms and Conditions.
7.5. Paskolos gavėjas supranta ir sutinka, kad Xxxxxxxx sutarties Tarpininkavimo mokestis yra vienkartinio pobūdžio ir todėl turi būti visais atvejais sumokamas visas, t. y. šis mokestis nėra ir negali būti perskaičiuojamas ir sumažinamas jokiais atvejais, įskaitant, bet neapsiribojant, ir išankstinio Paskolos grąžinimo atveju.
7.5. The Recipient of the Loan shall understand and agree that the Management Fee under the Loan Agreement is one-off fee and, therefore, must be paid in full in all cases, i.e. it shall not and cannot be recalculated or reduced in any case, including, but not limited to, the case of early repayment of the Loan.
8. VĖLAVIMAS GRĄŽINTI PASKOLĄ 8. DELAY TO REPAY THE LOAN
8.1. Paskolos gavėjui praleidus Paskolos sutarties grąžinimo grafike numatytus terminus, Paskolos gavėjas už kiekvieną kalendorinę termino praleidimo dieną moka Specialiosiose Sąlygose nustatyto dydžio Delspinigius ir Vėlavimo Palūkanas nuo sumos, kurios mokėjimo terminas praleistas.
8.1. If the Recipient of the Loan misses the deadlines set out in the repayment schedule under the Loan Agreement, the Recipient of the Loan shall pay Default Interest and Late Payment Interest of the amount due for each calendar day of the missed deadline, as set out in the Special Terms and Conditions.
8.2. Pradelsusio mokėti įmokas pagal grąžinimo grafiką Xxxxxxxx gavėjo įsipareigojimai, Organizatoriui gavus pinigines lėšas iš Paskolos gavėjo, yra įskaičiuojami toliau nurodyta tvarka:
8.2. The payments of the Recipient of the Loan who is late in paying instalments according to the repayment schedule, after the Organiser receives the funds from the Recipient of the Loan, shall be credited in the following order:
8.2.1. Pirma eile yra įskaitomos Paskolos davėjams priklausantys Delspinigiai, Organizatoriui priklausantys Delspinigiai nuo Tarpininkavimo mokesčio / Mėnesinių tarpininkavimo mokesčių bei Paskolos davėjams priklausančios Palūkanos nuo nesumokėtos Paskolos sumos ir Vėlavimo palūkanos;
8.2.1. The Default Interest due to the Lenders, the Default Interest due to the Organiser on the Management Fee/the Monthly Management Fees and the Interest due to the Lenders on the overdue Loan Amount and the Late Payment Interest shall be credited in the first line;
8.2.2. Antra eile yra įskaitomas Organizatoriui priklausantis Tarpininkavimo mokestis / Mėnesiniai tarpininkavimo mokesčiai;
8.2.2. The Management Fee/the Monthly Management Fees due to the Organiser shall be credited in the second line;
8.2.3. Trečia eile yra įskaitoma Paskolos davėjams priklausanti Paskolos suma ir Palūkanos.
8.2.3. The Loan Amount and the Interest due to the Lenders shall be credited in the third line.
8.3. Tais atvejais, jeigu buvo inicijuotas įsipareigojimų išieškojimas priverstine tvarka – pirma eile yra kompensuojamos su tokiu išieškojimu susijusios Organizatoriaus patirtos išlaidos (žyminis mokestis, notaro, antstolio, advokato, korespondencijos kaštai ir pan.).
8.3. In cases where enforced recovery has been initiated, the costs incurred by the Organiser in connection with such recovery (stamp duty, costs of the notary public, bailiff, attorney-at- law, correspondence costs, etc.) shall reimbursed in the first line.
8.4. Jeigu visos Paskolos grąžinimo terminas yra suėjęs, nuo negrąžintos Paskolos sumos Organizatorius toliau skaičiuoja Specialiosiose sąlygose numatyto dydžio Palūkanas, Vėlavimo Palūkanas, Delspinigius.
8.4. If the deadline for repayment of the total amount of the Loan has expired, the Organiser shall further charge Interest, Late Payment Interest, Default Interest in the amount provided for in the Special Terms and
Conditions from the overdue amount of the Loan.
9. ĮSIPAREIGOJIMŲ PAGAL PASKOLOS SUTARTĮ VYKDYMO ATIDĖJIMAS
9. DEFERMENT OF PERFORMANCE OF THE OBLIGATIONS UNDER THE LOAN AGREEMENT
9.1. Organizatorius turi teisę Paskolos gavėjo rašytiniu prašymu Paskolos gavėjui atidėti įmokų, išskyrus Palūkanų ir Mėnesinio tarpininkavimo mokesčio, mokėjimą Xxxxxxxx gavėjo prašyme nurodytam, bet ne ilgesniam kaip 6 mėnesių, laikotarpiui tais atvejais, kai galioja visos toliau nurodytos sąlygos:
9.1. The Organiser shall be entitled, at the written request of the Recipient of the Loan, to defer the payment of contributions to the Recipient of the Loan, excluding Interest and the Monthly Management Fee, for the period specified in the request of the Recipient of the Loan, but not exceeding 6 months, in cases where all of the following conditions apply:
9.1.1. Prašymo dėl atidėjimo pateikimo dieną Paskolos sutartis yra galiojanti;
9.1.1. The Loan Agreement is valid on the date of submission of the request for deferment;
9.1.2. Prašymo dėl atidėjimo pateikimo dieną dėl Paskolos sumos nevyksta teisminis išieškojimas ir / ar vykdymas;
9.1.2. On the date of submission of the request for deferment, there is no judicial recovery and/or enforcement of the Loan Amount;
9.1.3. Prašymo dėl atidėjimo pateikimo dieną Xxxxxxxx gavėjo atžvilgiu taikytinų teisės aktų nustatyta tvarka nėra inicijuotas nemokumo arba restruktūrizavimo procesas;
9.1.3. On the date of submission of the request for deferment, insolvency or restructuring proceedings have not been initiated against the Recipient of the Loan in accordance with the procedure established by the applicable legal acts;
9.1.4. Prašymo dėl atidėjimo pateikimo dieną Xxxxxxxx gavėjas nėra pažeidęs šiose Bendrosiose sąlygose numatytų patvirtinimų, įsipareigojimų ir garantijų bei kitose Organizatoriaus vidiniuose dokumentuose bei taikytinuose teisės aktuose nustatytų įsipareigojimų;
9.1.4. On the date of submission of the request for deferment, the Recipient of the Loan has not breached the representations, obligations and warranties provided for in these General Terms and Conditions and other obligations set out in the Organizer’s internal documents and applicable legal acts;
9.1.5. Paskolos gavėjas nurodo pablogėjusią finansinę būklę ir tokios būklės priežastis, kurios pagrįstų įsipareigojimų pagal Paskolos sutartį vykdymo atidėjimą;
9.1.5. The Recipient of the Loan shall indicate the deterioration of its financial situation and the reasons for such situation which would justify the deferment of the performance of the Loan Agreement;
9.1.6. Prašymo dėl atidėjimo pateikimo dieną Xxxxxxxx gavėjas nevėluoja mokėti daugiau kaip dvi Paskolos įmokas, kaip tai numatyta Paskolos sutarties grąžinimo grafike.
9.1.6. On the date of submission of the request for deferment, the Recipient of the Loan is not late in paying more than two instalments of the Loan, as stipulated in the repayment schedule under the Loan Agreement.
9.2. Atidėjus įmokų pagal Paskolos sutartį mokėjimą, perskaičiuojamos atidėtos įmokos ir sudaromas atnaujintas Paskolos grąžinimo grafikas.
9.2. If the repayment of the instalments under the Loan Agreement is deferred, the deferred instalments shall be recalculated, and an updated Loan repayment schedule shall be established.
9.3. Organizatorius turi teisę savo nuožiūra atsisakyti atidėti Paskolos sutarties įsipareigojimų vykdymą.
9.3. The Organiser shall have the right to refuse to defer the performance of the Loan Agreement at its own discretion.
10. PASKOLOS GAVĖJO ĮSIPAREIGOJIMAI 10. OBLIGATIONS OF THE RECIPIENT OF THE LOAN
10.1. Paskolos gavėjas visais atvejais privalo Organizatoriaus ir kiekvieno Paskolos davėjo atžvilgiu laikytis toliau nurodytų įsipareigojimų:
10.1. In all cases, the Recipient of the Loan shall comply with the following obligations in relation to the Organiser and each Lender:
10.1.1. Laikytis visų jam taikomų teisės aktų reikalavimų;
10.1.1. Comply with all requirements of the legal acts applicable to him;
10.1.2. Jeigu konkrečiai Paskolos sutarčiai taikoma, įkeisti Organizatoriaus, atstovaujančio Paskolos davėjus, naudai Specialiose sąlygos nurodytą kilnojamąjį / nekilnojamąjį daiktą;
10.1.2. If applicable to a specific Loan Agreement, pledge the movable/immovable item specified in the Special Terms and Conditions in favour of the Organiser representing the Lenders;

10.1.3. Jeigu konkrečiai Paskolos sutarčiai taikoma, sudaryti Organizatoriaus, atstovaujančio Paskolos davėjus, naudai įkeisto kilnojamojo / nekilnojamojo daikto (išskyrus žemės sklypą) draudimo sutartį ir, Organizatoriui pareikalavus, pateikti minėtą draudimo galiojimą patvirtinančius dokumentus. 10.1.3. If applicable to the specific Loan Agreement, conclude an insurance contract for the pledged movable/immovable property (except for land) in favour of the Organiser representing the Lenders, and, at the Organiser’s request, submit documents evidencing the validity of the said insurance. The insurance coverage specified in this paragraph shall be valid for the entire duration of the pledge of movable/immovable estate in favour of the Organiser provided for in paragraph Error! Reference source not found. of these General Terms and Conditions;
10.1.4. Pagal Paskolos sutartį gautą Paskolą naudoti tik pagal Paskolos sutartyje nurodytą paskolos paskirtį ir, Organizatoriui pareikalavus, pateikti dokumentus ir ataskaitą apie Paskolos panaudojimą pagal paskirtį;
10.1.4. To use the Loan received under the Loan Agreement only for the intended purpose of the Loan specified in the Loan Agreement and, upon request by the Organiser, submit documents and a report on the use of the Loan for the intended purpose;
10.1.5. Grąžinti Paskolą pagal Paskolos sutartyje nurodytą grąžinimo grafiką bei mokėti su Paskolos sumos
10.1.5. Repay the Loan according to the repayment schedule specified in the Loan Agreement and pay the
naudojimu ir grąžinimu susijusias sumas (Palūkanas, Mėnesinius tarpininkavimo mokesčius ir kt.);
amounts related to the use and repayment of the Loan Amount (the Interest, the Monthly Management Fees, etc.);
10.1.6. Be atskiro raštiško Organizatoriaus leidimo neteikti trečiųjų asmenų naudai laidavimų / garantijų;
10.1.6. Not to submit any suretyships/guarantees for the benefit of third parties without a separate authorisation of the Organiser;
10.1.7. Jeigu konkrečiai Paskolos sutarčiai taikoma, be atskiro raštiško Organizatoriaus leidimo papildomai neapsunkinti (neįkeisti) pagal Paskolos sutartį įkeisto kilnojamojo ar nekilnojamojo daikto, kuris buvo įkeistas Organizatoriaus naudai;
10.1.7. If applicable to the particular Loan Agreement, do not additionally encumber (including mortgage) movable or immovable item pledged under the Loan Agreement which has been pledged for the benefit of the Organiser without the separate written permission of the Organiser;
10.1.8. Tuo atveju, kai Paskolos gavėjas vėluoja grąžinti Paskolą ar jos dalį pagal Paskolos sutarties grąžinimo grafiką, Organizatoriui mokėti Vėlavimo palūkanas, Delspinigius bei kitas Organizatoriui bei Paskolos davėjams priklausančias sumas pagal Paskolos sutartį;
10.1.8. In the event that the Recipient of the Loan defaults on repayment of the Loan or a part thereof in accordance with the repayment schedule of the Loan Agreement, the Organiser shall be liable for payment of the Late Payment Interest, Default Interest and other amounts due to the Organiser and the Lenders under the Loan Agreement;
10.1.9. nedelsiant informuoti Organizatorių apie bet kokį tikėtiną ir / ar realų Paskolos sutartyje nurodytų įsipareigojimų ir / ar pareiškimų / garantijų pažeidimą;
10.1.9. Immediately inform the Organiser of any suspected and/or actual breach of the obligations and/or warranties made in the Loan Agreement;
10.1.10. jeigu taikytina, užtikrinti, kad Paskolos ir įkeisto turto santykis (LTV) neviršytų Specialiosiose sąlygose nurodyto dydžio bet kuriuo Paskolos sutarties galiojimo metu;
10.1.10. Ensure, where applicable, that the Loan-to-Value (LTV) Ratio does not exceed the amount specified in the Special Terms and Conditions at any time during the term of the Loan Agreement;
10.1.11. visą Paskolos galiojimo laikotarpį Organizatoriaus reikalavimu pateikti visą informaciją ir / ar dokumentus, kurie yra susiję su Paskolos gavėjo patikrinimu pagal Lietuvos Respublikos pinigų plovimo ir teroristų finansavimo prevencijos įstatymo ir kitų taikytinų teisės aktų reikalavimus;
10.1.11. For the entire duration of the Loan, at the request of the Organiser to provide all information and/or documents which are relevant to the verification of the Recipient of the Loan in accordance with the requirements of the Republic of Lithuania Law on the Prevention of Money Laundering and Terrorist Financing and other applicable legislation;
10.1.12. visais atvejais nedelsiant informuoti Organizatorių apie toliau nurodytas aplinkybes:
10.1.12. In all cases, immediately inform the Organiser about the following circumstances:
10.1.12.1. Paskolos gavėjas negalės laiku ir tinkamai atlikti bet kokių mokėjimų pagal Paskolos sutartį ir /ar negalės atlikti kitų Paskolos sutartyje numatytų įsipareigojimų;
10.1.12.1. The Recipient of the Loan shall be unable to make any payments under the Loan Agreement in a timely and proper manner and/or shall be unable to meet any other obligations under the Loan Agreement;
10.1.12.2. Iš Paskolos sutarties kylančių įsipareigojimų vykdymui įkeistas daiktas yra
sugadinamas arba sunaikinamas arba sumažėja tokio daikto vertė;
10.1.12.2. The item pledged for the performance of the obligations under the Loan Agreement is damaged or destroyed or its value is reduced;
10.1.12.3. Xxxxxxxx gavėjo atžvilgiu buvo priimtas sprendimas dėl restruktūrizavimo arba bankroto bylos iškėlimo arba likvidavimo;
10.1.12.3. The Recipient of the Loan has been the subject of a restructuring or bankruptcy decision or liquidation;
10.1.12.4. Buvo pažeistas tas bet koks šiose Bendrosiose sąlygose ir kitose Paskolos sutarties dokumentuose nurodytas Paskolos gavėjo įsipareigojimas ir / ar minėtose dokumentuose pateiktas Xxxxxxxx gavėjo patvirtinimas ir / ar garantija tapo negaliojantis.
10.1.12.4. Any obligation of the Recipient of the Loan specified in these General Terms and Conditions and other documents of the Loan Agreement has been violated and whether the confirmation of the Recipient of the Loan in the afore- mentioned documents and whether the warranty has become invalid.
11. PASKOLOS GAVĖJO PATVIRTINIMAI IR GARANTIJOS
11.REPRESENTATIONS AND WARRANTIES OF THE RECIPIENT OF THE LOAN
11.1. Paskolos davėjas sudarydamas Paskolos sutartį ir patvirtindamas šias Bendrąsias sąlygas, be kita ko, patvirtina ir garantuoja, jog:
11.1. By concluding the Loan Agreement and approving these General Terms and Conditions, the Lender shall, inter alia, represent and warrant that:
11.1.1. Paskolos gavėjas turi teisinį veiksnumą ir / ar visus reikalingus leidimus, sutikimus ar įgaliojimus, kurie yra būtini sudaryti šią Paskolos sutartį ir gauti Paskolą;
11.1.1. The Recipient of the Loan has legal capacity and/or all necessary permissions, consents or authorisations necessary to enter into this Loan Agreement and receive the Loan;
11.1.2. Paskolos gavėjas turi visus reikalingus leidimus, sutikimus ir įgaliojimus,
11.1.2. The Recipient of the Loan has all necessary authorisations, consents and powers that are necessary to
kurie yra būtini vykdyti Xxxxxxxx gavėjo veiklai;
carry out the activities of the Recipient of the Loan;
11.1.3. Sudarydamas šią Paskolos sutartį Paskolos gavėjas veikia savo įgaliojimų ribose ir toks Paskolos sutarties sudarymas neviršija jokių įgaliojimų ir
/ ar nepažeidžia taikytinuose teisės aktuose numatytų reikalavimų;
11.1.3. By concluding this Loan Agreement, the Recipient of the Loan shall act within the limits of its authority and such conclusion of the Loan Agreement does not exceed any authority and does not violate the requirements of the applicable legislation;
11.1.4. Paskolos gavėjo vertinimo metu Organizatoriui pateikta informacija yra aktuali, išsami ir neprieštaraujanti faktinėms aplinkybėms;
11.1.4. The information provided to the Organiser at the time of the assessment of the Recipient of the Loan is relevant, complete and does not contradict the real situation;
11.1.5. Paskolos gavėjo vertinimo metu ir Paskolos sutarties sudarymo metu Xxxxxxxx gavėjui negresia ir / ar Paskolos gavėjas nedalyvauja bet kokiame teisminio ar neteisminio bylinėjimosi ir / ar arbitražo procese, kuris galėtų turėti esminį neigiamą poveikį Xxxxxxxx gavėjo įsipareigojimų pagal šią Paskolos sutartį vykdymui, nebent tokios aplinkybės buvo iš anksto atskleistos Organizatoriui ir jos buvo Organizatoriui aiškiai ir nedviprasmiškai priimtinos;
11.1.5. At the time of the evaluation of the Recipient of the Loan and the conclusion of the Loan Agreement, the Recipient of the Loan is not at risk of, or participating in, any judicial or extrajudicial litigation or arbitration process, which could have a material adverse effect on the performance of the obligations of the Recipient of the Loan under this Loan Agreement, unless such circumstances were disclosed in advance and they were clearly and unequivocally acceptable to the Organiser;
11.1.6. Paskolos sutarties sudarymo metu Xxxxxxxx gavėjui negresia ir / ar nėra iškeltas jokio pobūdžio nemokumo procesas ir / ar likvidavimo procesas;
11.1.6. At the time of the conclusion of the Loan Agreement, the Recipient of the Loan is not in default and no insolvency proceedings of any kind are pending and no winding-up proceedings are in progress;
11.1.7. Paskolos sutarties sudarymo metu bei, Xxxxxxxx gavėjo pagrįstu įsitikinimu, per visą Paskolos sutarties vykdymo terminą, Paskolos gavėjas bus finansiškai bei teisiškai pajėgus vykdyti įsipareigojimus pagal Paskolos sutartį;
11.1.7. At the moment of the conclusion of the Loan Agreement and, in the reasonable belief of the Recipient of the Loan, throughout the term of the Loan Agreement, the Recipient of the Loan will be financially and legally capable to meet the obligations under the Loan Agreement;
11.1.8. Paskolos sutarties sudarymo metu Xxxxxxxx gavėjas pagrįstai nežino jokių kitų aplinkybių, kurios galėtų iš esmės pasunkinti ir /ar padaryti neįmanomu šios Paskolos sutarties vykdymą;
11.1.8. At the moment of the conclusion of the Loan Agreement, the Recipient of the Loan was reasonably unaware of any other circumstances which could substantially complicate and/or render the performance of this Loan Agreement impossible.
11.1.9. Xxx Xxxxxxx iš dalies finansuojama priemonės Avietės lėšomis, Paskolos gavėjas įsipareigoja į savo patalpas įsileisti Audito institucijų atstovus ir leisti jiems susipažinti su dokumentais, susijusiais su Paskola ir jos panaudojimu, įgyvendinti Audito institucijų pateiktas rekomendacijas.
11.1.9. Where the Loan is partially financed from the funds of the instrument “Avietė”, the Recipient of the Loan shall undertake to allow representatives of the Audit Authorities access to its premises and documents relating to the Loan and its use, in order to implement the recommendations made by the Audit Authorities.
12. PASKOLOS SUTARTIES NUTRAUKIMAS 12.TERMINATION OF THE LOAN AGREEMENT
12.1. Organizatorius turi teisę vienašališkai ir savo nuožiūra nutraukti Paskolos sutartį esant bent vienai iš toliau nurodytų aplinkybių:
12.1. The Organiser shall have the right to unilaterally terminate the Loan Agreement at its own discretion in at least one of the following circumstances:
12.1.1. Paskolos gavėjas laiku nemoka pagal Paskolos sutartį numatytų sumų ir pažeidžia Paskolos sutartyje numatytą grąžinimo grafiką ir toks pažeidimas nėra ištaisomas per 90
(devyniasdešimt) kalendorinių dienų;
12.1.1. The Recipient of the Loan fails to pay the amounts stipulated in the Loan Agreement on time and breaches the repayment schedule stipulated in the Loan Agreement and such breach is not remedied within 90 (ninety) calendar days;
12.1.2. Paskolos gavėjas pažeidžia savo įsipareigojimus, kurie yra nustatyti šiose Bendrosiose sąlygose, be kita ko, šių Bendrųjų sąlygų Error! Reference source not found. skyriuje, Paskolos sutartyje, kitose Organizatoriaus vidiniuose dokumentuose ir / ar Organizatoriui ar Paskolos gavėjui taikytinuose teisės aktuose;
12.1.2. The Recipient of the Loan is in breach of his obligations under these General Terms and Conditions, including Section Error! Reference source not found. of these General Terms and Conditions, the Loan Agreement, other internal documents of the Organiser and the laws applicable to the Organiser or the Recipient of the Loan;
12.1.3. Paaiškėja, jog šių Bendrųjų sąlygų Error! Reference source not found. skyriuje nurodyti Xxxxxxxx gavėjo patvirtinimai ir garantijos neatitinka faktinių aplinkybių, yra netikslūs, buvo ir / ar nustojo galioti iš esmės;
12.1.3. It turns out that the representations and warranties made by the Recipient of the Loan in Section Error! Reference source not found. of these General Conditions do not correspond to the real situation, are inaccurate, have been or have essentially ceased to be valid;
12.1.4. Paskolos gavėjas iš esmės sustabdo ir
/ ar nustoja vykdyti visą arba reikšmingą savo verslo dalį;
12.1.4. The Recipient of the Loan essentially suspends and/or ceases all or a substantial part of its business;
12.1.5. Paaiškėja, jog Xxxxxxxx gavėjas ir / ar jo vadovai ir / ar jo galutiniai naudos gavėjai yra įtraukti bet kokius sankcijų sąrašus, kurių atžvilgių Organizatorius atlieka sankcijų stebėseną.
12.1.5. It turns out that the Recipient of the Loan and whether its managers and/or ultimate beneficiaries are included in any sanctions lists, in respect of which the Organiser carries out monitoring of sanctions;
12.2. Tais atvejais, kai Organizatoriaus iniciatyva Sutartis nutraukiama prieš terminą dėl Paskolos gavėjo kaltės, Paskolos gavėjas įsipareigoja sumokėti visas pagal Sutartį priklausančias mokėti Palūkanas bei Mėnesinį administravimo mokestį, t. y. Organizatorius įgyja teisę reikalauti ir tų Palūkanų bei Mėnesinio administravimo mokesčio, kurie būtų sumokėti, jeigu Paskolos gavėjas Paskolą būtų grąžinęs pagal Paskolos sutarties mokėjimo grafiką.
12.2. In cases where, on the initiative of the Organiser, the Agreement is terminated before the due date due to the fault of the Recipient of the Loan, the Recipient of the Loan shall undertake to pay all the Interest and the Monthly Management Fee due under the Agreement, i.e. the Organiser shall acquire the right to request for the Interest and the Monthly Management Fee that would have been paid if the Recipient of the Loan had repaid the Loan according to the repayment schedule under the Loan Agreement.
12.3. Organizatorius, pareikalavęs grąžinti Paskolą, nenutraukia Delspinigių ir Vėlavimo Palūkanų skaičiavimo, kol Paskolos gavėjas visiškai neatsiskaitys su Organizatoriumi ir Paskolos davėjais.
12.3. Having requested for the repayment of the Loan, the Organiser shall not suspend the charging of Default Interest and Late Payment Interest until the Recipient of the Loan fully settles with the Organiser and the Lenders.
13. PRANEŠIMAI 13.NOTICES
13.1. Visi pranešimai ir kitas susirašinėjimas vykdant Sutartį įteikiami kitai šaliai, t. y. Paskolos gavėjui, registruotu paštu pasirašytinai arba elektroniniu paštu arba kitu Šalių suderintu būdu. Organizatorius taip pat turi teisę pateikti Paskolos gavėjui minėtus pranešimus ar kitokį susirašinėjimą per Savitarną.
13.1. All notices and other correspondence in the course of performance of the Agreement shall be delivered to the other Party, i.e. the Recipient of the Loan, by registered mail against signed acknowledgement or by e-mail or in another way agreed upon by the Parties. The Organiser shall also have the right to provide the Recipient of the Loan with the afore-mentioned notices or other correspondence through the Self-Service System.
13.2. Jeigu keičiasi šalių adresai ir (arba) kiti rekvizitai, tai Šalys nedelsiant privalo apie tai informuoti viena kitą. Šalis neįvykdžiusi šių reikalavimų, negali pareikšti pretenzijų ar atsikirtimų, jog kitos Šalies veiksmai, atlikti pagal paskutinius jai žinomus rekvizitus, neatitinka Sutarties sąlygų arba, jog ji negavo pranešimų, siųstų pagal tuos rekvizitus, arba Savitarnos sistemoje.
13.2. In the event of a change of the address and/or other details of the Parties, the Parties shall immediately inform each other thereof. A failure by a Party to comply with the afore- mentioned requirements shall not give rise to claims or objections that the other Party’s actions taken in accordance with the most recent details known to it do not comply with the terms and conditions of the Agreement or that it has not received notices sent in accordance with the afore-mentioned details or in the Self-Service System.
14. BAIGIAMOSIOS NUOSTATOS 00.XXXXX PROVISIONS
14.1. Šios Bendrosios sąlygos įsigalioja nuo Paskolos sutarties sudarymo ir galioja iki visiško šalių įsipareigojimų pagal Paskolos sutartį įvykdymo dienos.
14.1. These General Terms and Conditions shall enter into force on the date of conclusion of the Loan Agreement and shall remain in force until the date of full performance of their obligations under the Loan Agreement by the Parties.
14.2. Paskolos gavėjas supranta ir patvirtina, jog Paskolos sutarties sąlygos gali būti viešai
14.2. The Recipient of the Loan shall understand and acknowledge that the terms and conditions of
skelbiamos ir prieinamos Interneto svetainėje ir / ar Platformoje tiek esamiems Paskolos davėjams, tiek potencialiems Paskolos davėjams.
the Loan Agreement may be made publicly available and accessible on the Website and/or the Platform to both existing and potential Lenders.
14.3. Paskolos sutarties pakeitimai ir papildymai gali būti sudaromi atskiru šalių susitarimu elektroniniu būdu, naudojantis Savitarna, ar kitu šalių sutartu būdu.
14.3. Amendments and supplements to the Loan Agreement may be concluded by a separate mutual agreement between the Parties electronically, using the Self-Service System or by other means agreed by the Parties.
14.4. Visi šios Paskolos sutarties papildymai, pakeitimai ar priedai turi tokią pačią teisinę galią ir yra neatskiriama šios Paskolos sutarties dalis.
14.4. All supplements, amendments or annexes to this Loan Agreement shall have the same legal effect and shall constitute an integral part of this Loan Agreement.
14.5. Jei kuri nors Xxxxxxxx sutarties nuostata pripažįstama prieštaraujančia Lietuvos Respublikos įstatymams, ar kitiems teisės aktams, tai neturi įtakos likusių Paskolos sutarties sąlygų galiojimui. Tokiu atveju Paskolos sutarties šalys gera valia, derybų būdu turi susitarti dėl pripažintos negaliojančia Paskolos sutarties nuostatos pakeitimo kita nuostata.
14.5. If any provision of the Loan Agreement is found to be contrary to the laws or regulations of the Republic of Lithuania, this shall not affect the validity of the remaining terms and conditions of the Loan Agreement. In such case, the Parties to the Loan Agreement must agree in good faith to replace the provision of the Loan Agreement which has been declared invalid with another provision by negotiations.
14.6. Valdžios institucijoms, įskaitant Lietuvos banką, priėmus teisės aktus ar jų pakeitimus, reglamentuojančius sutelktinio finansavimo veiklą ir / ar jai taikomus reikalavimus ir / ar privalumus vykdyti sutelktinio finansavimo platformos operatoriaus veiklą, Organizatorius turi teisę vienašališkai pakeisti šios Paskolos sutarties sąlygas ir jie įsigalioja ir tampa privalomi sutarties šalims nuo pranešimo Savitarnoje dienos ir / ar išsiuntimo šalims jų nurodytais el. pašto adresais.
14.6. After the adoption of legislation or amendments thereto regulating the crowdfunding activity and/or the requirements and/or obligations applicable to it, and the obligations to operate as an operator of a crowdfunding platform by the public authorities, including the Bank of Lithuania, the Organiser shall have the right to unilaterally amend the terms and conditions of this Loan Agreement and they shall enter into force and become binding upon the Parties to the Agreement from the date of notice to the Self-Service System and/or dispatch to the Parties to the e-mail addresses indicated by them.
14.7. Paskolos gavėjas sutinka, kad Paskolų davėjai gali perleisti savo kreditorinius reikalavimus Xxxxxxxx gavėjo atžvilgiu tretiesiems asmenims.
14.7. The Recipient of the Loan shall agree that the Lenders may assign their claims against the Recipient of the Loan to third parties.
14.8. Ginčai tarp šalių vykdant šią Paskolos sutartį sprendžiami derybų būdu, o nesusitarus, ginčas perduodamas spręsti Lietuvos Respublikos teismams pagal taikytinas teismingumo nuostatas.
14.8. Any disputes between the Parties in the implementation of this Loan Agreement shall be settled by negotiations and, in the event of a failure to reach an agreement, the dispute shall be referred to the courts of the Republic of Lithuania in accordance with the applicable jurisdiction provisions.
14.9. Šios Bendrosios sąlygos yra sudaromos dviem kalbomis – lietuvių ir anglų. Esant
