Miscellaneous. No variations or amendments to these GTC shall be binding unless agreed by written notice by Mondi. This written form requirement shall in particular apply to any variation or amendment of this clause. Any of Mondi’s contractual obligations may be fulfilled by any of its Affiliates and auxiliary persons. The Customer must not assign any of its rights or obligations without Mondi’s prior consent by written notice. Mondi may assign its rights or obligations to an entity of the Mondi Group; Customer hereby grants approval for such assignment. If any part of any provision of these GTC is deemed illegal, void or unenforceable, it shall be deemed severed from the remainder of these GTC which shall remain in force. No waiver of any provision by Mondi shall be deemed a waiver of any subsequent breach by the Customer. The Polish version of this GTC or any Contract related to them shall prevail over the English version. All written notices to be given or delivered by a party to the other party shall be signed by persons duly authorised to sign on behalf of the party, and shall be deemed to have been given to such other party (i) by wet signature and only when mailed to such other party by registered mail, return receipt requested and postage prepaid, or (ii) by using secure and advanced electronic signature.

Miscellaneous. 1. The transfer of the rights or obligations under this Agreement may be made by the Client on a third party only with the previous written consent of the Seller, or else shall be null or void. 2. The Client agrees that at any time during the term of the Agreement and after its termination, will not disclose to any third party any Confidential Information obtained by the Client in connection with or on the occasion of the conclusion or performance of the Agreement. The Client is responsible for the acts and omissions of Client’s employees, agents, subcontractors etc. as for its own acts and omissions. 3. Any disputes arising under this Agreement shall be settled exclusively by the court of the registered office of the Seller. 4. The Agreement, the GTCS and the matters not included in the aforementioned are entirely subordinated to the Polish law. These GTCS do not apply to the consumer contracts. 5. In the event of any discrepancy between the Polish and the English language version of the Agreement, the Polish one shall prevail. 6. All amendments to the Agreement shall be in writing or else shall be null and void. 7. The information about the amendments of the GTCS shall be given to the Client by the publication of the appropriate information on the Seller’s website. The Client is bound by the changed GTCS from the date on which the Client could become acquainted with its content.

W razie wyrażenia przez Rawlplug zgody na przeniesienie zobowiązań Dostawcy na inny podmiot, Dostawca pozostanie odpowiedziany za wykonanie tychże zobowiązań oraz będzie odpowiedzialny za działania lub zaniechania przejmującego zobowiązania, w tym jego pracowników, zleceniobiorców i agentów, tak jakby było zobowiązanie Dostawcy. 15.1 The Supplier will not be entitled to assign or subcontract any or all of its rights under the Agreement without the prior written consent of Rawlplug. Where Rawlplug gives its consent to the Supplier’s subcontracting its obligations, that Supplier shall remain liable for the performance of all of its obligations under the Agreement and will be responsible for the acts and omissions of the subcontractor and its employees, contractors and agents, as if they were the acts or omissions of the Supplier.
Miscellaneous. 7.1. Governing Law and Exclusive Forum. The construction, interpretation and performance of this Agreement, as well as the legal relations of the parties, shall be governed by and construed in accordance with the laws identified as the Governing Law for the applicable Contract Jurisdiction in Table 1, without regard to its choice of law principles. All disputes arising under this Agreement shall be heard only by a court of competent jurisdiction in the Venue in the applicable Contract Jurisdiction in Table 1, and You submit to the jurisdiction of such courts for the purpose of litigating such disputes.
