SAIC Motor Corporation Limited
上海汽车集团股份有限公司(以下简称上汽集团)与上海汽车集团股份有限公司工会(以下简称上汽集团工会),依据《中华人民共和国劳动法》、《中华人民共和国劳动合同法》、《中华人民共和国工会法》、《中华人民共和国公司法》、《上海市职工代表大会条例》、《上海市集体合同条例》等有关法律法规,经协商一致,签订本合同。
In accordance with the Labor Contract Law of the People’s Republic of China, the Trade Union Law of the People’s Republic of China, Company Law of the People’s Republic of China, the Regulations of Shanghai Municipality on General Meeting of Employees’ Representatives, the Regulations of Shanghai Municipality on Collective Contract and other applicable laws, regulations and policies, SAIC Motor Corporation Limited (hereinafter referred to as "SAIC Motor") and SAIC Motor Corporation Limited Trade Union (hereinafter referred to as "SAIC Motor’s trade union” ) have, after negotiations and by consensus, entered into this Collective Contract (hereinafter referred to as the “Contract”), as follows:
总 则
Chapter I General principles
第一条 本合同的宗旨是依法维护上汽集团及其所属企业和职工的合法权益,建立和谐稳定的劳动关系,调动职工的积极性和创造性,促进上汽集团的持续发展。
Article 1 The purposes of this contract is to protect the legal interests of SAIC Motor and the enterprises affiliated thereto along with the employees; build a harmonious and stable employment relationship, give full play to the work enthusiasm and facilitate the sustainable development of SAIC Motor.
第二条
本合同对上汽集团及与之建立劳动关系的全体职工具有约束力。
上汽集团所属企业在签订集体合同时,所约定的劳动条件和劳动报酬等,不能低于本合同的规定。
上汽集团及其所属企业与职工签订的劳动合同所约定的劳动条件和劳动报酬等,不能低于本企业集体合同的规定。
Article 2 This Contract shall be binding upon SAIC Motor and all the employees who establish the labor relationship with SAIC Motor.
When the enterprises affiliated to SAIC Motor signing the collective contract, the labor conditions and labor remuneration shall not be lower than the regulations in this contract.
When the enterprises affiliated to SAIC Motor signing the labor contract with employee, the labor conditions and labor remuneration shall not be lower than the regulations in the collective contract of this enterprise.
第三条 上汽集团及其所属企业支持工会维护职工的合法权益,依法独立自主地开展工作,并按时足额地向工会拨缴经费。上汽集团及其所属企业应坚持和完善以职工代表大会(或职工大会)为基本形式的企业民主管理制度,尊重和保障职工参与本企业的民主决策、民主管理、民主监督的权利。在研究经营管理和发展规划等重大决策事项时,应听取同级工会的意见和建议,并接受职工代表大会(或职工大会)审议,听取职工的建议;在确定涉及职工切身利益的重大事项时,应与工会集体协商,其方案经职工代表大会(或职工大会)审议通过后方可实施。
上汽集团及其所属企业依法应设立职工董事、职工监事的,职工董事、职工监事由公司职工通过职工代表大会(或职工大会)或者其他形式民主选举产生。
Article 3 SAIC Motor and the enterprises affiliated thereto support the trade union to protect the legal interests of employees, carry out work independently in accordance with the law and allocate the full fund to the trade union on time. SAIC Motor and the enterprises affiliated thereto shall stick to and improve the Democratic management system in the basic form of the General Meeting of Employees’ Representatives (or General Meeting of Employees), respect and safeguard the employees' rights regarding the democratic decision-making, democratic management and democratic supervision. During the study of major decision-making matters such as management and development planning, enterprises shall listen to the opinions and suggestions of the trade unions at the same level and accept the deliberation of the General Meeting of Employees’ Representatives (or General Meeting of Employees), listen to the suggestions and opinions of the trade union of the same level and accept the consideration from the General Meeting of Employees’ Representatives (or General Meeting of Employees) and listen to the suggestion from the employees; enterprises shall also consult with the trade union when the issues concerning the important matters and vital interests of the employees, and the plan may be carried out after the deliberation and approval of the General Meeting of Employees’ Representatives (or General Meeting of Employees).
In case SAIC Motor and the enterprises affiliated thereto shall set the employee director and the employee supervisor according to the law, the employee director and the employee supervisor shall be elected through the General Meeting of Employees’ Representatives (or General Meeting of Employees) or other form of democratic election.
第四条上汽集团工会支持上汽集团依法经营、科学管理,教育全体职工认真履行劳动合同,遵守各项规章制度,做好本职工作,积极践行上汽愿景、使命、价值观,倾力打造富有创新精神的世界著名汽车公司,引领未来汽车生活。
Article 4 SAIC Motor’s trade union will support the legal operation, scientific management and educate the whole employees to seriously perform the labor contract, obey the several regulations and system, accomplish their duty, positively fulfill SAIC Motor's vision, mission, value, make utmost efforts to build a world-renowned automobile company with innovative spirit leading the future automobile life.
第五条 上汽集团及其所属企业和工会都应按照国家政策规定,正确处理好企业发展中改革、发展、稳定三者关系,维护正常的工作、生产秩序,共同构建和谐企业。
Article 5 SAIC Motor and the enterprises affiliated thereto and trade unions shall handle with the three relationships among the reform, development and stabilization during the development of enterprises correctly according to the national policies and maintain the normal work, order of the production in order to jointly build a harmonious enterprise.
第六条 上汽集团所属企业在工会成立后,应遵循本合同,通过集体协商等法定程序,签订本企业的集体合同。
Article 6 After the trade union has been established, the affiliated enterprise of SAIC Motor shall comply with this contract and sign its own collective contract through the collective negotiation or other legal procedure.
第二章 劳动用工
Chapter II Labor employment
第七条 上汽集团及其所属企业根据经营发展需要制定人力资源滚动发展规划和人员招聘计划,职工招聘应按规定程序,经评估筛选后择优录用。
Article 7 SAIC Motor and the enterprises affiliated thereto make the Human resources rolling development planning and employees recruitment plans according to the business development needs. After the evaluation and selection, employees should be recruited through the prescribed procedures on a merit basis.
第八条 上汽集团及其所属企业应按国家和地方劳动法律法规与被录用职工签订劳动合同。工会应为职工提供指导和帮助,并依法监督劳动合同的履行。
Article 8 SAIC Motor and the enterprises affiliated thereto shall sign the labor contract with the hired employees according to the National and local labor laws and regulations. The trade union shall provide guidance and help for the employees, and supervise the performance of labor contracts according to law.
第九条 上汽集团及其所属企业应通过合法的程序制定相关制度及《员工手册》,规范劳动合同履行和管理程序。
Article 9 To standardize the performance of labor contract and management procedures, SAIC Motor and the enterprises affiliated thereto shall formulate the related systems and employee handbook through the legal procedure.
第十条 上汽集团及其所属企业应不断开拓市场,增加就业岗位。工会应教育和引导职工树立正确的职业观,增强自身就业能力,适应企业发展要求。双方应共同关心和推进职工就业保障工作。
Article 10 SAIC Motor and the enterprises affiliated thereto shall increase employment positions by constantly developing the market. The trade union shall comply with the developing requirements, meanwhile, educate and guide the employees to set up the right professional vision and enhance their employability. Both parties shall jointly care about and promote the employment security of employees.
第十一条 上汽集团及其所属企业在分立、合并过程中,整体转移人员的劳动关系处理依照有关法律法规及上汽集团的有关规定,规范履行民主程序。企业应结合实际,由有关各方协商一致,签订相关协议,并按协议约定的内容实施。
从上汽集团所属企业经组织推荐进入另一所属企业的职工,在计算医疗期时,其原企业工龄可视作为本单位工龄连续计算。
Article 11 During the process regarding the separation and consolidation of SAIC Motor and the enterprises affiliated thereto, the Labor relations concerning the overall transfer personnel shall be dealt in accordance with the relevant laws and regulations and the provisions of SAIC Motor and the democratic process specification shall be performed. The enterprises shall sign the relevant agreements with the several parties after the negotiation and consensus and combined with the actual situation, and perform the content in the agreement.
The employee who has the recommendation of the affiliated enterprise of SAIC Motor to another SAIC Motor’s affiliation, the employee’s working ages in the original enterprise shall be counted as the working age when calculating the medical treatment period.
第十二条 对特殊劳动关系从业人员的管理,应按照企业所在地有关规定执行。
Article 12 The management of the employees with special labor relations shall be in accordance with the relevant provisions of the enterprise is located.
第十三条 上汽集团建立劳动关系协调委员会、劳动争议调解委员会和工会法律援助中心等,开展“普法”宣传教育,提供法律援助服务,建立劳动关系预警预防机制。企业应建立各自的劳动争议调解委员会,依法协调劳动关系。
Article 13 SAIC Motor establish labor relations coordinate committee, labor dispute mediation committee and labor union legal aid center, etc., to carry out the "popularizing-law" promotional education, provide legal aid services, build a preventive mechanism of labor relations early warning. Enterprises should establish their own labor dispute mediation committee, and legally coordinate labor relations.

第六章 工作时间与休假
Chapter VI Working hours and Holidays
第十四条 上汽集团及其所属企业实行“每日工作时间不超过8小时,平均每周工作时间不超过40小时”的工时制度。企业可根据生产经营特点和需要,与工会协商后,选择与本企业生产经营和管理相适应的特殊工时制度,并报人力资源与社会保障部门批准后实施。
Article 14 SAIC Motor and the enterprises affiliated thereto implement the system working hours as" The daily working hours are not more than 8 hours, and the average working hours are not more than 40 hours per week." After negotiation with the trade union, the enterprise could choose the special time system coordinated with the features and needs of the production and management of this enterprise and implement after the approval of human resources and social security department.
第十五条 上汽集团及其所属企业应合理安排生产计划,确因生产和工作需要在短期内必须延长工作时间或安排加班的,应按规定在征得职工及工会同意后实行。
Article 15 SAIC Motor and the enterprises affiliated thereto shall rationally arrange the production plan. The extension for working time or over time arrangement shall be implemented after the approval from the employees and trade unions due to the needs of production and work.
第十六条 上汽集团及其所属企业应根据国家规定和本企业的实际确定带薪年休假制度,并实行国家法定的节假日和职工探亲、婚丧、计划生育等假期制度。
Article 16 SAIC Motor and the enterprises affiliated thereto shall determine the system of annual vacation with pay according to the national regulation and the actual practice and implement the national statutory holidays and employees' family visiting, marriage and funeral, family planning and other vacation system.
第十七条 上汽集团及其所属企业应做好职工患病、非因工负伤及工伤、职业病的医疗期和假期管理,合理安排好患病、负伤职工的医疗期休假和复工管理工作。
Article 17 SAIC Motor and the enterprises affiliated thereto shall well complete the management of the medical treatment period and vacation regarding the employees who are sick or get non-work-related injured and occupational diseases, and reasonably arrange the management for the medical leave and return to work for the sick and wounded employees.
第十八条 上汽集团及其所属企业应积极鼓励职工参加社会公益活动,对参加义务献血、捐献造血干细胞的职工,参照有关规定给予必要的休息时间;对见义勇为而负伤的职工提供康复保障。
Article 18 SAIC Motor and the enterprises affiliated thereto shall positively encourage the employees to participant in the public benefit activities. The employees who participate in the voluntary blood donation of hematopoietic stem cells shall be given the necessary rest time according to relevant regulations; the employees who have been wounded by the heroic actions shall be provided with the rehabilitation guarantee.
第七章 职业技能培训
Chapter VII Vocational Training
第十九条 上汽集团及其所属企业应与职工共同制定适合企业和个人发展需要的职业发展计划,不断提高职工专业技能和工作效率。加强职工上岗前的安全和技能培训,执行就业准入制度。招用属于国家规定特殊工种的职工,必须从获得相应资格证书的人员中录用。
上汽集团及其所属企业应持续推行全员培训计划,培育和充分利用业内、业外的技能鉴定和培训资源,创造条件为全体职工提供技能鉴定和专业培训服务,弘扬工匠精神,积极鼓励和引导职工向“一岗多能”、“智能型”、“专家型”人才方向发展,对晋升为技师、高级技师的职工、授权发明专利的一线职工进行奖励,提高职业竞争能力。
Article 19 SAIC Motor and the enterprises affiliated thereto shall formulate the professional development programs with the employees appropriate to the enterprises and individual's development and constantly improve professional skills and work efficiency. To strengthen the safety and skills training of the employees prior to work, and to implement the employment admittance system to recruit employees who belong to the special type of work specified of the state, they should be employed by those who have obtained the corresponding qualification certificates.
SAIC Motor and the enterprises affiliated thereto shall continuously implement the plan of the training for all the staff, to cultivate and fully take advantage of the skill identification and training resources in and out the industry, and to create the conditions to provide the skill identification and professional training for all of the employees. Advocate the spirit of the craftsmanship, positively encourage and guide the employees to develop in the direction of the " multiple functions for one position", “intelligent”, “expert type”. The first-line employees who are promoted to the technicians, senior technicians, or authorized for the invention patent shall be rewarded, and improve their professional competitiveness.
第二十条 上汽集团及其所属企业根据《中华人民共和国职业教育法》和《国务院关于大力推进职业教育改革与发展的决定》,每年按职工工资总额1.5%-2.5%的比例,足额提取教育培训经费,实行专款专用,职工教育培训经费的60%以上应用于企业一线职工的教育和培训。培训经费每年的实际使用情况须向职工代表大会(或职工大会)报告。
Article 20 SAIC Motor and the enterprises affiliated thereto shall extract full amount of education training funds by1.5% to 2.5% of the employees' wages every year for special purpose according to Vocational education law of the People's Republic of China and the national councils decision on promoting the transformation of professional education. More than 60% of the expense for staff training shall be used for the education and training for frontline employees. The actual use of the training funds shall be reported to the general meeting of the employees' representatives (or employees' meeting) every year.
第二十一条 上汽集团及其所属企业应积极创建工程师创新论坛、技能大师工作室、首席技师工作室及职工(劳模)创新工作室,开展和参加职工岗位练兵、技术比武、名师育高徒、合理化建议等灵活多样的活动,积极推进上汽高技能人才培训基地建设,根据企业实际开展职工技能培训,不断提高职工和其他从业人员的技能水平。
Article 21 SAIC Motor and the enterprises affiliated thereto shall positively create Flexible and diverse activities such as engineer creative Forum, Skill master studio, chief engineer studio and Staff (model employee) innovation studio, develop and participate in the training of employees, technological competition, great teachers produces brilliant students and other rationalization proposals.
And actively promote the construction of SAIC Motor's high-tech talent training base and according to the practical training of employees, the skill level of employees and other practitioners will be constantly improved.
第八章 劳动安全和职业健康

第九章 企业转改制与裁员
Chapter IX Transformation and restructuring of the enterprises and layoffs
第二十二条 上汽集团及其所属企业因组织机构调整、产品结构调整或生产经营状况等变化,确需转改制或裁员的,应严格按照国家或地方有关规定履行民主程序。
Article 22 If the organizational structure of SAIC Motor and the enterprises affiliated thereto changes because of adjustment for the institution or the production structure and operation condition, and it is necessary to change the system or lay off employees, and the democratic procedures shall be performed strictly in accordance with the relevant provisions of the state or local regulations.
第二十三条 上汽集团及其所属企业在制定转改制方案过程中要兼顾职工利益与企业发展,转改制企业工会负责人应进入改制领导小组,全过程参与转改制的各项工作。企业应加强转改制的宣传引导工作,转改制方案应听取工会的意见,并通过职工代表大会(或职工大会)审议,充分听取职工的意见。
企业转改制涉及重新安置职工的,应制定职工安置方案,并经职工代表大会(或职工大会)审议通过。
Article 23 In the process of making the transformation plan, SAIC Motor and the enterprises affiliated thereto shall take into account the interests of employees and the development of enterprises. The person in charge of the trade union in a transformed enterprise shall enter the leading group of the transformation, and participate in the whole process of the transformation. The enterprise shall strengthen the publicity and guidance of the transformation. The transformation plan shall be heard by the opinions of the trade unions, and fully listen to employees' opinions through the deliberation and approval of the General Meeting of Employees’ Representatives (or General Meeting of Employees)
If the transformation involves the resettlement of employees, a staff relocation plan shall be formulated and approved by the General Meeting of Employees’ Representatives (or General Meeting of Employees).
第二十四条上汽集团所属企业经营发生严重困难,确需裁减职工,应按劳动法规规定向工会或全体职工说明情况,听取意见。在充分考虑职工利益,与工会或职工代表协商采取补救措施的基础上,制定裁减人员方案,报上汽集团有关部门审核后,提交职工代表大会(或职工大会)审议通过,并按规定程序向人力资源和社会保障部门报告。
Article 24 The enterprises affiliated to SAIC Motor shall explain the situation to the trade union or the staff according to the Labor Law and listen to the opinions in the event of serious business difficulties and the necessity to lay off employees. In base of fully considering the interests of employees and negotiating with the trade union or employee representatives to take remedial measures, a plan for laying off employees shall be formulated, submitted to the relevant department of SAIC Motor for review, then submitted to the General Meeting of Employees’ Representatives (or General Meeting of Employees) for deliberation and approval, and report to the human resources and social security department.
第二十五条 上汽集团所属企业对于依法裁减人员计划,应根据劳动法规和上汽集团相关规定做好经济补偿方案,经职工代表大会(或职工大会)审议通过,并报上汽集团审核后实施。
Article 25 The enterprises affiliated to SAIC Motor shall make economic compensation plans according to the Labor Law and relevant regulations of SAIC Motor, and carry out after the deliberation and approval of the General Meeting of Employees’ Representatives (or General Meeting of Employees) and submission to SAIC Motor for review.
第十章 履行、变更、解除和续订
Chapter X Performance,Change,Termination and Renewal
第二十六条 为全面履行本合同,合同存续期间,双方必须严格遵守本合同的约定,履行各自义务。上汽集团和上汽集团工会共同组织企业代表和职工代表组成的集体合同检查小组,定期对本合同的履行情况进行检查,并将检查情况以书面形式通报上汽集团及其所属企业和上汽集团工会。
Article 26 In order to fully perform this contract, during the existence of the contract, both parties must strictly abide by the provisions of this contract and perform their own obligations. SAIC Motor and the trade union jointly organize a collective contract inspection team composed of company representatives and employees’ representatives to regularly check the performance of this contract, and submit to SAIC Motor, the enterprises affiliated thereto and the trade union in written form.
第二十七条 在本合同履行过程中,若遇重大问题时,双方按上汽集团《集体协商规则》规定的程序进行协商。经协商一致所形成的协议、专项合同,可对本合同的有关条款进行变更或补充,并报上海市人力资源和社会保障局审核同意。相关协议、专项合同作为本合同的附件,与本合同具有同等的效力。
Article 27 During the performance of this contract, in the event of major problems, both parties shall negotiate in accordance with the prescribed procedures in SAIC Motor Rules for Collective Negotiation. The agreements and special contracts formed through negotiation and consensus may be used to change or supplement the relevant clauses of this contract and be reported to Shanghai Human Resources and Social Security Bureau for review and approval. Relevant agreements and special contracts as attachments to this contract have the same effect as this contract.
第二十八条
在履行合同中,遇到下列情况之一的,集体合同可以变更或解除:
(一)经双方协商一致;
(二)上汽集团及其所属企业因被兼并、解散、破产等原因,致使集体合同无法履行的;
(三)因不可抗力等原因致使本合同无法履行或部分无法履行的;
(四)本合同约定的变更或解除条件出现的;
(五)法律、法规、规章规定的其他情形。
上述款项除第(一)款外,按其他各项变更或解除本合同时需履行民主和公示程序。
Article 28 During the performance of this contract, in case of any of the following circumstance,it may be changed or terminated:
(1) Negotiation and consensus by both parties;
(2) SAIC Motor and the enterprises affiliated thereto fail to perform the collective contract due to mergers, dissolutions, bankruptcies and other reasons;
(3) This contract cannot be performed due to either force majeure resulting in whole or in part;
(4) The conditions for change or termination as prescribed in this contract occur;
(5) Other circumstances prescribed in laws, regulations and rules.
In addition to paragraph (1) above, the above-mentioned funds shall be subject to the procedures of democracy and public announcement when other items are changed or terminated.
第二十九条 上汽集团及其所属企业履行集体合同发生争议的,合同双方应在遵守法律法规和平等协商的原则下,力求协商解决。协商不成,可由上汽集团劳动争议调解委员会进行调解,或按法定程序申请仲裁。
Article 29 Where there is a dispute between SAIC Motor and the enterprises affiliated thereto in the performance of the collective contract, both parties to the contract shall strive to negotiate and settle the matter in accordance with the principles of laws and regulations and equal consultations. If no negotiation and consensus can be reached, SAIC Motor Labor Dispute Mediation Committee may conduct mediation or apply for arbitration according to legal procedures.
第十一章 附则
Chapter XII Supplementary Provisions
第三十条 本合同未尽事宜,按有关法律法规执行或由双方协商解决。本合同所依据的法律法规发生变更,依照新颁布的法律法规执行。
Article 30 Matters not covered herein shall be implemented in accordance with relevant laws and regulations and both parties' negotiation. If the laws and regulations on which the contract is based are changed, the contract shall be implemented according to the new laws and regulations.
第三十一条 上汽集团所属沪外投资企业可参照本合同,并结合所在地相关法规、政策执行。
Article 31 SAIC Motor's investing enterprises outside Shanghai may refer to this contract and carry out the relevant laws and regulations in the place where it is located.
第三十二条 本合同于2018年4月13日经上海汽车集团股份有限公司第三届职工代表大会第一次会议审议通过,自上汽集团和上汽集团工会双方首席代表签字之日起10日内,由上汽集团报送上海市人力资源和社会保障局审查,上海市人力资源和社会保障局自收到文本之日起15日内未提出异议的,本合同即行生效。
Article 32 This contract has been discussed and approved through the third General employees' meeting for the first time of SAIC Motor Corporation Limited on 13th, April 2018. Since 10 days from the date of the chief representative of SAIC Motor and SAIC Motor’s trade union sign the contract, SAIC Motor would submit to the Shanghai human resources and social security bureau for review. If the Shanghai human resources and social security bureau has no opposition in 15 days from the date of receiving the text, this contract shall become effective.
本合同一式六份:双方各执一份;上汽集团党委一份;上海市人力资源和社会保障局一份;上海市国有资产监督和管理委员会一份;上海市总工会一份。
This contract is made in six copies: each party holds one copy; one for the Party committee of SAIC Motor; one for Shanghai human resources and social security Bureau; one for Shanghai state-owned assets supervision and administration commission; and one for Shanghai federation of trade unions.
第三十三条 本合同生效后,应及时以适当的形式向全体职工公布。
Article 33 When this contract comes into effect, it shall be timely announced to the whole staff in a appropriate format.
第三十四条 本合同有效期为三年。集体合同期限届满前三个月,双方应就集体合同的续订事宜进行协商并签订新的合同。如遇特殊情况不能及时续订合同或者签订新合同,经双方协商一致,可参照原合同条款继续履行,直至新合同生效为止。
Article 34 This contract will be valid for three years. 3 months before the collective contract is expired, both parties shall establish new contract through negotiation. In case of the special circumstances that the contract may not be renewed in a timely manner or a new contract may be signed. After mutual agreement, the parties may continue to perform the contract in accordance with the original contract terms until the new contract becomes effective.
第三十五条 本合同翻译成英文文本,与中文文本具有同等效力。对两种文本的理解发生歧义时,以中文文本为准。
Article 35 This contract shall be translated into English and has the same effect with the Chinese version, if there is misunderstanding of the two texts, the Chinese version shall prevail.
第三十六条 本合同由上汽集团和上汽集团工会联合负责解释、修改。
Article 36 This contract shall be jointly explained and amended by SAIC Motor and SAIC Motor’s trade union.
